Dear teachers, professors, school directors, and administrators:PRTESOL is expecting to see you soon! The 2015 PRTESOL Annual Convention is only weeks away. We have been working hard in order to satisfy you. The convention’s theme is: “Transforming the Learning Experience for

Life-Long Learners through CREATIVITY”. It will be held at “Universidad del Sagrado Corazon”, San Juan, PR, November 20-21, 2015. The convention fees have been lowered to assure your attendance.

The objective of our convention is to empower teachers to change the nature, function, or condition of the teaching process, so the students can pursue knowledge throughout life in a flexible and diverse experience, available at different times and places, promoting acknowledgments beyond traditional schooling and at a full length of the adult life by being able to transform new and imaginative ideas into reality.

The Doubletree by Hilton Hotel in San Juan, PR has given PRTESOL a special rate that is due

October 30, 2015. The group code is C-GTC; we encourage you to make your reservations promptly.

Various exhibitors such as: Cambridge University Press, Spring Branch ISD, McGraw Hill Education, Ken French Group, Interamerican University, Metro, Instituto de Cultura Puertorriqueña: Poetry Out Loud, Pearson, College Board, Nova, Camera Mundi, Viajes A Plus Tours, Santillana, Extron, and more have confirmed their participation to promote products and services meant to assist you. Exhibitors are still welcome to reserve their space in the convention.

We have many excellent presenters from PR and abroad. Our keynote speakers, Dr. Jean Rodriguez from Universidad Interamericana, Guayama and Dorina Sackman, Florida Teacher of the Year, are ready to impress you all! We will be having a social event Friday afternoon in the university. The promotion will be sent out soon in order for attendees to purchase their tickets. Transforming  the  Learning  Experience  for  Life-­‐Long  Learners  through  CREATIVITY

Dorina Sackman is the 2014 Florida Teacher of the Year, and a Finalist for National Teacher of the Year. She is a leading authority on teaching English Language Learners, and has spent the past 18 years face-to-face with students of diverse backgrounds at the elementary, high school and college levels.

An expert in building solid relationships that result in successful learning experiences for students and teachers, Ms. Sackman believes connection, creativity and community make up the true learning experience. Because of this philosophy, she began her company B.E.L.I.E.V.E.!®LLC and travels the country as a motivational educational speaker presenting research-based workshops on empowering educators to B.E.L.I.E.V.E.!® in themselves and the students they teach.

She is currently earning her doctorate in education as she embarks on a new journey of taking the classroom outdoors. Dorina is creating a non-profit self-sustainable ranch to provide children an educational after-school haven for STEM in agriculture and equine and bovine therapy. Miss Sackman states, "Never, ever, EVER give up on a kid, and you teach them to never, ever, EVER give up on themselves; that is...if you truly B.E.L.I.E.V.E.®!"

The Bylaws of Puerto Rico TESOL An Affiliate of Teachers of English to Speakers of Other Languages, Inc.

Ratified September 2015

Ar.cle  I.  Name  

The  name  of  this  organizaPon  is  Puerto  Rico  TESOL  (PRTESOL),  an  affiliate  of  TESOL  (Teachers  of  English  to  Speakers  of  Other  Languages).

Ar.cle  II.  Purpose  

PRTESOL,  incorporated  by  the  Puerto  Rico  State  Department  under  the  Ley  General  de  Corporaciones  para  el  Estado  Libre  Asociado  de  Puerto  Rico  (January  9,  1956),  is  a  non-­‐profit  professional  organizaPon  that  is  dedicated  to:  1.  promoPng  scholarship  and  professional  development;  2.  providing  opportuniPes  for  study  and  research;  3.  disseminaPng  informaPon  and  research  on  the  teaching  of  English  to  speakers  of  other  languages;  4.  working  cooperaPvely  towards  the  improvement  of  instrucPon  in  all  programs  which  seek  to  provide  students  with  the  opportunity  to  become  proficient  English  language  learners;  5.  coordinaPng  informaPon  with  the  local,  stateside,  and  internaPonal  professional  organizaPons  with  similar  goals;  6.  promoPng  the  recogniPon  of  English  as  an  addiPonal  language  tool  for  communicaPon,  and  not  as  a  supplanPng  means  of  expression  at  the  expense  of  the  second  language  learner’s  naPve  language  and  culture.  

Ar.cle  III.  Membership  

A.  Membership  in  PRTESOL  is  open  to  all  who  are  concerned  with  the  teaching  of  English  to  speakers  of  other  languages.  B.  Good  Standing  -­‐  A  member  shall  be  deemed  to  be  in  good  standing  when  that  member  has  paid  all  applicable  dues.  Duly  recorded  members  in  good  standing  shall  be  enPtled  to  parPcipate  in  the  acPviPes  of  PRTESOL,  including  voPng  and  a^ending  meePngs.  C.  Membership  shall  be  for  twelve  months.  

Ar.cle  IV.  Membership  Dues  and  Fees  

A.  Membership  dues  shall  be  paid  annually.  B.  Membership  dues  shall  be  determined  by  the  Board.

C.  InformaPon  about  dues  and  fees  shall  be  posted  on  the  PRTESOL  Website.  D.  Fees  for  adverPsing,  exhibiPons,  the  Annual  ConvenPon,  and  other  acPviPes  are  determined  by  the  PRTESOL  Board  of  Directors.E.  No  regional  chapter  may  impose  a  separate  membership  fee  to  its  consPtuents.

Ar.cle  V.  Mee.ngs  

A.  Annual  General  Mee.ng  

1.  The  annual  general  business  meePng  will  be  held  during  the  annual  convenPon  of  the  organizaPon.  2.  All  members  are  invited  to  a^end.  3.  Members  present  will  consPtute  quorum.  4.  The  agenda  of  the  business  meePng  shall  be  presented  to  the  membership  at  the  annual  convenPon.

B.  Regular  Board  Mee.ngs:  

1.  The  Board  will  meet  a  minimum  of  six  (6)  Pmes  per  year.  2.  VoPng  may  not  be  done  by  proxy.  3.  Members  in  good  standing  are  invited  to  a^end  any  meePng  of  the  organizaPon.  

C.  Quorum:  

1.  Ficy  percent  (50%)  of  voPng  Board  members  shall  consPtute  quorum.  2.  If  the  absence  of  quorum  does  not  allow  holding  two  consecuPve  regular  meePngs,  the  president  may  call  for  an  emergency  meePng  where  those  who  are  present  will  consPtute  quorum.  

D.  ASendance:  

1.  All  members  of  the  Board  of  Directors  must  a^end  the  regular  meePngs.  2.  If  a  member  cannot  a^end  a  meePng,  he/she  must  inform  the  execuPve  secretary  prior  to  the  meePng,  who  will  record  in  the  minutes  Absent-­‐Excused.  

E.  Extraordinary  Mee.ngs:  

1.  An  extraordinary  meePng  may  be  called  by  the  president  when  deemed  necessary  for  the  best  interest  of  the  organizaPon.  2.  The  execuPve  secretary  will  noPfy  all  Board  members  of  the  Pme,  place,  and  the  reason  for  calling  an  extraordinary  meePng.  3.  No  other  business  but  that  specified  in  the  noPce  may  be  transacted  at  the  extraordinary  meePng  without  the  unanimous  consent  of  all  present  at  such  meePng.

Ar.cle  VI.  Board  of  Directors  

The  Board  of  Directors  shall  consist  of  elected  officers  and  appointed  officers.  

Elected  Officers  (vo.ng  members)  

A.  The  elected  officers  of  the  Board  of  Directors:  1.  President2.  Vice-­‐President3.  Immediate  Past-­‐President4.  Elementary  EducaPon  RepresentaPve  5.  Secondary  EducaPon  RepresentaPve  6.  Higher  EducaPon  RepresentaPve  7.  Student  RepresentaPve  8.  Four  (4)  Chapter  Presidents

B.  The  elected  members  shall  serve  terms  of  office  specified  in  the  Policy  Manual  and  may  not  hold  more  than  one  voPng  posiPon  on  the  Board.  C.  Elected  members  may  serve  no  more  than  two  consecuPve  terms  in  the  same  office.  D.  The  duPes  of  the  elected  officers  are  specified  in  the  Policy  Manual.  E.  President,  vice-­‐president  and  immediate  past-­‐president  must  be  members  of  TESOL  InternaPonal.  F.  The  student  representaPve  (ESL  or  teacher  training)  must  have  an  acPve  program  of  12  undergraduate  credits  or  6  graduate  credits.  G.  Only  PRTESOL  members  in  good  standing  who  are  English  educators  or  students  of  English  EducaPon  may  form  part  of  the  Board  of  Directors.  

Appointed  officers  (non-­‐vo.ng  members)  

A.  Appointed  members  of  the  Board  of  Directors  have  a  voice  but  no  vote.1.  ExecuPve  Secretary  2.  Membership  Secretary  3.  Treasurer  4.  PRTESOLGRAM  Editor  5.  Webmaster  6.  Sponsorship  Chairperson  7.  Publishers’  Liaison  

B.  The  appointed  members  shall  serve  terms  of  office  as  specified  in  the  Policy  Manual.  C.  The  duPes  of  the  appointed  officers  are  specified  in  the  Policy  Manual.

A.  Vacancies  caused  by  resignaPon  or  declared  so  by  the  Board  of  Directors  should  be  filled  by  this  body  to  complete  the  predecessor’s  year  of  office.  The  vacancy  is  then  submi^ed  once  again  for  the  membership’s  determinaPon  in  the  organizaPon’s  next  electoral  process.  B.  If  the  office  of  the  president  is  vacated,  the  vice-­‐president  shall  assume  posiPon  as  president        and  shall  serve  for  the  remainder  of  that  term  and  the  enPre  succeeding  term.  C.  If  the  posiPon  of  vice-­‐president  is  vacated  before  March  31st,  a  special  elecPon  by  the  membership  will  be  held  to  fill  the  posiPon.  If  the  posiPon  becomes  vacant  acer  March  31st,  it  will  remain  vacant  and  the  posiPon  of  president  will  be  added  to  the  ballot  of  the  upcoming  elecPon.  D.  A  vacancy  may  be  declared  if  a  voPng  member  or  ExecuPve  Board  member  has  three  (3)  absences  in  a  year  whether  or  not  they  are  excused.  E.  A  moPon  to  remove  any  Board  Member  from  office  requires  a  2/3  vote  in  favor  by  the  Board  of  Directors.  

Ar.cle  VIII.  Annual  Elec.on  

A.  ElecPons  will  be  held  yearly  for  the  posiPon  of  vice-­‐president  and  any  other  vacancies  on  the  Board  of  Directors.  B.  Candidates  for  the  posiPon  of  vice-­‐president  must  have  one  (1)  year  of  leadership  experience  in  PRTESOL.  C.  Unless  there  is  a  violaPon  of  the  Bylaws,  the  cerPfied  results  of  the  official  counPng  of  the  ballots  are  final.

B.  Commi^ees  shall  perform  duPes  as  prescribed  in  the  Policy  Manual.  C.  Board  of  Directors  may  establish  Ad  Hoc  Commi^ees.  D.  Commi^ee  membership  and  chairs  shall  cease  according  to  the  period  established  in  the  Policy  Manual.

Ar.cle  X.  Regional  Chapters  

A.  Regional  Chapters  shall  be  composed  of  those  members  of  PRTESOL  who  reside  or  work  in  a  parPcular  region.  B.  Each  chapter  may  accept  members  from  other  local  chapters  who  have  indicated  a  preference  of  affiliaPon  other  than  by  geographical  designaPon,  but  no  member  can  be  affiliated  to  more  than  one  local  chapter.C.  Each  Chapter  shall  abide  by  the  PRTESOL  Bylaws  and  Policy  Manual.  D.  Each  chapter  must  organize  at  least  one  full-­‐day  professional  development  acPvity  to  serve  the  needs  of  its  members,  failure  to  do  so  may  be  cause  for  decerPficaPon  of  the  chapter.  E.  Each  chapter  will  have  an  annual  meePng  at  the  PRTESOL  ConvenPon.F.  Each  chapter  will  have  an  elecPon  for  board  members  at  the  annual  meePng.G.  Each  chapter  will  receive  an  annual  sPpend  to  be  determined  by  the  Board  of  Directors  depending  on  the  availability  of  funds.  

Ar.cle  XI.  Conflict  of  Interest  

A.   Any   member   of   the  Board  of   Directors  who  has  a  financial,   personal,   or   official  interest   in,   or  conflict  (or  appearance  of  a  conflict)  with  any  ma^er  pending  before  the  Board,  of  such  nature  that  it  prevents  or  may  prevent  that  member  from  acPng  on  the  ma^er  in  an  imparPal  manner,  will  offer  to  voluntarily  excuse  him/herself  and  will  refrain  from  discussion  and  voPng  on  said  item.  B.  To  avoid  any  semblance  of  a  possible  conflict  of  interest,  none  of  the  posiPons  of  the  ExecuPve  Board  will  be  occupied  by  mulPple  members  of  a  family  unit,  even  though  they  may  be  PRTESOL  members.  

Ar.cle  XII.  Fiscal  Policies  

A.  The  Fiscal  year  of  the  Board  of  Directors  shall  be  from  January  1  to  December  31.  B.  The  Board  of  Directors  authorizes  the  compensaPon  of  all  services  deemed  necessary  for  the  reasonable  conduct  of  the  OrganizaPon’s  goals.  C.  The  president  and  the  treasurer  are  authorized  to  pay  regular  expenses  that  are  below  the  amount  established  in  the  budget  approved  by  the  Board  of  Directors  each  year.D.  As  the  financial  officer,  the  Treasurer,  pays  all  uncontested  bills  within  thirty  days  of  receipt.  E.  The  membership  may  quesPon  the  expenditures  at  any  regular  or  business  meePng  and  demand  an  accounPng  of  the  finances.  F.  The  membership  dues  will  be  used  exclusively  to  provide  services  to  the  members  such  as:  membership  cards  and/or  cerPficates,  publicaPons,  promoPonal  documents  related  to  professional  development  acPviPes,  elecPon  ballots,  and  any  other  mailings.  G.  An  audited  Financial  Report  will  be  submi^ed  to  the  Board  of  Directors  by  February  28th  of  the  following  year.  H.  The  outgoing  president  and  the  treasurer  will  submit  all  required  reports  concerning  the  Good  Standing  Status  of  PRTESOL,  Department  of  State,  and  Treasury  Department,  or  any  other  document  requested  by  the  State  by  the  established  due  date.

Ar.cle  XIII.  Amendments  

A.  Amendments  to  the  Bylaws  may  be  iniPated  by  a  majority  of  the  Board  of  Directors  or  submi^ed  in  a  pePPon  to  the  Board.  The  membership  secretary  shall  validate  a  pePPon  to  amend  the  Bylaws  if  it  is  signed  by  at  least  twenty-­‐five  members.  B.  To  become  effecPve,  a  proposed  amendment  must  be  raPfied  by  two-­‐thirds  (2/3)  of  the  ballots  received  within  90  days  of  its  mailing.  C.  Amendments  should  not  be  made  within  a  three  (3)  year  Pme  span  from  the  previous  amendment.  

Ar.cle  XIV.  Affilia.on  

A.  PRTESOL  shall  comply  with  the  requirements  of  TESOL  to  retain  affiliate  status  and  enjoy  all  benefits  due  it.  B.  President,  vice-­‐president,  or  immediate  past-­‐president  shall  act  as  representaPves  to  the  TESOL  Affiliate  Council.  The  Board  of  Directors  will  select  alternate  representaPves.  C.  PRTESOL  will  a^ain  affiliate  status  with  the  Central  American  and  Caribbean  Basin  Group.

Ar.cle  XV.  Consulta.ve  Authority  

Robert’s  Rules  of  Order,  latest  ediPon,  shall  govern  the  conduct  at  all  meePngs  to  which  they  are  applicable  and  in  which  they  are  not  inconsistent  with  the  Bylaws.  

Ar.cle  XVI.  Policy  Manual  

The  Board  of  Directors  shall  iniPally  establish  addiPonal  procedures  and  policies  for  the  operaPon  of  PRTESOL,  which  shall  be  referred  to  as  the  PRTESOL  Policy  Manual.  They  shall  be  amended  thereacer  in  accordance  with  the  procedures  established  in  the  Policy  Manual.

Call for Nominations Deadline for submitting nominations is October 25, 2015

Puerto Rico TESOL is seeking outstanding professionals who are willing to become members of the PRTESOL Board of Directors. The nominating committee is in the process of preparing a slate of unique candidates for the 2016 PRTESOL Board of Directors elections. We need your valuable input to identify those dedicated, active PRTESOL members who are capable of assuming leadership positions within our organization at this time. Those elected will serve on the 2016 PRTESOL Board of Directors.

Nominees are needed for the following positions:

Vice-President (Must have at least one year of leadership experience in PRTESOL Board but not necessarily on the PRTESOL Board.) This PRTESOL member is elected for one year, and succeeds to the presidency upon completion of the current president’s term of office. The vice-president has the following additional duties: 1) acts as president whenever the President is absent. 2) assumes the office of the president if it becomes vacant. 3) assists the president in organizing the annual convention. 4) chairs the annual convention program. 5) acts as liaison with regional chapters. 6) Is a voting member of the board of directors. 7) acts as liaison with regional chapters to coordinate their calendar of activities. 8) serves as parliamentarian.

Elementary Education Representative, Secondary Education Representative, Student Representative ( Student Representative Must have a program of 12 undergraduate or 6 graduate credits.)These representatives are elected for two years and have the following duties: 1) represent the interests of the members in their particular professional areas. 2) promote and help organize activities and presentations for their members. 3) assist the membership secretary in promoting PRTESOL among educators and students. 4) participates actively on the PRTESOL Board of Directors and its committees. 5) assists with the PRTESOL Annual Convention, the summer institute, and any other professional activities related to PRTESOL.
