ForMen is an exclusive men fs monthly, which fills a big gap in the Czech magazine market, and also fits perfectly into the portfolio of Mladá fronta .

ForMen readers are serious, successful and ambitious over 35 fs who remain young in sprit, but who have already achieved above average incomes and social standing.

F.O.O.D. magazine covers the whole world of food from basic information and cooking tips to fascinating insights into the world of top gastronomy but also gives readers the opportunity to see the professionals cooking at home.

In F.O.O.D. we also set out on a trip to the past and culinary history with renowned national meals presented step by step, but the magazine also provides the latest news and trends that rock the world of modern cooking.

Every issue of F.O.O.D. takes a luxury culinary journey accompanied by original recipes. Vinný sklípek (Wine cellar) is an expert section that broadens the horizons of food and drink lovers. We provide an almost exhausting amount of information about wines from the world as well as domestic wines, including detailed information about their producers or importers.

With regard to the universal topic, which food definitely is, the increasing popularity of world cuisines in the Czech Republic means that recipes and information about „cosmopolitan“ cuisines and cooking techniques form an integral part of the magazine. Nevertheless, F.O.O.D. magazine also returns to the traditional Czech cuisine, to discover forgotten figures of national gastronomy, and to provide delicious traditional family recipes we can really be proud of and that have not yet been affected by „Commercial Mass Catering“. First published in September 2001, maminka (Mother) quickly became a market leader, attracting women of all age groups. Women who only just decided to start a family but, and also those who already somehow struggled with maternity and parenthood. maminka continues to be one of the strongest titles in this important and growing sector.

Sluníčko (Little sun) is one of the few magazines in the Czech market that have been published for more than 40 years without any interruption. Parents, who used to read it when they were young, buy it for their children. The magazine is intended for (non-)readers from four to seven years of age. Despite the magazine’s long tradition, it is still modern, both with its graphics and with the content – it always offers something new to its readers.

The main idea of Sluníčko is to amuse the children and teach them something; the magazine uses children’s natural curiosity and desire to learn new things. Therefore, besides amusing reading, it contains many riddles, clues, brain teasers, colouring sheets, cut-outs and many other tasks. The readers are guided through the entire magazine by cheerful animals.

Popular sections: Fairy tales, comics, poems – children achieve their first reading successes with texts in Sluníčko, especially thanks to tasks contained in the texts (looking for suitable words or rhymes, colouring of illustrations etc.).

School for little children – Pupík, the doggy, and Líza, the kitty, will teach the children how to draw, write and count.

Cut-outs – readers create their own toys from paper.

Animal section – interesting information from the world of animals + funny riddles.

Pupík, the handyman – guides, games, recipes and other great tips not to get bored.

As the oldest magazine still in circulation on the market, Mateřídouška has always changed with the times and thanks to that it is still one of the best-selling titles for children for children from 7 to 12 years of age. Despite foreign inspired competition Mateřídouška remains a firm favourite with Czech children and parents alike.

The magazine has a design and layout that allows children work with the magazine themselves, but it is also widely used by schools to enrich the teaching process.

Mateřídouška teaches children new things in an amusing way. The readers learn interesting facts from the world of animals and dinosaurs, which they really love; they travel in the Czech Republic as well as abroad, reveal secrets of science and technologies, and amuse themselves while doing funny tasks that train their perception.

Mateřídouška is full of Jokes and competitions for interesting prizes, the series of Detective Inspector Vrťapka is a firm favourite , as are popular comics and short stories, Sportmania, Ája’s notice board – place for great ideas and invitations, interesting facts from the world of people and animals.

The magazine includes a cardboard supplement that usually contains cut-outs, cards, pairs or board games.

The magazine Computer is an original Czech biweekly that has been focusing (not only) on the world of computers since 1994. On at least 100 pages it provides the readers with product reviews and extensive comparison tests, follows new trends in IT and shows the direction of future development. Besides, it offers particular and guaranteed tips for computer users, but also deals with social networks or smartphones. The magazine DIGIfoto (Digital Photo) is the most extensive Czech photo-magazine. It has been published for eight years already as a monthly in a rich format of 132 pages. The magazine Jak na počítač (How to master a computer) is a monthly for all general computer users. Therefore, emphasis is always put mainly on comprehensibility. Articles are written by established authors, and the editors also actively react to questions and suggestions of the magazine’s readers, who are, therefore, very loyal to the magazine.

Jak na počítač also includes purchasing tips and short introductions of selected new products. Every issue also features a user manual for complete mastering of particular programme, which can be pulled out by the reader and kept. But due to considerable interest in the binders with the design of Jak na počítač we know that the readers mostly keep the entire magazine. The magazine is regularly accompanied by a CD with more manuals and useful software with easy installation. Four times a year, the CD is replaced by a much larger DVD.

Who are the readers of Jak na počítač?

The readers of Jak na počítač include people who are still in the process of becoming familiar with computers, or for whom the computer is a tool they have to master at work. The magazine REALIT is a specialized magazine providing an overview of current events in the real estate market, both in the Czech Republic and abroad. It brings information from all segments of the real estate market and deals with residential projects, commercial real estates as well as with information about the investment market not only in the Czech Republic.

The magazine has been cooperating with real estate agents, investors and developers for 17 years already. The exclusive professional magazine Postgraduální medicína (Postgraduate medicine) was first published in 1999 and is conceived as the source of information for continuous life-long education of doctors.

The goal of Postgraduální medicína is to provide doctors in outpatient offices and hospitals as well as medical students with access to up-to-date medical information, presented in a clear and comprehensible form.

The magazine has two main parts: one consists of regular as well as occasional sections and the other is monothematic. The regular sections provide news and articles from fundamental clinical fields; the occasional sections then bring articles from smaller fields or from the areas of basic and applied biomedical research, provided they have, or will presumably have, significant impact on clinical practice. The regular sections also include news from pharmacology and preventive medicine, as well as summaries of selected papers from top medical magazines. The monothematic part, Focus, deals in detail with selected topics and comprises several contributions.

From 2000, the magazine Postgraduální medicína has also included a test incorporated in the system of continuous education of the Czech Medical Chamber, which relates to the topic presented in Focus and is evaluated with 10 credit points.

TECHNICAL SPECIFICATIONS

Advertisements for magazines of the publishing house Mladá fronta are accepted in electronic form only. The documents must always be accompanied by a colour proof copy (chemical or digital), or a printout from a colour printer. If the colour proof copy is not submitted, the publisher shall not be liable for colour mismatches of the printed advertisement. In case of absence of the proof copy or at least the printout, we cannot guarantee correct form of the printed advertisement.

FINALIZED DOCUMENTS READY FOR PRINTING

PDFPDF documents must be created by the program Acrobat Distiller from a composite (not pre-separated) postscript file set for maximum printing quality – inserted bitmap images in resolution of 300 dpi at the minimum, without compression or downsampling. In the document, fonts must be inserted by a postscript driver (or converted into curves) and all used colours must be in the CMYK mode. PDF files generated directly by DTP applications cannot be used. Detailed description of the settings can be found at http://www.mf.cz/podklady.html.

ILLUSTRATOR EPSEPS documents (Encapsulated PostScript) must contain only colours in the CMYK mode and all used fonts must be converted into curves. The document must be saved with a preview in TIFF format (8bit).

BITMAP IMAGES – TIFF, PHOTOSHOP EPS, JPGBitmap documents must be saved in the CMYK colour mode (in case of RGB the publisher shall not be liable for colour mismatches of the advertisement), in resolution of 300 dpi at the minimum; if fonts are used, especially in smaller sizes, resolution of 600 dpi at the minimum is recommended.

TIFF files can be saved only with LZW compression or without compression. Black and white advertisements can be saved in the gray-scale mode, line blocks can be saved in bitmap (1bit) mode in resolution of 600 dpi at the minimum.

EPS files must be saved as single files, without compression, in binary mode if possible.

JPG files must be saved in maximum quality, i.e. with the lowest possible compression.

5 mm for cropping must be added to bleed advertisements; titles with V2 binding must have a bleed in the spine as well. When submitting any advertisements, crop marks must be placed directly on the required actual format of the advertisement (this also applies to atypical advertisements).In case of V2 binding, the second and third cover page and the first and last inside page must take into account reduction of the page width by

4 mm from the spine; this distance is necessary for gluing of the inside pages into the cover.In case of double-page spreads (2/1), each page must be submitted as a separate document, except for the front double-page spread in magazines with V1 binding.

DOCUMENTS PROCESSED IN OUR STUDIO

We prepare advertisements for our clients only upon previous agreement. In such case, source documents must be submitted to our studio at least 5 working days before the advertising closing date.

SOURCE DOCUMENTS

All texts must be submitted exclusively in the electronic form in .RTF, or possibly .DOC (Microsoft Word) format for Windows or MacOS. It is assumed that the submitted texts are complete, correct and without mistakes or typos.

Images and graphics are subject to the same technical requirements as finalized documents. CDR files (Corel Draw) can be accepted only upon agreement with our studio, and they are subject to the same requirements as Illustrator EPS files.

If the use of specific font is required, this font needs to be submitted with the source documents (format Type1, or possibly TrueType for Windows).

Advertisement order must be submitted together with a draft of advertisement layout, or possibly a preview in electronic form (for example, JPG, TIFF, PDF or in any other common electronic format for Windows or MacOS).

In case of rather complex retouching or electronic photomontages, customers may be charged additional costs, the amount of which shall be specified in advance.

SUBMITTING OF SOURCE DOCUMENTS

E-MAILDocuments up to the total size of 10 MB may be sent via email. The attachments should be compressed in ZIP format (for example by WinZip) or by StuffIt programme as a protection against data corruption. Name the files with the name of the advertisement/product, and possibly also with the name and issue of the magazine it is intended for. State the same in the email’s subject line.

MÉDIASource documents for advertisements can be submitted on CD-R/CD-RW media with capacity up to 700 MB.

The ad vertiser shall be fully liable for correctness and flawlessness of the submitted source documents as well as of the advertisement content.

It has been a long time since advertising pages were perceived as necessary “evil” accompanying magazines and degrading their content. Now it works the other way round. Not only do readers perceive the advertisements that are targeted at them, but they also follow it quite often. Nevertheless, they also want “their magazine” to contain what they bought it for. Readers are the magazine’s priority. And it is in the best interest of its editors and creators to produce such a product that would address as many readers as possible.The second interest, this time the publisher’s, is to have the pages paid for by adequate advertisements that would be aimed at the same target group for which the product (magazine) is intended for. From the contradiction between advertising, which “gains” money, and editorial texts, which “gain” readers, it does not follow that a magazine without advertisements is good and, on the other hand, a magazine full of advertisements is bad. This everlasting struggle implies that these two magazine components cannot be mixed by any means. In other words: if readers do not know whether they are currently reading an editorial text or an advertisement in their magazine, they will lose their trust in the material as well as in the magazine as such. They will stop buying it. Similarly, they will lose their trust in editorial materials, which make them think they were influenced by advertising, or even directly created by advertisers.The following directives are elaborated on the grounds of internationally effective rules for publishing of advertisements and special advertising supplements by the American Society of Magazine Editors. They were updated several times and represent the high standard of journalistic profession.

Rules for editorial pages1. Editorial pages are the magazine’s clearly pre-defined pages and the editor-in-chief or editor is fully responsible for their content.2. The character of editorial pages, i.e. placement of texts and illustrations, or their design, should make them clearly distinguishable from advertising pages at first sight.3. Editors-in-chief bear full responsibility that the editorial pages do not contain any references that might be considered as advertisements by the readers.4. The so-called editorial support, when advertising clients directly request processing of a text on any editorial page, or even process the text themselves, is not possible.5. The editorial pages may not follow the advertising pages in any way that would indicate support of the advertised products or services. Similarly, no advertiser’s name or logo may appear on any editorial page in the sense of sponsoring of such pages, and no editorial pages may be marked as “sponsored” or “brought to you” by any advertiser.

Rules applicable for advertising pages1. Any advertising page containing any text or design of editorial nature must be clearly marked with the word “inzerce” (advertisement) horizontally in the middle, or close to the middle, of the top of the page, in capitals with a font size of at least 10 points.2. Arrangement, design and font type of advertising pages must be clearly distinguishable from general arrangement, design and font type of editorial pages.

3. No advertisement or commercial supplement shall be promoted on the magazine’s first cover or included in the list of contents.4. Neither the magazine’s name, nor its logo shall appear on any advertising page.5. If the advertisement contains more than 50 % of text, the editorial board reserves the right not to publish such an advertisement.6. In order for the magazine’s editor-in-chief to be able to check observance of the directives, advertising pages must be submitted to him/her well in advance.

Rules applicable for advertising pagesCommercial supplement is a set of advertising pages with a common topic. It is accompanied by text or editorial material from a different source, which is in accordance with this topic.

1. Every page of the commercial supplement must be clearly and distinctly marked as information paid by advertisers.

2. The commercial supplement must be clearly and distinctly marked in the following way:a) The words “inzerce” (advertisement) or “komerční projekt” (commercial project) must appear horizontally in the middle, or close to the middle, of the top of every page of such supplement, in capitals with a font size of at least 10 points.b) Arrangement, design and font type of such supplements must be clearly distinguishable from general arrangement, design and font type of editorial pages.c) Commercial supplements shall not be mentioned on the magazine’s cover or included in the list of contents.d) If the supplement sponsor or organiser is not the publisher, the sponsor must be clearly marked.

3. Editors’ names and titles must not appear in the commercial supplement or be connected with the supplement; the same applies to names and titles of any other editorial team members or regular correspondents. Neither the magazine’s name, nor its logo may appear in the titles or texts of such supplements.4. Editors and other editorial team members must not and shall not prepare advertising supplements for their own magazines, for other magazines in their field, or for advertisers in the fields they cover.5. In order for the magazine’s editor-in-chief to be able to check observance of these directives, materials for special advertising supplements must be submitted to him/her well in advance. Checking of the text of the advertising supplement before publishing should concern factual errors, misinterpretations, general taste, and compliance with all applicable laws.6. In order to avoid potential conflicts or interference with editorial texts, the publisher shall inform the editors well in advance about his/her intention to publish commercial supplements.7. The size and number of commercial supplements within one issue must not be disproportional with regard to the size and character of the magazine.

(HEREINAFTER “GENERAL TERMS AND CONDITIONS”)

A. Printed Periodicals

1 Scope1.1. The General terms and conditions regu-

late contractual relations between the party ordering advertisements and com-mercial supplements (hereinafter the “or-dering party”) and the company Mladá fronta a. s., company reg. No.: 49240315, based in Prague 4-Modřany, Mezi Vodami 1952/9, zip code 143 00, registered with the Municipal Court in Prague, Commer-cial Register, section B, file 1988 (herein-after the “publishing house”) in publishing of advertisements and commercial sup-plements in periodicals published by the publishing house Mladá fronta a. s. (here-inafter “periodicals”)

1.2. The advertisement stands for information from a person other than the publishing house, which is not an editorial text, pub-lished in periodicals for payment or any other consideration. The commercial sup-plement stands for an external supplement from a person other than the publishing house, which is not an editorial text, pub-lished in periodicals for payment or any other consideration. Advertisements and commercial supplements are hereinafter referred to together as “advertisement”.

1.3. The General terms and conditions include current pricelists of the publishing house, Technical specifications, and Rules for ed-itorial and advertising pages and special advertising supplements of the publish-ing house, all of which are available at the publishing house’s website www.mf.cz.

2. Order and Its Confirmation2.1. The publishing house accepts advertise-

ments based on a written ad hoc order from the advertiser, or based on orders within the concluded general contract, or based on a written ad hoc contract with the advertiser (hereinafter the “ordering party”); orders sent via fax or email shall also be considered written orders.

2.2. The order shall contain all necessary re-quirements concerning the ordering party; in case of legal entities these shall include the company name, place of business, in-voicing address (if different from the place of business), company reg. No., VAT No., bank account details, name, position and signature of authorized representative of

the ordering party, and a contact person including telephone number and email address; in case of natural persons these shall include the first name, last name, personal identification number or date of birth, residence, correspondence address (if different from the residence), bank account details, and signature; in case of natural persons running the business on the basis of a trade certificate or any other certification of entrepreneurship, these shall also include the place of busi-ness and company registration number, if assigned. The order shall also contain all necessary requirements concerning the advertisement, i.e. the periodical the ad-vertisement is intended for, advertisement type (space advertisement, classified ad, commercial supplement), advertisement name (for example, by describing the subject of the advertisement) and other details regarding the order (for example, date of publication, number of repetitions, specific placement, section, mark, colour), and the method of submitting of source documents. If the ordering party is a per-son mediating advertisement publication for a third party, the order shall also con-tain information about this third party (ac-cording to the specifications above), and the information whether the price for the advertisement is to be paid by the order-ing party, or by the third party.

2.3. The order is issued in two copies. The ordering party and the publishing house shall receive one copy each.

2.4. Upon confirmation of the order a contract on advertising is concluded between the publishing house and the ordering party. Confirmation of the order is understood as its confirmation by the publishing house’s authorized employee in written directly on the order, or as a confirmation of the order via fax or email. If the order is not confirmed by the publishing house and in spite of that the advertisement is published, the date of advertisement pub-lication shall be considered the date of conclusion of the contract.

3. Documents for Advertisement Publication3.1. The ordering party shall submit to the

publishing house all source documents necessary for advertisement publication (see Technical specifications, Rules for ed-

itorial and advertising pages and special advertising supplements concerning the publishing house’s periodicals, or the val-id pricelist), by the deadline specified by the publishing house, and if no deadline is specified, then without undue delay after confirmation of the order. If the submitted documents are incomplete or erroneous, the ordering party shall submit complete and correct documents upon the publish-ing house’s appeal, and without undue de-lay after this appeal, by the deadline spec-ified by the publishing house at the latest. If the ordering party insists on the use of incomplete or erroneous documents, the publishing house shall not be liable for any potential imperfections of the published advertisement caused by incomplete or erroneous documents, and it shall have the right to withdraw from the contract and shall be entitled to cancellation fees in accordance with the current pricelist.

3.2. Models of the commercial supplements in their final layout shall be properly and timely submitted to the publishing house for approval in a printed or electronic form. In case of violation of this obligation the publishing house shall have the right to refuse their inserting.

3.3. If the ordering party is in delay with sub-mitting of complete and correct docu-ments, the publishing house shall have the right to claim compensation for incurred loss from the ordering party, or to with-draw from the contract on advertising.

3.4. If the ordering party is submitting ready documents, they shall be submitted in their final graphic design. Unless agreed otherwise, second and all other modifica-tions of the originally submitted adver-tisement shall be charged with an amount corresponding to 3% of the invoiced price, but at least with the amount of 500 CZK.

3.5. All documents submitted by the ordering party for advertisement publication shall be returned by the publishing house only upon express written request. The pub-lishing house shall not be obliged to ar-chive these documents.

3.6. The ordering party shall be responsible for correctness of the advertisement content as well as for the fact that it complies with legal regulations and does not infringe rights of any third party. If any third party makes a claim from the advertisement

publication, the ordering party shall be obliged to meet such a claim.

4. General Contract4.1. If the ordering party intends to publish

advertisements in certain extent or finan-cial volume during certain period of time, the ordering party may conclude with the publishing house a general contract on publishing of advertisements in pre-arranged amount, entitling the ordering party to certain discounts. The general contract may be concluded for a period of 12 months at the maximum and shall be concluded in written.

4.2. The general contract shall contain a fixed period of time, during which advertise-ments of given extent or financial volume are to be published, with resulting dis-counts, periodical(s), in which the adver-tisements are to be published, and other potential arrangements.

4.3. Upon agreement of both parties, the gen-eral contract may include advertisements published in the period of 12 months be-fore the end of effect of the general con-tract, provided that such advertisements were properly and timely paid for. The condition is that the price of this previous advertising was lower than 50% of the to-tal volume of advertising specified by the general contract. If, due to inclusion of the already published advertisements into the general contract pursuant to this section, the ordering party is entitled to a discount from the price of this advertisement, such discount shall be payable only after the end of effect of the general contract, and sooner only provided that the volume of advertisements assumed by the general contract has already been used up.

4.4. Publication of advertisements within the general contract shall also be based on in-dividual orders.

4.5. Discounts resulting from the general con-tract shall be granted only in case the advertisements in the agreed extent are properly and timely paid within the speci-fied period of time in accordance with the current pricelist (unless any other price is specified). Otherwise, the entitlement to the agreed discount shall expire.

4.6. The extent agreed in the general contract may be, even repeatedly, increased upon mutual agreement. If in this way the or-

dering party becomes entitled to a higher discount than is the agreed discount in the general contract, the resulting financial compensation will be settled in the form of a credit note issued by the publishing house without undue delay after the term of the general contract.

4.7. If during the specified period of time ad-vertisements were not published in the agreed extent by reasons beyond the pub-lishing house’s responsibility, the ordering party shall pay to the publishing house the difference between the price of the agreed extent and the actually published extent of advertisements. This difference will be reduced by discounts for the actu-ally published portion of the financial vol-ume of the advertisements.

5. Advertisement Publication5.1. The publishing house shall send texts for

proofreading to the ordering party only upon express written request, and only when this is possible with regard to avail-able time. If the ordering party does not submit their comments on the texts for proofreading by the deadline specified by the publishing house, the texts shall be considered as approved.

5.2. If the ordering party does not order a spe-cific type, format, placement, or date of publication, the choice shall be considered as passed onto the publishing house, and the ordering party shall pay the price of the actually published advertisement. The publishing house shall then publish the advertisement at its own discretion with regard to current capabilities of given pe-riodical.

5.3. If the advertisement is to be published on particular date with particular placement, the order with such requirements shall be submitted to the publishing house in a timely manner, so that the publishing house is able to publish the advertisement in accordance with these requirements.

5.4. If the ordering party requests specific placement of the advertisement, the pub-lishing house shall have the right to state the date of publishing of the advertise-ment, so that the publishing house is able to publish the advertisement at this loca-tion.

5.5. If the ordering party orders the adver-tisement in a format that does not cor-

responds with dimensions of the typeset-ting area, with division of the page into columns, or in a format that cannot be published in given periodical by any other reasons, the publishing house shall adjust the advertisement to the closest similar format of the standard formats of given periodical.

5.6. The publishing house shall reserve the right to mark the advertisements with the words COMMERCIAL PRESENTA-TION, ADVERTISEMENT, or in any similar way, and with an assigned advertisement number.

5.7. The publishing house shall not be liable for any loss incurred by the ordering party due to non-fulfilment of its obligation, provided the causes of non-fulfilment of the obligation by the publishing house are caused without its fault.

5.8. The publishing house shall guarantee reg-ular print quality according to the technol-ogy used for particular periodicals, and depending on the quality of source docu-ments submitted by the ordering party.

6. Advertisement Prices6.1. Advertisement prices in individual peri-

odicals are specified in detail in current pricelists. The pricelists contain base prices without potential discounts or sur-charges. The pricelists contain base prices without value added tax.

6.2. A special pricelist is designed for non-commercial texts. The judgment of wheth-er the advertisement is of commercial or non-commercial nature shall be exclusive-ly up to the publishing house.

6.3. Prices for inserted advertisements or in-serting of sample products shall be cal-culated individually, according to the ordering party’s requirements and upon consultation with the producer of particu-lar periodical.

6.4. The publishing house shall have the right to request advance payment towards the price of the advertisement before its pub-lication, up to 100% of the price of the advertisement. If the ordering party is ad-vertising in titles published by the publish-ing house for the first time, or if their last advertisement in these titles was ordered more than 24 months ago, their first order shall always be published upon advance payment only.

6.5. If there arises reasonable doubt about sol-vency of the ordering party, and the re-quested advance payment is not ensured, the publishing house shall reserve the right to refuse the advertisement without further publication, or to withdraw from the already concluded contract.

7. Payment Terms7.1. The ordering party shall pay the price of

the advertisement including VAT (here-inafter “advertisement price”) on the grounds of the tax document – invoice issued by the publishing house. The pub-lishing house shall issue the tax document – invoice within 15 days from the date of taxable supply at the latest. The ordering party shall pay the advertisement price via direct bank transfer to the account of the publishing house, or in cash, within 14 days from the date of issue of the tax document – invoice, unless different pay-ment deadline is specified in particular case, but always within 30 days from (the first) publication of the advertisement at the latest. If expressly requested, the pub-lishing house shall send a confirmation of advertisement publication, along with the invoice, to the ordering party. According to the type and extent of the order, rel-evant clippings, pages, or full issues shall be provided to the ordering party. If such documents cannot be arranged, the or-dering party shall receive a confirmation of advertisement publication in the elec-tronic form from the publishing house.

7.2. The obligation to pay the advertisement price, which is being carried out via bank transfer, shall be considered as fulfilled at the moment of crediting of the amount corresponding to the advertisement price to the publishing house’s account.

7.3. If the ordering party is in default with pay-ment of the advertisement price, the or-dering party shall pay default interest in the amount of 0.05% of the due amount for every day of default.

7.4. If the ordering party is in default with payment of the advertisement price, the publishing house shall have the right to suspend accepting of new orders from the ordering party, i.e. concluding of contracts on advertising with the ordering party or publishing of new advertisements ordered by the ordering party, until the payment of the advertisement price, which the order-ing party is in default with, is fully settled.

7.5. The ordering party shall pay the advertise-ment price also in cases when the ordering party has informed the publishing house about errors in the published advertise-ment and makes a claim for errors. If the publishing house consequently admits the errors in the advertisement and provides

the ordering party with a discount from the advertisement price, the publishing house shall return to the ordering party the financial amount corresponding with the amount of discount from the adver-tisement price.

7.6. In cases when the ordering party (espe-cially an advertising or media agency) or-ders advertisements for third parties, the amounts of advertisements for such third parties may not be added up together in order to reach higher discounts.

7.7. Discounts from advertisement prices shall be granted by the publishing house in ac-cordance with these General terms and conditions, or upon mutual agreement between the publishing house and the or-dering party.

7.8. If the ordering party is entitled, accord-ing to the order or contract, to a discount from the advertisement price, but gets in default with payment of the advertise-ment price, the ordering party’s entitle-ment to such discount shall expire on the first day of default without any further entitlement, and the ordering party shall pay the advertisement price in full (i.e. ad-ditional invoicing of the remaining price up to the total advertisement price prior to granting of the discount).

7.9. The publishing house shall notify the or-dering parties, with whom the publishing house has concluded a general contract pursuant to section 4 of the General terms and conditions, of any potential changes in the current pricelists, always at least one month prior to the date when such changes come into force. If the publishing house does not meet this term, prices ac-cording to the original pricelist shall apply for the ordering party for the period of one month from the date of change in the pricelist.

8. Withdrawal from the Contract on Adver-tising, Cancellation Fees

8.1. The ordering party shall have the right to withdraw from the contract on advertis-ing or cancel the already confirmed order (hereinafter “withdrawal from the con-tract”).

8.2. Withdrawal from the contract on advertis-ing shall be done in the form of a written notice of withdrawal that shall be submit-ted to the publishing house in the way specified for placement of an order. With-drawal from the contract shall not be valid without written confirmation of its receipt by the publishing house.

8.3. If the ordering party withdraws from the contract on advertising after receipt of an order by the publishing house, the pub-lishing house shall have the right to claim a cancellation fee. If the ordering party

withdraws from the contract on advertis-ing 4 weeks prior to advertisement pub-lication, the ordering party shall pay the advertisement price in full. If the ordering party withdraws from the contract on ad-vertising 6 weeks prior to advertisement publication, the ordering party shall pay 50% of the amount of the advertisement price.

8.4. In case of withdrawal from the contract, the publishing house shall have the right to claim returning of quantity discounts for multiple placements or quantity dis-counts for the ordered amount of adver-tisements, the ordering party’s right for which shall expire with the withdrawal from the contract. The publishing house shall also have the right to claim payment of cost incurred in connection with the withdrawal from the contract from the or-dering party.

8.5. The publishing house shall also have the right to claim a cancellation fee in case of late delivery or non-delivery of advertise-ment source documents in the amount of 100%.

9. Right to Refuse an Advertisement9.1. The publishing house shall have the right

to refuse an order, or to withdraw from the already concluded contract, if the content or form of the advertisement does not comply with legal regulations or rights of any third person, or if the advertisement harms the good repute of the publishing house or interferes with the business plan or any other interests of the publishing house. The publishing house shall not be obliged to justify the refusal of such an or-der to the ordering party; the publishing house shall only notify the ordering party about the refusal, in written and without undue delay after learning this fact.

9.2. The publishing house shall not be liable for any potential loss incurred by the ordering party due to refusal of an order, or due to withdrawal from the contract on advertis-ing, by reasons stated in section 9.1.

10. Claims, Liability for Defects10.1. The publishing house shall be liable to the

ordering party only for proved defects of the advertisement, and only in cases the contract was significantly breached. Un-less agreed otherwise by the parties, the ordering party shall only have the right to claim repeated publication of the correct-ed advertisement. If the ordering party does not make this claim in written with the publishing house within 14 days from the advertisement publication at the lat-est, this right shall expire.

10.2. If an advertisement with the same con-tent is published repeatedly, the order-

ing party shall check its correctness and completeness immediately after its first publication. The publishing house shall not bear the responsibility in cases, when the same defect appears in a repeatedly published advertisement without the pub-lishing house being notified about such a defect immediately after the first publica-tion (within three days at the latest).

10.3. The ordering party shall take into account that the publishing house shall not be li-able for a variation in size of the printed advertisement within 0.5% of the request-ed size occurring due to the technological process used to print the periodical. The publishing house shall also not be liable for a technological defect in publishing of the advertisement causing defectiveness in less than 1% of printing of particular advertisement, or a missing insert in less than 1% of the ordered number of inserts in particular issue. Shortcomings in per-formance in the above-mentioned extent shall not be considered as defective per-formance and may not be the subject of a claim.

10.4. In case of intervention of force majeure, the publishing house shall be relieved from the responsibility to meet liabilities and provide compensations for incurred loss.

10.5. Due to serious operational reasons, the publishing house shall reserve the right not to meet the ordered and confirmed advertisement placement or date of pub-lication. In such a case, the publishing house shall not invoice the relevant sur-charge. The ordering party shall not have the right to claim compensation.

11. Confidentiality11.1. The publishing house and the ordering

party shall maintain confidentiality about all facts they learned in connection with the advertisement order, in connection with fulfilment of obligations arising from their mutual contractual relation, as well as about other facts relating to any of the parties, they learn about on the grounds of positions of the business partners. The publishing house and the ordering party shall also maintain confidentiality about the above-mentioned facts after termi-nation of the contractual relation, as well as in cases the order, the contract, or any part thereof, is or shall be found invalid or ineffective.

11.2. The publishing house and the ordering party shall be responsible for maintenance of confidentiality within the meaning of the previous section also in all persons who, through them, come into contact with the above-mentioned facts in any way, and above all in persons who learn

the above-mentioned facts within fulfil-ment of contractual obligations of any of the parties, i.e. mainly the employees and persons used by any of the parties to fulfil their contractual obligations.

12. Protection of Personal Data, Commercial Communication

12.1. The ordering party shall provide the publishing house, pursuant to Act No. 101/2000 Coll., on the Protection of Per-sonal Data, as amended, with express con-sent with processing of its personal data, in the extent of the company name/first name and last name, address/residence, telephone number, and email, provided to the publishing house within the contractu-al relation for marketing purposes, i.e., for example, to offer business and services, until such consent is cancelled in written.

12.2. The ordering party shall confirm that they have been informed by the publishing house, as the administrator or the person-al data, about all rights arising from the Act No. 101/2000 Coll., on the Protection of Personal Data, as amended, i.e. mainly about the fact that provision of this data is voluntary, that they have right to access the data, as well as about other rights aris-ing from this Act. The ordering party shall take into account that they may cancel this consent at any time.

12.3. The publishing house shall hereby inform the ordering party about their rights aris-ing from the Act No. 101/2000 Coll., on the Protection of Personal Data, as amended, i.e. mainly about the fact that provision of this personal data is voluntary; that the person providing its personal data has the right to access it; that the person provid-ing its personal data may refer to the Of-fice for Personal Data Protection based in Prague, Pplk. Sochora 27, zip code 170 00, if they find out that Mladá fronta breaches its duties arising from this Act; and the ordering party shall also have the right to request blocking, correction, adding or disposal of their personal data, free of charge.

12.4. The ordering party shall also agree, within the meaning of Section 7 of the Act No. 480/2004 Coll., on Certain Information Society Services, as amended, with send-ing of commercial communication via all electronic means. The ordering party shall be aware that they may cancel their consent with sending of commercial com-munication and emails for the purpose of direct marketing at any time by written notification to the address of Mladá fron-ta.

13. Final Provisions13.1. If any different provisions are specified in

the order or in the contract, they shall take precedence over the text of the General Terms and Conditions.

13.2. Legal relations that are not regulated by the General Terms and Conditions, the order, or the contract, shall be regulated by Czech law, especially by the Act No. 513/1991 Coll., the Commercial Code, as amended.

13.3. For potential lawsuits in business matters between the publishing house and the or-dering party, the parties have agreed on the court of local competence according to the place of business of the publishing house.

13.4. The publishing house shall have the right to change the General Terms and Condi-tions at any time. Complete and updated wording of the General Terms and Con-ditions is available at the website of the publishing house at www.mf.cz. If the ordering party does not show express written disagreement with the changes in provisions of the General Terms and Conditions within 30 days from publish-ing of the complete and updated wording of the General Terms and Conditions, the new wording of the General Terms and Conditions shall become binding for the concluded contractual relation as a modi-fication of the originally concluded condi-tions of the contractual relation, with ef-fect from the date of publishing.

B. Electronic Media

1. Scope1.1. The General Terms and Conditions also

regulate contractual relations between the ordering party ordering an advertisement (hereinafter “Internet advertisement”) at the websites currently operated by the publishing house (hereinafter “websites”).

1.2. Provisions of part B Electronic Media of the General Terms and Conditions shall be primarily used for Internet advertise-ments. If the relevant matter is not regu-lated in part B of the General Terms and Conditions, part A of the General Terms and Conditions shall be used for Internet advertisements as well.

1.3. Internet advertising is understood as pro-vision of advertising space for presenta-tion of commercial information of third parties and other advertising elements, mainly in the form of advertising banners and links to websites, for payment or any other consideration.

1.4. The General Terms and Conditions include currently valid pricelists of Internet adver-tisements.

2. Monitoring of Advertisements2.1. The information about the number of visi-

tors of the website, where the Internet ad-vertisement is published, is audited by the independent auditor NetMonitor.

2.2. The publishing house shall provide the ordering party with free access into the on-line advertising system displaying sta-tistics of the number of impressions, click-through rate, and effectiveness of their Internet advertising.

3. Documents for Advertisement Publication3.1. The ordering party shall send an order

of the Internet advertisement at least 5 working days and source documents for publication of the Internet advertisement at least 2 days prior to the requested first day of publication of the Internet adver-tisement.

3.2. The source documents shall be sent in the electronic form (Gif, Flash, HTML or JPG with the size of max. 40 kB), so that the publishing house may use them without any further qualitative, formal, or content-related modifications.

3.3. The publishing house shall have the right to notify the ordering party about er-roneous documents. In such a case, the ordering party shall be obliged to submit corrected documents to replace these er-roneous documents. The publishing house shall not be liable for erroneous docu-ments or late publication of the Internet advertisement due to violation of the obli-gations arising from the previous sections by the ordering party.

4. Payment Terms4.1. The date of taxable supply is understood

as the last day of publication of the In-ternet advertisement. If the Internet ad-vertisement is published for a period of several calendar months, invoicing shall be performed partially; only the amount for the actually implemented part of the Internet advertisement shall be invoiced every calendar month, and the date of taxable supply for such a part shall be the last day in the current month of publica-tion of the Internet advertisement and the last day of publication of the Internet ad-vertisement in the last month of publica-tion of the Internet advertisement.

5. Claims5.1. If the publishing house does not meet the

number of impressions guaranteed by the order, the ordering party shall be entitled to claim a discount or indemnification. The ordering party shall be obliged to make such a claim in written, 3 working days at the latest from the last day of publication of the Internet advertisement.

5.2. Output data from the online advertising system of the publishing house shall be

decisive when assessing the entitlement to such a discount/indemnification.

5.3. If the ordering party properly makes a jus-tified claim for indemnification with the publishing house, the publishing house shall grant indemnification in the amount of 1.15-fold of the remaining number of im-pressions.

5.4. Unless agreed otherwise by the parties, the compensation shall be settled im-mediately after the receipt of the proper claim.

5.5. If the ordering party properly makes a justified claim for a discount from the In-ternet advertisement price with the pub-lishing house, the discount shall be deter-mined on the grounds of the proportion between the actually implemented and the ordered number of impressions. The amount corresponding with this discount shall be paid by the publishing house to the ordering party in the form of a credit note.

These General Terms and Conditions come into force on January 1, 2010.
