Cincinnati, OH based Multi-ColorCorporation is a premier globalresource of innovative decoratingsolutions and packaging services toconsumer product and food andbeverage companies, nationalretailers, and container manufac-turers worldwide. Multi-Color is theworld’s largest producer of both in-mold labels (IML) and heattransfer labels (HTL), and a majormanufacturer of high-end cut andstack and pressure-sensitive labels,and shrink sleeves. The Company’sPackaging Services Division, Quick Pak, is a leading provider ofpromotional packaging, assembly,and fulfillment services. Multi-Colorhas nine manufacturing locations inthe United States. Its products areshipped to more than 650customers in the United States,Canada, Mexico, and Central andSouth America.

Pressure-Sensitive Labels The largest category in the overall label market becauseof their simple self-adhesive qualities, pressure-sensitive labels offer Multi-Color significant growthopportunities. We innovate the category by addingcompelling marketing features like peel and reseallabels, promotional peel-away coupon capabilities, and clear films.

Cut & StackOur most recent decorating technology acquisition,cut and stack paper and film labels are applied toglass, plastic and metal containers. They are acost-effective solution for high-volume food andbeverage products, and the label of choice forglass and plastic beer bottles the world over.

In-Mold Labels (IML) As the inventor of IMLs for blow molded andinjection molded containers, Multi-Color is theleader in technology and market share. IMLs are placed into the container mold in line, making them one with the container. We continue to lead in the category by addingstronger, lighter weight substrates, peel-awaycoupons, and other innovative features.

Heat Transfer Labels (HTL) Multi-Color is the market leader in this labelcategory. By transferring ink directly onto thecontainer surface by heat and pressure, HTL’s“no label” look offers customers limitlessdecorating approaches and vivid imagery. Heattransfer applications are desirable for many health and beauty, food and beverage, and homecare products.

Shrink Sleeves Shrink sleeve’s growing popularity is evident in food and beverage and health and beauty productpackaging where 360-degree brand appeal is amarketing advantage. Produced as sleeves, thesecolorful labels are slid onto containers and heated toconform precisely to the contours of the containers.

Packaging Services Our Packaging Services Division is a leading provider of high-volume contract packaging services. Known to the markets we serve as Quick Pak, our promotionalpackaging, custom assembly, and turnkey project management resources help national retailers and consumerproduct manufacturers innovate their product promotions and merchandising campaigns.

Innovation at Work Produces 2005 Highlights

Acquired NorthStar Print Group, Inc. in January 2005, our seventh andlargest acquisition since 1999.NorthStar adds new dimensions to our product and market mix throughtechnologically-advanced labelsolutions for such global customers as Miller Brewing Co., Kraft Foods,Exxon-Mobil, Procter & Gamble, and others.

Started up new state-of-the-art, $5 million, 10-colorrotogravure printing press in September 2004 at ourScottsburg, Indiana facility. Thepress adds to the plant’s currentdaily production of over nine millionin-mold and shrink sleeve labels.

Commenced the integrationof a $2 million managementinformation system throughout all Company facilitiesstarting in October 2004. Thesystem provides access to real-timeproduction data, supply chainmanagement, and dynamicscheduling for customer projectsacross all business lines.

Multi-Color Board declared the Company’s first quarterlycash dividend of five cents per common share based on our consistently strong cash flow and confidence in higher operatingperformance going forward.

Multi-Color now ranks as one ofNorth America’s top three labelproducers in size and technology.

We have also used innovation by installingstate-of-the-art equipment, such as ournew gravure printing press in Scottsburg,Indiana, and by implementing our newinformation system across our business.

Over the past year, we havestrengthened our management capabilitywith people who continuously strive forways to achieve better results.

By focusing on these key elements ofour business, and by pursuing a selectiveacquisition strategy, we believe we canmore than double our business within thenext five years.

Leveraging Value in the MarketplaceWe have spent the last five years

building a portfolio of products and theinfrastructure to deliver them, creating an extraordinarily compelling valueproposition. We made good progress byexpanding our customer base in 2005,however we need to do better.

Fiscal 2006 will be characterized by are-doubling of our marketing efforts. By integrating a marketing mentality ineverything we do, we will broaden ourperspective of the marketplace.

The combination of Multi-Color andNorthStar Print Group creates a $200million growth engine that gives us theopportunity to leverage our capabilitiesand resources.

Meaningful Cost Reduction During the first half of fiscal 2005,

we completed the integration of shrinksleeve technology into our Scottsburg,Indiana facility. This manufacturing consolidation plan improved assetutilization and reduced fixed costs, thebenefits of which we began realizing in the second half of the year. This initiativeemphasizes our long-standing principle of remaining a low-cost manufacturer. Well-defined continuous improvementplans are an integral part of our manufacturing process.

We will use innovation to find better and lower cost ways to manufacture our products.

The benefits of cost reduction provide us a competitive advantage in the marketplace while enhancingprofitability.

Since the NorthStar acquisition inJanuary 2005, we have established cross-functional teams that are aggressivelyidentifying best demonstrated practicesacross our manufacturing facilities.

Significant opportunities are beingtargeted that will generate purchasingsavings, waste reduction, efficiencyimprovements, and even better capacity utilization.

Earning Your Confidence for the Long Term

We know that our true value to share-holders is achieving predictable earningsand consistent sales growth over time.

To achieve this, our goals for fiscal 2006 are:

To assist Maybelline in its 2004 holiday beauty care promotions, Quick Pak supplied the innovation witha comprehensive solution----design,sourcing, procurement, and assembly.We delivered this total solution to ourcustomer with speed and efficiency.

To further our growth within thefood segment, Multi-Color producescut and stack labels for the globalBreathSavers® brand. Arizona Beverage Company turns toMulti-Color for label technologies that help it penetrate markets quicklyand with packaging impact. In addition to eye-catching shrinksleeves, our clear film in-mold labelsgive the Arizona® No Carb line offlavored green teas a transparentdecorating solution for its family-sized,one-gallon plastic containers.

For year-round sports,holiday and special eventmarketing programs, The Coca-Cola Companydecorates its famous 8-ounce glass bottles with the precision graphics of our

Today Multi-Color ranks as one ofNorth America’s top three label

producers. While we are proud of ourachievements, they are but milestonesenroute to our longer-term objective—to be a premier global resource ofdecorating solutions and packagingservices.

Room to Grow To support that objective, we have

established internal growth plans withinour Decorating Solutions Division thatare double the 4%-5% industry growthrate. We believe we can achieve thattarget by re-doubling our sales andmarketing efforts to win new customers,while growing with existing customers.

Our expanded and fully-integratedsales teams are aligned according tocustomer categories—nationalaccounts, regional accounts, andcontainer manufacturers. Extensivetechnical training and support are inplace, ensuring an effective “close” to the sales process.

Innovation—Changing the WayDecorating is Done

Innovation is what the demanding, globalconsumer product designers need and expectfrom their supplier of choice.

Multi-Color’s advanced capabilities supportour customers’ product design needs. Ourobjective is to help our customers turnconsumers into their customers.

Our label solution for Cocktails by Jenn™,the popular line of premium vodka cocktails,is market evidence. The customer wantedthe shelf appeal of frosted glass, without thehigh cost of traditional acid etching, for itsnew high-end, single-serving containers.

Multi-Color’s revolutionary ink-onlytechnology for glass created a colorful, see-through heat transfer label. Our patentedheat transfer “frost” look gave the acid-etcheffect without the cost and any accompa-nying environmental concerns. The product’snational launch was a success, with muchof the new product “buzz” attributed toinnovative packaging.

Another example of label innovation atwork is our patented

AquaStar™ cut andstack metallized filmlabels. Used on

leading brands by major U.S. brewingcompanies, AquaStar’s bright, mirror-likefinish adds visual appeal to both glass andPET containers.

Originally developed for use on shatter-resistant plastic bottles sold at publicsports and entertainment venues, AquaStaris 100% recyclable on PET containers. Froma broader business perspective, AquaStarlabels provide a cost-effective alternative tosimilar high-volume pressure-sensitive labels.Because they run on standard high-speedcold glue labeling equipment at productionspeeds, they eliminate the need for eitherbottle pre-decoration or investment in newlabel application equipment.

Innovation—Finding Ways to Reduce Costs

Continuously improving our manufacturingprocesses provides our customers withcost-effective solutions, giving us acompetitive advantage in the marketplace.Manufacturing high-quality, low-cost productsis the best way to rapidly grow core sales.

Identifying and leveraging best practicesand transferring organization knowledgeacross our diverse production network is akey component of our integrationmanagement process.

The recent acquisition of NorthStarbrings size and scale to Multi-Color. Sizeand scale provide significant opportu-nities to leverage purchasing synergiesand optimize organizational potential.

The implementation of a new $2million management information system

during the second half of fiscal 2005 givesour operations managers visibility to real-time production data across all machinecenters. The power of information to quicklyand easily control inventory, track orderstatus, and monitor production schedulesprovides customer service representativeswith the ability to accurately respond tocustomer inquiries at a moment’s notice.

Soon, the system will be programmed toanalyze future customer needs with browser-based extranet functionality through whichcustomers can view their orders andprojects online.

product aisle or on thegarage shelf, you can’t

miss an Absorber® towel with itsfull-surface, wrap-around shrinksleeve label. Our expertise in shrinksleeve has allowed us to developnew applications in food andbeverage, health and beauty, andautomotive products.

Multi-Color’s depth of pressure-sensitive label experience helpedlaunch this stylish, innovativepackaging for the new Vroom® lineof auto-care products.

Adding 360-degree decorationcoverage, shrink sleeve’s visualimpact pushed this “CheersCanada!” collector’s magnum tothe front of the shelf for aLabatt® promotion. Customer-focused teams in our Erlangerand Scottsburg facilitiesworked to create thisoversized beveragesleeve printed withcomplex graphics andgold and silvermetallic accents.

Welch’s relied onMulti-Color’s expertise in heattransfer labels (HTL) to merchandise its2005 series of collectible jelly and jam jars.Featuring classic images from the CuriousGeorge children tales, these jars are alsoused as drinking glasses. The durability ofHTL will ensure long-lasting fun for children,even after numerous dish washings.

Quick Pak’s design andengineering expertise turnsmulti-shaped promotionalelements into elegantgroupings that attractconsumers. Case in point, thishigh-end Bath & Body Worksgift set featuring an assortmentof prestigious Henri Bendlecandles, seated on an ornatesilver serving tray, and acces-sorized with a silver candlesnuffer. Unique, elegant andsoon enough, all sold.

Our record of qualityfulfillment, quick turnaround,and consistent reliability,executed for this product setfor Tutti Dulci skin care, iswhy BBW turns to Quick Pakpromotion after promotion.

Our leadership in promotional packaging,assembly, and fulfillment services is based onour relentless focus on customer satisfaction.

Speed to market is critical to time-sensitive, high-volume promotions.We produced over one-and-a-halfmillion units in one month—75truck loads—of this promotion forGarnier® Fructis. Quick Pakdesigned, sourced, and producedthe on-pack premium box, whichbecame the key to a promotion thatwas cost effective, efficient toassemble, and attention grabbing.

g ServicesPackaging Services, known in the

marketplace as Quick Pak, extendedits sales growth in fiscal 2005 and hasmore than doubled in size since itsacquisition in June 2002. Expandedproduction and warehousing capacityallowed us to package, assemble, andfulfill over 32 million units in 2005.

Growth in the health, beauty, andpersonal care markets continued withbrand leaders L’Oreal, Maybelline, Bath and Body Works, Victoria’s SecretBeauty, Garnier, Redken, Bioré, andProcter & Gamble.

New executive, manufacturing, and sales leadership with extensiveoperations, retail promotion, andpersonal care industry experience was added in 2004. A strengthenedmanagement team is poised to execute on our aggressive, double-digitgrowth plans.

Innovation Improves Speed to MarketResponding to demanding retail

merchandising and product promotionschedules requires flawless execution.It takes innovative people to meetincreasingly faster production cyclesand increasingly shorter lead times.

Remember, our goal is to assist our customers to turn consumers intotheir customers.

A great example of this was providingGarnier® with a turnkey product andservice solution for the launch of itsFructis Style™ haircare product. We

designed and produced the newproduct’s colorful shrink sleeve labelsvia our Graphics Services group and our Scottsburg facility. Then, inresponse to the customer’s request,Quick Pak applied the sleeves with aspecially integrated, on-site shrink-labeling system, eliminating additionalsupply chain participants.

In all, we fulfilled several millionFructis Style units in a 90-day period,showcasing Multi-Color’s single-sourcedecorating-packaging abilities to ournational retail customers.

Our investment in a $1.2 millionwarehouse management system, along with a narrow aisle rackingsystem, adds 75,000 square feet ofwarehousing and manufacturingcapability, and the software technologyto efficiently manage it.

Promotional packaging is a verydynamic, complex process involvingmany planning, sourcing, andlogistical challenges. Retailpackages require intensecoordination of
