REQUEST FOR APPROVAL AND AWARD OFBUSINESS MACHINE MAINTENANCE SERVICES AGREEMENTS

(ALL DISTRICTS -3 VOTES)

IT IS RECOMMENDED THAT YOUR BOARD:

1. Authorize the Director, Internal Services Department (ISO), or his designee, toexecute business machine maintenance services agreements, with the 46companies listed on Attachment 1, effective January 1, 2006 for an initial term ofthree (3) years and with two (2) one-year extensions and six (6) one monthextensions, exercisable by the Director, ISO, or his designee.

2. Authorize the Director, ISO or his designee to add/delete equipment items,brands, and manufacturers in executed business machine maintenance servicesagreements; execute agreements with new vendors for personal computer andsmall office equipment maintenance services as the vendors become qualifiedpursuant to open solicitations; and execute applicable agreement amendmentswhen the original contracting entity has merged, been purchased or hasotherwise changed.

3. Authorize the Director, ISO, or his designee; to extend the existing businessmachines maintenance services agreements on a month-to-month basis, not toexceed 90 days, at existing rates and conditions with 21 incumbent vendorslisted on Attachment 2.

PURPOSE/JUSTIFICATION OF RECOMMENDED ACTIONS:

ISO currently administers a variety of business machines maintenance servicesagreements that cover over 20,000 pieces of equipment located throughout the County.

There are three major equipment categories requiring services:

1) Small and inexpensive office equipment such as fax machines, microfichereaders, mailing equipment, P!inters and other items.

2) Personal computers.

3) Large photocopy machines, mainframe computers, servers and other majorequipment items

These agreements expire on December 31, 2005. ISO has completed the solicitationprocess for category one (small office equipment) and category two (personalcomputers) and is requesting Board approval of new agreements for these maintenanceservices. This will allow ISO and other County departments to continue to receiveequipment maintenance services.

We have experienced a delay in completing the process for the 21 vendors in categorythree (Le., large photocopy machines, mainframe computers, servers, etc.). In manycases, these vendors have taken exceptions to the standard terms and conditionscontained in the business machine sample agreement. In other cases ISO has not yetreceived formal documentation reflecting the vendors concurrence with the terms andconditions. The exceptions include items such as the County's standard indemnificationand liability clauses. This issue was compounded by the fact that ISO did not initiate thisnegotiation process in a timely manner.

County practice is for a department to disclose all known exceptions to the standardterms and conditions at the time approval for a contract award is requested. ISO needsadditional time to negotiate the requested changes to the terms and conditions and tofinalize the requested exceptions. We anticipate that we can complete this process byMarch 31, 2006. In the interim, we will need to continue to order maintenance serviceson the applicable equipment and therefore are requesting a gO-day extension of theexisting agreement with these vendors under existing terms, conditions and rates. Wewill return to your Board for approval of the agreements no later then March 7, 2006.

Implementation of Strateaic Plan Goals

The recommended action supports the Countywide Strategic Plan Goal Number 1,Service Excellence, Goal Number 3, Organizational Effectiveness, and Goal Number 4,Fiscal Responsibility. This process will improve the overall manner in which ISOpromotes countywide equipment maintenance; thereby, increasing the County'sefficiency in the use of public funds.

FISCAL IMPACT/FINANCING:Expenditures under these agreements will vary from year to year based on the needs ofCounty departments. Funding for ttiese services are included in the Fiscal Year 2005-06 adopted ISO and departments' budgets. Subsequent year funding will be requestedin the Fiscal Year budgets for each annual term and any extensions. Expenditures overthe term of the agreements in any given year will remain within each department'sbudgeted appropriation for such services. No Cost of Living Allowances (COLAs) arepermitted during the initial three-year term. A COLA is allowed if the option years areexercised and may be granted in the option years at the discretion of the Director andonly in accordance with the County policy on COLAs.

FACTS AND PROVISIONS/LEGAL REQUIREMENTS:

The terms and conditions of the agreements have been approved as to form by CountyCounsel for the 46 vendors under equipment maintenance categories one (small officeequipment) and two (personal computers). Under the agreements, contractors arerequired to give first consideration to qualified County employees targeted for layoff,consider qualified GAIN/GROW participants for employment openings, and comply withthe Jury Duty Ordinance, the Safely Surrender Baby Law and the Child SupportCompliance Program.

These are not Proposition A agreements and, therefore, not subject to the Living WageProgram (County Code Chapter 2.201). It has been determined that the services underthese agreements do not impact Board Policy No. 5.030, "Low Cost Labor ResourceProgram", because of the specialized training needed to perform the work.

As previously indicated, ISO is still in the process of finalizing the agreement terms andconditions for the equipment in category three (large photocopiers, mainframes, etc.).

CONTRACTING PROCESS:

ISO issued competitive solicitations for the three major equipment categories as follows:

1) Small, Inexpensive Office Equipment (e.g. fax machines, microfichereaders, mailing equipment, printers and other items)

A Request For Statement of Qualifications (RFSQ) was issued to qualify vendorsto provide repair services for variety of small, office equipment brands, makes,and models on a time and materials basis throughout the County. Notice of thesolicitation was posted on the County website (Attachment 3) and continues tobe posted so that qualified vendors may sign up at any time during the term ofthe agreement thereby increasing vendor participation.

ISO received 31 vendor responses that were reviewed to determine if the firmsmet the minimum requirements (e.g. experience, brand coverage, etc) set forthin the RFSQ. The 29 vendors shown on Attachment 1 met the minimumrequirements and are recommended for agreement award. One vendor did notmeet the minimum requirements. We have subsequently learned this vendor isno longer in business. One vendor submitted an incomplete package inresponse to the RFSQ and we are working with them to remedy the omissionsand determine if they are qualified for an agreement. There are no pendingprotests. County departments will be able to order services from theseagreement vendors based on price, brand, make and model and response time.

2) Personal Computers

ISO issued a Request for Statement of Qualifications (RFSQ) solicitationdocument to qualify vendors to provide repair services for variety of computerbrands, makes, and models on a time and materials basis throughout theCounty. Notice of the RFSQ availability was posted on the County website(Attachment 3) and continues to be posted so that qualified vendors may sign upat any time during the term of the agreement thereby increasing vendorparticipation. ISO received 19 vendor responses that were reviewed to determineif the firms met the minimum requirements (e.g. experience, brand coverage,etc) set forth in the RFSQ. The 17 vendors shown on Attachment 1 met theminimum requirements and are recommended for agreement award. Twovendors did not meet the minimum requirements and were not selected. Thereare no pending protests. County departments will be able to order services fromthese agreement vendors based on price, brand, make and model and responsetime.

3) Large Photocopy Machines, Mainframe Computers, Servers and OtherMajor Equipment Items

ISO issued competitive solicitations based on annual fixed price maintenance fora set inventory of items for the various equipment types. Notice of the solicitationdocuments availability was posted on the County website (Attachment 3).Vendor responses were evaluated by technical subject matter experts based onevaluation criteria set forth in the solicitation documents.

In 12 of the solicitations for these equipment items, the solicitation processyielded only one viable vendor to enter into negotiations with for each majorbrand of equipment. This occurred primarily because the hardware and/orsoftware are proprietary to the manufacturer of the equipment. Although ISO hascompleted the evaluation phase of this solicitation, we have not yet finalized the

terms and conditions to be contained in the business machines agreements withselected vendors. Therefore, we are requesting a gO-day extension to theexisting agreements to finaTIze the successor agreements related to theseequipment items.

Of the recommended firms in categories one and two, one vendor is certified as a CBEby the Office of Affirmative Action Compliance (OAAC) and three (3) of the vendors arecertified as LSBEs. In addition, we will encourage companies who have been certifiedby the State of California and located in the County of Los Angeles to pursue LSBEcertification with OACC. CBE information for all firms recommended for agreements isshown in Attachment 4. However, contractors were selected without regard to gender,race, creed, or color for award of an agreement.

IMPACT ON CURRENT SERVICES (Q.RPROJ~

Approval of these recommendations will ensure the ability of ISOto more effectively andefficiently support the County departments' equipment maintenance and repairrequirements to continue to receive services.

CONCLUSION

The Executive Office, Board of Supervisors, is requested to return one stamped copy ofthe approved Board letter to the Director, ISO.
