Cultus Training Academy CC is the training division of FCS. Our training programme kicks off in March 2017 with a full schedule of informative and valuable training. This is your invitation to join us and participate in our training programme. Presentations may vary from beginners to advanced expert level, whilst some may be specific to the accounting profession, and others are of interest to the general business community. All our presentations are interactive sessions, where the audience is allowed to ask questions or obtain further clarification or discuss a specific problem. Therefore the duration of the courses stated in this programme is only an indication of the duration of the presentation. We will issue signed attendance certificates at the end of the presentation for attendees who are present throughout the session. CPD hours achieved, will be reflected on this certificate.

FCS CONFERENCE VENUES
Jana-Marié obtained her Master’s degree from the North West University (Potchefstroom Campus) in 2008 and completed her articles in 2009. In 2010 she moved to Namibia and worked at BDO Windhoek for just over two years. After moving to the coast she joined the FCS team in Walvis Bay as a Senior Accountant in November 2012. She has been Manager of the Accounting department since January 2014. Jana-Marié is also a member of NIPA.
Jana-Marié is a kind-hearted person with a positive outlook on life and always aims to motivate those around her. She loves challenges and never settles for second best.
Frank has a passion for researching international and national tax issues and is one of the country’s pre-eminent senior tax advisors. He shares his wealth of experience in different industries not only with FCS clients, but is actively engaged in presenting training courses ranging from Taxation to Corporate Governance and soft-skills training. He is currently completing his Masters degree in Taxation. Frank is also a member of the Namibia Institute of Professional Accountants (NIPA).

Lynette Rautenbach: Hons. B. Compt; NIPA; CA (Nam) (SA); Cert. Adv Tax
Lynette obtained her B Compt degree from UOFS and her post graduate Hons BCom(Acc) (Cum Laude) and BCompt / CTA from UNISA. Before and after her period of articles Lynette was a senior lecturer in Accounting and Auditing at the University of Namibia and during this time she obtained an Advanced Certificate in Taxation from UNISA. From 2000 to 2004 she was the Tax Manager of the coastal Tax Department of PricewaterhouseCoopers and was promoted to Associate Director in 2005. In 2012 she joined FCS and was admitted as partner in 2013. Lynette is a member of the Namibia Institute of Professional Accountants (NIPA), and The Institute of Chartered Accountants of Namibia (ICAN).
Karl-Heinz completed his Degree in Accounting Science at the University of South Africa in 2006. Karl-Heinz is intrigued by the workings of the various tax systems and laws. He is also involved in developing and presenting some of the FCS training courses, which are available to FCS staff and the public at large. By offering these training courses, he hopes to increase the accounting and tax knowledge throughout Namibia. He is also a member of the Namibia Institute of Professional Accountants (NIPA).
JP completed his B. Compt from UNISA. In 1997 he completed his Hons. B. Compt, and his CTA in 1998. He completed his Post Graduate Diploma in Auditing in 1999. He headed the Entrepreneurial Division of Ernst & Young in Windhoek from 1998 to 2000. In October 2000 he moved to Walvis Bay where he managed the Ernst & Young office, and in 2005 he was promoted to director. During this period he also acted as training officer in Walvis Bay. From 2006 JP joined Financial Consulting Services CC as a member and as a partner. He registered FCS Auditors to supplement the wide range of services offered by FCS. JP is a member of the Namibia Institute of Professional Accountants (NIPA), and the Institute of Chartered Accountants of Namibia (ICAN).

Jeanine Du Toit: Hons. B. Compt; NIPA; CA (Nam)
Jeanine completed her B. Compt degree from UNISA in 2009, and at the end of 2009 she achieved her Honors B. Compt. During this period she also completed her traineeship with NIPA and her articles as CA with FCS Auditors. She is involved in the training of audit staff at FCS, and was admitted as partner in 2013. Jeanine is also a member of the Namibia Institute of Professional Accountants (NIPA), the Institute of Chartered Accountants of Namibia (ICAN) and the Public Accountants and Auditors Board (PAAB).

Pascale Paulsmeier: Industrial Psychologist
Pascale Paulsmeier has a passion for helping organisations and people to grow to their fullest potential and become market leaders. She has obtained a Masters degree in Industrial Psychology and is registered with the Health Professions Council in South Africa. She has wide experience in all aspects of Human Resources Management on a strategic and operative level across industries. As part of her studies and career she has gained insight knowledge into Labour Law and Labour Relations as part of her portfolio as an Industrial Psychologist.
Harald Hecht: Hons. B. Compt; NIPA
Harald completed his B. Compt from UNISA in 1989, and his Hons. B Compt in 1993. He also completed a Course in Administration of Estates (with distinction) in 1998 from UNISA. In 1996 he joined FCS and served as Executive Principal up until February 2014. Harald has taken on the challenge to further develop and centralize the Auxiliary Services Department in FCS and will build up the Estates Division, Trust Management Services, Business Broking and more.
He is a member of the Namibia Institute of Professional Accountants (NIPA).
Anja Moormann: Hons. B. Compt; NIPA Anja completed her B. Compt in 2006, and in 2010 she completed her Hons. B. Compt from UNISA. Anja has been with FCS since 2001. She served as chairperson of NIPA Student Council from 2002-2004. She is career orientated, and has a hands-on and practical approach. Her good interpersonal skills and client service driven approach makes her a helpful, reliable and steady team player. She is a member of the Namibia Institute of Professional Accountants (NIPA).

Astrid completed her B.Compt from UNISA in 2014 and Hons. B. Compt in 2016. She completed her articles with SGA Chartered Accountants and Auditors during January 2015, after which she joined FCS Auditors as an Audit Supervisor. Astrid is a very enthusiastic person and has a true passion for auditing.

This presentation is specifically aimed at executive management members of legal entities, explain-ing the legal duties imposed and potential personal liability that may be (unwittingly) incurred.
The areas addressed include:
Types of Companies available in Namibia and how a Company is constituted.
What is the Memorandum and Articles of Association, and what is governed by it?
Conversions of Companies and Close Corporations: requirements and effect thereof;
External relationships including pre-incorporation contracts;
Shares: Are Companies allowed to provide financial assistance to a third party to acquire shares in that Company? Are Companies allowed to acquire its own shares? How do share transfers work?
Directors: Who may act as a Director? The role of directors, their fiduciary and other duties; personal liability risk of directors; What are the powers, duties and risks associated with alternate directors?
Auditors: Why should a company be audited? Should all companies be audited? The appoint-ment, removal and resignation procedures for auditors; rotation of auditors—is this a require-ment in terms of the Companies Act? The rights and duties of an auditor.

Aimed at: Trustees, Founders and Beneficiaries of Trusts, Financial Managers and Accountants. To have trust has become fashionable—but does it serve it’s purpose? What exactly is a Trust and what needs to be considered? This presentation aims at explaining the different types of trusts used most commonly, how a trust is constituted and what are the common pitfalls.
Types of Trust explained: Testamentary trust, inter vivos trusts, discretionary and en-dowment trusts, business and special trusts such as bewind trusts.
When to use a Trust;
The Trust Deed: What it must contain and why 'generic' deeds are not recommended;
The founder, trustee and beneficiary - roles and responsibilities;

The source principle - how does it work, cross border operations and when is an amount taxable in Namibia?
What are the requirements before an amount qualifies as an amount of a capital nature?

Damages & Compensation - when do receipts constitute taxable income?
