was written, a

proposed agreement between the Government of India and the World Health Organization

AGREEMENT

BETWEEN

THE GOVERNMENT OF INDIA

AND

THE WORLD HEALTH ORGANIZATION

Concerning the sale of World Health House, Indraprastha Estate, New Delhi

THE GOVERNMENT OF INDIA (Hereinafter referred to as the Government) of the

one part; and

THE WORLD HEALTH ORGANIZATION (hereinafter referred to as the Organization)

of the other,

CONSIDERING that the Organization has occupied the premises known as "World

Health House" at Indraprastha Estate, New Delhi, since 10 November 1962 for the

purpose of accommodating its Regional Office for South-East Asia;

CONSIDERING that the Government has decided to offer the said World Health

House to the Organization for purchase by the latter;

CONSIDERING the Agreement between the Government and the Organization

concerning the privileges, immunities and facilities to be granted by the

Government to the Organization, signed at New Delhi on 9 November 1949, and

particularly Article II Section 2 thereof which provides that the Organization

shall possess, inter alia, capacity to acquire and dispose of immovable and

movable property

HAVE AGREED AS FOLLOWS :

ARTICLE I

The Government offers for sale and the Organization accepts the premises

known as "World Health House", Indraprastha Estate, New Delhi at a price of

Rupees 26 25 732

(Rupees twenty-six lakhs twenty-five thousand seven hundred

ARTICLE 工工

Payment of the above sum of Rupees 26 25 7)2 shall be made by the Organization

to the Government in Indian Rupees acquired through the sale of convertible

foreign currencies to authorized exchange banks in 工ndia.

ARTICLE III

The premises shall be transferred to the Organization together with all

appurtenances and fixtures and free of all encumbrances or legal charges•

ARTICLE V

ARTICLE VI

At such time as the premises are assigned to the Organization under the terms

repairs and maintenance of, the premises including maintenance and upkeep of the

grounds and internal roadways, paths, etc.

ARTICLE VII

The Government undertakes that the competent authorities shall provide the

Organization's premises with the necessary public services such as electricity,

water, sewage disposal, removal of garbage, postal, telephonic, and telegraphic •:• • : . . . . 1

services, fire and police protection e t c” at the same rates as those applicable

to the public administration in India.

- I n the event of "force majeure"‘ leading to partial or complete interruption

of the services referred to;in paragraph 1 of this Article, the Organizationf

premises shall enjoy for their requirements the same priority as that granted to

the public administration in India,

The Organization shall be exempt from all existing and future taxes, rates,

fees ünd assessments of whatsoever nature imposed upon the premises by the

Government or any municipal or local authority except in so far ̂ as they may

ARTICLE IX

The Government agrees that should the need arise the Organization may extend

or alter the premises or attach fixtures including offices and storage space or

servants quarters in or upon the premises or upon the site.

Any extensions or additions erected in or upon the premises or on the site

shall, for the purposes of this Agreement, be deemed to form part of the premises

covered by this Agreement,

ARTICLE X

The Organization shall maintain the premises insured in its capacity as owner/

occupier to include third-party liability•

ARTICLE XI

Should the Organization at any time decide to vacate the premises, the

Government shall have a prior right to repurchase over any other purchaser, at

the price at which the premises were sold to the Organization. Any extensions,

additions or alterations shall similarly be repurchased at their original cost.

The land shall be surrendered by the Organization to the Government without

payment of any price or compensation.

In . the event that the Organization should wish to surrender the premises

and the Government not wish to repurchase them, the parties shall consult

together regarding their ultimate disposal.

ARTICLE XII

Arrangements for the transfer of title of the premises shall be made by the

parties at such time as the World Health Assembly shall have consented to their

purchase by the Organization and expenditure of the necessary funds authorized; the

lease of the land shall be deemed to run from the same date as the transfer of title

of the premises.

Report-by the Directors-General

In accordance with the provisions of resolution EB33-H26, the Director-General

has the honour to inform the Board that consultations have taken place between him

and the Government of India regarding accommodation for the Regional Office for

South-East Asia (see annexed correspondence). It is now proposed that the

Organization should purchase the premises in New Delhi known as World Health House

for a sum amounting to two-thirds of the actual cost of construction, thé land bsing

made available at a nominal rental of Rs l/- per annum. A draft agreement for this

purpose is under discussion between the parties.

2。 The Director-General considers that the acquisition of this property by the

Organization under the generous terms offered by the Government of India would be

advantageous to the stability and long-term development of the programme of work of

the South-East Asia Region- This arrangement would also provide a definitive

solution regarding the terms of occupancy of this aocommodation constructed by the

Government of India for the Regional Office。 The Director-General therefore

recommends to the Board that it recommend approval of this proposal by the Twentieth

World Health Assembly.

With regard to the WHO Regional Office accommodation in Manila, the Government of the Philippines donated in addition to the land, 500,000 Philippine pesos (equivalent to US $250,000 at that time) being a contribution of approxi-mately 50多 of the construction costs of the building. However WHO undertook to provide some 4 to 5 rooms in this building for the use of the UN offices. As no accorranodation can be made available in the WHO Regional Office in New Delhi for any other international organization, it may be reasonable to suggest that the Government of India might, in addition to the gift of land, consider a reduction in the proposed sale price of the building of say one third of the actual cost of the building as their contribution, instead of the 5。多 as was contributed by the Government of the Philippines to the building in Manila.

The WHO might be expected to pay in any convertible currency in instal-ments over a number of jrears.,

Sir,

With roference to your letter No«AS-2-1/5 dated the 17th February, I966 on the STibjcct mentioned above,工 am directed to say that the Government of India have decided to coll the World Health House, Indraprastha Estate, at present occupied by th。V/

eH.O. to that Organisation at a cost of Rs.26,25,7)2 (Rupees twenty-six lakhs

twenty-five thousand seven hundred thirty two only) i.e., 2/)rd of the actual cost of construction of Rs。39í38,597/- and to offer the land on which the building stands moa curing 1。69 acres on nominal rent to the W«H.O# subject to the following conditions s-

i) The payment cf the above sum of Rs.26,25,7)2/- shall be made by the W.H.O. in Indian Rupees acquired through the sale to authorised exchange banks in India of convertible foreign currencies о
