Mahindra group vice- chairman Anand Mahindra puts up a brave face, saying he does not regret acquiring Satyam. But neither he nor his top-notch management team comprising Mahindra Satyam chairman Vineet Nay- yar or CEO CP Gurnani, all of whom gathered along with union corporate affairs min- ister Salman Khurshid at Satyam’s Infocity campus on Tuesday to celebrate a year of survival after the takeover, are willing to hazard a guess about when the company would go into the black. In a bid to browbeat queries they cite the June 30, 2010, deadline set down by the Com- pany Law Board (CLB) for completing the restatement of Satyam accounts that now looms large over the company. But Mahindra Satyam CEO CP Gurnani does admit it would take at least two more years for Satyam to recover lost ground and start think- ing about raking in profits once again. “It has been only one year (since we took over). The com- pany still needs another two years for it to level out on some of its score cards to come near to the operating matrix that it desires to work under. I don’t think I will be able to give you any more an- swers,” says Gurnani. A clear indicator that the worst is far from over for the company is Gurnani’s warn- ing to Satyam’s associates on Tuesday that over the next 12 to 14 months the company would continue to resemble a “warzone”. A host of legal and finan- cial challenges continue to dog the company. Though Nayyar says confidently that the company will be able to meet the timeline for the re- statement of accounts, the company is yet to get back crucial documents from CBI to enable it to complete the re- statement process. This even as many crucial documents are also understood to have been destroyed by the Rajus. The restatement of ac- counts is also proving to be tough because numerous Raju family promoted companies are seeking refunds of Rs 1,230 crore and CBI in its sec- ondary chargesheet has al- leged that Satyam took unau- thorized bank loans worth Rs 1,220 crore under Raju’s reign by forging board resolutions. Both these charges have ob- viously been repeatedly re- futed by Mahindra Satyam of- ficials saying they have found no corresponding entries in Satyam’s books. The company’s legal woes too are showing no signs of abating anytime soon. It’s law- suit with Upaid, though set- tled for $70 million late last year, is back in US courts over the issue of who will bear the tax liability arising out of the settlement. The uncertainty of the class action suits slapped by US investors of Satyam too continues to loom large over the already strug- gling company. On the operations side, the company is battling high at- trition rates that have seen its employee strength dwindle from nearly 45,000 people when the scam broke out on January 7, 2009, following founder B Ramalinga Raju’s shocking confessions, to around 30,000. The other major area where Mahindra Satyam, which is repositioning itself as an integrated ICT compa- ny, continues to struggle is in restoring customer confi- dence and generating new business. After losing out over 100 customers, out of over 500 customers, in the aftermath of the scam, it has succeeded in bagging only around 40 small accounts. TIMES NEWS NETWORK New Delhi: China’s Shanghai Automotive Industry Corpo- ration (SAIC) is getting rep- resentation on the board of GM India. While Slym in- sisted that it’s business as usual and he continues to run the show, the number of ap- pointments that SAIC is plan- ning for India points out that the Chinese company has no intention of remaining a mere stakeholder, but wants to have a more aggressive say in the running of operations. GM and SAIC, that run a series of JVs in China, had in Decem- ber last formed an all-new 50:50 joint venture in Hong Kong to support expansion into emerging markets. This new JV had also got charge of GM India, which till then was a wholly-owned subsidiary of GM Corp (US). SAIC will be making a number of appointments at GM India, the most important of them being a leadership po- sition — believed to be joint MD — who will work along with Slym in running the op- erations. Importantly, this sen- ior official will not report to Slym but will report to the new board. Slym sought to dispel ap- prehensions that the entry of SAIC officials would lead to changes in the management and working style at GM In- dia. “There are no plans to change the organisational structure and the company will continue to function like always,” he said. At the time of announcing their new JV in December, SAIC chairman Hu Maoyuan had said: “Changes in the worldwide economy have cre- ated new opportunities in emerging markets... By lever- aging our individual assets and those of our China joint ventures, SAIC and GM are in a strong position to introduce competitive products outside China that will satisfy the needs of consumers in India and other high-potential glob- al markets.” SAIC may get to appoint joint MD Satyam needs 2 yrs to gain lost ground LONG ROAD AHEAD: M&M managing director Anand Mahindra (L) with Tech Mahindra CEO Vineet Nayyar in Hyderabad on Tuesday Mumbai: US-based PE firm Kohlberg Kravis Roberts & Co is in talks to buy a controlling stake in back-office service provider Firstsource Solutions, sources said. KKR is negotiat- ing to buy a stake totalling about 68% of the IT services compa- ny from ICICI Bank, Temasek Holdings and US-based banking technology group Metavante, sources said. A deal has not been finalised, but a sale price could be about $250 million, said sources. Firstsource has a mar- ket value of $300 million. Sources characterised KKR as the frontrunner for the BPO. Another source said KKR was in talks for Firstsource but did not agree that the buyout firm is the frontrunner and declined to elaborate. Rival US PE firm Carlyle Group was also eyeing the stake, but was not a strong contender in the process, sources said. Carlyle declined to comment. Private equity in- vestment in India fell more than 60% in 2009 when the global recession deepened, but a string of high-profile deals this year suggests a rebound. “It has been only one year(since we took over). The com-pany still needs another twoyears for it to level out onsome of its score cards tocome near to the operating

matrix that it desires to workunder. I don’t think I will beable to give you any more an-swers,” says Gurnani.

A clear indicator that theworst is far from over for thecompany is Gurnani’s warn-ing to Satyam’s associates onTuesday that over the next 12to 14 months the companywould continue to resemble a“warzone”.

A host of legal and finan-cial challenges continue to

dog the company. ThoughNayyar says confidently thatthe company will be able tomeet the timeline for the re-statement of accounts, thecompany is yet to get backcrucial documents from CBIto enable it to complete the re-statement process. This evenas many crucial documentsare also understood to havebeen destroyed by the Rajus.

The restatement of ac-counts is also proving to betough because numerous Rajufamily promoted companiesare seeking refunds of Rs1,230 crore and CBI in its sec-ondary chargesheet has al-leged that Satyam took unau-thorized bank loans worth Rs1,220 crore under Raju’s reignby forging board resolutions.Both these charges have ob-viously been repeatedly re-futed by Mahindra Satyam of-ficials saying they have foundno corresponding entries inSatyam’s books.

The company’s legal woestoo are showing no signs ofabating anytime soon. It’s law-suit with Upaid, though set-

tled for $70 million late lastyear, is back in US courts overthe issue of who will bear thetax liability arising out of thesettlement. The uncertaintyof the class action suitsslapped by US investors ofSatyam too continues to loomlarge over the already strug-gling company.

On the operations side, thecompany is battling high at-trition rates that have seen itsemployee strength dwindlefrom nearly 45,000 peoplewhen the scam broke out onJanuary 7, 2009, followingfounder B Ramalinga Raju’sshocking confessions, toaround 30,000.

The other major areawhere Mahindra Satyam,which is repositioning itselfas an integrated ICT compa-ny, continues to struggle is inrestoring customer confi-dence and generating newbusiness. After losing out over100 customers, out of over 500customers, in the aftermathof the scam, it has succeededin bagging only around 40small accounts.

running of operations. GMand SAIC, that run a series ofJVs in China, had in Decem-ber last formed an all-new50:50 joint venture in HongKong to support expansioninto emerging markets. Thisnew JV had also got charge ofGM India, which till then wasa wholly-owned subsidiary ofGM Corp (US).

MD — who will work alongwith Slym in running the op-erations. Importantly, this sen-ior official will not report toSlym but will report to thenew board.

Slym sought to dispel ap-prehensions that the entry ofSAIC officials would lead tochanges in the managementand working style at GM In-dia. “There are no plans tochange the organisationalstructure and the companywill continue to function likealways,” he said.

At the time of announcingtheir new JV in December,SAIC chairman Hu Maoyuanhad said: “Changes in theworldwide economy have cre-ated new opportunities inemerging markets... By lever-aging our individual assetsand those of our China jointventures, SAIC and GM are ina strong position to introducecompetitive products outsideChina that will satisfy theneeds of consumers in Indiaand other high-potential glob-al markets.”
