  • NOTE BY THE SECRETARIAT

    Under Article 102 of the Charter of the United Nations every treaty and every internationalagreement entered into by any Member of the United Nations after the coming into force of the Chartershall, as soon as possible, be registered with the Secretariat and published by it. Furthermore, no party toa treaty or international agreement subject to registration which has not been registered may invoke thattreaty or agreement before any organ of the United Nations. The General Assembly, by resolution 97 (1),established regulations to give effect to Article 102 of the Charter (see text of the regulations, vol. 76,p. XVIII).

    The terms "treaty" and "international agreement" have not been defined either in the Charter or inthe regulations, and the Secretariat follows the principle that it acts in accordance with the position of theMember State submitting an instrument for registration that so far as that party is concerned theinstrument is a treaty or an international agreement within the meaning of Article 102. Registration of aninstrument submitted by a Member State, therefore, does not imply ajudgement by the Secretariat onthe nature of the instrument, the status of a party or any similar question. It is the understanding of theSecretariat that its action does not confer on the instrument the status of a treaty or an internationalagreement if it does not already have that status and does not confer on a party a status which it would nototherwise have.

    Unless otherwise indicated, the translations of the original texts of treaties, etc., published in thisSeries have been made by the Secretariat of the United Nations.

    DEVELOPMENT CREDIT AGREEMENT'

    AGREEMENT, dated March 15, 1973, between the SOMALI DEMOCRATICREPUBLIC (hereinafter called the Borrower) and INTERNATIONAL DEVELOPMENTASSOCIATION (hereinafter called the Association).

    WHEREAS (A) The Borrower has requested the Association to assist inthe financing of the Project described in Schedule I to the AdministrationAgreement2 (referred to in (D) below) by extending the Credit as hereinafterprovided;

    (B) The Borrower has also requested the European Economic Communitythrough its Commission as Administrator of the European Development Fund(hereinafter called the Commission) to assist in the financing of such Project;

    (C) The Borrower and the Commission will enter into an agreement(Convention de Financement) providing for a grant in an amount of Somali Shil-lings 86,648,000 to be used by the Borrower for the purpose stated in para-graph (B) above;

    (D) The Borrower, the Commission and the Association will enter into anAdministration Agreement (hereinafter called the Administration Agreement)regulating certain matters of common interest in respect of the use of the pro-ceeds of the financing to be provided by the Commission and the Association,including the processing of applications for withdrawal of the proceeds of suchfinancing;

    (E) By a development credit agreement dated March 3, 19693 (hereinaftercalled the First Development Credit Agreement) between the Borrower and theAssociation, the Association granted to the Borrower a credit (hereinafter calledthe First Credit) in various currencies equivalent to five hundred and fifty thou-sand dollars ($550,000) to assist in financing of detailed engineering ofMogadiscio/Ras Sif Port works and the establishment of commercial accountingprocedures for the Somali Port Authority;

    (F) The Borrower will assist the Somali Port Authority (hereinafter calledSPA) in the execution and operation of the Project and, as part of such assist-ance will (i) be responsible for the construction of Project facilities; (ii) deliversuch facilities upon completion to SPA; and (iii) relend to SPA the proceeds ofthe Credit as hereinafter provided, and (iv) provide such additional funds, facili-ties, services and other resources as will be required for carrying out the Project;and

    (G) On the basis of the foregoing, the Association is willing to make theCredit available upon the terms and conditions set forth hereinafter, in the Ad-ministration Agreement and in a Project Agreement of even date herewith

    Now THEREFORE the parties hereto hereby agree as follows:

    Article I. GENERAL CONDITIONS; DEFINITIONS

    Section 1.01. The parties to this Agreement accept all the provisions of theGeneral Conditions Applicable to Development Credit Agreements of the Asso-ciation, dated January 31, 1969', with the same force and effect as if they werefully set forth herein, subject, however, to the following modifications thereof(said General Conditions Applicable to Development Credit Agreements of theAssociation, as so modified, being hereinafter called the General Conditions):

    (a) Paragraph 9 of Section 2.01 is amended to read as follows:'9. The term Project means the project for which the Credit is

    granted, as described in Schedule I to the Administration Agreement and asthe description thereof shall be amended from time to time by agreementbetween the parties to such Agreement."(h) Article V is deleted.(c) Section 6.02 (hi) is deleted and Section 6.02 (i) becomes Section 6.02 (h).(d) The words 'or the Administration Agreement" are added after the

    words "the Development Credit Agreement" wherever they appear in Sec-tion 8.01.

    (e) The words "or the Administration Agreement" are added after thewords "the Development Credit Agreement" in Section 8.02.

    Section 1.02. Wherever used in this Agreement, unless the contextotherwise requires, the several terms defined in the General Conditions have therespective meanings therein set forth and the following additional terms have thefollowing meanings:

    (a) "Project Agreement" means the agreement between the Associationand SPA of even date herewith, as the same may be amended from time to time;

    (h) "Subsidiary Loan Agreement" means the agreement entered into or tobe entered into between the Borrower and SPA pursuant to Section 4.02 (a) ofthis Agreement, as the same may be amended from time to time;

    (c) "Law" means Law No. 70 of November 22, 1970 of the Borrower,under which SPA was created and is operating, and includes any amendmentsthereto;

    (d) "Commission Agreement" means the agreement between the Borrowerand the Commission referred to in Recital (C) of the preamble to this Agreement,as the same may be amended from time to time; and

    (e) "Goods" means civil works, equipment, materials, supplies and servi-ces which are required for the Project.

    Article II. THE CREDIT

    Section 2.01. The Association agrees to lend to the Borrower, on the termsand conditions in the Development Credit Agreement set forth or referred to, an

    amount in various currencies equivalent to twelve million, nine hundred and fiftythousand dollars ($12,950,000).

    Section 2.02. (a) The amount of the Credit may be withdrawn from theCredit Account in accordance with the provisions of the Administration Agree-ment and of Schedule 1 to this Agreement, as such Schedule shall be amendedfrom time to time, for expenditures made (or, if the Association shall so agree, tobe made) in respect of the reasonable cost of Goods required for the Projectdescribed in Schedule I to the Administration Agreement and to be financedunder the Development Credit Agreement; provided, however, that, except asthe Association shall otherwise agree, no withdrawal shall be made on accountof expenditures in the territories of any country which is not a member of theBank (other than Switzerland) or for Goods produced in, or supplied from, suchterritories.

    (b) The Association shall on the Effective Date withdraw from the CreditAccount and pay itself, on behalf of the Borrower, the amount required to refundthe principal amount of the First Credit withdrawn and then outstanding, to-gether with the service charges accrued thereon. Any amount not withdrawn fromthe credit account for the First Credit shall be cancelled on the same date.

    Section 2.03. The Closing Date shall be June 30, 1977 or such other date asshall be agreed between the Borrower and the Association.

    Section 2.04. The Borrower shall pay to the Association a service chargeat the rate of three-fourths of one per cent (3/4 of 1%) per annum on the principalamount of the Credit withdrawn and outstanding from time to time.

    Section 2.05. Service charges shall be payable semi-annually on June 1and December I in each year.

    Section 2.06. The Borrower shall repay the principal amount of the Creditin semi-annual installments payable on each June 1 and December I commenc-ing June 1, 1983. and ending December 1, 2022, each installment to and includingthe installment payable on December 1, 1992 to be one-half of one per cent('/2 of 1%) of such principal amount, and each installment thereafter to be one andone-half per cent (1'/2%) of such principal amount.

    Section 2.07. The currency of the United States of America is herebyspecified for the purposes of Section 4.02 of the General Conditions.

    Article I11. THE PROJECT

    Section 3.01. The Borrower shall, on behalf of SPA, carry out Parts A, B,C and D of the Project, and cause SPA to carry out Parts E and F of the Projectwith due diligence and efficiency and in conformity with sound administrative,financial and engineering practices, and shall provide, promptly as needed, thefunds, facilities, services and other resources required for the Project.

    Section 3.02. In order to assist in the carrying out of the Project, includingthe reviewing of detailed designs, updating of cost estimates, preparation ofbidding documents, and supervision of Project civil works, the Borrower shallemploy or cause to be employed, engineering consultants acceptable to theCommission and the Association upon terms and conditions satisfactory to theCommission and the Association.

    Section 3.03. In carrying out Parts A, B, C and D of the Project, the Bor-rower shall employ, or cause to be employed, contractors acceptable to theCommission and the Association upon terms and conditions satisfactory to theCommission and the Association.

    Section 3.04. Except as the Association shall otherwise agree, the Goods(other than services of consultants) required for carrying out Parts A, B, C andD of the Project and to be financed out of the proceeds of the Credit, shall beprocured on the basis of international competition under procedures consistentwith the provisions of the Commission Agreement and this Agreement, with theGitidelines fbr Procurenent under World Bank Loans and IDA Credits,published by the Bank in April 1972, (hereinafter called the Guidelines) and inaccordance with, and subject to, the provisions set forth in Schedule 2 to thisAgreement.

    Section 3.05. (a) The Borrower undertakes to make adequate provisionfor the insurance of the imported goods to be financed out of the proceeds of theCredit against hazards incident to the acquisition, transportation and deliverythereof to the place of use or installation, and for such insurance any indemnityshall be payable in a currency freely usable by the Borrower to replace or repairsuch goods.

    (b) Except as the Association may otherwise agree, the Borrower shallcause all Goods financed out of the proceeds of the Credit to be used exclusivelyfor the Project.

    Section 3.06. (a) The Borrower shall furnish or cause to be furnished tothe Association promptly upon their preparation, the plans, specifications, re-ports, contract documents and construction and procurement schedules for theProject, and any material modifications thereof or additions thereto, in such de-tail as the Association shall reasonably request.

    (b) The Borrower (i) shall maintain records adequate to record the progressof the Project (including the cost thereof) and to identify the Goods financed outof the proceeds of the Credit and to disclose the use thereof in the Project; (ii)shall, enable the Association's representatives to inspect the Project, the Goodsfinanced out of such proceeds and any relevant records and documents; and(iii) shall furnish to the Association all such information as the Association shallreasonably request concerning the Project, the expenditure of the proceeds ofthe Credit so relent to it and the Goods financed out of such proceeds.

    Section 3.07. (a) Without any limitation or restriction upon any of itsother obligations under the Development Credit Agreement, the Borrower shallcause SPA to perform, in accordance with the provisions of the AdministrationAgreement, the Project Agreement and the Subsidiary Loan Agreement all theobligations of SPA therein set forth, shall take and cause to be taken all actionnecessary or appropriate to enable SPA to perform such obligations, and shallnot take or permit to be taken any action which would prevent or interfere withsuch performance.

    (b) The Borrower shall exercise its rights under the Subsidiary LoanAgreement in such manner as to protect the interests of the Borrower and theAssociation and to accomplish the purposes of the Credit, and except as theAssociation shall otherwise agree, the Borrower shall not assign, amend, abro-gate or waive the Subsidiary Loan Agreement or any provision thereof.

    Sectiom 3.08. The Borrower shall, as and when each of the facilitiesincluded in the Project is completed. deliver each such facility to SPA for opera-tion by SPA. such delivery to be made free and clear of all encumbrances on thetitle thereto.

    Section 3.09. The Borrower shall issue. or cause to be issued not later thanDecember 31. 1973 or such other later date as the Association shall determine.comprehensive port regulations. which shall be applicable to all ports of the Bor-rower under SPA's jurisdiction.

    Sec'tion 3.10. The Borrower shall take or cause to be taken all reasonablemeasures to ensure that the execution and operation of the Project are carriedout with due regard to ecological and environmental factors.

    Section 3./I. The Borrower shall issue promptly as needed import licen-ses. visas, work permits and other necessary documents and take any other ac-tion required to facilitate the import by the contractors and consultants of theGoods required for the Project.

    Article IV. FINANCIAL COVENANTS

    Section 4.01. Except as the Association shall otherwise agree. (a) the Bor-rower shall:(i) inform the Association of any intention to modify Law No. 58 of 1972 relat-

    ing to Finances of Public Enterprises and Agencies in sufficient time toafford the Association a reasonable opportunity to express its view thereon;

    (ii) promptly provide the Association with copies of all regulations or rulesrelating to the affairs of SPA issued by the Ministry of Finance, or otherMinistry having jurisdiction thereon;

    (iii) ensure that before SPA enters into any planned centralized capital invest-Io I- IN do Ic IVments as defined ini Law No. ", the AssucLatio is ,mumeu of su.

    proposed investment in sufficient time to enable the Association to expressits views thereon; and

    (iv) ensure that SPA, in financing any capital investment, shall not incur anydebt unless its net revenue for the fiscal year next preceding the date of suchincurrence or for a later twelve-month period ending prior to the date ofsuch incurrence, whichever is greater, shall be not less than 1.5 times themaximum debt service requirements for any succeeding year on all the debtof SPA, including the debt to be incurred.

    (b) For the purposes of this Section:(i) the term "debt" means all debt, including debt assumed or guaranteed by

    SPA, except debt incurred in the ordinary course of business and maturingby its terms on demand or less than one year after its incurrence;

    (ii) debt shall be deemed to be incurred on the date on which a contract or loanagreement or guarantee agreement is executed;

    (iii) the term "net revenue" means gross operating revenue of SPA, adjusted totake account of tariffs in effect at the time of the incurrence of debt eventhough they were not in effect during the entire fiscal year or twelve-monthperiod to which such revenue relates, less all operating expenses, including

    adequate maintenance, and administrative expenses, but before provisionfor depreciation, and interest and other charges on debt;

    (iv) the term "debt service requirements" means the aggregate amount of amor-tization (including sinking fund provisions), interest and other charges ondebt; and

    (v) whenever it shall be necessary to value in the currency used in the territoryof the Borrower debt payable in another currency, such valuation shall bemade on the basis of the rate of exchange at which such other currency isobtainable by SPA, at the time such valuation is made, for the purposes ofservicing such debt, or if such other currency is not obtainable, at a rate ofexchange reasonably determined by the Association.Section 4.02. (a) The Borrower shall lend the equivalent in Somali shil-

    lings of the proceeds of the Credit to SPA under the same terms and conditionsas set forth in Sections 2.04, 2.05 and 2.06 of this Agreement under a subsidiaryloan agreement acceptable to the Borrower and the Association.

    (b) The Borrower shall lend the equivalent in Somali shillings of the amountof all prior loans allocated to the ports of Berbera and Chisimaio on the sameterms and conditions as such loans were incurred.

    (c) The Borrower shall treat as equity capital of SPA the amount of thegrant received from the United States of America (USA) allocated to the port ofChisimaio and the proceeds of the grant from the Commission.

    Article V. CONSULTATION, INFORMATION, INSPECTION AND MANAGEMENT

    Section 5.01. The Borrower and the Association shall cooperate fully toassure that the purposes of the Credit will be accomplished. To that end, theBorrower and the Association shall from time to time, at the request of eitherparty:(a) exchange views through their representatives with regard to the performance

    of their respective obligations under the Development Credit Agreement andthe performance by SPA of its obligations under the Administration Agree-ment, the Project Agreement and the Subsidiary Loan Agreement and withregard to the administration, operations and financial condition of SPA, andother matters relating to the purposes of the Credit; and

    (b) furnish to the other all such information as it shall reasonably request withregard to the general status of the Credit. On the part of the Borrower, suchinformation shall include information with respect to financial and economicconditions in the territories of the Borrower, including the balance of pay-ments, and the external debt of the Borrower, of any of its political subdivi-sions and of any agency of the Borrower or of any such political subdivision.Section 5.02. (a) The Borrower shall furnish or cause to be furnished to

    the Association all such information as the Association shall reasonably requestconcerning the administration, operations and financial condition of SPA.

    (h) The Borrower and the Association shall promptly inform each other ofany condition which interferes with, or threatens to interfere with, theaccomplishment of the purposes of the Credit, the maintenance of the service

    thereof, the performance by either of them of its obligations under the Develop-ment Credit Agreement and the Administration Agreement or the performanceby SPA of its obligations under the Project Agreement and the Subsidiary LoanAgreement.

    Section 5.03. The Borrower shall ensure that SPA shall at all times carryout its operations under a qualified and experienced managerial staff.

    Section 5.04. The Borrower shall consult with the Association prior to anyproposed change in or appointment to the positions of the General Manager andFinancial Manager of SPA sufficiently in advance for the Association to haveadequate opportunity to comment thereon and shall give the Association's rec-ommendations due consideration.

    Section 5.05. The Borrower shall afford all reasonable opportunity foraccredited representatives of the Association to visit any part of the territories ofthe Borrower for purposes related to the Credit.

    Article VI. TAXES AND RESTRICTIONS

    Section 6.01. The principal of, and services charges on, the Credit shall bepaid without deduction for, and free from, any taxes imposed under the laws ofthe Borrower or laws in effect in its territories.

    Section 6.02. The Development Credit Agreement and the Project Agree-ment shall be free from any taxes on or in connection with the execution, deliv-ery or registration thereof, imposed under the laws of the Borrower or laws ineffect in its territories.

    Section 6.03. The payment of the principal of, and service charges on, theCredit shall be free from all restrictions, regulations, controls and moratoria ofany nature imposed under the laws of the Borrower or laws in effect in its terri-tories.

    Article VII. REMEDIES OF THE ASSOCIATION

    Section 7.01. If any event specified in Section 7.01 of the General Con-ditions or in Section 7.03 of this Agreement shall occur and shall continue for theperiod, if any, therein set forth, then at any subsequent time during the contin-uance thereof, the Association, at its option, may by notice to the Borrowerdeclare the principal of the Credit then outstanding to be due and payable imme-diately together with the service charges thereon and upon any such declarationsuch principal and service charges shall become due and payable immediately,anything to the contrary in the Development Credit Agreement notwithstanding.

    Section 7.02. For the purposes of Section 6.02 of the General Conditions,the following additional events are specified:(a) the right of the Borrower to utilize the funds provided by the Commission

    under the Commission Agreement shall have been suspended or terminated.in whole or in part-

    (h) SPA shall have failed to perform any of its obligations under the ProjectAgreement or the Subsidiary Loan Agreement;

    (c) the Borrower shall have failed to perform any of its obligations under theAdministration Agreement;

    (ci) the Law shall have been changed so as to impair the ability of the Borroweror SPA to carry out its obligations under the Development Credit Agree-ment, the Administration Agreement, the Project Agreement or the Subsid-iary Loan Agreement; and

    (c) the Law referred to in Section 4.01 (a) to this Agreement shall have beenchanged so as to reduce SPA's financial obligation to the Borrower.

    Section 7.03. For the purposes of Section 7.01 of the General Conditions,the following additional events are specified:(a) the event specified in paragraph (i) of Section 7.02 of this Agreement shall

    occur; and(h) any event specified in paragraph (b), (c) or (ti) of Section 7.02 of this

    Agreement shall occur and shall continue for 60 days after notice thereofshall have been given by the Association to the Borrower and SPA.

    Article VIII. EFFECTIVE DATE; TERMINATION

    Section 8.01. The following events are specified as additional conditions tothe effectiveness of the Development Credit Agreement within the meaning ofSection 10.01 (h) of the General Conditions:(a) The execution and delivery of the Commission Agreement on behalf of the

    Borrower have been duly authorized or ratified by all necessary govern-mental action and all conditions precedent to the effectiveness of suchagreement have been fulfilled subject only to the effectiveness of thisAgreement.

    (b) The execution and delivery of the Administration Agreement on behalf of theBorrower have been duly authorized or ratified by all necessary corporateand governmental action.

    (c) The execution and delivery of the Project Agreement on behalf of SPA havebeen duly authorized or ratified by all necessary corporate and governmentalaction.

    (ei) The execution and delivery of the Subsidiary Loan Agreement on behalf ofthe Borrower and SPA, respectively, have been duly authorized and ratifiedby all necessary corporate or governmental action.

    Section 8.02. The following is specified as an additional matter, within themeaning of Section 10.02 (b) of the General Conditions, to be included in theopinion or opinions to be furnished to the Association, namely, that each of theagreements referred to in paragraphs (a), (b), (c) and (d) of Section 8.01 of thisAgreement has been duly authorized or ratified by and delivered on behalf of,the Borrower or SPA, as the case may be, and constitutes a valid and bindingobligation thereof in accordance with its terms.

    Section 8.03. The date July 20, 1973, is hereby specified for the purposesof Section 10.04 of the General Conditions.

    Section 8.04. The obligations of the Borrower under Sections 5.01 (a) and5.02 (it) of this Agreement and the provisions of Section 7.02 of this Agreementand those of Section 7.03 of this Agreement shall cease and determine on thedate on which the Development Credit Agreement shall terminate.

    Article IX. REPRESENTATIVE OF THE BORROWER, ADDRESSES

    2. For the purposes of this Schedule, the term "total expenditures" means the ag-gregate of foreign expenditures and of expenditures for Goods produced in the territoriesof the Borrower.

    3. Notwithstanding the provisions of paragraph I above, no withdrawals shall bemade in respect of:

    (a) expenditures prior to the date of this Agreement except that withdrawals may bemade in respect of Category Ill on account of expenditures made after March 1, 1972in an aggregate amount not exceeding the equivalent of $30,000.

    (b) payments for taxes imposed under the laws 9 f the Borrower or laws in effect in itsterritories on Goods, or on the importation, manufacture, procurement or supply there-of. To the extent that the amount represented by the percentage set forth in thethird column of the table in paragraph I above in respect of any Category wouldexceed the amount payable net of all such taxes, such percentage shall be reduced toensure that no amount of the proceeds of the Credit will be withdrawn on account ofpayments for such taxes.4. Notwithstanding the allocation of an amount of the proceeds of the Credit set

    forth in the second column of the table in paragraph I above:(a) if the estimate of the expenditures under any Category shall decrease, the amount of

    the proceeds of the Credit then allocated to such Category and no longer requiredtherefor will be reallocated by the Association by increasing correspondingly theunallocated amount of the proceeds of the Credit;

    (b) if the estimate of the expenditures under any Category shall increase, the percentageset forth in the third column of the table in paragraph I above in respect of suchexpenditures shall be applied to the amount of such increase, and a correspondingamount will be allocated by the Association, at the request of the Borrower, to suchCategory from the unallocated amount of the proceeds of the Credit, subject, how-ever, to the requirements for contingencies, as determined by the Association in re-spect of any other expenditures; and

    (c) if the Association shall have reasonably determined that the procurement of any itemin any Category is inconsistent with the procedures set forth or referred to in Sec-tion 3.04 of this Agreement, and Section 2.02 of the Project Agreement, no expendi-tures for such item shall be financed out of the proceeds of the Credit and the Asso-ciation may, without in any way restricting or limiting any other right, power orremedy of the Association under the Development Credit Agreement, by notice to theBorrower, cancel such amount of the proceeds of the Credit as in the Association'sreasonable opinion, represents the amount of such expenditures which would other-wise have been eligible for financing out of such proceeds.5. Notwithstanding the percentages set forth in the third column of the table set out

    in paragraph i above, if the estimate of total expenditures under any Category shall in-crease and no proceeds of the Credit are available for reallocation to such Category, theAssociation may, by notice to the Borrower, adjust the percentage then applicable to suchexpenditures in order that further withdrawals under any such Category may continueuntil all expenditures thereunder shall have been made.

    SCHEDULE 2

    PROCUREMENT

    1. Unless the Association shall otherwise agree, the procedures outlined below shall befollowed for all civil works contracts, and all contracts for the supply of equipment and/ormaterials required for the Project.

    (a) Prequalification, as described in paragraph 1.3 of the Guidelines, shall berequired for all civil works bidders. The Borrower shall, before qualification is invited,inform the Association in detail of the procedure to be followed and shall introduce suchmodifications in said procedure as the Association shall reasonably request. The list ofprequalified bidders, together with a statement of their qualifications and of the reasonsfor the exclusion of any applicant for prequalification, shall be furnished by the Borrowerto the Association for its comments before the applicants are notified and the Borrowershall make such additions or deletions from the said list as the Association shall reason-ably request.

    (b) Before bids are invited, the Borrower shall furnish or cause SPA to furnish to theAssociation, for its comments, the text of the invitations to bid and the specifications andother bidding documents, and shall make or cause SPA to make such modifications in thesaid documents as the Association shall reasonably request. Any further modification tothe bidding documents shall require the Association's concurrence before it is issued tothe prospective bidders.

    (c) After bids have been received and evaluated, the Borrower shall, before a, finaldecision on the award is made, inform or cause SPA to inform the Association of thename of the bidder to whom it intends to award the contract and shall furnish or causeSPA to furnish to the Association in sufficient time for its review, a detailed report, by theconsultants referred to in Section 3.02 of this Agreement, on the evaluation and compari-son of the bids received, together with the recommendations for award of the saidconsultants, and the reasons for the intended award. The Association shall, if it deter-mines that the intended award would be inconsistent with the procedures set forth orreferred to in Section 3.04 of this Agreement, promptly inform the Borrower and state thereasons for such determination.

    (d) The terms and conditions of the contract shall not, without the Association'sconcurrence, materially differ from those on which bids were asked.

    (e) Two conformed copies of the contract shall be furnished to the Associationpromptly after its execution and prior to the submission to the Association of the first

    Paragraphe 2.04. L'Emprunteur versera A l'Association une commissionau taux annuel de trois quarts pour cent (3/4 p. 100) sur le montant du Credit quiaura 6t6 retir6 et n'aura pas encore 6t6 rembourse.

    Paragraphe 2.05. Les commissions seront payables semestriellement le1er juin et le Ier ddcembre de chaque annie.

    Paragraphe 2.06. L'Emprunteur remboursera le principal du Credit parversements semestriels effectuds le lerjuin et le I" d~cembre de chaque annde, h.partir du ler juin 1983 et jusqu'au 1er ddcembre 2022; les versements h effectuerjusqu'i celui du 1er ddcembre 1992 inclus correspondront un demi pour cent(1/2 p. 100) et les versements suivants h un et demi pour cent (12 p. 100) duprincipal.

    Paragraphe 2.07. La monnaie ddsignde aux fins du paragraphe 4.02 desConditions gdndrales est celle des Etats-Unis d'Amdrique.

    Article I11. LE PROJET

    Paragraphe 3.01. L'Emprunteur exdcutera pour le compte de la Rdgie lesparties A, B, C et D du Projet et fera executer par elle les parties E et F avec ladiligence voulue et dans les meilleures conditions, suivant les r~gles de l'art etles principes d'une saine gestion administrative et financi~re, et il fournira sansretard, au fur et h mesure des besoins, les fonds, moyens matdriels, services etautres ressources ndcessaires k l'ex6cution du Projet.

Pour l'aider dans l'exgcution du Projet, notamment pourexaminer les plans dgtaillks, mettre jour les devis, constituer le dossier d'ap-pels d'offres et surveiller les travaux de genie civil relatifs au Projet, l'Emprun-teur engagera ou fera engager des ingdnieurs-conseils agr66s par la Commissionet par I'Association, h des clauses et conditions jugdes satisfaisantes par elles.

    b) L'Emprunteur pr~tera 1'6quivalent en shillings somaliens du montant detous les pr~ts ant6rieurement affectes aux ports de Berbera et de Chisimaio, auxm~mes clauses et conditions que celles r6gissant ces prats.

    c) L'Emprunteur consid6rera comme capital-actions de la R6gie le montantdu don requ des Etats-Unis d'Am6rique qui a 6t6 allou6 au port de Chisimaio etle don de la Commission.

    Article V. CONSULTATIONS, INFORMATION, INSPECTION ET GESTION

    Paragraphe 5.01. L'Emprunteur et I'Association coopdreront pleinement hla rdalisation des fins du Cr6dit. A cet effet, h la demande de l'un ou de I'autre :a) Is confdreront de temps h autre, par l'intermddiaire de leurs representants,

    sur I'exdcution des engagements qu'ils ont pris dans le present Contrat, surl'ex6cution des engagements que la R6gie a pris dans le Contrat de gestionadministrative, le Contrat relatif au Projet, et le Contrat de prt subsidiaire,sur I'administration, les activitds et ia situation financiire de la Rgie et surtoute autre question relative aux fins du Cr6dit;

    b) Chacun communiquera h i'autre tous les renseignements que celui-ci pourraraisonnablement demander quant h la situation gdndrale du Credit. Lesrenseignements que I'Emprunteur devra fournir porteront sur ia situationeconomique et financi~re de ses territoires, notamment sur sa balance despaiements, et sur sa dette ext6rieure ou celle de ses subdivisions politiqueset ]a dette exterieure de ses organismes ou des organismes ou de ses subdi-visions politiques.Paragraphe 5.02. a) L'Emprunteur fournira ou fera fournir h I'Association

    tous les renseignements qu'elle pourra raisonnablement demander sur l'adminis-tration, les activit6s et la situation financi~re de ]a Regie.

    b) L'Emprunteur et I'Association s'informeront sans retard de toute cir-constance qui g~nerait ou menacerait de g~ner la r~alisationdes fins du Credit, lar6gularit6 de son service ou I'ex6cution des engagements qu'ils ont pris dans lepresent Contrat de credit de d6veloppement et dans le Contrat de gestionadministrative, ou I'excution des engagements que la R~gie a pris dans leContrat relatif au Projet et dans le Contrat de prt subsidiaire.

    Paragraphe 5.03. L'Emprunteur veillera i ce que les activit6s de la R~giesoient plac6es h tout moment sous la direction d'un personnel de gestion qualifi6et exp6riment6.

    Paragraphe 5.04. L'Emprunteur consultera I'Association, avant toutchangement ou toute nomination envisag6s aux postes de directeur g6n6ral et dedirecteur financier de ia Rgie, i temps pour que I'Association ait la possibilit6de pr6senter ses observations hi ce sujet, et il donnera toute I'attention voulueaux recommandations de I'Association.

    Paragraphe 5.05. L'Emprunteur donnera aux repr6sentants de I'Asso-ciation toutes possibilit6s raisonnables de p6n6trer dans une partie quelconquede ses territoires h toutes fins relatives au Projet.

    Article VI. IMP6TS ET RESTRICTIONS

    Paragraphe 6.0/. Le principal du Credit et les commissions y affdrentesseront pay~s francs et nets de tout imp6t 6tabli en vertu de la legislation deI'Emprunteur ou des lois en vigueur sur ses territoires.

    Paragraphe 6.02. Le pr6sent Contrat et le Contrat relatif au Projet serontfrancs de tout imp6t perqu en vertu de la legislation de I'Emprunteur ou des loisen vigueur sur ses territoires lors ou h l'occasion de leur 6tablissement, de leurremise ou de leur enregistrement.

    Paragraphe 6.03. Le remboursement du principal du Credit et le paiementdes commissions y aff6rentes ne seront soumis i aucune restriction our6glementation ni it aucun contr6le ou moratoire impos6s en vertu de la 16gisla-tion de I'Emprunteur ou des lois en vigueur sur ses territoires.

    Article VII. RECOURS DE L'AssOCIATION

    Paragraphe 7.01. Si l'un des faits 6num&s au paragraphe 7.01 desConditions g~nrales ou au paragraphe 7.03 du present Contrat se produit etsubsiste pendant la p~riode qui peut y ktre stipul~e, I'Association aura i toutmoment, tant que ce fait subsistera, la facult6 de declarer imm~diatement exigi-bles, en le notifiant hi I'Emprunteur, le principal non rembours6 du Credit et lescommissions y aff~rentes, et cette declaration entrainera I'exigibilit6 du jourm~me o6i elle aura &6 faite, nonobstant toute stipulation contraire du presentContrat.

    Paragraphe 7.02. Les faits suppl~mentaires suivants sont stipul~s aux finsdu paragraphe 6.02 des Conditions g~n~rales :

    a) Le droit de I'Emprunteur d'utiliser les fonds fournis par la Commission envertu de la Convention avec la Commission a &6 suspendu ou r~sili, entotalit6 ou en partie;

    b) Le fait que la R6gie n'a pas honor6 un engagement qu'elle a pris dans leContrat relatif au Projet ou dans le Contrat de prt subsidiaire;

    c) Le fair que I'Emprunteur n'a pas honor6 un engagement qu'il a pris dans leContrat de gestion administrative;

    d) Le fait que la loi a 6 amend6e et que I'Emprunteur ou la R6gie n'ont plus dece fait les moyens d'honorer les engagements qu'ils ont souscrits dans le pr6-sent Contrat, dans le Contrat de gestion administrative, dans le Contrat relatifau Projet et dans le Contrat de prt subsidiaire;

    e) Le fait que la loi vis6e Ao I'alin6a a du paragraphe 4.01 du pr6sent Contrat a6 amend6e de manibre 5o r6duire les obligations financibres de la R6gie vis-

    A-vis de I'Emprunteur.

    Paragraphe 7.03. Les faits supplmentaires suivants sont stipulgs aux finsdu paragraphe 7.01 des Conditions g6ngrales :a) Le fait sp6cifi6 . l'alin6a a du paragraphe 7.02 du pr6sent Contrat s'est pro-

    duit;b) Un des faits 6numgrgs aux alingas b, c ou d du paragraphe 7.02 du present

    Contrat s'est produit et subsiste pendant 60 jours 5o compter de sa notificationpar I'Association hi I'Emprunteur et 5o la R6gie.

    Article VIII. ENTRtE EN VIGUEUR; EXPIRATION

    Paragraphe 8.01. L'entrge en vigueur du present Contrat est subordonn6eaux conditions suppl6mentaires suivantes, au sens de l'alinga b du para-graphe 10.01 des Conditions g6ngrales :

    a) La signature et la remise de la Convention avec la Commission au nom del'Emprunteur auront 6 dfment autoris6es ou ratifiges par les pouvoirs pu-blics dans les formes requises et toutes les conditions ngcessaires h l'entr6een vigueur de ladite Convention auront 6t6 remplies, sous ]a seule reserve del'entrge en vigueur du pr6sent Contrat.

    b) La signature et ]a remise du Contrat de gestion administrative au nor del'Emprunteur auront 6 dfiment autorisges et ratifi6es par les organes so-ciaux comp6tents et par les pouvoirs publics dans les formes requises.

    c) La signature et la remise du Contrat relatif au Projet au nor de ]a R6gieauront 6t6 d~ment autorisges et ratifiges par les organes sociaux compgtentset les pouvoirs publics dans les formes requises.

    d) La signature et ]a remise du Contrat de prt subsidiaire aux noms deI'Emprunteur et de ia R6gie, respectivement, auront 6t6 dfiment autoris6es etratifiges par les organes sociaux compgtents et les pouvoirs publics dans lesformes requises.

    Paragraphe 8.02. La consultation ou les consultations hr remettre h i'Asso-ciation devront 6tablir titre de point suppl6mentaire, au sens de l'alin6a b duparagraphe 10.02 des Conditions g6n6rales - que chacun des contrats vis6s auxalin6as a, b, c et d du paragraphe 8.01 du pr6sent Contrat - a 6t6 dfiment auto-ris6 ou ratifi6 par I'Emprunteur ou par ia R6gie, selon le cas, et sign6 et remis en

    son nom, et qu'il constitue un engagement valable et d6finitif conform6ment 5.ses dispositions.

    Paragraphe 8.03. La date sp6cifi6e aux fins du paragraphe 10.04 des Con-ditions g6n6rales est le 20juillet 1973.

    Paragraphe 8.04. Les engagements que 'Emprunteur a souscrits h 'ali-n6a a du paragraphe 5.01 et hi l'alin6a a du paragraphe 5.02 du pr6sent Contrats'6teindront et les dispositions des paragraphes 7.02 et 7.03 cesseront de pro-duire effet h ]a date d'expiration du pr6sent Contrat.

    Article IX. REPRtSENTANT DE L'EMPRUNTEUR; ADRESSES

    Paragraphe 9.01. Le repr6sentant de l'Emprunteur d6sign6 aux fins duparagraphe 2.02 du pr6sent Contrat et du paragraphe 9.03 des Conditions g6n6-rales est le Secr6taire d'Etat aux finances de I'Emprunteur.

    Paragraphe 9.02. Les adresses ci-apr~s sont indiqu6es aux fins du para-graphe 9.01 des Conditions g6n6rales.
