The digital revolution is in full swing. In a highly competitive market where new business models are always developing and existing processes are continually being challenged, worldwide groups of companies, well-established medium-sized businesses and start-ups are looking for the best pos-sible solutions. This not only calls existing business models into question, but also creates new, innovative forms of coop-eration. This revolution is being driven by numerous techno-logical developments over recent years, such as cloud com-puting, digital platforms, Big Data and artificial intelligence, the Internet of Things (IoT) or blockchain technology.

Luther’s lawyers provide comprehensive support and advice in all legal issues pertaining to digital business models, agile

architectures and when using new technologies as well as the necessary transformation process in the company. From the realignment of digital value chains, platform business models, future work, IT and data protection issues, intellectual prop-erty protection to digital compliance and antitrust law. We have summarized our advisory services in these legal areas under “Luther.Digital”. Luther.Digital can accompany you through all the phases of any upcoming transformation pro-jects - from the strategic dialogue to LegalTech solutions and the subsequent change process.

Digital Infrastructure

An agile digital infrastructure is critical for the success of in-novative business models as it enables the company to use technological levers profitably. Particularly in recent years, these new technologies have forced companies in all indus-tries to take a critical look at their processes, organisations or IT architecture. Platforms and communities, the Internet of Things (IoT), 5G, Big Data and the opportunities associated with such, or the developments in the area of artificial intelli-gence, all require a solid, secure and agile IT infrastructure as well as the corresponding agreements and licences with busi-ness partners and customers.

Cloud computing as a core enabler not only places high de-mands on the architecture and organisation of an enterprise but also on security and data protection. IT sourcing as well as outsourcing are often projects that have a far-reaching impact on business processes and architectures. In addition, issues

arise regarding software and licences or broadband expan-sion and 5G as current topics of the digital value chain.

Our Services

Luther advises on all legal issues relating to the digital infra-structure of companies. We can assist you with the prepara-tion and negotiation of agreements, such as software licences, ASP or SaaS agreements as well as other cloud computing agreements. As part of an IT outsourcing project, we can ad-vise and accompany the whole process, from the requirement assessment, the invitation to tender up to and including the drafting and negotiation of agreements. When advising you, our experts will take into account in particular any employment and licensing law issues, IT security and data protection as-pects, as well as, if necessary, regulatory requirements.

Digital Value ChainsPlatforms – B2B Communities

Digitalisation brings a multitude of new legal challenges, es-pecially relating to services on the internet, where various market participants with different interests meet, as is the case above all with so-called platform services. Through pro-viders such as Google, Facebook and Microsoft and the net-working of companies that results from their services, ques-tions of platform business models and the accompanying legal challenges surrounding them are already playing a prominent role. In these multilateral markets with their network effects, platforms affect the economic and legal interests of platform service providers, (end) customers and third parties alike. In the wake of this progressive digitalisation and the si-multaneous leaps in technical development, digital platforms, search engines and portals for various applications are in-creasingly displacing companies with traditional business models and classic distribution channels with their “disruptive” offers. New market participants often offer their services glob-ally and across industries and frequently gain importance to customers through the so-called network effect. The risk of disruption to business models means established providers need to constantly question their own business model and adapt them accordingly to ensure they are not forced out of the market.

Our Services

Luther can advise companies on all legal issues relating to platform business models. Our advice in this regard includes assisting with the development of new business models, re-viewing antitrust and other regulatory aspects as well as as-sisting and advising on the internal and external development of business activities. In addition, we can provide comprehen-sive advice on IP, licensing and data protection issues and can help with special issues relating to e-commerce, provider liability or allegations of abuse of a dominant market position.

The digital value chain encompasses all stages from the de-velopment to the delivery and subsequent servicing of pro-ducts. This is where data from the underlying processes is collected and shared with all internal and external units and participants for further processing. This networking of orga-nisations and business partners in a value chain, which often extends beyond national borders, holds great potential for ef-ficiency, quality and speed through the shared use of systems and data. This opens up a wide range of opportunities through the vertical and horizontal integration of process flows and, thus, in the development of new, innovative services and products.

However, this not only relates to the exchange of information, documents and data from sales, development, production or delivery logistics, but also to complex legal issues regarding supply agreements as well as distribution and sales agree-ments or quality agreements. The value generated by today’s cross-company networks places high demands on the coop-eration of all participants, on process and product safety, compliance, data protection and contract design.

Our Services

Luther can advise companies on all legal issues relating to the digitalisation of the value chain. Our advice includes reviewing antitrust and other regulatory aspects as well as assisting and advising on the further development of business models. We can advise you on issues relating to national and international sales and the procurement of goods, product liability and product safety. Another focus is on advising on agreements of all kinds (distribution, supply, logistics, quality) as well as on cross-border transactions and disputes.

Data Protection & Compliance

Industry 4.0, Big Data, Internet of Things (IoT), cloud comput-ing or social media: personal data and the usage of personal data have become the most important element of many busi-ness models. This means that companies need to find their way around the conflict between their business interests and the legal requirements, by ensuring their data protection is very well organised. In today’s business world, compliance with the statutory provisions and internal company guidelines is becoming increasingly important. The persons responsible are not only required by law to ensure that there are no viola-tions of the law from within the company. Business partners, customers and staff members also expect the company to conduct itself in a legally compliant manner, both internally and externally. It is not without reason that companies view compliance and data protection as important areas of risk management which are relevant from an economic, legal and tax perspective. This concerns not only the protection of busi-

ness and trade secrets, know-how or critical data, but in par-ticular the protection of personal data.

Our Services

Luther can provide comprehensive advice on data protection law to national and international companies and internal data protection officers. We can also advise on organising data protection when using new technologies and provide assis-tance with data protection impact assessments. Our team pro-vides advice on all aspects of employee data protection, transactional advice or data exchange in a global environ-ment, on issues relating to electronic documents and their ar-chiving, IT security and IT compliance as well as antitrust compliance. Data belonging to customers, service providers or employees which is processed by the company itself or by third parties in a national or international environment.

Artificial Intelligence & Big Data

Blockchain & FinTech

Artificial intelligence is one of the driving technologies when it comes to enabling a variety of new products and services: robo-advisors, autonomous vehicles, drones and digital health care products are only some of the applications that are currently being developed. From a legal perspective, this sub-ject is still in its infancy. Liability issues can be covered under the existing legal framework, but involve a number of prob-lems relating to providing proof. Similarly unclear is what re-quirements these new products and services must meet in order to be approved for the market in Germany or Europe. Artificial intelligence needs data. This data and information is frequently referred to as the raw material of the 21st century. With the help of AI or Big Data analyses, new insight can be gained from this pool of information. But the question often arises as to whether this data and information used may also be used for these purposes. In this regard, however, it is not only relevant to obtain data and information. Instead, it must also be ensured that no information is accidentally disclosed that was not intended for disclosure.

Our Services

Our lawyers can advise and support you in all aspects of this still very new area of law and help you to put the essential aspects into the right context and to understand them. We can assist you with the legal design of new data-based business models, legal issues regarding information procurement and data analysis as well as scoring and valuation models. We can also provide sound expertise and advise on all legal topics in the innovative areas of UAVs (Drones) & Robotics, Mobility & Autonomous Driving or E-health.

Blockchain technology makes it possible to digitise assets, al-lowing them to be directly implemented, securely documented and administrated in a decentralised manner in transactions between the parties involved. As a result, so-called intermedi-aries are no longer needed. Blockchain applications can be found above all in the financial industry and capital markets, but increasingly in logistics, where they are used to describe supply chains in a transparent manner and without interrup-tions. As an initially pure technological concept, a blockchain does not exist in a legal vacuum: especially when used pro-ductively, there are many legal issues that need to be consid-ered in connection with blockchain-based business models. With a specialised multidisciplinary team of lawyers, we can advise the providers of these technologies, as well as compa-nies in the financial sector, on all legal issues in the area of blockchain or financial technology (“FinTech”).

Our Services

At Luther, we can advise companies on all questions of law relating to this innovative technology and to the business mod-els that are based on this technology. Our advisory services include examining the regulatory challenges and taking them into account when drafting agreements, providing support in intended cooperations as well as advice on the development, expansion or financing of new business models. In the area of financial technology (FinTech), we advise companies from the financial sector, technology providers and the providers of new technology-based business models on digitalisation strategies. We provide strategic legal input on these topics with a view to ensuring the required compliance in a heavily regulated legal environment.

Digital MediaProtecting Intellectual Property

Digitalisation is capturing the media world at an increasingly quick pace. Internet platforms are becoming increasingly im-portant compared to traditional publishers and media compa-nies: whether as an advertising medium for entrepreneurs, as competitors or as producers of content. Influencers are the new stars of the media world. Despite these new develop-ments, the parties involved still need to comply with the ap-plicable laws. The identification of advertisements as such, the duty to provide a legal notice or the usage of pictures are legal pitfalls that should be avoided.

In addition to direct interaction with customers via social media, the internet also offers other opportunities to get to know one’s customers. Facebook Pixel, Google Analytics and similar instruments provide valuable insights but are also often incompatible with the applicable data protection law. Search engine optimisation (SEO), Google Adwords and other cam-paigns may infringe trademark rights. Surreptitious advertis-ing and fake news are also topics that are legally relevant.

Our Services

Luther can offer different approaches and legal advice in the area of digital marketing, including amongst other things, as-sistance with the conception and implementation of cam-paigns, contractual advice and support relating to the enforce-ment of, or defence against, claims. We can provide support in all areas of influencer marketing as well as podcasting, for example, the legally compliant implementation of advertising in the channels or drafting agreements of all kinds. We are specialists in issues relating to social networks and video plat-forms as well as e-sport and gaming, in particular, copyright and ancillary copyright law, the purchase and use of content or advice on regulatory issues.

Intellectual property is the basis for success in many compa-nies. The protection of this property should - especially in times of digital business models - be of immense importance in order not to endanger entrepreneurial success in the fu-ture. With the introduction of the “German Trade Secrets Act” (GeschGehG), which is based on the EU Know-how Directive, the requirements for the protection of business and company secrets have changed fundamentally. From secret recipes to purchase prices up to and including customer lists, the imple-mentation and documentation of “appropriate confidentiality measures” is now always necessary if companies want to in-voke the civil and criminal protection of information that se-cures their competitive advantage.

Our Services

Luther can advise on all aspects of the new legal situation. From adapting your employee and supplier documents to pro-viding training at all levels and creating comprehensive con-cepts for the protection of secrets. Our team has outstanding knowledge and experience when it comes to protecting exist-ing assets, creating and establishing new trademarks or re-branding. Thinking strategically and subject-specifically, our advisors put themselves in your company’s position. We can advise on drafting agreements, represent your interests in contract negotiations, assert your rights out of court in arbitra-tion proceedings and in courts in Germany, Europe and Asia.

Start-Ups & Venture Capital

Legal Operations

Start-ups: from the start-up to the exit, start-ups often encoun-ter a multitude of legal problems and questions. Some impor-tant decisions have to be made in advance. The choice of legal form can have a significant impact on aspects such as liability and taxation. Articles of association and shareholder agreements need to be drawn up and a large number of other contractual relationships must be entered into. The core of the start-up - the underlying idea - must be developed and the rights to the development, the resulting product or business model must be protected effectively in order to lay a secure foundation for the further creation of value.

Venture capital: investors who invest in young growing com-panies take a conscious risk. In order to control the risk, it is essential that the process is set up in a holistic and profes-sional manner so the life cycle of the investment is managed in the best possible way from the start, through the various fi-nancing rounds up to the exit. This can be carried out either through due diligence checks, the drafting of investment agreements, restructuring after closing or, finally, advice on the exit.

Our Services

Luther can support start-up founders with the setting up of their company, the securing of their intellectual property and with financing. In addition, we can also provide assistance and advice when dealing with all other relevant legal issues, for example, relating to data protection, employment law, the drafting of customer agreements and general terms and con-ditions, or litigation.

We can advise investors - irrespective of whether these are lead or co-investors, family offices or corporate VCs - on fi-nancing rounds through all the stages up to the exit.

Legal departments in companies are facing a variety of chal-lenges: an increasing workload due to an increase in inquiries from the divisions, increasing complexity of legal work due to new business models, more complex cooperation with inter-nal and external partners and increasing cost pressure in the department. In order to increase the contribution to perfor-mance as a partner to the divisions, to make the best possible use of technical possibilities and to operate other important levers, the integrated management of operational work - often referred to as “legal operations” - is considered practicable for legal departments.

The focal points can be the following subject areas: managing external partners, increasing efficiency through process de-sign and process optimisation, using digital innovations in the daily workflow or as a support service for corporate divisions as well as goal-oriented communication in an internal and ex-ternal context. These main areas are often supported by the creation of legal technology management, comprehensive in-novation management and the introduction of legal project and process management. All of the abovementioned areas help ensure the quality, efficiency, risk, time and cost targets are achieved.

Our Services

Luther advises with expertise and practical know-how in the areas of process design and optimisation, including the use of digital services (LegalTech) and architecture models, efficient project management through the use of international project management standards and the development of innovation and technology management in the legal sector.

Future WorkDigital Legal Services

Today’s working environment is undergoing a dramatic change: the globalisation of the labour market, demographic change and, above all, new technologies are changing work-ing arrangements, places of work and working hours. This change to the working environment is affecting employees and employers alike - the relationship with one another offers new opportunities to raise potential on both sides. Company processes and organisational structures are in a state of change: networks, even across company borders, are emerg-ing and leading to new, innovative forms of cooperation and the transformation of existing structures. The introduction of an innovative work culture leads to new ways of thinking and acting within the company and fosters new forms of collabora-tion, such as crowdsourcing or open talent networks, which increase effectiveness.

The introduction of new technologies to support employees can unlock new efficiency potential in companies: cloud, arti-ficial intelligence, Big Data analytics or robotics. This presents new opportunities, but must also be legally enshrined in the corporate organisation.

Our Services

Luther can advise companies on all legal issues relating to the innovative topic “Future Work”. We provide advice on “modern work style” issues, including amongst other things flexible freelancing concepts, the use of open talent networks or flex-ible working time arrangements. We can assist you with the implementation of an innovative culture, for example, with es-tablishing incubators or innovation hubs or any legal issues surrounding models of innovation, such as agile work, scrum or crowdwork, as well as the use of technology to increase efficiency. Using modern, innovative methods and tools, we can assist you with the launch of employee KPIs and assess-ment systems as well as with issues relating to employee training.

Technology levers, such as cloud computing, Big Data, artifi-cial intelligence, platforms and related opportunities, lead to changes in corporate business models. Products become in-telligent, virtual services supplement the range of services provided by companies, and innovative forms of cooperation raise the potential for new efficiency gains. Under the term legal technology or “LegalTech”, these developments are shaping the legal advisory services of tomorrow. The use of AI for the processing and evaluation of large amounts of data or complex documents, the introduction of automation solutions for complex processes or documents or the use of platforms for cooperation with departments and external partners. The area “Digital Legal Services” bundles knowledge and exper-tise to design and use innovative LegalTech solutions for legal advice - for law firms and in companies.

In addition, we can also offer our clients selected digital ser-vices which enable us to collaborate efficiently on legal mat-ters and/or which can be used as a solution for direct use in the company, developed by an cross-sectoral digital team consisting of lawyers, technology experts as well as innova-tion partners and legal tech start-ups, and which can be inte-grated into the law firm or corporate process.

Our Services

Luther offers digital services in the following areas in order to increase efficiency internally or in use with partner compa-nies: process and decision automation, automated document generation, use of AI for mass document analysis or analysis of complex documents, use of collaboration platforms for pro-cess automation, document management, communication and integration of LegalTech solutions. Furthermore, we use and offer solutions to increase efficiency and handle mass procedures.
