EXECUTIVE SUMMARY

Neel-Schaffer, Inc., Ridgeland, Mississippi, has performed a Phase I ESA in conformance with the scope and limitations of ASTM Practice E 1527-05 (with the exception of deviations noted in Section 11.0) and 40 CFR 312 “All Appropriate Inquiry” at the former automobile body/salvage yard facility located at 9279 Highway 178, Byhalia, Mississippi, the property. At the time of the site reconnaissance performed on October 12, 2010, the approximate eight acre vacant parcel was developed with two warehouse buildings, each having vehicular access via roll up doors. The smaller warehouse building was approximately 1,600 square feet in size and the larger warehouse building was approximately 8,000 square feet in size. With the exception of shelving, office furniture, and occasional empty oil 5-gallon containers, the warehouses were empty. The remainder of the parcel was a field with thick underbrush and small trees. Scattered debris generally associated with junk automobiles, such as old tires, metal/plastic parts, automobile chassis/body parts, engine parts, automobile fuel tanks, etc., were observed on the property.

Potable water service was provided by the City of Byhalia. Sanitary sewer service was provided by an onsite septic tank. Federal and state water well databases reported that two water wells exist on the property. Due to thick underbrush that limited visibility, we were not able to confirm the presence of the water wells.

The property was reportedly utilized as a dairy at least back to 1940 through 1970. Development occurred in the mid-1970s with the warehouse buildings observed during the site reconnaissance. Property usage from the mid-1970s through 1997 was identified as an automobile junkyard and automobile body shop. Neither the property nor adjoining properties appeared on any reviewed environmental databases. Based on the results of the Phase I ESA, it is our opinion that a recognized environmental condition exists in the form of previous property usage as an automobile junkyard/body shop.

1.0 INTRODUCTION

1.1 Purpose

On behalf of the user (Mr. Marvin Crass and Mr. Jeffrey Crass), the Mississippi Department of Environmental Quality, Brownfields Section retained Neel-Schaffer, Inc. (Neel-Schaffer), Ridgeland, Mississippi, to perform a Phase I ESA in conformance with ASTM Practice E 1527-05 (with the exception of deviations noted in Section 11.0), referred to herein as the practice, and 40 CFR 312 “All Appropriate Inquiry” for the former automobile body/salvage yard facility located at 9279 Highway 178, Byhalia, Mississippi, the property. The purpose of the Phase I ESA was to identify, in accordance with ASTM Practice E 1527-05 Standard Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process, recognized environmental conditions at the property under assessment. ASTM E 1527–05 defines recognized environmental condition as “the presence or likely presence of any hazardous substances or petroleum products on the property under conditions that indicate an existing release, a past release, or a material threat of a release of any hazardous substances or petroleum products into structures on the property or into the ground, groundwater, or surface water of the property. The term includes hazardous substances or petroleum products even under conditions in compliance with laws. The term is not intended to include de minimis conditions that generally do not present a material risk of harm to public health or the environment and that generally would not be the subject of an enforcement action if brought to the attention of the appropriate governmental agencies.”

1.2 Scope of Services

The scope of this assessment included the following activities:

1. The results of an inquiry by an environmental professional.

2. Interviews with past and present owners, operators, and/or occupants of the property for the purpose of gathering information regarding the potential for contamination at the facility.

3. Reviews of historical sources, such as chain of title documents, aerial photographs, topographic maps, Sanborn® maps, building department records, and/or land use records, to determine previous uses and occupancies of the property since the property was first developed, or back to 1940, whichever is earlier.

4. Interview/questionnaires directed to the property owner, facility manager, and user pertaining to recorded environmental cleanup liens against the property that are filed under federal or local law.

5. Reviews of federal, state, and local government records, waste disposal records, underground storage tank records, and hazardous waste handling, generation, treatment, disposal and spill records concerning contamination at or near the property.

6. Visual inspections of the property and adjoining properties.

7. Specialized knowledge or experience on the part of the user.

8. The relationship of the purchase price to the value of the property, if the property was not contaminated.

9. Commonly known or reasonably ascertainable information about the property.

10. The degree of obviousness of the presence or likely presence of contamination at the property, and the ability to detect the contamination by appropriate investigation.

1.3 Limitations

Neel-Schaffer is not able to represent that the property or adjoining land contains no hazardous waste, oil, or other latent condition beyond that detected or observed during the assessment. The possibility exists for contaminants to migrate through surface water, air, or groundwater. The ability to address the environmental risk associated with transport in these media including, but not limited to, vapor intrusion, is beyond the scope of this investigation. No statement of scientific certainty can be made regarding latent subsurface conditions that may be the result of onsite or offsite sources. No environmental site assessment can wholly eliminate uncertainty regarding the potential for recognized environmental conditions in connection with a property. Performance of this practice is intended to reduce, but not eliminate, uncertainty regarding the potential for recognized environmental conditions in connection with a property, and this practice recognizes reasonable limits of time and cost.

During the course of this assessment, we have relied on information obtained from interviews, third party research, and other entities. We did not conduct an independent verification of the accuracy of such information. The only warranty made by us in connection with the services provided is that we have used that degree of care and skill ordinarily exercised under similar conditions by reputable members of our profession practicing in the same or similar locality. No other warranty, expressed or implied, is made or intended.

This report has been prepared for the exclusive use of the Mississippi Department of Environmental Quality, Mr. Marvin Crass, and Mr. Jeffrey Crass in connection with the former automobile body/salvage yard facility located at 9279 Highway 178, Byhalia, Mississippi, for the purposes of qualifying Mr. Marvin Crass and Mr. Jeffrey Crass for defenses which may be available to Mr. Marvin Crass and Mr. Jeffrey Crass under CERCLA. Reliance on this document by any other party is forbidden without the express written consent of Neel-Schaffer and that party’s execution of a Neel-Schaffer Secondary Client Agreement, which describes mutually acceptable terms and conditions for reliance on this document. 2.0 SITE DESCRIPTION

2.1 Location

The former automobile body/salvage yard facility is located at 9279 Highway 178, Byhalia, Mississippi, latitude 34º53′06.54″ North, longitude 89º43′21.50″ West, Parcel No. 258-27-08501. A topographic map and aerial photograph of the property and adjoining areas are attached as Figures 1 and 2, respectively. The only adjoining paved road is Highway 178 along the northern property boundary.

2.2 Current Uses of the Property and Adjoining Properties

The property is situated in a rural area and is developed with two warehouse buildings. At the time of the site reconnaissance on October 12, 2010, the property was unoccupied. Adjoining properties are wooded, vacant commercial, and industrial. More detailed descriptions of the property and adjoining properties are presented in Section 5.0 of this report.

3.0 USER PROVIDED INFORMATION

Mr. Marvin Crass provided user information by completing an ASTM E 1527-05 Phase I Environmental Site Assessment User Questionnaire and Disclosure Statement, attached as Appendix A.

3.1 Environmental Liens or Use Restrictions Recorded on Title Records

Mr. Marvin Crass was not aware of any environmental cleanup liens against the property that are filed or recorded under federal, tribal, state, or local law. On behalf of Mr. Marvin Crass, the realtor (Mr. John Behnke, Memphis Commercial & Industrial Real Estate) provided a title search prepared by Stewart Title Guaranty Company of Memphis, Tennessee. A copy of the title search is included in Appendix A. There were no reports of environmental liens or use restrictions in the title search.

3.2 Specialized Knowledge

Mr. Marvin Crass was not aware any specialized knowledge or experience related to the property or nearby properties.

3.3 Commonly Known or Reasonably Ascertainable Information

Mr. Marvin Crass was aware of prior property usage as a dairy farm (1940 through 1970) and automobile parts/salvage after the mid-1970s. Mr. Marvin Crass was not aware of any specific chemicals that are present or were once present at the property. Mr. Marvin Crass was not aware of spills or other chemical releases that have taken place at the property. Mr. Marvin Crass was not aware of any environmental cleanups that have taken place at the property.

3.4 Valuation Reduction for Environmental Issues

Mr. Marvin Crass stated that the property purchase price is based upon the appraised value.

3.5 Owner, Property Manager, and Occupant Information

Mr. Marvin Crass provided the property owner as Tommy Pham and Laura Pham. Mr. Marvin Crass provided a site contact as the real estate agent, Mr. John Behnke.

3.6 Previous Reports

In a telephone conversation, Mr. Jeffrey Crass, Mr. Marvin Crass’s son, reported that a prospective property purchaser had performed a Phase I ESA; however, the prospective property purchaser asked $1,000.00 to release the Phase I ESA Report. Therefore, the previous Phase I ESA Report was not practically reviewable.

3.7 Reason for Performing the Phase I ESA

Mr. Marvin Crass and Mr. Jeffrey Crass are planning to purchase the property and the Phase I ESA was performed in order to qualify for innocent landowner defense protections under CERCLA.

4.0 RECORDS REVIEW

4.1 Physical Setting Sources

The USGS Byhalia NW, MS 7.5-Minute Series Topographic Map, dated 1973, was reviewed for physical setting information. The referenced map is the most recent USGS 7.5-Minute Series topographic map coverage for the property. A site elevation of approximately 390 feet National Geodetic Vertical Datum was interpreted from the topographic map. The site topography is generally flat with a slight grade to the west. Based on the topographic slope, a groundwater flow direction to the west can be inferred. There were no indications of oil field or mining activities on the property on the referenced topographic map.

4.2 Environmental Record Sources

A review of ASTM-specified environmental databases was performed on October 4, 2010, by Environmental Data Resources, Inc. (EDR). The EDR Radius MapTM Report with GeoCheck® is attached as Appendix B. The property did not appear in any of the reviewed databases. Additionally, there were no facilities reported within the ASTM-specified search radii.

Twenty-six facilities were not mapped in the database report due to poor or inadequate address information. None of these 26 facilities was observed on the property or adjoining properties during the site reconnaissance.

4.3 Subject Property Historical Use Information

The following historical sources were reviewed:

• The EDR Historical Topographic Map Report (topographic maps dated 1948 and 1971, included in Appendix C) and 1973 (Figure 1);

• The EDR Aerial Photo Decade Package (aerial photographs dated 1969, 1975, 1980, 1985, 1992, 1997, 2005, and 2006 included in Appendix C) and 2009 (Figure 2);

• The EDR-City Directory Abstract (no coverage, included in Appendix C); and

• Certified Sanborn® Map Report (unmapped property, included in Appendix C).

No development was shown on the topographic maps. No development was discernable on the 1969 aerial photograph. Initial development of warehouse buildings and what appeared to be rows of junk automobile was visible on the 1975 aerial photograph. The subsequent 1980, 1985, and 1992 aerial photographs were of poor quality and property development was not discernable. The 1997, 2005, 2006, and 2009 aerial photographs showed the warehouse buildings and the remainder of the property as an apparent grassed field.

4.4 Adjoining Properties Historical Use Information The historical sources cited in Section 4.3 were used to investigate adjoining properties historical use. The following adjoining property development was noted:

• North – Highway 178 (historical US Highway 78) and railroad on all reviewed historical sources;

• South – Undeveloped wooded land on all reviewed historical sources;

• East – Initial development indicated on 1975 aerial photograph as buildings associated with vacant grocery store observed on the day of the site reconnaissance, mobile home park noted on 2005 aerial photograph; and

• West – Residential and undeveloped at least back to 1969, County Line Automobile & Salvage noted on the 2005, 2006, and 2009 aerial photographs.

5.0 SITE RECONNAISSANCE

5.1 Methodology and Limiting Conditions A site reconnaissance was performed by Mr. B. Gregory Taylor, RPG, Neel-Schaffer Project Geologist on October 12, 2010. Photographs taken of the property are attached as Appendix D. The site reconnaissance was accomplished by walking the perimeter of the property and the interior of the buildings. Visibility and access was limited by tall grass and thick underbrush. Mr. Jeffrey Crass accompanied Mr. Taylor during the site visit.

5.2 General Site Setting The property was approximately eight acres and was developed with two, metal-sided, single-story warehouse buildings, each having vehicular access via roll-up doors. The smaller warehouse building was approximately 1,600 square feet in size and the larger warehouse building was approximately 8,000 square feet in size. The smaller warehouse building appeared to be not heated. The larger warehouse building was heated by electricity. With the exception of

shelving, office furniture, and occasional empty oil 5-gallon containers, the warehouses were essentially empty. An approximate ten foot diameter area of granular, oil absorbent material was observed on the concrete slab in the larger warehouse building (see Appendix D, photo 6). The remainder of the property was a field with thick underbrush and small trees. Occasional plastic and metal debris was scattered across the grassed field. An approximate 50 foot by 30 foot area of concentrated debris (see Appendix D, photo 10) was observed near the southern end of the property. In general, the debris observed in the grassed field portion of the property was associated with junk automobiles, and can be described as old tires, metal/plastic parts, automobile chassis/body parts, engine parts, occasional automobile oil filters, occasional automobile fuel tanks, etc. Additionally, miscellaneous empty plastic and metal containers ranging in size from approximately one quart to five gallons were observed in the grassed field. Some of these containers previously contained petroleum products such as oils and lubricants; however, many of the containers were not labeled and their previous contents were unknown. Also included in the debris were occasional plastic tops of automobile batteries. An approximate 250 gallon, steel above ground storage tank was observed in the grassed field. The observed above ground storage tank location appeared to be an equipment storage area and there was no apparent current or prior usage of the tank at its observed location. The previous contents of the tank were not apparent.

Sanitary sewer service was provided by an onsite septic tank. Mr. Jeffrey Crass referenced the approximate location of the septic tank as shown on Figure 2 and in Appendix D, photo 14. However, Mr. Jeffrey Crass was reporting second-hand knowledge as to the location of the septic tank and was not certain of the accuracy of such information.

Potable water service was provided by the Town of Byhalia. Federal and state water well databases reported that two water wells exist on the property (see EDR Radius MapTM Report with GeoCheck® attached as Appendix B). Due to thick underbrush and tall grass that limited visibility, we were not able to confirm the presence of the water wells.

Adjoining property usage was observed as follows:

• North – Highway 178 and railroad;

• South – Undeveloped, wooded land;

• East – Vacant former grocery store buildings; and

• West – County Line Automobile & Salvage.

6.0 INTERVIEWS The interviews were conducted by Mr. B. Gregory Taylor, RPG. Summaries of the interviews are presented in the following sections.

6.1 Interview with Current Property Owner The title search prepared by Stewart Title Company covers the period November 1, 1989, through August 12, 2010, and reported the following property ownership:

• On November 20, 1989, Donna Lou Greer sold the property to Thuan Pham;

• On January 29, 1998, Thuan Pham sold the property to Hung Pham; and

• On August 22, 2006, Hung Pham sold the property to Tommy Pham and Laura Trinh.

Mr. Tommy Pham was interviewed by telephone on October 5, 2010. Mr. Pham lives in Marino Valley, California, and since he is not fluent in English, Mr. Pham’s daughter served as an interpreter. Mr. Pham reported that he has owned the property for four years, during which time the property has been unoccupied. Mr. Pham reported that when he assumed ownership, there were several drums of used motor oil in the warehouse building. Mr. Pham reported that the used motor oil and drums were removed from the property by appropriate recyclers. Mr. Pham was aware of the previous property usage as an automobile junkyard. Mr. Pham was not aware of any storage tanks on the property or any spills, releases, or cleanups of hazardous substances or petroleum products. Mr. Pham was not aware of any environmental liens, use limitations, environmental permits, or previous environmental assessments in connection with the property. Mr. Pham reported the previous property owner as his brother, Mr. Hung Pham.

6.2 Interview with Key Site Manager

Attempts were made to locate a site manager from when the facility was an active automobile body/salvage yard. The attempts were directed to the property owner (Mr. Tommy Pham) via a telephone interview, the prospective property purchaser (Mr. Jeffrey Crass) via email, and the real estate agent (Mr. John Behnke) via email. None of these sources knew of a site manager from when the facility was an active automobile body/salvage yard.

6.3 Interview with Local Government Official The Town of Byhalia Fire Chief, Mr. Leland Reed, was interviewed in person on October 12, 2010. Mr. Reed has been affiliated with the Byhalia Fire Department since the 1980s. To the best of his knowledge, Mr. Reed was not aware of any fire department responses for hazardous substances or petroleum products spills for the property.

7.0 FINDINGS

Neel-Schaffer, Inc., Ridgeland, Mississippi, has performed a Phase I ESA in conformance with the scope and limitations of ASTM Practice E 1527-05 and 40 CFR 312 “All Appropriate

Inquiry” at the former automobile body/salvage yard facility located at 9279 Highway 178, Byhalia, Mississippi, the property. At the time of the site reconnaissance performed on October 12, 2010, the approximate eight acre unoccupied parcel was developed with two warehouse buildings, each having vehicular access via roll-up doors. The remainder of the property was a grassed field with thick underbrush and small trees. Scattered about the grassed field was debris generally associated with junk automobiles, such as old tires, metal/plastic parts, automobile chassis/body parts, engine parts, occasional automobile oil filters, occasional automobile fuel tanks, etc. Additionally, miscellaneous empty plastic and metal containers ranging in size from approximately one quart to five gallons were observed in the grassed field. Some of these containers previously contained petroleum products such as oils and lubricants; however, the previous contents of many of these containers were not discernable. Also included in the debris were occasional plastic tops of automobile batteries.

8.0 OPINIONS

It is our opinion that the previous property usage an automobile junkyard constitutes a reasonable potential for the presence or likely presence of hazardous substances or petroleum products on the property under conditions that indicate an existing release, a past release, or a material threat of a release of hazardous substances or petroleum products into the soil and/or groundwater of the property.

9.0 CONCLUSIONS

We have performed a Phase I Environmental Site Assessment in conformance with the scope and limitations of ASTM Practice E 1527-05 of the former automobile body/salvage yard facility located at 9279 Highway 178, Byhalia, Mississippi. Any exceptions to, or deletions from, this practice are described in Section 11.0 of this report. This assessment has revealed no evidence of recognized environmental conditions in connection with the property except for the following: previous property usage as an automobile junkyard and body shop.

10.0 DATA GAPS

Data gaps occurred in that historical resources were not reasonably available every five years back to 1940 or first development of the property. Available historical resources and documentation of “no coverage” are provided in Section 4.3. It is our opinion these data gaps did not significantly affect our ability to identify recognized environmental conditions.

A site manager from when the facility was an active automobile body/salvage yard was not interviewed. Neither the property owner, nor the prospective property purchaser, nor the real estate agent knew of a previous site manager. It is our opinion that this data gap did affect our ability to identify recognized environmental conditions.

A Phase I ESA was previously performed at the property and was not practically reviewable. It is our opinion that this data gap did affect our ability to identify recognized environmental conditions.

11.0 DEVIATIONS

We did not confirm that the purchase price Mr. Marvin Crass and Mr. Jeffrey Crass expect to pay for the property reasonably reflects the fair market value of the property, assuming the property is not contaminated.

We did not review or conduct an evaluation to determine if the following Standard Historical Sources were reasonably ascertainable or practically reviewable: property tax files, recorded land title records, building department records, or zoning/land use records.

Manufactured Gas Plants: EDR Proprietary Manufactured Gas PlantsThe EDR Proprietary Manufactured Gas Plant Database includes records of coal gas plants (manufactured gas plants)compiled by EDR’s researchers. Manufactured gas sites were used in the United States from the 1800’s to 1950’sto produce a gas that could be distributed and used as fuel. These plants used whale oil, rosin, coal, or a mixtureof coal, oil, and water that also produced a significant amount of waste. Many of the byproducts of the gas production,such as coal tar (oily waste containing volatile and non-volatile chemicals), sludges, oils and other compoundsare potentially hazardous to human health and the environment. The byproduct from this process was frequentlydisposed of directly at the plant site and can remain or spread slowly, serving as a continuous source of soiland groundwater contamination.

B. Gregory Taylor, RPG Professional History Mr. Taylor joined Neel-Schaffer, Inc. in 2006. Previous to his employment at Neel-Schaffer, Mr. Taylor was employed at Earth Consulting Group, Inc., Madison, MS (1999-2006) and Aquaterra Engineering, Ridgeland, MS (1992-1999) and Baton Rouge, LA (1988-1990). Mr. Taylor held the position of project/senior geologist throughout this time, with key responsibilities of conducting environmental assessments and remediations at a variety of sites throughout Mississippi, Louisiana, Tennessee, Alabama, Arkansas, and Florida. Representative facilities include underground and aboveground storage tank sites, landfills, industrial facilities, and agricultural facilities. Accomplishing these tasks required interfacing with regulatory agencies, preparing work plans/cost estimates, supervising all phases of field work, interpreting laboratory analytical data, preparing/reviewing project reports, and making recommendations for future site activities, as needed. Mr. Taylor was a key project manager in conducting environmental assessments and remediations at Mississippi Department of Transportation right-of-way acquisition sites while employed at Earth Consulting Group, Inc. and Aquaterra Engineering.
