FOREWORDWine has always been a passion as well as a business for us at Alliance. Our best

relationships, whether with producers or customers, are true collaborations which

get stronger over time as we get to know one another. Wherever our path is leading in

2017, we will be dependent on each other to help navigate a successful route around

the inevitable obstacles ahead. A race to the bottom will be a race with no winners so

we remain committed to providing the strongest possible case for doing things

differently and better.

One of the most rewarding aspects of our role is advocacy of the obscure or forgotten,

the undervalued and the simply fantastic which often turn up in unexpected places.

We champion the genuine, the committed, those who share our passion for quality

and individuality. It is first and foremost what’s in the bottle that excites us but we

choose who we work with very carefully. A fully sustainable approach has to include

much more than just vineyard and winery practices - commercial sustainability and a

genuine respect for the people you work with at all levels is just as important. We don’t

have one model though, just the broad guidelines of these principles that we try to

apply to all of our activity. This has resulted in an eclectic band of producers: the simple

farmers, the wild ones, the druids of biodynamics, the humble artisans, the purposeful

artists, the odd possessed (but well intentioned) dictator and the ones that simply defy

all categorisation - all rising stars, at least we like to think so.

We are equally proud of our own winemaking projects which sustain our creative

side much to our accountant’s dismay. We don’t make huge quantities, often just

a few hundred cases, sometimes a few thousand but the same philosophy holds true.

The extra effort, time on the ground and crucially in the vineyards, allows us to offer

real value and to support exceptional growers wherever we find something special.

We have fun doing it too.

This list is the cumulative result of our adventures to date. If you have been a part

of those adventures then thank you, if not then please peruse and join in.

We enjoy making wine almost as much as selling it and our own winemaking projects now span the globe. Focusing on small batch, hand-crafted wines we keep intervention low and experiment with old and new techniques. These barrels were being filled with Adelaide Hills Chardonnay for a long wild ferment.

1. Domaine Klur, Alsace, France Certified organic and following bio-dynamic practices, this small

estate of just seven hectares is nestled in the centre of Alsace. Including a no-added sulphur Cremant d’Alsace, this range is a wonderful minimal intervention addition to the Alliance family.

2. Feudo Antico, Abruzzo, ItalyLow yields, wild yeast ferments and careful, often organic, viticulture

produce wines with a beautiful combination of fruit intensity and minerality at the Feudo Antico estate in the heart of Abruzzo.

3. Giavi, Veneto, ItalyThese are no ordinary Proseccos. From a small parcel of land,

and lovingly nurtured by Marco Cuscito, these wines immediately remind you of how good Prosecco can be. A world away from the

mainstream.

4. Alamina, RomaniaThese wines are as vibrant as their labels and great examples of

modern Romanian winemaking. Focusing on indigenous varieties like Feteasca Neagra, teamed with a light fresh expression of Pinot

Noir, these wines punch well above their weight.

5. Cave de Ribeauvillé, Alsace, FranceThe oldest co-op in Alsace, this winery is now producing an organic range full of clean, fresh expressions of traditional

Alsatian grapes.

6. La Crotta de Vegneron, Val d’Aosta, ItalyHand harvested by this community led co-op, in the foothills of the North West Italian Alps, the wines of La Crotta have the advantage of great growing conditions. Delicate grapes like Petit Arvine and

Gamay and the spicy Fumin thrive here, resulting in enticing wines with a lovely structure and complexity.

7. Zaccagnini, La Marche, Italy Zaccagnini provides us with some jaw droppingly good Verdicchios

that show the quality on offer. Family owned and run, they have dedicated time to research native clones and varieties resulting in

modern, complex wines.

8. Fattoria Il Lago, Chianti, ItalyThe Spagnoli family run this small Tuscan estate both as a farm and a winery, and they pride themselves on their olive oil as well as their

delightful Chianti. The production is small, hands-on and devoted to quality.

9. Mayfly, Marlborough, New ZealandThe Mayfly drift down New Zealand’s crystalline streams providing

food for the trout that have made this a mecca for fisherman. This pristine environment has proved perfect to produce vibrant

and refreshing Sauvignon Blanc. We are sure that this wine will have you hooked.

10. Quinta das Carvalhas, Douro Valley, PortugalA spectacular property, covering an entire hillside facing the Douro river with indigenous vines up to a century old. They still foot-tread

the grapes in the traditional granite lagars ensuring a soft natural extraction and great complexity of the fruit flavours.

11. Quinta de Cidrô, Douro Valley, PortugalThroughout the last 20 years, Quinta de Cidrô has transformed their

high altitude property into plots of experimental vineyards. This reconversion program focuses on local and international varieties, to

create the best possible expressions of the land.

12. Santos y Seixo, PortugalNew kids on the block, Alzira dos Santos and Pedro Seixo are

bringing a fresh new vision to Portuguese wines. Full of ambition, they select the best grapes from prime locations across Portugal.

Their Rotas range is sourced from Alto Alentejo.

13. Guerila, Vipava Valley, SolveniaFrom the rugged mountains of Slovenia, we have launched certified

biodynamic producer Guerila into the UK. These wines are made from indigenous grape varieties grown nowhere else in the world. All

wines undergo natural ferments, benefit from skin contact and are both fascinating and delicious.

14. Bonfire Hill, Western Cape, South AfricaHailing from “extreme” vineyards, Trizanne Barnard seeks out grapes

from wind-ravaged vineyards and cold high slopes amongst slow growing and low yielding vines. Naturally fermented, with some

gentle oak aging, these wines are layered and expressive.

15. Bodegas El Lagarto, Tierra De León, SpainGerman winemaker, Jorg Zielske, works ancient, organic, overgrown

vineyards that produce stunning concentrated fruit. Using indigenous varieties like Bruñal, Juan García and Bastardillo, all

wines are made naturally with very low sulphur.

16. Bodegas Caudalía, Navarra, SpainCouple, Ivan and Raquel, are the pair responsible for Bodegas

Caudalía, a small scale, high quality producer in Navarra. Paal Syrah is the first wine that they have made using minimal intervention,

allowing the land to express itself freely through the wine.

17. Bodegas Ximénez-Spínola, Jerez, SpainThis winery’s claim to fame is that it works only with Pedro Ximenez.

Making sweet and dry wines and sherries, they are wonderfully complex and involved, opening up a whole new world that you

would have never thought possible from PX.

18. Tenuto Rubino, Puglia, ItalyTommaso Rubino started with the goal to show Salento wine at

it’s very best. Through the diverse range that his family now offer, with the local and fascinating Susamaniello to the well-established

Primitivo, they are well on their way.

Domaine de la BonnelièreAnthony and Cédric Bonneau represent the fifth generation of vine growers in this family and work to ensure that their practices in both the vineyard and the winery are not at the expense of the environment. They employ “Méthode Raisonnée” to ensure only the very minimum of treatments are used wherever possible. Their wines are made to express terroir with a minimal use of SO2 and a fermentation from native yeasts. The wines are highly regarded and at a recent Decanter panel tasting the 2011 Les Poyeax scored 95-96 points from all the judges.

SancerreDomaine DaulnyEtienne Daulny owns prime parcels scattered across the Sancerre AOC totalling about 16 hectares. The soils of these parcels differ greatly and help to provide complexity and Etienne combines these plots skilfully to create his stunning Sancerre. Daulny favours stainless steel tanks for fermentation and inhibits malolactic fermentation, but then ages the wine on fine lees. The result is a clean and bright, very appealing, Sauvignon with great texture.

Pouilly FuméDomaine Pierre MarchandEric Marchand spent his childhood in the vineyards helping his parents, instilling in him a love for the land. He went on to study viticulture then after graduation he and his brother, Pascal, took over from their father. Across their 17 hectares they practice minimum intervention as well as conducting a green harvest and debudding in the Spring to improve quality further. This allows them to create a concentrated example of Pouilly Fumé with well balanced, crisp gooseberry and blackcurrant leaf fruit overlaid with hints of citrus and minerality.

BURGUNDYChablisDomaine DefaixDomaine Defaix is located in the tiny hamlet of Milly, just outside the village of Chablis, in the most northerly part of the region. It is one of the oldest, and certainly one of the finest domaines, where the Defaix family has been tending vineyards for over 250 years. They are certified organic and continue the family traditions that have been maintained for 5 generations. Brothers Sylvain and Didier manage and produce wine from their 26 hectares which includes some of the best 1er Cru sites in the region. Grapes are hand harvested and sorted before being gently pressed. Fermentation is slow in stainless steel tanks on fine lees with natural yeasts. The wine is bottled 8 months after the harvest for optimum freshness.

Domaine PinsonThe Pinson family’s 12 hectare estate consists of Chablis, Chablis Premier Cru and Chablis Grand Cru vineyards. The Pinson Family are one of the longest established families in Chablis with records showing them as having been in Chablis since 1640. Charlène et Laurent Pinson practice ‘lutte raisonnée’, limiting the use of pesticides, turning over the soil and limiting yields to produce quality fruit. Alcoholic and malolactic fermentation happens in stainless steel tanks, with aging on lees for 5 months. In this way the family combines their continuing heritage with modern techniques to ensure that quality is maintained.

Domaine Lucien Muzard Et FilsLucien Muzard handed over the reins to his sons Claude and Hervé, who immediately began domaine bottling their wine rather than selling it in bulk to négociants. In 2005 they went organic in their vineyards and gained certification for biodynamic farming with the 2008 vintage. Their decision to work biodynamically was taken to sustain and improve the health of their land. It has also had a noticeable effect on the wines as the quality and complexity has evolved beautifully over the years.

Post fermentation the wine is aged for a further 18 months in oak barrels of 1 to 5 years old with moderate “batonnage” to enhance the elegance of the wine.

MâconnaisDomaine FichetRun by brothers, Pierre-Yves and Olivier, Domaine Fichet has raised the quality level of their wines in recent years using a biodynamic approach in the vineyards. The terroir here is unique, a high content of white limestone in the chalk and clay. The microclimate brings extra humidity and morning fog. Now with a new winery and a general willingness to modernise their approach, the brothers’ wines have continued to improve year after year. The Mâcon-Villages has a perfect balance of concentration, acidity and minerality and the Bourgougne Pinot Noir is beautifully fresh and light.

Domaine de FussiacusJean Paul Paquet used to join his father in the vineyard and loved the grape harvests. The average vine age is 25 years old meaning the plants are in balance and at the peak of their production. The dry, sunny climate aids vine health and, where needed, only organic fertilisers are used. The resulting wines display an uncommon depth of flavour and character coupled with a savoury balance and length that is their hallmark.

Jean is a master of his craft and his wines show the wondrous individuality of this classic region. Today half of Jean’s land is in the Château Chalon appellation where, using the Savagnin grape, the world famous Vin Jaune is made. Exclusive to the Jura, Vin Jaune is harvested late and aged in barrel for over 6 years. In that time a “voile” or layer of yeast forms on top of the wine, which gives the wine its distinctive flavours including walnuts, hazelnuts and green almonds.

Domaine Jean Perrier et Fils, SavoieVinegrowers since 1853, the Perrier family is inextricably linked to the history of Savoie and the French Alps. GiaviThe life of the Giavi farm started as early as 900 AD and Prosecco has been made there since 1914. The vineyards cover an area of around 12 hectares on a hillside overlooking the town of Conegliano. No more so than their range of Verdicchios all of which are distinct in personality and of incredible quality and texture.

ABRUZZOFeudo AnticoFeudo Antico was created on a small plot of land in the heart of Abruzzo. It is in Italy’s smallest DOP and the first designation of its kind in Abruzzo. Starting from the 2013 vintage, all wines will be Magis certified, the most advanced project for the sustainability of wine production in Italy. Currently only 15 hectares are cultivated using native varietials producing limited yields to ensure quality is retained. No wine comes into contact with wood during maturation and only concrete and glass are used in the cellar to guarantee the natural qualities of the fruit are expressed.

Apollonio The wines of Puglia have never received as much interest as they do now. Tasting Apollonio’s wines shows that attention is now justified. Great care is taken to produce wines of uniquely southern Italian character from local varieties. Ageing typically takes place in barrel and then bottle for extended periods before release. Powerful and complex, the wines have flavours of ripe, dark fruits and leather, attractive weight, richness and balanced tannin. Palazzo del MareSicily’s geography and climate are perfectly suited for the production of healthy, ripe grapes and quality wines. Palazzo del Mare’s vineyard sites are situated at an altitude of 200-300m, ensuring cooler night time temperatures which preserve crucial acidity in the grapes. Yields are naturally limited by the winds and the grapes tend to be harvested earlier than many of their neighbours and consequently are bright and fresh. The Catarratto particularly displays that signature crisp, citrus laced fruit filled style while the Nero d´Avola delivers ample ripe, plummy fruit.

Cantine RalloThe historic Cantine Rallo winery is based a stone’s throw from the beach in Marsala though their organic vineyards are high up in the hills above Alcamo. Château Ka, Bekaa ValleyChâteau Ka is an extraordinary story of determination and resolve. Akram Kassatly built his winery in the Bekaa Valley in 1973 but shortly after the first wines were made, Lebanon was engulfed by war and the winery closed - forcing Akram into other businesses. Finally in 2005 he announced that he was going to try again. Today’s Château Ka is the only winery in Lebanon that produces wine entirely from their own vineyards. Château Ka produces both rich, concentrated reds and beautifully fresh, fruity, crisp white wines that are some of the finest in the country.

Alemany I Corrió, DO PenedèsIn the little town of Vilafranca del Penedès in Cataluña, Irene and Laurent are challenging the traditional perception of DO Penedès wine. Converting their vineyards from the typical Penedès high yields and abandoning all forms of chemical treatment and fertilizers, they follow basic organic practices. Much of the construction and equipping of their cellar was modest and homemade, including building their own tanks. Production remains small, yet as they identify further small vineyard sites their range has extended to include distinctive wines from the indigenous varietal Xarel-lo, which they choose to do extended fermentation with, using indigenous yeast and it is then left on its lees to increase in richness and compexity.

terms & conditionsIMPORTANT: These Terms of Sale are considered by us to set out the whole agreement between you and us for the sale of the wine. Please ensure that you read and understand these Terms of Sale before you submit an order, because you will be bound by these Terms of Sale once a contract comes into existence between you and us (no previous written or oral agreements will apply to that contract).

1. PLACING YOUR ORDER

1.1 Making & accepting orders: You can place orders for wine by telephone, email, fax, via our website or directly with our sales representatives. Your order is deemed to be an offer by you to enter into a legally binding contract with us. We are free to accept or decline your offer at our absolute discretion. These Terms of Sale shall form a binding contract between you and us only when we either issue you with express written or verbal acceptance of your order or we deliver the wine (or make the wine available for collection, where applicable), whichever is the earlier, at which point a contract shall come into existence between you and us (our receipt of payment does not constitute our acceptance). Contracts can be concluded in the English language only.

1.2 Minimum order quantity: Unless otherwise expressly agreed by us, we will not accept orders for less than 3 cases containing 9 litres of wine in each case. Where we accept orders for less than this quantity, a delivery surcharge is payable by you, as detailed in clause 2.2.

1.3 Availability of wine: All of the wine we offer is subject to availability from our suppliers. We will try to contact you promptly if we are unable to supply the wine that you have ordered and we will give you the option of either varying or cancelling your order.

1.4 Age restriction: It is illegal for us to sell wine to anyone who is, or appears to be under the age of 18 years. By placing an order, you confirm that you are at least 18 years of age: we reserve the right to cancel the contract between you and us if we or our couriers are unsure of whether you are at least 18 years old.

1.5 Cancellation: If you are a consumer, you can cancel your order for any reason up to 7 working days from the date of delivery of the wine, provided that all of the bottles are unopened and intact. We will refund the full price you have paid to us for that order within 30 days from the date of cancellation. Any wine delivered must be made available for our collection and we reserve the right to charge the cost to us of recovering the wine. If you are not a consumer, we might, at our sole discretion, still permit you to cancel your order if we decide that this will not adversely affect us: please contact us promptly if you wish to cancel.

2. PRICES AND PAYMENT

2.1 Our prices: The price payable by you for our wine will be, unless otherwise agreed in writing, the price set out in our price list published at the time the wine is ordered. We may alter our prices at any time prior to delivery to account for factors such as VAT, excise duty, market and currency fluctuations and in such cases we shall endeavour to contact you promptly and give you the option of either paying the revised price or cancelling your order. Our prices are quoted exclusive of Value Added Tax and VAT will be charged where applicable at the prevailing rate (unless exempt from VAT or in the case of a sale transaction under bond where zero vat rate applies).

2.2 Other charges: Duty and the cost of delivery to either mainland Great Britain or mainland Northern Ireland are included in the prices we quote, unless otherwise stated. If we accept an order from you for less than 3 cases of wine to be delivered to an address in mainland Great Britain or mainland Northern Ireland, an additional delivery surcharge of £9.00 plus VAT will be imposed. If you require delivery be made to a destination which is not in mainland Great Britain or mainland Northern Ireland, please contact our customer service department.

2.3 Currency: You must make payment to us in the same currency as the price quoted by us at the time you placed your order. We reserve the right to make any refunds in the currency you used to make payment to us.

2.4 Making payment: Unless otherwise agreed by us in writing, payment for all wine must be made in advance in cleared funds (without any deduction by way of set-off or counterclaim). We accept payment by all major credit cards except American Express. We also accept payment by cheque payable to “Alliance Wine Company Limited”, by Direct Debit or by bank transfer (our bank details are available on request). Payment can be made in cash directly to our local representatives: please don’t send cash by post.

2.5 Late payment: Where we agree that payment may be made in arrears but you fail to make the payment due to us in full by the due date for payment, we reserve the right to charge interest to you on the overdue amount at the rate of 4% per year above the base lending rate of the Bank of Scotland from time to time. This interest shall accrue on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. You must pay us interest together with the overdue amount. Without limiting any other remedies or rights that we may have, if you do not pay us on time, we may cancel or suspend any outstanding order until you have paid all outstanding amounts.

We reserve the right to withdraw any credit facility provided and all monies will become due and payable with immediate effect. 2.6 Transfer of ownership: Ownership of the wine will only pass to you when we receive payment in full of all sums due for the wine, including delivery charges, where applicable. You may however resell the wine in the ordinary course of your business after we have delivered it to you (but you must not deal with the wine in any other way, nor may you permit any lien, charge or encumbrance to be created over the wine, until, in any such case, payment has been made to us in full). If you fail to make payment to us in full within 30 days of the due date for payment or if the contract between you and us is cancelled or otherwise terminated for any reason prior to payment being made to us, you agree that, without limiting any other remedies or rights that we may have, we (and our agents) shall be entitled to enter any premises where you store wine to ascertain whether any of the wine we own is stored there and to inspect, count and recover that wine.

2.7 Return of Goods: Return of goods is solely at company discretion and must be agreed prior to return. Any transportation cost for returned goods will be your responsibility unless otherwise agreed.

3. DELIVERY

3.1 Date for delivery: We will try to deliver the wine you have ordered promptly (or otherwise as agreed by our customer service department at the time you place your order): however, any delivery dates we provide are estimates only. If we cannot supply the wine you have ordered (where applicable, by making it available in accordance with any Incoterms we have used, as explained in clause 3.3) within 30 days of receiving your order (or by any alternative date we have agreed with you), we will contact you as soon as possible to give you the option of either accepting a later delivery date or cancelling your order. If we are not reasonably able to ascertain your preference, your order will be treated as cancelled.

3.2 Delivery location & risk: Unless otherwise stated by us, deliveries will only be made to addresses in mainland Great Britain or mainland Northern Ireland and all risks to the wine will be your responsibility from the time of delivery. This does not apply where we incorporate Incoterms, as explained below.

3.3 Our use of Incoterms: Where stated in our price list (or in contract terms agreed by us), our wine will be supplied:

• Ex-Works (also referred to by us as “Ex-Cellar” or “Ex-[name of cellar]”);• Free On Board (also referred to by us as “FOB”);• Free Carrier [place] (also referred to by us as “FCA”); or• Cost, Insurance and Freight [named destination port] (also referred to by us as “CIF”).

These expressions shall have the meaning given to them in the International Chamber of Commerce’s ‘International Commercial Terms’ / ‘Incoterms’ and, where these expressions are used by us, the applicable responsibilities set out in the most recent version of Incoterms in effect when ordering shall apply in addition to the provisions in these Terms of Sale (and in the event of any conflict, the provisions of Incoterms shall prevail). Failure to accept delivery: We may use an independent courier of our choice. If you fail to accept delivery of the wine you have ordered within 3 days of our first attempt to deliver the wine to the specified address, we may charge you for any consequential storage costs reasonably incurred by us (unless your failure is caused by events beyond your reasonable control) and we shall not be liable for late delivery.

4. OUR QUALITY GUARANTEE

4.2 Quality guarantee: The following warranty is in addition to the legal rights granted to consumers by law. Advice about the legal rights of consumers is available from your local Citizens’ Advice Bureau or trading standards office. All other warranties are excluded to the fullest extent permitted by law. We warrant that, on delivery, the wine we supply will:

• be of satisfactory and merchantable quality;• comply with all applicable UK laws and regulations; and• conform in all material respects with the description of that wine contained in our written quote and the sample of that wine supplied to you, each as applicable (our suppliers may however change the style of labels and packaging at any time so we cannot guarantee that bottles, labelling or packaging supplied to you will match the descriptions or images contained in our promotional or other material, other than in relation to the labels of any ‘personalised House style wine’ that we have agreed to supply to you).

4.3 Returning defective products: In the unlikely event that our wine does not conform to the quality standards above, is otherwise defective or is not what you ordered, please let us know promptly after delivery. If you notice a mistake made by us after you have received the wine, we would appreciate it if you would please notify us within 48 hours. You must make any rejected wine available for collection by our courier if we request and take reasonable care of it pending collection. We will promptly refund any payment made by you for defective or incorrect wine that we have supplied. If, however, you reject wine which is not defective or incorrect (and you are not otherwise entitled to cancel your order), we reserve the right to charge you the direct cost to us of collecting, testing, storing and redelivering the rejected wine.

4.4 Errors made by us: We try to ensure that our descriptions and prices are accurate. If, prior to delivery to you, we discover an error in relation to the wine you have ordered, we will contact you as soon as possible to give you the option of either confirming your order subject to correction of the error or cancelling your order (and receiving a full refund of any prepayments you have made). If we are not reasonably able to ascertain your preference, your order will be treated as cancelled.

4.5 Correcting your mistakes: If you want to correct any mistakes you made in your order, you must inform us by telephone or by email prior to both your order being accepted and the wine being delivered. If you inform us of your mistake after your order is accepted or after the wine is delivered, we may, at our sole discretion, agree to amend your order (but we reserve the right to charge you for recovering the wine from you and for delivery of its replacement to you, where applicable).

5. LIABILITY DISCLAIMER

5.1 Extent of this disclaimer: Nothing in these Terms of Sale shall in any way limit our liability for death or personal injury caused by our negligence; for fraud or fraudulent misrepresentation; or for any other matter for which it would be illegal or unlawful for us to exclude or attempt to exclude our liability.

5.2 Liability restriction: If you or we do not comply with these Terms of Sale, neither you nor we shall be responsible for any loss of income or revenue, loss of business, loss of anticipated savings, any waste of time nor other losses that the other suffers as a result which are not a foreseeable consequence of the failure to comply with these Terms of Sale.

5.3 Liability to business customers: Unless you are a consumer, our total liability to you, in respect of any claim by you arising out of or in connection with the provision of (or the failure to provide) wine shall be limited to the sum paid by you to us for the wine which is the subject of the claim. Unless you are a consumer, all wine must be examined by you upon receipt and we shall not be liable for any shortages or breakages which are not reported to us within 24 hours of us delivering the wine (or making the wine available for collection, where applicable).

5.4 Events outwith our control: We shall not be liable for any delay or failure to supply wine which is wholly or partly caused directly or indirectly by any circumstances beyond our reasonable control, including, without limitation: adverse weather or natural disaster; terrorism, war or civil commotion; any labour dispute; compliance with any law or governmental order, rule, regulation or direction; or non-performance by any of our suppliers.

6. GENERAL LEGAL MATTERS

6.1 What we mean: In these Terms of Sale:

6.1.1 references to “we” and “us” mean Alliance Wine Company Limited, a company incorporated in Scotland with company number SC090255 and VAT number 406 6418 61 and having its registered office at 7 Beechfield Road, Willowyard Estate, Beith, Ayrshire, KA15 1LN;

6.1.2 references to a “consumer” mean an individual who places an order with us in his or her personal capacity and not in the course of trade or business;

6.1.3 references to “wine” means the product you have ordered from us: our products include, without limitation, wine, port, cognac, brandy, fruit liqueur and other such drinks;

6.1.4 references to the plural include the singular and vice versa;

6.1.5 the headings shall not affect the interpretation of these Terms of Sale; and

6.1.6 references to “writing” or similar expressions shall include communications by email.

6.2 Changes to these terms: We may revise these Terms of Sale from time to time. The revised version will apply to orders placed after the revised version is published and, where required to enable us to comply with the law, to any orders you have already made which we have not yet fulfilled.

6.3 Unenforceable provisions: If any of the provisions in these Terms of Sale are held by any competent authority to be unlawful or unenforceable in whole or in part, the remainder of the provision in question and the remaining provisions of these Terms of Sale shall continue in full force and effect to the fullest extent possible.

6.4 Insolvent customers: We may at any time, by giving you notice in writing, immediately terminate any contract made with you if the applicable order was made on behalf of a company and:

6.4.1 that company passes a resolution that it be wound up or dissolved or it makes an arrangement with its creditors (other than, in each case, for the sole purpose of a scheme for a solvent amalgamation of that company with one or more other companies or the solvent reconstruction of that company);

6.4.2 the Court makes an administration order or winding up order in relation to that company; an administration, administrative receiver, receiver or manager is appointed by a creditor or by the Court in relation to that company; or possession is taken of any of the property of that company under the terms of a floating charge; or

6.4.3 any event analogous to the events described in clauses 6.4.1 or 6.4.2 above occurs in any jurisdiction in which the relevant party is incorporated or resident or does business.

6.5 Law and dispute forum: These Terms of Sale shall be governed by Scots law and you and we both agree to submit to the non-exclusive jurisdiction of the Scottish courts.

7. Credit Accounts and use of personal data

The following information is applicable if you apply for a credit account with us:

7.1 Information we use: If you apply for a credit account with us, we will search the records we hold and your records at credit reference agencies: they will give us shared credit information, fraud prevention information, and public information (such as details of English County Court Judgments, bankruptcies and information from the electoral register). If an application for a credit account is being made by or on behalf of a company, partnership, or other such entity, we may use credit reference agencies to check the details of the individuals who own and/or control that business. You must ensure that they are all aware that their details may be used in this way. Please contact us if you want details of those credit reference agencies from which we obtain, and to which we pass, information about you. You have a legal right to these details. We may use credit scoring or other automated decision-making systems to assess your application.

7.2 Sharing information about you: We may share your information with credit reference agencies. This information remains on the agencies’ files for 6 years after our credit arrangement with you is terminated. Whether or not your application proceeds, the agencies will add to your record details of our searches and your application. This record (but not our name) will be seen by other organisations when you apply for credit in the future. A large number of applications within a short period of time could affect your ability to obtain credit. We will also add to your record with the agencies details of your business’ agreement with us, the payments your business makes under it, and any default or failure to keep to its terms.

7.3 Use of your credit reference information: The information held by the credit reference agencies we use will be disclosed to us and other organisations (in the UK and in other countries) to, for example prevent fraud and money laundering; trace your whereabouts; recover debts that you owe; manage credit accounts and other facilities; or to make decisions on credit, insurance and other facilities, about you, your financial associate(s), members of your household or your business.

7.4 Linked information: The information credit reference agencies give us about you may already be linked to information about someone else you have had a joint account or similar financial association with, including members of the same household. By submitting an application you confirm that their finances will not affect our decision. We may check this and may turn down the application if we find it is inaccurate. An ‘association’ between joint applicants (between you and your business partner, for example) will be created at credit reference agencies. This will link your financial records, each of which will be taken into account in all future applications by either or both of you. This will continue until one of you successfully applies to the agencies to have the association removed.
