Executive Summary Steam & Control Systems, Inc. (SCS) is pleased to submit the following EPC proposal to remove and reinstall the existing stoker fired boiler and turbine generator located in Chester, ME. The boiler will be capable of producing 150,000pph of steam @ 900 psig @ 840 degree F with strictly biomass and will generate approximately 16.5 gross MW. The system will also include modification to the existing woodyard to allow for proper material feed rate and wood preparation for the new system. It is our intent to provide MBEF with a completely operational system as outlined in the following proposal. The proposed equipment will be arranged to provide for the maximum reuse of existing equipment while maintaining reliability and accessibility for the proper and safe operation and maintenance of the equipment. An air distribution system designed to promote good fuel to air mixing. Air is fed under the grate in the bottom of the furnace which provides air to the stoker. Secondary air is fed to a series of overfire air and fuel distribution ports.

Boiler SCS will remove, modify and reinstall the two (2) drum boiler currently located in Chester, ME in accordance with Section I of the ASME Code and the applicable Boiler Codes of the State of Vermont. The boiler will be rated to produce 150,000 pounds of steam per hour when fired with a combination of fuel per attached fuel specifications.

Operating conditions at 150,000 pounds of steam per hour are as follows: Steam pressure at boiler steam outlet, PSIG 900 Steam temperature, degree F. (Superheated) 840

Steam baffles and purifiers will be reused “as is” from existing drums at Chester. Boiler will be moved and relocated “as is”. Any necessary changes to the boiler design or circulation will be handled on a time and material basis. The approximate boiler GENERAL DIMENSIONS are as follows: Furnace width C/L to C/L of side wall tubes 21’-11” Furnace depth 23’-11” Bed area, sq. ft. 458

Expected Operating Performance Data +/- 2%: Steam output, lbs. per hour 150,000 Pressure at Boiler Outlet, PSIG 875 Ambient Air Temperature, deg. F 80 Furnace Draft, inches W.G. -0.15 Draft Loss through Boiler, inches W.G. (estimate) 2.20 SCS reserves the right to reuse any available existing pressure parts as needed for the new system. Boiler generating bank will be new. The boiler will be field assembled in strict accordance with the latest edition of the ASME boiler and pressure vessel code and applicable boiler codes of the State of Vermont. All work will be stamped with the applicable ASME symbol and registered with the National Board of Boiler and Pressure Vessel Inspectors. A certificate of inspection by the Hartford Steam Boiler Insurance Company and Manufacturers ASME data sheets will be furnished to MBEF.

Superheater Superheater will be relocated “as is”.

SCS Vibrating Stoker SCS will supply and install a new SCS vibrating stoker. The new stoker will be bottom supported by new concrete supports. Foundations for these supports will be by SCS. Existing furnace will be modified to accept the stoker. New lower furnace panels and downcomer piping will be supplied as necessary and installed. New stoker will include a “vestibule” into which the grate will fall. Ash will then be removed by the bottom ash conveyor. Furnace Refractory Boiler furnace refractory will be reinstalled per original specification as needed. Boiler Access Doors Existing access doors will be reinstalled. Bottom Ash Removal Conveyors Two (2) new bottom ash conveyors will be installed to transfer ash from grate overs to a removable “forklift” bin. Dust Collector Existing dust collector will be moved and reinstalled as is and restored to working condition. Economizer Economizer will be relocated as is and restored to working condition. Tubular Air Heater Tubular air heater will be installed as is and restored to working condition. Load Burners SCS will recondition two (2) of the existing burners to provide approximately 75,000 pph of steam. Burners will be natural gas fired. All other fuel trains will be removed from service. Burners will be retrofitted with new flame scanners and valve racks. Burners will be controlled by a new PLC based burner management system. Burner Management System SCS will supply and install a new Allen Bradley Control Logix PLC based burner management system. All necessary field instrumentation for the operation of the start up and load burners per NFPA will be included.

Boiler Front Plate & Air Swept Feeder Chutes The existing boiler front plate will be reinstalled. Plate will be refractory lined with 6” thick 3000 degree castable backed with 4” insulation. Fuel Metering Bin SCS will install the existing metering feed bin to meter fuel into boiler. Existing screws will be refurbished. Metering Bin Feed Conveyor SCS will install a belt conveyor to transport fuel from the existing MBEF wood feed system to the new fuel metering bin. Installation assumes reuse of the existing conveyors at the Chester site. Fuel Yard SCS will design, supply and install equipment for a new fuel yard. Fuel will be unloaded through one (1) truck dump. SCS will reuse existing equipment whenever possible and will supply new equipment as necessary to provide a complete system. New fuel yard will include the following equipment: • One (1) set of belt conveyors • One (1) truck dump • One (1) outside reclaimer • One (1) hog • One (1) flop gate reject chute • All transitions for the above  Boiler Building and Support Steel Existing boiler access and support steel from Chester will be reused. Building siding will be new. Turbine Generator SCS will dismantle and reinstall one (1) turbine generator set. Scope will include all auxiliary turbine systems to form a completely operational system. System will provide approximately 16.5 MW. Refurbishment will be by MBEF. No refurbishment is included in this proposal.

Cooling Tower A new cooling tower of adequate capacity will be supplied and installed. New cooling water concrete reservoir will be installed. Existing water pumps and piping for the cooling water between the tower and condenser will be reused. Turbine Building The turbine generator and control room will be housed in the existing turbine building. Building will be relocated from the existing turbine site and modified for the new location. The support and access platforms will be enclosed using perlings and steel building siding. Roof of structure will be insulated with rolled fiberglass insulation with plastic vapor barrier. Insulation The air ducts between the air heater and the undergrate ducts, over fire air ducts and distribution air duct, the gas duct between the boiler outlet and economizer and from the economizer to the ID Fan inlet, drum heads, and exposed portions of the upper drum shell will be covered with 1 ½” – 2” of mineral wool big wrap insulation and aluminum lagging. Drum end insulation will have aluminum lagging or cloth mastic. SCS will furnish and install thermal insulation for all steam, condensate and hot piping. Fittings will be insulated with the same thickness as the pipeline in which it is installed. Control valves will not be insulated. Insulation will be fiberglass or mineral wool heavy density (4.25 PCF to 7.25 PCF) sectioned pipe insulation. The insulation will be covered with a smooth aluminum jacket. The jacket will be secured in place using 3/8” wide x 0.020” thick aluminum straps at 12” centers. In lines with temperatures exceeding 800o F, a layer of calcium silicate will be used in addition to mineral wool. Insulation thickness will be in accordance with the following table:

Forced Draft Fan SCS will provide and install one new Northern Blower or equal forced draft fan to provide forced draft air. Motor will be supplied by SCS. Overfire Air Fan SCS will provide and install one new Northern Blower or equal overfire air fan to provide overfire air. Motor will be supplied by SCS. F.D. & Overfire Air Duct System The boiler will be equipped with a new overfire air system consisting of air nozzles located in the left and right side furnace walls. The nozzles will be arranged to provide turbulence in the furnace above the fuel bed. Air for this system will be taken from the new overfire air fan. SCS will supply and install all necessary ductwork, expansion joints, dampers and actuators for this system. We have included the supply and installation of the following components: Overfire Air Actuators 4 Distribution Air Damper 1 Air Swept Feeder Pulsating Dampers 4 Induced Draft Fan SCS will provide and install one new Northern Blower or equal induced draft fan to provide induced draft air. Motor will be supplied by SCS. Gas Ducts & Expansion Joints A system of gas ducts including expansion joints will be installed from exit of boiler to stack. Where necessary, fabric type expansion joints will be supplied on the fans. Duct expansion joints will be carbon steel. All air ducts and gas ducts will be fabricated from 3/16” thick carbon steel with proper bracing and stiffeners. The gas duct between the air heater and the ESP will include a hopper for ash removal. SCS will reuse any existing air and flue gas duct where possible. All ducting to be designed to withstand the design pressure, temperature and flue gas composition in each section. ESP SCS will supply and install one (1) PPC or equivalent electrostatic precipitator. New precipitator will be a three cell design sized for appropriate gas flows and temperature. ESP will be equipped with ash removal equipment which will discharge into new SCS ash removal system.

Combustion Controls & Instrumentation CONTROL SYSTEM: It is the intent of SCS to supply a complete control system to offer safe and easy operation of all of the systems included in this proposal. With this in mind, installation of the following components are included. This, however, may not represent the entire system. All SCS supplied field transmitters and switches will be installed and wired to control system terminal blocks in MCC room. All control programming and DCS system equipment will be supplied by SCS. The following CONTROL COMPONENTS will be supplied and installed by SCS:

* (4) Overfire Air Damper Actuators Each of the above equipment will be installed and wired to the new I/O rack which will be located in the new MCC room. The above list is a general example. Other controls will be utilized to supply a complete system. CEMS SCS will provide and install a new continuous emission monitoring system. New system will record the following: • Nox • CO • Oxygen • Opacity

SNCR SCS will make provisions for ammonia injection for Nox. Approximately thirty (30) ½” nozzles will be installed in the furnace walls. New system will operate as necessary to meet proposed emissions limits. Air Compressors & Air Dryer Existing air compressors will be reinstalled as is and restored to working condition.

SCS will install a new air dryer capable of drying all control air for the proper operation of the new system. Deaerating Feedwater Heater Existing DA tank will be reinstalled as is and restored to working condition. DA tank will be non destructively tested. Any necessary repairs will be handled on a time and material basis. Feedwater System Existing feed water pumps will be removed and reinstalled as is and restored to working condition. Pump refurbishment will be by others. Water Treatment Equipment Existing water treatment equipment will be moved and reinstalled. Any refurbishment and startup of this equipment will be by others. Piping Systems & Pipe Bridge The boiler plant will be equipped with all the necessary piping for the interconnection of the boiler and accessories outlined herein. The piping systems will include the following:

a. Main steam line – 8” SA335 P11 (existing).

b. Feedwater line – 4”. (existing).

c. Main water line – 2”. Includes wash-up stations at various locations with hose reels.

d. Feedwater control valve with 3 valve bypass (existing). Existing recirculation

control valve to be installed to handle pump minimum flow rates.

e. All water returns to sewer.

f. Existing relief valve vents will be reused and refurbished. All relief valves will

be recertified and tagged. SCS will provide a relief valve list and settings to be incorporated in the MBEF relief valve maintenance program.

g. Draft gauge piping for control elements included in this scope.

h. Two potable water eyewash stations will be installed.

i. All mill-air, instrument air, and mill-water piping to be galvanized. Existing lines will be utilized whenever possible.

SCS reserves the right to use any existing piping and valves when possible. If new pipe is required, piping will meet the following specifications. Steam condensate and piping will be ASTM SA106, electric welded or seamless, Grade A or B. Mill water and potable water piping will be galvanized. Threaded pipe will be schedule 80, socket welded or butt welded pipe will be schedule 40. Air lines will be 316L SS.

Fittings will be 3000# forged steel ASTM A105 Grade II of butt weld fittings ASTM A 234 Grade A or B. Unions will be 3000# forged steel ground joint, steel or steel seat. Baskets will be 1/16” thick, ring type or granite or equal. Fittings for cold water lines and airlines may be threaded stainless steel or socket weld.

For screwed joint protection and sealing use Teflon tape for temperatures up to 400 degrees F and high temperature thread compound for temperatures above 400 degrees F. All steam, condensate and boiler feedwater piping will be designed, fabricated and installed in strict accordance with the code for power piping, ANSI/ ASME-B31.1, as required. Other process piping will be constructed in accordance with ASME B31.3. Plumbing will be in accordance with the Southern Standard Plumbing Code and local and state regulations as applicable. Maximum velocities in pipelines will be as follows:

Steam Blow SCS will conduct main steam blow. SCS will utilize a “silent” blow technology to keep the blow below 95 db. Brass targets will be utilized to assure that the line is properly clean before it is turned over for operation. Electrical SCS will supply the engineering and drawings for the boiler system. SCS will provide the engineering and drawings required to connect the control system and equipment to the motors and transmitters. SCS will supply all field labor to run conduit (and/or cable trays and wire) between the MCC, motors, switches, transmitters and control cabinet. Lighting SCS will provide, install and wire the following lights: Boiler Area:

• Inside Light – Low Bay: (30) lights, 120 VAC, 150W • Inside Light – High Bay: (10) lights, 120 VAC, 400W • Outside Lights: (5) lights, 120 VAC, 150W

MCC Room

Building & Control Room SCS will supply and install a new MCC Room. MCC room will be installed adjacent to the boiler structural steel. Floor will be concrete. One (1) window will be installed. Access will be by two (2) steel entry doors. Painting All uninsulated ducts, flues and boiler casing will be painted with high temp black or aluminum. High temperature exposed surfaces will receive one coat of high temperature black or aluminum paint. All other exposed surfaces will receive one coat of a two part epoxy paint system. Site & Foundation Work SCS has included the foundation and pilings for the following equipment:

• Boiler • Turbine • Boiler auxiliaries • Turbine auxiliaries • Feedwater pumps • Fans • ESP

SCS reserves the right to use wood, H and/or auger cast piles as necessary for completion of the foundations. SCS shall utilize a maximum pile rating of 50 tons. Pile lengths will be determined when soil samples are made available. It is assumed that MBEF will locate all underground obstructions. SCS will make all efforts to design foundation around these obstructions. In the event obstructions must be removed it will be the responsibility of MBEF. MBEF will provide soil boring for use in SCS foundation design. MBEF will remove approximately three (3) feet of top soil. Soil removed will be used to create a berm on the bank of the river. MBEF will backfill to new grade elevation. MBEF will identify all underground lines. It is assumed that MBEF will locate all underground obstructions. SCS will make all efforts to design foundation around these obstructions. In the event obstructions must be removed it will be the responsibility of MBEF. Fire Protection Fire protection is not included in this proposal. Supervision & Labor The contractor will furnish supervision, “open-shop labor,” tools and equipment for the complete installation of all equipment furnished, including storage, boiler erection, boiler setting and piping. The boiler will be erected according to ASME Standards and the ASME “S” Stamp and National Board “R” Stamp. If equipment arrives before the contractor is set up on the site MBEF will unload and store items near the boiler site. After the contractor is on site all equipment items and bulk material deliveries will be received by the contractor. SCS will provide an on-site superintendent for the entire in field construction period. Project manager will be responsible for project scheduling, expediting material and other necessary tasks. Safety At a minimum safety will be maintained per all MBEF safety and security policies. MBEF will provide a copy of MBEF requirements for safety and drug policies.

Training Training will be handled on a time and material basis. Inspection & Testing A. Inspection

1. General The Contractor will be responsible for the testing and inspection of all materials, equipment and work in accordance with this specification. MBEF representative will have access at all reasonable times to the work wherever it may be in preparation or progress and the Contractor will provide proper facilities for such access and for inspection. Inspection by MBEF will not relieve the Contractor of his responsibility for obtaining satisfactory materials and workmanship and will not be considered as a basis for waving any guarantee made by the Contractor.

2. Welding Welding procedures used in the construction of weldments will be recorded and qualified as a procedure specification in accordance with Section IX of the ASME Boiler Code. Welders and welding operators employed in the construction of weldments will be qualified as to performance in accordance with Section IX of the ASME Boiler Code or other applicable code. Upon completion of fabrication the Contractor will ensure that all equipment is thoroughly cleaned out prior to turning the equipment over to MBEF. The cleanliness of all equipment, including pipe work, will be subject to approval by MBEF and no equipment will be closed up until the MBEF approval has been received. All pipe work will be inspected and tested in accordance with the ANSI/ASME B31.1 Code for Power Piping as required.

B. Testing

1. MBEF will provide for compaction tests as required and as determined by MBEF Project Manager. The Contractor will cooperate with test personnel in making these tests.

2. Concrete Tests

3. Piping

All piping will be satisfactorily tested by the Contractor after installation.

Testing will be in accordance with ANSI/ASME B31.1 where applicable.

Tests will be subject to inspection and approval of the MBEF representative.

Care will be taken so that the following equipment is not subjected to field test pressures or the test liquid:

a. Pumps, turbines b. Safety valves, filters, control valves c. Instruments, gauge glasses, pressure gauges d. Any component that has a hydrostatic test pressure less than line test

pressure

All lines will be flushed with water after testing until they are clear of all foreign matter. Where lines are flushed into vessels, this flushing will be done prior to final cleaning of the vessels.

Safety valves will be tested for accuracy of set pressure not more than 60 days prior to start-up date of test and set pressure will be die stamped on and wired on metal tag.

4. Instruments

The Contractor will be responsible for the checkout and commissioning of all instruments, electrical and mechanical equipment and will provide personnel qualified to perform these functions. Checkout and commissioning to be observed by MBEF. Start-up of the steam plant will not relieve the Contractor of the responsibility of performing these functions if these functions were not properly performed during the checkout of the plant.

5. Performance Tests

The degree to which the steam plant meets the Contractors stated guarantee will be determined by a performance test of at least 24 hours duration.

Conditions MBEF will make available at no cost to the Contractor the following:

a. A clear construction site free of all obstructions above or below grade except as otherwise noted herein.

b. Reasonable quantities of 480-volt and 110-volt electric power, water required

for construction and drinking water at or adjacent to the construction site. Facilities will be available also on an as is where is basis. Cost of installation and removal of temporary facilities required by the Contractor will be borne by the Contractor. MBEF assumes no obligation or responsibility for interruptions or down time of these facilities.

c. Provide access to the jobsite for all materials, equipment and personnel

supplied by the Contractor. d. Provide a designated parking area for Contractor personnel. Only Contractor

owned or leased vehicles and equipment necessary for the execution of the work will be permitted at the construction site.

e. Provide adequate space for storage, lay down and shakeout near the

construction site. f. Facilities for waste disposal

Mill production and maintenance will continue during construction near the steam plant construction site. The contractor will coordinate and regulate his activities to cause minimum interference with the mill operation and work by others. Contractor and Contractor’s personnel will adhere to and enforce OSHA safety rules and MBEF’s plant safety rules. Contractor will provide sanitary facilities for the contractor personnel. Contractor will provide any and all first aid and medical attention required by Contractor’s personnel. Some construction blue prints must be certified and approved by a representative of MBEF prior to any work performed pertaining to specific prints. On or near the first of each calendar month, Contractor will provide MBEF with project progress report and explanation of variances if such occur.

Foundations & Structural Engineering All foundation design and installation will be by SCS. MBEF will be responsible for supply of a soil test and initial excavation and fill of site. All structural modifications including new structural steel and concrete required to support new equipment or to provide access to new equipment will be by SCS. Engineering for foundations assume leveled and correct site elevation. Excavation or fill work of site is not included. If any underground obstructions are encountered, extra charges will be applicable. MBEF will be responsible for location of all underground obstruction. All codes and specifications are meant to be latest edition. SCS will provide anchor bolts and loading for all equipment supplied in this scope. Engineering Provide all as built drawings for the equipment covered by this Proposal. Submit for approval:

a. Mechanical Flow Sheets b. Piping routing of all pipes over 2” diameter c. Instrumentation flow/design sheets d. Loop sheets, one sheet for each instrument loop e. All vendor equipment drawings f. Electrical single-line drawings g. Control schematics and wiring diagrams h. P & ID’s i. General Arrangements

Start-up Start-up technicians will be provided for twenty-four (24) hours per day supervision for the initial four (4) days of start-up. Also, start-up technicians will be provided for four additional days, eight hours per day as required. The operator supervision is intended for familiarization of equipment and proper operating practices only. Any delays in the completion of the start-up requirements, directly attributable to the Owner, will be billed at the standard SCS technician engineer rate. Per diem billing rates for start-up technicians, if needed, are one thousand two hundred fifty dollars ($1,250.00) per eight (8) hours a day plus travel time and actual expenses incurred. This is an individual technician rate. At completion of installation of the boiler, the Contractor will furnish three (3) sets of reproducible drawings including mechanical flow sheets, plot plans and layouts, piping and instrumentation diagrams, electrical one-line diagrams, control schematics and

Complete set of drawings on disk will also be included. Contractor will also provide five (5) copies of a Manual for all equipment furnished which will include the following:

Performance & Testing Guarantee Steam & Control Systems, Inc. (hereafter known as SCS) warrants that the equipment to be delivered hereunder will be free from defects in material and workmanship under normal use and service for a period of one (1) year after completion of delivery. This warranty does not cover products, accessories, parts, or equipment which are not manufactured by SCS. All others will receive such warranty, if any, as given by the manufacturer. All manufacturer warranties will transfer to MBEF upon completion of system commissioning. This warranty will not apply where the defect is caused by corrosion or abrasion, careless or improper handling, storage, transportation, or installation, or where alteration of substitutions have been made in the equipment without SCS’s prior written approval. Subject to the Conditions of Performance Guarantees set forth elsewhere in this proposal together with those special conditions accompanying specific guarantees, SCS makes the following guarantees.

All guarantees of performance are based on the unit being fired with the design wood fuel mix as specified in Table 2, and on the other performance conditions shown in Table 1 of the Conditions of Performance Guarantees.

1. Circulation Capability (Wood)

Each unit shall have an average circulation capability of 150,000 lb/hr steam flow. This guarantee is based on a drum operating pressure of 875 psig and a feedwater temperature not to exceed 290oF entering the drum. This guarantee is based on meeting the boiler water conditions stated in item 2 of the Performance Conditions, with new drum internals provided by SCS and adherence to SCS’S Feedwater and Boiler Water Guidelines in the Operating Instructions for water chemistry limits necessary to control boiler deposition and corrosion. Circulation capability is based on a maximum steam flow average of 150,000 lb/hr steam generated from Wood.

2. Flue Gas Emissions (Wood Only)

When the steam generating unit is operating at the specified Maximum Normal Capacity firing the design wood fuel mix, flue gas emissions will not exceed the following:

3.1 NOX

The average NOX concentration, expressed as NO2, in the flue gas at the stack outlet will not exceed 0.25 post control lbs per million BTU heat input from fuel (using HHV), averaged over a three (3) hour performance test period.

3.2 CO The average CO concentration in the flue gas at the stack outlet will not

exceed 0.30 lbs per million BTU heat input from fuel (using HHV), averaged over a three (3) hour performance test period.

3.3 SO2

The average SO2 concentration in the flue gas at the stack outlet will not exceed .78 pre control lbs per million BTU heat input from fuel (using HHV), averaged over a three (3) hour performance test period.

3.4 VOC

The average volatile organic compound (VOC) concentration in the flue gas at the stack downstream of the final air pollution control equipment, which shall be in operation, will not exceed 0.025 lbs per million BTU heat input from fuel (using HHV), averaged over a three (3) hour performance test period.

3. Disclaimer

INASMUCH AS OPERATION OF THE EQUIPMENT SUPPLIED HEREUNDER IS TO BE WITHIN THE CONTROL OF MBEF, AND SCS HAS EXCLUSIVELY SET OUT HEREIN ITS GUARANTEES, NO OTHER GUARANTEE, WARRANTY OR REPRESENTATION IS MADE OR IMPLIED THAT THE OPERATION OF EQUIPMENT SUPPLIED HEREUNDER WILL COMPLY WITH FEDERAL, STATE, OR LOCAL LAWS OR REGULATIONS GOVERNING ENVIRONMENTAL IMPACT.

ALL GUARANTEES ARE CONTINGENT UPON OPERATION IN ACCORDANCE WITH SCS'S WRITTEN OPERATING INSTRUCTIONS, STABLE UNIT OPERATING CONDITIONS, AND ALL OTHER CONDITIONS SET FORTH HEREIN. FLUE GAS CONTAMINANT (EMISSIONS) GUARANTEES SHALL BE DEEMED ACCEPTED IF THE OWNER'S PERMIT CONDITIONS HAVE BEEN SATISFIED AND/OR A PERMIT VARIANCE IS GRANTED.

FURTHER, SCS AND MBEF AGREE THAT IN CONSIDERATION OF THE ABOVE EXPRESS PERFORMANCE GUARANTEES THAT ALL OTHER PERFORMANCE GUARANTEES EITHER EXPRESS OR IMPLIED, WHETHER ARISING UNDER LAW OR EQUITY, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE EXCLUDED FROM THIS CONTRACT.

The Material and Workmanship Warranty is set forth elsewhere in this Proposal.

The Remedies and Limits of Liabilities are set forth elsewhere in this Proposal. General Performance All performance guarantees are based on the conditions stated below, including all conditions as shown in Table 1, Guarantee Design Basis Summary, and with the specified fuels as shown in Table 2, Guarantee Design Fuels.

All performance data and conditions listed here, including Tables 1 and 2 listed above, are made a part of this Proposal. It is recognized that the performance of the equipment covered in this Proposal cannot be exactly predicted for every possible operating condition.

EQUIPMENT CONDITIONS

1. Equipment Arrangement. The general arrangement of equipment furnished by SCS, and the general design and arrangement of related equipment furnished by others, shall not be less favorable than as shown on drawings:

2. Equipment Erection & Operation. The equipment shall properly maintained and

operated by the MBEF in accordance with SCS'S Operating Instructions.

3. Fan Operation. Means shall be provided to control the supply of air and to maintain furnace draft of 0.1 inches water gauge at all ratings.

4. Air Pressure Testing

SCS'S standard test procedure requirements for field testing of balanced draft fired units are as follows:

Casing on suction units will be tested for casing leaks by pressurizing the unit with a forced draft fan. This will not be a pressure drop test and attempts to seal very minor leaks will not be made. The following procedure will be used:

4.1 The insulation of the unit will proceed normally without the requirement

of leaving the welds exposed until after a pressure test.

4.2 Before applying pressure, the following will be checked while closing up the unit:

4.2.1 Water seals filled.

4.2.2 Idle forced draft fans will be protected from backwards rotation by closed dampers or blocked rotors.

4.2.3 Idle induced draft fan rotors will be blocked unless these fans are

operative, in which case all these fans will be running with closed dampers.

4.3 With a forced draft fan running, the induced draft fan dampers and the forced draft fan dampers are operated to gradually develop a maximum pressure of 5 to 7 in. w.g. in the furnace with a minimum of air flow going through the unit.

4.4 The unit will be inspected and any major opening discovered will be sealed. No attempt will be made to secure a pressure tight job, and slight leaks through the welds will be neglected.

4.5 Tight roof casing will be tested for tightness. The roof casing will be inspected at the same time the furnace setting is being tested as per items 3 and 4 above. Since the penthouse enclosure casing is not pressurized on balanced draft units with a cased roof, the penthouse enclosure will not be tested.

4.6 Flues between boiler and I.D. fans, ducts between F.D. fan and furnace, as well as all gas recirculating flues will be checked for tightness with the rest of the unit while furnace pressure is maintained at 5 to 7 in. w.g. and with all gas recirculating dampers open. All detected leaks in gas flues normally operating under positive pressure (gas fan discharge flues) will be sealed.

Performance Conditions 1. Excess Air. The excess air in gas leaving the unit shall be determined by sampling

uniformly across the width of the unit in accordance with ASME PTC 19.10. 2. Water. It is assumed clean city water will be utilized for the facility. Therefore, SCS

shall not be held responsible for damage due to presence of oil, grease, scale or deposition on the internal surfaces of the equipment; or for damage resulting from foaming caused by chemical conditions of the water; or for damage resulting from corrosion. The feedwater must be continuously maintained at the required high level of purity. Contamination from all sources must be avoided. Condenser leaks must be safe-guarded against and contamination of other condensate sources must also be avoided. Make-up water must be of purity appropriate to the overall water purity requirements.

Corrosion products from sources within the cycle must also be minimized. This can be accomplished by maintaining oxygen, carbon dioxide, other corrosive impurities, and feedwater pH within limits which provide satisfactory protection for the materials in the cycle. Proper design and selection of materials for heat exchangers is required to minimize erosion and corrosion of this equipment.

The condition of the boiler drum water shall be such that the concentrations specified below are not exceeded.

Boiler Water Conditions:

Total alkalinity 20 % of TDS, maximum

pH 9.0 -11.2

The boiler water conditions stated above are the values permitted to qualify for the circulation guarantee and are not to be construed as water treatment specifications.

3. Performance Tests. Performance tests, if required, shall be run by MBEF within thirty (30) days after MBEF shall have received notice from SCS that the equipment furnished is ready for testing, but no later than six (6) months after equipment delivery, it being understood that SCS may require preliminary tests. MBEF, at his own expense, shall make all preparations, furnish all operating and testing personnel and incur all expenses connected with such tests. MBEF shall give SCS at least fifteen (15) days notice of the date or dates on which tests will be made. MBEF shall satisfy SCS that all instrumentation used for the test is satisfactorily calibrated and accurate. SCS'S representative shall have access to the records at all times, and the test shall be conducted in such a manner as to satisfy SCS that the specified performance conditions are being maintained. A complete copy of test data and results shall be furnished to SCS.

Performance tests, if required, and performance calculations shall be made in accordance with the ASME PTC 4.1 – 1964 (R1991) "Steam Generating Units - Power Test Code with 1968 and 1969 addenda” and TAPPI CA-4967, Biomass Test Procedure editions in effect at the date of this Proposal and the measure of performance shall be the results of such tests. Efficiency and input from fuel shall be determined by the heat loss method in accordance with the PTC 4.1 "ASME Test Form for Abbreviated Efficiency Tests". Performance calculations shall be based on the edition of the ASME Steam Tables in effect at the date of this Proposal.

4. Flue Gas Emissions. The test procedures for flue gas emissions shall be in general accordance with the EPA Reference Test Methods listed below, as published in the current (as of Proposal date) Code of Federal Regulations, Title 40, Part 60, Appendix A. Specifically SCS shall reserve the right to select the test method to be used from the following test methods, as set forth below.

Additionally heat input and volumetric flue gas flow rates, determined by EPA Method 2, shall be confirmed by heat and material balance around the system in general accordance with the ASME Power Test Code 4.1.

5. Fuel Sizing All performance and emissions guarantees are based on firing the specified fuels with a size distribution not less favorable than a maximum top size of 3 inches and no greater than 10% by weight less than 0.25 inches.

6. Equipment Acceptance. The equipment shall be considered as accepted if tests show

that the guarantees have been fulfilled, or if MBEF shall fail to have said equipment tested within the thirty (30) day period referenced above. All testing, retesting, and cost thereof, shall be the responsibility of MBEF.

General Conditions This Contract is based solely on the specifications and pricing letter included herewith, and on the following terms and conditions. Notice of objection to additional or different terms and conditions is hereby given. MBEF agrees that this Contract will constitute the complete and final agreement between SCS and MBEF in respect to this transaction. Any modification to this Contract will only be effective when evidenced by a written instrument signed by an authorized representative of SCS and delivered by SCS to MBEF. Any products received by MBEF from SCS will be deemed to be delivered only upon the terms and conditions contained in this Contract offering. Contract Information Only that equipment, expressly included in SCS’S Contract, will be furnished. The dimensions, Contract Drawings, typical illustrations, weights, materials, and details of construction included herein, while representing the best information available at the time of the issuance of this Contract, may vary from that set forth during the development of the final design under terms of contract. Such drawings as are included in this Contract are intended only to illustrate the arrangement of equipment and are not to be construed as defining the extent and scope of the material SCS proposes to furnish under this offering. Drawings MBEF will furnish SCS with all information, instrumentation, and drawings requisite to the execution of the work. SCS will furnish MBEF only those general arrangement drawings as are necessary for the work contemplated hereunder. In no event will SCS be obligated to furnish MBEF "shop" or "detail" drawings, or any other proprietary information. Title and Risk of Loss or Damage Risk of loss of or damage to the equipment furnished hereunder will pass to MBEF at the F.O.B. shipping point (SCS’S plant or SCS’S suppliers plant, as appropriate) specified herein. Title will pass F.O.B. SCS’S plant or if shipped directly by SCS’S suppliers, F.O.B. the supplier's plant. From the date that risk of loss of or damage to the equipment passes to MBEF as provided above, and until the contract price is paid in full and all obligations of SCS hereunder have terminated, MBEF will, by insurance or otherwise, assume the complete risk of loss of or damage to the equipment no matter how caused and will hold SCS harmless from any such liability.

Technical Interchanges During the performance of this Contract, whether or not required by the Contract specifications or requested orally or in writing by MBEF, SCS may: review and/or comment on information, drawings, data or specifications developed by MBEF; provide technical information or make recommendations relative to the overall project though not directly required to permit completion of SCS’S scope of supply hereunder, predict, approximate or advise the suitability of changes in conditions or alternate operating modes relative to the equipment supplied hereunder. In any such event, any recommendations, advice, predictions, or technical data supplied by SCS will be for information only. In no event will SCS be liable, whether arising under contract, tort (including negligence), strict liability or any other form of or cause of action whatsoever, for any loss or damage with respect to use of or damages resulting from the use of any such recommendations, advice, predictions or technical data. Delay in Performance A. SCS will not be liable for any expense, loss or damage resulting from delay or

prevention of performance caused by fires, floods, Acts of God, strikes, labor disputes, labor shortages, lack of or inability to obtain fuel, supplies or other equipment, riots, thefts, accidents, transportation delays, acts or failure to act of Government or MBEF delay in obtaining licenses, major equipment breakdown, nonrepairable defects in drum plate, or any other cause whatsoever, whether similar or dissimilar to those enumerated above, beyond the reasonable control of SCS. In the event of any delay arising by reason of the foregoing, the time for performance will be extended by a period of time equal to the time lost by reason of such delay and other affected provisions of the contract, including price, will also be equitably adjusted.

B. Should fabrication, field services, or shipment of the equipment be delayed or

postponed for any causes beyond the control of SCS, MBEF will arrange for storage of such equipment other than at the works of SCS and will protect the equipment against damage from the weather or other causes; MBEF will assume and hold harmless SCS against risk of loss or damage to such equipment and will be responsible for any charges in connection with storage or reconditioning.

Liability for Injury to Persons or Damage to Property and Insurance SCS will be responsible for any loss by reason of the liability imposed upon SCS by law for:

(a) bodily injuries, including death, accidentally sustained by any person or persons, and (b) accidental damage to or destruction of property

occurring while employees of SCS or its subcontractors are working on MBEF's or owner's plant site, to the extent that such injuries and/or damages are due to any negligent act or omission of SCS or its employees, or of its subcontractors, or of such subcontractor's employees and such occurs in connection with the performance of SCS’S work hereunder. SCS will provide and maintain until completion of the work the following forms of insurance in respect of its own employees (but not in respect of any employee paid directly by MBEF, but utilized by SCS).

Warranty SCS will repair or replace at the F.O.B. point specified herein for the original equipment furnished hereunder any parts of said equipment which within twelve (12) months from the date of initial operation (first firing) or twelve (12) months after shipment of SCS’S said equipment, whichever occurs first, are found to be defective in workmanship and material (if material, in case of delayed or postponed erection, is protected from damaging agents), excluding, however, normal wear, tear, and deterioration, or the effect of abrasion, erosion or corrosion, provided said equipment is erected and operated by MBEF in accordance with generally approved practice and in accordance with the Operating Instructions and other conditions of service (if any) specified by SCS and MBEF notifies SCS in writing as soon as any such defect becomes apparent. If SCS cannot repair or replace such defective part within a reasonable time after notice of such defect is given by MBEF, or if an emergency exists rendering it impossible or impracticable for MBEF to call upon SCS to repair or replace a defective part, MBEF, after notice to SCS, unless SCS will object, may make or cause to be made such repair or replacement, in which case SCS will reimburse MBEF for the reasonable cost of repairing such defective part or the reasonable cost of the replacement part. In no event will SCS be liable for removing such defective part or for reinstalling such part when repaired or replaced or for any costs incurred with such removal or reinstallation. SCS will not be responsible for work done, equipment or parts furnished, or repairs made by others unless the work is specifically ordered by SCS for the fulfillment of the contract. SCS warrants that title to the equipment is free of defects. The only guarantees of performance applicable to this Contract are those specifically identified as such in the Performance Section of SCS’S Contract and are based on MBEF complying with all the conditions set forth therein. All other descriptions or data including the Summary Sheets or Data Sheets are set forth only for MBEF’s information and convenience and are not represented to be nor to be construed as predictions or guarantees of performance. In the event the specific Performance Guarantees are shown by the performance tests not to have been achieved and such nonachievement is solely the result of Equipment deficiencies, SCS will perform the remedial obligations set forth in the Performance section of SCS’S Contract, Section III (7).

SCS AND MBEF AGREE THAT, IN CONSIDERATION OF THE ABOVE EXPRESS WARRANTY, AND THE PERFORMANCE GUARANTEES SET FORTH IN THE PERFORMANCE SECTION OF SCS’S CONTRACT, ALL OTHER WARRANTIES OTHER THAN TITLE EITHER EXPRESSED OR IMPLIED, WHETHER ARISING UNDER LAW OR EQUITY INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE EXCLUDED FROM THIS CONTRACT.

The sole liability of SCS and the exclusive remedy of MBEF arising out of the manufacture, sale, furnishing, or erection of the equipment hereunder or its use, whether claim is made under breach of contract (Including breach of warranty), tort (including negligence), strict liability, or any other theory of law will be limited to the remedial actions as herein above specified. Limitation of Liability of SCS NOTWITHSTANDING ANY OTHER PROVISION OF THE CONTRACT, IN NO EVENT WILL SCS OR ITS SUBCONTRACTORS BE LIABLE, WHETHER ARISING UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, FOR LOSS OF ANTICIPATED PROFITS, LOSS BY REASON OF PLANT SHUTDOWN, NON-OPERATION OR INCREASED EXPENSE OF OPERATION, SERVICE INTERRUPTION, COST OF PURCHASED OR REPLACEMENT POWER, CLAIMS OF CUSTOMERS, COST OF MONEY, LOSS OF USE OF CAPITAL OR REVENUE, OR FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL LOSS OR DAMAGE OF ANY NATURE ARISING AT ANY TIME OR FROM ANY CAUSE WHATSOEVER. The total liability of SCS whether arising under contract, tort (including negligence), strict liability, or otherwise will not exceed the following limits for the following types of claims:

The above article will apply notwithstanding any other provision of this Contract. Taxes The prices provided for herein are exclusive of any present or future federal, state, municipal or other sales or use tax with respect to the material, equipment or services covered hereby, of any other present or future excise tax upon or measured by the gross receipts from this transaction or any allocated portion thereof or by the gross value of the material, equipment or services covered hereby and of any present or future property tax or other similar charge with respect to the material, equipment or services covered hereby. If SCS is required by applicable law or regulation to pay or collect any such tax or taxes on account of this transaction or the material, equipment or services covered hereby, then such amount of tax will be paid by MBEF in addition to the prices provided for in the Contract. The prices provided for herein do include all of SCS’S Federal, State, and local taxes levied on wages and/or salaries.

Terms of Payment To be negotiated. Interest on Past Due Accounts Should any payment(s) due hereunder not be made as it becomes due, MBEF will commence paying interest on the outstanding payment(s) at the rate of three percent per annum over the prevailing prime interest rate as quoted from time-to-time by the Manufacturer's Hanover Trust Company. Changes in this interest rate on the payment(s) outstanding will become effective with each such change in the prime interest rate as quoted by the Manufacturer's Hanover Trust Company. This interest will be invoiced and paid monthly. Codes and Regulations The pressure parts furnished under this Contract will be designed and constructed in accordance with the applicable sections of the Boiler and Pressure Vessel Code of the American Society of Mechanical Engineers including all published Addenda and interpretations thereto in effect as of the date of this Contract. The balance of the equipment furnished under this Contract will be designed and constructed in accordance with the current editions of the following listing in effect as of the date of this Contract and where applicable to the scope of equipment herein supplied by SCS.

Since the site and other environmental conditions are both unknown and beyond the control of SCS and relative locations of equipment not furnished by SCS enter into noise level measurements, any noise level data submitted by SCS or its vendors to MBEF will be considered informative only and will not be construed as a warranty or guarantee that the equipment or any component thereof will, in service, comply with any noise level rules and regulations including those of OSHA and the Walsh-Healey Act. Cooperation between MBEF, MBEF's Engineers and SCS in the arrangement of equipment will be utilized in the design stage in efforts to achieve compliance with noise level rules and regulations, provided that the contract price and schedule will be subject to appropriate adjustment should equipment rearrangement be required. Permits Where Federal, State, Municipal or other regulatory authorities, laws, ordinances and regulations require permits to install or operate equipment covered by this Contract or the approval of the plans and specifications for the installation, MBEF will be responsible for securing the permits and the approval of said plans or specifications from the proper authorities and for any required fees. If any changes are required in the equipment covered hereby to meet such requirements, MBEF will inform SCS of such changes and if such changes can be practicably accomplished, SCS will make such changes and the contract price, the schedule, and other affected provisions of the Contract will be subject to appropriate adjustment. Assignment Neither SCS nor MBEF may assign all or any part of this Contract without the prior written consent of the other party unless such assignment is made to SCS or to a successor by way of merger, consolidation or the acquisition of substantially all of the assets of the assigning party. In the event of an assignment, the assignee will expressly assume the obligations of the assigning party in writing. Any assignment in violation of this article will be null and void. Set Off In no event will MBEF be entitled at any time to set-off against any amount payable by MBEF in connection with this Contract any amount owed or allegedly owed by SCS to MBEF arising from this or any other transaction between SCS and MBEF or his predecessors or successors in interest.

Waiver No waiver of any breach of any provision of this Contract by either party will be considered as a waiver of any other or subsequent breach.

Backcharges SCS will not be called upon to make any allowance for material, labor, repairs, or alterations made for its account unless authorized by it in writing. Notification of Claims MBEF will notify SCS immediately by Registered Mail addressed to Steam & Control Systems, Inc., 2805 Riverside Drive, Chattanooga, TN 37406, of all claims brought against MBEF for which SCS may be liable; and SCS will notify MBEF immediately by Registered Mail addressed to MBEF at its principal office of all claims brought against SCS in which MBEF may be liable. Governing Law This Contract will be construed in accordance with the laws, including the choice of law, of the State of Tennessee. Integration There are no understandings between the parties hereto as to the subject matter of this Contract other than as herein set forth and in the accompanying documents specifically referred to herein. All previous communications concerning the subject matter of this Contract between the parties hereto either verbal or written, are hereby abrogated and withdrawn and this Contract constitutes the whole of the agreement between the parties hereto. Any provisions of a purchase order or specification which may be issued hereafter and which are additional to or in conflict with the provisions hereof will not be binding on the parties unless duly approved in writing by both parties to this Contract.

Third Party Beneficiaries No provision of this Contract is intended or will be construed to be for the benefit of any third party, except as provided herein with respect to SCS’S subcontractors.
