Annex No. 2 - Price of

Parcel Delivery To Hand Services agreed for a period

from 1.1.2017 to 31.12.2017

1.1 The average number of a11 consignments posted under Agreement for Posting Parcel DeliveryTo Hand No. 2016 / 8595 (hereinafter referred to as "consignments according to the Agreement") in

the Period under Review per calendar month with a minimum one posting is greater than

XXXX consignments (number of all consignments according to the Agreement posted in the Period

under Review/ number of calendar months with a minimum one posted consignment according to the

Agreement).

1.2 The price for all Parcel Delivery To Hand (hereinafter referred to as ”DR”) consignments -

technological No. XXXXXX XXXXX - posted by the Sender under the Agreement specified in

subclause 1.1 above (hereinafter referred to as "the Agreement") in the period from 1.1.2017 to

31.12.2017 (hereínafter referred to as "the Period under Review”) is agreed as a uniform price for the

services in accordance with the Postal Terms and Conditions of Česká pošta, s.p. - Pricelist of Basic

Postal Services and Other Services (hereinafter referred to as "the Pricelist”). The agreed price is

XXX XX per DR consignment.

The price is quoted exclusive of VAT. VAT at the current rate shall be added to the service price.

This price shall apply only if all conditions mentioned in subclause 1.3 below are complied with.

1.3 Conditions applicable to consignments:

the average number of all consignments according to the Agreement posted during the

Period under Review per calendar month with a minimum one posting is greater

than XXXX (number of all consignments according to the Agreement posted in the Period

under Review/ number of calendar months with a minimum one posted consignment

according to the Agreement);

the average weight per DR consignment during the Period under Review is up to X XX

(sum of the weights of all DR consignments posted during the Period under Review/

number of all DR consignments posted during the Period under Review);

additional discount is justifiably claimed during the Period under Review for a minimum

% of all DR consignments posted during the Period under Review (number of

DR consignments posted with additional discount for the Period under Review/ number

of all DR consignments posted during the Period under Review);

discount for delivery of consignments to outlet address is justifiably claimed during the

Period under Review in average for a minimum 0% of all DR consignments posted

during the Period under Review (number of DR consignments posted during the Period

under Review with the "Mail delivery to outlet address” discount/ number of all

DR consignments posted during the Period under Review).

1.4 The price specified in subclause 1.2 above is the agreed partial uniform price. The discount specifiedin Paragraph 5.6.4 of the Pricelist shall not apply to DR consignments posted under the Agreement.F ees for additional services and/or services that are subject to surcharge according to the Pricelist

valid as of posting date shall be added to this partial uniform price. The XXX X per DR consignmentdiscount for electronic posting will be deducted from the monthly service price on condition of

correct delivery of posting data in electronic format.

The discount is quoted exclusive of VAT. VAT at the current rate shall be added.

At the end of the Period under Review ČP will check the actual structure of consignments posted bythe Sender during the Period under Review for compliance with the conditions under subclause 1.3

above. In the event of non-compliance with the conditions under subclause 1.3 above, ČP will chargethe Sender the difference between the above-mentioned partial uniform price and the new partialuniform price calculated for the Period under Review, for each consignment posted during the Period

under Review. The difference will be charged on basis of an invoice for the calendar month next to

the end of the Period under Review to which the uniform price applies. This new uniform price must

be at least the price mentioned in subclause 1.2 above.

The new partial uniform price will be calculated as follows:

Parameters:

the quantities for this period will be calculated on basis of the actual number of

consignments posted during the Period under Review and the below-mentioned

parameters;

these quantities for the Period under Review will be applied to each calendar month with

a minimum one posting, i.e. calendar months without any posted consignments accordingto the Agreement will not be included into the calculation of partial uniform price;

this will determine the partial uniform price per month for each calendar month of the

Period under Review with a minimum one posting according to the Pricelist, valid as of

the first day of the calendar month, incl. provisions under subclause 5.6.6 of the Pricelist

(Parcel Delivery To Hand);

the new partial uniform price for the Period under Review will be calculated as simplearithmetic average of all monthly partial uniform prices.

average weight per DR consignment during the Period under Review (sum of the weightsof all consignments posted during the Period under Review/ number of all consignments

posted during the Period under Review);

average number of consignments posted during the Period under Review per calendar

month with a minimum posting (number of all consignments posted during the Period

under Review / number of calendar months with a minimum one posting);

additional discount is justifiably claimed during the Period under Review (number of

consignments posted during the Period under Review with additional discount/ number

of all consignments posted during the Period under Review);

discount for mail delivery to outlet address is justifiably claimed during the Period under

Review (number of consignments posted during the Period under Review with discounts

for mail delivery to outlet address/ number of all consignments posted during the Period

under Review).

The Parties will agree on a new Annex to cover the period next to the period mentioned in

subclause 1. 2 above. Should the parties fail to agree on a new Annex at the latest by the end of period

mentioned in subclause 1.2 above, the price charged for the services during this subsequent periodwill be as quoted in the Pricelist valid as of posting date; the Pricelist is available at each post office

in the CR and at the website http://www.ceskap0sta.cz/.
