The Hackathon Contest will be conducted in English. Therefore, to effectively participate, you must be able to read, communicate in, and understand English. COVERING THE SHENZHEN, CHINA EVENT INCLUDING

HACKATHON CONTEST

NO PURCHASE NECESSARY AND NO ADMISSION FEE REQUIRED

General Overview. These “Terms & Conditions” govern the Intel® Internet of Things (IoT)

Roadshow event in Shenzhen, China (“PRC”) which is referred to herein as either the “event” or

the “Intel IoT Roadshow event.” At the event, an optional Hackathon contest (“Hackathon” or

“Hackathon Contest”) will be conducted with participants competing for prizes. These Terms &

Conditions set forth the legal relationship between Intel Corporation (“Intel,” “Sponsor” or

“us/we/our”), The Game Agency, LLC (“Administrator”), China Golden Bridge Technology &

Service Co. Ltd. (“Agency”), and each entrant (“attendee,” “entrant,” “participant” or “you/your”)

regarding the event which includes the Hackathon. Although Intel will be conducting other

activities similar to the event at other locations around the world, those other activities are not

governed by these Terms & Conditions.

The Hackathon Contest will be conducted in English. Therefore, to effectively participate,

you must be able to read, communicate in, and understand English.

By applying to attend the Intel IoT Roadshow event and by expressly accepting these Terms &

Conditions, you fully and unconditionally accept, agree, and assume responsibility to be bound by

them (including all terms and conditions included in documents referenced in, or accessible via a

link contained within these Terms & Conditions) and by all decisions of Intel, Agency, and

Administrator in accordance with these Terms & Conditions. Those decisions are final and

binding in all matters related to the Intel IoT Roadshow. In addition, you, Sponsor, Agency, and

Administrator hereby acknowledge the validity (as legal binding documents and evidence) of

electronic or digital messages, documents, communications and notifications (including e-mails)

generated or exchanged among the parties in the framework of the Intel IoT Roadshow event or as

a result of its implementation.

The Intel IoT Roadshow event is subject to, and you must comply with, all applicable national,

federal, state, provincial, territorial, municipal and local laws, regulations, policies and directives.

Residents of the countries listed in Section 1B, below, and where otherwise prohibited, are not

eligible to participate in the IoT Roadshow event. These Terms & Conditions are presented in

English and, for reference purposes only, in Simplified Chinese. The English version of these

Terms & Conditions will be the official document governing this Intel IoT Roadshow event.

that can network and communicate with each other and the cloud with a view potentially to

exploiting said applications industrially or commercially.

Code of Conduct. The Intel IoT Roadshow is an educational community event. Everyone is

expected to conduct themselves as professionals and treat each other with dignity and respect. The

event is designed to encourage the open exchange of ideas and expression and requires an

environment that recognizes the inherent worth of every person and group.

While at the IoT Roadshow or related ancillary or social events, all participants, including

speakers, attendees, volunteers, sponsors, exhibitors, and event staff must not engage in any form

of harassment, including harassment based on gender, gender identity and expression, sexual

orientation, disability, physical appearance, body size, race, age, religion, or any other status

protected by applicable local laws. Harassment includes the use of abusive or degrading language,

intimidation, stalking, harassing photography or recording, inappropriate physical contact, sexual

imagery, and unwelcome sexual attention. Intel reserves the right to address alleged harassment

as it deems appropriate.

The projects you create and those you demonstrate at the Intel IoT Roadshow may not use

sexualized images, language, activities, or other material creating a sexualized environment or

which may generally be perceived as harassment.

If asked to stop any behavior that might be deemed harassing, you are expected to comply

immediately. If you engage in behavior that may be viewed as harassment, an Intel employee or

an Intel event representative may take any action believed appropriate including, but not limited

to, warning you, expelling you from the event, and excluding you from future events.

If you are being harassed, notice that someone else is being harassed, or have any other concerns

related to harassment, please contact an Intel employee or Intel event representative immediately.

1. EVENT LOGISITICS AND ATTENDEE ELIGIBILITY

1A. LOCATION AND DATE OF EVENT. The Intel IoT Roadshow governed by these Terms

& Conditions is scheduled to take place in Shenzhen, China from October 15 – 16, 2016.

The Intel IoT Roadshow event may be changed, canceled or otherwise modified due to

administrative issues, business issues, or due to problems related to, shipping to the PRC or the

U.S.A., export or import restrictions, taxes or import duties and other mandatory restrictions that

may vary from country to country and from time to time, or regulations, customs, U.S.A. sanctions,

or other geopolitical matters or events. If any of the above should occur, the information will be

disclosed via a notice posted on https://iotevents.intel.com/shenzhen (“Event Website”). Persons

who have successfully applied for an event will also be advised via the email address they

provided. Applicants acknowledge that these rules, requirements, matters, sanctions, prohibitions,

or restrictions (i) may be altered from time to time; (ii) are beyond the control of Intel, Agency,

and Administrator; or (iii) may render the awarding of prizes or holding the event more difficult,

burdensome, or impossible.

1B. ELIGIBILITY TO ATTEND. The Intel IoT Roadshow event is open to any person with

legal authorization to be in the PRC (with the exception of residents from Burma (also known as

Myanmar), Cuba, Iran, North Korea, Sudan, and Syria who are not eligible to participate or win a

prize) and, at the time of the event, is at least eighteen (18) years of age and the age of majority in

the country, state, province or territory in which you reside. It is your responsibility to understand

your legal right to attend and participate in the event.

Employees, officers, directors, members and representatives of Intel, Agency, Administrator, and

each of their respective parent companies, subsidiaries, affiliates, and divisions, and of any third

party involved in the design, execution, production or judging of the Intel IoT Roadshow event

(all these entities and persons, collectively, are the “Intel IoT Roadshow Entities”), and immediate

family members (spouse and parents, siblings and children and each of their spouses, regardless

of where they reside) and persons living in the same households (whether or not related) of each

of the above are ineligible to participate, enter or win a prize in the Hackathon portion of an Intel

IoT Roadshow event. Verification of eligibility qualifications of winners may be required.

2. PARTIES INVOLVED IN THE EVENT.

2A. SPONSOR. The “Sponsor” is Intel Corporation, 2200 Mission College Blvd., Santa Clara,

CA 95054-1549, U.S.A. The Sponsor is the data controller for the event.

2B. ADMINISTRATOR. The administrator for the Intel IoT Roadshow event is The Game

Agency, LLC, 470 West Avenue, Suite 1001, Stamford, CT 06902, U.S.A. (“Administrator”).

The Administrator is a data processor for the event.

2C. AGENCY. The agency managing the Intel IoT Roadshow event at the physical venue and

whose responsibilities include, but are not limited to communicating with the attendees, checking-

in attendees, distributing event supplies required by attendees, and collection of Prize Documents

(as defined in Section 10) is China Golden Bridge Technology & Service Co. Ltd, Floor 4, 33 the

North 3rd Ring Road East, Dongcheng district, Beijing, 100029, PRC. (“Agency”). The Agency

is a data processor for the event.

3. ITEMS FOR ATTENDEES TO BRING TO EVENT. Each attendee is required to bring the

following items to the event:

1. Official, valid government identification (“Government ID”), in both Chinese and

corresponding English translation, with photo to show age and residency such as valid

government-issued driver's license, national ID card, passport or other identification

(subject to Intel’s approval). This Government ID will be requested by an Agency

representative when you first arrive at the event to confirm your identity, age, and

residency. If you win a prize, an Agency representative will re-confirm these three

eligibility criteria against the Government ID.

2. Computer with 10 GB free storage space, WiFi for internet access which runs Windows

7, 8, 8.1, or 10 (64bits), Mac OS 10.x (64bits) or Linux (Ubuntu 12 or similar).

Each attendee is permitted, but not required, to bring the following items to the event:

1. Your own Intel® Edison development board. No other type of development board is

permitted. The Edison development board that you bring to the event may be a work-in-

progress for purposes of competing in the Hackathon.

2. You may also bring any Internet of Things accessories provided that you have all the proper

licensing or use rights for any of these accessories.

3. You may have on your computer any programming aids and software tools, as well as

creative assets to enhance the look and feel of your Project, provided that you have all the

proper licensing or use rights for any of these programming aids, software tools or assets.

4. OVERVIEW OF INTEL IOT ROADSHOW EVENT.

4A. SCHEDULE. Subject to changes to be announced prior to the event on the Event Website

or at the event, the Intel IoT Roadshow event will consist of the following schedule:

Day 1 high level schedule:

Intel® IoT Developer Kit Training

Ideation and team formation

Hackathon Contest begins

Day 2 high level schedule:

Hackathon Contest continues

Tools down and Projects demonstrated

Judges deliberations

Winner announcements

4B. HOW TO APPLY FOR THE IOT ROADSHOW EVENT. Subject to these Terms &

Conditions, persons wishing to attend an Intel IoT Roadshow event must visit the Event Website

to identify the PRC specific event and submit an application for the opportunity to attend the event.

Application for the Intel IoT Roadshow event will begin on or about the date and local time

indicated below. The Application process for the event will close as determined by the Sponsor

but no later than five (5) days prior to the start of the event. Space at the event is limited and

determined by the responses to the questions below and the timing in which you submit your

application. Once the attendee limit is met, the online application system will be closed for the

event. Notwithstanding the closing of the application process as indicated above, Sponsor, in its

sole discretion, may re-open the online application system to accommodate fluctuations in

confirmed attendance. Persons interested in doing so, may still submit their email address to learn

about other Intel sponsored events. Walk-Ins will not be permitted. If any details regarding a

specific Intel IoT Roadshow event change from the information originally listed below, Sponsor

will announce such change on the Event Website or the table below.

Persons applying for the Intel IoT Roadshow event will be asked to provide the following:

6. Company where employed or school where enrolled (required)

7. Please select from the following choices to best describe your professional role or

applicable skill-set (required)

8. Where are you in the Development Journey? (required)

9. What are you hoping to learn or accomplish through attending the event? (required)

Intel and/or the Agency managing the Intel IoT Roadshow event will review the responses to the

above questions to determine, at its sole discretion, which people have the most prior experience,

are most qualified to benefit from the educational content at the Intel IoT Roadshow event, and

possess the requisite hardware and software programming skills. The Agency will use reasonable

efforts to contact a prospective attendee at least five (5) days prior to the start of the corresponding

event to invite the person to attend. The prospective attendee has five (5) days to respond and

affirm acceptance of the invitation. If prospective attendee cannot be reached or does not respond

within the allotted time, the event spot will be forfeited and the Agency will move onto the next

qualified prospective attendee. Persons selected as alternate prospective attendees (if any) must

respond and affirm acceptance of the invitation in the time frame and as directed by Agency.

For the remainder of Section 4B only, the terms “I,” “my,” and “me” refer to an IoT Roadshow

event attendee. To submit his/her application, each person will be required to affirmatively check

the presented box accompanying the following acknowledgement/consent:

I understand, state, and agree to each of the following:

(i) I am at least 18 years of age and the age of majority in my country of residence,

(ii) to be bound by these Terms & Conditions and Sponsor’s Privacy Policy,

(iii) the personal data I submit will be transferred to servers in the United States,

(iv) to permit Sponsor’s use of my photographic and video likeness recorded at the

event as described in the Publicity Release section of the Terms & Conditions (if I

am selected as an attendee and I attend the event), and

(v) the Terms & Conditions governing the Intel IoT Roadshow are in English.

By submitting the application form, you consent to the use of your personal information with

respect to all matters related to participation in the Intel IoT Roadshow (including the storage,

transfer and use of such personal information as set forth in these Terms & Conditions including

Section 11 titled “Publicity Release”).

During the application process, you may be asked to optionally, affirmatively check the following

By checking the opt-in box, and in compliance with data protection laws, I confirm being an

adult 18 years or older and understand, state, assume responsibility, and freely consent and

authorize Intel to contact me by email, digital marketing, or telephone with information about

Intel products, events, and updates. My consent will have no impact on my participation or

performance in the event. I may unsubscribe at any time by clicking the link provided in the

Intel communications.

4C. CHECKING IN AT THE EVENT. Upon arrival at the event, we or an Agency

representative will request you present your Government ID, in both Chinese and corresponding

English translation, to confirm your identity matches the attendee roster and you meet the age and

residency eligibility requirements..]

4D. FULFILLMENT OF AN IoT DEVELOPER KIT. Subject to the availability of inventory,

the first one hundred (100) attendees who check-in at the event will receive an Intel IoT Roadshow

Developer Kit (“Dev Kit”) for use during the Hackathon consisting of the following components:

An Intel® Edison Board

Grove 2nd Generation Starter Kit Plus or Grove Edison Starter Kit

Sundry cables, sensors, and other accessories

Limit one Dev Kit per person.

Attendees are required, as instructed by Intel or Agency representative at the event, to use parts of

the Dev Kit hardware and the Dev Kit software libraries in the submission of a Project. Sponsor

and Agency reserve the right, determined in their sole discretion, to require you to participate on

a team (rather than individually). For example, if a participant does not receive a Dev Kit due to

lack of inventory, Agency will assign the participant to a team that has a Dev Kit or require another

individual entrant to form a team with the participant who does not have a Dev Kit. Sponsor and

Agency also reserve the right to limit the number of Dev Kits per team (although each team will

be provided with at least one Dev Kit).

Subject to the provisions indicated in Section 12 below, at the conclusion of the event, the Dev Kit

may be retained by the attendee who originally received the Dev Kit at check-in.

5. HOW TO ENTER THE OPTIONAL HACKATHON CONTEST.

5A. OVERVIEW OF STRUCTURE. Below is a brief overview of the Hackathon Contest

structure at the Intel IoT Roadshow event.

Step 1: At the outset of the event,

You will be asked whether you wish to enter the Hackathon portion of the Intel IoT

Roadshow event.

If you wish to enter this optional aspect of the event,

o You will further be asked whether you wish to enter as an individual or member

of a team.

You can only enter the Hackathon at that event as an individual or as a

member of one team.

o If you wish to enter as part of a team, you will either be assigned to a team of

individuals as decided by Sponsor and the Agency, or, you may form a team

yourself consisting of individuals previously known to you or from other

attendees at the event.

Once you have made the selection of participating as an individual or as a team

member, this selection (and the team that you are on) cannot be changed by you during

the event.

There is no limit on the number of people that may be included on a team.

Step 2: On or about noon of the second day of the event, all individuals and teams will

demonstrate their working development boards (each a “Project”) to the judges for scoring and

ranking.

Hackathon Contest participants must be in attendance during each step of the event,

including but not limited to all the creation, demonstrating, judging, and announcements. Unless

agreed to in advance in writing between the Sponsor or Agency and the participant because of

extenuating critical circumstances such as illness or a family emergency, (i) the person who is

participating in Hackathon Contest as an individual who misses any portion of the Hackathon

Contest will be disqualified; or (ii) if the person is participating in the Hackathon Contest as a

member of a team, the person will be disqualified, and they relinquish all rights to their Project

and any potential Project Prize. The rest of the Team members may continue their participation in

the Hackathon Contest.

5B. HOW TO ENTER YOUR PROJECT SUBMISSION INTO THE HACKATHON

CONTEST. At the beginning of the Intel IoT Roadshow event, Intel or the Agency will instruct

attendees on the method in which Projects will be submitted for evaluation. The Project

Submission process will employ either an online or printed form containing fields similar to the

ones listed below. Once you have built your Project (but before you demonstrate it), you must

complete the online or printed form and submit it electronically or as otherwise directed by Intel

or Agency. Only one online or printed form is permitted per Project Submission (as defined below)

even if entrant is a team. You must provide the following information on the form:

(i) Your name (or team name including names of all individuals on the team (if you

are entering as a team));

(ii) Your email address (and the email addresses of all members of your team if you

are entering as a team)

(iii) Project name;

(iv) Project overview;

(v) Description of the intended uses for the Project including, but not limited to, the

following:

Describe the unique and innovative attributes of your Project.

What is the target audience and available market for your Project?

How does your Project technically work?

How does your Project take advantage of

Cloud connectivity?

Sensor utilization?

How does your Project make use of

Software components?

Hardware components?

The Dev Kit?

You will then demonstrate your Project at the time and location requested by the Agency. Each

Project demonstration must be three (3) minutes or less.

Your Project (including the demonstration of your Project) and the online form associated with

your Project are, collectively, your “Project Submission” or “Submission”.

Each entrant (either as an individual or as a team) is permitted to enter as many Project

Submissions as he/she/they wish, so long as each is materially different from any other Submission

entered by such individual or team.

There are no categories for the Projects. Any Project topic will be accepted (subject to these Terms

& Conditions) and all ranked against each other. All individuals and teams will be competing

against one another. For purposes of clarification, there are no separate competition tracks for

individuals or teams.

By demonstrating your Project, you represent, agree, and understand that:

(i) Your Project Submission conforms to these Terms & Conditions including the content

Guidelines and Restrictions (as defined and described in Section 7 of these Terms &

Conditions) as well as the Code of Conduct in Section 1; and,

(ii) The Sponsor or Agency, each in its sole discretion, may remove your Project

Submission and disqualify you from the Intel IoT Roadshow event Hackathon Contest

if it believes that your Project Submission fails to comply with or conform to the Terms

& Conditions and Guidelines and Restrictions.

All Project Submissions are subject to verification by the Sponsor or Agency in accordance with

these Terms & Conditions. Any attempted form of entry other than as described is void. Intel or

Agency, or Administrator, in accordance with these Terms & Conditions, will determine in its sole

discretion, what constitutes a valid and eligible entry.

Intel, Agency, and Administrator are not responsible for lost, late, corrupted, incomplete, invalid,

damaged, or delayed Project Submissions (to the extent such events are not due to the fault of Intel,

Agency, or Administrator); all of which will be void and not considered.

See Section 15 of these Terms & Conditions for important information related to the collection,

storage and/or export of the personal data that you submit as part of the Intel IoT Roadshow event.

Project Submission Deadline. Each element of your Project Submission must be received by

the day and time specified by Sponsor or Agency representative at the beginning of the event.

6. SELECTION OF WINNERS AND JUDGING OF PROJECT SUBMISSIONS. A panel

of qualified judges (determined by Intel or the Agency in their sole discretion) will evaluate and

calculate a score for all Project Submissions. The score assigned to each Project Submission is

based on the following Project Submission Judging Criteria:

(i) How effectively does the Project Submission maximize and innovate upon the Dev

Kit?

(up to 50 points)

(ii) How effectively does the Project Submission make use of the following hardware

and software components of the Dev Kit?

(total of up to 40 points comprised of points for the following criteria)

Cloud connectivity (up to 10 points)

Sensor utilization (up to 10 points)

Overall Dev Kit utilization (up to 10 points)

Other technical aspects (up to 10 points); and

(iii) How effectively does the Project Submission present a compelling solution and

show potential for market viability once fully developed?

(up to 30 points)

At or about 5:00 p.m. local time on the second day of the event, a panel of qualified judges

determined by Intel or the Agency, in their sole discretion, will select and announce the six (6)

highest-scoring Project Submissions based on the Project Submission Judging Criteria. The scores

for the entrants at these events will be ranked from highest to lowest to determine the winners of

the following six (6) prizes (each a “Project Prize”):

One (1) First Place Project Prize (Highest Score)

Two (2) Second Place Project Prizes (Second and Third Highest Scores)

Three (3) Third Place Project Prizes (Fourth, Fifth, and Sixth Highest Scores)

Note: Certain Project Prizes may not be awarded if less than six (6) Project Submissions are

submitted.

If two (2) or more Project Submissions tie with the same highest score, the winner for that Project

Prize will be selected by the judges based on which of the tied entries has the highest score for

market marketability.

The odds of being selected a winner will depend on the quality of your Project Submission which is

expressed as the score the Project Submission receives from the judges in accordance with the Project

Submission Judging Criteria indicated above.

Scores calculated by the judges are confidential to Sponsor, the Agency at the event, and

Administrator and will not be released to event participants.

7. CONTENT GUIDELINES AND RESTRICTIONS FOR PROJECT SUBMISSIONS. By

submitting your Project Submission (as defined in Section 5B), you agree, represent and warrant

that all of your Submissions conform to the submission content guidelines and restrictions as listed

below (“Guidelines and Restrictions”) and that Intel may disqualify you (and/or your

Submission(s)) from the Intel IoT Roadshow event Hackathon if Intel believes, in its sole

discretion, that any one of your Submissions fails to conform with the Guidelines and Restrictions

and any other restrictions or requirements listed in the Terms & Conditions.

Content Guidelines:

All aspects of the Submission must be in English;

The Project demonstration must be three (3) minutes or less in duration; and

All Project Submissions must use the parts (though not necessarily all the parts) in the

Dev Kit hardware and the Dev Kit software libraries.

Content Restrictions:

The Submission must be the original work solely of the entrant submitting the

Submission unless the entrant is a team in which case the Submission must be the

original work of all members of that team;

The Submission must not contain or allege to contain material that violates or infringes

another’s rights (whether living or deceased) including, but not limited to, privacy,

publicity, or any other intellectual property rights;

You must be the owner of your Submission (including the owner of all copyrights,

logos, trademarks, trade names, designs, patents, music, sounds, images, video, etc. in

the Submission) or otherwise obtain all rights necessary to submit your Submission and

participate in the Hackathon contest subject to these Terms & Conditions, particularly

in Section 8;

Your Submission must not contain any Intel names, trademarks or other intellectual

property except as provided and allowed in these Terms & Conditions;

Your Submission may contain third party brand names, trademarks, or other intellectual

property only if you have all necessary rights to allow you to include such intellectual

property in your Submission and to allow Intel to use the Submission as contemplated

and described in these Terms & Conditions. If requested, you must be able to provide

written evidence of those rights to Intel in a form acceptable to Intel;

Your Submission may not contain official emblems of any country without permission

from the appropriate authority from that country;

The Submission must not disparage Intel, any Agency, Administrator, any other person

or party affiliated with the Intel IoT Roadshow or any other third party;

The Submission must not contain any viruses, worms, spyware, or other components

or instructions that are malicious, deceptive, or designed to limit or harm the

functionality of a computer or Dev Kit;

The Submission must not contain material that is inappropriate, indecent, obscene,

pornographic, hateful, tortious, untruthful, inaccurate, defamatory, slanderous, or

libelous;

The Submission must not contain material that promotes harassment, bigotry, racism,

hatred or harm against any group or individual or promotes discrimination based on

race, gender, religion, nationality, disability, sexual orientation or age;

The Submission must not contain material that is unlawful, in violation of or contrary

to the laws, regulations or policies in any jurisdiction where Submission is created or

where the Intel IoT Roadshow event is offered; and,

You bear the responsibility for violation of any of the above-listed obligations and

requirements which imply, but are in no way limited by, reimbursement of inflicted

damages.

Nothing in these Guidelines and Restrictions will require that a Submission be created by you

specifically for the Intel IoT Roadshow event, nor do these Guidelines and Restrictions prohibit

you from submitting a Submission previously conceived of or coded, so long as you use the Dev

Kit, Intel® Edison development board, and not another development board as the basis for your

Submission.

8. INTEL’S USE OF SUBMISSION. Intel gains no ownership rights over your Submissions.

By entering a Submission you grant Intel for administrative, promotion, and marketing purposes

related to the Intel IoT Roadshow event, other contests conducted by Intel, and the products, or

services of Intel, a royalty-free, irrevocable, perpetual (or, when not legally possible, for the entire

terms of duration of intellectual property rights), non-exclusive license with the right to sub-license

on a royalty-free basis (without your separate consent) to use and exploit all intellectual property

rights associated with the Submission (including, but not limited to, the copyrights, trademarks,

patent and design rights) including without limitation, to use, adapt, reproduce, represent,

disseminate, distribute, perform, modify, translate, publish, communicate, or broadcast to the

public and publicly display your Submission in whole or in part, on a worldwide basis, and to

incorporate it into other works or develop or prepare derivative works, in any form, media or

technology (including printed materials, Internet and notably Intel and Intel marketing partner

websites, etc.) now known or later developed. Intel may exploit the Prize winners’ Submissions

industrially or commercially through, for example, the demonstration of the Submissions at certain

industry or academic events, through potential introductions at these events to manufacturing and

investment entities, through the highlighting of the Submissions and winners on the Intel

Developer Zone, the Instructables and other Intel marketing partner websites, or through potential

introductions to other parties. Notwithstanding the above, this license does not give Intel any right

to sell the Submission to a third party, or to offer it as a value-added premium in connection with

a sale or lease (though the parties may mutually agree to this at a later time). No form of direct

monetization of the Submission by Intel is permitted without your express written consent.

For the avoidance of doubt, the compensation for the license of the intellectual property rights

associated with the Submission is $0 US dollars.

If requested, you will sign any agreement or other documentation (or obtain the signature from

relevant third parties) that may be required for Intel to make use of the non-exclusive rights you

grant to use the Submission (or that may be requested to confirm Intel’s right to such use).

In certain jurisdictions, a specific, separate licensing agreement is required under applicable law.

If you are a resident of one of those jurisdictions, you will be required to enter into an additional

license agreement with Intel in the form and substance that complies with applicable law. Intel

will send a template of the license agreement to those residents by e-mail. If sent, the template

must be filled in and printed out by you, and its executed hard copy sent to Intel by mail. The

license agreement would be very similar to the license terms indicated above.

In granting Intel the license, you hereby represent and warrant that the Submission does not in any

way infringe upon any third party’s intellectual property rights (whether living or deceased).

Intellectual property ownership and rights to the Submission remain with you (either with you or

the team that submitted the Submission) except as provided in this document. Otherwise, you

accept and undertake to hold Intel, Agency, and Administrator harmless against any third party

claims. In case the Sponsor, Agency, or Administrator suffers damages due to the referred

violation, you accept and undertake to compensate the damages of Intel, Agency, and

Administrator to the extent permitted by applicable law.

To the extent permitted under applicable law, you consent to, and warrant that you have obtained

the written consent from all other creators of content in the Submission to, any acts or omissions

by the Sponsor and each of their respective successors and assigns which would otherwise

constitute an infringement of the creators' moral rights, if any, (including, in particular, the right

to maintain the integrity of the Submission, moral right to first distribution and the moral paternity

right) and waives any and all moral rights in favor of Intel. If requested, you will provide the third

party consent to Intel in a form acceptable to Intel.

By submitting a Submission, you accept and acknowledge that Intel will not be obligated to use

the Submission and that Intel, in its sole discretion, will have the right to refrain from using the

Submission. Intel will not incur any liability whatsoever to the extent it chooses to refrain from

any exploitation of its rights.

To the extent required by applicable law only, the consent of the entrant to grant the use and

exploitation rights to the Sponsor shall not be construed as an assignment or waiver to any of

his/her moral rights which, under applicable laws, may not constitute the object of any transfer or

waiver whatsoever. To the extent permitted under applicable law, you accept and acknowledge

that you will not exercise your moral rights.

9. PRIZES. During the Hackathon Contest at the Intel IoT Roadshow event, the Project Prizes

listed below will be awarded based on the Project Submission Judging Criteria and the procedures

indicated in Section 6. All the Project Prizes as stated below are awarded as consideration of the

creative work of the winners and in recognition of merit of the Project and by way of

encouragement to promote future technological development to the benefit of society as a whole.

All Project Prize values set forth herein are expressed in United States dollars (“USD”) though the

value indicated on an online gift card may be at the Renminbi equivalent value as of the date of

payment for each Project Prize.

One (1) First Place Project Prize in the form of an online gift card worth one thousand five

hundred dollars ($1,500 USD).

Two (2) Second Place Project Prizes each in the form of an online gift card and each worth

one thousand dollars ($1,000 USD).

Three (3) Third Place Project Prizes each in the form of an online gift card and each worth

five hundred dollars ($500 USD)

The total average retail value of Project Prizes offered at the event is five thousand dollars ($5,000

USD). No more than the stated number of Project Prizes will be awarded.

If the winner is an individual, that person will receive the stated prize. If a winner is a team, then

the amount of the winning Project Prize will be divided equally by Intel or Administrator among

the team members. If a member of a team is disqualified, pursuant to Section 10, then the

disqualified member’s portion of the prize will be distributed equally among the remaining team

members. There is no limit to the number of prizes that may be won per person.

All prizes will be provided in the form of an online gift card, and where not possible, a PRC-issued

check, via PayPal or Western Union, or other payment method as determined by Intel in

accordance with applicable law.

A winner may be required to set up a PayPal account, as directed by Sponsor, in order to receive

a prize. Unless indicated herein as being awarded, all other expenses associated with a prize or

receipt or the use of a prize are not included and are the sole responsibility of winner. No

substitution or transfer of a prize is permitted by a winner. All prizes will be fulfilled within six

(6) to ten (10) weeks of receipt of all required documentation as described in Section 10 of these

Terms & Conditions.

Apart from the educational learnings realized by each attendee as well as the potential Project

Prizes and potential Dev Kit offered as part of the Intel IoT Roadshow event, no monetary

compensation will be paid as part of this Intel IoT Roadshow event for any of your Submissions.

Intel, Agency, and Administrator are not responsible for delays and any inconveniences in

distributing prizes unless they engage in willful misconduct or negligence related to such

distribution. Sponsor assumes no responsibility for any damages or loss of the Project Prize caused

during physical or electronic delivery or bank transfer if such loss or damage does not result from

Intel, Agency, and/or Administrator’s intentional misconduct or gross negligence. While Intel is

responsible for the transaction costs associated with the transmittal of the Project Prize, the selected

winner is responsible for any transaction costs associated with the receipt of the Project Prize,

including but not limited to withdrawal, currency conversion costs, or PayPal fees.

The United States restricts the export and/or distribution of certain items and prizes to certain

excluded/listed persons. Intel, Agency, and Administrator will comply with these requirements

and restrictions based on their sole assessment of these requirements.

Taxes. Reporting and payment of any applicable national, federal, state, provincial, municipal,

local, or other taxes associated with receipt or use of a Project Prize are the sole responsibility of

each winner. If a team wins a Project Prize, then each member of the team will be responsible for

their proportional tax-related obligations relative to the Project Prize unless applicable law

provides otherwise. For non-U.S.A. winners, 30% of the Project Prize value accepted may be

withheld and remitted to the U.S. Internal Revenue Service (“IRS”) to the extent required to

comply with U.S.A. and other tax laws (subject to any applicable international or bilateral

agreements, understandings) and, where appropriate, additional amounts will be withheld as

required by winner's country of residence.

10. WINNER NOTIFICATION. All Project Prize winners will be selected at that event. To be

verified as a winner and to receive the applicable Project Prize, each selected winner will be

required to be present to Intel or an Agency representative their Government ID to re-confirm the

Prize Winner meets the identity, age, and residency eligibility criteria. In addition, each selected

winner will, in Intel’s sole discretion, be required to complete, execute, and submit to Intel or an

Agency representative at the event the following: (i) a document consisting of a

declaration/affidavit of eligibility, liability release, and a publicity release (except where

prohibited); and (ii) an IRS W-9 form (applicable to US residents who win a Project Prize valued

at $600 or greater only), W8-BEN for non-US residents, or other tax-related forms required for

residents of other countries, as applicable. The documents referenced in (i) – (ii) above are

collectively, “Prize Documents,” and may be drafted in the English language (in Intel’s sole

discretion). Failure to comply with these requirements will cause the prize to be forfeited. All

Prize Documents shall be copied and electronically transmitted to Administrator.

At the discretion of the Agency and/or Sponsor, the process of obtaining the signed Prize

Documentation indicated above may be undertaken after the event. If so, an Agency or

Administrator representative will contact the Project Prize Winner within four (4) weeks of the

event to request the completion of the Prize Documentation or correction of any previously

submitted documents. The Agency or Administrator representative will make three (3) attempts

over a two (2) week period to reach the selected winner. The outreach will be via email to the

email address provided by the participant during the application process. The selected winner will

have five (5) business days from the third email to return the signed, completed, or corrected Prize

Documentation. If the selected winner does not respond within this time period, the participant’s

Project Prize will be forfeited. The forfeited Project Prize will not be apportioned to other teams

or team members.

Among other things, the Prize Documents will include provisions whereby a selected winner (a)

releases Intel, Agency, Administrator, and the other Intel IoT Roadshow Entities from, to the

maximum extent permitted under law, any and all liability, loss, claims, demands, and causes of

action for personal injuries or death or damage to personal or real property, theft, loss, or any other

harm suffered directly or indirectly from potential winner's participation in the Intel IoT

Roadshow, including, but not limited to, traveling to, preparing for or participating in any event-

related activity, or the acceptance, possession, or use or misuse of any prize subject to applicable

law; and (b) except where prohibited by law, grants a right that gives Intel, Agency, Administrator,

and the other Intel IoT Roadshow Entities the right to use, represent and reproduce selected

winner's name, picture and/or likeness, or biographical information or voice for trade, advertising

and publicity purposes, in any media now known or hereafter devised (including, but not limited

to, print media and the Internet), throughout the world, in perpetuity, without additional

compensation or consideration or notification.

Forfeiture of Project Prize by Selected Individual Winner. In Intel’s sole discretion, a selected

winner (who is an individual) may forfeit the Project Prize and an alternate winner may be selected

in accordance with these Terms & Conditions from among the remaining eligible Submissions for

the prize if the selected winner (i) is not present throughout the event unless attendance is excused

as per section 5A; (ii) declines or cannot accept, receive or use a prize for any reason; (iii) fails to

execute and return the Prize Documents as instructed; or (iv) does not comply with these Terms &

Conditions

Forfeiture of Project Prize by Member of a Selected Winning Team. In Intel’s sole discretion,

a selected winner (who is a member of a team) may forfeit their portion of the Project Prize if the

selected winner (i) is not present throughout the event unless attendance is excused as per section

5A; (ii) declines or cannot accept, receive or use a prize for any reason; (iii) fails to execute and

return the Prize Documents as instructed; or (iv) does not comply with these Terms & Conditions.

Forfeiture of Project Prize by Entire Selected Winning Team. In Intel’s sole discretion, a

selected winner (who is a team) may forfeit the Project Prize (and, therefore, no members of the

selected winning team will receive any portion of the Project Prize) and an alternate winner may

be selected in accordance with these Terms & Conditions from among the remaining eligible

Submissions for the corresponding prize if all members of the selected winning team forfeit their

portion of the Project Prize.

11. PUBLICITY RELEASE.

11A. FOR INTEL IOT ROADSHOW EVENT ATTENDEES. For this Section 11A only,

the terms “I,” “my,” and “me” refer to an IoT Roadshow event attendee.

“I, an attendee of the Intel IoT Roadshow event, give full permission, and in perpetuity, to Intel

and all its affiliates, parent companies, and subsidiaries worldwide to use my name, image,

likeness, quotes or any portion thereof (collectively, “MY IMAGE”) as they may appear in the

photos or audios/videos recorded at the Intel IoT Roadshow event, and to distribute or display in

any and all manner and media throughout the world, including, but not limited to, print,

photograph, film, video, television, CD-ROM, DVD, and on-line computer media, such as the

Internet (including on Intel, Intel partner marketing sites, etc.).

I warrant and represent that any statements made by me to Intel are true, and portray my honest

belief and understanding about Intel and its products. I recognize that Intel’s use of my name,

image or statements may reflect on Intel’s reputation and I am not aware of any facts that would

cause any negative association. I understand that Intel is not obligated to use nor provide

compensation for any use of MY IMAGE. I further understand that Intel does not acquire an

ownership interest in my personal information as a result of these Terms & Conditions, and agree

that Intel owns all copyrights to any photographs or audio/video footage it takes, and to any of

the derivative works Intel creates as a result of this release.

I also agree that Intel, in using MY IMAGE, or any part thereof, shall have no obligation to

identify me by name or, otherwise and, I hereby waive all rights and claims which I may

otherwise have with respect to the manner in which MY IMAGE may be used by Intel,

including, but not limited to, publicity rights, privacy rights, moral rights, rights regarding

defamation of character, and all rights with respect to my approval of the materials which may be

created by Intel containing my image, regardless of whether, in my opinion MY IMAGE is

blurred, distorted, or altered, whether intentionally or otherwise.”

11B. FOR PRIZE WINNERS. In addition to the terms and conditions indicated in the Winner

Notification Section 10, and except as prohibited by law, acceptance of any prize constitutes

winner's permission for Intel to exploit and use (i) winner’s Submissions as described in Section 8

of these Terms & Conditions; and (ii) winner’s name, photographs, likeness, voice, biographical

information, statements and complete address as described in Section 10 of these Terms &

Conditions. The name and hometown of the winners may be publicly announced within sixty (60)

days after their selection at the Event Website.

12. GENERAL. If for any reason (other than the negligent or willful action of Intel, Agency,

Administrator, and/or other Intel IoT Roadshow Entities) the Intel IoT Roadshow event is not

capable of running as planned, or if the Intel IoT Roadshow event, or any web site associated with

the Intel IoT Roadshow event becomes corrupted or does not allow the proper interaction with the

Intel IoT Roadshow event and processing of applications or Submissions in accordance with these

Terms & Conditions (other than due to the negligent or willful action of Intel, Agency,

Administrator, and/or other Intel IoT Roadshow Entities), or if infection by computer virus, bugs,

tampering, unauthorized intervention, actions by entrants (or others associated with an entrant),

fraud, technical failures, or any other causes (other than the negligent or willful action of Intel,

Agency, Administrator, and/or other Intel IoT Roadshow Entities), in the Sponsor’s sole opinion,

corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Intel

IoT Roadshow event, the Sponsor reserves the right, at its sole discretion, to disqualify any entrant

(and/or some or all of the entrant’s applications and/or Submissions) implicated in the action

and/or to cancel, terminate, modify, or suspend the Intel IoT Roadshow event, or these Terms &

Conditions, or any portion thereof, and, in that situation, to select the winners from among the

remaining eligible non-suspect entries received prior to and/or after such action, or in a manner as

deemed fair and appropriate by Intel in its sole discretion.

Intel also reserves the right in its sole discretion to disqualify any individual or entrant (and all

applications and/or Submissions at the Intel IoT Roadshow event (or other activities similar to the

event conducted by Intel) associated with the individual including Submissions by the team in

which the individual is a member) who is found to be acting in violation of these Terms &

Conditions, or to be acting in an unsportsman-like or disruptive manner, or with the intent to

disrupt or undermine the legitimate operation of the Intel IoT Roadshow event, or to annoy, abuse,

threaten or harass any other person.

Intel reserves the right to seek damages and other remedies to the fullest extent permitted by

applicable law. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE

ASSOCIATED WITH THE INTEL IOT ROADSHOW EVENT OR UNDERMINE THE

LEGITIMATE OPERATION OF THE INTEL IOT ROADSHOW EVENT MAY BE IN

VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE

MADE, INTEL RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES

(INCLUDING ATTORNEYS’ FEES AND COURT COSTS) FROM ANY SUCH INDIVIDUAL

TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. No

incomplete, nonsensical, forged or other automated applications and/or Submissions will be

accepted. Entries generated by script, macro or other automated means or by any means which

subvert the entry process are void.

At the conclusion of the event, Intel will return the Dev Kit to the attendee who originally received

it during the check-in process regardless of whether that person entered the Hackathon as an

individual or member of a team.

Any printed materials you submit during the event will be retained by Intel. Proof of submission

does not constitute proof of receipt.

Intel reserves the right to correct any typographical, printing, computer programming or operator

errors. The invalidity or unenforceability of any provision, statement, sentence, or clause of these

Terms & Conditions will not affect the validity or enforceability of any other provision, statement,

sentence, or clause. In the event that any provision, statement, sentence, or clause is determined to

be invalid or otherwise unenforceable or illegal, these Terms & Conditions will otherwise remain

in effect and will be construed in accordance with their terms as if the invalid or illegal provision,

statement, sentence, or clause were not included.

Intel is committed to compliance with all applicable laws, regulations, policies and ethical rules.

This section is intended to ensure that your participation in the Intel IoT Roadshow event will not

violate any such laws, regulations, policies or rules. Intel seeks no promises or favoritism for itself

or any of its affiliates in exchange for the opportunity to participate in the Intel IoT Roadshow

event. By participating in this Intel IoT Roadshow event

(i) you agree that your participation – including your acceptance of any potential

Project Prize – will not violate any law, regulation, policy or rule of your country,

state or government agency; and

(ii) you certify that any potential Project Prize is not in exchange for an agreement to

influence a recent, pending or anticipated act or decision that may result in Intel

obtaining or retaining business or a business advantage.

Travel to Intel IoT Roadshow Event:

All expenses and incidental travel costs including, but not limited to, airfare, hotel

accommodations, ground transportation to and from the departing and arrivals airports,

additional ground transportation, all other transfers, hotel services (if any), travel and

medical insurance, visa requirements, spending money, personal expenses, souvenirs,

upgrades, beverages, meals, incidentals, passenger tariffs or duties, airline fees, surcharges,

airport fees, service charges or facility charges, personal charges at lodging, security fees,

taxes, gratuities or other expenses are solely your responsibility. You are responsible for

obtaining all required travel documents (including passports and visas, as applicable), permissions,

and travel insurance prior to travel. Travel restrictions, conditions and limitations may apply. Intel

and the other Intel IoT Roadshow Entities are not responsible if you are unable to attend an Intel

IoT Roadshow event, or if travel is delayed, postponed or cancelled for any reason. In addition,

Intel and the other Intel IoT Roadshow Entities are not responsible for any costs, fees or expenses

incurred by you if Intel IoT Roadshow event is cancelled, modified, or rescheduled.

13. IMPORTANT: LIABILITY LIMITATIONS, RELEASE AND INDEMNIFICATION

BY ENTRANT. By participating in the Intel IoT Roadshow event, you represent and understand

that travel, whether by plane, automobile, or other conveyance, or by foot, and in the air, as well

as attendance at the Intel IoT Roadshow event itself contain some inherent element of risk of

accident, illness, injury, loss or death, which may be caused by negligence, forces of nature, or

other agencies, known or unknown.

To the extent permitted by the mandatory provision of the applicable law, Intel, Agency,

Administrator, and the other Intel IoT Roadshow Entities are not responsible for, and you hereby

indemnify, release, and hold harmless Intel, Agency, Administrator, and the other Intel IoT

Roadshow Entities from any and all claims, losses, liabilities, expenses (including reasonable

attorney, tax and professional fees and legal expenses) and/or damages arising from: (i) technical

failures of any kind, including but not limited to the malfunctioning of any computer, cable,

network, hardware or software (including, but not limited to, problems downloading or uploading

a Submission or any other Intel IoT Roadshow-related information); (ii) the unavailability or

inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human

intervention in any part of the entry process or the Intel IoT Roadshow event; (iv) electronic or

human error which may occur in the administration and/or operation of the Intel IoT Roadshow

event or the processing of entries; (v) printing, distribution, programming or production errors,

and any other errors or malfunctions of any kind, whether human, mechanical, electronic or

otherwise; (vi) any injury (including death) or damage to persons or property, including but not

limited to your computer, hardware or software, which may be caused by (directly or indirectly,

in whole or in part), or related to, the Intel IoT Roadshow event or your travel to, attendance at,

and/or participation in the Intel IoT Roadshow event; (vii) use of any prize; (viii) your breach, or

alleged breach, of these Terms & Conditions; and (ix) availability and performance of the Dev Kit.

By participating in the Intel IoT Roadshow or using any web site associated therewith, you agree

(to the extent not precluded by applicable law) that the specified exclusions and limitations of

liability are reasonable.

FOR RESIDENTS OF PRC: This release and the above exclusions do not apply to claims caused

by the willful misconduct or gross negligence of Intel, the Agency, or the Administrator.

By retaining a Dev Kit you accept that Intel does not provide any warranty on the Dev Kit. To the

fullest extent allowable by law, Intel specifically disclaims any representations or warranties,

express or implied, regarding the Dev Kit, including any implied warranty of merchantability or

fitness for a particular purpose and implied warranties arising from course of dealing or course of

performance.

In the event the Sponsor is prevented from continuing with, or has a reasonable business

justification, to discontinue with the Intel IoT Roadshow event, or the integrity and/or feasibility

of the Intel IoT Roadshow event is undermined by any event including but not limited to fire,

flood, epidemic, earthquake, explosion, labor dispute or strike (except for a labor dispute or strike

of Intel, any Agency, or Administrator’s employees), importation, exportation and/or inventory

issues impacting the availability and/or distribution of Dev Kits and/or other equipment needed at

the event, implementation of government sanctions or other restrictions involving one or more

countries (or residents of those country(ies)), act of God or public enemy, satellite or technical

failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any

federal, state, provincial, or local government law, order or regulation, customs-related issue, order

of any court or jurisdiction, or other cause not reasonably within the Sponsor’s control (each a

“Force Majeure” event), the Sponsor has the right, in its sole discretion, to abbreviate, modify,

lengthen, suspend, cancel, or terminate the Intel IoT Roadshow event, or these Terms &

Conditions, in whole or in part, at any time and without further obligation except to include a

notice of the Event Website and via email to persons who have applied to attend the event. If the

Sponsor, in its discretion, elects to abbreviate the Intel IoT Roadshow event as a result of a Force

Majeure event, the Sponsor reserves the right, but will have no obligation, to select winners (and

award the prizes) from among all valid and eligible entries received up to the time of such Force

Majeure event.

14. IMPORTANT: DISPUTES To the extent permitted under applicable law, the Intel IoT

Roadshow event is governed by the laws of the United States and the State of Delaware, without

giving effect to any choice of law or conflict of law rules which would cause the application of the

laws of any jurisdiction other than the State of Delaware. Accordingly, all questions and issues

concerning the construction, validity, interpretation and enforceability of these Terms &

Conditions (and other referenced documents or materials) or the rights and obligations of the

entrant, Intel, Agency, Administrator and others in connection with the Intel IoT Roadshow event

shall be governed by such laws to the extent permitted under applicable law. By participating in

the Intel IoT Roadshow event (and as a condition of such participating), you agree that any and all

disputes which cannot be resolved between the parties, and claims and causes of action arising out

of or in connection with the Intel IoT Roadshow event (including, but not limited to, any prizes),

will be resolved individually, without resort to any form of class action, exclusively by arbitration

in Hong Kong before a single (1) arbitrator at the Hong Kong International Arbitration Centre

(“HKIAC”) under the HKIAC’s Administered Arbitration Rules (“HKIAC Rules”) in force when

the notice of arbitration is submitted. The Parties agree that the arbitrator may be the same

nationality as either of the Parties. The seat of arbitration shall be Hong Kong. The language to be

used in the arbitral proceedings shall be English. The arbitration proceedings and award shall be

confidential. Unless otherwise precluded by any other provision of this Agreement, prior to the

appointment of the arbitrator, either Party shall be entitled to seek conservatory or interim relief,

including injunctive relief, in any court of competent jurisdiction. Further, unless restricted by

applicable law, in any such dispute, claim or cause of action, under no circumstances will you be

permitted to obtain awards for and, to the extent permitted under applicable law, hereby waive all

rights to claim, indirect, punitive, special, incidental and consequential damages and any other

damages or awards (including attorneys' and other professionals’ fees), and you further waive all

rights to have damages multiplied or otherwise increased.

15. PRIVACY AND ENTRANT’S PERSONAL INFORMATION. All information you submit

as part of the Intel IoT Roadshow event may be collected, processed, and stored electronically and

on paper by Administrator and/or Agency solely on behalf of and as instructed by Intel in

accordance with Intel’s privacy policy, available at http://www.intel.com/privacy, in order to

execute the IoT Roadshow event.

You acknowledge and agree this information is required for administering the Intel IoT Roadshow

event. With the Sponsor and Administrator of the event having its offices and servers in the United

States, you agree that the information you submit may be transferred, used, and processed on

servers in the United States, a country which may not offer the same degree of personal data

protection as your country of residence. To the extent permitted by the law, you also agree to

waive any applicable territorial, national, or local data protection laws that may provide otherwise.

Your rights to edit or delete personal information stored on servers in the United States are listed

below in Section 16.

Personal information includes certain data you submit during application, while at the event, and

as part of the Prize Documents including, but not limited to your name, email address, Twitter

handle, mailing address, telephone number, country, state or province of residence, tax

identification number, national identification card number, picture, likeness, voice and physical

appearance, (including, but not limited to, any of the above that may be associated with or

involve your Submission and/or video and audio recordings occurring at the event), all or some

of which may be used in the discretion of Intel, the Agency and/or Administrator: (a) to contact

potential (and actual) participants regarding the Intel IoT Roadshow event, and (b) to exploit the

rights granted to Intel in Section 8 and 11 of this document. Failure to provide all required

information may lead to your disqualification from the Hackathon Contest. EXCEPT FOR

INFORMATION PROVIDED TO PUBLIC FORUMS DURING THE INTEL IOT

ROADSHOW EVENT AND YOUR VOICE AND PHYSICAL APPEARANCE IN PROJECT

SUBMISSIONS AND DEMONSTRATIONS, AND AUDIO/VIDEO RECORDINGS AT THE

EVENT, YOUR INFORMATION WILL NOT BE STORED OR PROCESSED ON SERVERS

LOCATED IN THE EUROPEAN UNION. EXCEPT AS YOU MAY HAVE OTHERWISE

CONSENTED TO DURING THE APPLICATION PROCESS (OR OTHERWISE), AND

EXCEPT FOR SUCH INFORMATION REQUIRED FOR THE PURPOSES INDICATED IN

(A) AND (B) ABOVE, YOUR INFORMATION WILL NOT BE RETAINED BY INTEL, ANY

AGENCY, OR ADMINISTRATOR AFTER THE CONCLUSION OF THE INTEL IOT

ROADSHOW EVENT AND WILL BE DELETED AS OF APRIL 30, 2017.

Data may be transferred or otherwise provided to taxing authorities, prize fulfilment services,

affiliates of Intel, and shipping carriers for the purpose of running and administering the IoT

Roadshow event.

16. ADDITIONAL PRIVACY REQUIREMENTS. As provided in privacy-related laws, you

have the right to access, correct, and when no longer needed for the purposes of administering the

event or the rights you granted to Sponsor in Sections 8 and 11, to have your personal data deleted.

英特尔组织英特尔物联网巡展活动并非意欲推广其产品、商标或服务,而是希望能够引导

感兴趣的学生、业余爱好者和企业开发人员去了解英特尔开发板及其软件工具。本次活动

的参加者将可亲身体验英特尔产品,并有机会与英特尔工程师进行面对面交流。通过在本

次活动中举行可选的创客竞赛活动(参与者可以开发和演示项目(见第 5A 部分的规

定)),英特尔希望能够发现可将孤立系统改造成为可相互以及和云之间连接并通信的联

网设备的创新应用,以期在工业上或商业上利用上述应用。

行为准则。英特尔物联网巡展活动是一项知识普及型社区活动。参加这一活动的每个人

在物联网路演或相关配套或社交活动期间,包括发言人、参加者、志愿者、赞助方、参展

商和活动工作人员在内的所有参与者不得进行任何形式的骚扰,包括基于性别、性别认定

和表现、性取向、残疾、相貌、体型、种族、年龄和宗教的骚扰,或者当地适用法律所保

护的任何其他情形。骚扰行为包括使用辱骂性或侮辱性的语言、恐吓、跟踪、骚扰摄影或

录像、不适当的身体接触、性图片和不被接受的性关注。英特尔有权自行决定是否涉嫌骚

扰并予以处理。

您创建的项目和您在英特尔物联网路演活动中展示的项目不得使用色情图片、语言、活动,

或创造一种色情环境,或通常被认为是骚扰行为的其他材料。

如果被要求停止可能被视为骚扰的行为,您应当立即停止。如果您的任何行为被视为骚扰,

英特尔员工或英特尔活动代表可以采取任何其认为适当的行动,包括但不限于警告、驱逐

出活动现场以及剥夺您参加未来各项活动的权利。

如果您受到骚扰、看到别人被骚扰或者存在与骚扰相关的任何其他问题,请立即联系英特

尔员工或英特尔活动代表。

1A.活动时间及地点。受这些条款和条件约束的英特尔物联网巡展定于 2016 年 10 月 15

日 - 16 日在中国深圳举行。

英特尔物联网巡展活动可能会更改、取消或以其他方式进行修改,原因包括管理问题、业

务问题、或涉及发运到中国或美国、出口或进口限制、税收或进口关税以及其他因国家和

地区而异、因时间而异的强制性限制的问题或法规、海关、美国制裁或其他地缘政治问题

或事件。如果出现上述任何一种情况,此类信息将通过张贴在如下网站上的公告进行披露:

https://iotevents.intel.com/shenzhen(“活动网站”)。已成功申请参加活动的个人也可通

过他们提供的电子邮件地址接收到建议。申请者承认,这些规则、要求、事件、制裁、禁

止或限制 (i) 可能随时间而变化; (ii) 超出赞助方及管理方的控制;或 (iii) 可能导致奖励环

节或活动举办更加困难、繁琐或无法完成。

1B.参赛资格。英特尔物联网巡展活动对获得在中国居住法律授权的任何个人开放(来自

缅甸、古巴、伊朗、朝鲜、苏丹和叙利亚的居民除外,这些地区的居民没有资格参赛或赢

取奖项),参加者在参赛时需年满 (18) 周岁且已达所在国、州、省份或区域的法定成人

年龄。您有责任了解出席并参加此次活动的合法权利。

参与竞赛设计、执行、制作或评判英特尔物联网巡展活动的英特尔、代理方、管理方及其

各自的母公司、子公司、附属机构和分支以及任何第三方的员工、官员、主管、成员和代

表(所有这些实体和个人统称“英特尔物联网巡展实体”)及直系亲属(配偶与父母、兄弟

姐妹及子女以及他们的配偶,无论他们居住在何地),以及与上述个人生活在同一个家庭

的人(无论是否有亲属关系)均没有资格参与英特尔物联网巡展活动的创客竞赛活动或赢

2C.代理方。代理方是北京中达金桥技术股份有限公司,负责在活动现场管理英特尔物联

动用品,以及收集奖励文档(见第 10 部分的规定),办公地点位于中国北京市东城区北

三环东路 33 号 4 层,邮编: 100029(“代理方”)。代理方负责处理此次活动的数据。

3.参加者可以携带入场的物品。每个参加者均须携带下列物品参加此次活动:

1. 附有显示年龄和居住地的照片的、标有中文和对应英文翻译的政府颁发的官方有效

身份证明(“有效证件”),如政府签发的有效驾驶执照、国民身份证、护照或其他

身份证明(须经英特尔批准)。当您首次到达活动现场时,代理方代表将会要求您

出示这一有效证件以确认您的身份、年龄和住所。如果您赢得奖品,代理方代表将

对照有效证件再次确认这三项资格条件。

2. 一台有 10 GB 可用存储空间、用于接入互联网的 WiFi、运行 Windows 7、8、8.1

或 10 (64 位)、Mac OS 10.x (64 位)或 Linux (Ubuntu 12 或类似操作系统)

的计算机。

每个参加者都可以(但非必需)携带以下物品至活动现场:

1. 您自己的英特尔® Edison 开发板。不允许携带任何其他类型的开发板。您可以利

用携带入场的英特尔® Edison 开发板作为半成品来完成创客竞赛活动。

2. 您还可以携带任何物联网配件入场,只要您对任何这些配件拥有所有适当的许可或

使用权。

3. 您可以在您的计算机上使用任何编程辅助工具和软件工具以及创造性的资产来完善

您项目的界面外观,前提是您对任何这些编程辅助工具、软件工具或资产拥有所有

适当的许可或使用权。

4B.如何申请参加物联网巡展活动。 根据这些条款和条件的规定,希望参加英特尔物联

网巡展活动的个人必须登录活动网站找到在中国举行的活动并提交申请,才有机会参加此

次活动。英特尔物联网巡展活动申请将于如下显示的日期和当地时间开始。申请流程的关

闭时间将由赞助方决定,但应不晚于活动开始前的前五 (5) 天。活动的场地有限,场地面

积将根据您对下述问题的回复和提交申请的时间决定。一旦参加者人数达到上限,在线活

动申请系统将被关闭。即使如上所述关闭了申请流程,赞助方也可自行全权决定重新开放

在线申请系统以适应确认参加者人数的波动。对此感兴趣的个人仍可以提交其电子邮件地

址来了解英特尔主办的其他活动。未经许可者将不被允许进入会场。如果与特定英特尔物

联网巡展活动相关的任何细节较之下文最初列出的信息有所更改,赞助方将在活动网站或

转向联系下一位合格的潜在参加者。被选为候补的潜在参加者(如有)必须按代理方的指

示,在规定的时间框架内回应并确认是否接受邀请。

仅对于第 4B 部分的其余内容,术语“我”和“我的”代表物联网巡展活动参赛者。每个人在提

交申请时,均须勾选附带以下确认/同意内容的选框:

息(包括按这些条款和条件(包括第 11 部分“公开免责”部分)中的规定存储、传输和使

用此类个人信息)。

在申请过程中,您可能需要有选择且肯定地选中下面的复选框:

通过选中选择性加入框以及遵守数据保护法律,我确认作为一名 18 岁或 18 岁以上的

4C.活动签到。在您抵达活动现场时,我们或代理方代表将要求您出示有效证件(中文版

及英文翻译版),以确认您的身份与参赛者名册相匹配,而且您满足年龄与住所资格要求。

4D.提供物联网开发人员套件。根据库存可用性,本次活动的前一百 (100) 名签到者将获

得一套英特尔物联网开发人员套件(“开发人员套件”)以供在创客竞赛活动期间使用,套

件中包含以下组件:

英特尔® Edison 开发板

Grove 第二代入门套件附加工具包或 Grove Edison 入门套件

各式线缆、传感器及其他配件

每人限领一套开发人员套件。

根据英特尔或代理方代表的指示,参加者需要在活动中使用开发人员套件硬件和开发人员

套件软件库的部件来完成项目作品。赞助方和代理方有权自行全权决定是否需要您作为团

队(而非个人)参赛。例如,如果由于库存不足导致某一参赛者没有收到开发人员套件,

代理方会将该参赛者分配到有开发人员套件的团队或需要再添一人与没有开发人员套件的

参赛者进行组队的团队。赞助方和代理方还有权限制每个团队的开发人员套件数量(尽管

每个团队都将获得至少一套开发人员套件)。

根据下文第 12 部分中的规定,活动结束时,开发人员套件将由在签到时最初收到套件的

参赛者保留。

5. 如何参加创客竞赛活动。

5A.结构概述。下文简要概述了英特尔物联网巡展活动创客竞赛活动的结构。

第 1 步:在活动开始时,

您会被询问是否想要参加英特尔物联网巡展活动的创客竞赛活动。

如果您想要参加这一可选的活动,

o 您会被进一步询问是否想要作为个人或团队成员参赛。

您只能以个人或团队成员的方式参加创客竞赛活动。

o 如果希望作为团队成员参赛,您将被分配至相关个人组成的团队(由赞

助方和代理方决定),或者您可以与之前相识的人员或其他参赛者共同

组成团队。

一旦您选择了作为个人或团队成员参赛,在活动期间,您将无法更改这一选择

(以及您所在的团队)。

团队成员的数量没有限制。

第 2 步: 在活动第二天的中午,所有个人和团队将展示其完成的开发板(每个开发板都

是一个“项目”),以便评委进行评分和排名。

创客竞赛活动的参赛者必须参与活动的每个步骤,包括但不限于所有的创作、展示、评

判和宣布。除非赞助方或代理方和参与者之间因情有可原的关键情况(例如疾病或家庭紧

5B.如何将您的项目提交至创客竞赛活动。在您参加特定英特尔物联网巡展活动的开始,

英特尔或代理方将指导参加者如何提交项目以待评估。该项目作品提交流程将采用包含与

下列字段相似字段的电子或打印表格。在您构建完成项目之后(在您展示之前),您必须

填写电子或打印表格,并提交电子版或按英特尔或代理方指示以其他方式提交表格。每个

项目作品只许提交一份电子版或打印版表格(见下文规定),参赛个人和团队均是如此。

在表格中,您必须提供下列信息:

(i) 您的姓名(或团队名称,包括所有成员姓名(当您作为团队参赛时));

您的项目(包括项目展示)和与之相关的电子表格统称为您的“项目作品”或“作品”。

每位参赛者(无论是个人还是作为团队)都可以提交尽可能多的项目作品,只要每个项目

作品不同于本人或本团队提交的任何其他作品。

没有项目分类。大赛将接受(根据这些条款和条件的规定)任何项目主题并对所有项目进

行排名。所有个人和团队都将同台竞争。特此澄清的是,个人或团队没有单独的比赛项目。

展示您的项目即表示您声明、同意和理解:

(i) 您的项目作品符合这些条款和条件,包括指南和限制(如条款和条件第 7 部分

试图参赛的形式都是无效的。英特尔、代理方或管理方将根据这些条款和条件自行全权决

定哪些参赛作品是有效、合格的。

英特尔、代理方与管理方不对项目作品的丢失、迟交、毁坏、不完整、无效、损坏或延误

负责(如果此类事件不由英特尔、代理方或管理方的错误导致);所有这些情况都将被视

为无效并不予考虑。

请查看这些条款和条件的第 15 部分,了解与收集、存储和/或导出您为了参加英特尔物联

网巡展活动而提交的个人数据相关的重要信息。

项目提交截止日期。您的项目作品的所有构成必须在赞助方或代理方代表在活动开始时

指定的时间内提交。

6.获奖者遴选和项目作品评判。具有资质的裁判小组(由英特尔或代理方全权自主确定)

将评价并为所有项目作品打分。每个项目作品的得分均基于以下项目作品评判标准:

(i) 该项目作品是否有效在开发套件上作了最大的开发和创新?

(最高 50 分)

(ii) 该项目作品是否有效利用了开发套件的以下硬件和软件组件?

(总分最高 40 分,分数评定采用以下标准)

云连接性(最高 10 分)

传感器利用(最高 10 分)

开发套件的整体利用(最高 10 分)

其他技术方面(最高 10 分);

(iii) 该项目作品是否有效呈现出一款出色的解决方案并显示出开发成熟后的市场

可行性潜力?

(最高 30 分)

在比赛第二天的当地时间下午 5 点(或 5 点左右),由英特尔或代理方全权自主确定的

具有资质的裁判小组将选出并公布根据项目作品评判标准评选出的得分最高的六 (6) 个项

目作品。参赛者在比赛中的得分将按照从高到低的顺序排列,以确定以下六 (6) 个奖项的

获奖者(每人颁发一个“项目奖励”):

一个 (1) 一等项目奖励(最高得分)

两个 (2) 二等项目奖励(排名第二和第三的最高得分)

三个 (3) 三等项目奖励(排名第四、五、六的最高得分)

注:如果提交的项目作品少于六 (6) 项,则将不颁发项目奖励。

如果两 (2) 个或以上项目作品最高得分相同,则裁判将根据得分相同参赛作品市场潜力分

数的高低,选择项目奖励的获奖者。

被评选为获奖者的几率取决于您项目作品的质量,表现为裁判根据上述项目作品评判标准

对项目作品所打的分数。

裁判所打的分数对赞助方、比赛的代理方和管理方保密,且不会向比赛参加者公开。

7.项目作品的内容指南与限制。提交项目作品(见第 5B 部分的规定)即表示您同意、声

明并保证您的所有作品符合下方所列的作品内容指南与限制(“指南与限制”),如果英特

尔全权自主认为您的任何作品不符合指南和限制及条款和条件列出的任何其他限制或要求,

那么英特尔可取消您(和/或您的作品)参加英特尔物联网巡展活动创客竞赛活动的资格。

内容指南:

作品的所有方面都必须使用英语;

项目展示的时长必须在三 (3) 分钟以内;

所有项目作品必须使用开发套件硬件和开发套件软件库里面的部件(尽管不必

使用所有部件)。

内容限制:

作品必须是提交作品的参赛者独有的原创作品,除非参赛者代表团队参赛,且

作品必须是团队所有成员的原创作品;

作品不得包含或宣称包含违反或侵犯其他方(无论是否在世)权利的材料,包

括但不限于隐私、公示和任何其他知识产权;

您必须是作品的拥有者(包括是作品的所有版权、标识、商标、商业名称、设

计、专利、音乐、声音、形象、视频等的拥有者)或根据这些条款和条件,尤

其是第 8 部分的条款和条件,获得所有必要的权利,提交您的作品,参与创客

竞赛活动;

除非条款和条件另有规定,否则作品中不得含有任何英特尔名称、商标或其他

知识产权;

您的作品可包含第三方品牌名称、商标或其他知识产权,但是前提是您拥有所

有必要的权利,可以在作品中包含这些知识产权,允许英特尔使用这些条款和

条件所涉及的和描述的作品。收到请求之后,您必须能够向英特尔提供这种权

利的书面证据,证据应采用英特尔接受的形式;

未经一国相关机构的允许,您的作品不得含有该国的官方徽章;

作品不得毁谤英特尔、任何代理方、管理方与英特尔物联网巡展相关的任何其

他人或其他方或任何第三方;

作品不得包含任何病毒、蠕虫、间谍程序或其他恶意、欺骗性或旨在限制或伤

害计算机或开发套件的功能的组件或指令;

作品不得包含不恰当、不得体、污秽、色情、仇恨、侵权、不真实、不准确、

诽谤、中伤或损害名誉的材料;

作品不得包含鼓吹骚扰、偏见、种族主义、对任何群体或个人的仇恨或伤害或

基于种族、性别、宗教、国籍、残疾、性取向或年龄的歧视的材料;

作品不得包含非法、违反作品创作地或英特尔物联网巡展举办地的法律、法规

或政策的材料;及

您需单独承担违反上述所列义务和要求的责任,这种责任包括但不限于补偿作

品所造成的损害。

此指南与限制的任何内容都不要求您专门为英特尔物联网巡展比赛创作作品,也不禁止您

提交以前设想或编码的作品,前提是您使用开发套件和英特尔® Edison 开发板而不是其

他开发板作为作品的基础。

8.英特尔对作品的使用。英特尔对您的作品没有任何所有权。提交作品即表示您授权英特

尔将作品用于与英特尔物联网巡展、英特尔举行的其他竞赛和英特尔产品或服务有关的管

理、推广和市场营销目的、无版权费、不可撤销、永久性(或在没有法律许可的情况下,

在知识产权的整个期限内)、非独占、可免版税进行分许可的权利(无需您单独同意),

允许使用与作品相关联的所有知识产权(包括但不限于版权、商标、专利和设计权利),

包括但不限于在世界范围内、通过任何形式、已知或后来出现的媒介或技术(包括印刷材

料、互联网以及英特尔和英特尔营销合作伙伴网站等)使用、改编、复制、描述、散布、

分发、实施、修改、翻译、发布、宣传或向公众传播以及公开展示此作品的全部或部分,

以及将其融合到其他作品中,或设计或准备衍生作品。英特尔可将获奖者的作品用于工业

或商业用途,例如,在特定行业或学术活动中展示作品、在活动中向制造实体和投资实体

介绍获奖作品、在英特尔开发人员专区、Instructables 和其他英特尔营销合作伙伴的网站

上重点推介获奖作品和获奖者,或向其他方介绍获奖作品。除上述情形外,此许可权不授

予英特尔将作品出售给第三方的权利,或在销售或出租中用作增值奖励(尽管双方可在以

后就此达成一致协议)。未经您明确书面同意,英特尔不得通过任何形式使用作品直接牟

利。

为避免产生疑问,此处明确与作品有关的知识产权的许可补偿为 0 美元。

收到请求之后,您需签署英特尔要求的任何协议或其他文件(或获得相关第三方的签字),

以便于英特尔使用您授予的使用作品的非独占权利(或需要确认英特尔使用的权利)。

您可能需要与英特尔签署附加的许可协议,形式和主旨应符合适用法律规定。英特尔将通

过电子邮件向这些居民发送该许可协议的模板。在发送之后,您必须填写和打印该模板,

并通过邮件向英特尔发送其生效的硬拷贝。此许可协议与上述许可条款非常类似。

授予英特尔此许可即表示您声明和保证此作品不通过任何形式侵犯(无论是否在世的)第

三方的知识产权。除非本文另有规定,作品知识产权的所有权和权利依然属于您(属于您

或提交作品的团队)。您接受并保证让英特尔、代理方和管理方不受任何第三方索赔的伤

害。如果赞助方、代理方或管理方由于上述侵权而遭受损害,您接受并同意在适用法律允

许的范围内赔偿英特尔、代理方和管理方的损失。

在适用的法律允许的范围内,您同意并保证已获得参赛作品内容的所有其他创作者的书面

同意,由于赞助方和赞助方的相关继任者的行为或疏忽导致创作者精神权利(若有)(尤

其包括保持作品完整性的权利、第一个发布的精神权利和产品署名的精神权利)受到侵犯,

那么参赛者需放弃全部此类精神权利,以免英特尔受到损害。收到请求之后,您需要向英

特尔提供第三方同意的证据,证据应采用英特尔接受的形式。

提交作品即表示您接受并承认英特尔没有义务使用作品,英特尔可全权自行决定不使用作

品。英特尔不使用作品的任何权利时不承担任何责任。

仅在适用法律要求的范围内,参赛者同意授予赞助方使用和利用的权利不应被理解为转让

或放弃参赛者的任何精神权利,根据适用的法律,这些权利也不构成任何转让或放弃的对

象。在适用法律允许的范围内,您接受并承认您不会使用精神权利。

9.奖品。在英特尔物联网巡展活动创客竞赛活动期间,下列所列的项目奖励将根据项目作

品评判标准和第 6 部分中所规定的程序授予。以下所列的所有项目奖励是为了表彰获奖者

的创造性工作,肯定项目的价值,作为一种激励促进未来技术的开发,造福整个社会。

文中所列的所有项目奖励的价值均用美元 (“USD”) 表示,在线礼品卡上的价值可能等于同

等价值人民币(根据每个项目奖励截至支付日期的汇率而定)。

一 (1) 个一等项目奖励为价值壹仟伍佰美元 ($1,500 USD) 的在线礼品卡。

两 (2) 个二等项目奖励,均为价值壹仟美元 ($1,000 USD) 的在线礼品卡。

三 (3) 个三等项目奖励,均为价值伍佰美元 ($500 USD) 的在线礼品卡。

此次活动所有项目奖励的总平均零售价值为伍仟美元 ($5,000 USD)。项目奖励的数量不

超过规定数量。

如果获奖者为个人,则可获得上述奖励。如果获奖者是团队,则获奖的项目奖励将由英特

尔或管理方分割成相同的金额发放给团队成员。根据第 10 部分的规定,如果团队中的一

名成员不符合资格,则该成员的奖励部分将被平分给剩余的团队成员。每个人获得奖励的

数量不受限制。

所有奖励均采用在线礼品卡的形式发放,如果不支持在线礼品卡,则通过 PayPal、西联

汇款或其他支付方式(由英特尔根据适用法律确定)的形式提供中国发行的支票。

根据赞助方的指示,获奖者可能需要开设 PayPal 账号,以接收自己的奖励。除此处规定

的奖励之外,与奖励或接收、使用奖励相关的所有其他费用均不包含在奖励中,这些费用

应由获奖者单独承担。获奖者不得替代或转让奖励。所有奖励将按照条款和条件中第 10

部分的规定在收到所有所需文档的六 (6) 到十 (10) 周内进行兑现。

除了每位参加者完成的教育性学习以及作为英特尔物联网巡展竞赛的一部分提供的可能的

项目奖励和开发套件,您的作品将不会获得任何金钱补偿。英特尔、代理方与管理方不对

分配奖励时出现的延迟和不便负责,除非在分配时赞助方和管理方有故意的违规行为或过

失。如果损失或损害并非由于英特尔、代理方和/或管理方的故意渎职或重大过失造成,

则赞助方对在物理或电子交付或银行转账期间造成的项目奖励的损害或损失不负任何责任。

英特尔负责与传送项目奖励有关的交易成本,入选获奖者负责任何与接收项目奖励有关的

交易成本,包括但不限于撤销费用、货币兑换费或 PayPal 使用费用。

美国限制向受限制/上黑名单的人出口和/或提供特定物品和奖励。英特尔、代理方和管理

方将对这些要求进行独立评估后,遵守这些要求和限制。

税费。报告与支付与接收或使用项目奖励相关的任何适用的国家、联邦、州、省、市、

地方或其他税款应由获奖者单独负责。如果获得项目奖励的是团队,则团队的每个成员应

按一定比例承担与项目奖励相关的纳税义务,除非适用的法律有其他规定。对于非美国获

奖者,根据美国或其他税法的规定,可能 30% 的项目奖励将被美国国内收入署 (“IRS”) 扣

除,用作税款(受制于任何适用的国际协议和/或双边协议或谅解),适用的情况下,获

奖者所在的国家可能会扣除其他金额。

10.获奖通知。所有项目奖励获奖者将在比赛中选出。为证明获奖资格和获得相应的项目

奖励,每位选出的获奖者将需要向英特尔或代理方代表提供其有效证件,以再次确认获奖

者满足身份、年龄和居民资格条件。此外,每个获奖者需要(由英特尔全权自主决定)填

写、签署并向比赛中英特尔或代理人的代表提交以下文件:(i) 包含资格声明/宣言、免责

声明和公开允许(禁止的地区除外)的文档;及 (ii) IRS W-9 税表(仅适用于赢得价值 60

0 美元或更高奖金的美国居民)、针对非美国居民的 W8-BEN 税表或针对其他国家和地

区居民的其他与税相关的表格。上述 (i) – (ii) 提及的文件合称为“奖励文档”,这些文档需

都复制并以电子方式传送给管理方。

根据代理方和/或赞助方的全权决定,可在比赛后获得上述签署奖励文档。如果是这样,

代理方或管理方代表将在大赛的四 (4) 周内联系项目奖励获得者,请求其填写奖励文档或

修正此前提交的任何文档。代理方或管理方代表将在两 (2) 周内三 (3) 次尝试联系入选的

获奖者。此类联系将通过向参加者在申请期间提供的电子邮件地址发送电子邮件来进行。

入选获奖者在收到第三封电子邮件后将有五 (5) 个工作日的时间返回填写好、已签名或修

正的奖励文档。如果获奖者在这一时间段内没有回应,参加者的项目奖励将被取消。取消

的项目奖励将不分配给其他团队或团队成员。

此外,奖励文档应包含以下条款,通过这些条款获奖者 (a) 在法律允许的最大限度内让英

特尔、代理方、管理方和其他英特尔物联网巡展实体免于由于潜在获奖者参与英特尔物联

网巡展而直接或间接受伤或死亡或个人或不动产损失、失窃、丢失或任何其他伤害所导致

的任何债务、损失、索赔、诉求和诉讼,包括但不限于旅行、准备或参与任何与比赛相关

的活动,或接受、占有或使用或滥用符合适用法律的任何奖励;(b) 在法律不禁止的情况

下授权英特尔、代理方、管理方和其他英特尔物联网巡展实体使用、呈现和复制获奖者的

姓名、图片和/或肖像或个人信息或声音,通过任何已知的或将来发明的媒介(包括但不

限于印刷媒介和互联网)永久性地在全世界用于商贸、广告和公共宣传,无需向获奖者提

供附加补偿或报酬或通知。

入选个人获奖者的项目奖励取消事宜。如果入选的获奖者 (i) 一直没有出席大赛(除非根

据第 5A 部分因故缺席);(ii) 出于任何原因拒绝或无法接受、接收或使用奖励;(iii) 没有

按照指示签署和返回奖励文档;或 (iv) 没有遵守这些条款和条件,则英特尔可全权自主决

定,取消入选获奖者(个人)的项目奖励,根据这些条款和条件从剩余的合格作品中选择

备选的获奖者。

入选获奖团队成员的项目奖励取消事宜。如果入选的获奖者 (i) 一直没有出席大赛(除非

根据第 5A 部分因故缺席);(ii) 出于任何原因拒绝或无法接受、接收或使用奖励;(iii) 没

有按照指示签署和返回奖励文档;或 (iv) 没有遵守这些条款和条件,则英特尔可全权自主

决定,取消入选获奖者(团队一员)所得部分的项目奖励。

整个入选获奖团队的项目奖励取消事宜。英特尔可全权决定取消某入选获奖者(团队)

的项目奖励(因此,入选获奖团队的所有成员都无法获得任何项目奖励),并在这种情况

下根据条款和条件从其余符合资格的作品中选择替代获奖者来获取相应的奖励。

11.公开免责。

11A.英特尔物联网巡展活动参与者。仅对于第 11A 部分,术语“我”和“我的”代表物联网

巡展活动参赛者。

“作为英特尔物联网巡展活动参与者,我永久并完全同意英特尔及其附属机构、母公司和

全球子公司使用我的名字、图像、肖像、语言或其中的任何部分(统称为“我的形象”),

将其用于为英特尔物联网巡展活动拍摄的照片或录制的音频/视频中,并通过任何方式和

媒体在全球发布或展示,其方式和媒体包括但不限于平面广告、照片、电影、视频、电

视、CD-ROM、DVD,以及互联网(包括英特尔、英特尔合作伙伴营销网站)等在线计

算机媒体。

我保证并表示对英特尔所做的声明都是真实的,并真诚地信任并了解英特尔及其产品。我

认为英特尔使用我的姓名、图像或声明可以反映出英特尔的声誉,而且我认为所有事实均

不会造成任何负面影响。我知道英特尔不是必须使用我的形象,也不必为使用我的形象而

提供任何补偿。此外,我还了解根据条款和条件,英特尔并没有获得我个人信息的所有者

权益,我仅同意英特尔拥有其所拍摄的任何照片或音频/视频胶片的所有版权,以及英特

尔所创作的任何衍生作品的所有版权。

我还同意英特尔使用我的形象或其中的任何部分无需通过姓名或其他方式表明我的身份,

我在此放弃关于英特尔使用我的形象的方式的所有权利和主张,包括但不限于公开权、隐

私权、人身权、人物诽谤相关权利,以及与批准英特尔创建包含我的形象的资料(无论我

自己认为我的形象遭到污损、扭曲或者改变,且无论是无意还是有意)的相关权利。”

11B.获奖者。除了第 10 部分获奖通知规定的条款和条件,以及法律禁止的除外,接受任

何奖励即表示获奖者允许英特尔 (i) 根据条款和条件第 8 部分使用获奖者的作品;以及 (ii)

根据条款和条件第 10 部分使用获奖者的姓名、照片、形象、声音、个人资料、声明和完

整的地址。获奖者的姓名和家乡将于选拔结束后六十 (60) 天内在活动网站上公布。

12.一般情况。如果此英特尔物联网巡展活动由于任何原因(英特尔、代理方、管理方和/

或其他英特尔物联网巡展实体的疏忽或故意行为除外)无法按计划举行,或者如果此英特

尔物联网巡展活动或任何与此英特尔物联网巡展活动相关的网站受损,或无法按照条款和

条件(英特尔、代理方、管理方和/或其他英特尔物联网巡展实体的疏忽或故意行为除外)

与英特尔物联网巡展活动进行恰当的交互和处理申请或作品,或者如果感染计算机病毒、

遭遇漏洞、篡改、非法干预、参赛者(或与参赛者相关的其他人)的操作、欺诈、技术故

障或任何其他原因(英特尔、代理人、管理方和/或其他英特尔物联网巡展实体的疏忽或

故意行为除外),由赞助方全权自主确定损害或影响此英特尔物联网巡展活动的管理、安

全、公平性、完整性或恰当执行的,那么赞助方保留权利,可全权自行决定剥夺参与上述

行为的任何个人或参赛者的参赛资格(和/或参赛者的部分或所有申请和/或作品),及/或

取消、终止、修改或暂停此英特尔物联网巡展活动或条款和条件或其中的任何部分,在这

种情况下,英特尔可全权自行决定通过赞助方认为公平和恰当的方式从此行为发生前和/

或发生后收到的其他有资格的非嫌疑实体中选择获奖者。

英特尔还保留权利,可全权决定是否剥夺任何违反此条款和条件、或通过不道德的方式或

破坏性方式行事、或意图破坏和危害此英特尔物联网巡展活动的合法运营、或骚扰伤害、

威胁或侵扰其他人的个人或参赛者(及其与之相关的所有英特尔物联网巡展活动(或英特

尔开展的其他类似活动)申请和/或作品,包括以团队成员身份提交的作品)的资格。

英特尔保留在适用法律允许的最大范围内寻求损害补偿或其他赔偿的权利。警告:任何蓄

意损害所有与英特尔物联网巡展活动相关的网站,或妨害英特尔物联网巡展合法运营的尝

试都可能违反刑事和民事法律。如果任何人做出此种尝试,那么英特尔保留在法律允许的

最大范围内向任何实施损害的个人寻求损害补偿或其他赔偿(包括律师费和诉讼费)的权

利,包括刑事诉讼。不完整、无意义、伪造或其他自动完成的申请和/或作品将不予接受。

通过脚本、宏或其他可能破坏参赛流程的自动化方式产生的参赛作品都将被认定为无效。

活动结束后,英特尔将开发人员套件归还给在申请过程中收到该套件的参与者,无论该参

与者是否以个人或团队成员身份参加创客竞赛活动。

您在活动期间提交的所有印刷资料将由英特尔保管。提交的证据不等于是收到的证据。

英特尔保留纠正任何拼写、打印、计算机程序或操作员错误的权利。此条款和条件的任何

规定、声明、语句或条件失效或不可执行不影响任何其他条款、声明、语句或条件的有效

性和可执行性。如果任何规定、声明、语句或条件被认定为无效或不可执行或非法,那么

此条款和条件将依然有效,如同这些无效或非法的规定、声明、语句或条件不包含在此条

款和条件之中。

英特尔承诺遵守所有适用法律、法规、政策和道德规则。该部分旨在确保您参与此英特尔

物联网巡展活动不会违反任何此类法律、法规、政策或规则。英特尔自身或任何附属机构

不做出承诺或出现徇私舞弊行为,借以交换参与英特尔物联网巡展活动的机会。参与此英

特尔物联网巡展活动

(i) 即表示您同意您的参与 — 包括您接受任何潜在项目奖励 — 不会违反您所

在国家、州或政府机构的任何法律、法规、政策或规则;

(ii) 您保证不使用任何潜在的项目奖励来交换会影响可能导致英特尔获得或保

留业务或业务优势的新近、待定或预期的行为或决定的协议。

英特尔物联网巡展活动差旅成本:

所有费用及杂项差旅成本,包括但不限于机票、酒店住宿、机场往来地面交通、其他地

面交通、其他所有转乘、酒店服务(如果有)、旅行和医疗保险、签证要求、零用钱、

个人花费、纪念品、服务升级、酒水、食物、杂费、乘客关税、航空公司费用、附加费、

机场税、服务费或设施费、个人住宿费用、安保费、税金、小费或其他费用,由您自行

承担。在开始旅行之前,您负责获取需要的所有旅行文件(包括护照和签证,若适用)、

许可和旅行保险。旅行约束、条件和限制可能适用。如果您因故无法参与英特尔物联网巡

展活动,或行程被耽搁、延期或取消,英特尔和其他英特尔物联网巡展实体将不对此负责。

此外,如果英特尔物联网巡展被取消、更改或改期,英特尔和其他英特尔物联网巡展实体

不承担您产生的任何成本和费用。

13.重要信息:参赛者责任限制、免除和补偿。参加英特尔物联网巡展活动即表示您声明

和了解乘坐飞机、汽车或其他交通工具或步行出行,以及出席英特尔物联网巡展活动本身

都可能面临由于疏忽、自然力量或其他已知或未知的力量所造成的固有意外、疾病、伤害、

失踪或死亡风险。

在适用法律强制性规定允许的范围内,在英特尔、代理方、管理方和其他英特尔物联网巡

展实体没有责任的情况下,您需补偿、免除并保护英特尔、代理方、管理方和其他英特尔

物联网巡展实体不遭受以下情况导致的任何索赔、损失、责任、费用(包括合理的律师、

税务和专业费用及法律支出)和/或损害:(i)任何类型的技术故障,包括但不限于任何

计算机、线路、网络、硬件或软件(包括但不限于下载和上传作品或任何其他英特尔物联

网巡展相关信息时出现的问题)的故障;(ii)任何传输或电话或互联网服务不可用或不

可访问;(iii)参赛过程或英特尔物联网巡展活动的任何部分出现未经授权的人工干预;

(iv)管理和/或运营英特尔物联网巡展活动或处理参展作品时出现电子或人工错误;(v)

子还是其他;(vi)人员或财产的任何受伤(包括死亡)或损害,包括但不限于您的计算

机、硬件或软件,这种伤害可能由于此英特尔物联网巡展活动或您参与此英特尔物联网巡

展活动而(直接或间接,全部或部分)导致的或与之有关;(vii)使用任何奖励;(viii)

您违反或被指称违反此条款和条件;以及 (ix) 开发人员套件的可用性和性能。

参与英特尔物联网巡展或使用与此英特尔物联网巡展相关的任何网站即表示您同意(在适

用法律不禁止的情况下)规定的责任排除和限制是合理的。

仅针对中国居民:此豁免和上述排除不适用于对因英特尔、代理方或管理方渎职或重大过

失造成的索赔。

保留开发人员套件意味着您接受英特尔对开发人员套件不提供任何担保。在法律允许的最

大范围内,英特尔明确放弃任何关于开发人员套件的明确或隐含的陈述或保证,包括任何

对于适销性或适用于特定目的的隐含保证,以及交易和执行过程中的隐含保证。

如果赞助方被阻止,或由于合理的商业理由不能继续开展此英特尔物联网巡展活动或者此

英特尔物联网巡展活动的完整性和/或可行性受到任何活动的妨害,包括但不限于火灾、

洪水、传染病、地震、爆炸、劳资纠纷或罢工(英特尔、代理方或管理方的劳资纠纷或员

工罢工除外)、影响开发人员套件和/或活动中所需其他任何设备的可用性和/或分配的进

口、出口和/或库存问题,涉及到一个或多个国家(或这些国家的居民)的政府制裁或其

他限制措施的实施、天灾或公敌、卫星或技术故障、暴乱或内乱、战争(宣战或未宣战

的)、恐怖主义威胁或活动、或任何联邦、州、省或地方政府法律、法令或法规、与海关

相关的事宜、任何法庭或司法命令、或其他赞助方无法合理控制的理由(“不可抗力”事

件),那么赞助方有权随时自行决定缩短、修改、延长、暂停、取消或终止英特尔物联网

巡展活动或此条款和条件的整体或部分,但需通过电子邮件在活动网站通知申请参与此活

动的所有人。如果赞助方自行决定因不可抗力事件而缩短此英特尔物联网巡展活动,那么

赞助方保留权利但没有从不可抗力事件发生之前的所有有效及合法参赛者中选拔获胜者

(颁发奖励)的义务。

14.重要信息:争议处理 在适用法律允许的范围内,此英特尔物联网巡展活动受美国和特

拉华州法律管辖。应用时,除特拉华州的法律之外,不考虑任何司法管辖地的法律选择和

法律规则的冲突。相应地,与此条款和条件(和提及的其他文档或材料)的结构、验证、

解释和可执行性相关的所有问题和事宜以及参赛者、英特尔、代理方、管理方和与英特尔

物联网巡展相关的其他方的权利和义务应在适用法律允许的范围内受丹麦法律管辖。参与

此英特尔物联网巡展活动(同时作为参与的条件)即表示您同意双方之间无法解决的所有

争议、此英特尔物联网巡展活动(包括但不限于任何奖励)导致的或与之有关联的任何索

赔和诉讼将单独解决,不应诉诸于集体诉讼,除非在仲裁通知提交后香港国际仲裁中心

(“HKIAC”) 的一 (1) 名仲裁员根据有效的 HKIAC 管理仲裁规则(“HKIAC 规则”)在香港实

施仲裁。双方同意仲裁员可与任意一方拥有相同国籍。仲裁地应为香港。仲裁程序中所使

用的语言应为英语。仲裁程序和裁决应保密。除非本协议任何其他条款有其他排除要求,

否则在任命仲裁员之前,任意一方应有权在合法管辖区的任何法庭上寻求保护或临时救济,

包括禁令性救济。此外,除非受制于适用法律,否则出现任何此类争议、索赔或诉讼时,

无论如何您都被允许获得奖金,并在适用法律允许的范围内放弃所有索赔以及间接、惩罚

性、特殊、附带及从属性损害及任何其他损害或奖励(包括律师费和其他专业人士费用),

您进一步放弃让损害赔偿加倍或增加的权利。

15.隐私与参赛者的个人信息。您在参加英特尔物联网巡展活动时提交的所有信息,可由

管理方和/或代理方为开展物联网巡展活动之目的,全权代表英特尔并按照英特尔的指示,

根据英特尔的隐私政策(网址:http://www.intel.com/privacy)以电子和书面方式进行收

集、处理和保存。

您承认并同意开展英特尔物联网巡展活动需要这些信息。由于此次活动的赞助方和管理方

的办事处和服务器位于美国,您同意您提交的信息可在位于美国的服务器上进行传输、使

用和处理,美国的个人数据保护要求可能与您的居住国不同。在法律允许的范围内,您还

同意放弃任何适用的区域性、全国性或地方性数据保护法律赋予的权利。有关您编辑或删

除存储在美国服务器上个人信息的权利,请参见下文第 16 部分。

个人信息包括您在申请时、活动举行时及为补充奖励文档提交的某些数据,包括但不限于

姓名、电子邮件地址、Twitter 地址、通讯地址、电话号码、国家、居住州或省、税标识

号、国美身份证号、图片、肖像、声音和外貌(包括但不限于以上任何可能与参赛者的作

品以及活动期间的视频和音频录制相关的信息)。上述所有或部分信息可能将根据英特

尔、代理方和/或管理方的决定被用于:(a) 联系英特尔物联网巡展活动的潜在(和实际)

参与者;(b) 利用本文第 8 和第 11 部分授予英特尔的权利。未提供所有需要的信息可能

导致您失去参加此次创客竞赛活动的资格。除您在参加英特尔物联网巡展活动时提供给公

共论坛的信息、项目作品和演示中的声音和外貌以及参加活动的音频/视频录像外,您的

信息将不会由欧盟的服务器进行保存和处理。除您在申请(或其他)过程中同意的内容,

以及上文 (A) 和 (B) 所述目的需要的信息外,在英特尔物联网巡展活动结束后您的信息将

不会由英特尔、任何代理方或管理人员保留,并自 2017 年 4 月 30 日起尽快删除。

数据可能会被转发或以其他方式提供给税务机关、奖金兑现服务机构、英特尔子公司和货

运商,用于开展和管理英特尔物联网巡展活动。

16.其他附加隐私要求。 根据隐私相关法律的规定,当您的个人数据不再需要用于管理

活动或您授予赞助方的权利(如第 8 和 11 部分所述)时,您有权访问、纠正和删除这些

17.条款和条件以及获奖者名单。英特尔物联网巡展活动项目奖获得者将于英特尔物联网

巡展活动结束后公布,如果您欲索取获奖者名单或此条款和条件的副本,请(i) 发送电子

邮件至 [email protected],或 (ii) 写信(注明回信地址并贴有邮票)
