IN SUPPORT OF THE DEBTORS’ APPLICATION FOR ENTRY OF AN ORDER PURSUANT TO BANKRUPTCY CODE SECTION

327(a) AUTHORIZING THE EMPLOYMENT AND RETENTION OF FTI CONSULTING, INC. AS OPERATIONAL ADVISORS TO THE DEBTORS

AND DEBTORS IN POSSESSION NUNC PRO TUNC TO THE PETITION DATE

I, Steven D. Simms, make this declaration pursuant to 28 U.S.C. § 1746 and state as

follows:

1. I am a Senior Managing Director of FTI Consulting, Inc. (together with its wholly

owned subsidiaries, agents, independent contractors and employees, “FTI”), a financial advisory

services firm with numerous offices throughout the country, and am duly authorized to make this

supplemental declaration (the “Supplemental Declaration”) on behalf of FTI. I submit this

Supplemental Declaration on behalf of FTI in support of the application (the “Application”) 2

[Docket No. 121] of the Debtors for an order authorizing the employment and retention of FTI as

operational advisors to the Debtors nunc pro tunc to the Petition Date. This Supplemental

Declaration is intended to supplement, but not replace, the declaration of Steven D. Simms (the

“Original Declaration”) filed contemporaneously with the Application as Exhibit C. Except as

otherwise noted,3 I have personal knowledge of the matters set forth herein and, if called as a

witness, I could and would testify thereto.

2. On April 15, 2015, the Court entered an Order Pursuant to Bankruptcy Code

Section 327(a) Authorizing the Retention and Employment of FTI Consulting, Inc. as

Operational Advisors to the Debtors and Debtors in Possession Nunc Pro Tunc to the Petition

Date [Docket No. 203].

3. In the Application and the Original Declaration, FTI reserved the right to

supplement the Original Declaration in the event that FTI’s review of additional parties required

further disclosure by FTI.

4. FTI has obtained from the Debtors or their representatives additional names of

individuals and entities that may be parties-in-interest in these cases (the “Additional Potential

Parties in Interest”) and such parties are listed on Schedule 1 attached hereto. Upon receiving

the Additional Potential Parties in Interest, FTI (a) researched its internal records to determine

whether FTI has any connections with Additional Potential Parties in Interest; and (b) issued a

general inquiry to certain of its officers with respect to the Additional Potential Parties in

Interest.

5. Set forth on Schedule 2 attached hereto is a list of the Additional Potential Parties

in Interest (or their affiliates, as the case may be) that FTI either (a) is currently engaged by in

matters wholly unrelated to these chapter 11 cases or (b) has been engaged by during the past

three years in matters wholly unrelated to these chapter 11 cases. In addition, FTI may in the

future be engaged by one or more of the Additional Potential Parties in Interest in matters wholly

unrelated to these cases.

6. Based on the conflicts search conducted to date and described herein, to the best

of my knowledge, neither I, FTI, nor any officer or associate thereof, insofar as I have been able

to ascertain, have any connections with the Debtors, their creditors, or any other parties in

interest, their respective attorneys and accountants, the Office of the United States Trustee, any

person employed in the Office of the United States Trustee, or any bankruptcy judge currently

serving on the United States Bankruptcy Court for the District of Delaware, except as disclosed

or otherwise described herein.

7. Based on the statements contained herein, I believe that FTI continues to be

eligible for employment and retention by the Debtors.

8. It is FTI’s policy and intent to update and expand its ongoing relationship search

for additional parties in interest in an expedient manner. If any new material relevant facts or

relationships are discovered or arise, FTI will promptly file a supplemental declaration.
