EQUITY SECURITY HOLDERS, NUNC PRO TUNC, AS OF JULY 29, 2015 AND RELATED WAVIER AS TO CERTAIN INFORMATION REQUIREMENTS

The Official Committee of Equity Security Holders (the “Equity Committee”) of

debtors, Allied Nevada Gold Corp. and its debtor affiliates (collectively, “Debtors”), appointed

pursuant to Section 1102(a)(1) of title 11 of the United States Code, 11 U.S.C. §§ 101, et seq.

(the “Bankruptcy Code”) in the above-captioned jointly administered chapter 11 cases (the

“Chapter 11 Cases”), hereby applies for an Order authorizing the employment and retention of

Gordian Group, LLC (“Gordian”) as its investment banker in accordance with the engagement

letter dated July 29, 2015 (the “Engagement Letter”) annexed hereto as EXHIBIT A and for

related relief pursuant to Sections 328 and 1103 of the Bankruptcy Code, Rule 2014 of the

2(h) of the Local Rules of the United States Bankruptcy Court for the District of Delaware (the

“Local Rules”), nunc pro tunc as of July 29, 2015 (the “Application”). In support of the

Application, the Equity Committee incorporates the declaration of Patricia A. Caldwell (the

“Caldwell Declaration”) attached hereto as EXHIBIT B, and respectfully states as follows:

JURISDICTION

1. This Court has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and

1334, and the Amended Standing Order of Reference from the United States District Court for

the District of Delaware dated as of February 29, 2012. This is a core proceeding pursuant to 28

U.S.C. § 157(b)(2), and the Court may enter a final order consistent with Article III of the United

States Constitution.

2. Venue for these proceedings and this matter is proper in this District pursuant to

28 U.S.C. §§ 1408 and 1409.

3. The statutory and legal predicates for the relief requested herein are Sections 328,

330, and 1103 of the Bankruptcy Code, Bankruptcy Rule 2014, and Local Rule 2014-1.

BACKGROUND

4. On March 10, 2015, each of Debtors filed a voluntary petition for relief under

chapter 11 of the Bankruptcy Code.

5. Debtors are continuing to operate their businesses and manage their properties as

debtors in possession pursuant to Sections 1107 and 1108 of the Bankruptcy Code. No trustee or

examiner has been appointed in these cases.

6. On March 11, 2015, the Court entered an Order authorizing the joint

administration and procedural consolidation of the Chapter 11 Cases [Docket No. 53].

7. On March 19, 2015, the United States Trustee for Region 3 (the “UST”)

appointed an official committee of unsecured creditors in the Chapter 11 Cases pursuant to

Section 1102 of the Bankruptcy Code [Docket No. 95].

8. On April 10, 2015, the UST appointed the Equity Committee pursuant to Section

1102(a)(1) of the Bankruptcy Code [Docket No. 157]. The following equity security holders

were appointed to the Equity Committee: James R. Anderson, John Connor, Ajay Maskar,

George Murphy, and Michael Richey.

9. On May 15, 2015, the UST filed an Amended Notice of Appointment of

Committee of Equity Security Holders [Docket No. 371] (the “First Amended Notice of

Appointment”). In the First Amended Notice of Appointment, the following equity security

holders were appointed to the Equity Committee: James Anderson, John Connor, Ajay Maskar,

Michael Richey, and Michael Willingham.

10. On May 26, 2015, the UST filed a Second Amended Notice of Appointment of

Committee of Equity Security Holders [Docket No. 449] (the “Second Amended Notice of

Appointment”). In the Second Amended Notice of Appointment, the following equity security

holders were appointed to the Equity Committee: John Connor, Ajay Maskar, and Michael

Richey. The Equity Committee has selected John Connor as its chairperson.

11. On July 13, 2015, the Court entered an Order authorizing the retention and

employment of LeClairRyan, A Professional Corporation, as lead counsel to the Equity

Committee nunc pro tunc to May 25, 2015 [Docket No. 692]. Also on July 13, 2015, the Court

entered an Order authorizing the retention and employment of Cole Schotz P.C. as local and

conflicts counsel to the Equity Committee nunc pro tunc to May 27, 2015 [Docket No. 691].

12. On July 29, 2015, the Equity Committee engaged Gordian as its investment

banker, subject to the Court’s approval.

RELIEF REQUESTED

13. By this Application, the Equity Committee seeks authority to employ and retain

Gordian as its investment banker pursuant to Sections 328 and 1103 of the Bankruptcy Code,

Bankruptcy Rule 2014, and Local Rules 2014-1 and 2016-2(h), nunc pro tunc, to July 29, 2015.

BASIS FOR THE RELIEF REQUESTED

I. STATUTORY AUTHORITY

14. Section 328(a) of the Bankruptcy Code provides that a committee, “with the

court’s approval may employ or authorize the employment of a professional person under section

327 or 1103 of this title . . . on any reasonable terms and conditions of employment, including on

a retainer, on an hourly basis, on a fixed or percentage fee basis, or on a contingent fee basis.”

11 U.S.C. § 328.

15. Section 1103(a) of the Bankruptcy Code provides that “[a]t a scheduled meeting

of a committee appointed under section 1102 of this title, at which a majority of the members of

such committee are present, and with the court’s approval, such committee may select and

authorize the employment by such committee of one or more attorneys, accountants, or other

agents, to represent or perform services for such committee.” 11 U.S.C. § 1103(a).

16. Section 101(15) of the Bankruptcy Code defines a “disinterested person” as a

person that:

(a) is not a creditor, an equity security holder, or an insider;

(b) is not and was not, within 2 years before the date of the filing of the petition, a director, officer, or employee of the debtor; and

(c) does not have an interest materially adverse to the interest of the estate or of any class of creditors or equity security holders, by reason of any direct or indirect relationship to, connection with, or interest in, the debtor, or for any other reason.

11 U.S.C. § 101(14).

17. Bankruptcy Rule 2014 provides that an Order approving the employment and

retention of professionals pursuant to Section 1103 of the Bankruptcy Code shall be made on

application of a committee and shall state “the specific facts showing the necessity for the

employment, the name of the person to be employed, the reasons for the selection, the

professional services to be rendered, any proposed arrangement for compensation, and, to the

best of the applicant’s knowledge, all of the person’s connections with the debtor, creditors, any

other party-in-interest, their respective attorneys and accountants, the United States trustee, or

any person employed in the office of the United States trustee.” Fed. R. Bankr. P. 2014. Local

Rule 2014-1 sets forth the procedure for retention applications.

18. Local Rule 2016-2(h) permits a professional to request a waiver of one or more of

the information requirements on applications for the allowance and payment of compensation

and reimbursement of expenses.

II. GORDIAN’S QUALIFICATIONS

19. The Equity Committee seeks to retain Gordian as its investment banker because

of Gordian’s knowledge, experience, and expertise in the field of financial restructurings and

reorganizations under chapter 11 of the Bankruptcy Code and because the Equity Committee

requires an investment banker to assist it in performing the tasks associated with fulfilling the

Equity Committee’s statutory duties throughout the course of the Chapter 11 Cases.

20. Gordian is one of the nation’s leading boutique investment banks specializing in

complex and distressed financial advisory work with offices located at 950 Third Avenue, 17th

Floor, New York, New York 10022. In more than twenty-seven years, Gordian has successfully

completed over 275 engagements on behalf of companies, boards of directors, creditors, and

equity security holders. Additionally, Gordian has a long history advising banking and insurance

institutions, regulators, state governments, and federal agencies.

21. Gordian is a leading provider of investment banking services in chapter 11

bankruptcy proceedings. Gordian’s professionals have extensive experience advising debtors

and other constituents in chapter 11 bankruptcy proceedings and have served as financial

advisors and investment bankers to numerous debtors, creditors, and other parties-in-interest in

restructurings involving, among others, among others, Ambac Financial Group, ANC Rental,

Alexander Gallo Holdings, American Airlines, Laclede Steel, LTV Steel, Mississippi Chemical

Corporation, Solutia, Inc., Spansion Inc. and Summit Global Logistics. Accordingly, Gordian

has developed considerable expertise in many of the issues that will be presented in this

engagement.

22. Given Gordian’s extensive knowledge and expertise in financial restructurings

and reorganizations under chapter 11 of the Bankruptcy Code, the Equity Committee believes

that Gordian’s employment as its investment banker to render such services as are necessary and

appropriate in connection with the matters set forth herein and other matters that may arise

during the pendency of the Chapter 11 Cases is in the best interests of the Equity Committee and

the body of equity security holders that the Equity Committee represents.

III. SERVICES TO BE PROVIDED BY GORDIAN

23. Employment of Gordian as the Equity Committee’s investment banker is

appropriate and necessary to enable the Equity Committee to execute faithfully its duties as an

official shareholder committee appointed pursuant to Section 1102 of the Bankruptcy Code. The

Equity Committee anticipates that Gordian will provide the following services to it in the

Chapter 11 Cases:

a. familiarize itself with Debtors’ business and operations and financial condition;

b. formulate, evaluate, and pursue various restructuring alternatives available to Debtors, including, without limitation:

(i) preparing prospectuses to circulate to interested parties;

(ii) investigating, contacting, and negotiating with potential parties of

interest regarding participating in a restructuring, which includes a restructuring, exchange, amendment, extension, conversion, compromise, settlement, refinancing or other modification of, and/or an assumption, repayment or other satisfaction of Debtors’ indebtedness or claims (including contingent claims) or a material portion of any of Debtors’ obligations, any other reorganization, restructuring or recapitalization of any of Debtors and/or their securities, and/or any merger, consolidation, joint venture or other business combination involving, or sale of substantially all or a portion of the assets or outstanding securities of, any of Debtors, approved by the Court (any of the foregoing, a “Restructuring”);

(iii) negotiating capital raises (both debt and equity) and any other

financing arrangement; and

(iv) participating in merger, acquisition, or business combination discussions (including terms, structuring, etc.) with interested parties;

c. assist in negotiations with Debtors, current lenders, creditors, and other interested

parties regarding a proposed Restructuring; d. evaluate the proposed financial treatment of Debtors’ equity holders in connection

with any proposed Restructuring; e. provide testimony in the Court, as appropriate and mutually agreed upon by

Gordian and the Equity Committee, in connection with any proposed Restructuring;

f. assist with making presentations to the Equity Committee, Debtors, lenders,

creditors, other equity security holders and/or other interested parties regarding any potential Restructuring and/or other financial issues related thereto;

g. render such other investment banking services as may be customary for an engagement of the type contemplated between the Equity Committee and Gordian and mutually agreed upon by the Equity Committee and Gordian; and

h. attend meetings of the Equity Committee and other constituencies (and their

respective professionals), hearings held by the Court, and participation in such matters and on such occasions as the Committee may, from time to time, request.

24. The Equity Committee requires a knowledgeable investment banker to render

these essential professional services. Subject to the Court’s approval, Gordian has agreed to

render such services as the Equity Committee’s investment banker in accordance with the terms

set forth herein.

25. The Equity Committee believes that the services provided by Gordian will not

duplicate the services that other of its retained professionals will provide to the Equity

Committee in the Chapter 11 Cases. For example, the services that Gordian has agreed to

provide to the Equity Committee (subject to Court approval) do not include the rendering of any

valuation, fairness, or solvency opinions, except in connection with testimony in the Bankruptcy

Court concerning a Restructuring, as appropriate and mutually agreed upon by Gordian and the

Equity Committee. If Gordian is asked to render any valuation, fairness or solvency opinions in

connection with the Chapter 11 Cases, the Equity Committee will file an application with the

Court seeking authority to employ and retain Gordian for such purposes and for authority to

compensate Gordian for such services at an amount to be agreed upon by the Equity Committee

and Gordian. Thus, Gordian will carry out unique functions and will use reasonable efforts to

coordinate with the Equity Committee’s other professionals to avoid the unnecessary duplication

of services.

IV. DISINTERESTEDNESS OF GORDIAN

26. In connection with its proposed retention by the Equity Committee, Gordian

undertook to determine whether it had any conflicts or other relationships that might cause it not

to be disinterested or hold or represent an interest adverse to the Equity Committee, Debtors, or

Debtors’ estate. In connection with this inquiry, the Equity Committee’s legal counsel provided

Gordian with a list of names of individuals and entities that may be parties-in-interest in the

Chapter 11 Cases (the “Potential Parties-in-Interest”). Gordian has researched its client files

and records to determine its connections with the Potential Parties-in-Interest.

27. To the best of Gordian’s knowledge, information, and belief, and except as may

be set forth in the Caldwell Declaration, Gordian does not represent and has not represented

Debtors, any of Debtors’ creditors, any other parties-in-interest, or any of their respective

affiliates or their respective attorneys or accountants, in any matter relating to Debtors, their

estates, or the Chapter 11 Cases. Additionally, to the best of Gordian’s knowledge and except as

may be set forth in the Caldwell Declaration, Gordian does not hold or represent any interest

adverse to the interests of the Equity Committee or Debtors’ equity security holders. Finally, to

the best of Gordian’s knowledge, information and belief, and except as may be set forth in the

Caldwell Declaration, Gordian has no connections with the UST, any person employed by the

UST, or any United States District Judge or United States Bankruptcy Judge in the District of

Delaware.

28. To the extent that Gordian has been retained to represent any of the Potential

Parties-in-Interest in matters unrelated to the Chapter 11 Cases, such Potential Parties-in-Interest

are identified in the Caldwell Declaration only with respect to matters that are wholly unrelated

to the Chapter 11 Cases. Other than the matters identified in the Caldwell Declaration, Gordian

is unaware of any relationships that it has had with the Potential Parties-in-Interest. Accordingly,

Gordian is a “disinterested person” within the meaning of Sections 101(14) and 328 of the

Bankruptcy Code.

V. COMPENSATION OF GORDIAN

29. Gordian’s decision to advise and assist the Equity Committee in connection with

the Chapter 11 Cases is subject to its ability to be retained in accordance with the terms of the

Engagement Letter pursuant to Section 328(a) of the Bankruptcy Code.

30. Subject to the Court’s approval, the Equity Committee requests that Gordian be

compensated as follows:

(a) Monthly Fees: From and after the Court’s entry of an Order authorizing the Equity Committee’s retention and employment of Gordian as its investment banker, monthly fees of $25,000 per month (nunc pro tunc to the date of its engagement by the Equity Committee) (collectively, the “Monthly Fees”), payable in accordance with the Order Establishing Procedures for interim Compensation and Reimbursement of Expenses of Professionals entered April 15, 2015. Gordian shall receive a pro-rated Monthly Fee for the balance of July 2015, which shall be due and payable with the first full Monthly Fee.

(b) Transaction Fee: In connection with the entry of any Order by the Bankruptcy Court agreed to (or not opposed) by the Equity Committee including, without limitation, the confirmation of a plan or any other Restructuring that provides a recovery to Debtors’ equity security holders, a fee (the “Transaction Fee”) payable concurrently with and as a condition to consummation of such Restructuring, consisting of the greater of (x) $250,000 or (y) 2.0% of the aggregate consideration. Aggregate consideration, for purposes of calculating the Transaction Fee, shall be (x) the total amounts paid and (y) the value of securities or other instruments issued to or for the benefit of, or otherwise realized or retained by, Debtors’ equity security holders in connection with a Restructuring, as agreed upon between the parties or established by the Court.

31. If the Equity Committee’s engagement of Gordian is terminated by either the

Committee or Gordian, Debtors’ or Debtors’ estate, as the case may be, shall remain liable for

any Transaction Fee already payable or accrued and expenses incurred prior to termination and

for causing payment of the Transaction Fee if within twelve months after termination of

Gordian’s engagement, a Restructuring is subsequently consummated. In addition to any fees

payable to Gordian, the Equity Committee requests that Gordian be reimbursed for its reasonable

out-of-pocket expenses incurred in connection with its provision of services to the Equity

Committee, including, without limitation, reasonable travel expenses, computer and research

charges, messenger services, and long-distance telephone and conference calls, and other

expenses reasonably and necessarily incurred in the performance of Gordian’s work. Gordian

will charge the Equity Committee for such expenses in a manner and at rates consistent with

charges generally made to its clients.

32. No arrangement is proposed between the Equity Committee and Gordian for

compensation to be paid in this case except as set forth herein. Gordian acknowledges that none

of (i) the professionals retained by the Equity Committee, (ii) the Equity Committee, or (iii) any

member of the Equity Committee individually shall have any liability for fees, expenses, or other

amounts payable to Gordian.

33. Gordian understands that any compensation and expenses paid to it must be

approved by the Court upon application consistent with the Bankruptcy Code, applicable

Bankruptcy Rules, applicable Local Rules, and Orders of the Court. Accordingly, Gordian

intends to apply to the Court for the allowance of compensation in the Chapter 11 Cases in

accordance with the applicable provisions of the Bankruptcy Code, the Bankruptcy Rules, the

Local Rules, and any other related orders or procedures that may be fixed by the Court (to the

extent that compliance is not waived) and consistent with the proposed compensation set forth in

the Engagement Letter.

34. Gordian will maintain records in support of any actual, necessary costs and

expenses incurred in connection with the rendering of its services in the Chapter 11 Cases.

However, given that (i) it is not the general practice of investment banking firms such as Gordian

to keep detailed time records similar to those customarily kept by attorneys, (ii) Gordian does not

ordinarily keep time records on a “project category” basis, and (iii) Gordian’s compensation is

based on a fixed Monthly Fee and a Transaction Fee, the Equity Committee respectfully requests

that the requirements of the Bankruptcy Code, the Bankruptcy Rules, the United States Trustee

Guidelines, Local Rule 2016-2, and any other Orders and procedures of the Court be modified

pursuant to Local Rule 2016-2(h) such that Gordian’s restructuring professionals shall be

required to maintain records (in summary format) of the services rendered for the Equity

Committee, including summary descriptions of those services, the time expended in providing

those services (in half-hour increments), and the identity of the restructuring professional who

provided those services. Moreover, the Equity Committee respectfully requests that Gordian’s

restructuring professionals not be required to keep time records on a “project category” basis,

that its non-restructuring professionals and personnel in administrative departments not be

required to maintain any time records, and that it not be required to provide or conform to any

schedule of hourly rates. To the extent that Gordian would otherwise be required to submit more

detailed time records for its professionals by the Bankruptcy Code, the Bankruptcy Rules, the

Local Rules, the United States Trustee Guidelines, or other applicable procedures and Orders of

the Court, the Equity Committee respectfully requests that the Court waive such requirements.

35. As set forth above, the Equity Committee seeks to retain Gordian in accordance

with the terms of the Engagement Letter pursuant to Section 328(a) of the Bankruptcy Code.

Thus, the fees and expenses payable to Gordian pursuant to the Engagement Letter shall be

subject to review only pursuant to the standards set forth in Section 328(a) of the Bankruptcy

Code and not the standard of review set forth in Section 330 of the Bankruptcy Code. However,

the Equity Committee’s retention of Gordian pursuant to Section 328 will not prohibit the UST

from reviewing the fees and expenses payable to Gordian pursuant to the standard of review set

forth in Section 330 of the Bankruptcy Code. The UST shall retain its rights to challenge the

reasonableness of Gordian’s compensation and expense reimbursements under Sections 330 and

331 of the Bankruptcy Code.

36. Further, pursuant to the Engagement Letter, the Equity Committee has agreed that

none of Gordian, its affiliates or their respective members, partners, officers, directors,

employees, controlling persons, representatives and agents shall have any liability to the Equity

Committee or any person or entity claiming by, through or on behalf of the Equity Committee

(or any successors or assigns thereof) for any losses, claims, expenses, damages or liabilities (or

actions or proceedings in respect thereof), including without limitation, counsel fees and

expenses, (i) related to or arising out of (x) information provided or approved by or on behalf of

the Equity Committee or any of Debtors or their security holders or (y) action taken or not taken

by the Equity Committee, or by Gordian at the Equity Committee’s request or with the Equity

Committee’s consent, or (ii) otherwise related to or arising out of Gordian’s engagement under

the Engagement Letter, or any transaction or conduct in connection therewith. However, such

limitation of liability does not apply to the extent that any loss, claim, expense, damage or

liability is finally and judicially determined to have resulted solely from Gordian’s gross

negligence or willful misconduct in performing the services that are the subject of the

Engagement Letter.

37. Additionally, as part of the compensation agreed to by the Equity Committee and

Gordian, the Engagement Letter provides that if Gordian, or any affiliate of Gordian, or any

member, partner, officer, director, employee, agent or entity or person controlling Gordian

becomes involved in any threat or assertion of a claim, litigation or investigation with respect to

Gordian’s engagement, then, subject to the Court’s approval, Gordian shall be compensated,

separately from the fees and expenses provided for in the Engagement Letter, for the time

expended by such person, whether at or in preparation for meetings, deposition, trial or

otherwise, at the hourly rates then in effect for such person or, if no such rate is then in effect, the

hourly rate that Gordian shall reasonably determine to be appropriate.

38. The Equity Committee believes that the compensation arrangement entered into

with Gordian is consistent with, and typical of, compensation arrangements entered into by

Gordian and other comparable firms in connection with the rendering of similar services under

similar circumstances both in and out of bankruptcy proceedings. The Equity Committee also

believes that the compensation arrangement with Gordian reflects a balance between a fixed,

monthly fee and a contingency amount, which is tied to the consummation of a Restructuring and

the realities of the Chapter 11 Cases. In determining the compensation arrangement, the Equity

Committee compared Gordian’s fee proposal to comparable precedents. After such comparison,

followed by discussions and arm’s-length negotiations, the Equity Committee believes that the

compensation arrangement is in fact reasonable, market-based, and designed to compensate

Gordian fairly for its work.

39. Gordian’s expertise in financial restructurings and reorganizations, some or all of

which has or will be required by the Equity Committee, were important factors to the Equity

Committee in determining Gordian’s compensation. The Equity Committee believes that the

ultimate benefit of Gordian’s services cannot be measured by reference to the number of hours

expended by Gordian in the performance of such services. The Equity Committee and Gordian

agreed upon Gordian’s compensation in anticipation that a substantial commitment of

could have and may still foreclose other opportunities for Gordian and (ii) the actual time and

commitment required of Gordian and its professionals to perform the services set forth herein

may vary substantially week to week and month to month.

40. By virtue of the foregoing, the Equity Committee believes that the employment of

Gordian as its investment banker is appropriate and is in the best interests of the body of equity

security holders that the Equity Committee represents. The Equity Committee requests that

Gordian’s retention as its investment banker in connection with the Chapter 11 Cases be

approved, effective as of July 29, 2015, because Gordian commenced providing services to the

Equity Committee on that date.

Trustee; (b) Debtors’ counsel; (c) counsel to the Official Committee of Unsecured Creditors; and

no interest adverse to the Equity Committee or Debtors’ equity security holders with respect to

matters upon which Gordian is to be engaged, that Gordian is a “disinterested person” as that

term is defined under Section 101(14) of the Bankruptcy Code, and that Gordian’s employment

is necessary and is in the best interests of the Equity Committee and Debtors’ equity security

holders; and due and adequate notice of the Application having been given; and it appearing that

no further or other notice is required; and after due deliberation and sufficient cause appearing

therefor, it is hereby ORDERED that:

1. The Application is hereby GRANTED as set forth herein.

2. Capitalized terms not otherwise defined herein shall have the meanings ascribed

to them in the Application.

3. In accordance with Sections 328 and 1103 of the Bankruptcy Code, the Equity

Committee is hereby authorized to retain and employ Gordian as its investment banker pursuant

to the terms set forth in the Application and the Caldwell Declaration nunc pro tunc to July 29,

2015.

4. Gordian shall file monthly, interim, and final fee applications for the allowance of

compensation for services rendered and reimbursement of expenses incurred in accordance with

the applicable provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules, and

any applicable Orders of the Court; provided, however, that the requirements of the Bankruptcy

Code, the United States Trustee Guidelines, and Local Rule 2016-2, and any other Order and

procedures of the Court are hereby modified pursuant to Local Rule 2016-2(h) such that

Gordian’s restructuring professionals shall be required only to keep summary time records in

half-hour increments, Gordian’s non-restructuring professionals and personnel in administrative

departments shall not be required to keep any time records, Gordian’s restructuring professionals

shall not be required to keep time records on a project category basis, and Gordian shall not be

required to provide or conform to any schedule of hourly rates.

5. Gordian shall be compensated in accordance with the Engagement Letter, a copy

of which is attached hereto as EXHIBIT 1. Notwithstanding anything to the contrary herein, the

fees and expenses payable to Gordian pursuant to the Engagement Letter shall be subject to

review only pursuant to the standards set forth in Section 328(a) of the Bankruptcy Code and

shall not be subject to the standard of review set forth in Section 330 of the Bankruptcy Code,

except by the UST. This Order shall not prejudice or otherwise affect the rights of the UST to

challenge the reasonableness of Gordian’s compensation and expense reimbursements under

Sections 330 and 331 of the Bankruptcy Code. Accordingly, nothing in this Order or the record

shall constitute a finding of fact or conclusion of law binding on the UST, on appeal or

otherwise, with respect to the reasonableness of Gordian’s compensation.

6. The terms of the Engagement Letter related to the payment of a Transaction Fee

(as defined in the Engagement Letter) following the termination of Gordian’s engagement are

approved. During the pendency of the Chapter 11 Cases, all application for payment of fees and

expenses following the termination of the Engagement Letter shall be governed by the standards

set forth in paragraphs 4 and 5 of this Order.

7. The provisions in the Engagement Letter for indemnification, contribution, and

reimbursement of Gordian are approved subject to the following:

a. Gordian shall not be entitled to indemnification, contribution or reimbursement pursuant to the Engagement Letter for services other than the services provided under the Engagement Letter, unless such services and the indemnification, contribution or reimbursement therefor are approved by the Court.

b. Debtors shall have no obligation to indemnify Gordian, or provide contribution or reimbursement to Gordian, for any claim or expense that is

either: (i) judicially determined (the determination having become final) to have arisen from Gordian’s gross negligence, willful misconduct, or breach of contract; or (ii) settled prior to a judicial determination as to Gordian’s gross negligence, willful misconduct, or breach of contract, but determined by the Court, after notice and a hearing, to be a claim or expense for which Gordian should not receive indemnity, contribution or reimbursement under the terms of the Engagement Letter as modified by this Order.

c. If before the earlier of (i) the entry of an Order confirming a chapter 11

plan in these cases (that order having become a final order no longer subject to appeal), and (ii) the entry of an order closing these chapter 11 cases, Gordian believes that it is entitled to the payment of any amounts by the Debtors on account of the indemnification, contribution and/or reimbursement obligations under the Engagement Letter (as modified by this Order), including without limitation the advancement of defense costs, Gordian must file an application therefor in this Court, and Debtors may not pay any such amounts to Gordian before the entry of an Order by this Court approving the payment. This subparagraph (c) is intended only to specify the period of time under which the Court shall have jurisdiction over any request for fees and expenses by Gordian for indemnification, contribution, and/or reimbursement, and not a provision limiting the duration of the obligation to indemnify Gordian. All parties in interest shall retain the right to object to any demand by Gordian for indemnification, contribution or reimbursement.

8. To the extent that there may be any inconsistency between the terms of the

Application, the Engagement Letter, and this Order, the terms of this Order shall govern.

9. The Equity Committee is authorized and empowered to take such actions as may

be necessary and appropriate to implement the terms of this Order.

10. This Court shall retain jurisdiction over any and all matter arising from or related

to the interpretation or implementation of this Order.
