TO AMEND THIS COURT’S ORDER REGARDING B&T’S APPLICATION FOR ALLOWANCE OF FINAL COMPENSATION

NOW COMES, Barnes & Thornburg, LLP (“B&T ”), environmental counsel for SGK

Ventures LLC (f/k/a Keywell L.L.C) an Illinois limited liability company, debtor and debtor in

possession, by and through its undersigned counsel, and for its Motion to Amend this Court’s

Order entered on December 24, 2014 regarding B&T’s Application for Allowance of Final

Compensation and Reimbursement of Expenses of B&T (the “Final Fee Application” )

respectfully states as follows:

1. B&T filed its Final Fee Application on November 20, 2014, seeking

compensation for professional services rendered by Barnes & Thornburg, LLP (“B&T ”) in the

aggregate amount of $83,435.30 together with expenses of $1,695.79 (Dkt. No. 909).

2. On December 23, 2014, this Court entered its Findings of Fact and Conclusions of

Law in Support of Order Granting the Application of B&T as Environmental Counsel for Debtor

for Allowance of Final Compensation and Reimbursement of Expenses (the "Findings of Fact").

(Dkt. No. 941, attached as Exhibit A.) Based on these Findings of Fact, in the Compensation

Allowance Order (Dkt No. 935, attached as Exhibit B), this Court reduced the amount of fees


requested by B&T for services rendered by $5,510 and the amount of costs requested by

$1,448.75.

3. This Motion to Amend is submitted pursuant to Federal Rule of Civil Procedure

60(b), made applicable to the chapter 11 case by Federal Rule of Bankruptcy Procedure 9024.

Federal Rule of Civil Procedure 60(b)(1) allows for relief from a final judgment order or

proceeding based on mistake, inadvertence or excusable neglect; and 60(b)(6) for any other

reason that justifies relief. Alternatively, relief is sought pursuant to Federal Rule of Civil

Procedure 59, made applicable to the chapter 11 case by Federal Rule of Bankruptcy Procedure

9023, which allows for amendment of judgment. This motion was filed within ten (10) days of

the Court’s entry of the Compensation Allowance Order (Dkt No. 935, attached as Exhibit B)

and accompanying Findings of Fact (Dkt. No. 941, attached as Exhibit A).

4. As set forth in the Findings of Fact (Exhibit A), the Court’s reason for reduction

of the fees requested was because in the exhibit to the Final Fee Application, B&T had omitted

the first page of the invoice for services rendered in July of 2014 which reflected the services

performed that were the basis for the $5,510 in fees; and that as a result of this omission there

was an insufficient description of the tasks performed to support an award of the claimed $5,510.

Accordingly the Court approved a total of $1,425 total fees ($6,935 claimed less $5,510) for

services rendered by B&T during the month of July 2014.

5. The undersigned represents that omission of the referenced page from the invoice

for July services attached to the Final Fee Application was an inadvertent scrivener’s error. The

page was attached to the original invoice that was circulated to the Debtor, the United States

Trustee, counsel to the Unsecured Creditor’s Committee, and counsel for NewKey Group, LLC

and NewKey Group II, LLC in connection with B&T’s monthly interim compensation request


(the “Tenth Monthly Payment Request”) pursuant to the Order Establishing Procedures for the

Payment of Interim Compensation and Reimbursement of Expenses of Professionals [Dkt. No.

101]. There were no objections to interim payment of those fees (less the 10% holdback).

6. A copy of the complete invoice originally circulated for services rendered by

B&T during July 2014, the Tenth Monthly Payment request, is attached as Exhibit C. The first

page of this invoice provides a detailed description of the tasks which are the basis for B&Ts

claim for the additional $5,510 for fees for services rendered in July 2014. With the addition of

the page previously omitted from the exhibit to the Final Fee Application, the total fees for

services rendered By B&T in July 2014 is $6,935, the $1,425 allowed plus the $5,510 that was

originally disallowed.

7. Because the disallowance was the result of inadvertent omission of one page from

invoices for July B&T services from the exhibit supporting the Final Fee Application, and

because the addition of the page provides a sufficient description of the tasks performed, B&T

respectfully requests that the Court award the additional $5,510 in fees that was originally

disallowed.

8. B&T is not seeking amendment of any portion of the amount of costs originally

claimed in the Final Fee Application that were reduced by the Court (i.e., the court’s

disallowance of Westlaw charges).


WHEREFORE, Barnes & Thornburg, LLP respectfully requests that this Court to amend

the Compensation Allowance Order, allow additional compensation to Barnes & Thornburg,

LLP n the amount of $5,510 (increasing the total of fees allowed from $77,923.50 to

$83,433.50), and that Barnes & Thornburg, LLP be granted such further relief as may be

equitable and just.
