The Exchange Bulletin ISSUE 3, JANUARY 2017 In 2016, the NSE spearheaded and joined several sustainability initiatives in an effort to promote corporate sustainability practices in the Capital Markets. The Exchange became a signatory of the UN Women’s Empowerment Principles (WEPs), during the UN Sustainable Stock Exchanges Ringing the Bell for Gender Equality initiative. NSE also joined the UN Global Compact and signed the Code of Ethics for Business in Kenya, in an effort to promote governance and transparency in our Markets. Over the course of 2016, the Kenyan economy and particularly the Capital Markets sector remained resilient despite a challenging operating environment both locally and internationally. Though equities turnover decreased as at end of December 2016, Bond turnover increased significantly and this segment continues to register good performance. 2016 also saw some new listings in the Alternative Investment Market Segment and the Growth Enterprise Market Segment. In 2017 the Exchange shall continue to aggressively pursue new listing opportunities. Going forward, whilst continuing to encourage trade in equities and fixed income instruments, the Exchange has its sights set on diversification of revenue through new product offerings such as Exchange Traded Funds, Derivatives Contracts and Global Depositary Receipts. The Exchange will also be leveraging on an enhanced legislative environment geared towards increasing liquidity in our Markets. As the year commences, we at the Exchange wish you a Happy New Year filled with joy, peace and success. FiRe Awards Conference and Gala Dinner

HAPPY NEW YEAR FROM THE EXCHANGE!

The Exchange held its second Listing and Capital Raising Breakfast on September 8, 2016 at the English Point Marina, Mombasa. The Listing and Capital Raising Breakfast series which kicked off in Nairobi in June 2016, is aimed at educating potential issuers of the various listing opportunities available at the Exchange.

Commenting on the series, NSE Business Development and Commercial Director, Mr. Andrew Wachira said “By engaging companies in different parts of the country, the NSE is seeking to showcase its products while understanding the dynamics affecting businesses across Kenya as we continue to deepen our product offering to meet the expectations of a diverse range of companies.”

The Mombasa edition attracted over 70 companies from the Coastal region, cutting across various industries including manufacturing, travel, health, engineering and the hospitality industry.

Women in Finance Entrepreneurship and Leadership Conference (WIFEL)

The NSE took part in the inaugural women in Finance Entrepreneurship and Leadership Conference which took place at KCA University, Nairobi on October 5, 2016. The NSE Chief Executive, Mr. Geoffrey Odundo participated in a panel discussion on Taking risk: Overcoming global/capital market phobia.

The Conference focused on mobilizing, sensitizing and enhancing women’s capacity to champion their companies’ growth, while encouraging them to take up leadership at board level in listed and blue chip companies locally and internationally.

NSE Investment Challenge Awards Ceremony

The NSE awarded the winners of the 9th edition of the NSE Investment Challenge at an award ceremony held at the Exchange on October 11, 2016. The 2016 challenge was sponsored by KASNEB and NIC Securities. The Chief Guest at the Ceremony was Mr. Pius Nduatih the KASNEB Chief Executive Officer.

The 2016 NSE Investment Challenge team visited 40 institutions of higher learning, and educated 14,894 participants about the Challenge, with 9,804 registering for the same. The overall winner of the 2016 challenge was from the University of Nairobi . The cash awards for the winners are invested on the Exchange.

The NSE Charity Trading DayNairobi Securities Exchange held its second annual Charity Trading Day on October 14, 2016 raising over Kshs. 6,000,000.00 both in cash and kind, bringing the Trading Day total amount raised for 2015 and 2016 to over Kshs.13,000,000.00. The sponsors of the 2016 Charity Trading Day included ICAP, Equity Investment Bank, East African Breweries Limited, Kenya Power and Lighting Company and the Capital Markets Authority, among others.

Commenting on the NSE Charity Trading Day, NSE Chairman Mr. Sam Kimani said “Since its launch, the NSE Charity Trading Day continues to make a great impact in our society. By donating our trading revenues for one day each year, while raising funds from various corporates, we continue to positively transform our community through wildlife and nature conservation while also supporting various humanitarian causes”.

The proceeds of the 2016 Charity Trading Day were donated to Save the Elephants, Tusk Trust, Borana Conservancy, SOS Children’s Home and Joy Children’s Home. The event was very well attended by various Capital Market Players and local personalities who acted as guest traders at the Exchange Trading Floor.

UN Women’s Empowerment Principles Forum

NSE participated in the United Nations Women’s Empowerment Principles (WEPs) forum which took place on October 27, 2016 at Dusit D2, Nairobi.

NSE was represented by Mr. Kuria Waithaka, the Legal and Corporate Affairs Director at the Exchange who spoke on NSE’s approach in operationalizing the WEPs to which the Exchange became a signatory in March 2016 during the UN Sustainable Stock Exchanges Ringing the Bell for Gender Equality initiative.

The 2016 edition of the FiRe Awards Conference took place on October 27, 2016 at the Safari Park Hotel and Casino, Nairobi. This year’s theme was Accountable Governance for Excellence and Reliability in Financial Reporting in East Africa. The conference was attended by over 100 delegates.

The FiRe Awards Gala Dinner took place on October 28, 2016 at the Windsor Golf Hotel and Country Club, Nairobi. Ms. Olajobi Makinwa, Chief, Africa at the United Nations Global Compact was the Guest of Honour. The dinner was attended by over 500 guests.

The Exchange has been a promoter of the FiRe Awards Conference, which aims to enhance transparency in financial reporting, for the past 14 years.

This year’s edition received 303 public sector entries and 96 private sector entries bringing the total entries to 399 in 2016 compared to 376 in 2015. The overall winners for this year’s FiRe Awards were Barclays Bank of Kenya.

KNCCI and NSE MoU Signing Ceremony

The NSE signed an MoU with the Kenya National Chamber of Commerce and Industry (KNCCI) on November 1, 2016. The MoU is aimed at enabling the Exchange and KNCCI to conduct joint programs to educate the Membership of the KNCCI on the Capital Markets and the Exchange’s products, with a view of encouraging them to raise capital through the Capital Markets and participate as investors.

NSE was represented by the Chief Executive Mr. Geoffrey Odundo and the Business Development and Commercial Director Mr. Andrew Wachira.

Think Business Investment Awards 2016The NSE took part in the Think Business Investment Awards 2016 Gala Dinner at Radisson Blu, Nairobi on November 11, 2016. The dinner themed ‘The Future of Investments in the Era of Interest Capping’ brought together different players in the Capital Markets sector, Pension Schemes, Fund Managers and Investment Managers among others.

The 2016 Award Gala also saw the launch of the Think Business Investment Survey 2016 report. The survey report is a comprehensive compilation of investment sector data, analysis and performance ranking as well as interviews with the captains of the industry.

The Awards in their 8th year, feted and conferred merit on the companies which are excelling in the Capital Markets and Investment sectors in Kenya.

NSE was represented by Mr. Kuria Waithaka, Director Legal & Corporate Affairs who spoke at the event saying “Think Business objectives and commitments are aligned to NSE’s commitment of enhancing good corporate governance practices in the Capital Markets”.

CFA Society East Africa Investment ConferenceNSE participated in the CFA Society East Afica’s inaugural investment conference on November 23, 2016 at Crowne Plaza, Nairobi. The theme of the conference was Gorvanance.

The NSE Chief Executive, Mr. Geoffrey Odundo gave an opening address and participated in a panel discussion on Achieving greater participation from the Pension Industry.

The event which aimed at enhancing awareness of the Investment Opportunities in East Africa was very well attended.

CFA Society East Africa Corporate Governance TrainingIn line with its commitment to enhance Corporate Governance structures in the Capital Markets, the NSE partnered with CFA Society East Africa to host a Corporate Governance training on November 24, 2016 at the Exchange. The training was facilitated by Mr.Michael McMillan the Director of Society Ethics Training at the CFA Institute and was attended by various Capital Markets players.

The Exchange launches the Trading Bell TV Show The NSE Media Studio aired its inaugural business TV show dubbed the Trading Bell on December 1, 2016 during the Kenya Broadcasting Corporation (KBC) 9pm prime time news.

The show is an edutainment tool on the Capital Markets industry, produced for the general public and recorded at the Exchange trading floor every Thursday, with the aim of enhancing awareness of the Capital Markets.

The show profiles NSE Listed Companies and market players while analyzing weekly market performance at the bourse.

20th ASEA Conference

The Rwanda Stock Exchange (RSE) hosted the 20th African Securities Exchange Association (ASEA) Annual Conference from November 28-29, 2016 in Kigali, Rwanda. The Conference with the theme, Road to 2030: Making the African Capital Markets Relevant to the Real Economy, brought together 300 delegates across the continent and beyond who tabled solutions aimed at enhancing the impact of African Capital Markets, on the livelihoods of citizens in the continent.

The Conference attracted seasoned speakers with key note speeches being made by the Right Honorable Prime Minister of Rwanda, Anastase Murekezi, Prof. Kingsley Moghalu, and Mr. Oscar N. Onyema, O O N President of ASEA. The NSE team in attendance was led by the Chairman, Mr. Sam Kimani with the Vice Chairman, Mr. Bob Karina and the Chief Executive, Mr. Geoffrey Odundo participating in some of the panel discussions.
