It should be noted that the effort to solve the groundcover problems spanned across different departments; and due to the poor and varied soil conditions at the landfill, the Haywood Soil and Water Conservation Office took soil samples with analysis performed at NCSU labs. Haywood Soil and Water developed site-specific amendment and seeding plans to effectively augment sterile and poor soil conditions that exist at the landfill. 4) County installed acres of matting (erosion control blankets) with soil amendments and hydro-seeding on slopes. 5) County implemented major maintenance efforts on all existing stormwater control measures, structures and devices including working with various County staff to adequately control runoff and ensure all stormwater control measures, structures and devices were in proper working order.

SUBJECT: Sediment in Kubalak Pond near White Oak Landfill

REQUEST: Approval of Release and Settlement Agreement and Budget Amendment for$150,000

BACKGROUND: In October of 2010, County staff and Vice-Chairman Kirkpatrick, who wasChairman at that time, met with Herb Kubalak about his concern of sediment in his pond fromthe White Oak Landfill. County staff verified with onsile inspections during rain events that therewas off-site sediment in the tributary leading into the pond as a result of erosion runoff from theWhite Oak Landfill. In April of 2011, the North Carolina Division of Water Quality officiallynotified the County through a Notice of Violation of a potentiai civil penalty of up to $25,000 perday for off~site sediment damage to surface waters. County staff worked with Mr. Kubalak toresolve the issues of off-site sediment in his pond by undertaking the following measures since2010:

1) Diversion ditches were adequately installed to protect Mr. Kubalak from the timberactivity during the installation of the security fence.

2) Sediment traps were installed in tandem with diversions to control storm water andcollect sediment.

3) County undertook major efforts to establish groundcover through the establishment ofgrass groundcovers on bare areas. It should be noted that the effort to solve thegroundcover problems spanned across different departments; and due to the poor andvaried soil conditions at the landfill, the Haywood Soil and Water Conservation Officetook soil samples with analysis performed at NCSU labs. Haywood Soil and Waterdeveloped site-specific amendment and seeding plans to effectively augment sterile andpoor soil conditions that exist at the landfill.

4) County installed acres of matting (erosion control blankets) with soil amendments andhydro-seeding on slopes.

5) County implemented major maintenance efforts on all existing stormwater controlmeasures, structures and devices including working with various County staff toadequately control runoff and ensure all stormwater control measures, structures anddevices were in proper working order.

6) County stabilized 2500 feet of access and haul road in the critical drainage area, whichincluded the installation of stabilization fabric, gravel, stabilization of ditches, checkdams, culverts to divert runoff from critical areas, as well as stream protection atcrossings.

7) Runoff was directed from the Land Clearing & Inert Debris (LCID) area into anunderutilized basin that proved effective in collecting sediment and ensuring acceptablewater quality standards in that location.

8) The original compost area (including associated sediment traps) was stabilized andmaintained in an effective and long-lasting way.

9) NC Division of Water Quality has been on site several times to review efforts the Countyhas been undertaking, and they have been helpful and have praised the work theCounty has been doing to improve water quality and prevent erosion.

10)The County has been diligent in ongoing monitoring and maintenance efforts weekly. Itshould be noted that the County is compliant with the National Pollutant DischargeElimination System (NPDES) Storm Water Permit for land-disturbing activities at thelandfill. Mr. Kubalak has stated several times in meetings with the County that he hasbeen much happier with the cleaner water runoff going into his pond.

In order to address the off-site sediment from the landfill in the Kubalak Pond, the Countycontracted with Patrick Bradshaw, PE with Civil Design Concepts on July 15, 2011 for designservices for the proposed pond dredging, which included determining the amount of sediment inthe pond. Bid documents prepared by Mr. Bradshaw and the Certified Bid Tabulation ofNovember 2, 2011 revealed that there was only one bid from Rowboat Dock & Dredge for thehydraulic dredging project on the Kubalak property which would pump the sediment from thepond back to the White Oak Landfill borrow area. The certified bid amount was $188,000. Mr.Kubalak was notified of the bid, and that it would be presented to the Board for approval toaward the contract. Mr. Kubalak later contacted the County Manager stating that he wouldaccept a settlement of $150,000 in lieu of the County performing the dredging. The CountyManager notified Commissioners, and this was discussed during closed session for CountyAttorney to draft the release and settlement agreement.

It should be noted that the North Carolina Department of Environment and Natural Resources,Division of Water Quality has officially concurred with and endorsed this direction as a matter ofproper resolution between the parties.

iMPLEMENTATION PLAN: Upon Board approval, agreement will be executed.

FINANCIAL IMPACT STATEMENT: The $150,000 will be disbursed from the Solid Waste FundBalance providing a savings of $38,000 by not using hydraulic dredging bid from Rowboat Dock

& Dredge in the amount of $188,000; therefore not requiring us to utilize Civil Design Conceptsfor construction observation in the amount of $8,200 for a minimum net savings of $46,200.

This RELEASE AND SETTLEMENT AGREEMENT made and entered into this11th day of January, 2012, by and between Herbert E. Kubalak and wife Maureen R.Kubalak (hereinafter refcned to as "Licensor") and Haywood County, North Carolina(hereinafter refell'ed to as "County" 01' lILicensee). and together referred to as theIlParties". '

WITNESSETH:

WHEREAS, Licensor and County entered into a Lic~nse Agreement dated May 6,2011, a copy of which is attached hereto as Attachment A, (the "License Agreement")which aclmowledged that certain sedimentation had OCCU11'e<! into the pond of Licensorlocated upon Licensor's property adjacent to the Countyls White Oak Landfill propelty,and provided a license for County to go upon the propelty of Licensor pursuant to a. planto make certain Improvements to the pond of Licensor which were itemized on Exhibit Battached thereto (the ulmprovements I~; and

WHEREAS, the County has obtained plans and estimates fot'the Improvements tobe perf01med pursuant to a Proposal for Services from Civil Design Concepts, PA datedJuly 6, 2011, a copy ofwhich is attached as Attachment B (the "Proposal"); and

WHEREAS, pursuant to the aforesaid Proposal, Plans were pl'epared whichinclude a Topographic Survey establishing the appl'Oximate depth of sediment to beremoved and an estimated elevation of the original floor of the pond, a copy of suchPlans being attached as Attachment C (the "Plans ll

); and

WHEREAS, it is the intention of the parties that this Release and SettlementAgl'eement shalll'elease the County for all sedimentation which has occurred prior to thisdate, and lnat the County sllall [Willer not be responsible for sediment build up fromnormal stream erosion in the future which is not due to actions ofthe County;

WHEREAS, the County has advised the Division of Water Quality, NorthCarolina Depal1ment of Environment and Nattu'al Resources ("DWQ") of thisAgreement; and

WHEREAS, DWQ will not pnrsne cleanup of the Kubalak pond; and

WHEREAS, the County will verify that basin 800-4 is cun'eutIy stable and nolonger losing additional sediment; and

WHEREAS, the County will verify that the stream below 8DO-4 is free ofsediment to insure minimal futme impacts to the Kubalak pond; and

WHEREAS, the work to be performed pursuant to such Plans has notcommenced; and

WHEREAS, the patties have agreed to a Release and Settlement whereby theCounty will pay to the Licensor the sum of One Hundred and Fifty Thousand Dollars($150,000.00) in exchange for a Complete Release of liability and of alll'esponsibility toperform the hnprovements, 01' any other work in remediation of the sedimentation which·has occurred from the COlmty's landfill.

NOW, THEREFORE, all the parties hereto for valuable consideration and inconsideration of the performance of the terms and provisions of this Release andSettlement Agreement, do hereby cancel, terminate and release each of said parties fromany and all terms as set forth in that License Agreement attached hereto as Attaclunent A;and both individually and collectively; each of said,parties do hereby release and foreverdischarge all other parties from any and all other and further liability or obligationsarising under said License Agreement or resulting from the aforesaid sedimentationwhich has occurred from the property of the County known as the White Oale Landfill asof the date of the Plans, upon and into the pond on the propelty of Licensor which isdescribed on Schedule A to Attachment A annexed hereto; and neither Licensor nor theirheirs, successors 01' assigns shall have nor malce any further claims, rights 01' obligationseither in the past, present or future arising from any of the terms set forth in that LicenseAgreement or from the actions 01' inactions of the County in causing or allowing to occurthe sedimentation complained ofwhich is the subject of the License Agreement.

1- To the extent practicable, the county agrees to loemove sediment D.'om theimpoundment that has washed in as a result of sediment loss from the county'slandfill operations at the White Oak landfJlL The cOlmty and MI'. Kubalak bothagree that a certain amount ofnatural e1'08100 docs occur, such as falling leaves inthe fall time, but there -is an undetermined amount of sediment :fl:om the county'sprope1ty in the pond. The county agrees to make reasonable effOlis to clean theimpoundment from sediment that has washed into the pond from the county'sproperty at the landfill, and Mr, Kubalak agrees to allow this restoration effort tohappen on his pl'Opelty.

2~ The county will use reasonable means to determine the bed depth of the subjectsediment in order to fairly delineate offsite sediment fwm the landfill.

3_ The county will obtain applicable environmental permits n:om controllingagencies at no cost to the property owner.

4- The county will utilize the services of a consulting engineer and have the engineerdevelop a plan that is acceptable to the public agencies having controllingauthority over the activity. Thy plan will also be pl'Ovided to Mr. Kllbalalc f01' hisacceptance, and the work will not commence until he agl'ees to the effort.

5- The plan will be offered out for bid to the public.6- The plan will ofiel' to rOllte the conttibuting stream around the pond for a time

adequate to drain the pond, to allow the bed to reasonably dry in order to allowwork, and to remove the subject sediment which will restore the bed to anapproximate, reasonable "original depth" prior to the sediment deposition fmmthe landfill operations.

7- To the extent practicable, the county will determine ifthel'e are live fish still in thepond... and if so.. ,the county will make reasonable effOltS to remove the fish,store them offsite until operations ar0 complete, and then restock the pond withthe fish. In the event that there are no fish 01' the fish in the pond do not sUl'vivestorage, the county agrees to re-stock the restored pond with fOlli" dozen (48) bassfry 01' a reasonable number of other available species of fish,

8- 1v1r. Kubalak agrccs to allow the county to construct a temporat'y access and haulroad fl:om his property into the county!s property for the express purpose ofhauling spoil from the Hcleanout" back to a safe area on the landfill, The countywill remove the temporary road on Mr. Kubalak's property at the end of theoperation; and the county will reasonably restore the affected area, The accessand haul road will be indentlfied on the ground priOl' to construction,

9- In the event that Mr. Kubalak desires to retain the access and haull'Oad on his sideoithe property fo1' his uses such as patking equipment, he may do so,

10- Mr. Kubalak acknowledges he will allow construction equipment, excavationequipment and hauling eqUipment upon his property f01' the purpose of cleaningsediment out ofhis pond,

l1~Ml', Kubalak will allow the equipment to be parked on his property; and thecounty wlll insure that the contractor will contain activities to the pondexcavation, parking area, and haul road,

12w Any areas outside the work area that are damaged by contracting equipment willbe repaired by the Gontractor at his expense.

13~Mr, Kubalak will keep measures in place so as to prevent his livestock, farmanimals, and pets f!'Om entering the affected wade area. In the event that any ofMr. Kubalak's animals becomes stuck 01' trapped in the work area, it will be hisresponsibility to remove those animals at his cost.

14-Mr. Kubalak and the county aclmowledge that reasonable field adjustments maybe required to allow fot' unforeseen conditions 01' better options for the subjectwork, OllCe the pond is dl'ained.

15~ As :fat' as the routing structure for the stream, Mr. Kubalak agrees to keep any andall his animals fl'om damaging the routing structure. In the event ofdamage to therouting structure caused by any thing othel' than the restoration effoti paid for bythe county, Mr, Kubalak agrees to pay for all costs associated with repairing thedamage.

16-Mr. Kubalak aclmowledges the drainage facility for his pond is old and is likelydefectiVE< as a result. Ml', Kubalak aclrnowledges the age and dminage facilityconditions are not the fault of the county. Mr, Kubala1c agrees to acceptresponsibility for all existing conditions of the pond's drainage facility (outflowpipe, l'iser~barl'e1, valves, etc.), and he holds the county hal'mless for the existenceand condition of the aging drainage facility, If Mr, Kubalak restores 01' replacesany part of or all ofthe pOHd's drainage facility, it shall be done in a mannet' so asto not impede the timefl'ame of the county's sediment removal activity, and itshall be done solely at his expense.
