Directors’ Policies

Fiduciary Duty

As a GMAR director, you are a fiduciary of GMAR. That means you have a special legal responsibility in connection with the administration, investment, and care of GMAR and its assets. This requires you to make careful, good-faith decisions in the best interest of GMAR. Your decisions must be made independently and free of any undue influence from any person, organization, or brokerage.

Conflict of Interest Policy

A member of any GMAR decision-making body has a conflict of interest whenever that member is a principal, partner, or corporate officer of a business providing, or being considered as a provider of, products or services to GMAR. Members with a conflict of interest must immediately disclose such conflict of interest prior to participating in any discussions or vote of a GMAR decision-making body that pertains to the GMAR. Such members may not participate in any discussions related to the GMAR other than to respond to questions asked of them by other members of the body. A member may not vote on any matter in which the member has a conflict of interest.

1. Call to OrderChairman Kel Svoboda called the GMAR Directors meeting to order at 8:30 AM with a quorum present for the transaction of business.

C. NAR mandated bylaws amendment, changing Continuing REALTOR® Code of Ethics Training from two (2) years to three (3).

3. ReportsA. Chairman’s Report

Mr. Svoboda thanked everyone for their time and attention during the pandemic. He also notified the directors that the son of director Angela Walters died on Sunday, July 5 th in a car accident.

B. Treasurer’s Report1) Mike Ruzicka provided the May 31, 2020 GMAR financials in written form prior to the board

meeting and spent the time during the meeting on the 2020 Budget Adjustment.

2020 Budget Adjustment Membership – Membership revenue had been budgeted at $1,666,942, with expenses of $74,550. We are keeping our new member budget at 500 for the year, although it will not be surprising if we surpass it.

New members plus member renewals coming in after Jan 1st pushed up dues and renewals to $1,436,552 from $1,394,175. Those who paid after Nov. 30th also faced a late fee, which bumped the budget from $21,000 to $32,450.

So, the new total for membership is $1,720,769, a $53,827 increase.

Promotions – Obviously, the coronavirus pandemic devastated the HGS budget. Budgeted income of $892,250 will be $22,770. Expenditures were budgeted to be $629,900 but will be whittled down to $124,375.

$231,500 of expenditures were pushed into 2021.

Public Policy and Professional Standards were not reduced, because members expect services from those disciplines regardless of our budget situation.

Leadership – expenditures in this section were eliminated for staff and director travel for 2020, due to the cancellation of all official NAR events.

Administrative – Rental income was not affected by the pandemic. Other expenditures related to staff and building maintenance were not reduced any further.

Bottom Line = the anticipated net loss for the year is expected to be in the vicinity of $325,654.

M/S/C to approve the 2020 Budget Adjustment.

4. President’s ReportMike Ruzicka reported the following in addition to his written memorandum to the Board of Directors:

Economic Injury Disaster Loan (EIDL) – The GMAR applied for all of the federal funds that we are eligible for. We were approved for a $10,000 EIDL loan in May, and a $150,000 loan in June. The $10,000 has been forgiven, but – as of now – the $150,000 loan has not.

My hope is that the full amount will be forgiven in some future legislative action, but if not my first reaction would be to return the funds. I will talk to our accountant and auditor to make sure that makes financial sense for us.

New Member Orientation – During the pandemic we have been hosting all of our orientations online by emailing documents and video links to new members. We’re anticipating continuing online for the rest of 2020.

Late this year we plan to survey the office managers of larger firms to ask them how effective they feel the online orientation has been and evaluate whether we should make some or all of orientation virtual.

At the strategic planning meeting last year, making orientation an ‘in-person’ event was a major point of discussion with a near-unanimous vote opinion that it stay in-person to assure some of the information stuck with members. So, any significant changes would have to be addressed with the Board of Directors.

SentriLock – New features in SentriLock app this month. Allows trackable temporary access to inspectors, etc. We will be getting the word out about the app.

Most members have credentials, now we have to urge members to use SentriLock. We will be asking for testimonials to promote it.

We have been conducting an audit of the SentriLock system. We had 397 boxes in the office in April, so far, we have had 716 returned, for a total of 1,113 at the GMAR. We also had 135 non-members who had 193 boxes. We’ve whittled that down to 49 non-members with 70 boxes.

Communications – We’re going to re-start the Thursday Ethics edition of our newsletter, but we’re moving it to Mondays, because the newsletter goes out on Thursdays now. We will continue to send out a Sunday “Open House” digest of news items. And we will start podcasts and video interviews this summer.

Events – RPAC Auction – August 26th with social distancing. The directors discussed holding a Golf Outing on September 1st (CARW is holding one on August 17th), but there didn’t seem to be much interest in holding it if attendees could not socialize much.

Shredfest will be held on September 3rd . The shredding company is requiring people to stay in their cars, and let staff take boxes to be shredded to the shredding truck.

The 202 Holiday Party is still up in the air.

Survey Ideas – Monica Baer and Mr. Ruzicka discussed creating some media interest in real estate by conducting a survey covering several topics. The directors discussed the topics and added:• What is the main thing you look for in a REALTOR®?• Do you own investment properties?• Will you be moving out of state in the next 2 years? Up north?

Committee Applications – In an upcoming newsletter we plan to list all of the committees the GMAR has and direct members to the GMAR website to complete an application. The chairperson can review the submissions and make selections to committees and task forces.

We hope this will lead to a more robust pool of members to participate in the organization.

Using NAR’s committee applications and the GMAR’s Director application, the GMAR will implement a similar process for members to get more involved in the organization. The directors suggested adding a requirement for 2 references to the application.

5. DepartmentsA. Government Affairs

Marne Stuck reported: RPAC Candidate Interviews NAR Community Rebuilding Grant RPAC Auction in August Direct Giver fundraising

B. Professional Standards Scott Bush reported the following: Provided a consolidated report of recent Lock Box Policies. The policy is based on standards

of practice 3-9 and 1-16, the SentriLock user agreement, and the Citation Committee and fine policy.

Emphasized the need for all members involved with the Professional Standards process to maintain the confidentiality of its proceedings and decisions.

The Equal Opportunity Committee will host an information gathering meeting with GMAR members via Zoom. The data collected will form the basis of the Committee’s agenda for the remainder of 2020.

6. MLSChris Carrillo, MLS CEO, discussed: Using the term “Master Bedroom” will probably change, but the industry has not settled on a

replacement term. Monsoon tax information is now fully functional and works with mobile phones. MLS 8.0, Clear Cooperation, is working well. A few members are opposed to it. MLS membership is 400+ members ahead of 2019, despite the recession.

to reduce the spread of the coronavirus. M/S/C unanimously.

B. Human Trafficking – Mr. Svoboda inquired about some kind of training for members to help identify and report human trafficking. The GMAR staff will investigate various options for the Association.

JULY 2020 FINANCIAL NOTES

Statement of Financial PositionAs of July 31, 2020, GMAR had $1,103,106 in Cash & Investment Balances, down $435,936 compared to last year.

Accounts receivable were up $34,718 compared to last year. Prepaid expenses were up $262,384 compared to 2019 primarily due to the State Fair Park fees for the 2020 Home and Garden Show being credited to cover the 2021 Show. Fixed Assets increased by $55,482. Total Assets were $3,250,131 which is down $83,352 compared to 2019.

On the Liability side, accounts payable were down $8,016 compared to last year. Accrued vacation expenses were up $741. Overall, Total Liabilities were $564,902 which is up $64,480 compared to 2019.

GMAR has a Net Gain of $625,128 through July 31, 2020, down $471,370 from last year. Overall, Total Net Assets were $2,685,229; $147,833 lower than the same point in 2019. The primary factor in every significant decrease listed above was the cancellation of the Home and Garden Show due to COVID-19.

Statement of ActivitiesMembership: Through July 2020, $1,726,044 was collected in dues. Last year through the end of July we had collected $1,776,208 in dues, so dues are $50,164 behind last year at the same time. GMAR had a 92% renewal based on number of members billed. New member budget for 2020: 500 REALTORS®, 50 DRs and 20 Affiliates. Through July, actual new members: 459 REALTORS®, 27 DRs and 3 Affiliates.

Promotions: Through July 31, Home and Garden Show income is $86,930 and expenses are $132,461 for a net loss of $45,531. In mid-March the Home and Garden Show was cancelled due to the COVID-19 pandemic. Over the coming months, almost all of the show’s income will be eliminated, and while many of the incurred expenses will be refunded or applied to next year’s show, there will still be significant expenses and the show will suffer a sizable net loss. Budgeted net income for the Show was $254,200.

Expenses related to Public Policy and Professional Standards are basically all personnel costs, incurring expenditures primarily in Labor and Overhead. The only significant expense is an event deposit and a couple of sponsorships.

The Leadership section includes expenditures for meetings, committees, officer expenses, strategic planning, NAR Home Buyer and Seller survey and NAR meetings. The main expenses recorded through July were memberships and expenses for the president, sponsorships, travel expenses for the chair, and Milwaukee Bucks tickets.

The Administrative section includes investment and rental income and expenses for professional fees, salaries, fringe benefits, building, insurance, occupancy, property taxes, general office expenses and depreciation.

The bottom line shows Excess Receipts Over Expenditures of $625,128. Last year our net income was $1,096,498 for the same time period. The most significant reason for this change was a decrease in Home and Garden net income, which will drop further in the coming months once the impact of the Home and Garden Show cancellation is fully reflected in the financials.

Nominating CommitteeThe Nominating Committee has selected the following candidates to be placed on the ballot for the Greater Milwaukee Association of REALTORS® Board of Directors election. There will be four (4) Directors elected to serve three-year terms:

Jim Zarek, First Weber Inc. Robyn Booth, The Robyn Booth Group Jose Flores, Jose Flores Homes Summer Hill, Shorewest Realtors Jeremy Rynders, Keller Williams Sonya Mays, Midwest Executive Realty

Additional candidates may be placed on the ballot by a petition signed by at least 5% (237) of GMAR members eligible to vote by September 25, 2020.

The election will be held by electronic voting October 11 – 17, 2020

Human Trafficking Webinar The GMAR is hosting a webinar on human trafficking on Monday, September 21st at 10:000 AM.

The Association received a call earlier this year from a member asking about how to recognize a trafficking house, after going to a listing appointment. We contacted the National Human Trafficking Hotline about that specific issue, and called a local organization, Exploit No More, to ask about hosting a seminar to help REALTRS® identify instances of trafficking.

SentriLockThere are 8,096 boxes in members hands, and 3,192 are currently on listings.

Since we started the lockbox audit in April, when we had 397 boxes at the GMAR, we’ve reclaimed 1,113. However, because agents have been requesting more boxes due to listings picking up lately, we’re back down to 873 at the office.

Separately, we sent our policy on giving out one-day lockbox codes to non-GMAR members to the

Lakes Areas AOR assuming they would be relieved we were informing our members to give out one-day codes in specific circumstances. That does not seem to be how it was received based on the email I received last week. This is just FYI.

I am well, thanks for asking. I hope the same for you and have always appreciated your friendship and expertise. Hi to you also, Michelle. I have also copied our 2020-21 President Chris DeVincentis.

On this issue, our members are not at all on the same page.

As you know, we don’t directly administer or dictate any electronic lock box system, as the area is bordered by associations that use several different platforms. The majority of our members don’t prefer either of the market leaders (SentriLock and Supra – used on various borders of our region.)

Your leadership may say,” It’s easy to get credentialed” for use of your association’s chosen system. Mine hear, “Pay a fee to another association for something I don’t ever or may rarely need, because they demand it.” It may be a nice non-dues revenue generator for one association but is creating bad will with another. Our members don’t feel the policy is in line with cooperation and best interest of most clients. (Recognizing that on a rare occasion there may be a specific reason to protect a specific seller/property at a higher level.)

I did have a conversation with Scott Bush last month and shared his comments in a closed online chat. Those comments were basically the same as your e-mail.  They were not well received. Our members feel the policy goes against the offer of compensation and cooperation created by the MLS agreement and the Code of Ethics (SOP 3-10.) They also feel they cooperate with as many or more brokers/agents coming to our area to show property, with no additional strings attached. It does not feel reciprocal to those agents having the issues. (Some members cite having no problems getting one day codes to show properties. As with any issue it is likely isolated to certain individuals, not the majority.)

Of course, we can continue to remind agents that using tools like Showing Time and good old-fashioned communication and professional courtesy go a long way. No one should be expected to jump through hoops due to poor planning, but the market is hot, and buyers and sellers have high expectations. Now more than ever, it seems our Realtors® need to work together cooperatively and follow the Golden Rule.

On this issue, it looks like our leadership teams are going to agree to disagree for now.

Consumer SurveyWe have a call with NAR scheduled to discuss conducting the survey we discussed at the July meeting, and hopefully get them to pay for it.

You may be curious as to why we haven’t done the survey yet. Well, with all of the social unrest and a contentious election ahead, we probably would not get much media attention from any release we send out based on the data. In order to use the freshest data we can, we’ll wait to conduct a poll until probably October or November (after the election).

Also, during the Executive Committee call last week, we discussed adding questions that would help determine who members’ future clients may be and some on the condition of the City of Milwaukee housing market.

Regarding future buyers/sellers, we’ll ask about respondents’ intentions to buy, when, where…etc. With regard to the City of Milwaukee we want to know what their thoughts are on the quality of life related to their property, and whether renters plan to/want to buy, and when, where…etc.

Strategic Plan We are continuing to push the “ethics” message among members, which was the fundamental objective of the plan.

We are putting together a Professional Standards Forum (Zoom), we’ve added a “Re-Orient” Yourself segment to the newsletter, which will repeat topics covered at orientation, and we’re looking at doing a webinar this fall to address members’ Stewardship of the Code of Ethics (1 hr Zoom, 3-20 min segments).
