1. “ApplicableLaw”meansthelawsandanyotherinstrumentshavingforceoflawinIndiaastheymaybeissuedforceandinforcefromtimetotime.

2. “Proposals”meansproposalssubmittedbybiddersinresponsetotheRFPissuedbyFOOD AND DRUGS LABORATORY, VADODARA/GIL for selection of consulting

firm/company.

3. “CompetentAuthority”means theManagingDirector,Gujarat InformaticsLimited,Gandhinagar

4. “Committee”meansI.T.committeeoftheDepartment5. “Contract Price”means the price payable to the consulting firm/company on the

panelofFOODANDDRUGSLABORATORY,VADODARA/GILundertheContractforthecompleteandproperperformanceofitscontractualobligations.

6. “SP”means Service Provider, any private or public entity,whichwill provide theservicestoFOODANDDRUGSLABORATORY,VADODARA/GILunderthecontract.

7. “Contract” means the Contract signed by the parties along with the entiredocumentationspecifiedintheRFP

8. “Day”meansworkingday9. “Effectivedate”meansthedateonwhichthecontractcomesintoforceandeffect.10. “Government”meansStateGovernmentofGujarat.11. “F&D,VADODARA”meansFOODANDDRUGSLABORATORY,VADODARA.12. “GIL” means Gujarat Informatics Limited, Block No.1, 8th Floor, Udyog Bhavan,

Gandhinagar–382010,Gujarat.13. “Services”meanstheworktobeperformedbytheSPpursuanttotheselectionby

F&D,VADODARA/GILandtothecontracttobesignedbythepartiesinpursuanceofanyspecificassignmentawardedtothembyF&D,VADODARA/GIL.

3. Thebiddershouldhaveatleast3yearscurrentexperienceinsimilarITprojects/solutions.

2 AmendmentofBiddingDocuments2.1 Atanytimepriortothedeadlineforsubmissionofbids,GILmay,forany

reason,whether on its own initiative or in response to the clarificationmaychangetheirbidonlinethroughhttps://gil.nprocure.com.

2.2 In order to allow prospective bidders reasonable time to consider theamendmentswhilepreparingtheirbids,GILatitsdiscretion,mayextendthedeadlineforthesubmissionofbids.

B. PREPARATIONOFBIDS

3 LanguageofBid3.1 The bid prepared by the Bidder, as well as all correspondence and

documentsrelatingtothebidexchangedbytheBidderandGILshallbeinEnglishlanguage.Supportingdocumentsandprintedliteraturefurnishedbythebiddermaybeinanotherlanguageprovidedtheyareaccompaniedby an appropriate translation of the relevant document in the Englishlanguageandinsuchacase,forpurposeofinterpretationoftheBid,thetranslationshallgovern.

4 DocumentsComprisingtheBid4.1 The Technical Bid and Financial Bidmust be submitted online through

the e‐Tendering website of https://gil.nprocure.com using digitalsignatures.

4.2 Thebiddocumentsandaddendums(ifany)togethershallbeconsideredasfinalandself‐containedbiddocumentsnotwithstandinganypreviouscorrespondenceordocumentissuedbyGIL

5 BidForm

5.1 TheBiddershallcompletetheTechnicalBidandaFinancialBidfurnishedwith this document giving details as per the format mentioned in thetenderdocument.

6 BidPrices

6.1 TheBiddershallindicatethepricesintheformatmentionedinFinancialBid.

6.2 Followingpointsneedtobeconsideredwhileindicatingprices:6.2.1 The prices quoted should also include, inland transportation,

insuranceandotherlocalcostsincidentaltodeliveryofthegoodsandservicestotheirfinaldestinationwithinthestateofGujarat

6.2.2 The rates of any Indian duties, applicable GST which will bepayable by the Client on the goods(if any) if this contract isawarded,shouldbequotedseparately;

6.2.3 InvoicingshallbefromGujaratonly.6.3 TheBidder’sseparationofthepricecomponentsinaccordancewiththe

ITB Clause 11.2 above will be solely for the purpose of facilitating thecomparisonofbidsbyGILandwillnotinanywaylimittheClient’srighttocontractonanyofthetermsoffered.

6.4 Sharing of responsibility (between FOOD AND DRUGS LABORATORY,VADODARAandthebidder)ofprocurementofvarioustypesofsoftwareshallbeasunder:6.4.1 Thepricesquoted shallbeexclusiveof the costofoperatingand

the licensed software required for actual running of applicationsdeveloped(i.e.Operatingsystem,database,andsystemsoftware).

6.4.2 FOOD AND DRUGS LABORATORY, VADODARA shallprovide/procure the necessary licensed software as mentionedabove,atthetimeofimplementation.

6.4.3 FOOD AND DRUGS LABORATORY, VADODARA shall have all therightstoselectanyoftheaboveoptionswithoutjustifyingreasonsthereof.

6.4.4 Incase,thebidderschoosetoquotezero,niloramountorblank,itwillbehisriskandthesameshall innowayrestrictthescopeofthework.

6.4.5 The full IPR for theentiresoftwarewill restwith theFOODANDDRUGSLABORATORY,VADODARA.Thesamewouldbeapplicableto copyrights. The SP shall sign any/all the documents in thisregardandhandoverthesourcecode,Metadatadetailsetc.totheFOOD AND DRUGS LABORATORY, VADODARA before release offinal payment on completion of training and implementation ofsolution.

7 BidCurrency

7.1 PricesshallbequotedinIndianRupeesonly.

8 BidSecurity/EarnestMoneyDeposit8.1 Bid security/Earnest Money Deposit Rs. 1,00,000/‐ (One lac Rupees

only)intheformofDemandDraftORintheformofanunconditionalBankGuarantee (whichshouldbevalid for9months from the lastdateofbidsubmission)ofanyNationalizedBank(operating in Indiahavingbranchat Ahmedabad/ Gandhinagar)in the name of “Gujarat Informatics Ltd.”payable at Gandhinagar (as per prescribed format) and must besubmittedalongwiththecovering letter.Thesealedcovershouldsuperscribe as “Bid Processing fees & Bid Security/EMD for the tender for“SELECTION OF AGENCY FOR DEVELOPMENT AND MAINTENANCEFOR LABORATORY INFORMATION MANAGEMENT SYSTEM FORFOODANDDRUGLABORATORY,VADODARA”.

8.2 ProposalsnotaccompaniedbyEMDshallberejectedasnon‐responsive.

8.3 QuotationsreceivedwithoutTenderFee,EMD,Certificate,otherrequireddocuments and/or the quotes on the letter head would be treated asrejectedandwouldnotbeconsideredforfurtherevaluation.

8.4 Thesuccessfulbidder’sbidsecuritywillbedischargedfromGILonlyafterthesigningofthecontractandsubmissionofperformancesecurity.

8.5 Unsuccessfulbidder’sEMDwillbedischarged/refundedaspromptlyaspossible,butnotlaterthan30daysofthevalidityperiodofthebid.

8.6 TheEARNESTMONEYDEPOSITshallbeforfeited:8.6.1 If a Bidder withdraws its bid during the period of Bid validity

specifiedbytheBidderontheBidForm;8.6.2 Or in case of a successful Bidder, if the Bidder fails to sign the

Contract;ortofurnishtheperformancesecurity.8.7 NoexemptionforsubmittingtheEMDwillbegiventoanyagency.

9 Pre‐BidConference/RFPClarification9.1 AprospectiveBidderrequiringanyclarificationofthebiddingdocuments

may seek clarifications of his queries submitted on the date indicatedunder thisdocument.GSHHDCL/GILwill respond to any request for theclarification of any bidding documents, which receives before datementionedforsubmissionofqueries.

14 LateBids

14.1 Latebidswillnotbeaccepted.

15 ModificationandWithdrawalofBids15.1 The Bidders have to submit the bid on the e‐Tendering website

15.2 No bid may be modified subsequent to the deadline for submission ofbids.

15.3 No bid may be withdrawal in the interval between the deadline forsubmission of bids and the expiration of the period of the bid validityspecifiedbytheBidderontheBidForm.WithdrawalofabidduringthisintervalmayresultintheBidder’sforfeitureofitsbidsecurity.

D. BIDOPENINGANDEVALUATIONOFBIDS

16 OpeningofBidsbyGIL16.1 GILwill open all bids (only Technical Bids at the first instance), in the

presenceofBidderorhisrepresentativewhochoosetoattend,andatthefollowingaddress:

16.2 The Bidder’s names, bid modifications or withdrawal, bid prices,discounts,andthepresenceor theabsenceofrequisitebidsecurityand

suchotherdetails,asGIL,atitsdiscretion,mayconsiderappropriate,willbeannouncedatthetimeofopening.

16.3 Bids that are not opened and read out at bid opening shall not beconsideredforfurtherevaluation,irrespectiveofthecircumstances.

16.4 FinancialBidsofonlythosebidderswhoqualifyonthebasisofevaluationoftechnicalbidwillbeopenedinthepresenceofthequalifiedbiddersoftheir representatives at pre‐specified time and date which will becommunicatedtothequalifiedbidderswellinadvance.

17 ClarificationofBids

17.1 Duringevaluationofbids,GILmay,atitsdiscretion,asktheBidderforaclarificationofitsbid.GILmayalsoaskforrateanalysisofanyorallitemsand if rates are found to be unreasonably low or high, the bid shall betreatedasnon‐responsiveandhenceliabletoberejected.Therequestfora clarification and the response shall be in writing and no change inpricesorsubstanceofthebidshallbesought,offeredorpermitted.

18 PreliminaryExamination

18.1 GIL will examine the bids to determine whether they are complete,whether any computational errors have been made, whether suretieshavebeenfurnished,whetherthedocumentshavebeenproperlysigned,andwhetherthebidsaregenerallyinorder.

18.2 Prior to the detailed evaluation, pursuant to ITB Clause 23, GIL willdetermine the substantial responsiveness of each bid to the biddingdocuments.ForpurposesoftheseClauses,asubstantiallyresponsivebidis one, which confirms to all the terms and conditions of the biddingdocumentswithoutmaterialdeviation.DeviationsfromorobjectionsorreservationstocriticalprovisionssuchasthoseconcerningPerformanceSecurity (GCCClause7),Warranty (GCCClause 9), Applicable law (GCCClause 37) and Taxes and duties (GCC Clause 39) will deemed to bematerialdeviations.GILdeterminationofabid’sresponsivenessistobebased on the contents of the bid itself without recourse to extrinsicevidence.

18.3 IfaBidisnotsubstantiallyresponsive,itwillberejectedbyGILandmaynotsubsequentlybemaderesponsivebytheBidderbycorrectionofthenon‐conformity.

18.4 Conditionalbidsareliabletoberejected.

19 Methodology&CriteriaforTechnical,Commercialandfinalevaluation19.1 FOOD AND DRUGS LABORATORY, VADODARA/GIL will form an

evaluation Committee or it may be done by IT Committee which willevaluate theproposals submittedby thebidders foradetailedscrutiny.During evaluation of proposals, FOOD AND DRUGS LABORATORY,VADODARA/GIL,may,atitsdiscretion,askthebiddersforclarificationoftheirTechnicalProposals.Note: ‐ Every page of Technical Compliance Sheet will be signed byBidder without overwriting. Whenever required the proof for everycommitmenthastobesubmitted,Technicalbrochuresshouldbeattachedwhereeveravailable.

19.2 The bidders are expected to provide all the required supporting

documents&compliancesasmentionedinthisRFP.Anydeviationfromthesamewillleadtothedisqualification.

19.3 During the technical evaluation, FOOD AND DRUGS LABORATORY,VADODARA/GILmayseektheclarification inwriting fromthebidder, ifrequired.Ifbidderfailstosubmittherequiredclarificationsinduetime,thetechnicalevaluationwillbedonebasedontheinformationsubmittedin the technical bid.Theprice bidwill be openedof the bidderswhosetechnicalbidsare fullycompliedandwhohavescored60%in technicalevaluation. At any point of time, if FOOD AND DRUGS LABORATORY,VADODARA/GILfeelsthatthebidderishidinganyinformationwhichwillaffect the project cost in short or long run, FOOD AND DRUGSLABORATORY,VADODARA/GILmayrejecthisbidwithoutassigninganyreasonorexplanation.

19.4 Price shall be loaded appropriately for the missingcomponent/quantity/tax etc. Price quoted in the financial bid will befinal.Bidderisrequiredtofulfillallobligationsasrequiredinthebidasperthepricesquotedinthefinancialbid,fortheproposedscopeofworkandbillofmaterial,applicabletaxesormissingcomponent(s), ifanyforwhichthedescription is there in technical response butprice isnotprovidedinthefinancialsheet.Pricewillbeappropriatelyloadedforthemissing tax components/missingcomponents that in theunderstandingoftheevaluatorsisfoundtobemissingfromtheproposedbillofmaterialexcept in case where there is a written justification provided in thetechnicalbidresponse.Basisof loadingshallbe thehighestcostquotedbythebidders.

E. AWARDOFCONTRACT

21 Post‐qualification21.1 Anaffirmativedeterminationwillbeaprerequisite for theawardof the

contracttotheBidder.AnegativedeterminationwillresultinrejectionofBidder’s bid, in which event the department will proceed to the nextlowest evaluated bid to make a similar determination of the Bidder’scapabilitiestoperformthecontractsatisfactorily.

22 AwardCriteria22.1 Subject to ITBClause27,FOODANDDRUGSLABORATORY,VADODARA

will award the contract to the successful bidder decided as per theevaluationprocedurementionedabove.

22.2 FOOD AND DRUGS LABORATORY, VADODARA reserves the right toaward the contract to the Bidder whose bid may not have beendeterminedasthelowestevaluatedbid,providedfurtherthattheBidderisdeterminedtobequalifiedtoperformthecontractsatisfactorily.

23 Foodanddrugslaboratory,Vadodara/GIL’sRighttoAcceptAnyBidandtorejectanyorAllBids23.1 food anddrugs laboratory,Vadodara/GIL reserve the right to accept or

rejectanybid,andtocancelthebiddingprocessandrejectallbidsatanytimepriortoawardofContract,withouttherebyincurringanyliabilitytothe affected Bidder or bidders or any obligation to inform the affectedBidderorbiddersofthegroundsforGIL’action.

24 NotificationofAwards24.1 Priortotheexpirationoftheperiodofthebidvalidity,concernedFOOD

24.2 ThenotificationofawardwillconstitutetheformationoftheContact.25 SigningofContract

25.1 At the same time as FOOD AND DRUGS LABORATORY, VADODARAnotifies thesuccessfulBidderthat itsbidhasbeenaccepted,FOODANDDRUGS LABORATORY, VADODARA will send the bidder the ContractForm,incorporatingalltheagreementsbetweentwoparties.

25.2 Within15daysofreceiptoftheContractForm,thesuccessfulbiddershallsign and date the contract and return it to FOOD AND DRUGSLABORATORY,VADODARA.

26 PerformanceSecurity/PerformanceBankGuarantee26.1 The successfulBidder has to furnish a security deposit so as guarantee

his/her(Bidder)performanceofthecontract.26.2 TheSuccessfulbidderhastosubmitPerformanceBankGuarantee@10%

of total order value within 15 days from the receipt of notification ofawardfrom“GIL” fromallNationalizedBankincludingthepublicsectorbankorPrivateSectorBanksauthorizedbyRBIorCommercialBankorRegional Rural Banks of Gujarat or Co‐Operative Bank of Gujarat(operatinginIndiahavingbranchatAhmedabad/Gandhinagar)aspertheG.R. no. EMD/10/2015/508/DMO dated 27.04.2016 and dated14.06.2016 issued by FinanceDepartment or further instruction issuedbyFinancedepartmenttimetotime.

26.3 ThePerformanceSecurityshallbeintheformofBankGuaranteevalidfor2yearsfromthedateofactualstartofoperation.

26.4 IftheO&MsupportrequiredtobeextendedforfurthertwoyearsaftertheexpiryofwarrantyoftwoyearsthentheperiodofPBGshouldalsobeextended.

26.5 TheproceedsoftheperformancesecurityshallbepayabletoFOODANDDRUGSLABORATORY,VADODARAascompensationforanylossresultingfromtheServiceProvider’s failuretocomplete itsobligationsundertheContract.

26.6 ThePerformanceSecurityshallbedenominatedinIndianRupees26.7 Within 15 days of the receipt of notification of award from “GIL”, the

successful bidder shall furnish the performance security in accordancewith the Conditions of the Contract, in the performance security Formprovided in the bidding documents in the Performa prescribed in theTender.

26.8 ThePerformanceSecuritywillbedischargedbyGILandreturnedtotheBidderoncompletionofthebidder’sperformanceobligationsunderthecontract.

26.9 Intheeventofanycontractamendment,thebiddershall,within21daysof receipt of such amendment, furnish the amendment to thePerformance Security, rendering the same valid for the duration of theContract,asamendedforfurtherperiod.

26.10 No interest shall be payable on the PBG amount. FOOD AND DRUGSLABORATORY,VADODARAmayinvoketheabovebankguaranteeforanykind of recoveries, in case; the recoveries from the bidder exceed theamountpayabletothebidder.

27 CorruptorFraudulentPractices.

27.1 FOODANDDRUGSLABORATORY,VADODARArequires that thebiddersunder this tender observe the highest standards of ethics during theprocurementandexecutionofsuchcontracts.Inpursuanceofthispolicy,FOODANDDRUGSLABORATORY,VADODARAdefinesforthepurposesofthisprovision,thetermssetforthasfollows:

27.2 “Corrupt practice” means the offering, giving, receiving or soliciting ofanything of value to influence the action of the public official in theprocurementprocessorincontractexecution;and

27.3 “Fraudulent practice” means a misrepresentation of facts in order toinfluence a procurement process or an execution of a contract to thedetrimentofFOODANDDRUGSLABORATORY,VADODARA,andincludescollusive practice among bidders (prior to or after bid submission)designedtoestablishbidpricesatartificialnon‐competitivelevelsandtodepriveFOODANDDRUGSLABORATORY,VADODARAofthebenefitsofthefreeandopencompetition;

27.4 FOODANDDRUGSLABORATORY,VADODARAshallrejectaproposalforaward if it determines that the Bidder recommended for award hasengagedincorruptorfraudulentpracticesandsameshallbeconveyedtoDept of Science & Technology/GIL or black listed by any of theDepartment of Government of Gujarat in competing for the contract inquestion.

27.5 FOOD AND DRUGS LABORATORY, VADODARA shall declare a firmineligible, and black listed either indefinitely or for a stated period oftime,tobeawardedacontract if itatanytimedeterminesthatthefirmhas engaged in corrupt and fraudulentpractices in competing for, or inexecuting, a contract. The same shall be conveyed toDept of Science&Technology/GIL.

28 InterpretationoftheclausesintheTenderDocument/ContractDocument28.1 IncaseofanyambiguityintheinterpretationofanyoftheclausesinBid

Documentor theContractDocument,GIL’s interpretationof theclausesshallbefinalandbindingonallparties.

28.2 However, incaseofdoubtas tothe interpretationof thebid, thebiddermaymakeawrittenrequestpriortothepre‐bidconferencetoFOODANDDRUGSLABORATORY,VADODARA/GIL.

28.3 FOOD AND DRUGS LABORATORY, VADODARA/GIL may issueclarificationstoallthebiddersasanaddendum.Suchanaddendumshallformapartofthebiddocument/Contractdocument.

SECTIONIII:GENERALCONDITIONSOFCONTRACT 1 Definitions

1.1 InthisContract,thefollowingtermsshallbeinterpretedasindicated:a) “TheContract”meanstheagreemententeredintobetweenFOODANDDRUGS

LABORATORY, VADODARA and the service provider, as recorded in theContract Form Signed by the parties, including all the attachments andappendicestheretoandalldocumentsincorporatedbyreferencetherein;

b) “TheContractPrice”meansthepricepayabletotheserviceproviderundertheContractforthefullandproperperformanceofitscontractualobligations;

c) “GCCmeanstheGeneralConditionsofContractcontainedinthissection.d) “FOOD AND DRUGS LABORATORY, VADODARA” means Office of the FOOD

ANDDRUGSLABORATORY,VADODARA,availingtheservicefromtheSP.e) “TheClient’sCountry”isthecountrynamedinGCC.f) “The SPmeans service provider”means the individual or firm supplying the

and/orServicesunderthisContract.g) “Day”meansaworkingday.h) “Criticaldeliverables”meansthedeliverablessuppliesbySPi) “Time required for approval” means the time elapsed between the date of

submissionofacriticaldeliverables(completeinallrespectforallthebusinessfunctions/services)andthedateofapprovalexcludingtheintermediatetimetaken by the Service Provider for providing clarifications/modifications andcommunication.

j) The“BidDocument”and“TenderDocument”arethesame. 2 Application

2.1 TheseGeneralConditions shall apply to the extent thatprovisions inotherpartsoftheContractdonotsupersedethem.

3 CountryofOrigin

3.1 All Services rendered under the Contract shall have their origin in themembercountriesandterritorieseligiblei.e.India

3.2 TheoriginofServicesisdistinctfromthenationalityoftheserviceprovider. 4 Standards

4.1 The software supplied under this Contract shall conform to the standardsandwhennoapplicablestandardismentioned;totheauthoritativestandardappropriate to the country of origin and such standards shall be the latestissuedbytheconcernedinstitution.

5 UseofContractDocumentsandInformation

5.1 The service provider shall not, without FOOD AND DRUGS LABORATORY,VADODARA’spriorwritten consent, disclose theContract, or anyprovisionthereof, or any specification, plan, drawing, pattern, sample or informationfurnishedbyoronbehalfoftheinconnectiontherewith,toanypersonotherthan a person employed by the service provider in performance of theContract. Disclosure to any such employed person shall be made in

confidenceandshallextendonlysofarasmaybenecessaryforpurposesofsuchperformance.

5.2 The service provider shall not, without FOOD AND DRUGS LABORATORY,VADODARA’s prior written consent, make use of any document orinformationenumeratedinGCCClause5.1exceptforpurposesofperformingtheContract.

5.3 Anydocument,otherthantheContractitself,enumeratedinGCCClause5.1shall remain thepropertyofFOODANDDRUGSLABORATORY,VADODARAand shall be returned (in all copies) to FOOD AND DRUGS LABORATORY,VADODARAoncompletionof theserviceprovider’sperformanceundertheContractifsorequiredbyFOODANDDRUGSLABORATORY,VADODARA.

5.4 The service provider shall permit FOOD AND DRUGS LABORATORY,VADODARAtoinspecttheserviceprovider’saccountsandrecordsrelatingtothe performance of the service provider and to have them audited byauditorsappointedbyFoodanddrugslaboratory,Vadodara,ifsorequiredbyFoodanddrugslaboratory,Vadodara.

6 PatentRights,CopyRight

6.1 The Service Provider shall indemnify Food and drugs laboratory,Vadodara/Gujarat Informatics Ltd against all third‐party claims ofinfringement of copyright, patent, trademark or industrial design rightsarisingfromuseoftheGoodsoranypartthereofinIndia.

6.2 When the SP will develop any solution for food and drugs laboratory,Vadodaraaspartofproject, then thecopyright/IPRof that solutionwillbewith the foodanddrugs laboratory,Vadodara/Gujarat InformaticsLtd.Thebiddercannotselloruse(fully/partly)thatsoftwareforhisothercustomerswithoutwrittenconsentfromGovernmentofGujarat.

7 Inspection/Testing7.1 Application Testing : 

7.1.1 Food and drugs laboratory, Vadodara or its representative shallhavetherighttoinspectand/ortotestthesoftwareorworkoftheTSP to confirm their conformity to the Contract specifications atnoextracosttothefoodanddrugslaboratory,Vadodara.

7.1.2 As per Govt. Of Gujarat circular dated 10th March 2006, theapplicationsmustbetestedatEQDC,GIDC,Gandhinagaroratthelocation specifiedbyOCCat theCost of SP. The SPmust includetestingcost intheirfinancialbid.ThedifferenttypesofteststhathastobeperformedthroughEQDCasmentionedbelow:

Note: Software Testing costwould be approx 2.0 lakhswith approximate variation of ±20%. (mayvarybasedonactual applicationdevelopment)Taxes are extraasapplicable.ThisisanapproximatecostbutthefinalpriceofsoftwaretestingwoulddependuponthefinalsizeofapplicationandtheactualsoftwaretestingdonebyEQDCafterdevelopment.

7.2 Application Security Audit:7.2.1 In addition to inspection & testing, food and drugs laboratory,

Vadodara may take help of GIL as a consultant for selectingsecurityauditorfromCERT‐inEmpanelledsecurityauditorofGOI.The payment will be made by food and drugs laboratory,Vadodara. The selected bidder is responsible to solve thevulnerabilitiesfoundbysecurityauditorsduringthesecurityauditwithoutanyadditionalcost.

8 ChangeRequestOrders8.1 Duringthedevelopmentphase,anychangeinscopeofwork,orindesignand

developmentofmodulesorManagementInformationsystem(MIS)shallnotbeconstruedaschangeRequestorderandinsteadwillbecomepartofscopeofworkaccompanyingthisbiddocument.

8.2 foodanddrugslaboratory,Vadodaramay,atanytime,bywrittenordergiventotheSPmakechangeswithinthegeneralscopeoftheContractinanyoneormoreofthefollowing:

8.2.1 Designs,specifications,requirementsofwhichsoftwareorservicetobeprovidedundertheContractaretobespecificallydeveloped/renderedforfoodanddrugslaboratory,Vadodara;

8.3 Trainingofpersonnelofthefoodanddrugslaboratory,Vadodaraintermsofhours/subjectswillbewithoutanyadditionalcost.

8.4 Ifanysuchchangecausesanincreaseordecreaseinthecostof,orthetimerequired for, the SP’s performance of any provisions under the Contract,equitable adjustments shall be made in the Contract value or deliveryschedule, or both, and the Contract shall accordingly be amended. Anyclaimsby the SP for adjustmentunder this clausemust be assertedwithinthirty (30) days from the date of the SP’s receipt of the food and drugslaboratory,Vadodara’schangeorder.

9 DeliveryofDocuments

9.1 Design/Development/Coding/implementation/maintenance of the softwareshallbemadebytheserviceproviderinaccordancewiththetermsspecifiedbyfoodanddrugslaboratory,VadodaraintheNotificationofAward.

9.2 Upondeploymentof the solution / completionof the assignedworkundertheservice,serviceprovidershallnotifyfoodanddrugslaboratory,Vadodaraaccordingly.

10 DeploymentofSoftware

10.1 Serviceprovidermustdeploythesolutionattheplacesspecifiedbyfoodanddrugs laboratory, Vadodara at the time of the contract and ensure smoothrunningofthatsolution.Serviceproviderneedstoprovideallthenecessarythings like CDmedia, etc. at every deployment site for assuringminimumdowntimeofthesystem.

11 Prices

11.1 PricespayabletotheserviceproviderasstatedintheContractshallremainfirmandfixedduringtheperformanceoftheContract.

11.2 Thepricesquotedshouldnotbeconditional/optionalanditshouldbeinlinewith the technology and approach presented during the Approach &Methodology by the Service Provider before the IT committee. The biddershould not submit conditional/optional bids. Conditional/optional bids areliabletoberejectedoutright.

12 ContractAmendments

12.1 No variation in ormodification of the terms of the Contract shall bemadeexceptbywrittenamendmentsignedbytheparties.

13 Assignment

13.1 Theserviceprovider shallnotassign, inwholeor inpart, itsobligations toperformunder theContract, exceptwithFOODANDDRUGSLABORATORY,VADODARA’spriorwrittenconsent.

14 Delaysinthesupplier/serviceprovider’sPerformance14.1 Deliveryof the softwareandperformanceof theServices shallbemadeby

theserviceproviderinaccordancewiththetimeschedulespecifiedbyFOODANDDRUGSLABORATORY,VADODARAinthecontractdocument.

14.2 IfanytimeduringperformanceoftheContract, theserviceprovidershouldencounter conditions impeding timely delivery of the Goods andperformance of Services, the service provider shall promptly notify FOODANDDRUGSLABORATORY,VADODARAinwritingofthefactofthedelay,itslikelydurationand its cause(s). As soonaspracticable after receiptof theserviceprovider’snotice,FOODANDDRUGSLABORATORY,VADODARAshallevaluatethesituationandmay,atitsdiscretion,extendtheserviceprovider’stimeforperformancewithorwithoutapenalty,inwhichcasetheextensionshall be ratified by the parties by amendment of the Contract. Any suchextensionoftimelimit,evenifitisduetounforeseencircumstancesbeyondcontrol of both the SP and FOOD AND DRUGS LABORATORY, VADODARA,shallbeatnoextracosttoFOODANDDRUGSLABORATORY,VADODARA.

14.3 ExceptasprovidedunderGCCClause20,adelaybytheserviceprovider intheperformanceofitsdeliveryobligationsshallrendertheserviceproviderliable to the imposition of a penalty pursuant to GCC Clause 18, unless anextensionoftimeisagreeduponpursuanttoGCCClause21(b)withouttheapplicationofthepenalty.

15 TerminationforDefault

15.1 FOODANDDRUGSLABORATORY,VADODARAmay,withoutprejudicetoanyotherremedyforbreachofcontract,bywrittennoticeofdefaultsenttotheserviceprovider,terminatetheContractinwholeorpart:

15.1.1 if the service provider fails to deliver any or all of the serviceswithin the period(s) specified in the Contract, or within anyextension thereof granted by FOOD AND DRUGS LABORATORY,VADODARA;or

15.1.2 If the service provider fails to perform any other obligation(s)undertheContract.

15.1.3 If the service provider, in the judgment of FOOD AND DRUGSLABORATORY, VADODARAhas engaged in corrupt or fraudulentpracticesincompetingfororinexecutingtheContract.

ForthepurposeofthisClause:

“Corrupt practice” means the offering, giving, receiving or soliciting ofanything of value to influence the action of a public official in theprocurementprocessorincontractexecution.

“Fraudulent practice: a misrepresentation of facts in order to influence aprocurementprocessor theexecutionofa contract to thedetrimentof theBorrower, and includes collusive practice amongBidders (prior to or afterbidsubmission)designedtoestablishbidpricesatartificialnon‐competitivelevels and to deprive the Borrower of the benefits of free and opencompetition;”

If the Service Provider fails to conform to the quality requirement laiddown/thirdpartyinspection/consultantsopinion.

16 ForceMajeure

16.1 Notwithstandinganythingcontained inthetender, theSIshallnotbe liablefor liquidateddamagesor termination fordefault, if and to theextent that,it’s delay inperformanceor other failures toperform its obligationsundertheagreementistheresultofaneventofForceMajeure.

16.2 For purposes of this clause, “Force Majeure” means an event beyond thecontroloftheserviceproviderandnotinvolvingtheserviceprovider’sfaultor negligence and not foreseeable. Such events may include, but are notlimitedto,actsofthePurchaseeitherinitssovereignorcontractualcapacity,wars or revolutions, fires, floods, epidemics, quarantine restrictions andfreightembargoes.

16.3 IfaforceMajeuresituationarises,theserviceprovidershallpromptlynotifyFOODANDDRUGSLABORATORY,VADODARA inwritingwithin10daysofsuchconditionsandthecause thereof. UnlessotherwisedirectedbyFOODANDDRUGSLABORATORY,VADODARAinwriting,theserviceprovidershallcontinue to perform its obligations under the Contract as far as it isreasonably practical, and shall seek all reasonable alternative means forperformancenotpreventedbytheForceMajeure.

17 LimitationofLiability

17.1 In no event shall either party be liable for any indirect, incidental,consequential,specialorpunitivelossordamageincludingbutnotlimitedtoloss of profits or revenue, loss of data, even if the party shall have beenadvisedof thepossibility thereof. Inanycase, theaggregate liabilityof thebidder,whatsoeverandhowsoeverarising,whetherunderthecontract,tortorother legal theory,shallnotexceedthe totalchargesreceivedasper theContract,asofthedatesuchliabilityarose,fromthePurchaser,withrespecttothegoodsorservicessuppliedunderthisAgreement,whichgivesrisetotheliability.

18 TerminationforInsolvency18.1 FOODANDDRUGSLABORATORY,VADODARAmayatanytimeterminatethe

Contract by givingwritten notice to the Supplier / service provider, if theSupplier/serviceproviderbecomesbankruptorotherwiseinsolvent.Inthisevent, terminationwill be without compensation to the Supplier / serviceprovider, provided that such termination will not prejudice or affect anyright of action or remedy which has accrued or will accrue thereafter toFOODANDDRUGSLABORATORY,VADODARA.

19 TerminationforConvenience

19.1 FOODANDDRUGSLABORATORY,VADODARAbywrittennoticesentto theserviceprovider,mayterminatetheContract,inwholeorinpart,atanytimeforitsconvenience.Thenoticeofterminationshallspecifythatterminationis for FOOD AND DRUGS LABORATORY, VADODARA’s convenience, theextent towhich performance of the service provider under the Contract isterminated,andthedateuponwhichsuchterminationbecomeseffective.

19.2 The services / software that is complete and ready for rendering /deploymentwithin30days after the serviceprovider’s receipt of notice oftermination shall be accepted by FOOD AND DRUGS LABORATORY,VADODARA at the Contract terms and prices. For the remaining services,FOODANDDRUGSLABORATORY,VADODARAmayelect:

19.2.1 To have any portion completed and delivered at the Contracttermsandprices;and/or

19.2.2 Tocanceltheremainderandpaytotheserviceprovideranagreedamount for partially completed services / software and forservices/softwarepreviouslyprocuredbytheserviceprovider.

20 Righttousedefectivesoftware/equipment

20.1 If after delivery, acceptance and installation andwithin the guarantee andwarrantyperiod, theoperationoruseofthesoftware/equipmentprovestobeunsatisfactory,thePurchasershallhavetherighttocontinuetooperateoruse such software/equipment until rectification of defects, errors oromissions by debugging / repair or by partial or complete replacement ismade without interfering with FOOD AND DRUGS LABORATORY,VADODARA’soperation.

21 Supplier/serviceproviderIntegrity

21.1 TheserviceproviderisresponsibleforandobligedtoconductallcontractedactivitiesinaccordancewiththeContractusingstate‐of‐the‐artmethodsandeconomic principles and exercising all means available to achieve theperformancespecifiedintheContract.

22 Supplier/serviceprovider’sObligations

22.1 The service provider is obliged to work closely with FOOD AND DRUGSLABORATORY,VADODARA’sstaff,actwithinitsownauthorityandabidebydirectivesissuedbyFOODANDDRUGSLABORATORY,VADODARA.

22.2 TheserviceproviderwillabidebythejobsafetymeasuresprevalentinIndiaandwillfreeFOODANDDRUGSLABORATORY,VADODARAfromalldemandsorresponsibilitiesarisingfromaccidentsorlossoflifethecauseofwhichis

the service provider’s negligence. The service provider will pay allindemnitiesarisingfromsuchincidentsandwillnotholdFOODANDDRUGSLABORATORY,VADODARAresponsibleorobligated.

22.3 The service provider is responsible for managing the activities of itspersonnelorsub‐contractedpersonnelandwillholdhimselfresponsibleforanymisdemeanors.

22.4 TheserviceproviderwilltreatasconfidentialalldataandinformationaboutFOODANDDRUGSLABORATORY,VADODARA,obtained in theexecutionofhisresponsibilities,instrictconfidenceandwillnotrevealsuchinformationtoanyotherpartywithoutthepriorwrittenapprovalofFOODANDDRUGSLABORATORY,VADODARA.

23 PatentRights23.1 In the event of any claim asserted by a third party of infringement of

copyright,patent,trademarkorindustrialdesignrightsarisingfromtheuseof the Goods or any part thereof in FOOD AND DRUGS LABORATORY,VADODARA, the service provider shall act expeditiously to extinguish suchclaim. If the service provider fails to comply and FOOD AND DRUGSLABORATORY,VADODARAisrequiredtopaycompensationtoathirdpartyresulting from such infringement, the serviceprovider shall be responsiblefor the compensation including all expenses, court costs and lawyer fees.FOODANDDRUGSLABORATORY,VADODARAwillgivenoticetotheserviceproviderofsuchclaim,ifitismade,withoutdelay.

IndiaandthatofStateofGujarat. 31 TaxesandDuties

31.1 Service providers shall be entirely responsible for all taxes, duties, licensefees, octroy, road permits, etc., incurred until delivery of the contractedsoftware / service to FOOD AND DRUGS LABORATORY, VADODARA.However, GST in respect of the transaction between FOOD AND DRUGSLABORATORY,VADODARAandtheserviceprovidershallbepayableextra,ifsostipulatedintheNotificationofAward.

32 BindingClause32.1 AlldecisionstakenbyGILregardingtheprocessingofthistenderandaward

ofcontractshallbefinalandbindingonallpartiesconcerned.

35NoticeAnynotice,requestorconsentrequiredorpermittedtobegivenormadepursuantto this contract shall be in writing.
