BilLINGBilling ismade in advance of services rendered and isdue and payable fifteen (15 )daysafterreceipt of invoice. Late paymentsshall at Select Patrol's option bear interest at the rateof tenpercent (10%) per annum,which amountwill beadded to the nextbill.TERMINATION

This service agreement shallautomatically renewforsuccessiveonemonthperiods unlesseither party provides 30daywritten notice to the other oftheir desire to terminate this contract.Select Patrol reserves the right to terminate this agreement atany timeon written notice onthehappening of one of the following events: Client's premises aredestroyed byfire orothercatastrophe; or are sodamaged that it is impractical tocontinble service; Client does not permitSelect Patrol guards to carry out their agreeduponduties; Dulyappointed government agen-cies prohibit Select Patrolfromfulfilling itscontractual responsibilities.LIMITATIONOF LIABILITY

It isunderstood that Select Patrol isnot aninsurer and the rates being paid are for a securityand loss preventionservicedesignedto diminish certain risks of losswhich are not related inanyway to the value of thepersonal orcommercial property protected. All amounts'chargedbySelect Patrol are insufficient to guarantee, implied orotherwise, that no losswill.ocGur.Underno circumstances wiIISelectPatrol automatically be responsible for, or payfor theft ordamageto theclient's property. Select patrol mustbe notifiedwithin twenty-four (24)hours intheeventof theft ordamage to client's property.RESPONSE

Inthe event that guards ofSelectPatrol discoveranyunauthorized or illegal activity, dangerouscondition or other hazard; theywill attemptto secure theservices ofduly authorized police, fireor other government agency. Iftheyare unable todoso, and the guard has the ability todoso,he/shewill attempt toapprehend securityor safetyviolators, control disturbances, putout fires,or provide suchassistance asthe Select Patrol guard can provide.ARRESTS

Client authorizes Select Patrol to arrestany person orpersons engaged incriminalactivitiesdirectedagainstthe interestsofclienteitheronoraroundclient'sproperty,andtoholdsuch .person or persons until their care, custodyand control can betransferred toaduly authorizedlaw enforcement officer. Clientagrees to indemnify and hold SelectPatrol and its employeesharmless against all liability inconnectionwith or asa result of sucharrest ordetention.
