Despite the heavy burden
o proo carried by a
corporation seeking to
deny a books and records request
rom its own director, last month
the Court o Chancery shot down
such a request, fnding it lacked a
proper purpose.

My reasons partly or denying
the request now is, I think its
excessive. I think there is a part o
this request that is so over the top,
beyond the scope o what would be
reasonable, that had it been carved
back into a more reasonable orm, I
might have come out dierently,

brie, the demand or inormation
submitted by Gunther in August
was so broad, it would encompass
virtually all documents, e-mails
and communications o the
company.
Blade invested about $250,000
in 5i in 2007, and Gunther gained
a seat on the board as a result. The
company is a small San Diego-
based startup co-ounded by ormer
Harvard proessor Richard Rose
to develop a device or treating
obstructive sleep apnea, court
documents showed.
This was a unique case and
a unique ruling, said Eva Ciko
Carman o Ropes & Gray in
New York, part o the team
representing 5i.
Carman explained thatdecisions
like thisare rare because the burden
ison the corporation toprove whyit
should noturnish the inormation
soughtby the director.
Directors have the right to
inspect books and records per
Section 220(d) o the Delaware
General Corporation Law. The
section says in part that, Any
director shall have the right to
examine the corporations stock
ledger, a list o its stockholders
and its other books and records or
a purpose reasonably related to the
directors position as a director
The burden o proo shall be upon
the corporation to establish that
the inspection such director seeks
is or an improper purpose.
