Providing financial and consulting
services to both Ukrainian and international
companies, EBS decided to conduct its own
survey in order to determine the current
mood of companies operating in Ukraine.
The survey was carried out in late April
to early May 2014.
A majority of respondents (57%)
reported that sales had fallen and,
correspondingly, so did income, at the
same time that they experienced increased
spending (25%). It is safe to say that 2014
will, for Ukrainian business, be a year
of lower overall margins and operating
margins. Distribution companies are also
certainly suffering today. Having lost their
share of sales in the Crimea, they still
continue to suffer loses in terms of sales
volumes, specifically in Eastern Ukraine
(based on security objectives and the
volatile military situation there). Companies
functioning in the non-financial services
sector have, thus far, not felt any significant
impact on business operations, which
generally indicates that such services (i.e.
consulting, IT, research, etc.) are largely
export-oriented.
Надаючи фінансові та консульта-
ційні послуги українським та міжнарод-
ним компаніям, компанія EBS вирішила
провести своє власне опитування, щоб
дізнатися поточні настрої компаній, які
працюють в Україні.
Опитування проводилося в кінці
квітня – початку травня 2014 року.
Більшість респондентів (57%) від-
значили факт падіння продажів і, відпо-
відно, доходів, а також одночасне збіль-
шення витрат (25%). Можна з упевне-
ністю говорити, що 2014 рік буде для
українського бізнесу роком низької опе-
раційної та загальної маржинальнос-
ті. Дистриб’юторські компанії сьогод-
ні страждають, однозначно. Втратив-
ши частку продажів в Криму, вони як і
раніше продовжують втрачати в обся-
гах продажів, але вже на Сході України
(виходячи з цілей безпеки та військово-
го становища). Компанії нефінансово-
го сектора послуг поки не відчули нія-
кого впливу на бізнес, що говорить про
те, що такого роду послуги (консалтин-
гові, ІТ, дослідницькі і т. д.) орієнтовані
на експорт.
2014 рік розпочався з різноманітних сюрпризів для бізнесу в Україні, почи-наючи від політичної нестабільності і військових дій та закінчуючи плаваю-
чим курсом НБУ, а також скасуванням знижен-ня ставки податку на прибуток і ПДВ.

Наступне потрясіння, яке відчули
багато компаній, це коливання валют-
ного курсу. Поточна ситуація на валют-
ному ринку чинить найбільший вплив на
імпортерів (в основному товарної про-
дукції) – 35% респондентів підтвердили
свою об’єктивну залежність від різкого
стрибка курсу. Проте більше 55% інших
підприємств також схильні до непрямо-
го впливу коливань курсу валют – через
зростання витрат.
Реакцію топ-менеджерів на сфор-
мовану економічну ситуацію ми дізнали-
ся, задавши наступне питання: Як Ваш
бізнес відреагував на поточну ситуацію
в країні? Можна відзначити, що наразі
компанії не пішли на крайні заходи – ак-
тивне скорочення персоналу, і це 10% в
загальному рейтингу відповідей. Біль-
шість компаній оцінили структуру ви-
трат і скоротили зайві витрати (31%),
а також витрати на нові проекти (20%).
Важливим кроком для компаній є конт-
роль ліквідності, тому що в нестабільній
ринковій ситуації насамперед погіршу-
ється платоспроможність компаній, що
тягне за собою великі касові розриви і
нестачу грошових коштів в обігу. Піднят-
тя цін на продукцію або послуги є виму-
шеною мірою, але компанії це роблять
обережно, тому що знову-таки все впи-
рається в платоспроможність покупців.
Більшою чи меншою мірою компанії по-
чинають жити в режимі економії або, як
мінімум, в режимі виваженої оцінки не-
обхідності витрат в 2014 році, що спри-
чиняє перегляд бюджетів та посилення
Another development that has come
as a shock for many companies entails
exchange rate fluctuation. The group that is
most impacted by the current situation on
the currency market is importers (mainly
with respect to commodity goods). In this
relation, 35% of the respondents confirmed
their objective dependence on the sharp
jump in the exchange rate. Nevertheless,
more than 55% of other companies have
also been exposed to the indirect effects of
exchange rate fluctuations due to the fact
that this has resulted in rising costs.
We learned how top managers have
reacted to the current economic situation
by asking them the following question: How
has your business responded to the current
situation in the country? It is worth noting
that companies generally have not resorted
to taking extreme measures, such as actively
reducing staff numbers; this has occurred
only in isolated instances in the initial period
and only accounted for only 10% in the
overall rating of responses. Most companies
evaluated their expenditure patterns and
cut unnecessary costs (31%), as well as
reducing spending on new projects (20%).
Liquidity monitoring is another important
step for companies, since, companies’
solvency primarily deteriorates under
unstable market conditions, and this results
in significant cash shortages and a lack
of funds in circulation. While companies
have found it necessary to raise prices for
products and services, they have been doing
this carefully due to the fact that, once again,
everything really depends on buyer’s paying
capacity. To a greater or lesser extent,
companies are beginning to economize

Усвідомлюючи той факт, що по-
дальший розвиток економіки неможли-
вий без інвестицій, ми озвучили ряд за-
питань на цю тему. Зокрема, очікуван-
ня бізнесменів щодо поліпшення інвес-
тиційного клімату в Україні виявили-
ся досить довгостроковими – не рані-
ше, ніж через 12 місяців (більше 51%).
Твереза оцінка ходу подій говорить про
те, що кожній компанії необхідно вижи-
вати самостійно і чекати нових проектів
можна лише від українських інвесторів.
Але, знову ж таки, високі ризики втра-
ти власності (відібрали сепаратисти, мо-
білізували до армії і т. д.) не влаштову-
ють жодного інвестора. На сьогоднішній
день ми маємо найгіршу ситуацію – ви-
чікування.

and a greater role in terms of financial
controlling.
Being aware of the fact that the
economy’s further development is
impossible without investment, we asked
respondents a number of questions on
this specific topic. In particular, Ukrainian
businessmen had expectations regarding
any improvements in the investment
climate, but they were sufficiently long-
term, anticipating that they would not occur
any earlier than 12 months (more than
51%). A sober assessment of the course
of events suggests that every company
basically needs to survive on its own and
that it can expect new projects only based
on Ukrainian investors. But again, the
high risks of losing property (i.e. by being
confiscated by separatists, mobilized into
the army, etc.) are something that does not
suit a single investor. To date, we have been
observing the worst situation – waiting.

Готовність українських компаній ру-
хатися вперед підтверджується очіку-
ваннями від інвесторів – фінансові вкла-
дення в нові проекти (більше 54%). Ба-
гато ідей і багато можливостей (вироб-
ничі потужності, робоча сила та інші ре-
сурси), яким необхідні фінанси. Зверта-
ємо увагу тих, у кого є ідеї щодо нових
раніше нереалізованих проектів, на те,
що саме зараз у Вас є чудова можли-
вість, щоб підготувати свої бізнес-плани
і фінансові показники. Скористайтесь
періодом затишшя, щоб до того момен-
ту, коли прийдуть інвестори в Україну
(а вони прийдуть!), Ви вже були готові
та не пропустили дуже цінний час для
старту Ваших проектів.
Вічне питання: Хто винен? Нам ціка-
ва думка українських бізнесменів і спів-
робітників міжнародних компаній, що ж
лякає інвесторів. Найбільшу кількість
балів набрав варіант відповіді – коруп-
ція і бюрократія (31%). Мало хто оцінює
ринок України як не цікавий для прода-
жу товарів і послуг (2%), що додає віри у
світле майбутнє. Хоча очікування бізне-
су від українського уряду і законодавчої
влади щодо прозорості управління еко-
номікою залишаються досить високими.
Ukrainian companies’ willingness to
move forward is supported by investors’
expectations, entailing financial investment
in new projects (more than 54%). There
are many ideas and also opportunities
(i.e. production capacity, labor and other
resources) that require financing. For those
companies that have ideas regarding
previously unrealized projects, we draw
attention to the fact that you currently
have a great opportunity to prepare your
respective business plans and financial
performance indicators. We advise that you
use this calm period, so that, by the time
investors come to invest in Ukraine (and they
will come!), you will already be prepared and
thus, you will not miss out on what will be
a very valuable time to start your projects.
But the eternal question remains about
who is to blame. We are interested in the
opinions of our businessmen and employees
of international companies in terms of
what they think scares investors off. The
answer garnering the highest number of
points is corruption and bureaucracy (31%
of respondents). There are few people
who estimate Ukraine’s market as being
uninteresting in terms of the sale of goods
and services (2%), which adds to the
belief in a brighter future. Nevertheless,
the business community continues to have
quite high expectations of the Ukrainian
government and the legislature regarding
transparency in managing the economy.

Не потрібно також забувати про те,
що є й лепта самих українських компа-
ній, які очікують залучення інвестицій
для розвитку свого бізнесу, в тому, що
інвестори досить обережні у своїй ак-
тивності в Україні. Це непрозорість: ви-
користання прихованих схем оптимі-
зації оподаткування, фактично веден-
ня подвійної бухгалтерії, що є абсолют-
но неприйнятним для іноземців. Готов-
ність компаній відмовитися від прихова-
них схем оптимізації оцінюється не дуже
високо – лише 34% готові змінити під-
ходи до ведення бізнесу. Втрати бізнесу
в короткостроковому періоді від повної
сплати податків поки оцінюються наба-
гато вище, ніж довгострокові перспек-
тиви отримати прибуток при реалізації
інвестиційних проектів.
Підводячи підсумки нашого опиту-
вання (в якому взяли участь 52 компа-
ній), важливо відзначити реалістичність
в сприйнятті поточної економічної ситу-
ації в Україні. У досить короткий пері-
од часу компанії прийняли всі необхід-
ні рішення, які дозволяють більш уваж-
но ставитися до управління бізнесом.
It should also be kept in mind that
there are also those Ukrainian companies,
which have themselves expressed that
they expect to attract investment to
develop their business, but that investors
are cautious about engaging in business
activity in Ukraine. This pertains to the
non-transparency of business practices,
such as the use of hidden tax optimization
schemes, and the actual maintenance
of double-entry bookkeeping, which is
absolutely unacceptable for foreigners.
Companies assessed their willingness to
abandon hidden optimization schemes as
being not very high, with only 34% stating
that they are prepared to change their
approach to doing business. The loss of
business in the short term, which would be
due to the full payment of taxes, is estimated
as being much higher than companies’ long-
term prospects to earn a profit given the
implementation of prospective investment
projects.
In summing up the results of our
survey (52 companies have participated in
it), it is important to note the realism in the
perception of the current economic situation
in Ukraine. In a fairly short period of time,
companies have taken the necessary
decisions to allow them to be more attentive
in regards to business management.

керівниками відділів, не дуже-то готові
змінюватися. Вони працюють в компанії
не перший рік, вони керують людьми і
все знають, а тут їм починають вказу-
вати на їх недоліки, говорити, що вони
не зовсім ефективно працюють і резуль-
тативність може бути кращою. Спра-
ва навіть не в тому, що вони звикли так
працювати, а в тому, що вони зовсім
не готові визнати недосконалість існую-
чого порядку, який в якійсь мірі є їх «ді-
тищем». У цій ситуації основною їхньою
метою стає не підвищення результатив-
ності процесів, а прагнення довести, що
The first scenario. It often turns out
that the owners of processes, who are
usually heads of the company’s various
departments, are not really ready for
change. They have been working at the
company for many years, they manage
people and everybody knows them, and
then, all of a sudden, someone starts to
identify their shortcomings, to indicate that
they do not work very effectively, and to
claim that they could improve on efficiency.
The issue is not even that they are so
accustomed to work that way insomuch as
the fact that that they simply are unwilling
to admit that there are imperfections in the
existing order, which is, to some extent,

метод. Це означає, що керівництво компанії на-ймає аналітика бізнес-процесів або звертаєть-ся до консультантів. Їм, звичайно, ставлять за-питання: «А навіщо Вам це? З якою метою?». Відповідь дуже оптимістична: «Ми хочемо зро-бити компанію більш структурованою, проце-си більш прозорими, контрольованими та стан-дартизованими. Ми хочемо їх оптимізувати. Ми готові змінюватися, у нас є ресурси, навіть про-цеси, їх межі та власники в компанії вже визна-чені». Бізнес-аналітики, натхненні такою відпо-віддю, починають аналізувати існуючі проце-си, описуючи їх за принципом «як є», малюють схеми, визначають вузькі місця і починають бу-дувати модель «як має бути». І з цього моменту картина перестає бути оптимістичною.
ТРИМАЄМО КУРС НАЗУСТРІЧ ПРОЦЕСНОМУ ПІДХОДУ
Currently, it is becoming a more popular tendency to take a process approach to management and many companies are striving to keep pace with the times, trying
to implement a popular method. This means that they are hiring analysts of business processes on staff or else are turning to consultants for support. Of course, they ask them questions like: “Why do you need it? For what purpose?”. Their answer is rather optimistic: “We want to make the company more structured and our processes more transparent, controlled and standardized. We want to optimize them. We are ready to change, and we have the resources, and even processes, and their limitations and the owners within the company have already been determined”. Inspired by such a response, business analysts begin by analyzing existing processes, and then describe them according to the “as is” principle, draw out diagrams, determine bottlenecks, and begin to build a model of “to be”. As of this moment, the picture ceases to be optimistic.

Жодні зміни не будуть ефективни-
ми, якщо власник процесу, а також його
виконавці не зацікавлені в цьому. Як
результат, компанія отримує намальо-
вані схеми, описані процеси, розробле-
ні моделі, і через деякий час відповідає
на питання «що це?» – «макулатура».
Варіант другий. Персонал дійсно
готовий до змін, прагне оптимізувати
процеси, зробити їх більш прозорими і
контрольованими. Методом досягнення
цього всього вибирається формалізація
процесів. Починають писатися політики,
під політики пишуться регламенти або
процедури, на їх основі починають ство-
рюватися робочі інструкції. Прописують-
ся всі дії, вимоги до них, відповідальні
за кожну дію. Але всі настільки прагнуть
поліпшити процес, що концепція проце-
су та вимоги до нього змінюються що-
тижня. Політики, процедури і робочі ін-
струкції все пере-
писуються і пере-
писуються, вимог
стає все більше і
більше – ми ж хо-
чемо контрольова-
ні і стандартизова-
ні процеси. Мина-
ють місяці і впрова-
дження процесного підходу починає на-
гадувати фразу з анекдоту: «Поставимо
у літаку джакузі, сауну та басейн, а по-
тім вже подумаємо як з цим злетіти».
Варіант третій. Персонал підготов-
лений, процедури написали і навіть по-
чали виконувати, але не все працює.
Було б логічно запитати чому, але всі
мовчать. Адже, якщо процедури не пра-
цюють сьогодні, то це означає, що і не
будуть працювати в майбутньому! І ми-
моволі згадується фраза з радянського
фільму: «Знову влада змінюється». Че-
рез кілька місяців виконавці процесів
з іронією починають говорити: «У нас
процесна компанія. Головне – процес,

is not to improve processes’ effectiveness,
but rather to increase the desire to prove
that the proposed changes are not effective
and that they will not “work”.
No changes will be effective in the
case that the owner of the process, as well
as its executors and stakeholders are not
interested in this. As a result, the company
receives a graphic diagram, descriptions of
processes, developed models, and, over
time, responds to the question “what is this”
with the answer “waste paper».
The second scenario. The staff are
genuinely ready for change, are striving
to optimize processes, and to make
them more transparent and controllable.
The method chosen to achieve all of this
is often through formalization processes.
This begins by writing policies, under which
regulations or procedures are then outlined,
and, based on these documents, work
begins to develop procedural instructions.
All actions and
requirements of them
are determined, as
are those responsible
for each action. But
everyone is striving
to improve the process
so much that the
concept of the
process and the requirements thereof are
changed every week. Policies, procedures
and procedural instructions are rewritten
again and again, and there become more
and more requirements – after all, we want
controlled and standardized processes.
Months pass and the “implementation”
of the process approach is beginning to
resemble a phrase from a joke: “Put a
jacuzzi, sauna and swimming pool on an
airplane, and then think about how to take
off with all of this”.
The third scenario. The staff is ready,
the procedures have been written, and they
have even started to be executed, but not
everything works. The logical thing to do

Обдумуючи вищеописані варіанти
впровадження процесного підходу і ана-
логічні їм, хочеться повернутися до са-
мого початку – до визначення процес-
ного підходу і розуміння його переваг.
Процесний підхід до управління дійсно
ґрунтується на виділенні в компанії про-
цесів, тобто системи взаємопов’язаних
процесів, об’єднаних єдиними цілями
компанії, тобто кінцевим результатом –
єдиним мірилом успіху компанії.
І першими в списку переваг, які
може дати процесний підхід до управ-
ління, є націленість на результат і клі-
єнтоорієнтованість, а потім вже безпе-
рервне управління, гнучкість, структу-
рованість, контрольованість і прогнозо-
ваність процесів. Тож задаючи питання:
«Навіщо Ви хочете впровадити процес-
ний підхід?», перше, що хочеться почу-
ти: «Ми хочемо підвищити результатив-
ність компанії».
Процеси в компанії перетікають
один в інший, і кожен процес не об-
межується рамками підрозділу, а охо-
плює кілька відділів. Тому, впроваджу-
ючи процесний підхід, необхідно дати
зрозуміти співробітникам, що виконува-
ти свої функції вони повинні орієнтую-
чись на загальний
результат. Зробити
це можна, напри-
клад, шляхом ви-
будовування відпо-
відної системи KPI,
заснованої на цілях
як окремо взятих процесів, так і на кін-
цевому результаті.
Також треба розуміти, що процеси -
це не блок-схеми, графіки або техноло-
гічні карти, не політики, процедури та
робочі інструкції. Все це лише докумен-
ти, що формалізують процес, а не ме-
тод управління процесом. Як відомо,
папір все стерпить. Налагодити процес
на папері набагато легше, ніж вибудува-
ти його на практиці. Перш ніж формалі-

Changes are urgently needed, so we make
changes, and then we make more changes,
and this happens all over again. This brings
to mind a certain phrase from a Soviet film:
“Power is changing hands again”. A few

begin to speak with irony: “We have a
process-oriented company. The main thing
is the process, not the result”.
Reflecting on the above-mentioned
options, the “implementation” of the process
approach similar processes, I would like to
go back to the very beginning – to defining
the process approach and understanding
its benefits. The process approach to
management is really based on delineating,
within the company, certain processes, i.e.
systems of interrelated processes, which
are united by the company’s common
goals, i.e. the end result is the only measure
of success.
The very top benefits from the list that
can be provided using the process approach
to management are result-oriented and
customer-oriented, and then ongoing
management, as well as the flexibility,
structuring, accountability and predictability
of such processes.
Thus, upon asking
the question: “Why
would you want to
introduce a process
approach?”, the first
thing you want to hear
can typically be summed up as: “We want to
increase the company’s effectiveness.”
Processes in the company flow into
one another, and each process is not
confined by the scope of different units,
but rather covers several departments.
Therefore, upon implementing the process
approach, it is necessary to make it clear
to employees that, when perform their
respective functions, they must focus on
the overall result. This can be done, for

зувати процес – оцініть виконання про-
понованих дій і висунутих вимог. Обсяг
і деталізація процесів залежить від об-
сягів Вашої компанії і від однотипності
операцій у процесі.
Крім цього, не завжди варто відра-
зу переглядати процес, якщо заплано-
вані Вами операції або дії не спрацюва-
ли так, як передбачалося. Не варто ро-
бити поспішних висновків. Можливо, ви-
конавці процесу просто ще не навчили-
ся працювати в нових умовах. Безумов-
но, процесний підхід передбачає без-
перервне вдосконалення, але не варто
вдосконалювати те, що навіть не нама-
гались виконувати.
Процесний підхід по праву займає
своє місце. Адже він дає результат і до-
зволяє зробити управління компанією
більш ефективним. Впроваджувати про-
цесний підхід варто. Просто завжди тре-
ба пам’ятати, що головне – це резуль-
тат, і йти до нього треба найбільш раціо-
нальним шляхом. Вам можуть допомог-
ти зробити вибір, порадити, але рішення
«куди йти» приймаєте лише Ви!

easier to establish a process on paper than
it is to put it into practice. Before proceeding
to formalize a process, you should evaluate

be fulfilled. That which is needed, and to
what extent you need them and how much
they should be detailed, depends on the
volume of your company and the uniformity
of the operations entailed in the process.
Apart from that, the process should
not always be immediately revised if your
planned operations or actions did not work
out as expected. You should not draw
hasty conclusions. Perhaps the executors
of the process still have not successfully
learned how to work under new conditions.
Of course, the process approach involves
continuous improvement, but it is not
worthy trying to improve upon that which
practically nobody has tried to perform.
The process approach rightfully holds
its place. After all, it brings results and
makes it possible to make the company’s
management more efficient. It is worth
implementing a process approach. We just
always need to remember that the main
thing is the result, and we should go about
achieving this is the most efficient way.
Someone may help you to make a choice,
and to provide you advice about where to
go, but only you are able to take a decision!

В Україні в найближчі роки консал-
тинг має стати одним з найбільш перспек-
тивних видів бізнесу. Пояснюється це тим,
що підприємці часто не мають знань з ме-
неджменту, управління інноваціями, оцін-
ки конкурентоспроможності товарів та
маркетингу. Багато ділових людей досить
поверхово розбираються навіть у зако-
нодавстві. Тому перед консалтинговими
компаніями стоїть дуже важливе завдан-
ня – оперативно познайомити власників і
менеджмент зі своїми послугами і запро-
понувати найбільш ефективний для того
чи іншого бізнесу інструмент.
В останні кілька десятиліть управлін-
ські інструменти остаточно стали осно-
вою роботи топ-менеджменту як в про-
цесі підвищення прибутковості діяль-
ності, так і в процесі впровадження ін-
новацій, підвищення якості. Постійні змі-
ни в діяльності компаній, обумовлені за-
гальною глобалізацією, визначають не-

необхідного інструменту досить склад-

менту передбачає наявність розуміння
у користувача його недоліків і переваг.
Впровадження інструменту має бути чіт-

In the coming years, consulting should

due to the fact that entrepreneurs often

marketing. Many business people are
rather superficially versed in the law.
Therefore, consulting companies face
a very important task – to quickly acquaint
business owners and management with
their services and to offer the most effective
tools for a particular business.
Over the past few decades,
management tools have finally became
the basis for top managers’ work, both in
the process of improving profitability and in
the process of introducing innovation, and
quality improvement. Constant changes
in companies’ activities, due to general
globalization trends, stipulate the need to
find the latest and most appropriate tools,
capable of helping management to cope
with their tasks. The process of selecting
the appropriate tool for a particular task
is rather complicated, due to the fact
that it should be directed not only at
solving problems, but also contribute to
an overall improvement in the company’s
performance.
Utilizing this or that tool stipulates that
the user understand what its advantages
and disadvantages are. Its implementation
should be clearly justified and implemented
at the most appropriate time and in the best

ся користуватися інструментом, і розумі-
ти в якому випадку потрібно його засто-
совувати і як довго.
Одна з найбільш відомих у світі кон-
салтингових компаній щорічно проводить
аналіз популярності управлінських інстру-
ментів, починаючи з 1993 року. Проведе-
ний аналіз тенденцій зміни популярності
використовуваних інструментів за кордо-
ном за останнє десятиліття може сприяти
найбільш швидкому та ефективному при-
йняттю рішення щодо впроваджуваного
інструменту компаніями в Україні.
Проведене дослідження дозволило
зробити наступні висновки:
рівень загальної задоволеності ме-
неджменту використаним інстру-
ментом позитивний. Хоча при цьо-
му оцінка його ефективності, про-
стоти у використанні та недоліків
досить неоднозначна;
управлінські інструменти приносять
найбільший ефект у випадку, якщо
вони відповідають загальній кон-
цепції бізнесу;
відсутність загального підходу при
використанні інструментів підриває
авторитет керівництва, особливо,
коли на зміну одному інструменту
приходить інший – третій.
У процесі підготовки рейтингу по-
пулярності управлінських концепцій до-
слідники зіткнулися з наступними зміна-
ми, починаючи з 2011 року:
Компанії стають все більш орієнто-
ваними на зростання їх діяльності,
ніж на скорочення витрат (більше
65 % – найбільший показник за ми-
нуле десятиліття);
Інновації продовжують зберігати лі-
дируючі позиції в якості довгостро-
кових пріоритетів в процесі діяль-
ності компаній (більше 80 %).

been conducting an annual review of
the popularity of management tools. The
analysis of trends in terms of the popularity
of the tools used abroad in the past decade
can contribute to quicker and more effective
decision-making in relation to the tools
introduced at companies in Ukraine.
Conducting research has produced
results, allowing us to reach the following
conclusions:
the level of the management’s overall
satisfaction in the tool being used
is positive. At the same time, an
assessment of its effectiveness, ease
of use, and shortcomings is sufficiently
ambiguous;
management tools are the most
effective in the case that they are
consistent with the overall business
concept;
lack of a common approach in
terms of using tools undermines the
management’s credibility, especially
when one tool is replaced by another
and subsequently by another.
In preparing the popularity rating of
managerial concepts, researchers were
faced with the following changes, beginning
in 2011:

Як видно з таблиці, останнім часом
серед управлінських концепцій та ін-
струментів виник наступний новий еле-
мент - аналіз залучення персоналу.
Залучення персоналу визначають як
комплексний показник, що характеризує
стан корпоративної культури компанії та
потенціал її розвитку за рахунок того, на-
скільки небайдуже співробітники ставлять-
ся до роботи і справ організації. Особливу
роль при цьому відіграє кадрова політика,
що визначає систему управління персо-
налом. Грамотно вибудувана робота в цій
області дозволяє підвищити ступінь залу-
чення працівників у справи організації та
ефективність діяльності компанії, а також
збільшити її прибуток. Залучення праців-
ників в управління організацією - це про-
цес, який не лише допомагає підключити-
ся до ідей, ноу-хау і накопиченому досвіду
працівників, а й сприяє мотивації до дій та
прийняття організаційних змін.
Результати дослідження говорять про
те, що в 2013 році найбільш популярними
стають концепції, засновані на підвищенні
ефективності взаємовідносин між компа-
нією та її співробітниками (через залучен-
ня персоналу) або її клієнтами (за рахунок
управління відносинами з клієнтами).
У процесі прийняття рішення про вико-
ристання того чи іншого інструменту, необ-
хідно обов’язково враховувати такі основні
особливості ведення бізнесу в Україні:
висока частка загальної тінізації
бізнесу;
відсутність підтримки з боку держа-
ви, що особливо важливо під час
кризових явищ в економіці;
корумпованість вищого керівництва
держави.
Вважаємо, що лише з урахуванням особливостей ведення бізнесу в Україні, га-лузевої орієнтації, аналізу поставлених пе-ред бізнесом цілей та завдань можна при-йняти правильне рішення відносно вико-ристовуваного управлінського інструменту.
As outlined in the table, most recently,
a new element has appeared, as of recent,
among management concepts and tools –
employee engagement analysis.
The involvement of personnel is defined
as a comprehensive indicator characterizing
the state of corporate culture at a company
and its potential for development, on
account of how indifferent employees are
to their work and the company’s business
affairs. Personnel policy, which determines
the personnel management system, plays
a special role in this regard. In this area,
well-built operations can improve employees’
degree of involvement in the company’s
affairs, as well as the company’s performance,
while increasing its profits. Involving
employees in the company’s management
entails a process that not only helps them to
connect to ideas, know-how and employees’
accumulated experience, but also
encourages them to be motivated to take
action and accept organizational change.
Research results show that, in 2013,
the most popular concepts are those that
are based on improving the efficiency of the
relationship between a company and its
employees (through the involvement of staff)
or its customers (through the management of
customer relations).
In deciding whether to use a particular
tool, it is first necessary to consider the
following key aspects of doing business in
Ukraine:
the high proportion of the shadow
business in the total amount of
business being done;
lack of support from the state, which
is especially important during a crisis
within the economy;
corruption of the state’s highest ranking
leaders.
We believe that, only by taking into account the particularities involved in doing business in Ukraine, as well as the industry orientation herein, can an analysis of business goals and objectives result in making the right decision with regard to the management tool being applied.Ксенія Мараховська

Мабуть, кожен з Вас хоча б раз зу-
стрічався з податковим інспектором.
І у кожного з Вас залишилися свої, мож-
ливо, не зовсім позитивні враження та
спогади.
Повернемося в 2013 рік, хоча поді-
бна картина спостерігалася ще років 8-10
тому. До вас йде податкова інспекція з
перевіркою. Документи в порядку, подат-
ки сплачені сумлінно і відповідно до зако-
нодавства. А чи варто про це турбувати-
ся? Адже всі звикли, що «податок на пе-
ревірку» мав свій тариф. Це називало-
ся такими словами як: «податкове на-
вантаження» або «критерії ефективнос-
ті проведених перевірок». За цими крите-
ріями, якщо дохід за рік становив понад
100 млн. грн., сума донарахувань подат-
ку повинна була скласти не менше 1 млн.
гривень. Якщо ж дохід коливався в ме-
жах від 30 млн. грн. до 100 млн. грн., до-
нарахування вже складали не менше 500
тис. грн., а при доході до 30 млн. грн. – від
250 тис. гривень. І вже був не важливий ні
Податковий Кодекс, ні наявність підтвер-
джувальних документів, ні сума сплаче-
них податків, ні підхід до їх сплати.
Суми донарахувань досягалися лег-
ко – шляхом « своєрідного» тлумачен-
ня норм податкового законодавства або
«надутим» актом. Досить зручна подат-

Let’s go back in time a bit to 2013,
although we could also observe a similar
pattern occurring even 8-10 years ago. The
tax inspectorate is coming for you to conduct a
tax audit. Let’s suppose that your documents
are all in order, and that you have paid
your taxes in good faith and in accordance
with the law. Do you have anything that
you need to be worried about? After all,
everyone is accustomed to the so-called
“audit tax” entails its own specific tariff. It has
been called such things as “tax burden” or
“performance criteria for carrying out audits”.
In sum, according to these criteria, if a legal
entity’s income for the year amounted to over
100 million hryvnia, the sum of the additional
tax would be no less than 1 million hryvnia.
If the income ranged somewhere between
30 million and 100 million, the accrual would
be at least 500 thousand hryvnia, while
the amount accruing for an income less
than 30 million hryvnia would be at least
250 thousand hryvnia. In such instances,
neither the Tax Code nor the availability
of supporting documents were of any
Літери, слова, речення – так написаний Податковий Кодекс. Його пишуть одні люди, затверджують інші, читають і за-стосовують треті, трактують четверті.
Кожен з них по-своєму розуміє текст написано-го. Дії тих, хто трактує Податковий Кодекс, мо-жуть виявитися особливо «болісними» для біз-несу. Ви вже здогадалися, про кого йде мова? Так, це працівники податкової служби.
ПОДАТКОВА ІДИЛІЯ
Letters, words, sentences – that is what Ukraine’s Tax Code is made up of. It was written by one group of people, approved by another group, read and applied in practice by
a third group, and then finally interpreted by a fourth group. Each of these people tend to understand the text written here in their own way, and the actions taken by those who are responsible for the legal interpretation of the Tax Code may be particularly “painful” for businesses. Guess who these people are? That’s right – these are the tax officials.

ся або не подивився зовсім, вийшов з ак-
том в 500 тис. грн. податків. Або засто-
совувався ще такий варіант: своєрідним
способом прочитав норму закону, напи-
сав акт, нарахував податок, застосував
штрафну санкцію. Так наповнювалася
державна скарбниця.
Але ці «правила» в минулому. А чи
в минулому?! На жаль, ми все ще продо-
вжуємо відчувати відголоски податкового
минулого.
Приклади з життя. На підприємстві
проводиться перевірка, підстава якої –
прокурорський запит. Висновки в акті
за результатами пе-
ревірки – зменшен-
ня витрат на послу-
ги від нерезидентів.
Аргументи перевіря-
ючих були озвучені
в усній формі: «А чому замовили послу-
ги у нерезидента, є ж резиденти?!». В акті
перевірки перевіряючі написали: витра-
ти не підтверджені первинними докумен-
тами. Безумовно, підприємство в повно-
му обсязі надавало первинні документи
(акти виконаних робіт і договори), а та-
кож додаткові документи: фотозвіти, ре-
єстри, кошториси, анкети та інші доку-
менти, що підтверджують факт отриман-
ня послуг. Проте всі вони були проігноро-
вані співробітниками податкової служби.
Єдиний вихід – суд.
Згадаймо, як писав екс-глава подат-
кової служби та екс-глава МВС пан Захар-
ченко щодо збитків I кварталу 2011 року:
«Окремі платники податків припустилися
помилкового розуміння пункту 3 підрозділу
4 Кодексу… та за наслідками декларуван-
ня… перенесли збитки попередніх років…,
що призвело до... втрат бюджету…». У ре-
зультаті багато підприємств отримали акти
камеральних перевірок, на підставі яких
позбулися витрат у вигляді збитків-2011.
На жаль, податкова позиція «помилково-
го розуміння» все ще трапляється, і подат-
ківці продовжують по-своєму читати нор-

The amount of additional charges
was achieved easily – this was done either
through the very “peculiar” interpretation of
some provision in tax legislation or through
an “inflated” law. The position of the tax
auditors was rather convenient: they would
arrive, look at something or look at nothing
whatsoever, and would issue an audit report,
demanding the payment of 500 thousand
hryvnia in additional taxes. There was even
another option that they tended to use: they
would interpret a provision of legislation
in a peculiar way,
issued a written audit
report, calculated
the payable tax, and
then applied punitive
penalties. That is the
way that they managed to replenish the state
treasury.
But these “rules” are a thing of the past.
But are they really in the past?! Unfortunately,
we are still feeling the last echoes of this past
taxation practice.
Real-life examples. A company is
being audited on the basis of a request from
the Prosecutor’s Office. The conclusions
outlined in the tax audit report entailed a
reduction in the amount of expenditures that
could be claimed for services provided by
non-residents. The arguments put forward
by the auditors were only presented orally
as follows: “Why did you order services
from a non-resident, when you could have
ordered services from a resident?!”. In
the tax audit report, the auditors wrote
the following: these expenses are not
supported by primary source documents.
The company, without question, provided
the full set of the required primary
documents (The Acceptance Certificate
for Services Rendered and an Agreement),
as well as additional documents, such as
photographic reports, rosters/registrations,
estimates, surveys and other documents

Що ж необхідно зробити, щоб поліп-
шити і зробити більш ефективним діалог
«бізнес-податкова служба»?
Від слів до справи. Бізнес хоче
чути від нового уряду не лише правиль-
ні слова, але й бачити дії. І почати слід
було б з виправлення помилок «попере-
дників», а також з дотримання принципу
стабільності, встановленого Податковим
Кодексом, який передбачає, що зміни
до будь-яких елементів податків та зборів
не можуть вноситися пізніше, ніж за шість
місяців до початку нового бюджетного пе-
ріоду, в якому будуть діяти нові правила
та ставки. Податки і збори, їх ставки, а та-
кож податкові пільги не можуть змінюва-
тися протягом бюджетного року.
Поспіхом прийнятий новим урядом
антикризовий Закон № 1166 (яким ска-
совувалася пільга
з ПДВ і одночас-
но вводилася 7%
ставка ПДВ для ме-
дичного бізнесу)
не лише порушив принцип стабільнос-
ті, але і на певний час змусив медбізнес
призупинити поставки імпорту ліків, а та-
кож продаж ліків в аптеках, які були тех-
нічно не готові видати чек з 7% ПДВ. Для
цього було потрібно перепрограмування
касових апаратів. Податковий орган за-
мість того, щоб підтримати принцип ста-
більності, покритикувати новий уряд і за-
кликати до дотримання законодавчих
норм, зажадав сплату ПДВ за ставкою
20% при ввезенні лікарських препаратів
на митну територію України. В результаті
медбізнес отримав би на вході ПДВ 20%,
а на виході – 7%. Як наслідок, маємо дис-
баланс ПДВ, ймовірність повернення яко-
го наближена до нуля.
Через тиждень після дати прийнят-
тя Закону № 1166 у Верховній Раді були
зареєстровані законопроекти, які частко-
во виправляли нововведені «законодавчі
вади»: медбізнес отримав 7% ставку ПДВ
для операцій ввезення лікарських засо-

these documents were simply ignored by
the tax officers. When a business finds itself
in such a situation, the only way out of this
is, unfortunately to take court proceedings.
We recall what Mr. Zakharchenko, the
former head of the State Tax Service of
Ukraine and ex-Interior Minister, had to say
about the relative losses for the first quarter
of 2011. He wrote the following: “Individual
taxpayers have been mistaken in their
understanding of Paragraph 3 of Subsection
4 of the Code... and according to the results
of such tax declarations... they have carried
over losses incurred in previous years... which
has resulted in… losses for the budget...”.
As a result, many businesses ended up
receiving desk audit reports, on the basis of
which they lost expenditures, which could not
be claimed as losses
for the 2011 tax
year. Unfortunately,
the tax position of
“misunderstanding”,
espoused by tax officials, still happens,
and they continue to interpret Tax Code
regulations in a way that suits them.
Given this situation, what should be
done in order to improve dialogue between
business and the tax authorities and to make
it more effective?
From words to deeds. The business
community is interested in hearing not only
the right words from the new government
but is also interested in seeing them take
action. In this respect, they ought to start
by correcting the errors of their “forerunners”,
as well as observing the principle of
stability, established by the Tax Code, which
stipulates that no changes to any of the
elements of taxes and fees can be made
later than six months prior to the beginning
of the new budget period, in which new rules
and rates shall take effect. Neither the taxes
and fees, nor their respective rates, nor the
tax incentives can be changed during the
course of the fiscal year.

сутність штрафних санкцій за порушення
невідображення коду ставки ПДВ у касо-
вому чеку. Порушений принцип стабіль-
ності відновити забули.
Це лише один маленький приклад
початку. Чому б зараз не відновити спра-
ведливість і не перенести термін введен-
ня в дію законодавства щодо податково-
го контролю за трансферним ціноутво-
ренням, адже Закон був прийнятий з по-
рушенням принципу стабільності?!
Повернути довіру. Ми спостеріга-
ємо, як нове керівництво робить спроби
повернути довіру бізнесу до податкової
служби, щоб вилучити формальні пере-
вірки, «надуті» акти, несправедливо при-
йняті рішення. Якими ж методами можна
було б цього досягти? Давайте розгляне-
мо деякі з них:
Введення відповідальності за не-
правильне тлумачення норм законо-
давства або за неправильні рішен-
ня податкових служб: дисциплінар-
ну, фінансову, кримінальну. Але чи
буде ця норма працювати на практи-
ці? Швидше за все, ні;
Затвердження узагальнюючих по-
даткових консультацій. У даний мо-
мент така практика існує, однак зміст
консультацій не завжди відповідає
законодавству і ревізори досить час-
то їх ігнорують при перевірках. Не-
обхідно продовжувати практику уза-
гальнюючих консультацій, але ви-
користовувати відповідне їх затвер-
дження в Мін’юсті;
Податковий омбудсмен. Участь не-
залежного спостерігача при прове-
денні податкових перевірок. Це мо-
жуть бути кваліфіковані фахівці з
союзу платників податків або інших
громадських організацій;
Податковий компроміс чи Інсти-
тут медіації. Процедура вирішення
податкових спорів з використанням
Інституту медіації – вирішення супер-
While in a hurry to adopt Anti-crisis
Law no.1166 (which abolished the VAT
exemption and simultaneously introduced
a 7% VAT rate for the medical industry),
the new government not only violated the
principle of stability, but also, for a time,
forced the medical industry to suspend
deliveries for imported medicines, as
well as sales in pharmacies, which were
technically unprepared to issue bills for the
sale of medication, inclusive of 7% VAT.
This effectively required the cash registers
to be reprogrammed. Instead of supporting
the principle of stability, the tax authorities
decided to criticize the new government and
to encourage compliance with legislation,
demanding payment of VAT at 20% for
importing medication into the customs
territory of Ukraine. As a result, the medical
industry would have received an incoming
VAT amount equal to 20%, while its output
VAT would be at 7%. There is an evident
imbalance of VAT, the restitution of which is
virtually improbable.
One week after the date that Law
no.1166 was adopted, legislators registered
draft laws in the Verkhovna Rada to partially
correct the newly introduced “legislative
flaws”. According to these bills, the medical
industry would receive a 7% VAT rate for
operations involving the importation of
medication. As well, until June 1, 2014,
there would be no penalties for violating
the practice of reflecting the VAT code
rates on sales receipts. Unfortunately, the
legislators forgot to restore violations of
the principle of stability.
This is just one small example of the
beginning. Would it not make the most sense
to now restore fairness and not postpone the
period for enacting legislation on tax control
over transfer pricing? After all, the law was
passed in violation of the principle of stability.
To regain trust. We are now observing
how the new management is attempting to
regain the business community’s confidence
in the Tax Service in order to avoid formal
verification, “inflated” tax audit reports,

and unfair decisions. What are some of
the methods that could be used in order to
achieve these objectives? Some are outlined
below:
Introducing liability for the
misinterpretation of legislation or for
the tax authorities taking the wrong
decisions. This should include liability
of a disciplinary, financial, an criminal
character. But the question remains –
would this provision work in practice?
Probably not;
Adopting summarizing tax advice.
At the moment, such a practice exists,
but the content of the consultations
is not always consistent with the law
and auditors often ignore them during
inspections. It is necessary to continue
the practice of holding summarizing
consultations, but to use the
corresponding statement in the Ministry
of Justice;
A Tax Ombudsman. The involvement
of an independent observer during tax
audits. This person can be a qualified
expert from the Taxpayers’ Union
or from one of several other public
organizations;
Tax compromise or the Institution of
mediation. The procedure for resolving
tax disputes with the involvement of the
Institution of mediation. This entails the
resolution of a dispute without having
to go to court, and also involves a neutral
expert intermediary (a mediator).
During the mediation proceedings,
the parties seek to achieve a mutually
acceptable solution under the guidance
of a qualified mediator, who helps bring
the parties’ respective positions closer
to one another until they are mutually
acceptable. This practice already exists
in the Netherlands and Germany, as
well as in other countries.
We hope that, very soon, a “locomotive
of improvements” will finally catch up to us.

Метою даної статті є спроба форму-
вання єдиного підходу до оподаткування
та відображення додаткових благ у бух-
галтерському обліку.
Підпунктом 14.1.47 Податкового Ко-
дексу України (далі по тексту – ПКУ) пе-
редбачено, що додаткові блага – це ко-
шти, матеріальні чи нематеріальні цінності,
послуги, інші види доходу, що виплачують-
ся (надаються) платнику податку подат-
ковим агентом, якщо такий дохід не є за-
робітною платою та не пов’язаний з вико-
нанням обов’язків трудового найму або не
є винагородою за цивільно-правовими до-
говорами (угодами), укладеними з таким
платником податку (крім випадків, прямо
передбачених нормами розділу IV ПКУ).
Ê = 100 : (100 – Ñï),де Ê – коефіцієнт, а Ñï – ставка податку,
встановлена для таких доходів на момент їх нарахування.

In this article, we attempt to formulate a
unified approach to the issue of taxation and
reflecting additional benefits in accounting
records.
Subparagraph 14.1.47 of the Tax Code
of Ukraine (hereinafter referred to as the
Tax Code) stipulates that additional benefits
are means – either tangible or intangible
goods, services, or other forms of income –
that are paid (provided) to the taxpayer by
the tax agent, in the case that such income
does not consist of wages and are not
connected with fulfilling employment duties,
and also not remuneration for civil contracts
(agreements) concluded with the taxpayer
(except as expressly stipulated in section IV
of the Tax Code).

of its accrual.
There is a list of the kind of payments,
made at the employers’ expense, which
are not subject to payment of the unified
contribution for the obligatory state social
insurance. The most common payments

На сьогоднішній день додаткові бла-га фізичної особи є однією з найдис-кусійніших тем як у бухгалтерському, так і в податковому обліку. Серед бух-

To date, the issue of additional benefits for individuals constitutes one of the most controversial topics in the sphere of accounting and tax accounting. There
is typically no consensus among accountants regarding the question of how to correctly reflect additional tax benefits and personal income tax in accounting records.

лового приміщення;
позики, видані працівникам для по-
ліпшення житлових умов, на індиві-
дуальне будівництво, заведення до-
машнього господарства;
матеріальна допомога разового ха-
рактеру, що надається окремим
працівникам у зв’язку із сімейними
обставинами, на оплату лікування,
оздоровлення дітей, поховання;
платіж згідно з договорами добро-
вільного медичного та пенсійного
страхування працівників і членів їх
сімей;
вартість придбаних роботодавцем
проїзних квитків, що персонально
не розподіляються між працівника-
ми, а видаються їм у разі потреби
для виконання виробничих завдань;
вартість подарунків до свят і квитків
на видовищні заходи для дітей пра-
цівників.
Слід звернути увагу, що додатко-
ві блага також можуть бути базою утри-
мання та нарахування ЄСВ згідно із За-
коном України «Про збір та облік єдино-
го внеску на загальнообов’язкове дер-
жавне соціальне страхування».
Розглянемо способи відображення
ПДФО із додаткових благ, що не є ба-
зою утримання та нарахування ЄСВ в
бухгалтерському обліку на прикладі Та-
блиці 1.

expenses, and specifically a per diem
(in its entirety), the cost of travel fare,
and the cost of renting premises;
loans granted to employees in order to
improve their housing conditions, for
individual construction projects, and for
maintaining their households;
one off financial assistance, provided
to individual employees in relation
to family circumstances, to pay for
medical treatment, for the rehabilitation
of children, or for a funeral;
payments in accordance with contracts
for voluntary medical and pension
insurance for employees, as well as
their families;
the cost of tickets purchased by the
employer, which were not personally
distributed among the employees but
instead are issued to them given the
need to perform production tasks;
the cost of holiday gifts and tickets to
entertainment events for employees’
children.
It should be noted that additional
benefits could also form the basis for
withholding and accrual of the unified social
contribution in accordance with the Law of
Ukraine “On the collection and accounting
of the unified contribution for the obligatory
state social insurance”.
Let’s consider the ways of displaying
personal income tax with additional benefits,
which are not the basis for withholding or
the accrual of the social unified contribution
in the accounting records, as reflected in
the examples provided in Table 1.

Оскільки додаткове благо є дохо-
дом фізичної особи, то й утримання
ПДФО з суми додаткового блага пови-
нно проводитися за рахунок співробіт-
ника. Тому доцільно для відображен-
ня утримання ПДФО з суми додатково-
го блага в бухгалтерському обліку вико-
ристовувати рахунок 66.
У разі якщо фізична особа, що отри-
мує додаткове благо, не є співробітни-
ком компанії, то компанія не зможе ви-
користати рахунок 66 для обліку ПДФО.
Проте слід пам’ятати, що підприємство
по відношенню до фізичної особи є по-
датковим агентом і зобов’язане утриму-
вати ПДФО при виплатах у грошовій та
натуральній формі.
Таким чином, при відображенні до-
даткових благ в бухгалтерському облі-
ку слід, насамперед, аналізувати кон-
кретну сутність транзакції та наявність
зв’язку між фізичною особою і підпри-
ємством з метою дотримання стандар-
тів бухгалтерського обліку та чинного
податкового законодавства України.

Due to the fact that an additional
benefit is considered personal income,
personal income tax should be withheld
from the amount of additional benefits
at the employee’s expense. Therefore, to
reflect the amount of personal income tax
deducted from the amount of additional
benefits in the accounting records, we
advise using account 66.
In the case that an individual, who
is receiving an additional benefit, is not
a company employee, this company will not
be able to use account 66 to account for
personal income tax. However, it should be
kept in mind that the company, in relation
to an individual, is a tax agent and is obliged
to withhold personal income tax upon
making payments either in cash or in kind.
Thus, while reflecting additional
benefits in accounting records, the
employer should, first of all, analyze the
specific nature of the transaction and
whether there exists a link between the
individual and the company in order that
the company complies with accounting
standards and applicable tax laws
of Ukraine.

Донедавна роботодавці, створив-
ши робочі місця, отримували упродовж
року з Фонду загальнообов’язкового
державного соціального страхуван-
ня України на випадок безробіття дота-
цію для відшкодування витрат на опла-
ту праці осіб, працевлаштованих за на-
правленням служби зайнятості. Новим
Законом України «Про зайнятість насе-
лення» передбачено інший фінансовий
стимул. Існує три види компенсації Єди-
ного соціального внеску:
Компенсація у розмірі 100 % Єди-
ного соціального внеску (згідно Ст. 26
Закону «Про зайнятість населення»).
Право на компенсацію має робото-
давець, який працевлаштовує на строк
не менше ніж на 2 роки за направлен-
ням Центру Зайнятості зареєстрованих
безробітних, які соціально незахищені,
які недостатньо конкурентоспроможні
на ринку праці: діти сироти та діти, по-
збавлені батьківського піклування; осо-
би, звільнені після відбуття покарання
або примусового лікування; молодь, яка
Recently, upon creating new
jobs, employers began to receive an
unemployment subsidy throughout the
year as reimbursement for the labor costs
of persons employed to them upon being
referred to them by the state employment
services; these funds came from the
Obligatory State Social Insurance Fund
of Ukraine. The new Law of Ukraine “On
Employment” provides for a different
financial incentive. There are three types
of compensation for the single social
contribution:
Payment equivalent to 100 % of the
single social contribution (according to
Article 26 of the Law “On Employment”).
Employers who have employed
officially registered unemployed persons,
referred to them by the Employment
Center, who are socially disadvantaged
or otherwise not sufficiently competitive
on the labor market, for a period of at
least 2 years, are entitled to receive such
compensation. The list of such persons are

Nowadays, a significant number of companies have to pay a higher percentage to the state budget (from 36.76 % to 49.70 %) as a single
contribution for the obligatory state social insurance. It is specifically for this reason that “tax evasion” practices are widely pursued in Ukraine, made possible by hiring employees at minimum wage, on a part time basis, or for shift work, so that the company can maximally save its own funds.

штування безробітного. У разі звільнен-
ня працівника, за якого виплачувалася
компенсація, з ініціативи роботодавця
або за згодою сторін (зверніть увагу –

власним бажанням працівника) до за-
кінчення 2 річного строку сума виплаче-
них коштів повертається в повному об-
сязі до бюджету відповідного фонду або
на його робоче місце за направленням

інший зареєстрований безробітний.
Компенсація у розмірі 100 % Єди-
ного соціального внеску (згідно Ст. 27
Закону «Про зайнятість населення»).
Право на компенсацію мають
суб’єкти малого підприємництва (фізич-
ні особи-підприємці та юридичні осо-
би з середньою кількістю працівників
на рік до 50 осіб і річним доходом до
10 млн. євро (ч.2 ст. 55 Господарського
кодексу України)), які працевлаштову-
ють безробітних, направлених Центром

(regardless of the cause of this disability).
Compensation must be paid within 12
months of the date that the unemployed
person has been hired. In the case that
the employer dismissed an employee, for
which compensation was paid, or in the
case that the employee was dismissed
by agreement of the parties (note: here
we are talking about a mutual agreement
between the parties, but not the unilateral
resignation by the employee) prior to the
end of the stipulated two year period, the
amount of funding paid to the employer
shall be reimbursed in full to the budget
of the relevant fund or else be applied
to hiring another registered unemployed
person in his/her place, as directed by the
Employment Center.

них громадян, при звільненні працівни-

лаштування сума виплачених коштів по-
вертається в повному обсязі до відповід-
ного бюджету (залежно від джерела ком-
пенсації) або на його робоче місце за на-
правленням місцевого центру зайнятос-
ті в межах дворічного терміну працевла-
штовується інший безробітний.
Для отримання 100 % компенса-
ції Єдиного внеску треба звернутись до
Центру зайнятості, подати довідку вста-
новленого зразка, отримати рішення
про виплату компенсації, та отримува-
ти компенсацію у розмірі 100 % єдиного
внеску упродовж 12 місяців.
Компенсація у розмірі 50 % Єдино-
го соціального внеску (згідно ч. 3 Ст. 24
Закону «Про зайнятість населення»).
Право на компенсацію має робото-
давець, який створив нове робоче міс-
це, створене у зв’язку із створенням
нового суб’єкта господарювання (крім
створеного шляхом припинення) або
збільшенням штатної чисельності пра-
цівників за умови відсутності скорочен-
ня (зменшення) середньомісячної чи-
сельності за попередні 12 місяців, а та-
кож створене шляхом модернізації або

* Якщо починаючи з січня 2013 року
створювались нові робочі місця, на
які було працевлаштовано праців-
ників з окладами понад 3441,00 грн.
(в грудні – 3654,00 грн.), підприєм-
ство має право з 01.01.2014 р. отри-
мувати компенсацію ЄСВ в розмірі
50 % сплачених сум за таких пра-
цівників.
Виплата компенсації розпочинаєть-
ся з 13 місяця з дня укладення трудо-
вого договору з працевлаштованою на
нове робоче місце особою і триває про-
тягом наступних 12 календарних місяців
після 12 місячного строку з дня укладен-
ня трудового договору з працевлашто-
ваною особою, тобто з 13 до 24 місяця.
Проте кожна наступна виплата ком-
пенсації роботодавцю здійснюватиметь-
ся за умови збереження працівникові
рівня заробітної плати в розмірі не менш
ніж три мінімальні заробітні плати.
Порядок компенсації Єдиного соці-
ального внеску регламентується Поста-
новою КМУ № 153 від 13 березня 2013
р.
Законом також передбачено, що не
мають права на отримання компенса-
ції роботодавці, які:

нові робочі місця, держава не приховує,
що хоче легалізувати виплату тіньових
зарплат. Але цього кроку від держа-
ви недостатньо для створення робочих
місць на підприємствах та розвитку біз-
несу в Україні.

no secret that it is eager to legalize the
payment of shadow wages. However, this
measure alone on the part of the state is
insufficient to create jobs in companies
and to ensure business development
within Ukraine.

Нововведення № 1, яке давно і
успішно застосовується на заході – ви-
готовлення і застосування печаток
юридичних осіб в добровільному по-
рядку. Ті компанії, для яких печатка
стала важливою частиною корпоратив-
ної символіки або є необхідною з інших
причин, можуть продовжувати її вико-
ристання у відповідності зі своїми вну-
трішніми правилами.
Переваги скасування печаток оче-
видні: володіння печаткою більше не до-
рівнює контролю над підприємством, що
знижує ймовірність рейдерського захо-
плення. Крім того,
відсутність печат-
ки значно спрощує
документообіг. Для
створення елек-
тронних документів вимагалося мати
електронну печатку, яка, крім складно-
щів з її отриманням та використанням,
є додатковою статтею витрат для під-
приємства.
The first innovation worth noting,
which has been successfully used in the
west for a long time already, pertains to
the preparation and application of seals
(stamps) by legal entities on a voluntary
basis. Those companies, for which seals
have become an important part of corporate
symbols or have become necessary for
other reasons, can continue to use them
in accordance with the companies’ own
internal regulations should it so choose.
The benefits that are offered due to
the cancellation of such seals are evident:
first of all, ownership of a seal would no
longer be equated to
having control over a
legal entity. Thus, by
taking this measure,
the government is
thereby reducing the possibility of raider
attacks within Ukraine. In addition, the fact
that seals will no longer be required shall
greatly simplify the workflow within any
organization. Until now, a company had to

Very recently, the Ukrainian Parliament adopted Law no. 1206-VII “On amendments to certain legislative acts of Ukraine with respect to simplifying the process of
starting a business”, dated April 15, 2014 and Law no. 1193-VII “On amendments to certain legislative acts of Ukraine with respect to reducing the number of permits”, dated April 9, 2014, both of which are designed to facilitate the creation and maintenance of business within Ukraine. In this article, we shall try to understand both the positive and negative aspects of the proposed changes.

У зв’язку з прийняттям цієї норми
підприємству варто визначитися, чи по-
трібна йому печатка, і якщо відповідь
позитивна - у відповідних внутрішніх по-
літиках і процедурах вказати, для яких
документів вона буде використовувати-
ся. Якщо негативна - потрібно уважно
прочитати свій статут. Швидше за все,
в нього доведеться вносити зміни – ви-
ключити пункт про те, що підприємство
має печатку. Якщо в статуті зазначено,
що підприємство може мати печатку,
зміни вносити необов’язково. Відповід-
ний закон № 1206-VII набирає чиннос-
ті 06.11.2014 року, тому часу для розду-
мів достатньо.
Нагадаємо, незважаючи на те, що
наявність печатки стає необов’язковою
вимогою, кримінальна відповідальність
за її підробку залишається.
Скасування стягнення реєстра-
ційного збору за проведення держав-
ної реєстрації підприємства та фізич-
ної особи-підприємця. Ця, здавало-
ся б, незначна відміна помітно підвищує
позицію України в міжнародних рейтин-
гах за критерієм легкості відкриття біз-
несу, і тим самим збільшує її інвестицій-
ну привабливість. Однак при цьому від-
бувається скорочення доходів до бю-
джету, а отже, фактична користь даної
норми для держави неоднозначна.
Скорочення кількості дозвіль-
них документів. На наш погляд, це
найбільш значна зміна, так як дозвіль-
на система, яка існувала в Україні довгі
роки, була однією з головних перешкод
у розвитку бізнесу та джерелом коруп-
ції. Крім того, зі скасуванням дозвільних
документів скасовуються і значні штра-
фи за їх відсутність.
Одними з перших, хто відчує істот-
не зменшення тимчасових і грошових
витрат на отримання дозволів, будуть
підприємства аграрного сектора, що,
в свою чергу, позитивно вплине на роз-
виток агробізнесу в Україні.
Головне - в гонитві за спрощенням

electronic documents. This fact, in addition
to difficulties with receiving such a seal and
its application, created additional expenses
for an organization.
In connection with the adoption
of this new standard, a company itself
should be the one to decide whether or
not it actually needs a seal and, in the
case that the answer is yes, the company
should, in accordance with its own internal
policies and procedures, specify for which
documents such a seal shall be used. If
the answer is no, then the company should
carefully read its own charter. It is highly
likely that the organization will have to
introduce amendments, namely by deleting
the clause stating that the company has a
seal. In the case that the company’s charter
states that the company may have a seal,
rather than stating that it factually has one,
then the company does not need to make
any changes. The corresponding Law no.
1206-VII shall take effect on November 6,
2014, ensuring that there is sufficient time
for reflection.
Let’s recall an important reality –
namely, despite the fact that it no longer
will be mandatory for an organization to
have its own seal, the fraudulent misuse of
such a seal is nevertheless still subject to
criminal liability.
Another amendment entails cancelling
the exaction of a registration fee for the
state registration of enterprises and
individual entrepreneurs. While this might
appear to be a rather minor cancellation,
in effect, it will greatly improve Ukraine’s
position in international rankings in terms
of the ease of starting a business, thereby
increasing its investment attractiveness.
However, this measure will also result
in reduced revenue for the state budget.
Therefore, the actual benefit of this
provision for the state itself remains
somewhat ambiguous.
Another change is to reduce the
number of authorization documents (i.e.

не упустити дійсно важливі речі, як, на-
приклад, можливість проведення сані-
тарних рубок в природних заповідниках
без погодження з Міністерством еколо-
гії та природних ресурсів України може
спричинити за собою руйнівні наслідки.
Окрім скорочення кількості доку-
ментів, обмежується сфера і збільшуєть-
ся термін дії деяких дозволів, допуска-
ється господарська діяльність на підста-
ві декларації без дозвільного докумен-
та. Цікаво, що всі необхідні узгоджен-
ня та інші документи дозвільний орган
отримує сам в процесі оформлення до-
зволу. На перший погляд це є спрощен-
ням для підприємства-заявника, але як
дана норма буде реалізована на прак-
тиці, поки невідомо.
Підприємствам варто перевіри-
ти необхідність отримання потрібних їм
дозволів, необхідних згідно старої сис-
теми. Крім їх мож-
ливого скасуван-
ня, термін дії дея-
ких раніше отри-
маних дозволів міг
змінитися або (як,
наприклад, термін дії дозволу на ви-
кид забруднюючих речовин в атмосфе-
ру стаціонарними джерелами, видано-
го суб’єкту господарювання, об’єкт яко-
го належить до третьої групи) стати без-
строковим.
У світлі прийнятих законів, юрис-
там потрібно буде звертати пильну ува-
гу на договори, особливо – зовнішньо-
економічні, що укладатимуться із зазна-
ченням переліку необхідних докумен-
тів, і виключити з них скасовані дозвіль-
ні документи, наприклад, сертифікат
якості зерна. Також це стосується типо-
вих форм договорів, які рідко перегля-
даються. При укладенні договору сторо-
ни можуть письмово визначити між со-
бою обов’язковість скріплення його пе-
чаткою.
Загалом зазначені нововведення
дійсно сприяють поліпшенню інвести-

Companies operating in the agricultural
sector will be among the first to benefit from
the significant decrease in the time and
costs associated with obtaining permits.
This, in turn, will ultimately have a positive
effect on the development of agribusiness
within Ukraine.
One of the key risks entailed in these
attempts to simplify elements of doing
business in Ukraine is that some really
important things could be missed, such
as the possibility of
carrying out sanitary
felling (harvesting)
in natural reserves
without the consent
of the Ministry of
Ecology and Natural Resources of Ukraine,
for instance, which would result in rather
devastating consequences.
In addition to reducing the number of
documents required, the scope of some
permits will be limited and the validity
of certain permits will be increased, and
business activities shall be permissible on
the basis of a declaration without having
to have authorization documents such as
permits. The interesting development in
this regard is that a company would obtain
all the necessary approvals and other
documents from the licensing authority
during the course of processing the relevant
permissions. At first glance, it would appear
that this entails a simplification specifically
for the applicant company or entrepreneur;
however, it remains to be seen exactly
how this regulation will be implemented in
practice.

ся, що прийняті на підставі зазначених
законів підзаконні акти дозволять най-
ефективніше втілити в життя зміни, що
відбулися.
It is advised that businesses verify
whether they need to obtain the same
authorizations and permits that were
required under the old system. In addition to
their possible cancellation, it is also possible
that the validity of some of the previously
obtained permits could change or even
that they could become indefinite (such
as, for instance, the effective period for the
authorization to emit airborne contaminants
from stationary sources, which are issued
by a business entity belonging to the third
group).
In light of the adopted laws, lawyers
will need to pay close attention to treaties
– especially with respect to foreign trade,
which shall be concluded, together with a list
of the required documents, and to exclude
all canceled permits from this like (such as
a certificate on grain’s quality, for instance).
This also applies to standard contracts,
which are rarely subject to revision. Upon
concluding a contract, the parties may
determine between themselves, in writing,
whether it needs to be bound with their
respective seals.
By and large, these innovations should
really help to improve the investment
climate within Ukraine. We hope that
the subordinate regulations that will be
introduced under the above-mentioned
laws will, in practice, enable the most
effective implementation of the changes
taking place.

In this article, we shall consider the
optimal variant of the organizational and
legal form of a company, as provided for
under Ukrainian legislation. The simplest
and most popular legal form for a company
is, of course, a limited liability company
(hereinafter referred to as “LLC”). The
number of participants in an LLC can vary
from one to one hundred persons.
It is best if initially, at the stage of
registering the LLC, one takes a scrupulous
approach to formatting the company’s
founding documents – specifically, the
charter and protocol.
The first thing that potential
participants should do before registering
the company is to divide the share capital
into parts in accordance with the amount of
their contributions.
The next step, which participants
should seriously consider, entails the
distribution of powers of the senior and
executive management bodies – i.e. the
General Meeting of Shareholders and the
Director (the Management). As for the

ни, що відповідають розміру їх внесків.
Наступним етапом, над яким учас-
никам варто серйозно замислитись, є
розмежування компетенції вищого та
виконавчого органів управління – за-
гальних зборів учасників та директора
(дирекції).
Говорячи про коло повноважень ви-
конавчого органу ТОВ, слід зауважити,

Having accumulated capital to start writing a business plan and assembled a team, the entrepreneur still needs to choose the optimal organizational form for himself to present his company on the market.

тора (дирекції), власники бізнесу (учас-
ники), з одного боку, ускладнюють при-
йняття рішень, але з іншого боку – захи-
щають себе від неузгоджених з ними дій.

загальні збори учасників.
Необхідно пам’ятати, що призначе-
ного директора можливо звільнити з по-
сади лише на підставі рішення вищого
органу управління товариства з обмеже-
ною відповідальністю, оформленого від-
повідним протоколом.
Відповідно до Закону України «Про
господарські товариства» № 1576-ХІІ
від 19.09.1991 р. (далі – «Закон») за-
гальні збори учасників встановлюють
обмеження на прийняття директором
певних рішень (наприклад, управління
рахунками компанії в банку тощо).
Не менш важливим моментом в
ефективному корпоративному управлін-
ні є прозорий і повний порядок інформу-
вання учасників товариства з обмеже-
ною відповідальністю щодо питань, що
стосуються його діяльності, а саме: фі-
нансове становище, результати угод, а
також процедурні моменти. Особливо це
стосується порядку інформування про
проведення зборів (чергових та позачер-
гових). Зауважимо, що Законом перед-
бачена періодичність скликання загаль-
них зборів учасників товариства з обме-
женою відповідальність, а саме не рідше
двох разів на рік, якщо інше не передба-
чено установчими документами товари-
ства. Також Законом встановлено, що
учасники товариства повідомляються
про проведення загальних зборів перед-
баченим статутом способом із зазначен-
ням часу і місця проведення зборів та по-
рядку денного.

themselves from

It is important to
remember that an appointed director can be
dismissed but under the decision of an LLC`
supreme management body which is set by
appropriate minutes.
According to the Law of Ukraine “On
business entities” no. 1576-ХІІ, dated
September 19, 1991 (hereinafter referred
to as “the Law”), the General Meeting of
Shareholders establishes limits on certain
decisions that the director may take (for
example, regarding the management
of the company’s bank accounts, etc.).
An equally important consideration
with respect to good corporate governance
is the existence of a transparent and
comprehensive procedure for informing
LLC participants about issues related to
its activities, specifically as follows: the
company’s financial position, results of
operations, as well as procedural aspects.
This is especially true about informing
participants about upcoming meetings
(ordinary and extraordinary). It should
be noted that, according to the Law, the
General Meeting of Shareholders should be
held at least twice a year, unless otherwise
provided by LLC` constituent documents.
LLC participants should be informed about
the General meeting according to the
way specified in the company’s Charter,
indicating the time and place of the
meeting and informing of its agenda. Each
participant should receive a personalized
written notice of the LLC’s general meeting
not less than 30 days prior to such
a meeting being convened, regardless of

Повідомлення про проведення за-
гальних зборів учасників повинно бути
отримано кожним із учасників товари-
ства не менше ніж за 30 днів до скликан-
ня таких зборів, незалежно від розміру
його частки в статутному капіталі. У разі
навмисного неповідомлення учасника
про проведення зборів, рішення, прийня-
те на таких зборах, вважається незакон-
ним, і у випадку судового розгляду буде
визнано недійсним.
Ще одним важливим механізмом,
що нівелює зловживання виконавчо-
го органу, є ство-
рення і регламента-
ція діяльності контр-
ольних органів то-
вариства з обмеже-
ною відповідальніс-
тю (ревізійна комі-
сія), з метою здій-
снення постійного
контролю за фінансово господарською
діяльністю виконавчого органу. Поря-
док діяльності та повноваження такого
контрольного органу товариства з обме-
женою відповідальністю встановлюють-
ся самими учасниками на його зборах.
Як бачимо, для реалізації бізнес-
ідеї недостатньо просто створити фірму.
Необхідно, добре подумавши, вибра-
ти оптимальну модель корпоративного
управління та документально закріпити
волю кожного учасника ТОВ в установ-
чих документах, щоб уникнути непоро-
зумінь в подальшому. Не менш важливо
враховувати інтереси кожного учасника
в процесі діяльності товариства з обме-
женою відповідальністю, а саме: належ-
ним чином повідомляти про проведення
зборів (чергових та позачергових), на-
давати можливість виносити хвилюю-
чі, на думку учасника, питання на роз-
гляд загальним зборам учасників тощо.
Адже довіра клієнтів і партнерів напря-
му залежить від позитивного корпора-
тивного клімату всередині компанії.

deemed illegal and, in the cast that a trial is
held, such results shall be declared invalid.
Another important mechanism for
leveling abuse on the part of the executive
body is to create and regulate the activity
of the LLC’s supervisory bodies (via an
audit commission) with the purpose of
exercising control over the executive
body’s financial and economic activities.

As we can see
from the information presented above,
to implement business ideas, simply
“opening a company” is not sufficient. After
much consideration, the LLC’s owners
need to carefully select the optimal model
of corporate governance and formally
document the will of each respective party
in LLC’s constituent documents in order
to avoid misunderstandings in the future.
It is equally important to take the interests
of each participant into account in the course
of the LLC’s business. This pertains to, for
instance, giving proper notification about
upcoming meetings (both ordinary and
extraordinary ones), providing participants
the ability to put forward matters on the
agenda of the general meeting that other
participants may find unsettling. After
all, the trust of customers and partners is
dependent on the existence of a positive
corporate climate within the company.

Нагадаємо, що відповідно до
ст. 509 Цивільного кодексу України
зобов’язанням є правовідношення, в яко-
му одна сторона (боржник) зобов’язана
вчинити на користь іншої сторони (кре-
дитора) певну дію, або утриматись від
її виконання, а кредитор, у свою чергу,
має право вимагати від боржника ви-
конання його обов’язку. Отже, виходя-
чи з визначення зобов’язання, наведе-
ного вище, та відповідно до ст. 510 Ци-
вільного кодексу України, сторонами у
зобов’язанні є боржник та кредитор.
Необхідно зазначити, що чинне за-
конодавство України передбачає мож-
ливість заміни сторін у зобов’язаннях,
але так само встановлює певні обме-
ження для цієї про-
цедури. Так у ст.
512 Цивільного ко-
дексу України за-
значається, що при

of the Civil Code of Ukraine, an obligation
entails a legal relationship in which one
party (the debtor) is obliged to perform
a specific action for the other party (the
lender) or to refrain from performing such
an action, where the lender, in turn, has
the right to require the debtor to perform
here duties. Thus, starting from the above
mentioned definition of an obligation, and
in accordance with Article 510 of the Civil
Code, the parties to an obligation are the
debtor and the creditor.
It should be noted that current
legislation in Ukraine provides the

що кредитор у зобов’язанні не може
бути замінений, якщо це встановлено
положеннями первісного договору або
закону, а ст. 515 Цивільного кодексу
України визначає, що заміна кредито-
ра не допускається у зобов’язаннях, не-
розривно пов’язаних з особою кредито-
ра, зокрема у зобов’язаннях про відшко-
дування шкоди, завданої каліцтвом, ін-
шим ушкодженням здоров’я або смер-
тю.
У разі відсутності обмежень, які уне-
можливлюють заміну кредитора, заміна
його на іншу особу здійснюється в на-
слідок підстав, визначених в ст. 512 Ци-
вільного кодексу України, а саме:
передання ним своїх прав іншій
особі за правочином (відступлення
права вимоги);
правонаступництва;
виконання обов’язку боржника по-
ручителем або заставодавцем
(майновим поручителем);
виконання обов’язку боржника тре-
тьою особою.
Слід зауважити, що цивільне за-
конодавство не містить загальної нор-
ми, яка б забороняла заміну боржника
у зобов’язанні. Таким чином, перевести
за згодою кредитора можна будь-який
борг, у тому числі й за зобов’язаннями,
нерозривно пов’язаними з особою кре-
дитора. Виняток з цього правила ста-
новлять лише випадки, коли переведен-
ня боргу суперечитиме закону. Це пере-
дусім стосується зобов’язань, які перед-
бачають виконання обов’язків, що скла-
дають ліцензовану діяльність.
В залежності від того, хто приймає
участь у переміщенні зобов’язань, уго-
ди щодо їх переміщення можна розділи-
ти на два види:
відступлення права вимоги;
переведення боргу.
aware that the creditor in relation to such
obligations cannot be substituted if this is
set out according to the provisions of the
original agreement or according to existing
legislation. Also, Article 515 of the Civil
Code of Ukraine stipulates that the creditor
cannot be substituted for those obligations
that are inseparably connected with the
individual creditor, particularly with respect
to liabilities for any damages caused by
injury, other health impairments or death.
In the absence of restrictions that
make it impossible to substitute the creditor,
replacing this person with another shall be
carried out on the basis of grounds set out
in Article 512 of the Civil Code of Ukraine.
These are specifically as follows:
his transacting the transfer of his rights
to another person in the transaction
(the assignment of claims);
succession;
fulfillment of the debtor’s obligations by
a guarantor or mortgagor (a property
guarantor);
fulfillment of the debtor’s obligation by
a third party.
It should be noted that civil law does
not contain any general rule prohibiting
the debtor from being substituted in terms
of an obligation. Thus, pending that the
creditor has given his consent, any debt
can be transferred, including liabilities that
are inextricably linked with the creditor’s
identity. The only exceptions to this rule are
in those cases where transferring debt is
prohibited by law. This primarily concerns
obligations that involve the performance of
duties that constitute some licensed activity.
Depending on who takes part in the
transfer of obligations, the specific transfer
arrangements can be divided into two
different types:
the assignment of claims;
the transfer of debt.

Відступлення права вимоги – це
відступлення кредитором іншій особі
права вимагати від боржника виконан-
ня певних зобов’язань. До нового кре-
дитора переходять всі права, що забез-
печують виконання зобов’язання. Крім
того, кредитор, який відступив право
вимоги іншій особі, зобов’язаний пере-
дати новому кредитору всі документи,
які посвідчують право вимоги виконан-
ня зобов’язання.
Зауважимо, що сторони, які укла-
дають угоду про відступлення права ви-
моги повинні пам’ятати, що:
первісний кредитор не відповідає за
невиконання боржником передано-
го зобов’язання, крім випадків, коли
первісний кредитор поручився за
боржника перед новим кредитором;
первісний кредитор несе відпові-
дальність перед новим кредитором
лише за недійсність переданої йому
вимоги;
кредитор або набувач зобов’язані
повідомити боржника про відсту-
плення права вимоги, яке відбу-
лось.
Необхідно зазначити, що заміна
кредитора у зобов’язанні здійснюється
без згоди боржника, якщо інше не вста-
новлено договором або законом. Однак
кредитор зобов’язується повідомити
боржника про такі
зміни. Якщо борж-
ник не був письмо-
во повідомлений
про заміну креди-
тора у зобов’язанні,
то новий кредитор несе ризик настання
негативних наслідків. В такому випадку
виконання боржником своїх зобов’язань
первісному кредитору є їх належним ви-
конанням.
Переведення боргу – це передан-
ня боржником зобов’язання перед кре-
дитором (за умови наявності його згоди)
The assignment of claims entails
that the creditor assigns another person the
right to require the debtor to fulfill certain
obligations. Essentially the new creditor
inherits the legal right to enforce obligations.
In addition, the creditor, backed the right
to require the performance of certain
obligations of the other party, is obligated
to transfer the new creditor all documents
certifying his right to demand the fulfillment
of the creditor’s obligations.
We note that the parties entering into
an agreement on assigning the right to
require the debtor to perform obligations
must recall the following:
the original creditor is not responsible
for the debtor’s failure to perform
the transferred obligations, with the
exception of instances when the
original creditor provides the new
creditor with a surety for the debtor;
the original creditor is only responsible
to the new creditor for the invalidity
of the requirements that he has been
transferred;
the creditor or purchaser must notify
the debtor of any assignment of claims
that has taken place.
It should be noted that the creditor
could be replaced in terms of obligations
without having to first obtain the debtor’s
consent, unless otherwise provided for by
contract or by law.
However, the lender
undertakes to notify
the debtor of any such
changes. In the case
that the debtor has
not received notice to the effect that the
creditor has been substituted with respect
to obligations, the new lender assumes
the risk of negative consequences. In such
a case, the proper thing to do on the part of
the debtor would be to fulfill his obligations
to the original creditor.
The transfer of debt entails that

іншій особі. Суттєвою відмінністю замі-
ни боржника у зобов’язанні є встанов-
лене ст. 520 Цивільного кодексу України
правило про можливість заміни боржни-
ка виключно за згодою кредитора. Але
слід мати на увазі, що дія правила про
необхідність отримання згоди кредито-
ра на переведення боргу поширюється
виключно на випадки, коли переведен-
ня боргу здійснюється на підставі пра-
вочину. У разі, якщо заміна боржни-
ка здійснюється з інших підстав, зокре-
ма при спадкуванні, переведення боргу
відбувається незалежно від волі креди-
тора.
За загальним правилом переведен-
ня боргу можливе лише за умови дотри-
мання наступних правил:
угода щодо переведення боргу
укладається між первісним боржни-
ком і новим боржником;
зазначена угода повинна бути укла-
дена за згоди кредитора.
Переведення боргу на нового борж-
ника, так само як і заміна кредитора, є
внутрішньою зміною у зобов’язанні, а
тому заміна особи боржника не впли-
ває на обсяг його прав та обов’язків як
сторони в зобов’язанні. За таких умов,
а також з метою недопущення погір-
шення правового становища боржни-
ка в зобов’язанні законодавець встано-
вив у ст. 522 Цивільного кодексу Укра-
їни правило про те, що новий боржник
має право висувати проти вимоги кре-
дитора всі заперечення, які мав первіс-
ний боржник.
Звертаємо вашу увагу на те, що до-
говори про заміну сторін в зобов’язанні
укладаються в тій самій формі, що і угода,
на підставі якої виникло зобов’язання.
Звертаючись до Господарського ко-
дексу України, який є пріоритетним для
суб’єктів господарювання всіх організа-
ційних форм та форм власності, визна-
чаємо, що за загальним правилом до-

A significant difference with respect to
substituting the debtor regarding claims is
the regulation set out in Article 520 of the
Civil Code, stipulating that it is only possible
to replace the debtor with the consent of
the creditor. However, it should be borne in
mind that the regulation stipulating the need
to obtain the creditor’s consent to transfer
the debt applies only in cases where the
debt is being transferred on the basis of a
business transaction. In the case that the
debtor is being replaced for other reasons,
particularly in the case of inheritance, such
debt is transferred independent of the will of
the creditor.
As a general rule, the transfer of debt is
only possible subject to the following rules:
the agreement on transferring debt is
concluded between the original debtor
and the new debtor;
the agreement must be concluded on
the basis of the creditor’s consent.
Transferring the debt to the new
debtor, and replacing the creditor are
deemed to be internal changes in the
obligation. It is for this reason that
replacing the debtor’s identity does
not affect the volume of his rights and
obligations as a party to the undertaking.
Under such conditions, as well as to
prevent the degradation of the debtor’s
legal status in terms of the obligation, the
legislator has established a regulation in
Article 522 of the Civil Code of Ukraine,
stipulating that the new debtor may issue
legal proceedings against the creditor’s
claim including all the objections the
original obligor had.
Please note that agreements
stipulating the replacement of parties in
terms of an obligation shall be concluded
in the same form as the transaction by
which such an obligation arose.

ни сторони у зобов’язанні, сторонам, які
укладають такі угоди, рекомендовано
додавати до угод наступний пакет доку-
ментів:
При укладенні договору про відсту-
плення права вимоги:
договір, який підтверджує виник-
нення зобов’язань;
акт звірки з первісним кредитором;
договір про відступлення права вимоги;
повідомлення боржника про відсту-
плення права вимоги;
акт звірки з новим кредитором;
акт звірки на дату виконання
зобов’язання;
первинні документи, які підтверджу-
ють факт виконання зобов’язання.
При укладенні договору про пере-
ведення боргу:
договір, який підтверджує виник-
нення зобов’язань;
акт звірки з первісним боржником;
повідомлення кредитора про згоду
на переведення боргу;
договір про переведення боргу з но-
вим боржником;
акт звірки з новим боржником;
акт звірки на дату виконання
зобов’язання;
первинні документи, які підтверджу-
ють факт виконання зобов’язання.

and sealed with their respective seals.
To properly process a substitution of the
parties entering into this agreement in terms
of an obligation, we recommend adding the
following set of documents in making such
transactions:
When concluding an agreement on
assigning claims:
an agreement that confirms the
occurrence of obligations;
a reconciliation report with the original
creditor;
the agreement on the assignment of claims;
notification to the debtor about the
assignment of the claim;
a reconciliation report with the new
creditor;
a reconciliation report, issued on the
date that the obligation is performed;
primary documents confirming the fact
that the obligation has been fulfilled.
When concluding an agreement on the
transfer of debt:
an agreement that confirms the
occurrence of liabilities;
a reconciliation act with the original
debtor;
a message to the creditor about his
consent to the debt’s transfer;
the agreement on the assignment of
claims to the new debtor;
a reconciliation report with the new
debtor;
a reconciliation report, issued on the
date that the obligation is performed;
primary documents confirming that the
obligation has been fulfilled.

Бюджет і ще раз бюджет! Як ка-
жуть, немає лиха без добра. За-
раз найкращий час для жорсткого
планування і бюджетування. Навіть
скептики, які стверджували про не-
можливість середньо- і довгостро-
кового планування в Україні, зараз
змушені бюджетувати видаткову
та дохідну частину, щоб хоч якось
спрогнозувати фінансові резуль-
тати бізнесу. У тому числі, звичай-
но, плануються і витрати на персо-
нал, які в багатьох компаніях є одні-
єю з найістотніших статей видатко-
вої частини бюджету.
Підвищувати чи зменшувати? Не
секрет, що найбільш обговорюване
питання за останні 3 – 4 місяці: «Що
робити із заробітною платою спів-
робітників?». Точка зору персона-
лу, оклади яких зафіксовані в грив-
нях, абсолютно прозора і зрозумі-
ла – вони втрачають частину своєї
заробітної плати через девальвацію
української валюти і високого рівня

in Ukraine, are now being forced

The planning that must be done
includes, of course, personnel costs,
which, for many companies, are among

To raise or reduce wages? It is no
secret that this has been the most

employees’ wages?”. The standpoint
of those employees, whose salaries

quite transparent and clear – they are
effectively losing part of their wages

Скорочувати або не скорочувати?
На превеликий жаль, звільнен-
ня співробітників, які проживають
і працюють у філіях компаній у Кри-
му, набувають масового характеру.
Велика частина звільнень відбува-
ється за власним бажанням, оскіль-
ки залишити своє колишнє місце
проживання, перевезти сім’ю на ма-
терикову частину України, переї-
хати жити і працювати в інше міс-
то – досить складно для будь-якої
людини. Якщо дивитися загалом
на компанії, то потрібно віддати на-
лежне менеджменту, який намага-
ється всіма легальними і напівле-
гальними шляхами зберегти робочі
місця співробітників і забезпечити
хоч якийсь соціальний захист. На-

To downsize or not downsize? Rather
tragically, there have been massive
layoffs of those employees who have
been living and working in the branch
offices of various companies in the
Crimea. Most of downsizing has been
occurring due to people resigning on
their own due to the fact that it is difficult
enough for anyone to leave his/ her
place of residence, move his/ her family
to mainland Ukraine, or move to live
and work in another city. If we look at
businesses in general, we should give
some credit to company management
who are trying to use all legal and
semi-legal means to preserve jobs and
to provide employees at least some

сів, в лютому-березні максимально
просили співробітників оформляти
відпустку (щорічну і без збережен-
ня заробітної плати) або переводи-
ли персонал на неповні ставки. Не
потрібно бути експертом в області
економіки, щоб зрозуміти, що бага-
то що залежатиме від розвитку по-
дій в Україні і від подальших дій Ро-
сійської Федерації.
Звільнятися або залишитися? Ри-
нок праці завмер на початку 2014
року. Основною причиною такої три-
валої паузи стало не лише знижен-
ня пропозицій про роботу від ком-
паній, але і страх кандидатів бути
звільненими та страх змін в умо-
вах повної невизначеності. Зараз
обидві сторо-
ни досить обе-
режно підхо-
дять до питан-
ня працевла-
штування, за винятком тих випад-
ків, коли або дуже вигідні умови,
або складні життєві обставини.
Захищати та оберігати! Дивно, як
спільне горе і негаразди об’єднують
людей. Не вважайте за пафос, але
такої взаємопідтримки між співро-
бітниками різних компаній і менедж-
ментом, напевно, не було за всі роки
незалежності. Компанії оплачува-
ли послуги адвокатів для співробіт-
ників, виплачували компенсації, які
перевищували встановлені зако-
нодавством норми, юристи готува-
ли для військовозобов’язаних спів-
робітників та їх сімей роз’яснення
щодо мобілізації та супроводжува-
ли до військових частин. Іноземні
компанії розробляли плани для по-
зачергового переведення співро-
бітників з офісу в Україні в офіси,
які знаходяться в інших країнах.

Dismissal or maintaining
employment? The labor market
essentially froze in early 2014. The
main reason for such a long delay was
not only a reduction in the number of job
offers being made by companies, but
this was also due to employees’ fear of
being dismissed, as
well as changes under
conditions of complete
uncertainty on the part
of job candidates. Now
both sides are taking a rather cautious
approach to the issue of employment,
with the exception of those cases where
either very favorable term exist, or else
rather difficult life circumstances.
To protect and preserve! It is amazing
how common grief and adversity have
the capacity to bring people together.
This shouldn’t be misinterpreted as
over-exaggeration, but the fact is that
this level of mutual support between
the employees of different companies
and also management probably did not
exist during all the years of Ukraine’s
independence. Companies have paid
the legal fees for employees, have paid
compensation in excess of the prescribed
limits, and lawyers have prepared
documentation (i.e. explanations
regarding mobilization) for personnel
drafted for military service and their
families, and also escorted such staff

У деяких випадках компанії готові
були покривати витрати, пов’язані
з переїздом співробітників разом
з сім’ями, оплачувати оренду жит-
ла на перші кілька місяців. Причому
зауважте, що мова йде про переве-
дення всіх співробітників, а не лише
керівництва українського офісу. Для
іноземних компаній, які мають жор-
сткі бюрократичні процедури з під-
вищення, компенсацій і переведен-
ня в інші офіси, прийняття подібних
планів на глобальному рівні є прак-
тично унікальним явищем. Очевид-
но, що українські юридичні особи
не мають таких ресурсів, які мають
іноземні компанії. Однак, незважа-
ючи на зменшення роботи, дохо-
дів, втрату частини бізнес-контактів
і т. д. і т. п., всі співробітники з розу-
мінням ставляться до подій, які від-
буваються в компаніях на сьогод-
нішній день.
І роботодавці, і співробітники впер-
ше у своїй історії змушені працювати
в умовах загрози військових дій на те-
риторії України. Обидві сторони присто-
совуються до поточних реалій і йдуть
назустріч один одному, незважаючи
на складну політичну ситуацію в краї-
ні. Перші істеричні настрої на ринку вже
відбулися і стає очевидним, що прий-
шов час бути помірним у витратах і тер-
пимим у взаємодії.

countries. In some cases, companies
were even willing to cover the moving
expenses associated with relocating
employees and their families, and to
cover their rent for the first few months
in the new location. In this connection,
it should be noted that we are talking
about instances involving the transfer of
all employees, not just the management
of a company’s Ukrainian office. For
foreign companies, which tend to have
rigid bureaucratic procedures with
respect to pay raises, compensation and
transfers to other offices, this is virtually
a unique phenomenon for them to adopt
such plans at the global level. Obviously,
Ukrainian legal entities do not have the
same kind of financial resources that are
available to many foreign companies.
However, despite the reduction in the
availability of employment, in income,
and the loss of a good part of business
contacts, etc., the fact is that all staff are
sensitive to the events that are currently
taking place within their companies.
For the first time in the history of an
independent Ukraine, both employers and
employees are being forced to work under
the threat of military action within the country.
Both sides have been adapting to the current
realities and are meeting each other half way
despite the difficult political situation in this
country. Now the initial hysterical mood on
the market has already passed and it is
becoming apparent that it is time to be more
moderate in terms of spending and more
tolerable in the context of mutual cooperation.

є своєрідним випробуванням для дирек-
тора, бухгалтера, працівника відділу ка-
дрів не лише на профпридатність, але й
на міцність характеру. І навіть якщо про
планову перевірку Вас повідомлять за-
здалегідь (не пізніше ніж за 10 днів до
її початку), і у Вас буде час перегляну-
ти свої документи та можливість дещо
виправити, понервувати Вам все ж таки
доведеться. Перевірка інспекцією праці
не є виключенням.
В цій статті ми розглянемо основні
питання, які перевіряються у сфері тру-
дового законодавства, а також визна-
чимо можливі наслідки, якщо до Вас на
підприємство раптом завітає інспектор
праці.

Each audit carried out by public
authorities is somewhat of a test for the
company’s director, accountant, and
member of the personnel department, not
only in terms of efficiency, but also with
respect to their strength of character. And
even in the case that the authorities give you
advance notice that they will be carrying out
a planned audit (no later than 10 days before
the audit is scheduled to commence) and
you will have time to review your documents
and the opportunity to fix anything, you will
still be nervous regardless. Any audit carried
out by the labor inspectorate is no exception.
In this article, we will discuss the major
issues that are being tested in the field
of labor law, and also define the possible
consequences if, while at the company, the
labor inspector suddenly approaches you.
In order to successfully pass through an
audit by the labor inspectorate, it is necessary
for the company being audited to properly
prepare the following documents:
the collective agreement;
internal regulations in the personnel

Today, one of the most rigorous inspection bodies in the sphere of monitoring employees’ compliance with respect to employees’ rights is the State Inspectorate
of Labor. Its responsibilities include all matters pertaining to the following: labor relations; working time and rest periods; the valuation of labor; wages; guarantees and compensations; labor discipline; working conditions for women, youth, and persons with disabilities; employment legislation; mandatory state social insurance, among other issues.

Одним із перших документів, які
просить надати інспектор праці, є ко-
лективний договір. Якщо на підприєм-
стві він укладений, інспектор перевіряє,
чи не погіршують умови колективного
договору права працівників у порівнян-
ні з гарантіями визначеними законодав-
ством, чи зареєстрований він в місцевих
органах державної виконавчої влади,
чи ознайомлені усі працівники компа-
нії з його положен-
нями. У разі відсут-
ності колективного
договору встанов-
люється, чи прово-
дились переговори
по його укладенню,
а також, чи мали місце випадки ухилен-
ня сторін від участі у проведенні таких
переговорів.
Наявність в компанії документу,
який встановлює графік роботи та тру-
довий розпорядок, визначений законо-
давством як обов’язковий. Тому при пе-
ревірці інспектор обов’язково аналізує
правила внутрішнього трудового розпо-
рядку компанії та перевіряє, чи відпові-
дають дані табелів обліку робочого часу
встановленому режиму роботи праців-
ників.
При перевірці штатного розпису
звертають увагу на такі питання, як від-
повідність назви посад працівників Кла-
сифікатору професій, встановлення
розміру посадового окладу для неквалі-
фікованих працівників на рівні не ниж-

One of the first documents that the
labor inspector will ask you to present
is the collective agreement. If one has
been concluded for the company, the
inspector verifies whether the conditions
of the collective agreement do not diminish
workers’ bargaining rights as compared
with the guarantees
established by certain
legislation, in addition
to checking whether
this agreement has
been registered with
local bodies of state
executive power, and whether all employees
are aware of its provisions. In the absence
of a collective agreement, the labor
inspectorate determines whether talks has
occurred to conclude one, and also whether
there have been cases where either of the
parties has avoided participation in such
negotiations.
It is mandatory, as defined under
current legislation, that there is a document
setting out the timetable and work
schedule. Therefore, during the audit, the
inspector carefully examines the rules of
the company’s internal labor regulations
and also checks whether the data indicated
on timesheets corresponds to employees’
established work schedule.
Upon checking the staffing schedule,
the labor inspectorate pays attention to

че мінімальної заробітної плати, для ре-
шти працівників – з дотриманням міжпо-
садових (міжкваліфікаційних) співвідно-
шень, на погодження умов оплати праці
з представником трудового колективу.
При кожній перевірці обов’язково
встановлюється, чи дотримуються в ком-
панії строки виплати заробітної плати,
які повинні бути визначені умовами ко-
лективного договору або локальним нор-
мативним актом роботодавця; чи прово-
диться виплата заробітної плати не рід-
ше двох разів на місяць (аванс та кінце-
вий розрахунок) та чи здійснена остаточ-
на виплата зарплати не пізніше 7-го чис-
ла кожного місяця. Крім того, перевіря-
ється, чи проводиться оплата за робо-
ту в нічний час в підвищеному розмірі,
оплата понаднормових годин, чи має
місце залучення працівників до роботи
у святкові та вихідні дні та яким чином
за цю роботу проводиться компенсація.
В питаннях надання працівникам
щорічних відпусток перевіряється наяв-
ність затвердженого графіку відпусток,
який повинен бути не лише затвердже-
ний керівником компанії, а й погодже-
ний представником трудового колекти-
ву; дотримання періоду надання праців-
никам відпусток, попередження праців-
ників про початок відпустки не пізніше
ніж за 2 тижні до її початку. В бухгалтер-
ських документах перевіряється випла-
та відпускних не пізніше ніж за три дні
до початку відпустки.
Особливу увагу приділяють питан-
ням законності звільнення працівни-
ків та оформлення при цьому відповід-
них документів. Незалежно від причи-
ни звільнення працівника з компанії, пе-
ревіряється відповідність підстави звіль-
нення, зазначеної в наказі, особистій
заяві працівника та визначеним форму-
люванням статей Кодексу законів про
працю. Також перевіряється проведен-
ня повного розрахунку із працівником в
день звільнення, своєчасна видача йому
трудової книжки, наявність підпису пра-

other workers, the labor inspectorate verifies
whether the company is complying with
internal work related (qualified) relations, and
harmonizing the conditions for remunerating
labor with a representative of the workforce.
During each audit, the labor
inspectorate must carefully determine
whether the company is adhering to the
terms of payment of wages, which should
be determined by the conditions of the
collective agreement or a local regulation
from the employer. It should also determine
whether wages have been paid out no less
frequently than twice a month (an advance
and a final payment) and whether the final
payment of wages takes place does not
occur any later than the seventh day of each
month. In addition, the labor inspectorate will
check to see whether employees who work
at night are remunerated at a higher rate,
whether employees receive overtime pay,
whether employees are engaged in working
on holidays and weekends, and how the
company compensates them for such work.
With respect to the issue of providing
annual leave to employees, labor
inspectorate officials verify whether
an approved vacation schedule exists;
it should not only be approved by the
company head, but should also be agreed
upon by a representative of the labor
collective (workforce). As well, they verify
whether this period coincides with the
period factually provided to employees
for vacation purposes and whether
employees were given notice about their
vacation period no later than two weeks
before its commencement. With respect
to the accounting documents, the labor
inspectorate shall verify holiday payment
no later than three days before the vacation
commences.
Particular attention is paid to the legality

Крім того, перевіряється правиль-
ність ведення особових карток праців-
ників за формою П-2, а також трудових
книжок. Інспектор праці перевіряє на-
явність оформленої трудової книжки на
всіх штатних працівників, які працюють
в компанії більше 5 днів, внесення за-
пису про прийом на роботу, переведен-
ня на іншу посаду. Також з’ясовується,
чи ознайомлені працівники із вказаними
записами під підпис в особових картках.
За результатами кожної перевірки
обов’язково складається акт, в якому
відмічаються всі з’ясовані в ході пере-
вірки питання, а також припис, в якому
описуються лише виявлені порушення.
В приписі зазначається термін, до яко-
го всі порушення мають бути усунуті, як
правило, це один місяць, а також необ-
хідність проінформувати про стан вико-
нання кожного пункту припису.
Звертаємо Вашу увагу, що ви-
конання припису інспектора праці є
обов’язковим. Якщо у визначений тер-
мін припис не виконаний (повністю або
частково), інспектор праці зобов’язаний
буде провести повторну перевірку, за ре-
зультатами якої винні особи можуть бути
притягненні до ад-
міністративної від-
повідальності за ст.
188-6 КУпАП.
В 99,9% випад-
ків при виявлен-
ні в компанії порушень, окрім припису,
складається адміністративний прото-
кол за ч. 1 ст. 41 КУпАП, який направ-
ляється на розгляд до суду. Вже суддя
при розгляді справи встановлює сту-
пінь вини особи і приймає рішення щодо
притягнення її до відповідальності. Як
правило, це штраф у розмірі від 30 до
100 неоподаткованих мінімумів доходів
громадян.
Майте на увазі, що штрафи, накла-
дені в результаті перевірки інспекцією

the reason for an employee’s dismissal
from the company, an investigation will be
made into his/ her dismissal, as specified
in the respective order, the personal
statement submitted by the employee, and
the particular wording of the Labor Code’s
articles in labor legislation. Inspectors also
check to make sure that an employee has
been fully paid out as of the day of his
dismissal, that he/ she has been issued his
employment records in a timely manner, and
that the employee has signed the ledger for
movement of employment records to attest
to its receipt.
Officials also verify the correctness of
employees’ personal cards in accordance
with form P-2, as well as employment
records. The labor inspector checks existing
employment records that have been filled
out for all full time employees who have
been working at the company for more
than 5 days, the records registered upon
the employee being hired or transferred
to another position. Moreover, it will be
determined whether employees are familiar
with these records by the signature on the
personal cards.
According to the
results of each audit,
it is necessary to
draw up a certificate,
which highlights all of
the information that
has been clarified during the investigation,
as well as a compliance notice, which
includes only a description of the violations.
In addition, in the notice shall specify the time
period that the company has to correct all
violations. This is, as a rule, one month. The
company is also obligated to inform the labor
inspectorate regarding the status of each
item of the compliance notice.
Please note that it is mandatory for a
company to fulfill all items indicated in the
labor inspectorate’s compliance notice. If

а не фінансових, тому сплачуються ви-
нними особами особисто за власні ко-
шти.
Необхідно та-
кож додати, що в
більшості випад-
ків на перевірку ін-
спектори праці при-
ходять не в плано-
вому порядку, а за інформацією дер-
жавних органів, профспілкових коміте-
тів чи особистими зверненнями грома-
дян (письмовими, а також у вигляді те-
лефонних повідомлень на Урядову Га-
рячу Лінію).
Тож, шановні роботодавці, аби
уникнути зустрічі з інспектором праці,
яка може добряче попсувати Вам нерви,
не варто нехтувати вимогами законів та
порушувати права своїх працівників!

(completely or partially) within the time
period indicated, the labor inspectorate shall
conduct a repeat audit, which may result
in the perpetrators
being subject to
administrative liability
in accordance with
Article 188-6 of the
Code of Ukraine on
Administrative Offences.
In 99.9% of cases, when any
violations are detected in a company’s
performance, yet another document is
issued apart from the compliance notice –
it is an administrative record, issued under
Part 1 of Article 41 of the Code of Ukraine
on Administrative Offences, which is then
submitted to the court for its consideration.
Already, in considering a case, the judge
determines the degree of guilt of the
responsible party and takes a decision to
bring him/ her to justice. Typically, this is a
fine that is equivalent to 30 to 100 times the
amount of a citizen’s non taxable minimum
income.
We should keep in mind that the
penalties that are imposed as a result
of an audit by the labor inspectorate are
considered to be administrative in nature,
rather than financial, meaning that the guilty
persons shall pay such penalties personally
with their own resources (not the company).
It is also worth adding that, in most
cases, audits by labor inspectors are not
scheduled inspections, but rather occur
on the basis of information provided by
government bodies, trade union committees
or personal requests by citizens (written
requests, as well as telephone messages via
government hotlines).
Therefore, dear employers, you should
try to avoid any encounters with the labor
inspectorate, which have the potential
of very strongly wearing on your nerves.
Be sure to adhere to your respective legal
requirements and avoid any violations of
employees’ rights!

Необхідно відзначити, що ми буде-
мо розглядати лише індивідуальні тру-
дові спори між працівником і підпри-
ємством. До індивідуальних спорів від-
носяться спори про порушення трудо-
вих прав працівників, а саме: про від-
мову в укладенні трудового договору,
про переведення на іншу роботу, на-
дання відпустки, про накладення дисци-
плінарного стягнення, про видачу засо-
бів індивідуального захисту, лікуваль-
но профілактичного харчування (моло-
ка та інших рівноцінних продуктів), стро-
ків і розмірів оплати праці та різних ви-
плат (премій за вислугу років, за резуль-
татами роботи за рік, гарантованих сум
і компенсацій), відрахувань із заробітної
плати, про припинення трудового дого-
вору та інше.
Як ми бачимо, причин для подан-
ня позовної заяви у співробітника може
бути багато і вони стосуються не лише
звільнення. Співробітник може ініціюва-
ти суперечку, наприклад, у разі нена-
дання йому додаткової соціальної від-
пустки, яка надається матері двох ді-
тей або самотній матері, або додатко-
вих днів щорічної відпустки для інва-
лідів та чорнобильців, які мають на це
право. До гарантованих сум та компен-
сацій ми можемо віднести, наприклад,
суми добових, вартість проїзду та про-

rights, specifically as follows: the refusal
to conclude an employment contract,
an agreement for transfer to another
job, granting leave, the imposition of a
disciplinary sanction, the extradition of
personal protective equipment, preventive
nutrition (milk and other equivalent
products), the timing and amount of
remuneration and various payments
(premiums for years of service, according
to the results of the year, the guaranteed
amount and compensation), and
agreements with respect to payroll tax,
termination of the employment contract
and so on.
As we can see, there exist many reasons
for which an employee may file a claim, and
they are not solely relate to the employee’s
dismissal. Thus, an employee may initiate
a dispute, for example, in the case that the
employer fails to provide additional social
leave, to which a mother of two children or
a single mother is entitled, or additional days
of annual leave for disabled persons and
victims of the Chernobyl disaster, who also
have the right to such leave. When we refer

peaceful negotiations. What kinds of problems are considered labor disputes? Who should review such labor disputes? What are the time periods for their consideration? This article will discuss these and other questions.

державного соціального страхування.
Нагадуємо, що листки непрацездатнос-
ті не мають терміну давності, тому від-
мова підприємства в оплаті листка, який
був наданий працівником через півроку
по закінченню лікарняного, може стати
підставою для трудового спору. З іншо-
го боку, не є предметом трудового спо-
ру затримки у виплатах допомоги з тим-
часової непрацездатності з вини орга-
нів соціального страхування, як це час-
то відбувається останнім часом, оскіль-
ки в даному випадку підприємство грає
лише технічну роль.
Первинним органом, який має роз-
глядати трудові суперечки є комісія по
трудових спорах. Дана комісія може
створюватися на підприємстві з кіль-
кістю працюючих не менше 15 чоловік.
В її повноважен-
ня входить розгляд
більшості трудо-
вих спорів між під-
приємством і дію-
чими співробітни-
ками. Співробітни-
ки, яким було від-
мовлено у працевлаштуванні, а також
співробітники, які оспорюють законність
звільнення, а також сам роботодавець
звертатися до комісії з трудових спорів
не можуть. Комісія є виборним органом
і повинна мати власну печатку, якою за-
свідчуються розпорядження про приму-
сове виконання рішень. В іншому разі
рішення комісії не матимуть юридичної
сили.
На сьогоднішній день підприємства
рідко створюють подібні комісії. Якщо
комісії з трудових спорів на підприємстві
не існує, або якщо рішення комісії праців-
ника не задовольняє, він має право звер-
нутися до суду. Крім того, до суду може
звернутися і роботодавець з позовом

no expiry date for a certificate attesting to the
fact that an employee has taken sick leave
and so, in the case that a company refuses
to provide paid sick leave coverage for the
period specified in such a certificate, pending
that it was provided by the employee within
six months after the end of the sick leave,
this can become grounds for a labor dispute.
On the other hand, delays in the payment of
temporary disability benefits that are due to
the fault of social security authorities are not
subject to labor disputes, and such cases are
happening more often in recent times. In such
instances, the employing company plays
merely a technical role in facilitating payment.
The principle authority to consider labor
disputes is the Labor
Dispute Commission.
This Commission can
be created at the
company’s base
itself, involving at
least 15 employees.
Its mandate includes
considering most of the labor disputes
arising between the company and existing
employees. Employees who have been
denied employment and employees
contesting the legality of their dismissal, as
well as the employer itself, cannot appeal
to the Labor Dispute Commission. The
Commission is an elected body and it should
have its own seal, which shall be certified
by an order regarding the enforcement
of decisions. Otherwise the Commission’s
decision would not have legal force.
To date, businesses rarely create
such commissions. If no such Labor
Dispute Commission exists at the
employing company, or in the case that
the Commission’s decision does not satisfy

завданої працівником підприємству.
З питань порушення трудових прав
співробітник може звернутися у відпо-
відні інстанції у тримісячний строк з дня,
коли він дізнався або повинен був дізна-
тися про порушен-
ня свого права. У
випадках звільнен-
ня цей термін ста-
новить 1 місяць з
дня вручення ко-
пії наказу або з
дня видачі трудової
книжки. У разі ж порушення законодав-
ства про оплату праці строки давнос-
ті не враховуються. Тобто співробітник
може звернутися до суду про стягнення
покладеної йому суми заробітної плати
в будь-який момент.
Для позовів від імені роботодавця
про відшкодування матеріальної шко-
ди, завданої працівником підприємству,
встановлено термін в один рік з дня ви-
явлення заподіяної працівником шкоди.
На додаток до позову про порушен-
ня трудових прав працівник може пода-
ти позов про стягнення моральної шко-
ди. Пленум Верховного Суду України
визнає можливість стягнення моральної
шкоди у випадках, пов’язаних з неза-
конним звільненням, виконанням робіт у
небезпечних для життя і здоров’я умо-
вах, при нанесенні шкоди здоров’ю пра-
цівника (трудових каліцтвах), невипла-
тою належних працівникові грошових
сум та іншого, якщо подібні порушен-
ня призвели до моральних страждань,
втрати нормальних життєвих зв’язків і
вимагають від працівника додаткових
зусиль для організації свого життя.
Згідно із Законом України «Про су-
довий збір» позивачі, які звертаються
до суду з питань про стягнення заробіт-
ної плати, поновлення на роботі та про
інші вимоги, які випливають із трудових
відносин, звільнені від сплати судового
збору. Це означає, що працівники, які

With respect to labor right violations, an
employee may appeal
to the appropriate
court within a period of

In cases of the employee’s dismissal, this
period shall be one month from the date
that a copy of the order for his/ her dismissal
was delivered or from the date that the
employment record (labor book) is issued.
There is no expiry date in the case that the
employer has violated existing legislation on
remuneration, i.e. the employee may file a
claim with the court to recover the sums that
he/ she is entitled to at virtually any time.
For claims on behalf of the employer
for compensation for material damages
caused by employees of the company, the
validity period for their submission has been
established as one year from the date that
it was discovered that the employee caused
such damage.
In addition to a claim regarding a labor
rights violation, an employee may file a claim
for compensation for moral damages. The
Plenum of the Supreme Court of Ukraine
recognizes the possibility of recovering
moral damages in cases involving unfair
dismissal, performing work in hazardous
conditions endangering one’s life and
health, in instances where any damages
have been caused to an employee’s health
(work related injuries), and the failure to
provide the appropriate financial and other
compensation to the employee, in the case
that such violations have caused mental
suffering, the loss of normal life relationships
and require the employee to make additional
efforts to organizing his/ her life.

і багаторазово подають різні позови, не
несуть судові витрати, за винятком хіба
що оплати послуг адвоката, якщо такий
є. Враховуючи збільшену правову гра-
мотність, працівники, що подають до
суду на роботодавця, найчастіше обхо-
дяться своїми силами.
Захищати свої права в судовому по-
рядку можуть не лише громадяни Украї-
ни, а й іноземні громадяни та особи без
громадянства, які працюють на закон-
них підставах в українських компаніях.
Розглянемо один приклад судо-
вого розгляду. Співробітникові, який
працював на підприємстві фахівцем з
розширення ринку збуту, був виданий
службовий автомобіль для виконання
ним службових обов’язків, а також була
прописана в трудовому договорі нор-
ма про повну матеріальну відповідаль-
ність за цілісність і збереження вида-
них йому матеріальних цінностей. Під
час однієї із службових поїздок співро-
бітник потрапив в аварію і значно по-
шкодив автомобіль. Керуючись укладе-
ним договором про матеріальну відпові-
дальність, підприємство вирішило стяг-
нути зі співробітника повну вартість по-
шкоджень автомобіля. Незгідний спів-
робітник подав на роботодавця до суду.
При розгляді поді-

вору про повну ма-

дальність, а й факт
того, чи належить
співробітник до ка-
тегорії працівників,
з якими може бути
укладено договір про повну матеріальну
відповідальність. Повний перелік посад
і робіт був затверджений ще 1977 року
Державним комітетом Ради Міністрів
СРСР з праці та соціальних питань і діє
According to the Law of Ukraine “On
court fees”, plaintiffs who file claims with the
court in order to recover wages, so that they
are reinstated as employees, or in relation to
other demands resulting from employment
relations, are exempt from paying court fees.
This means that employees who seriously
love to sue companies and tend to pursue
many and varied lawsuits shall not face any
extra expenses, other than attorney’s fees,
if applicable. Given that people now have an
increased level of legal literacy, employees
now sue their employer, often at their own
expense.
It is not only Ukrainian citizens who
have the opportunity to defend their rights
in court, but also foreign nationals and
stateless persons who are legally employed
by Ukrainian companies.
Let’s consider one example of a court
proceeding. One employee, who worked
at the plant as a specialist for sales market
expansion, was issued a company car in
order to perform his official duties, and it was
stipulated in the employment contract that
he would assume full financial responsibility
for the integrity and security of the property
granted to him. Then, during one of his
business trips, the employee got into a road
accident and significantly damaged the car.
Based on the liability agreement concluded
with the employee,
the company decided
that the employee
was responsible for
repaying the full cost
of the damage done
to the vehicle. The
employee disagreed
with his employer and
filed a claim with the
court. In considering
similar cases, the
court considered not only whether or not a
written full liability agreement exists, but also
contemplated whether or not the employee
belongs to that category of workers with
whom a full liability agreement could actually

be contracted. In this relation, the USSR
State Committee of the Council of Ministers
on Labor and Social Affairs approved a
complete list of positions and jobs back in
1977, which is still in effect to this day. Due to
the fact that there is no job description for the
position of market expansion specialist, and
that no separate agreement was concluded
with the employee on assuming full liability,
but instead was only registered as individual
items in his employment contract, the
court decided to partially satisfy the claim.
Namely, the court ruled that the employee
would bear limited financial responsibility
for the damage he had caused, equal to the
amount of his average earnings.
We would like to draw your attention to
another scenario whereby workers’ rights
are violated. For example, an employee has
the right to independently submit a letter of
resignation by his own will in connection
with the violation of or failure to comply
with labor legislation, or the conditions
of a collective or individual employment
contract. If the resignation is written with a
similar formulation, an employee has the
right to resign at any time that is convenient
to him/ her and to not work for the final two
weeks, while the employer must still pay
the employee an indemnity of not less than
three months of his/ her average earnings.
Often the non payment of such severance
pay also results in a lawsuit.
One should always keep in mind that
ignorance of the law is not a sufficient
excuse! The existence of timely and properly
executed documents can protect a company
from negative consequences and also
significantly reduce the financial impact
of dealing with labor disputes.

ліку посада спеціаліста з розширен-
ня ринку збуту відсутня, і зі співробіт-
ником не був укладений окремий дого-
вір про повну матеріальну відповідаль-
ність, а лише прописані окремі пункти в
трудовому договорі, суд прийняв рішен-
ня про часткове задоволення позову, а
саме: поклав обмежену матеріальну від-
повідальність за заподіяну працівником
шкоди, тобто у розмірі його середнього
заробітку.
Хочемо звернути Вашу увагу на ще
один варіант розвитку подій у разі по-
рушення трудових прав працівника. Так,
співробітник має право написати заяву
про звільнення за власним бажанням у
зв’язку з порушенням або невиконан-
ням підприємством законодавства про
працю, умов колективного чи трудово-
го договору. Якщо заяву про звільнен-
ня написано з подібним формулюван-
ням, співробітник має право звільнити-
ся в будь-який зручний для нього час, не
відпрацьовуючи два тижні, і при цьому
роботодавець зобов’язаний виплатити
працівникові вихідну допомогу в розмірі
не менше тримісячного середнього за-
робітку. Часто невиплата подібної вихід-
ної допомоги також стає підставою для
судового позову.
Пам’ятайте, незнання законів не
звільняє від відповідальності! Вчасно
і правильно оформлені документи мо-
жуть захистити підприємство від нега-
тивних наслідків та істотно знизити фі-
нансові наслідки трудових спорів.
