The 2016 Member Summit focuses on the results of IRI’s 2-year research study on the impact of Digitalization in R&D Management. NEW POLICY ON NON-MEMBER ATTENDANCE

A primary differentiator between IRI meetings and competing meetings is the low

number of consultants and service providers, creating an attendee base of peers.

The resulting atmosphere is a critical component of IRI’s culture and key to the

organization’s value proposition.

In a new policy recently passed by the IRI Board of Directors, steps are being

taken to further limit non-member attendance at IRI meetings. This new policy

By signing this contract, you agree to abide by all regulations set by IRI, including not using the attendee list for solicitation purposes, with the exception of what is allowed per sponsorship agreement. Sponsor or Exhibitor also agrees not to entertain meeting attendees during event hours or otherwise entice attendees away from scheduled events. You have read, understand, and agree to abide by IRI’s “Participation Principles,” and "Code of Conduct" and agree to allow IRI to use photographs/video, which may include your likeness, in a variety of media formats, to market future IRI programs/events. http://www.iriweb.org/Public_Site/Navigation/About_IRI/Governance/Participation_Principles.aspx

IRI reserves the right to refuse a potential sponsor or exhibitor for any reason including, but not limited to, questionable business practices or those having a mission directly in conflict with IRI’s mission. In the event Sponsor or Exhibitor fails to comply with one or more sponsorship deliverable dates, IRI will have no obligation to supply the benefits or make available opportunities associated with such dates. Under no circumstance will IRI be liable to Sponsor or Exhibitor for any amount greater than the Sponsor or Exhibitor Fee paid by Sponsor. Sponsor or exhibitor will indemnify and hold harmless IRI for any liability to any third party arising from use or distribution by IRI of material supplied by Exhibitor or Sponsor in accordance with contract. This contract constitutes the entire agreement between parties. This contract will be construed under Virginia law and all disputes will be exclusively resolved in courts in Virginia. Sponsors are required to stay at the event hotel for the duration of the conference. If a sponsor or exhibitor fails to book a room at the hotel, IRI may cancel the contract, without refund.

Space Guidelines: If an exhibitor is using its rental space in a manner that is detrimental to the association, meeting, or the exhibit, or infringes on the rental of space by other exhibitors (including sight observation, soliciting products or services outside the rental space assigned, excessive noise, heat, light, or pollution emanating from exhibits, or if an exhibitor’s display is not in keeping with the character and purpose of the conference), the association, through its President, reserves the right to request corrective action. If an exhibitor is unable to or refuses to comply with this request, the association reserves the right to cancel the use of that space, or bar from the exhibit hall that exhibit or any part of that exhibit, person, or thing. In the event that such action is necessary, the exhibitor shall forfeit all money paid or due to the association for rental of the display space. Housing: All exhibitors and sponsors agree to use IRI’s official meeting venue, the official Hotel, for all exhibitor overnight stays in conjunction with IRI’s 2016 Annual Meeting and Innovation Showcase and Member Summit (sponsors only). Failure to stay at the meeting hotel may result in cancellation of registration without a refund. Hospitality Suites/Outside Exhibit & Activities: During scheduled meeting activities, the sponsor or exhibitor, who is subject to expulsion from the conference and from meeting functions and activities, agrees not to exhibit its products or services or to directly promote or otherwise exploit its company, products or services outside the assigned exhibit space. The exhibitor also agrees not to entertain meeting attendees during meeting program hours in a rented function room, hospitality suite, or other facility, or otherwise induce attendees away from scheduled meeting events. Fire Regulations: Exhibitors agree to adhere to all exhibit hall fire regulations in designing, setting up, and operating their exhibit. Gasoline or other flammable materials are not permitted in the exhibit hall under any circumstances. Subletting Space: No exhibitor shall assign, subject or apportion the whole or any part of the space allotted to it, nor exhibit therein, nor permit any other person or party to exhibit therein, any goods other than those manufactured or handled by the exhibitor in the regular course of its business.

Rules/ Regulations of Other Authorities: Each exhibitor agrees to meet any applicable requirements of the federal, state and municipal government, police and fire departments of the city, and the management of the building, and obtain and pay for all necessary permits and licenses, should any be required for the display of the particular exhibit. Each exhibitor shall be responsible for collecting and/or paying any applicable local, stage, or federal tax. Care of Building: No exhibitor shall allow any article to be brought into, or any act done on the premises, that will increase the premiums on or void the policies of insurance held on the building, or injure or deface any part of the building, or permit anything to be done by its representatives or employees by which the premises shall in any manner be damaged, marred, or defaced. Use & Care of Exhibitors Space: Each exhibitor shall care for, keep in good order, and surrender the space occupied by it in the same condition as it was at the commencement of the occupation, although ordinary wear is expected. If the space should be damaged by an act of negligence on the part of the exhibitor, other exhibitor’s agents, employees, patrons, or guests, the exhibitor shall be responsible for the damage and, on demand, pay such sum as shall be necessary to restore said space to the same condition it was in when first occupied by the exhibitor. Cancellation, Interruption, or Postponement of Exhibit: In the event that the Exhibit is canceled, interrupted or postponed due to any occurrence not occasioned by the conduct of the Industrial Research Institute (IRI), whether such occurrence be, but not limited to, an Act of God, or the result of war, riot, civil commotion, sovereign conduct, or by any other cause, or if in case circumstances make it impossible or impractical for the IRI to permit any exhibitor to occupy the premises, then IRI shall make a good faith effort to adjust the rental fee for space based on the period of time the space was or could have been occupied by such exhibitor, and IRI is released from any and all claims for damages which may arise in consequence thereof. Audio Visual Equipment: Video equipment, movie or slide projectors or other sound equipment must be self-contained and fireproof. The sound must be kept at a volume not to exceed that of normal conversation or 80 decibels. Such equipment must not interfere with neighboring exhibits. Audio/video must be devoted exclusively to the business of the exhibitor. IRI will not be responsible for obtaining any audio/visual equipment. Exhibitor is responsible for all cost of equipment and installation. IRI will supply exhibitors with an exhibitor packet outlining costs and procedures for renting additional equipment not allocated with the space rental.

Security: IRI will provide general security during Innovation Showcase hours for general protection only, but neither the association nor the Hotel will guarantee exhibitors against loss or assume responsibility for fire, theft or other damage of any sort. Liability & Insurance: The exhibitor on its own behalf and on behalf of its employees and agents, assumes entire responsibility and hereby agrees to protect, indemnify, defend and save IRI, Hotel, the official service contractor, and its employees and agents harmless against all claims, losses, and damages to persons or property, governmental charges or fines, and attorney fees arising out of or caused by exhibitors installation, removal, maintenance, occupancy or use of the exhibit premises or part thereof, excluding any such liability caused by the sole negligence of the Hotel, the official service contractor, its employees or agents. In addition, exhibitor acknowledges that IRI and the Hotel do not maintain insurance covering exhibitors’ property and that it is the sole responsibility of the exhibitor to obtain business interruption and property damage insurance covering such losses by the exhibitor. All exhibitors are encouraged to obtain all risk coverage. Riders to existing policies often at no extra cost can do this. The exhibitor, who hereby agrees to hold IRI harmless and free from all damages or liabilities of any kind, if desired, shall take out insurance. Restrictions on Sales Activities: The purpose of the exhibit is educational and to acquaint attendees with technologies available for collaborative development to meet their innovation needs and/or to inform others of exhibitors’ technology needs. Therefore, the exhibitor agrees to use the display space in keeping with this purpose and further agrees to refrain from delivering goods or receiving payment for goods and services during the exhibit. Exhibitors may take orders or make arrangements for delivering goods or services at a later date. All exhibitors agree not to use IRI Annual Meeting attendee registration lists for solicitation purposes – follow-up should be on individual requests only. BMI/ASCAP: In adherence with the music licensing policies as established by ASCAP and BMI, exhibitor agrees not to play any recorded/taped music in the exhibit booth. Included here is any music that may be a part of an AV presentation. The only exception allowed will be for an exhibitor who has paid a licensing fee to ASCAP and/or BMI specifically permitting the use of specified recordings and arrangements. Violation of music licensing policies could result in substantial penalties being filed against exhibitor and conference management if music is played without the appropriate, written authorization.
