PAYMENT AND GENERAL CONDITIONS OF SALE

Article 1 – Date and duration of the event – The organisers set the date and place of the event. In case of force majeure, the date and place may be changed. The organising Committee accepts no liability regarding any losses exhibitors may incur (including loss of ameni-ties and any loss of business) for whatever reason and especially regarding any delay in the opening of the event or its early closure, the closing down or destruction of stands, fire and damage, total or partial destruction of the installations and the premises. If, due to force majeure or any event beyond the control of the organisers, it becomes impossible to find appropriate premises, thus making it impossible to carry out everything necessary for the event to take place, the organisers may at any time cancel applications for stands already regis-tered by informing exhibitors in writing. They will have no right to compensation, or damages, whatever the reason for such a decision.Article 2 – Acceptance of applications – Applications are subject to review. The organisers may rule at any time on refusing or accepting applications, and are not obliged to give reasons for their decision. No compensation shall be payable for refusal of an application other than the reimbursement of sums paid to the organisers.Article 3 – Obligations of the collaborator – Once a registration application has been accepted, the subscriber is definitively and irrevo-cably committed and becomes liable for the total amount of the invoice. By signing the registration the subscriber agrees to set up the space allocated to him on the morning the event opens, from 9:00 onwards, to leave the installation in place and not to remove any goods until after the event finishes (between 18:00 and 20:00). Registration also requires the subscriber to organise the programmed events (Meetings, workshops, conferences, etc.) at the specified times and to provide the necessary technical data so that publicity material can be produced within the time period stipulated in the reservation contract. If the subscriber withdraws after making this commitment, any monies paid or still owing are acquired by the organisers, even if they are able to lease the space to another exhibitor. Registration signifies acceptance of the terms of the present regulations, the general conditions of sale, and measures relating to public order, policing and safety (specifications) that are or may be issued by the authorities or the organisers. Any breach of the present regula-tions and of any special regulations may result in the immediate temporary or permanent exclusion of the exhibitor with no compensation or reimbursement of sums already paid and without prejudice to any further proceedings that may be brought against him. Conference titles are determined by the organisers and remain their property, entirely and exclusively. Advertising rates are understood to exclude technical costs, which remain the responsibility of the advertisers. Technical specifications and deadlines for submission will be explained by the organisers. Conditions for cancellation will be dealt with as described in article 3.Organisation of business meetings – The exhibitor agrees to enter a description of his business activity on the registration platform by logging on with his user name and password, as supplied by the organisers. The organisers cannot be held responsible if the exhibitor receives no requests for meetings from participants at the business convention. The fact of having no requests for meetings will not give rise to any compensation on the part of the organisers.Article 4 – Election of domicile – For the duration of the event, including time spent on installation and dismantling, exhibitors declare that their elected domicile is the space allocated to them in Bordeaux Exhibition Parc hall 3.Article 5 – Payment – Any reservation must be accompanied by payment of 60% of the order. The total amount is due one month before the event, i.e. on 14 october 2015. If payment is not made by the deadline date, the organisers can consider, with no formal notice neces-sary, that the order has been terminated. Any sum due to the organisers and not paid by the due date will automatically accrue interest charges, with no letter of formal notice being required. Interest will be calculated according to the bank base rate in force on the due date, plus three percentage points. Should there be litigation for non-payment, the organisers reserve the right to apply an irreducible flat rate penalty clause equal to 15% of the sum due, without prejudice to any other demand for damages and interest claims on the basis of article 700 of the French New Code of Civil Procedure and a flat-rate settlement for payment of costs of 40% - subject to VAT (Law on the Simplification of rights of 22 March 2012).Article 6 – Failure to occupy – The total balance of the invoice remains payable by the exhibitor under all circumstances. Stands or spaces that are not occupied when the show opens may be allocated to another body and the member who has failed to occupy the site may not reclaim any compensation whatsoever or reimbursement of sums paid previously.Article 7 – Transfers and sub-lets prohibited – The transfer of all or part of the stand or space is forbidden. However, subject to the orga-nisers’ agreement, several members from similar businesses may occupy a stand jointly.Article 8 – Prohibited products – Explosives and, in general, all dangerous or harmful products are prohibited. It is prohibited to operate machinery, to install or distribute items likely to cause a disturbance or a danger to other exhibitors or visitors. It is also prohibited to light fires in the exhibition hall.Article 9 – Setting up stands – Exhibition spaces will be made available to exhibitors on Monday 6 October 2014 from 9:00.Article 10 – Changes to the inventory – When exhibitors take possession of their allocated space, they must notify any damage. This must be declared to the organisers on the same day they take possession; after this time, any repairs required will be invoiced to them.In the stands, it is prohibited to make holes in the floor, to pierce or degrade in any way whatsoever the partitions, floors or ceilings and any equipment supplied by the organisers. It is absolutely prohibited to use the walls, pillars or floors of the stands to support any heavy weight or mechanical stresses. Exhibitors will bear full responsibility for any infringement of this rule in case of deterioration, disturbance to neighbours or accident, and this without prejudice to the penalties specified in article 3.Article 11 – Aesthetics – Banners are strictly prohibited in all cases.Article 12 – Subcontractors – Exhibitors may, if they wish, and on their own responsibility, subcontract to third parties all or part of the installation of the stand allocated to them, on condition that:• The subcontractors concerned have not previously been involved in a major dispute with the organisers, and the contract signed withthe subcontractors includes, as an integral part, all the clauses in the organisers’ general terms and conditions of sale that may concern them, and contains no provisions likely to modify or waive these terms.• The contract contains:- A clause specifying that the exhibitor’s subcontractors waive the right to make a claim against the organisers for any direct or indirect damage, material damage or moral prejudice that the latter may cause to the exhibitor, his subcontractors, their property, their agents and the agents’ property.- An irrevocable commitment on the part of the exhibitor’s subcontractors to obtain the same claims waiver from their own insurance companies.The exhibitor guarantees the organisers that the claims waivers stipulated above will indeed be provided by his subcontractors and their insurance companies and agrees to compensate the organisers for any direct or indirect consequences of any claim or legal or other action that the exhibitor’s subcontractors, their agents and/or their insurance companies may bring or pursue against the organisers, including any costs and fees that the latter may have had to incur to defend their rights. The fact that the exhibitor draws up a contract

with subcontractors does not in any way modify the contractual relationship between him and the organisers, and the exhibitor retains sole liability towards the organisers for the full enforcement of the agreement. Concerning the organisers, the exhibitor’s subcontractors will be considered to have been authorised by the exhibitor to act on his behalf.Article 13 – Safety – The exhibitor agrees to respect the safety requirements and in particular to comply with decree no. 54856 of 13 August 1954 and the order of 23 March 1965 regarding safety regulations concerning risk of fire and panic in places open to the public. Any alterations made by the exhibitor are under his own responsibility. They must be compliant with the safety specifications and may be checked by the Departmental Safety Commission which may make recommendations, may impose some stipulations, or may decide that the stand cannot be used. All decoration materials must be fire resistant or non-flammable and comply with the safety standards required by the ministerial regulations. The organisers decline all responsibility should the Safety Commission order a stand to be closed for failure to observe the rules in force.Article 14 – Signs, posters – It is prohibited to put up advertising billboards or signs outside the stands except in the places provided for this purpose. In case of infringement, the organisers will have the offending items removed at the expense and risk of the exhibitor, and without prior notice.Article 15 – Advertising – Brochures may only be distributed within the stands. Spoken advertising or using a microphone, soliciting, are absolutely prohibited. Special price offers and the distribution of advertising material are subject to the general regulations in ministerial decrees.Article 16 – Opening and closing times – Stands must remain open on Thursday and Wednesday from 9:00 to 18:00. It is prohibited for goods on display to be covered up during opening hours.Article 17 – Vacating the spaces – All rented spaces must be returned to their original state at the exhibitor’s expense and vacated by 20:00 on 16 October 2015 at the latest. If for any reason the space is not in usable condition on the date it is vacated or if it has been damaged, the organisers may use all means at their disposal to completely clear the space or to have it cleared and repaired as necessary, and the exhibitor hereby gives them authorisation:• To destroy all consumable equipment and installations,• To remove and store, as the organisers see fit, all other equipment, installations and goods on the site,• To return the premises to their proper condition,• To have any necessary work carried out.All this will be at the expense of the exhibitor, who expressly waives any right to claim against the organisers regarding this destruction, removal or storage of property, repair work or their consequences.The exhibitor agrees to exercise care and to undertake any urgent action, including legal proceedings, to ensure that the site is returned to the organisers in a useable condition, and that any repairs are carried out as soon as possible.Article 18 – Insurance for stands – The exhibitor agrees to take out an insurance policy at his own expense covering Civil Liability and Exhibition All Risks. The insurance will be a group policy, drawn up for the exhibitors and approved by the organising committee, and will cover:1- Civil Liability of the exhibitor towards third parties for any consequential physical injury, material and non-material damage.2- Damage to goods on display (including audiovisual), stand fittings and installations to a value of 3000 (excluding machine breakage).The exhibitor may take out complementary insurance within the group policy for additional sums.If the exhibitor takes out a different insurance policy from the one offered by the event organisers, it is imperative that he produces a Civil Liability certificate for the organising committee, within 7 days following signature of the order form, and by 25 March 2013 at the latest. After this deadline, the insurance policy taken out by the organisers of SOFINS will be imposed and the exhibitor will be invoiced.The exhibitor and his insurers waive all rights to claim against the organising Committee and their insurers for all physical injury, material and non-material damage to himself, his agents or his subcontractors.Article 19 – Attribution of jurisdiction – In case of dispute, the Bordeaux courts will have sole competence, as expressly agreed by the parties.Article 20 – Miscellaneous provisions – The organisers will have the right to give a ruling on any matter not provided for in the present regulations. All their decisions will be taken with no appeal being possible and will be immediately enforceable.
