While the desire to buy a dealership is based on economics, the decision to sell a dealership is based on economics and the desire to retire, downsize or move to a different activity. The metrics used must encompass, operations, past and anticipated financial performance, real estate, and the reinvestment of proceeds. The specific metrics used in any transaction may vary, based on buyer and seller profiles. This session will provide the tools to evaluate a buy/sell opportunity from both the seller and buyer perspectives. The metrics used by different classes of buyers and sellers will be identified and defined so buyers will know who is most likely to sell. It will summarize the alternative methods for new and used vehicles, and review a common approach for parts LIFO. The various business structuring transactions and changes in tax status and how they impact LIFO will be highlighted. Status of the potential repeal of the LIFO method, impact of IFRS and other current issues impacting dealerships LIFO will also be discussed.
