TERMS AND CONDITIONS

1. GENERAL CONDITIONS

The Customer Loyalty Program 2019 (CLP) is a frequent patronage program designed to reward customers who have business partnership with VietnamWorks. As a CLP member, you should be familiar with these following Terms and Conditions.

2. DURATION:

From February 12th, 2019 to December 31st, 2019 (both days inclusive).

3. MEMBERSHIP CONDITIONS

To join and become a CLP member, you need to meet these conditions:

• New or existing customers purchasing VietnamWorks’ services either by online order or online payment method and having Purchase Orders (POs) approved by VietnamWorks Finance and Accounting Department from February 12th, 2019 to December 31st, 2019 (“Transaction Period”).

• Qualified for accumulating Total Value of POs as mentioned in condition Number 4 during the Transaction Period.

• Pay full Value of POs during the Transaction Period and not be in VietnamWorks’ bad debt list.

• Customers who were and are members of CLP 2015, CLP 2016, CLP 2017 and CLP 2018 will cumulate Total Value of POs from February 12th, 2019 to December 31st, 2019 in order to become CLP member 2019.

• The Customer Loyalty Program 2019 doesn't apply to Customers who are individuals and businesses in Headhunter and Executive Search

Industry, or whose business is similar to job service and/or similar to VietnamWorks' business based on VietnamWorks' evaluation.

(Hereinafter referred to as “Customer”)

4. CONTENT OF THE PROGRAM

• CLP membership status begins on the day customer receives a congratulation and announcement of respective membership benefits email from VietnamWorks (“CLP Membership Date”).

• CLP membership status and rewards are determined by your Cumulative Purchased Order (PO) Value approved by VietnamWorks within promotion duration.

• The value of Cumulative Purchase Order and Reward mentioned in this Terms and Conditions do not include VAT.

• Cumulated Total Value of approved POs does

• Platinum and Diamond customers will be supported maximum two (02) times for each job posting if they are not satisfied with VietnamWorks job-posting service:

- Selected one (01) in two (02) support forms in the first time:

+ Re-post jobs (with full premium services of the original job) and review and advise the content of the first renewed jobs or:

+ Support package of Resume Search, 30 - days, 50 Credit to search resume within thirty (30) days. Customers will have thirty (30) days to activate this Resume Search. After that, VietnamWorks will not support to reactivate this Resume Search.

- Selected one (01) in four (04) support forms in the second time:

+ Re-post jobs (with Job Post 30-day - Basic) or:

+ Support package of ResumeSearch, 30 - days, 50 Credit to search resume within thirty (30) days. After that, VietnamWorks will not support to reactivate this Resume Search or:

+ Support to Search CVs or:

+ Advise keywords for Resume Search.

- Supported to Search CVs or Advise keywords for Resume Search for the second time supporting within eight (08) working hours from the requested time:

+ VietnamWorks does not commit and guarantee the number of CVs in this second support. The result would be depended on the content of job posting and VietnamWorks database at the supporting time.

+ Searching CVs will not be applied for job posting recruiting two (02) people or more or job posting does not have a clear job description or requirements despite the first advice on the content from VietnamWorks.

- Customer requests will be resolved within two (02) working hours except for the support of Searching CVs and Advising keywords.

iii. This support cannot be exchanged for cash or other products, services, and gifts.

iv. CLP Member will receive the special supports regarding 100% Satisfaction Guarantee Program throughout CLP 2019 period.

6. REWARD REDEMPTION METHODS

6.1 Within five (05) working days since qualifying a CLP membership status, customers will receive a congratulation email from VietnamWorks announcing the respective membership benefits they acquired (including CLP Voucher, HR Insider Event Ticket, Featured Employer Banner - Mobile App, Company Culture Profile, Exclusive Offsite Workshop Access).

6.2 Customers are expected to use only one (01) single account as a qualified membership account, in which the Total Value of approved POs are accumulated.

6.3 Customers are also responsible forproviding VietnamWorks with correct mailing address for CLP communication. If the company changes its legal name, tax code, mailing address, email address or telephone number, customers are required to notify your respective consultant as soon as possible. VietnamWorks will not be responsible or liable for any loss of printed materials sent to CLP member as a result of a member’s failure to notify information changes, lost by post office or other reasons beyond control of VietnamWorks.

7. OTHER TERMS AND CONDITIONS

7.1 The reward cannot be sold, purchased, donated, exchanged or transferred by customers to any other individuals/organizations/entities or other CLP members.

7.2 Total Value of approved POs in Transaction Period must not be transferred to VietnamWorks’ account of other customers/companies.

7.3 VietnamWorks is not responsible ifcustomers have not redeemed rewards in full or Redemption Period expires or not used/confirmed to use rewards with respective consultant in full or Using Period expires.

7.4 VietnamWorks will not be responsible for any changes after receiving customers’ redemption confirmation.

7.5 VietnamWorks is not responsible for any

claims, reward requests if the HR Insider Event/Exclusive Workshop is cancelled, replaced as the result of reasons beyond control of

VietnamWorks. Furthermore, VietnamWorks is not responsible for any claims relating to redemption request in the event of force majeure in compliance with Vietnamese regulations.

7.6 VietnamWorks is not responsible for any tax incurred from redemption and using CLP benefits.

7.7 VietnamWorks is not responsible for anyclaims, redemption requests in the event of customers who do not exchange reward or confirm attendance for HR Insider Event, Exclusive Offsite Workshop in compliance time, or the number of customers who attend HR Insider Event, Exclusive Offsite Workshop reach maximum at Redemption Period.

7.8 CLP members are bound by this Terms andConditions, as well as Terms and Conditions of using VietnamWorks’ services. This Terms and Conditions are written in Vietnamese and English. The Vietnamese version of these Terms and Conditions shall prevail wherever there is a discrepancy between the English and Vietnamese versions. In case of any complaints, VietnamWorks' decision will be the final.

5. DETAIL OF CLP MEMBERSHIP BENEFITS

5.1 CLP VOUCHER

i. Customers receive CLP Voucher of which the value based on the membership. If customers have received the CLP Voucher for the lower membership status before, an amount equal to the value of received CLP Voucher will be deducted from the value of the next CLP Voucher.

ii. CLP Voucher is not applicable for PO using Online Payment method.

iii. Only one (01) CLP Voucher is applicable in a single transaction.

iv. CLP Voucher is valid in three hundred and sixty five (365) days from the CLP Membership Date (“Redemption Period”).

v. CLP Voucher can only be redeemed for the PO having higher or same value of CLP Voucher during Redemption Period.

vi. Customers' actual payment is the total amount of invoice after deducting the value of CLP Voucher directly.

vii. CLP Voucher cannot be exchanged for cash or other products, services, and gifts.

viii. To redeem it, you need to confirm with your respective consultant.

5.2 HR INSIDER EVENT TICKET

i. Customers receive HR Insider Event Ticket (“Event Ticket”) which is to be organized or introduced by VietnamWorks two (02) times in 2020. The total number of Event Tickets is up to the maximum available tickets based on Customers’ membership status.

ii. To redeem it, you need to confirm your attendance with your respective consultant and the number of tickets you are going to redeem at least twenty (20) days prior to the Event date. Each HR Insider Event Ticket is applicable for one (01) individual to attend one (01) HR Insider Event.

iii. Event Ticket is valid from the CLP Membership Date to the end of the confirmation

period of the last HR Insider Event in 2020 (“Redemption Period”).

iv. Every change about the program content of HR Insider Event will be informed customer at least twenty (20) days before the Event begins.

v. Event Ticket cannot be exchanged for cash or other products, services, and gifts.

5.3 FEATURED EMPLOYER BANNER– MOBILE APP

i. Customers who receive Featured Employer Banner on Mobile Application (Featured Employer Banner - Mobile App) will be able to approach potential candidates by displaying their Customers’ name and logo ("banner") on the Homepage of VietnamWorks Mobile Application. The list of jobs posting and the page of the Customers’ detail information will appear when the candidate clicks on the banner.

ii. Customers receive Featured Employer Banner - Mobile App of which the quantity based on the membership. If customers have received Featured Employer Banner - Mobile App for the lower membership status before, an amount equal to the quantity of received Featured Employer Banner - Mobile App will be deducted from the quantity of the next Featured Employer Banner - Mobile App.

iii. Customers will be offered Featured Employer Banner - Mobile App to their accounts and have the right of using Featured Employer Banner - Mobile App on CLP Membership Date. To use this reward, Customers have to activate it within one hundred and eighty (180) days from that date (“Using Period”). After that, VietnamWorks will not support to reactivate this reward.

iv. One (01) Featured Employer Banner - Mobile App will be displayed within fifteen (15) days since being added to an online job posting. During the use of this feature, Customer must have at least one (01) online job posting in order to be able to display company information on the VietnamWorks Mobile Application Homepage with both operating systems: Android and iOS. Customers cannot simultaneously add multiple Featured Employer Banner - Mobile App to one (01) online job posting.

v. Featured Employer Banner - Mobile App cannot be exchanged for cash or other products, services, and gifts.

vi. Customers need to confirm with respective consultant about redemption request for the Featured Employer Banner - Mobile App within Using Period.

7. OTHER TERMS AND CONDITIONS

7.1 The reward cannot be sold, purchased, donated, exchanged or transferred by customers to any other individuals/organizations/entities or other CLP members.

7.2 Total Value of approved POs in Transaction Period must not be transferred to VietnamWorks’ account of other customers/companies.

7.3 VietnamWorks is not responsible ifcustomers have not redeemed rewards in full or Redemption Period expires or not used/confirmed to use rewards with respective consultant in full or Using Period expires.

5.4 COMPANY CULTURE PROFILE

i. Customers at Platinum or Diamond status will receive one (01) Company Culture Profile (“CCP”), which helps Employers to communicate their company culture and branding to potential candidates and attract right talents.

ii. Customers will be offered CCP to their account and have the right of building CCP on CLP Membership Date. CCP is valid for activating to build in one hundred and eighty (180) days from that date (“Using Period”). After that, VietnamWorks will not support to reactivate this reward.

iii. Customers need to confirm with respective consultant about redemption request for the CCP.

iv. CCP will go live within thirty (30) days from the date customers provided all necessary information to VietnamWorks.

v. From the online date of CCP, customers can manage CCP in three hundred and sixty five (365) days. After that, the CCP will continue to be online.

vi. For Platinum and Diamond Customers, new job posts are auto-notified to jobseekers who are following their CCP. Customers can directly receive CVs from job postings or from followers.

vii. If customers do not have existing CCP, VietnamWorks will design CCP according to the chosen template.

viii. If customers already had existing CCP, customers can either:

• Have the existing CCP redesigned and edited. Or:

• Use the existing CCP.

ix. Vietnamworks commit three thousands (3,000) views sessions on this page for Platinum Customers and five thousands (5,000) views for Diamond Customers. Platinum Customers, who received and redeemed CCP, can continue to be eligible for two thousands (2,000) views when upgrading to Diamond status based upon customer’s request.

x. If Platinum or Diamond Customers do not want to build CCP, VietnamWorks will exchange one (01) CCP for one (01) CLP Voucher valued 6,900,000 VND based upon request.

xi. Customers need to confirm with your respective consultant on request to build CCP or exchange the CCP for a CLP Voucher before making and confirming a Purchase Order which is eligible to become Platinum or Diamond members. Since the Platinum or Diamond membership has been rewarded, any request for a change of Reward, which had been previously selected by Customers, will not be accepted, or if there was no request for an exchange of CCP to be made, VietnamWorks will assume that Customers choose to build the CCP and will not support for any exchange request afterward.

5.5 EXCLUSIVE OFFSITE WORKSHOP ACCESS

i. Each Customer at Diamond membership status will receive maximum one (01) access for Exclusive Offsite Workshop (“Workshop Access”) which is to be organized or introduced at a luxury resort in Vietnam by VietnamWorks in 2020.

ii. To redeem it, you need to confirm your attendance with your respective consultant at least thirty (30) days prior to the Workshop date. Each Workshop Access is applicable for one (01) individual to attend one (01) Exclusive Offsite Workshop.

iii. Exclusive Workshop Access is valid from the CLP Membership Date to the end of the confirmation period of Exclusive Workshop Access in 2020 (“Redemption Period”).

iv. Exclusive Workshop Access cannot be exchanged for cash or other products, services, and gifts.

5.6 SPECIAL SUPPORTS REGARDING 100% SATISFACTION GUARANTEE PROGRAM

i. All CLP members will be rewarded with special supports regarding the 100% Satisfaction Guarantee Program.

ii. CLP members are subjected to the Terms and Conditions of 100% Satisfaction Guarantee Program, which is public on VietnamWorks’

website, and VietnamWorks’ terms of use. CLP members will receive special supports as listed below:

• Platinum and Diamond customers will be supported maximum two (02) times for each job posting if they are not satisfied with VietnamWorks job-posting service:

- Selected one (01) in two (02) support forms in the first time:

+ Re-post jobs (with full premium services of the original job) and review and advise the content of the first renewed jobs or:

+ Support package of Resume Search, 30 - days, 50 Credit to search resume within thirty (30) days. Customers will have thirty (30) days to activate this Resume Search. After that, VietnamWorks will not support to reactivate this Resume Search.

- Selected one (01) in four (04) support forms in the second time:

+ Re-post jobs (with Job Post 30-day - Basic) or:

+ Support package of ResumeSearch, 30 - days, 50 Credit to search resume within thirty (30) days. After that, VietnamWorks will not support to reactivate this Resume Search or:

+ Support to Search CVs or:

+ Advise keywords for Resume Search.

- Supported to Search CVs or Advise keywords for Resume Search for the second time supporting within eight (08) working hours from the requested time:

+ VietnamWorks does not commit and guarantee the number of CVs in this second support. The result would be depended on the content of job posting and VietnamWorks database at the supporting time.

+ Searching CVs will not be applied for job posting recruiting two (02) people or more or job posting does not have a clear job description or requirements despite the first advice on the content from VietnamWorks.

- Customer requests will be resolved within two (02) working hours except for the support of Searching CVs and Advising keywords.

iii. This support cannot be exchanged for cash or other products, services, and gifts.

iv. CLP Member will receive the special supports regarding 100% Satisfaction Guarantee Program throughout CLP 2019 period.

6. REWARD REDEMPTION METHODS

6.1 Within five (05) working days since qualifying a CLP membership status, customers will receive a congratulation email from VietnamWorks announcing the respective membership benefits they acquired (including CLP Voucher, HR Insider Event Ticket, Featured Employer Banner - Mobile App, Company Culture Profile, Exclusive Offsite Workshop Access).

6.2 Customers are expected to use only one (01) single account as a qualified membership account, in which the Total Value of approved POs are accumulated.

If the company changes its legal name, tax code, mailing address, email address or telephone number, customers are required to notify your respective consultant as soon as possible.
