BACKGROUNDIt is recommended that the reserved mineral estate underlying this parcel of land (the "Subject Property") be sold through anegotiated sale.  The surface of the Subject Property was exchanged to the purchaser's predecessor-in-interest in 1981 andwas subsequently developed as a hazardous waste landfill facility. At the time of the exchange, all coal and other minerals andright to prospect for, mine and remove the same was reserved to the State of Utah.

The reserved mineral estate was previously designated for transfer to the Bureau of Land Management ("BLM") in the pendingUtah Test and Training Range ("UTTR") land exchange. However, citing potential liability concerns, the BLM has requested thatthe Subject Property not be included in the exchange.

Pursuant to Utah Code Ann. 53C-2-401(d)(ii) and 53C-2-401(2) the trust may dispose of mineral interests in trust lands, withapproval of the Board of Trustees, in the event that their retention would create a liability exceeding their value.

On October 19, 2017, the Board of Trustees determined that the sale of the Subject Property is authorized pursuant to statestatute and approved the sale as an Other Business Arrangement ("OBA").

NARRATIVEThe Minerals Group and the Oil & Gas Group have reviewed this proposed transaction and have stated that there are noidentified mineral opportunities on the Subject Property. The surface of the property is entirely encumbered by a hazardouswaste disposal facility and it is surrounded by federal lands that will be withdrawn from mineral entry and leasing under theUTTR exchange legislation. It has been determined that retention of the Subject Property offers no anticipated benefit to thetrust and may pose some potential liability.

A total of 640.00 acres of coal, 640.00 acres of oil & gas, and 640.00 acres of other mineral estate are included in thistransaction. This combined mineral estate underlies 640.00 total acres of surface estate, which was previously disposed of bythe trust as described above.

FINANCIAL/REVENUEThe purchase price of $18.15 per acre was derived from the non-productive mineral estate valued and exchanged to the BLM inthe recent Utah Recreation Land Exchange Act. Given the anticipated sale price, a formal appraisal of the subject property wasdeemed cost prohibitive and not in the best interest of the trust beneficiary.

The sale price for the subject property is $11,616.00 plus the application fee of $250.00, and a sale processing fee of $500.00,totaling $12,366.00. The balance due will be collected when the sale closes with the purchaser.

SUMMARYThe Subject Property was approved to be sold through a negotiated sale.

A copy of the public notice was not sent to any adjoining landownersbecause the only adjoining landowner was the applicant.  

NARRATIVEEVALUATION OF FACTS:The application was submitted to the Resource Development Coordinating Committee ("RDCC") and to the required localgovernment offices. Favorable comments were received from both.  Initial consultation with the Agency's archaeological staff resulted in a recommendation that no cultural resource survey will berequired because this is not considered an undertaking, because the applicant has similar cultural resource protectionrequirements as the Trust. Therefore, all cultural resource requirements have been met. As per R850-30-500-2(a) the Director waived the solicitation of competing applications because the applicant has the necessarylaw enforcement personnel needed to  properly manage the area. As no other competing applications were received, the initial application was selected for review pursuant to R850-30-500(2)(g).The applicant was notified of the need to submit a sealed bid pursuant to rule. A bid was received which proposes to pay rentalin the amount of $600.00 per year. R850-30-400 requires that the Trust receive at least fair-market value for surface leases. An analysis of the value of the propertyindicated a value of $300,000.00. Based on this value the annual lease payment offered by the applicant of $600.00 per year isbelow fair-market value requirements established by rule. However, the lease contains an early termination clause which allowsthe Trust to cancel the lease if/when a higher or better use presents itself. The lease also contains strong language which allowsfor the prospecting, development and extraction of all oil, gas and other minerals in the area on or related to the subjectproperty. Therefore, the issuance of this lease will be a good solution to a interim problem and shouldn't impact the futurehighest and best use of the property. The applicant requested a term of five (5) years, subject to renewal/termination. This term is within the standard term for thistype of lease as described in R850-30-200.

BACKGROUND

SULA 1533 is issued to South Central Utah Telephone Association. It is a small tower site lease which is to be terminated,effective January 1, 2018. All site improvements have been removed and the site has been reclaimed.

NARRATIVEThe lease is an older microwave communication tower site previously used for telephone communication purposes. It waspreviously authorized under SULA 767, a 20-year lease which expired December 31, 2007. The site was subsequentlyauthorized by SULA 1533. The site has been used for the last 10 years only as a backup microwave radio link for telephoneservice in the event of an emergency, if and when the fiber optic lines were not operational. It has also been authorized for useas a internal company mobile radio use. During the past 10 years, there has not been any operational use of the site and thelessee informed the Trust that it no longer has any use for the site and requested removal of the obsolete site and expressedthe desire to relinquish its interest in the lease.

The site had a 20-foot high lattice tower and a 12-foot x 24-foot concrete block radio equipment building. The site has beenpowered in the past by a small wind generator and had a propane tank for backup power. There was also a chain link fencesurrounding the improvements.

All site improvements, including the foundation have been removed from the site by a contractor and transported from trustlands, and the site has been reclaimed and reseeded. Agency staff consulted with the Trust Lands Range Conservationistregarding the reclamation seed mix and the completed reclamation was also reviewed with an environmental compliance staffmember, and is considered completed. The $8,000.00 bond is to be released through a separate director's action.

FINANCIAL/REVENUEThe current annual rent for this lease is $1,980.00, and it is paid through December 31, 2017.

The Trust and the lessee have discussed the termination of this lease. All site improvements have been removed and the sitehas been reclaimed and reseeded. The site has not been operational for years, yet the rent has been paid pursuant to the termsof the contract. 

The lease agreement contains a termination clause that allows the Trust to terminate the lease effective January 1, 2018.Following is a portion of Article 41. Termination:  "The LESSOR may terminate this agreement effective January 1, 2018, if theLESSEE does not have operation equipment on the site, actively being used in part of its operation."

The Trust and the lessee are both in agreement, through discussion and written communication, that the lease should beterminated effective January, 1, 2018. No further rentals are required for this lease.
