Information Needed for Transfer of Control

Definitions:

Control: Control of a license is in the hands of the person or persons who are empowered to decide when and how that license will be used. That control is to be found in the person or persons who, because of ownership or authority explicitly delegated by the owners, possess the power to determine corporate policy and thus the direction of the activities under the license.

Transferee: A transferee is an entity that proposes to purchase or otherwise gain control of an NRC-licensed operation.

Transferor: A transferor is an NRC licensee selling or otherwise giving up control of a licensed operation.

Licensees must provide full information and obtain NRC's prior written consent before transferring contro l of the license. Provide the following information concerning changes of control by the applicant (transferor and/or transferee, as appropriate). If any items are not applicable, so state.

1. Provide a complete description of the transaction (transfer of stocks or assets, or merger). Indicate whether the name has changed and include the new name. Include the name and telephone number of a licensee contact who NRC may contact if more information is needed.

Answer#1: AMEC recently completed legal formalities that changed the company name from AMEC Environment & Infrastructure, Inc. to Amec Foster Wheeler Environment & Infrastructure, Inc. This company name change occurred on January 1, 2015. This is as a result of our parent company, AMEC pic, acquiring Foster Wheeler AG, and making a corporate decision to change the names of numerous operating companies to reflect the combination of the two businesses. Please note that there has been no change in the FEIN, no change in ownership, nor any change in management of the Company. The Company has not merged with any other entity, has not assigned any contracts to any other entity, nor has it transferred any assets to any other entity. License activities will be conducted and continued in accordance with the conditions and requirements of the license (05-27748-01, Amendment 1 0) as currently written. The name change did not and will not change the management structure and responsibilities associated with the license.

2. Describe any changes in personnel or duties that relate to the licensed program. Include training and experience for new personnel.

Answer#2: No changes in personnel or their duties were made, relating to the licensed program, because of the company name change. The identified RSO (Article 13 B) and authorized material users (Article 13 A) remain the same.

3. Describe any changes in the organization, location, facilities, equipment or procedures that relate to the licensed program.

Answer#3: No changes in the organization, location, facilities, equipment and/or procedures that relate to the licensed program occurred because of the company name change. It is expected that over the two-year procedure review cycle of our RP procedures, the company name will be "revised" to the new name. No other procedure revisions should be necessary during this review cycle process.

4. Describe the status of the surveillance program (surveys, wipe tests, quality control) at the present time and the expected status at the time that control is to be transferred.

Answer#4: The status of the surveillance program remains unaffected (current and in compliance) as no personnel or organizational changes are being made as a result of the company name change.

5. Confirm that all records concerning the safe and effective decommissioning of the facility will be transferred to the transferee or to NRC, as appropriate. These records include documentation of surveys of ambient radiation levels and fixed and/or removable contamination, including methods and sensitivity.

Answer#5: As this is a company name change only, no records, concerning the safe and effective decommissioning of the facility, will be transferred to the transferee or to the NRC. Radiological program and decommissioning records will be maintained in accordance with the current licensee's Radiological Program policies, procedures and applicable regulations.

6. Confirm that the transferee will abide by all constraints, conditions, requirements and commitments of the transferor or that the transferee will submit a complete description of the proposed licensed program.

Answer#6: As this is a company name change only, no transfer of license constraints, conditions, requirements and commitments has taken place or will take place in the future. The current licensee program and requirements remains in effect and current.

AMEC Environment & Infrastructure, Inc. (AMEC) is requesting an amendment to the subject license (issued under Docket No. 030-36204). In accordance with License Amendment No. 10 letter (Amendment 11 license has not yet been issued by the NRC), dated August 26, 2013, Item 4.d, A_MEC is notifying you that a name change will occur on or about January 1, 2015. The name of the company will change from "AMEC Environment & Infrastructure, Inc." to "Amec Foster Wheeler Environment & Infrastructure, Inc." o other changes of ownership, control, staffing or physical office location will occur because of this name change.

This amendment request is due solely to a forthcoming name change of the company, and will not result in any change in current or future operations or management of the license. The employees named in the license (13. A, B) will retain responsibility for licensed operations. Written programs and procedures that govern licensed activities will be edited to reflect the change in company name during routine reviews.
