Dear Alabama Natural Gas Association Members,

We began this ANGA year during unprecedented times. As an association we last met in person just days before the first COVID-19 case was reported in Alabama. As a result, we have felt the need and seen the importance of the strong relationships we have formed within ANGA. We continue to learn from each other ways to adapt in providing safe and reliable natural gas to our communities, businesses and industries in the face of a global pandemic.

The theme for this ANGA year is “Fueling Alabama’s Future.” According to a report published by the U.S. Energy Information Administration at the time of this writing, the United States produced and consumed record volumes of natural gas last year. Even with these increases in supply and demand, there are many who wish to limit the consumer’s choice when it comes to energy. You have seen some of these plans enacted outside of our state. As a result, I feel we should respond by increasingly promoting the benefits of natural gas as a proven energy choice. While individual consumers may be the focus of much of this attention, we also understand the critical importance of natural gas to businesses and industries of all sizes in every corner of our state…and beyond.

There is an unofficial theme that I would like to weave into this year, which is “family.” Over the years you have treated my family and me as your own, and we hope to be able to return that to each of you. The relationships that we form between systems, individuals, corporate members, and affiliate members, bring and keep us together. I feel fortunate to have been a part of ANGA as both an affiliate and a corporate member. Through those experiences I have seen firsthand how we help each other and grow mutually.

For years I have been amazed at what you are able to accomplish as an almost entirely volunteer organization. ANGA is a model for other associations both regionally and nationally. You can be proud of this, and the credit goes to all of you who have put your heart and soul into our group over the years. With these things in mind I hope that you will take a moment to get to know our leadership team. We have a fantastic group of officers, directors, committee chairs and active past presidents. Please reach out to myself or any member of the team if there is a way that we may better serve your organization, or if there is an ANGA related issue that you would like to discuss.

I cannot end without saying a special “thank you!” to our 2019-2020 ANGA President, Kevin Saucier. More than one curveball was thrown his way during his time as an officer and as President. When we are able to be together again I look forward to being able to thank Kevin for his leadership and continuing friendship.Thank you for allowing me to serve as your Alabama Natural Gas Association President.

ALABAMA NATURAL GAS ASSOCIATIONBYLAWS

Article I - Title and ObjectSection 1. The name of the organization shall be the "ALABAMA NATURAL GAS ASSOCIATION." When the name "Association" is used in these Bylaws, it shall mean the Alabama Natural Gas Association. The name "Corporation" shall have the same meaning.Section 2. The objectives of this corporation shall be as follows: To promote the natural gas industry in a manner deemed necessary by its board of directors. To collect and disseminate management, sales and technical information, and data among members of the Corporation relating to the sale and distribution of gas and its use, and the sale of gas appliances and equipment and their use. To compile and publish such information as may be desirable and advisable to promote safety in the sale and distribution of gas and its use by the public. To sponsor and conduct conferences, schools, and programs that in forms and trains personnel in the gas industry. To do any and all lawful things necessary or desirable to foster governmental understanding of, confidence in, and cooperation with the gas industry.

Article II - GovernmentSection 1. The Alabama Natural Gas Association shall operate in the State of Alabama.Section 2. The associated area shall be defined as that region composed of the above named State and may be changed at any time by appropriate amendment.Section 3. The Corporation shall have its domicile in a location as determined by the Board of Directors.

Article III - ManagementSection 1. The Association shall be managed by a Board of directors consisting of 21 members (to be elected as hereinafter provided) of which a majority shall constitute a quorum. The Board of Directors is to be made up of all segments of the industry, with representation as follows: 2 Private or Investor Owned Primary Corporate Members (Distribution), 4 Primary Corporate Members (Pipeline), 5 Primary Affiliate Members and 10 Municipal, County or Gas District Primary Corporate Members (Distribution).Section 2. The officers of the Association shall be a President, one or more Vice Presidents, a Treasurer, and an Executive Director. They shall be elected by the Board of Directors from among the Directors. They shall have the duties and powers normally assigned to and performed by officers of a nonprofit organization and such others as may be prescribed in the bylaws. Unless duly elected as Director, the Executive Director shall have no voting rights at meetings of the Board. The term of office of all officers shall be for one year coinciding with the Corporation's fiscal year or continuing until his successor is duly elected and qualified.Section 3. In the event of the death, resignation, refusal or inability to serve of a Director or an Officer, his office shall be declared vacant by the Board of Directors and the Board shall elect a replacement to serve during the remainder of the term vacated.Section 4. The fiscal year shall be July 1 through June 30.

Section 5. An Advisory Committee comprised of all Past Presidents who are active members of the Association shall serve in an advisory capacity and shall remain on the Board of Directors as ex officio members, unless currently serving as an active Board member. The duties of the Advisory Committee shall consist of investigating and recommending solutions regarding specific situations or problems presented to it by the Board of Directors.

Article IV - Bylaws The Bylaws of this Corporation may be amended or repealed by the Board of Directors at any regular or special meeting, or mailed amendment, except for changes to Article XI Dues -Sections 1, 2 and 8, and amendments derived from the membership as provided in Article XX. Adoption of the bylaws or any amendment thereto as provided in this Article shall require a three-fourths majority vote of the Board of Directors.

Article V - Amendment of Charter A three-fourths majority vote of the Corporate members shall be necessary for the amendment of the Charter of this Corporation.

Article VI - Employees The Board of Directors may employ such assistance on a full or part- time basis as they deem necessary to properly conduct the business of the Corporation and shall fix the compensation of such employee.

Article VII - Delegates Primary Corporate Members shall authorize one Delegate to the Association and shall exercise all of their rights and privileges as members through such Delegate. Affiliate members shall authorize the five affiliate board members as Delegates to the Association to represent the affiliate members and shall exercise all of their rights and privileges as members through such Delegates.

Article VIII - MeetingsSection 1. The Annual Meeting of the Corporation shall be held between May 1 and June 30 of each year, unless otherwise voted on by the board of directors. Special meetings may be called by the President or by a majority of the Board of Directors. Special meetings may also be called by corporate members as provided in Section 3 of this Article.Section 2. The time and place of Association meetings shall be fixed by the Board of Directors. The Board of Directors shall also meet at each general meeting and at such other times and places as may be directed by the President. The President may also decide to conduct a meeting of the Board of Directors via conference call. Section 3. Should one-third or more of the Delegates desire a special meeting of the Association and the Board of Directors refuses to call the same, the Delegates shall have the authority to call the meeting by complying with Sections 6 and 7 of this Article. Section 4. Special meetings called by Delegates must have a majority present to be qualified to transact business. If the President and a Vice President are not present and if the Executive Director is not present, the meeting shall elect a Chairman and Secretary and proceed to act on the business for which it was called. The elected Secretary will assume the duties of the Executive Director for this meeting. No business shall be transacted at such a special meeting except that for which it was called.

Section 5. All special meetings shall adopt a resolution clearly stating and defining the business transacted and the Chairman and Secretary shall sign and attest the resolution. When a copy of the signed resolution is presented to the President or the Board of Directors, it shall be recorded in the minutes of the Association and reported to the Association at its next regular or special meeting. Provided the Charter and these bylaws have been complied with, business transacted at a special meeting called by the Delegates shall have the same force and effect as business transacted at any ther meeting of the Association. Section 6. Notice of the time and place of regular meetings will be posted on the Association’s web site. Notice of the time and place of special meetings shall be given to Delegates in writing not less than ten days before the time fixed for the meeting.Section 7. A letter or postcard signed by the President, Executive Director, or by one-third of the Delegates and mailed to each Delegate's address as shown on Association records shall constitute proper notice of special meetings. Notice of a special meeting called by the Delegates shall state the purpose for which it is called. Section 8. Meetings of the Association and of the Board of Directors shall be conducted in accordance with Robert's Rules of Order, latest edition. The order of business for meetings shall be as follows: A. Call to order. Roll Call. Determination by presiding officer that a quorum or majority is present and the meeting is qualified to transact business.D. Reading of minutes of previous meeting and correction of errors and omissions, if any.E. Treasurer's report.F. Executive Director’s report.G. Report of committees.H. Pending or deferred business.I. New Business.J. Good of the Association.K. Adjournment.Section 9. The presiding officer may vary the order of business if he chooses. Pending or deferred business carried over from a regular meeting may be acted on at a special meeting or vice versa.Section 10. Meetings of the Association and of the Board of Directors shall not be qualified to transact business unless attended by a quorum. A quorum for Association meetings and a quorum for meetings of the Board of Directors shall be a majority in each instance, except to transact business under Articles IV and V. Section 11. Minutes of Meetings: (A) The Executive Director shall keep minutes of meetings of the Association and of the Board of Directors. The minutes shall be typewritten into a suitable record book and shall be open for inspection by Delegates at all reasonable times. (B) As soon after meetings as practicable, the Executive Director shall cause the minutes thereof to be reproduced in typewritten form and shall mail a complete copy of same to all Directors. The Executive Director may elect to send, via electronic mail or facsimile, a copy of the minutes to all Directors. (C) By majority vote, any Member may waive the reading of the minutes of a previous meeting.

Article IX - Members The Association shall have five classes of members, Corporate (Primary & Secondary), Associate, Affiliate (Primary & Secondary), Honorary and Distinguished Members shall be admitted to each class by majority vote of the Board of Directors.

Article X - Members DefinedSection 1. Corporate Members: Primary Corporate Members: Primary Corporate Members shall be persons, firms, companies or corporations actively engaged in the business of operating a wholesale or retail natural gas sales distribution system (Distribution) or a natural gas transmission system (Pipeline) within the State of Alabama including all private, investor owned, municipal, county and special gas district entities. Secondary Corporate Members Secondary Corporate Members shall be persons, firms, companies or corporations actively engaged in the business of operating a wholesale or retail natural gas distribution and/or transmission system(s) outside the State of Alabama. Secondary Corporate Members are entitled to all education, training and marketing opportunities sponsored by the AssociationSection 2. Associate Members shall be permanent employees of Corporate or Affiliate Members. No person shall be admitted to Associate Membership unless his employer is a Corporate or Affiliate Member and shall have nominated him for Associate Membership.

Section 3. Affiliate Members: (A) Primary Affiliate Members shall be persons, firms, companies or corporations actively engaged in the manufacture or fabrication of gas appliances or equipment for the gas industry; the sale or distribution of same; or persons, firms, companies or corporations that furnish professional services to the gas industry. A Corporate Member must nominate Primary Affiliate Members. Primary Affiliate Members are allowed to serve on ANGA Board of Directors. Primary Affiliate Members receive preferred presentation opportunities at ANGA events. Primary Affiliate Members are allowed to have display booths at ANGA seminar events, booths are available upon payment of registration and exhibit fee. (B) Secondary Affiliate Members shall be Manufacturers/Suppliers who provide resources and contribute to the value of ANGA Affiliates and who enhance the educational and operating needs of the membership at large. Secondary Affiliate members must be sponsored by and listed under a Primary Affiliate member company. Secondary Affiliate products and/or service must be provided by the sponsoring Primary Affiliate Member. Secondary Affiliate Members may not serve on the ANGA Board of Directors and are not allowed to have display booths at ANGA seminar events.

Section 4. Honorary Membership in the Association may be extended by the Board of Directors of the Association to any person who has rendered meritorious service to the Association but who is not otherwise qualified for membership. Eligibility for Honorary Membership shall be determined by a two-thirds affirmative vote of the Board of Directors. Any person found eligible for Honorary Membership by the Board of Directors shall promptly have extended to him an invitation to become an Honorary Member of the Association. No Association dues shall be imposed upon any Honorary Member. Honorary Members shall not be entitled to vote at any election of Officers or Directors of the Association or on any other matter coming before the Association. An Honorary Membership may be revoked at any time by a two-thirds affirmative vote of the Board of Directors. Any person who becomes an Honorary Member of the Association and thereafter becomes actively engaged in the gas industry shall thereupon become disqualified and become ineligible to maintain the Honorary Member designation. Section 5. Distinguished Membership in the Association may be extended by the Board of Directors of the Association to any person who has demonstrated exceptional service to the gas industry and the Association by actively serving on standing committees and/or a member or officer of the Board of Directors. Eligibility for Distinguished Members shall be determined by two-thirds affirmative vote of the Board of Directors and may be bestowed on the member in the twilight of his service to the industry and Association, provided the member has committed to cease from being actively engaged in the gas industry within one year. Distinguished Members shall not be entitled to vote at any election of Officers or Directors of the Association or on any other matter coming before the Association. No Association dues or conference fees shall be required of any Distinguished Member. Any person who becomes a Distinguished Member of the Association and there after becomes actively engaged in the gas industry shall thereupon become disqualified and become ineligible to maintain the Distinguished Member designation.

Article XI - DuesSection I. Primary Corporate Members (Distribution) shall pay annual dues in an amount equal to fifty cents, $0.50, for each meter the member had in service on the last day of the calendar year immediately prior to the start of the Association’s fiscal year. Minimum dues are $1,000.00

Secondary Corporate Members shall pay an amount equal to fifty cents, $0.50, per each active meter the member had in service on the last day of the year immediately prior the Association’s fiscal year. The minimum dues shall be $1,000 and the maximum dues shall be $4,500. Section 2. Primary Corporate Members (Pipeline) shall pay dues based on the annual deliveries in Alabama as follows:

Up to 50 Bcf/year $5,000 50 Bcf – 100 Bcf/year $10,000 100 Bcf – 150 Bcf/year $15,000 Over 150 Bcf/year $20,000

Section 3. Affiliate Members who are natural gas marketers and storage service providers shall pay dues of $2,000 annually. All other Primary Affiliate Members shall pay $500 annually. Secondary Members shall pay dues of $250 annually. Section 4. Associate Members shall pay dues of $25 annually.Section 5. Dues shall become due and payable on the first day of the Association's fiscal year. Section 6. A new Corporate or Affiliate Member admitted during the first 6 months of the fiscal year shall pay for a full year. If admitted during the last 6 months of the fiscal year, such member shall pay one-half of the annual dues. Section 7. Associate Members admitted during the year shall not have their dues prorated. Section 8. The raising and/or lowering of dues for Corporate Members shall require approval of the Board of Directors by a three-fourths majority vote of all directors and a ratification of the Board's action by a majority vote of all the Corporate Member Delegates. Dues of Associate and Affiliate Members may be raised or lowered by the Board of Directors.

Article XII - AssessmentsSection I. Special assessments levied shall require approval by a three-fourths majority vote of all directors and a ratification of the Board's action by a three-fourths majority of all the Corporate Member Delegates. Section 2. Referendums on special assessments may be conducted by mail, USPS or electronic, in the same manner prescribed in Article XII – Section 1.Section 3. Upon ratification of a special assessment by the Delegates, the Board of Directors shall adopt a new resolution declaring it approved and levying it against Corporate Members. The resolution shall state the purpose for which the assessment was voted, the time limit within which it shall be paid, and shall authorize the expenditure of funds for that purpose. Section 4. Special assessments shall be proportional. Each Corporate Member shall pay as his share a percentage of the total assessment equal to the percentage of his annual dues to the sum total of annual dues paid by all Corporate Members. Section 5. Special assessments may be levied against Corporate Members only.

Article XIII - Accounting for FundsSection 1. All monies due the Association shall be turned over to the Executive Director or Treasurer who shall deposit them in a bank account in a depository approved by the Board of Directors. Section 2. Disbursements of Association funds shall be by check. No funds shall be disbursed except by authority of the Board of Directors. The Board may authorize the payment of continuing expenses of the Association, such as salaries, rent, office expenses and the like. Section 3. The Executive Director or Treasurer shall keep an account book in which they shall enter all receipts of money, showing from whom received and for what purpose. They shall also keep an account book in which they shall enter all disbursements of money, showing to whom paid and for what purpose. Section 4. Checks drawn against the Association's bank account in the sum of $100.00 or less shall require the signature of the Treasurer only. Checks for larger amounts shall require the signature of two officers of the Association.

Section 5. Upon the dissolution of the Association, either by vote of the membership, abandonment of purpose, or by operation of law, all of the assets of the Corporation, after payment of or provision for all of its liabilities, shall be distributed exclusively for the common business interests of its members or to organizations that have purposes similar to those set forth herein and are exempt from Federal income tax under Section 501(c)(6) of the Internal Revenue Code, as amended, or corresponding provisions of any subsequent federal tax laws.

Article XIV - AttendanceSection 1. Delegates are expected to attend all regular and special meetings. Section 2. If a Delegate is unable to attend a meeting, his Corporate Member may give his proxy to another executive of such Corporate Member who could qualify as a Delegate. The Proxy Delegate shall have the same vote as an Accredited Delegate.Section 3. Directors shall attend all meetings of the Board. If a Director fails to attend fifty percent of the Board meetings in any one year, without being excused from those missed, he may be dismissed by the Board as a Director and his post may be filled by appointment from the Board of another Delegate to the post so vacated. A Director may provide written proxy or may send verbal or written proxy by an Associate Member of his firm.

Article XV - Executive Sessions Delegates may declare regular or special meetings of the Association to be executive sessions and exclude all persons therefrom, except Delegates and others specifically authorized by the same resolution to remain. The Board of Directors shall have the same authority in respect to its meetings.

Article XVI - AccreditationSection 1. A Delegate named by a Corporate Member shall become accredited upon the presentation to the President or Director of his credentials. Receipt of each Delegate's credentials shall be noted in the minutes. Section 2. Cancellation of an accreditation shall become effective upon receipt of written instructions to that effect from a Corporate Member. Cancellations shall be recorded in the minutes. Section 3. In the event that the dues or assessments as outlined in Article XI have not been paid within 90 days of the due date, the membership shall be referred to the Board of Directors for appropriate action. Section 4. In case a Delegate is a member of the Board of Directors, cancellation of his accreditation shall automatically terminate his membership on the Board. The vacancy thus created shall be filled by the Board of Directors from among the Delegates. Cancellation shall also terminate a Delegate's membership on any committee to which he may have been appointed.

Article XVII - OfficersSection I. The Officers of the Association will be the President, First Vice President, Second Vice President and Treasurer.Section 2. The President shall preside at all meetings of the Association and of the Board and shall exercise general supervision and control over all affairs of the Corporation. It shall also be the duty of the President to appoint all standing and special committees and their designated chairs.

Section 3. The First Vice President shall perform the duties of the President in his/her absence. Should the office of the President become vacant, the First Vice President will automatically become the President for the remainder of the term. The First Vice President will be responsible for oversight of the Governmental Affairs, Training and Education, Marketing/Publicity, Operations committees and any other assignments by the President.Section 4. The Second Vice President shall move into the office of the First Vice President should a vacancy occur for the remainder of the term. The Second Vice President will be responsible for the Membership, Mutual Assistance, Credentials and Endowment, Strategic Planning committees and any other assignments by the President. Section 5. The Treasurer, in conjunction with the Executive Director, shall keep financial records and render a report of the financial status of the Association at the close of the fiscal year and make such reports to the Board of Directors and keep records and disperse funds as outlined in Article XIII, Sections 1, 2, 3 and 4.Section 6. The Executive Director shall keep the minutes of all meetings of the Association and of the Board, and shall have charge of the records of the Association. He shall give notice of all meetings of the Association to the members thereof, and shall give notice of all meetings of the Board to all members thereof, and shall conduct the general correspondence of the Association.

Article XVIII - ElectionsSection 1. Sixty days before the annual meeting, the President shall appoint a nominating committee of three Delegates who may or may not be members of the Board of Directors. The committee shall select the appropriate number of nominees from among the Members as candidates for the Board of Director.Section 2. At the annual meeting, the nominating committee shall place the list of nominees in nomination. Nominations for Directors may be made from the floor but shall require one second to the nomination to be official and qualify for ballot. Section 3. Election shall be by a majority of the votes cast for each Director. In case of a tie vote, the nominees affected by the tie may agree on how it is to be broken. If they should refuse or fail to agree on a method, the President shall decide how the tie is to be broken.Section 4. The Board of Directors, by a three-fourths majority vote of its members, may submit any question for the good of the Association to a referendum of the Delegates. Section 5. Directors shall be elected for three-year terms. Section 6. In the absence of an annual meeting the nominating committee shall place the list of nominations for the board of directors into consideration before the current board of directors. Election shall be by a majority vote of the current board of directors.

Article XIX - CommitteesSection 1. The Board of Directors shall determine the number and kind of standing committees and prescribe the duties of each. Section 2. The President shall create special committees and prescribe their duties.Section 3. The President shall appoint the chairmen and members of standing and special committees which shall be approved by the Board of Directors.

Article XX - Amendments These bylaws may be amended or repealed by no less than a majority of the Membership at any regular or special meeting, or by mailed amendment, provided, however, that the notice of any proposed amendment shall be mailed to each voting Delegate member at least ten days prior to the meeting or date at which action is to be taken thereon. The bylaws may be amended or repealed by the Board of Directors at any regular or special meeting, or by mailed amendment, provided, however, that the Board of Directors shall not have the power to amend or repeal any bylaws which have been specifically adopted or amended by the Membership through a special meeting or vote called by the Membership after July 1, 2012. Any bylaws existing prior to July 1, 2012 or bylaw amendments or adoptions originating with the Board of Directors may be amended or repealed by the Board of Directors as provided in Article IV.

Corporate Members, (distribution companies) = $0.50 per meter per year ($1,000 minimum)

Corporate and Affiliate Membership Dues Include one member of the firm who will serve as its official representative. Any additional employees of the firm are known as Associate Members. Associate Members shall pay annual dues of $25.00 each.

Endowment Fund. The Alabama Natural Gas Association and the family of William E. Bright in concert with The University of Alabama established an Endowment Fund in 1991 as part of the Association's Twenty-fifth Anniversary. All contributions are voluntary, and any amount will be greatly appreciated.

Dues shall become payable on the first day of the Association’s fiscal year (July 1).

In the event that dues have not been paid within ninety (90) days of the due date, the membership shall be referred to the Board of Directors for appropriate action.

A new Corporate or Affiliate Member admitted during the first 6 months of the fiscal year shall pay for a full year. If admitted during the last 6 months of the fiscal year, such member shall pay one-half of the annual dues. Associate members admitted during the year shall not have their dues prorated.

Mission Statement

The Alabama Natural Gas Association, a non profit organization, was Incorporated in the State of Alabama on September 16, 1966.

The purpose and objectives of the corporation are:

(a) To promote the natural gas industry;

(b) To collect and disseminate management, sales and technical information and data among members of the corporation relating to the sale and distribution of gas and its use and the sale of gas appliances and equipment and their uses;

(c) To compile and publish such information as may be desirable and advisable to promote safety in the sales and distribution of gas and its use by the public;

(d) To sponsor and conduct conferences, schools and programs that inform and train personnel of the gas industry;

(e) To do any and all lawful things necessary or desirable to foster government understanding to, confidence in and cooperation with the gas industry.

Seminars and round-table discussions will be held throughout the year. Every effort should be made to attend these informative meetings, and of course, the 55th Annual Conference which will be held in June 2021.

MarieCo has developed an onsite training program providing “Hands on Training” with actual measurement and control equipment using compressed air as the flowing media. With the high cost of travel our Mobile Training Unit “MTU” can

lower the cost of technical training while providing a comprehensive interactive approach. Training includes but is not limited to set up of Regulator/Relief, Monitor/Regulator stations, Control Valves, Correctors, Flow

Computers, Measurement equipment. In addition to training, the “MTU” allows us to set up abnormal operating conditions so that operators and

technicians can develop troubleshooting skills in a controlled environment.
