1.0 PURPOSE

The Town of Front Royal, Virginia, is soliciting written bids for firm delivered pricing for various chemicals for their Water Treatment Plant and Wastewater Treatment Plant will be from July 15, 2020 through June 30, 2021 and may be renewable for three (3) additional one-year terms at the option of both parties. Separate contracts may be awarded for each chemical described above based on the unit price provided by the bidders. The quantities shown are estimates of usage during the year, presented in order to obtain unit pricing. Delivery of the chemicals will be made on an as-needed, will-call basis, due to limited storage space. If the Town decides to renew the contract for an additional one-year period, any additional compensation above that specified in the previous year’s contract shall be negotiated and mutually agreed upon in writing by the Independent Contractor and the Town, based on documented increases in expenses, at least three months prior to renewal of the contract. Failure of the contractor to give notice of price increase or intent to terminate at least three months before the anniversary shall result in the contract continuing on the same terms as the previous year during the following year. The Town of Front Royal reserves the right to accept or reject any and all quotations received; to waive informalities; to negotiate with the lowest qualified bidder in order to stay within available budget funding; and to award the bid as deemed by the Town to be in the best interest of the Town of Front Royal. The successful Bidder warrants that all goods provided shall conform with all applicable Federal, State and local laws and regulations. All material and/or equipment furnished shall be new, unused and shall be the same as the manufacturer's current production model unless specified otherwise by the Town. O. Box 1560, Front Royal, VA 22630, prior to the date and time stated above. Provide a copy of SDS for

The quoted price shall be F.O.B. destination, and shall include all freight costs, including inside delivery to the Town of Front Royal Water Treatment Plant 1 Aqueduct Lane Front Royal, VA 22630 and the Wastewater Treatment Plant 1100 Manassas Ave. Front Royal, VA 22630.

Delivery is preferred within 30 days after order is placed. Bidders shall specify delivery if so, requested on the BID FORM.

2.0 GENERAL TERMS AND CONDITIONS

Nothing herein is intended to exclude any responsible firm or in any way restrain or restrict

competition. On the contrary, all responsible firms are encouraged to submit quotations.

All costs of quotation preparation and presentation shall be borne by each Bidder. The Town of

Front Royal is not liable for any cost incurred by the Bidder prior to issuance of a contract.

1. Mandatory requirements are those required by law or regulation or are such that they cannot be waived and are not subject to negotiation.

2. All Bidders shall abide by all applicable Federal, State and Local laws and regulations.

3. Please Note: In the event that the Town of Front Royal offices are closed due to inclement weather and/or emergency situations prior to or at the time set aside for receipt of this proposal, the published due date will default to the next open business day at the same time.

4. Bids shall be enclosed in a sealed envelope clearly marked in the lower left-hand corner "IFB #22-2020 Chemicals", and mailed to the Town of Front Royal, Purchasing Department, P.O. Box 1560, Front Royal, VA 22630. Bids may also be hand delivered to the Purchasing Department, 102 East Main Street, Front Royal. The Bid Form and all other documents must be enclosed and delivered in a sealed envelope. The Bidder shall place t h e name a nd a dd res s on t h e l o we r l e f t co rne r o f t he e nv e lo pe .

5. It is the sole responsibil i ty of the Bidder to ensure that its bid is delivered to the place designated for receipt of bids prior to the designated date and hour set for receipt of bids. No bid received after the time designated for receipt of bid will be considered and shall be discarded by the Town. Fax, email or other digitally transmitted bids will not be accepted. The Town of Front Royal is not responsible for delays in the delivery of the mail by the U.S. Postal Service, private couriers, or the inter-office mail system. The time of submission shall be solely based on the decision and determination of the Town employee who received the bid and that decision shall be final.

6. Bid submissions must be on the enclosed bid forms. Failure to submit a bid on the official Town form provided for that purpose shall be cause for rejection. Modification or additions to any portion of the solicitation may be cause for rejection of the bid; however the Town reserves the right to decide on a case-by-case basis, it its sole discretion, whether or not to reject such a bid as nonresponsive.

7. Any bid in response to this solicitation shall be valid for 60 DAYS after the date specified for receipt of bids. No bid may be withdrawn or changed during this period. At the end of the 60 days the bid may be withdrawn at the written request of the Bidder. If the bid is not withdrawn at that time, it will remain in effect until an award is made or the solicitation is cancelled.

8. No bid, once submitted, may be withdrawn due to error except in accordance with the provisions of the Code of Virginia. The Bidder shall submit to the Purchasing Agent

the original work papers, documents, and materials used in the preparation of the bid within two business days after the date fixed for submission of the bids. The work papers shall be delivered in person or by certified mail. The Bidder shall identify in sufficient detail the nature of the mistake. Such mistake shall be proved only from the original work papers, documents, and materials delivered as required herein.

9. No bid may be withdrawn under this section when the result would be awarding the contract on another bid of the same Bidder or of another Bidder in which ownership of the withdrawing Bidder is more than five percent (5%). If a bid is withdrawn under the authority of this section, the lowest remaining bid shall be deemed to be the low bid.

10. No Bidder who is permitted to withdraw a bid shall, for compensation, supply any material or labor to or perform any subcontract or other work agreement for the person or firm to whom the contract is awarded or otherwise benefit, directly or indirectly, from the performance of the project for which the withdrawn bid was submitted.

11. If the Town denies t h e withdrawal of a bid under the provision of this section, it shall notify the Bidder in writing stating the reasons for its decision and award the contract to such Bidder at the bid price, provided such Bidder is a responsive and responsible Bidder.

12. By submission of a bid, Bidders represent that they have read and understand the solicitation documents and specifications. Also, that they have familiarized themselves with all Federal, State and Local laws, ordinances, rules and regulations that may affect the cost, progress or performance of the work.

13. The failure or omission of any Bidder to received or examine any form, instrument, addendum or other documents, or to acquaint itself with conditions existing at the site, shall in no way relieve the Bidder from any obligations with respect to its bid or to the contract.

14. The Town of Front Royal will award the bid to the lowest responsive and responsible bidder. The Town reserves the right to waive any informality, to cancel the IFB, or reject any or all bids after all bids have been examined and request rebids. The Town of Front Royal also reserves the right to award the Contract that the Town deems most favorable and in the best interest of the Town. It further reserves the right to award the contract on a split order, lump sum, or individual item basis, or any such combination as shall serve in the best interest of the Town, unless otherwise specified. Bids rejected or deemed unresponsive by the Town of Front Royal shall not be returned but will be discarded.

15. No oral interpretations will be made to any Bidder concerning the specifications, requirements or other provisions of this IFB. All questions should be directed in

writing to t h e P urchasing Department no later than five (5) business days prior to the date set for opening of bids. Every interpretation made to a Bidder will be answered as an addendum, which will be p o s t e d o n t h e T o w n w e b s i t e a t w w w . f r o n t r o y a l v a . c o m . All addenda shall become part of the Contract documents. No substitution of any kind or riders of any nature to the bids will be

considered except by the above-described method. For purposes of this IFB, “interpretations" shall include the approval of product substitution.

16. By submitting their bid, all B idders certify that their bid is made without collusion or fraud and that they have not offered or received any kickbacks or inducements from any other bidder, supplier, manufacturer, or subcontractor in connection with their bid, and that they have not conferred on any public employee having official responsibility for this procurement transaction any payment, loan subscription, advance, deposit of money, or services (Code of Virginia § 2.2-4367). During preparation and prior to opening, each Bidder shall not divulge, discuss or compare his response with o t h e r s , and s ha l l not collude with a n y other pa r ty to a r e s po n se . A signed response shall be taken as an indication that the Bidder fully understands the Commonwealth of Virginia's Conflict of Interest Act and the Commonwealth of Virginia's Ethics in Public Procurement Act and that his actions in no way violate any of the provisions therein.

17. Submitted bids shall be subject to public inspection in accordance with Section 2.2-4342 and Section 2.2-3704 and 3705 of the Code of Virginia. Ownership of all data, materials, and documentation originated and prepared for the T own of Front Royal pursuant to this I F B shall belong exclusively to the Town and be subject to public inspection in accordance with the Virginia Freedom of Information Act. Trade secrets or proprietary information submitted by a bidder shall not be subject to public disclosure under the Virginia Freedom of Information Act; however, the Bidder must invoke the protections of Virginia Code §2.2-4342(F), in writing, either before or a t the time the data or other material is submitted. The written notice must specifically identify the data or materials to be protected and state the reasons why protection is necessary. The proprietary or trade secret material submitted must be identified by some distinct method such as highlighting or underlining and must indicate only the specific words, figures, or paragraphs that contain trade secrets or proprietary information. The classification of an entire proposal document, line item prices, and/ or total proposal prices as proprietary or trade secrets is not acceptable.

18. Quantities as specified o n the bid form are approximate and a r e presented in order to obtain unit prices and approximate amount of the contract. The Town does not guarantee any minimum or maximum quantities. Quantities shall be verified by the successful Contractor before placing orders for material. No payment shall be allowed for excess materials. Regardless of uncertainties of material supply and production at the time of bidding, bidders shall base their bids in strict accordance with item, materials, and methods as set forth in the Contract Documents.

19. Bidders will indicate a unit price for each item listed. The listed bid items are to contain all necessary cost required for completion of the referenced project. It is understood that all quantities listed herein are estimated quantities and the Town reserves the right to raise, lower, or eliminate any quantity or item and in any case the unit prices shall be used in determining partial and final payments. In the event of a variance between a unit price and the extended amount for a bid item, the unit price will prevail.

20. Bids which are incomplete, unbalanced, conditional, obscure, or which contain additions not allowed for, alterations or irregularities of any kind, or which do not comply with the Contract Documents may be rejected at the option of the Town of Front Royal.

21. Bids shall be signed only by the individual(s) who is legally authorized to execute a binding contract and submit binding bids on behalf of the submitting firm or individual. All documents shall be signed in ink. Any corrections to entries made to entries made on the forms shall be made in ink and initialed by the person signing the response.

22. The award of the C ontract shall be determined in the sole discretion of the Town based upon evaluation of all information as the Town may request, whose qualifications indicate the award will be in the best interest of the Town of Front Royal, and whose bid meets the prescribed requirements. The C ontract will be awarded to the bid submitted by the lowest responsive and responsible B i d d e r based on the total amount of the submitted quotation, except that if the bid from the lowest responsible Bidder exceeds available funds. The Town may then negotiate with the apparent low B idder to obtain a contract price within fund. The Town reserves the right to waive any informality in bids submitted in response to this IFB when such waiver is in the best interest of the Town.

23. The Town of Front Royal may make such reasonable investigations as deemed proper and necessary to determine the ability of the Bidder to perform the work and the B i d d e r shall furnish to the Town all such information and data for this purpose as may be requested. The Town reserves the right to inspect the Bidder's physical plant prior to award to satisfy questions regarding the Bidder's capabilities. The T o w n further reserves the right t o reject any b id if the evidence submitted by, or investigations of, such Bidder fails to satisfy the Town that such Bidder is properly qualified to carry out the obligations of the contract to complete the work contemplated therein.

24. The Town reserves the right to cancel the Contract with thirty (30) days written notice.

25. The selected Contractor shall complete, maintain, and submit to the Town all records and reports and lists of services rendered when such services are rendered.

26. The selected Contractor shall perform all services to be rendered pursuant to the Contract at the location specified above. The selected Contractor agrees to maintain all facilities and equipment used by the selected Contractor under the Contract in clean, sanitary, and safe condition and free from defects of every kind.

27. The selected Contractor agrees that it has procured all licenses, permits, or other like permission required by law to conduct or engage in the activity provided for in the Contract; that it will procure all additional licenses, permits, or like permission required by law during the term of the Contract; and that it will keep such licenses, permits, and permissions in full force and effect during the term of the Contract. If a business is located in the Town of Front Royal, it is unlawful to conduct or engage in that business without obtaining a business license.

28. The selected Contractor understands and agrees that the relationship of the selected Contractor to

the Town arising out of the Contract shall be that of independent contractor. It is understood that the Contractor, or its staff and employees, are not employees of the Town and are, therefore, not entitled to any benefits provided employees of the Town. The selected Contractor shall be responsible for reporting and accounting for all State, Federal, Social Security, and local taxes where applicable.

29. The awarding authority of the Contact will be the Town of Front Royal Town Council. The award of the Contract will be to the responsible Bidder submitting the lowest base bid whose qualifications indicate the award will be in the best interest of the Town of Front Royal, and whose bid meets the prescribed requirements. Unless cancelled or rejected, a responsive bid from the lowest responsible Bidder shall be accepted as submitted, except that if the bid from the lowest responsible Bidder exceeds available funds. The Town may then negotiate with the apparent low Bidder to obtain a contract price within funding.

30. By submitting their bid, all Bidders certify to the town of Front royal that they will conform to the

rovisions of the Federal Civil right Act of 1964, as amended, the Virginia Fair Employment Act of 1975, as amended, the American Disability Act of 1990, and Section 2.2-4311 of the Virginia Public Procurement Act that provides:

During the performance of the Contract, the selected Contractor agrees as follows: a. The Contractor will not discriminate against any employee or applicant for employment because of race, religion, color, sex, national origin, age, disability, or any other basis prohibited by state law relating to discrimination in employment, except where there is a bona fide occupational qualification reasonably necessary to the normal operation of the Contractor. The Contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause.

b. The Contractor, in all solicitations or advertisements for employees placed by or on behalf of the Contractor will state that the Contractor is an equal opportunity employer.

The Town of Front Royal does not discriminate against faith-based organizations.

c. Notices, advertisements and solicitations placed in accordance with F e d e r a l law, rule or regulation shall be deemed sufficient for the purpose of meeting the requirements of this section.

d. The Contractor agrees to provide a drug-free workplace for the Contractor's employees; to post in conspicuous places, available to employees and applicants for employment, a statement notifying employees that the unlawful manufacture, sale, distribution, dispensation, possession, or use of a controlled substance or marijuana is prohibited in the Contractor's workplace and specifying the actions that will be taken against employees for violations of such

prohibition; and state in all solicitations or advertisements for employees placed by or on behalf of the Contractor that the Contractor maintains a drug-free workplace. For the purpose of this paragraph, "drug-free workplace" means a site for the performance of work done in connection with the Contract awarded to a Contractor in accordance with this procurement transaction.

The s e l e c t e d Contractor will include the provisions of the foregoing paragraphs a, b, c and d in every subcontract or Purchase O r d e r of over $10,000, so that the provisions will be binding upon each subcontractor or vendor.

31. The selected Contractor certifies that it does not and will not during the performance of the contract violate the provisions of the Federal Immigration Reform and Control Act of 1986, which prohibits employment of illegal aliens.

32. The selected Contractor and Subcontractor shall comply with the provisions of Virginia law found in Section 54.1-1100 through 54.1-1117 of the Code of Virginia (1950) as amended, regarding the regulation of Contractors. All nonresident Contractors and Subcontractors submitting bids on the work described herein shall register with the Department of Labor and Industry under the provisions of the Subsection 40.1-30 of the Code of Virginia (1950) as amended, and Section 2.2-4311.2 of the Code of Virginia (1950.

33. The Contract and its terms, including, but not limited to, the parties' obligations under it, the performance due from each party under it, and the remedies available to each party for breach of it, shall be governed by and construed and interpreted in accordance with the laws of the Commonwealth of Virginia. Any jurisdiction's choice of law, conflict of laws, rules, or provisions, including those of the Commonwealth of Virginia that would cause the application of any laws other than those of the Commonwealth of Virginia shall not apply. Any and all disputes, claims and causes of action arising out of or in connection with this contract or any performance hereunder, shall be brought in the courts of Warren County. 34. The selected Contractor shall give all notices and comply with all notices and comply with all laws, ordinances, rules, regulations, and lawful orders of any public authority bearing on the performance of the work.

35. The selected Contractor shall provide and maintain, with a company or companies authorized to do business in the Commonwealth of Virginia the following insurance form:

Comprehensive General Liability Insurance, naming the Town as Additional Insured

Automobile Liability, naming the Town as Additional Insured

Worker's Compensation

A copy of the insurance form shall be sent to the Town of Front Royal, where it will be on file with the Risk Manager.

36. The insurance shall be for the following amounts:

Comprehensive General Liability Insurance- $1,000,000 Minimum per

Incident

Automobile Liability Insurance - $1,000,000 bodily injury and $1,000,000 property damage

Worker's Compensation - As required by the Commonwealth of Virginia

No change, cancellation, or non-renewal shall be made in any insurance coverage without thirty (30) days written notice to the Town. The selected Contractor shall furnish a new Certificate of Insurance that complies with all requirements of the Contract prior to any change or cancellation date. The failure of the selected Contractor to deliver a new and valid certificate will result in suspension of all work and payments due until the new Certificate of Insurance is provided to the Town. Such failure shall also serve as grounds for immediate termination of the Contract by the Town at the Town’s sole discretion.

37. Invoices for payment shall be submitted by the Contractor directly to this payment address:

All invoices shall show the applicable Purchase Order number.

38. Unreasonable Charges. Contractors should be put on notice that final payment in full is contingent on a determination of reasonableness with respect to all invoiced charges. Charges which appear to be unreasonable will be researched and challenged, and that portion of the invoice held in abeyance until a settlement can be reached. Upon determining that invoiced charges are not reasonable, the Town shall promptly notify the Contractor, in writing, as to those charges which it considers unreasonable and the basis for the determination. A Contractor may not institute legal action unless a settlement cannot be reached within thirty (30) days of notification. The provisions of this section do not relieve an agency of its prompt payment obligations with respect to those charges which are not in dispute. (Code of Virginia § 2.2-4363).

39. No Subcontractors shall be permitted under this Contract without the express written permission of the Town of Front Royal. The Contractor understands that the Contract is a Contract with the professional services of the Contractor and that it is made by the Town in reliance on the Contractor's personal skills and knowledge in the activity to be conducted and as represented by the Contractor. Accordingly, the Co n t r ac t is non-

assignable by the Contractor without the express written advance permission of the Town. The Contractor must provide a written request to the Town at least ten (10) days in advance of any work under the Contract by the Subcontractor. Such a written request must identify the Subcontractor, explain exactly what services the Subcontractor will perform and the reason the Contractor is not performing these services, and guarantee that the Subcontractor will comply with all the provisions, conditions and requirements of the Contract. The Town, at its sole discretion, will evaluate the request and if the subcontractor request is accepted, the Town will send a written notice to the Contractor. Any accepted Subcontractor may perform only those services specifically permitted by the Town as noted in the written notice. Use of a Subcontractor does not relieve the Contractor from complying with all provisions, conditions and requirements of the Contract and the Contractor remains solely responsible for such compliance.

40. The se l ec t ed Contractor shall pay all County, Town, State and Federal taxes required by law and resulting from the work or traceable thereto, under whatever name levied. Said taxes shall not be in addition to the contract price between the Town of Front Royal and the selected Contractor, as the taxes shall be solely an obligation of the selected Contractor and not the Town, and the Town shall be held harmless for same by the s e l e c t e d Contractor. The Town of Front Royal is exempt from State Sales Tax and Federal Excise Tax. A Tax Exemption Certificate indicating the Town's exempt status will be furnished by the Town of Front Royal upon request.

41. The Contractor shall indemnify, keep and hold harmless the Town of Front Royal and its members of Council, officers, directors, agents, employees and volunteers against any and all claims of injuries, death, damage to property, theft, patent claims, suits, liabilities, judgements, costs and expenses (including reasonable attorney fees) which may otherwise accrue against the Town in consequence of the granting of a Contract which may otherwise result therefrom, if it shall be determined that the act was caused through negligence or error, or omission of the Contractor or his or her employees, or that of the subcontractor or his or her employees, if any; and the Contractor shall, at his or her own expense, appear, defend and pay all charges of attorneys and all costs and other expenses arising therefrom or incurred in connection therewith; and if any judgement shall be rendered against the Town in any such action, the Contractor shall, at his or her own expense, satisfy and discharge the same. The Contractor expressly understands and agrees that any performance bond or insurance protection required by this contract , or otherwise provided by the Contractor shall in no way limit the responsibility to indemnify, keep and save harmless and defend the Town as herein provided. The provisions of this section shall survive the completions, terminations or expiration of the contract.

42. The Town of Front Royal reserves the right to reject any or all bids or parts of bids, to waive informalities, and to request rebids. The Town of Front Royal also reserves the right to award the contract in the best interest of the Town of Front Royal. It further reserves the right to award the contract on a split order, lump sum, or individual item basis, or any such combination as shall serve the best interest of the town unless otherwise specified.

43. By participating in this procurement, Bidders certify that they are not currently debarred by the Town of Front Royal or the Commonwealth of Virginia from submitting bids or proposals on contracts for the type of goods and/or services covered by this solicitation, nor are they an agent of any person or entity that is currently so debarred.

44. Each Bidder shall visit the site of the proposed work and fully acquaint themselves with the conditions relating to the construction and labor so that they may fully understand the facilities, difficulties and restrictions attending the execution of the work under this Contract. Bidders shall thoroughly examine and be familiar with the Drawings and Specifications. The failure or omission of any Bidder to receive or examine any forms, instrument or addendum or other document or to visit the site and acquaint themselves with conditions there existing shall in no way relieve the Bidder from obligations with respect to their Bid or to the Contract. The submission of a Bid shall be taken as a prima facie evidence of compliance with this section. 45. The awarding authority for the Contract is the Town of Front R oyal. It is understood and

agreed that the Contract generated from this IFB shall be subject to annual appropriations by the Town of Front Royal Town Council. Should the Council fail to appropriate funds for the Contract, the C ontract will be terminated when funds are exhausted. There shall be no penalty should the Council fail to make annual appropriations for the contract.

46. The Contract may be terminated without cause by either party upon fifteen (15) calendar days advance written notice to the other party. All sums earned and due to the Contractor up to the date of termination shall be paid to the Contractor if service quality is deemed satisfactory by the Town at the Town’s sole discretion.

47. The Town may also immediately terminate the Contract at any time for non-performance, default, quality deficiencies or negligence by the Contractor. The determination of non- performance, default, quality deficiencies or negligence by the Contractor will be made solely by the Town at the Town’s discretion. Outstanding payments for services due to the Contractor will only be paid upon such termination if the Town, in its sole discretion, finds that the payments are not related to any services rendered or incidents by the Contractor that are the subject of the Town’s finding of non- performance, default quality deficiency or negligence under the Contract.

48. Any notice which is required to be given, or which may be given under the Contract, shall be sent to those mailing addresses noted in the first paragraph of the Contract. A party desiring to change its address for notice must give the other party notice of the change in accordance with the notice requirements of this Agreement; the notice of the change must be marked for the attention of the other party's legal counsel, and for the avoidance of doubt is not effective unless it is so marked.

49. The awarded Contract will constitute the entire agreement between the parties pertaining to the subject matter of the Contract and supersede all prior or contemporaneous agreements and understandings of the parties in connection with the subject matter. No modification of the Contract shall be effective unless made in writing and signed by both parties.

50. The Contractor shall perform the services as described by the C o n t ract expeditiously and diligently and in accordance with the standard of care and skill ordinarily exercised under similar conditions by reputable members of its profession or trade practicing in the same or similar locality within the Commonwealth of Virginia existing as of the date such services are provided and in accordance with all applicable laws, codes, and regulations in effect as of the date such services are provided.

51. By entering into the Contract, the Contractor conveys, sells, assigns, and transfers to the Town of Front Royal all rights, title and interest in and to all causes of action it may now have or hereafter acquire under the antitrust laws of the United States and the Commonwealth of Virginia, relating to the particular goods or services purchased or acquired by the Town of Front Royal under said C o n t r a c t .

52. The Town of Front Royal may grant relief from performance of the Contract if the Contractor is prevented from performance by an act of war, order of legal authority, act of God, or other unavoidable cause not attributable to the fault or negligence of the Contractor. The burden of proof for the need of such relief shall rest upon the Contractor. To obtain release based on Force Majeure, the Contractor shall file a written request with the Town of Front Royal.

53. The awarded Contract will commence upon the issuance of a fully executed Contract with a Notice to Proceed by the Town of Front Royal. The selected Contractor must provide to the Town, prior to the commencement of the work, the Certificate of Insurance and any required licensing. No work shall begin under the Contract until all provisions of the Town have been fully complied with by the successful Contractor.

54. The Town of Front Royal may void any contract with a business entity if the business entity fails to remain in compliance with all aspects of the awarded Contract.

55. The apparent silence of these specifications and any supplemental specifications as to any detail or the omission from the specifications of a detailed description concerning any point shall be regarded as meaning only the best commercial practices are to prevail and only materials or equipment of highest quality and correct type, size and design are to be used. Likewise, all workmanship is to be of the highest quality. All interpretations of these specifications shall be made on the basis of this statement.

56. Submittal of a bid indicates acceptance by the Bidder of the conditions contained in this request. The Town of Front Royal reserves the right to amend the specifications of this Invitation for Bid and request new and/ or updated bids at any time prior to award of contract.

POLYALUMINUM HYDROXYCHLOROSULFATE SPECIFICATIONS – WATER TREATMENT PLANT

1. General Specifications

A. Polyaluminum Hydroxychlorosulfate is a direct additive used in the treatment of drinking water

and must be approved as suitable by an accredited certification organization in accordance with ANSI/NSF Standard 60. The product shall be DELPAC 2020, OR AN APPROVED EQUAL.

B. Polyaluminum Hydroxychlorosulfate shall appear clear to slightly hazy in color and be free of visible foreign matter or sediment. Specific gravity of the solution shall range from 1.15 to 1.30 and will vary with Polyaluminum Hydroxychlorosulfate content and by-product salt content.

C. Polyaluminum Hydroxychlorosulfate must be completely water-soluble and not significantly depress the treated water’s pH. The pH of the liquid chemical must be greater than 2.2.

D. The aluminum concentration shall exceed 9% (expressed as %Al2O3). The basicity shall exceed 70% and the sulfates (expressed as %SO4) shall be a minimum of 1.0%.

E. Freezing temperatures shall be less than -20°F unless the contractor supplies two acceptable products. One will be for the winter season with a freezing temperature less than -20°F, and for the remainder of the year one with a freezing temperature less than 32°F.

F. Polyaluminum Hydroxychlorosulfate shall not contain any amounts of natural or synthetic polymers. Chemical shall not emit any organic odors.

2. Technical Support

A. Contractor shall provide technical support, including on-site jar testing and training as directed by the Town’s Water Treatment Plant Superintendent. On-site technical support shall be available within 24 hours after notification. Technician must be experienced in using Polyaluminum Hydroxychlorosulfate as a primary coagulant for drinking water have working knowledge of the equipment used at the Town’s Water Treatment Plant.

3. Packaging & Delivery

A. Polyaluminum Hydroxychlorosulfate must be in liquid form and easily applied via metering pumps. The chemical shall not contain particles of sand, grit, coke, clay or gelatinous material in sizes that will clog flow regulating valves and appurtenances or accumulate as sludge in storage tanks.

B. Bulk deliveries shall be by truckloads of 2,000 to 5,000 gallons per load.

C. Deliveries must be done in a multi-celled tank type truck and unloaded by a self-contained conveyance system into the Water Treatment Plant’s 10,000 gallon tank. The contractor shall provide and remove all required connections at each delivery.

D. Deliveries must be made between 7:00 A.M. and no later than 2:00 P.M.

The uniform solubility characteristic is extremely valuable in continuous, automatic, liquid feeding systems. Solvay Fluorides' Sodium Fluoride meets the standard set forth by the American Water Works Association, and is NSF (National Sanitary Foundation) standard 60 Certified. Sodium Fluoride is used as a flux in the manufacture of rimmed steel. When added to the molten metal, it increases deoxidization or degassing, thereby producing a more uniform ingot.

HEALTH HAZARDS Sodium Fluoride is poisonous when taken internally. Dusts are very noxious and may cause sneezing and irritation of the nose and throat. Care should be taken to avoid accidental ingestion of the dusts. Dust�type respirators should be worn whenever substantial quantities are to be handled, particularly in dust-producing situations. Sodium Fluoride is irritating to the skin, especially in the presence of perspiration, and can be painful if allowed to enter open cuts or sores. Allergic reactions may develop under prolonged contact. Rubber or vinyl gloves should be worn when handling the material, and contact with the bare skin should be avoided.

CONTRACT FOR SERVICES

THIS CONTRACT FOR SERVICES is made and entered into this ______ day of

__________________, 20_____, by and between THE TOWN OF FRONT ROYAL,

VIRGINIA, a Municipal Corporation, whose address is 102 East Main Street, Front Royal,

Virginia 22630 (hereinafter referred to as the “Town”), and NAME OF FIRM, a state of

STATE Corporation, whose street address is FIRM ADDRESS, and whose mailing address is

SAME (hereinafter called the “Independent Contractor”).

W I T N E S S E T H:

That for and in consideration of the mutual promises contained herein, the Town agrees

to purchase, and the Independent Contractor agrees provide the following described services:

1. Place of Service Performance/Delivery:

PER IFB #22-2020 CHEMICALS

2. Time of Service Delivery: Normal working business hours for this project will be

8:00 A.M. to 2:00 P.M., Monday through Friday, unless otherwise approved by the Town of

Front Royal. Work will not be permitted on any Town of Front Royal holidays, which include

New Year’s Day, Martin Luther King Day, President’s Day, Memorial Day, Independence Day,

Labor Day, Columbus Day, Veteran’s Day, Thanksgiving Day, Day after Thanksgiving,

Christmas Eve Day, and Christmas Day.

3. Term of Contract: This Contract shall be in effect beginning with the date of the

final signature on the contract and continuing (if not otherwise terminated pursuant to the terms

of this agreement) through twelve (12) months with the option of three (3) one-year renewals on

the anniversary date, if agreed to by both parties, for a maximum total contract period of four (4)

years, in accordance with the enclosed statement of needs and terms.

4. Payment:

a. The Town shall promptly pay the sum of (SUM) for the completed services or

delivered goods described in Attachment A by the required date. The required payment date

shall be either: (1) the date on which payment is due under the terms of the contract, or (2) if a

date is not established by the contract, not more than forty-five (45) days after goods or services

are received or not more than forty-five (45) days after an invoice is rendered, whichever is later.

Separate payment dates may be specified for contracts under which goods or services are

provided in a series of partial executions or deliveries to the extent that the contract provides for

separate payment for partial execution or delivery. Within twenty (20) days after the receipt of

an invoice for goods or services, the Town shall notify the supplier of any defect or impropriety

that would prevent payment by the required payment date. If the Town fails to make payment by

the required payment date, the Town shall pay any finance charges assess by the supplier that

shall not exceed one percent (1%) per month. Where payment is made by mail, the date of the

postmark shall be deemed to be the date the payment is made.

b. Individual Contractors shall provide their Social Security numbers, and

proprietorships, partnerships, and corporations shall provide the Town of Front Royal with a

Federal Employer Identification number, prior to receiving any payment from the Town.

c. Invoices for items ordered, delivered and accepted shall be submitted by the Independent Contractor directly to this payment address:

All invoices shall show the applicable Purchase Order number.

d. The Independent Contractor shall monthly furnish an invoice to the Town for services

rendered that month. All goods or services provided under this contract or Purchase Order, that

are to be paid for with public funds, shall be billed by the Independent Contractor at the contract

price, regardless of which Town department is being billed.

e. Unreasonable Charges. Under certain emergency procurements and for most time

and material purchases, final job costs cannot be accurately determined at the time orders are

placed. In such cases, Independent Contractors should put on notice that final payment in full is

contingent on a determination of reasonableness with respect to all invoiced charges. Charges

which appear to be unreasonable will be researched and challenged, and that portion of the

invoice held in abeyance until a settlement can be reached. Upon determining that invoiced

charges are not reasonable, The Town shall promptly notify the Independent Contractor, in

writing, as to those charges which it considers unreasonable and the basis for the determination.

An Independent Contractor may not institute legal action unless a settlement cannot be reached

within thirty (30) days of notification. The provisions of this section do not relieve an agency of

its prompt payment obligations with respect to those charges which are not in dispute. (Code of

Virginia § 2.2-4363).

To Subcontractors:

a. An Independent Contractor awarded a contract under this solicitation is hereby

obligated:

(1) To pay the subcontractor(s) within seven (7) days of the Independent

Contractor’s receipt of payment from the Town for the proportionate share of the payment

received for work performed by the subcontractor(s) under the contract; or

(2) To notify the Town and the subcontractor(s), in writing, of the Independent

Contractor’s intention to withhold payment and the reason.

b. The Independent Contractor is obligated to pay the subcontractor(s) interest at the rate

of one percent (1%) per month (unless otherwise provided under the terms of the contract) on all

amounts owed by the Independent Contractor that remain unpaid seven (7) days following

receipt of payment from the Town, except for amounts withheld as stated in (2) above. The date

of mailing of any payment by U.S. Mail is deemed to be payment to the addressee. These

provisions apply to each sub-tier contractor performing under the primary contract. An

Independent Contractor’s obligation to pay an interest charge to a subcontractor cannot be

construed to be an obligation of the Town of Front Royal.

5. Reports: The Independent Contractor shall complete, maintain, and submit to the

Town all records and reports and lists of services rendered when such services are rendered.

6. Services Rendered: The Independent Contractor shall perform all services to be

rendered pursuant to this Contract at the location specified above. The Independent Contractor

agrees to maintain all facilities and equipment used by the Independent Contractor under this

Contract in clean, sanitary, and safe condition and free from defects of every kind.

7. Licenses and Permits: The Independent Contractor agrees that it has procured all

licenses, permits, or other like permission required by law to conduct or engage in the activity

provided for in this Contract; that it will procure all additional licenses, permits, or like

permission required by law during the term of this Contract; and that it will keep such licenses,

permits, and permissions in full force and effect during the term of this Contract.

8. Independent Contractor: The Independent Contractor understands and agrees that

the relationship of the Independent Contractor to the Town arising out of this Contract shall be

that of Independent Contractor. It is understood that the Independent Contractor, or its staff and

employees, are not employees of the Town and are, therefore, not entitled to any benefits

provided employees of the Town. The Independent Contractor shall be responsible for reporting

and accounting for all State, Federal, Social Security, and local taxes where applicable.

9. Non-Discrimination: During the performance of this agreement the Independent

Contractor agrees as follows:

a. The Independent Contractor will not discriminate against any employee or applicant

for employment because of race, religion, color, sex, natural origin, age, disability, status as a

service disabled veteran or any other basis prohibited by state law relating to discrimination in

employment, except where there is a bona fide occupational qualification reasonably necessary

for the normal operation of the Independent Contractor. The Independent Contractor agrees to

post in conspicuous places, available to employees and applicants for employment, notices

setting forth the provisions of this non-discrimination clause.

b. The Independent Contractor, in all solicitations or advertisements for employees

placed by or on behalf of the Independent Contractor, will state that the Independent Contractor

is an equal opportunity employer.

The Town of Front Royal does not discriminate against faith-based organizations.

c. Notices, advertisements and solicitations placed in accordance with federal law, rule or

regulation shall be deemed sufficient for the purpose of meeting the requirements of this section.

d. The Independent Contractor will include the provisions of the foregoing paragraphs a,

b and c in every subcontract or purchase order of over $10,000.00 so that the provisions will be

binding upon each sub-contractor or vendor.

10. Compliance with Federal Immigration Law: The Independent Contractor does not

and shall not during the performance of the Contract for goods and services in the

Commonwealth, knowingly employ an unauthorized alien as defined in the federal Immigration

Reform and Control Act of 1986.

11. Compliance with State Law: The Independent Contractor shall comply with section

2.2-4311.2 of the Code of Virginia pertaining to foreign and domestic businesses authorized to

transact business in the Commonwealth.

12. Drug-Free Workplace: For the purpose of this section, “drug-free workplace”

means a site for the performance of work done in connection with this contract awarded to the

Independent Contractor in accordance with this procurement transaction. During the

performance of this contract, the Independent Contractor agrees to:

a. Provide a drug-free workplace for the Independent Contractor’s employees

b. Post in conspicuous places, available to employees and applicants for employment, a

statement notifying employees that the unlawful manufacture, sale, distribution, dispensation,

possession, or use of a controlled substance or marijuana is prohibited in the Independent

Contractor’s workplace and specifying the actions that will be taken against employees for

violations of such prohibition

c. State in all solicitations or advertisements for employees placed by or on behalf of the

Independent Contractor that the Independent Contractor maintains a drug-free workplace

d. Include the provisions of the foregoing paragraphs a, b and c in every subcontract or

purchase order of over $10,000, so that the provisions will be binding upon each subcontractor or

vendor,

13. Termination for Cause: This Contract may be terminated by the Town upon fifteen

(15) days written notice to the Independent Contractor to the address first named above in the

event of substantial failure or default of the Independent Contractor to perform in accordance

with the terms hereof through no fault of the Town’s.

14. Termination for Convenience: The obligation to provide further services under this

Contract may be terminated by the Town for its convenience and not for cause upon fifteen (15)

days written notice. The Independent Contractor shall be compensated for work performed

through the date of termination and for termination expenses, including any expenses directly

attributable to termination and for which the Independent Contractor is not otherwise

compensated. Termination expenses shall not, however, include loss profits on services not

performed as a result of such termination for convenience.

15. Notice: Any notice which is required to be given, or which may be given under this

Contract, shall be sent to those mailing addresses noted in the first paragraph of this Contract.

16. Non-Assignability: Independent Contractor understands that this Contract is a

contract with the professional services of the Independent Contractor and that it is made by the

Town in reliance on the Independent Contractor’s personal skills and knowledge in the activity

to be conducted and as represented by the Independent Contractor. Accordingly, this Contract is

non-assignable by the Independent Contractor without the express written advance permission of

the Town.

17. Insurance: The Independent Contractor shall procure and maintain the general

liability insurances shown below, with the Town names as Additional Insured, for protection

from claims arising out of performance of services caused by negligent, reckless, or willful error,

omission or act for which the Independent Contractor is legally liable. The Independent

Contractor shall deliver to the Town, upon execution of this Agreement, certificates of such

insurance. Insurance shall provide for coverage effective through the date of the end of the

Project.

19. Indemnification: The Independent Contractor shall indemnify, keep and hold

harmless the Town of Front Royal and its members of Council, officers, directors, employees

and volunteers against any and all third party claims of injuries, death, damage to property, theft,

patent claims, suits, liabilities, judgements, costs and expenses (including reasonable attorney

fees) which may otherwise accrue against the Town in consequence of the granting of a Contract

which may otherwise result therefrom, to the extent it shall be determined that the claim was

caused through negligence or error, or omission of the Independent Contractor or his or her

employees, or that of the Subcontractor or his or her employees, if any; and the Independent

Contractor shall, to the extent of its obligation above, pay all reasonable charges of attorneys and

all costs and other expenses arising therefrom or incurred in connection therewith; and if any

judgement shall be rendered against the Town in any such action, the Service Provide shall, to

the same extent, at its own expense, satisfy and discharge the same. The Independent Contractor

expressly understands and agrees that any performance bond or insurance protection required by

this Contract, or otherwise provided by the Independent Contractor shall in no way limit the

responsibility to indemnify, keep and save harmless and defend the Town as herein provided.

The provisions of this section shall survive the completions, terminations or expiration of the

Contract.

20. Entire Contract: This Contract constitutes the entire agreement between the parties

pertaining to the subject matter of this Contract and supersedes all prior or contemporaneous

agreements and understandings of the parties in connection with the subject matter. No

modification of this Contract shall be effective unless made in writing and signed by both parties.

21. Force Majeure: The Independent Contractor shall not be held responsible for failure

to perform the duties and responsibilities imposed by this Contract if such failure is due to fires,

riots, rebellions, natural disasters, wars, or an act of God beyond control of the Independent

Contractor, and outside and beyond the scope of the Independent Contractor’s then current, by

industry standards, disaster plan that make performance impossible or illegal, unless otherwise

specified in the Contract.

22. Antitrust: By entering into this Contract, the Independent Contractor conveys, sells,

assigns and transfers to the Town of Front Royal all rights, title, and interest in and to all causes

of action the Independent Contractor may now have or hereafter acquire under the antitrust laws

of the United States or the Commonwealth of Virginia, relating to the goods or services

purchased or acquired by the Town of Front Royal under this Contract.

23. Additional Terms and Conditions: The following attachments are made a part of

this Contract and are incorporated herein:

(1) Attachment “A” – BID & QUOTED CHEMICAL SDS

24. Standard of Care: The Independent Contractor shall perform the services herein

described expeditiously and diligently and in accordance with the standard of care and skill

ordinarily exercised under similar conditions by reputable members of its profession or trade

practicing in the same or similar locality within the Commonwealth of Virginia existing as of the

date such services are provided and in accordance with all applicable laws, codes, and

regulations in effect as of the date such services are provided.

25. Enforcement: This Contract shall in all aspects be governed by the laws of the

Commonwealth of Virginia. Any action maintained by either party for the enforcement or

interpretation of the terms of this Contract shall be filed in the courts of Warren County,

Virginia. The Independent Contractor shall comply with all applicable federal, state and local

laws, rules and regulations.
