AND Rajasthan Knowledge Gorporation Limited, a company promoted by Govt. of Rajasthan and incorporated under Companies Act 1956 having CINU80302RJ2008PLC026433, itsregistered office at 7A, Jhalana Institutional Area,Jaipur - 302004 (hereinafter referred to as 'RKCL" through its Managing Director, Dr. Aatul Wadegaonkar, (which expression shall unless repugnant to the context or meaning thereof, be deemed to meanand include its successors, Administrators, executors and assignees in business and permitted assigns) of the OTHER PART: WHEREAS Rajasthan Knowledge Corporation Limited(RKCL), an initiative of the State Government to implement in pursuance of the Government's mandate to spread lT literacy and lT-Enabled services across the State. AND WHEREAS TADDhas approached RKCL to impart training to School going students at Residential School/Hostel under TADD.Parties hereto agree to enterinto an MoUspecifying the modalities of the scheme, their rights, duties andresponsibilities for imparting training in two courses namely Rajasthan State Certificate Course in Information Technology (RS-C|T) a basic computer course and Rajasthan State Certificate coursein English Language (RS-CEL) to Residential School/Hostel students through RKCL. AND WHEREAS TADD has approached RKCL to impart training to School going students atResidential School/Hostel under TADD. Parties hereto agree to enter into an MoU specifyingthe modalities of the scheme, their rights, duties and responsibilities for imparting training in twocourses namely Rajasthan State Certificate Course in Information Technology (RS-C|T) a basiccomputer course and Rajasthan State Certificate course in English Language (RS-CEL) toResidential School/Hostel students through RKCL.

NOW THIS MEMORANDUM OF UNDERSTANDING WITNESSETH AS UNDER:

1. Definit ions:

Without limiting any other terms defined elsewhere herein as used in this MoU, the followingterms shall, unless the context otherwise require, have the following respective meanings.

i.SDLC means District Lead Centre as empanelled by RKCL for monitoring, supporting and

strengthening the lT Gyan Kendras (ITGK) of allotted district(s) as per RKCL's norms

The Students of class 9th and 11th of TAD Hostel and Residential School will be selected asbeneficiaries under this MoU. The Suitable numbers of lT Gyan Kendras will be established atTADD Hostels and Residential Schools for running RS-CIT & RS-CEL course to train approx.5600 tribal students with a total project cost of Rs 270 Lakhs. TAQD however agrees that the :selected Residential schools / hostels are tentative and if required may be modified /changed in .consultation with RKCL.

4. Responsibilites of RKCL and TADD

5. In case the batch size is less than 10students then Provide faculty and trainingrelated softwares.

In case the batch size is less than 10students then provide the necessarycomputing infrastructure, furniture inTADD Hostels/ Residential Schools.

6. Prepare monthly action plan forimplementation of the approvedprogramme and will submit the same toTADD.

7. Stage-1: Provide RS-CIT Course trainingwill be provided @ 2hrs per day for 132hrs.

Stage-2: Provide training of RS-CELCourse for 100hrs, 2hrs per day.

R Ensure that once the Learner code isgenerated by RKCL the students toshift/postpone for next batchlbatches fortraining.

8. Award certificate to the students whohave successfully completed the trainingprogram. l \ l i l

9. I Submit the invoice, details of trainedlearners and utilization certificate.

R Acknowledge receipt invoice, details oftrained learners and utilization certificateand give a'Project Completion Certificate'as per format provided by RKCL

5. Svllabus & Scheme:

,Syllabus and Scheme of both the courses are annexed in "Annexure A".

6. FinancialTerms :

RKCL shall charge to TADD @ Rs. 2500 per learner for RS-CEL and Rs. 2700 per learner forRS-ClT for providing training to identified students.

" TADD through concerned District Office of TSP, shall pay to RKCL 50% of the course

fee (i.e. Rs.1350/- for RS-CIT Course per learner ) on submission of list of enrolled

students in the course and shall pay remaining 50% of the course fee (i.e. Rs. 1350/-) onsubmission of training completion report.

' . TADD through concerned District Office of TSP shall pay 50% of the course fee (i.e.

Rs.1250/- for RS-CEL per learner ) on submission of list of enrolled students in the

course and shall pay remaining 50% of the course fee (i.e. Rs. 1250/-) on submission oftraining completion report.

r All the payment shall be made in the name of 'Rajasthan Knowledge CorporationLimiied' payable at Jaipur.

J7 This MoU embodies the entire, sole and exclusive understanding between the parties hereto

with respect to the subject matter hereof.

Any amendment or modifications or waiver in connection with this MoU will not be effective

unless made in writing and signed by both the parties.

lf any provision of this MoU is held to be invalid, illegal or unenforceable, the validity, legality

and enforceability of the remaining provision hereof shall not in any way be affected or impaired

thereby.

This MoU shall be effective from 7th November, 2012 and shall be initially valid for 1 year (12

Months) from the effective date, unless terminated earlier. This MoU can be further extended

with mutual consent of both the parties.

8 . Arbitration:

All and any disputes and claims arising out of or relating in any manner to this MoU or the

breach, termination, non-performance. Interpretation or validity thereof, shall first be discussed

in goocj faith by officers duly nominated for the purpose by each party, with a view to resolving

the same.

All and any disputes and claims as aforesaid, which cannot be fully and satisfactorily resolved or

seitled by the parties as aforesaid, shall at the request of either party, be submitted at Jaipur to

arbitration. In such a case, a joint request by RKCL and TADD will be made to an eligible and

competent person to act as an Arbitrator. The appointment and the proceedings of arbitration

will be subject to the provisions of Indian Arbitration & Conciliation Act, 1996 as amended from

time to time.
