Wyoming Community Development Authority Job Description JOB TITLE: Director of Legal/Compliance PAY GRADE: 11 DEPARTMENT: Executive FLSA STATUS: Exempt REPORTS TO: Executive Director REVISED: May 2016 SUPERVISORY: Loan Compliance Specialist/Admin Support Overall Job Purpose : In house counsel will focus primarily on legal and regulatory compliance for the Authority, including contract management, review and draft forms and other legal documents relating to WCDA programs and services. This position as Director of Legal/Compliance, is responsible for assigned functions in developing, implementing and maintaining the Authority’s compliance program, which includes compliance with legal, regulatory, and internal requirements; quality assurance; collaboration with risk management; and assigned operational functions including business continuity, disaster recovery, records retention, and coordination with local, state and federal government agencies. KNOWLEDGE/SKILLS/ABILITIESExtensive knowledge, skills, and background in legal functions, contract review, and bond and loan document review

Strong knowledge and familiarity with real estate and mortgage lending laws and regulations to ensure proper compliance and oversight of business processes

Knowledge of the Authority program rules, policies and procedures

Knowledge of IRS federal regulations related to bond program loans

Knowledge and understanding of Conventional, Federal Housing Association (FHA), Department of Veterans Affairs (VA), and USDA Rural Development (RD) loan requirements

Knowledge and understanding of Fannie Mae (FNMA) and FHA Quality Control requirements

Knowledge of federal and state laws and regulations relating to records management/retention

Knowledge of emergency preparedness, business continuity and disaster recovery procedures, practices, and regulations

IMPACT AND ACCOUNTABILITYLEGALResponsible for the management of the legal functions of the Authority

Work with Executive Team providing insight and assistance with the implementation of strategic initiatives and maintaining strong interdepartmental working relationships

Lead the development and implementation of legal matters that support the Authority mission, vision, strategic objectives and core values

Negotiate, review and/or prepare contracts, RFPs, bond and loan documents for legal accuracy

Approve contractual agreements as to form and substance

Develop and approve forms, contracts and other documents necessary for the Authority’s business

COMPLIANCEResponsible for independently designing and implementing compliance programs to address applicable laws, regulations, policies and procedures

Develops, implements and maintains the loan quality assurance program

Create, monitor and maintain Authority-wide compliance calendar

In coordination with all departments, provide oversight for implementation of new laws regulations, policies and procedures

Keeps Authority department personnel informed of legal, regulatory, and internal requirements

Remain current on emerging regulatory issues impacting the HFA and mortgage industry

Maintain Authority-wide audit findings, monitor for potential regulatory violations, and report to board/management

Ensure audit findings are resolved in a timely fashion

Assist with regulatory exams and work with department heads to comply with request letters as needed

Ensure regulatory audits and exams are presented to the Board of Directors

Review contracts—forward to outside counsel, if necessary

Directs internal compliance reviews

Develops compliance review plans and conducts departmental compliance reviews

Provides, where appropriate, statistics regarding performance against quality assurance and compliance goals

Prepares reports for management

Assists with responses to new laws, regulations, policies or Authority programs specifically as they relate to quality assurance, business continuity, and disaster recovery

Develops and maintains compliance tools, such as policies, procedures, manuals, checklists, processes and suspense systems

Maintains professional and technical knowledge by attending educational workshops, reviewing professional publications, establishing professional networks, benchmarking best practices, and participating in professional societies

Performs other compliance and quality assurance duties, as assigned

Ensure existing risk management plans are incorporated into existing and/or new legal and compliance policies and procedures

Render briefs/opinions on specific legal matters relating to the Authority and perform other legal services as assigned by the Executive Director

Oversee and collaborate with legal services of external counsel, including bond counsel, as needed

COMPLIANCEExtensive interaction with Authority personnel and third parties, including local, state, and federal government agencies

Receive/research/resolve board and employee questions about compliance and regulations

Review legal advertisements for the Authority to ensure compliance with appropriate regulations

In coordination with all Authority departments, provides oversight for implementation of new laws regulations, policies and procedures stemming from new or changed laws

In conjunction with the Communications Manager, review all marketing materials for adherence to rules and regulations

Act as resource for all regulatory audit staff while they are on-site

Provide technical assistance to external auditors when necessary

Train new and existing staff on code of conduct, ethics at the Authority, and general compliance issues

Oversee the duties of Loan Review Compliance Specialist/Admin Support position regarding compliance functions

SUPERVISORY RESPONSIBILITYSupervise the Loan Review Compliance Specialist/Admin Support position; recommend additional staff, as needed

Actively engage in the professional development and performance management of direct reports through effective goal setting and regular constructive feedback and coaching

Conduct performance evaluations for direct reports

Minimum of 5 years legal work experience, 10 preferred

Minimum of 4 years audit or compliance work experience or an equivalent combination of education/experience

Risk management experience preferred

Certification:Admittance to the Wyoming State Bar

Compliance certifications preferred Certified Regulatory Compliance Managers (CRCM) from American Bankers Association Certified Risk and Compliance Professional (CRCMP) International Association of Risk and Compliance Professionals (IARCP)
