INSTRUCTIONS TO THE TENDERERS REGARDINGTENDER FORMS DOWNLOADED FROM INTERNET

1. Tender file is to be downloaded from the Internet and print out is to betaken of A-4 size paper and details are to be entered by the tenderer atthe various locations in the document. It is advisable that thedownloaded tender document to be printed through Laser Printer only.

Submission of Xerox or Photocopy of tender document is prohibited.

2. This tender document (In full) downloaded along with the variousdocuments required to be submitted as per the tender conditions in asealed cover duly subscribing with the name of work, Tender NoticeNo. and Date, submission of Tender downloaded from internet etc. andthe same should be dropped in the tender box kept in the Office of theSr. Divisional Electrical Engineer, Western Railway Ahmedabad-25,before the date and time stipulated in the tender document.

3. The tender documents are available on Western Railway website i.e.www.wr.indianrailways.gov.in and the same can be downloaded and

used as tender document after submitting the offer. The cost of tenderdocument as indicated in the tender document will have to bedeposited by the tenderer in the form of Bank Draft payable in favour ofChief Cashier Western Railway or Cash with Chief Cashier WesternRailway, Church gate, along with the tender documents. This should bea separate Demand Draft for cost of the tender document and notincluded in the Earnest Money. A single demand draft for the cost oftender and Earnest Money deposit will not be accepted. Tender notaccompanied with the Demand drat towards the cost of tenderdocument will be summarily rejected.

4. The Earnest Money Deposit required for this work as stipulated in the

tender document also to be submitted separately.

5. The tenderer are advised to download tender documents well inadvance and submit the tender before the stipulated time. Its isresponsibility of the tenderer to check any correction or anymodifications published subsequently in website and the same shall betaken into account while submitting the tender. Tenderer shalldownload corrigendum (if any), print in out, sign and attach it with themain tender document. Tender document not accompanied bypublished corrigendum/s is liable to be rejected. The Railway will notbe responsible for any postal delays/ delay in downloading of tender

document from the Internet.

account will be entertained.

8. If any change/addition/deletion is made by the Tenderer/Contractor andthe same is detected at any stage even after the award of the tender,full earnest money deposit will be forfeited and the contract will beterminated at his/their risk and cost. The tenderer is also liable to bebanned from doing business with Railways and/or prosecuted.

CONDITIONS OF TENDER1. The following document forms a part of tender document:

(a) Tender form (First sheet & second sheet)(b) Special conditions attached.(c) Western Railway General conditions of contract corrected up to

printed/advance correction Slip No. 3 dt. 9.10.2003.

2. The tenderer/tenderers is/are required to quote his/their rates both inwords and in figures. In case of any arithmetical error, the rate quotedin words only shall be deemed to be correct and shall remain bindingon the contractor.

3. Tender containing errors and alternation of the tender documents areliable to be rejected, any correction made by the tenderer/tenderershis/their entries must be attested by him/them.

4. The work is required to be completed with in a period ofThree monthfrom the date of issue of letter of acceptance of the tender. The tender

must be accompanied by a sum of` 2600/-as earnest money.5. Clause of Earnest money has been amended in GCC in term's of

Railway board's letter no.2003/CE-I/CT/4/PT.I dated 16.05.2006issued vide Western Railway Headquarter letter noW/118/0.Vol.II(W-6) dated 30.05.2006 shall be applicable to this contract andnecessary changes are mentioned as under. The tender shall berequired to be deposit earnest money with the tender for the dueperformance with the stipulation to keep the offer open till such dateas specified in the tender, under the conditions of tender. Theearnest money shall be 2% of the estimated tender value asindicated in the Tender Notice. The earnest money shallbe applicable for all modes of tendering the practice of allowingStanding EMD is dispensed forthwith for all tenders. Therefore, Subclause (d) stands deleted. The earnest money should be in cash orin any of the following forms.

a) Deposit receipts, pay orders and Demand drafts. These forms ofearnest money could be either of the state bank of India or any ofthe nationalized banks. No confirmatory advice from the ReserveBank of India will be necessary.

b) Deposit receipts executed by the Scheduled Banks (other than theState Bank of India and the Nationalized Banks) approved by theReserve Bank of India for this purpose. The Railways will not.However, accept deposit receipt without getting in writing theconcurrence of the Reserve Bank of India. The practice of allowingStanding EMD is dispensed forthwith for all tenders. Therefore,Sub clause (d) stands deleted.

c) ` 2600/- as earnest money for the performance of stipulation tokeep the offer open for the period specified below. The tenderer

shall held the offer open for a period of 90 days from the date fixedfor opening the same, it being understood that the tenderdocuments have been sold to the tenderer and the tenderer is beingpermitted to tender in consideration of his stipulation on his tenderthat he will not recede from his offer or modify the terms andconditions there of in a manner, not acceptable to the DivisionalRailway Manager (Elect.) Western Railway Ahmedabad and shall

tenderer fail to observe or complete with the forgoing stipulationthere fore said amount of`2600/- should be liable to be forfeited tothe Railway.

6. The earnest money for the due performance of the stipulation tokeep the offer open till the date specified in the tender will berefunded to the unsuccessful tenderer/ tenderers within areasonable time, after deducting postal registration charges andother if any Amount. The full earnest money deposited by thesuccessful tenderer/tenderers, will be retained towards the securitydeposit for due and faithful fulfillment of the contract, but shall beforfeited if the contractor fails/contractors fail to execute the

Agreement bond or to start the work within the time as specified inthe letter of offer after notification of the acceptance of his/theirtender. The Railway shall not be responsible for any loss ordepreciation that may happen to the earnest money while in theirpossession and not be liable to pay interests there on.

7. If the tenderer/s deliberately give wrong information in his/theirtender or create circumstance for the acceptance of his/theirtenders the Railway reserves the right to reject such tender at anystage.

8. If a tenderer expires after the submission of his tender or afteracceptance or his tender the Railway shall deem such tender ascancelled and if a partner of the firm expires after the submission oftheir tenders or after acceptance of their tender the Railway shalldeem such tenders as cancelled unless the firm retains itscharacter.

9. Tenderer shall submit documentary proof in support of satisfyingeligibility criteria, failing which their offer shall be treated as invalid &summarily rejected.

10. In the event of the tender being submitted by a firm it must besigned by each partner there of and in the event or the absence ofany partner, it shall be signed on his behalf by person holding apower of attorney authorizing him to do so. The tenderer is advisedto get legal opinion when drawing up of his power of attorney. Thetenderer whether a sole proprietor, a limited company or partnership firm if they want to act through agents or an individualpartner/partners should submit along with the tender or at later

right to accept the tender in whole, in part or reject any tender orany tenders without assigning reasons for any such actions.

18. The successful tenderer/tenderers shall be required to execute anagreement with the president of India acting through DivisionalRailway Manager (Elect.) Western Railway Ahmedabad to carry outthe work according to the general conditions of contract and as per

terms & conditions of the tender and technical specifications of thework.

19. No passes will be issued for the contractor, his workman or any ofhis staff.

20. The successful tenderer will however have no right or claim in theexecution of the work, which is in opinion of the Sr. Divisional(Electrical) Engineer that work should be carried out departmentallyor otherwise. The Sr. Divisional (Electrical) Engineer reserves tohimself the right at any time after the acceptance of the tender tokeep back from the contract and carry work in other ways or by

other agency all work or any portion of work he may think fit withoutassigning any reasons.

21. Cess and drinking water charges will be recovered form thecontractors as per rules in force from time to time.

22. Royalty on materials to be supplied by the contractor forconstruction work if any (Except those to be supplied by theRailway) will be borne by the contractor.

23. Arrangements for permits or license for materials will not made bythe Railway, but assistance will be given whenever possible.

24. All taxes, duties and other Govt. levies etc. shall be liable to bededucted as per rates and rules in force at the time of preparationof bill and contractor shall have no objection in this regard. Therates quoted by tenderer shall be inclusive of all taxes, duties andother Govt. levies etc.

25. The successful tenderer should give no claim certificate at the timeof signing the final bill. The payment of the final bill as well asrefund of security deposit will not be arranged till such certificate isgiven.

26. Non compliance with any of the conditions set forth there in aboveis liable to result in the tender being rejected.

27. The tender form is not transferable.

28. The tenderer(s) shall inspect the proposed site of work andacquaint himself/themselves with the site conditions, working hours,

layout of, land trees and shrubs that he/they will have to cut, type ofstrata likely to be met within the burrow pits, stacking space formaterials, approach roads, path ways available, etc. and all relevantitems connected with the execution of the work. No claim shall beentertained for the contractor (s) making his/their own arrangementfor approaches/approach road from outside Railway land andcontractor (s) will bear entire expenses such as road taxes,

payment for right of way, etc. outsiders and for construction ofapproaches/approach roads etc.

29. Drawings for the work can be seen in the offices of the Sr.Divisional Electrical Engineer, at any time during the office hours.These drawing are only for the guidance of contractors. Detailedworking drawings (if required), based generally on the drawingsmentioned above, will be given by the Engineer or hisrepresentative from time to time.

30. All drawings copies of which may be furnished to the contractors bythe Railway Administration shall be treated as secret documents

and should not be handed over or shown to the persons other thanwho are directly concerned with the work. The drawings shall bereturned to the Engineer-in-charge on completion of the works ortermination of the contract.

31. The contractor shall take all steps necessary to ensure that allpersons employed to any work in connection with this contract havenoticed that the Indian officials secret act 1923 (XIV) of 1923 isapplied to them and will continue to apply even after the executionof such work under the contract.

5. Variation in quantities of tender schedule:Variation Clause has been modified in GCC in term's of Railway board's letterNo.2007/CE-I/CT/18 dated 28.09.2007 and letter no. 2007/CE.I/CT/18 Pt.XII,dated 31.12.2010.

The procedure detailed below shall be adopted for dealing with variations inquantities during execution of works contracts:

(i) Individual NS items in contracts shall be operated with variation of plus orminus 25% and payment would be made as per the agreement rate. For this,no finance concurrence would be required.

(ii) In case an increase in quantity of an individual item by more than 25 % of theagreement quantity is considered unavoidable, the same shall be gotexecuted by floating a fresh tender. If floating a fresh tender for operating thatitem is considered not practicable, quantity of that item may be operated inexcess of 125% of the agreement quantity subject to the following conditions:a) Operation of an item by more than 125% of the agreement quantity needs

the approval of an officer of the rank not less than S.A. Grade;i. Quantities operated in excess of 125% but upto 140% of the agreement

quantity of the concerned item, shall be paid at 98% of the rate awardedfor that item in that particular tender;

ii. Quantities operated in excess of 140% but upto 150% of the agreementquantity of the concerned item shall be paid at 96% of the rate awardedfor that item in that particular tender;

iii. Variation in quantities of individual items beyond 150% will be prohibitedand would be permitted only in exceptional unavoidable circumstanceswith the concurrence of associate finance and shall be paid at 96% ofthe rate awarded for that item in that particular tender.

b) The variation in quantities as per the above formula will apply only to theIndividual items of the contract and not on the overall contract value.

c) Execution of quantities beyond 150% of the overall agreemental valueshould not be permitted and, if found necessary, should be only throughfresh tenders or by negotiating with existing contractor, with prior personalconcurrence of FA&CAO / FA&CAO(C)and approval of General Manager.

(iii) In cases where decrease is involved during execution of contract:a) The contract signing authority can decrease the items upto 25% of

individual item without finance concurrence.b) For decrease beyond 25% for individual items or 25% of contract

agreement value, the approval of an officer not less than rank of S.A.Grade may be taken, after obtaining 'No Claim Certificate' from thecontractor and with finance concurrence, giving detailed reasons for eachsuch decrease in the quantities.

c) It should be certified that the work proposed to be reduced will not berequired in the same work.

(iv) The limit for varying quantities for minor value items shall be 100'% (asagainst 25%prescribed for other items). A minor value item for this purposeis defined as an item whose original agreement value is less than 1% of the

total original agreement value.(v) No such quantity variation limit shall apply for foundation items.(vi) As far as SOR items are concerned, the limit of 25% would apply to the

value of SOR schedule as a whole and not on individual SOR items.However, in case of NS items, the limit of 25% would apply on the individualitems irrespective of the manner of quoting the rate (single percentage rateor individual item rate).

(vii) For the tenders accepted at Zonal Railways level, variations in thequantities will be approved by the authority in whose powers revised valueof the agreement lies.

(viii) For tenders accepted by General Manager, variations upto 125% of theoriginal agreement value may be accepted by General Manager.

(ix) For tenders accepted by Board Members and Railway Ministers, variationsup to 110% of the original agreementvaluemaybe accepted byGeneralManager.

(x) The aspect of vitiation of tender with respect to variation in quantities shouldbe checked and avoided. In case of vitiation of the tender (both for increaseas well as decrease of value of contract agreement), sanction of thecompetent authority as per single tender should be obtained.

6. Guarantee:Work done shall be guaranteed for a period of 12 months from the date ofsuccessful commissioning and testing for their satisfactory performance. Thesuccessful tenderer will have to attend the failed equipment/part of work, assoon as they are informed by the Railways representative, with out waitingfor availability ofstores or labour and without any reservations and disputes.The decision of the Senior Divisional Electrical Engineer Ahmedabad withrespect to liability for such rectification and replacement shall be final andbinding on the tenderer.

7. General Conditions of Contract:Contractor shall abide by the General conditions of contract of Western Railways.

8. Jurisdiction of court:If any dispute arises between the parties with respect to this agreement, anyapplication or suit shall be instituted only in the court with the local limits ofwhose jurisdiction, the Western Railways Divisional Headquarters Office issituated and both the parties shall be bound by this clause.

9. Terms of payment:Payment shall be arranged after successful completion of repairingwork and accepted quantity of the works.NOTE:- As per the FA & CAOs latter no. HQ/Bks/CPC/Misc.Corresp/Vol II, dated

02/07/2010, Reserve Bank of India will stop the practice of honouringcheque issued by Railways on their outstation accounts with RBI from31.08.2010.

All the payments to the contractors, suppliers, etc are to be made only inElectronic modes (NEFT/RTGS).

The Contractors who do not have an Account in NEFT/RTGS enabledbank branches may shift their account to NEFT/RTGS enabled bankbranches. (List of such bank branches is available at RBIs websitewww.rbi.org.in/scripts/neft.aspx ).

Tenderers should provide the details of bank name, branch name andaddress, Account type, Bank account no. and bank and branch code asappearing in the MICR cheque issued by the bank. The Tenderer shouldalso attach certificate from their bank certifying the correctness of all the

above mentioned information. The tenderer for carrying out any construction work in Gujarat must getthemselves registered from the Registering Officer under Section 7 of

the Building and Other Construction Workers Act,1996 and rulesmade thereto by the Gujarat Govt and submit certificate ofRegistration issuedfrom The Registering Officer of the Gujarat govt.Labour Deptt. For enactment of this ACT, the tenderer shallrequired to pay cess@1 % of cost of construction work to be

deducted from each bill. Cost of material shall be outside thepurview of cess, when supplied under a separate schedule item.

10. Performance Guarantee [PG]:

Clause of Performance Guarantee has been modified in GCC in term'sof Railway board's letter No.2007/CE-I/CT/18 Pt,XII dated 31.12.2010.

The procedure for obtaining Performance Guarantee is outlinedbelow:

a) The successful bidder shall have to submit a PerformanceGuarantee (PG) within 30 (thirty) days from the date of issue ofLetter Of Acceptance (LOA). Extension of time for submission ofPG beyond 30 (thirty) days and up to 60 days from the date of issueof LOA may be given by the Authority who is competent to sign thecontract agreement. However, a penal interest of 15% per annumshall be charged for the delay beyond 30 (thirty) days, i.e. from 31

st

day after the date of issue of LOA. In case the contractor fails tosubmit the requisite PG even after 60 days from the date of issue ofLOA, the contract shall be terminated duly forfeiting EMD and otherdues, if any payable against that contract. The failed contractorshall be debarred from participating in re-tender for that work.

b) The successful bidder shall submit the Performance Guarantee(PG) in any of the following forms, amounting to 5% of the contractvalue:

i. A deposit of Cash;ii. Irrevocable Bank Guarantee;iii. Government Securities including State Loan Bonds at 5%

below the market value;iv. Deposit Receipts, Pay Orders, Demand Drafts and GuaranteeBonds. These forms of Performance Guarantee could beeither of the State Bank of India or of any of the NationalizedBanks;

v. Guarantee Bonds executed or Deposits Receipts tendered byall Scheduled Banks;

vi. A Deposit in the Post Office Saving Bank;vii. A Deposit in the National Savings Certificates;viii. Twelve years National Defence Certificates;ix. Ten years Defence Deposits;x. National Defence Bonds and

xi. Unit Trust Certificates at 5% below market value or at the facevalue whichever is less.

Also, FDR in favour of Sr.DFM-Ahmedabad(free from anyencumbrance) may be accepted.

NOTE: The instruments as listed above will also be acceptable forGuarantees in case of Mobilization Advance.

c) The Performance Guarantee shall be submitted by the successfulbidder after the Letter of Acceptance (LOA) has been issued, butbefore signing of the contract agreement. This P.G. shall be initiallyvalid up to the stipulated date of completion plus 60 days beyondthat. In case, the time for completion of work gets extended, thecontractor shall get the validity of P.G. extended to cover such

extended time for completion of work plus 60 days.

d) The value of PG to be submitted by the contractor will not changefor variation up to 25% (either increase or decrease). In case duringthe course of execution, value of the contract increases by morethan 25% of the original contract value, an additional PerformanceGuarantee amounting to 5% (five percent) for the excess value overthe original contract value shall be deposited by the contractor."

e) The Performance Guarantee (PG) shall be released after physicalcompletion of the work based on 'Completion Certificate' issued bythe competent authority stating that the contractor has completed

the work in all respects satisfactorily. The Security Deposit shall,however, be released only after expiry of the maintenance periodand after passing the final biII based on 'No Claim Certificate' fromthe contractor.

f) Whenever the contract is rescinded, the Security Deposit shall beforfeited and the Performance Guarantee shall be en cashed. Thebalance work shall be got done independently without risk & cost ofthe failed contractor. The failed contractor shall be debarred fromparticipating in the tender for executing the balance work. If thefailed contractor is a JV or a Partnership firm, then everymember/partner of such a firm shall be debarred from participating

in the tender for the balance work in his/her individual capacity or asa partner of any other JV/partnership firm.

g) The engineer shall not make a claim under the PerformanceGuarantee except for amounts to which the President of India isentitled under the contract (not withstanding and/or withoutprejudice to any other provisions in the contract agreement) in theevent of :

i. Failure by the contractor to extend the validity of thePerformance Guarantee as described herein above, in which

event the Engineer may claim the full amount of thePerformance Guarantee.ii. Failure by the contractor to pay President of India any amount

due, either as agreed by the contractor or determined under anyof the Clauses/Conditions of the Agreement, within 30 days ofthe service of notice to this effect by Engineer.

iii. The Contract being determined or rescinded under provision ofthe GCC, the Performance Guarantee shall be forfeited in fulland shall be absolutely at the disposal of the President of India.

Legal vetting of Bank Guarantee Bond.As per amendment in the Bombay stamp Act, 1958 the revised stampduty of Bank Guarantee Bond is as under:

Amount of Guarantee bond Stamp Duty Payablea. Where the amount not exceeds`. 2,500/-

Rupees One Hundred

b. Where the amount exceeds `.2,500/-

Five rupees for every onethousand rupees or part thereoffor the amount secured by suchdeed, subject to the minimum ofone hundred rupees andmaximum of ten lakh rupees.

11. Security Deposit [SD]:

Clause of Security Deposit has been amended in GCC in term's ofRailway board's letter no.2003/CE-I/CT/4/PT.I dated 16.05.2006 issuedvide Western Railway Headquarter letter no. W/118/0.Vol.II (W-6)dated 30/05/2006 and the same shall be applicable to this contract andnecessary changes are reproduced as under:-[a] The sentence "in the form of Government Securities" stands

deleted from concerned clause of security deposit in GCC.[b] Unless otherwise specified in the special conditions, if any, the

Security Deposit/rate of recovery/mode of recovery shall be asunder:-

[i] Security deposit for each work should be 5% of the contractvalue.

[ii] The rate of recovery should be at the rate of 10% of the billamount till the full security deposit is recovered

[iii] Security Deposits will be recovered only from the running bills ofthe contract and no other mode of collecting SD such as SD inthe form of instruments like BG, FD etc. shall be acceptedtowards Security Deposit.

[iv] Security Deposit shall be returned to the contractor aftercompletion of maintenance (guarantee) period as certified by theCompetent Authority. The Competent Authority shall normallybe the authority who is competent to sign the contract. If thisCompetent Authority is of the rank lower than JA Grade, then a

JA grade officer (concerned with the work) should issue thecertificate. The certificate, inter alia, should mention that thework has been completed in all respects and that all thecontractual obligations have been fulfilled by the contractors andthat there is no due from the contractor to Railways against thecontract concerned. Before realizing the SD, an unconditionaland unequivocal no claim certificate from the contractorconcerned should be obtained.

12. Employment of Diploma and Degree Holder:The contractor shall employ the following technical staff during theexecution of this work:[i] One graduate engineer when the cost of the work to be executed is

`15 lakhs and above.[ii] One qualified diploma holder when the cost of the work to be

executed is more than `.5 lakhs but less than Rs.15 lakhs.Technical staff should be available at site whenever required by theEngineer in charge to take instruction. In case the contractor fails toemploy the technical staff as said above, he shall be liable to pay areasonable amount not exceeding a sum of`.2, 000/ - (Rs. Two -thousand only) for each month of default in case of graduateengineer and`.1, 000 /-(Rs. One thousand - only) for each month ofdefault in case as to the period for which the required technical staffwas not employed by the contractor.

13. Furnishing Wrong Information:If the tenderer/s deliberately gives / give wrong information in his / their

tender, creates / create circumstances for the acceptance of his / theirtender, the Railway administration reserve the right to reject suchtender at any stage.

14. Railway Administration Reserve The Rights:The Railway Administration reserves the right to change or amend thedrawings as and when necessary at any stage of the work. No claim ofany kind what so ever will be entertained by the Railway. In case theexecution of any item of the work is held up for want of approveddesign or late supply of such material as are to be arranged by theRailway, then such failure or delay shall in no way effect or vitiate thecontractor or alter the character thereof or entitle the contractor fordamages or compensation thereof but in any such case, the Railwaymay grant such extension of the completion date as may be consideredreasonable.

15. Railways Not Bound To Accept Any Tender:a) The Railways shall not be bound to accept the lowest or any tender

or to assign any reason for non-acceptance or rejection of a tender.b) The Railways reserve the right to accept any tender in respect of

the whole or any portion of the work specified in the tender papersor to sub-divide the work among different tenderer or to accept anytender for less than the tendered quantities without assigning any

reason whatsoever.c) The Railway Administration reserve the right to modify the quantityfrom time to time whether it is an increase or decrease in the scopeand quantity of work. The tenderer shall not be entitled to anycompensation but will be paid for as per contract for the actual workdone.

3. The Schedule of Rates & Quantities shall be read together with theGCC in vogue and the terms & conditions incorporated in the tenderpaper.

4. No payment at the stage of supply shall be made against all itemswhere supply rates have been shown zero. Full payment ofreplacement of defective parts, testing & labour charges for quantityexecuted against these items shall be given after completion of thatparticular quantity in running / final bills.

K. Any dispute regarding scope of work involved for repairs betweencontractor & Railway rep. at the time of joint checking, the same shallbe referred to Sr. DEE/ADI whose decision will be final & binding.

L. After repairs, the equipment shall be subjected for (visual & physicaltest) test at respective depots.

M. Any clarification required regarding the subject work, ADEE (MG) ADIor the undersigned may be contacted.

N. In case of any difference found in any of the terms and conditions givenin this tender document and special conditions given above, the specialconditions will prevail.
