Notice Inviting e-Tender (REQUEST FOR PROPOSAL “RFP”)

JABALPUR DEVELOPMENT AUTHORITY wish to invite consultant for Rehabilation of Houses, constructed in ARP4 under Scheme No.62 Madhotal, Jabalpur.

For the purpose of selection of the consultant, the JDA will adopt a qualification & design criteria, project being of Architectural nature. The leader of the firm should be an Architect.

The RFP document can be purchased from 25/07/2018 to 08/08/2018 upto 3:00 pm, On payment of Rs.2000/- in the office of JDA, also in website www.jda.jabalpur.org The details shall be submitted to the office of the JDA. Till 09/08/2018 upto 3:00pm

The Addendum/Corrigendum (if any) shall only be published on the website of www.jda.jabalpur.org only. If holiday is declared by Govt. of M.P. on the date of physical submission or on the date of opening, the same will automatically be shifted to subsequent working days.

Chief Executive Officer, Jabalpur Development Authority, Jabalpur (M.P.) reserves the right to accept/reject any/ all tenders without assigning any reason thereof.

Agencies that fulfill the above Eligibility criteria may purchased on payment the RFP document forms from office of JDA 7-A Civic Center Jabalpur.

Letter of Invitation

CHIEF EXECUTIVE OFFICER, Jabalpur Development Authority is Desirous to Rehabilitation of Houses, constructed in ARP-4 under Scheme No. 62 Madhotal Jabalpur and intend to appoint an Architectural consultant for comprehensive architectural services.

In lieu of this “Request for Proposals” (RFP) are invited from reputed consultancy firms engaged in the field of Architectural services. Eligibility Criteria:-

a. Agency (Consultancy firms) should exist in the field of architecture since at least for last 10 years.Note:- Experience for architect shall be counted maximum from the date of their registration in council of architecture (C.O.A).

b. Leader of the firm should be registered with C.O.A.c. Leader of the firm should be registered under welth tax act 1957

(Registered valuer from income tax)d. In case of co./pvt. Ltd. All the directors of the companies should

be registered with council of architecture.e. Agency (Consultancy Firms) must be a empanelled Architect with

the MP PWD/EPCO.

f. Agencies (Consultancy firms) should have successfully completed at least one project of similar nature (Hospital, commercial complex, residential multistoried, hotel, institutional project are project related to public sector having R.C.C. frame Structure will be considered as a similar project) and should have provided Comprehensive Architectural Services for at least one project of Rs. 15 crore or more.

g. The selected consultant will be engaged through an agreement mentioned in document (Annexure-A).

h. The RFP shall be evaluated on the 80:20 basis i.e.a.

The information contained in the Request for Proposal document (“RFP”) or subsequently provided to Applicants, whether verbally or in documentary or any other form by or on behalf of the Authority or any of their employees or advisers, is provided to Participants on the terms and conditions set out in this RFP and such other terms and conditions subject to which such information is provided.

The RFP is a part of the agreement and The purpose of the RFP is to provide interested parties with information that may be useful to them in the formulation of their Proposals pursuant to this RFP. The RFP includes statements, which reflect various assumptions and assessments arrived at by the Authority in relation to the Consultancy. Such assumptions, assessments and statements do not purport to contain all the information that each Participant may require. The RFP may not be appropriate for all persons, and it is not possible for the Authority, its employees or advisers to consider the objectives, technical expertise and particular needs of each party who reads or uses the RFP. The assumptions, assessments, statements and information contained in the RFP, may not be complete, accurate, adequate or correct. Each Participant. should, therefore, conduct its own investigations and analysis and should check the accuracy, adequacy, correctness, reliability and completeness of the assumptions, assessments and information contained in the RFP and obtain independent advice from appropriate sources.

Information provided in the RFP to the Participants is on a wide range of matters, some of which depends upon interpretation of law. The information given is not an exhaustive account of statutory requirements and should not be regarded as a complete or authoritative statement of law. The Authority accepts no responsibility for the accuracy or otherwise for any interpretation or opinion on the law expressed herein.

The Authority, its employees and advisers make no representation or warranty and shall have no liability to any person including any Participant under any law, statute, rules or regulations or tort, principles of restitution or

unjust enrichment or otherwise for any loss, damages, cost or expense which may arise from or be incurred or suffered on account of anything contained in the RFP or otherwise, including the accuracy, adequacy, correctness, reliability or completeness of the RFP and any assessment, assumption, statement or information contained therein or deemed to form part of the RFP or arising in any way in this Selection Process.

The Authority also accepts no liability of any nature whether resulting from negligence or otherwise however caused arising from reliance of any Participant upon the statements contained in the RFP.

The Authority may in its absolute discretion, but without being under any obligation to do so, update, amend or supplement the information, assessment or assumption contained in the RFP.

The issue of this RFP does not imply that the Authority is bound to select a Participant or to appoint the Successful Participant / The Architect, as the case may be, for the Consultancy and the Authority reserves the right to reject all or any of the Proposals without assigning any reasons whatsoever.

The Participant shall bear all its costs associated with or relating to the preparation and submission of its Proposal including but not limited to preparation, copying, postage, delivery fees, expenses associated with any demonstrations or presentations which may be required by the Authority or any other costs incurred in connection with or relating to its Proposal. All such costs and expenses will remain with the Participant and the Authority shall not be liable in any manner whatsoever for the same or for any other costs or other expenses incurred by a Participant in preparation or submission of the Proposal, regardless of the conduct or outcome of the Selection Process.

INTENTION

1) The intention of the JDA is to remove house’s from APR-4 and construct APR-4 road. Rehabilitate the resident’s who have constructed their house’s on APR-4 road.

2) The intention of the JDA is to create esthetically good functionally efficient & cost efficient building.

3) JDA intend to select a consultant who render high level of comprehensive services to make the project best & economical therefore JDA is following the C.O.A. norms to make the agency comfortable in rendering high quality professional services.

4) The experience of the consultant should help JDA in developing & detailing Rehabilitation of Houses, constructed in ARP-4 under Scheme No. 62 Madhotal Jabalpur & such project should give city a different dimension.

5) The consultant should have experience of framing & handling redevelopment projects. As JDA may lead to develop, redevelopment projects also.

6) The selected consultant should be able to abstract maximum benefits of the current law in making buildings effective in all respect.

7) The project floated with this document is an exemplary project which will help JDA in judging the approach of the consultant towards project designing.

8) This Process of selection is being adopted to save time & money required in selection process.

GENERAL TERM AND CONDITIONS(INSTRUCTIONS)

1. Definitions (a)     “Client/Employer” means the person who invited this Request for Proposal and whose name is mentioned in the RFP Data Sheet.

(b)    “Consultant/Firm/Agency/Applicant/Participant” means any entity or person who intends to respond this RFP and if selected, that may provide or provides the Services to the Client under this Assignment.

(c)    “Agreement” means the Contract signed by the Parties and all the attached documents listed in this Request For Proposal (RFP).

(d)   “RFP Data Sheet” means such part of the Instructions to Consultants used to reflect specific assignment conditions.

(f)    “Day” means calendar day.(g)    “Government” means the Government of Madhya Pradesh.(j)    “Personnel” means professionals and support staff provided

by the Consultant and assigned to perform the Services or any part thereof;

(k)   “Proposal” means the Technical Proposal and the design Proposal.

(l)    “RFP” means the Request For Proposal prepared by the Client for the selection of Consultants.

(m)    “Services” means the work to be performed by the Consultant pursuant to the Assignment.

(n) JDA” means the Jabalpur Development Authority.(o) C.E.O. means the Chief Executive Officers.

2. Scope of work (In brief)

J.D.A. intend to develop vertical housing project with basic commercial activities as permissible with horizontal development services required for the project.

3. The Client/Employer named in the “RFP Data Sheet” will select a firm among those invited as per the Letter of Invitation in accordance with the method of selection indicated in this RFP.

3.1 The consultants are invited to submit Technical Proposals and design proposal for consulting services required for the Assignment named and location in this “RFP Data Sheet”. The Consultants should familiarize themselves with Local Conditions & Bylaws and take them into account in preparing their Proposals.  To obtain first hand information on the assignment and on the local conditions, consultants are encouraged to pay a visit to the Client’s/Client’s office and project site before submitting a Proposal, The Consultant’s representative should contact the officials named in the RFP Data Sheet to arrange for their visit or to obtain additional information

3.2 Consultant shall bear all costs associated with the preparation and submission of Page 9 of 40

their proposals. The Client is not bound to accept any proposal, and reserves the right to annul the selection process at any time prior to award, without thereby incurring any liability to the Consultant.

3.3 The client requires that consultants provide professional, objective, and impartial advice and at all times hold the Client’s interest paramount, without any consideration for future work, and strictly avoid conflicts with other assignments or their own corporate interests.

3.4 A Consultant (including its Personnel) that has a business or family relationship with a member of the Client’s staff who is directly or indirectly involved in any part of (i) the preparation of the Request for Proposal “RFP”, (ii) the selection process for such assignment, or (iii) supervision of the assignment, may not be awarded a assignment, unless the conflict stemming from this relationship has been resolved in a manner acceptable to the client.

3.5 It is the Client’s policy that the consultants observe the highest standard of ethics during the selection and execution of such assignments.  In pursuance of this policy, the Client:

(a)  Defines, for the purpose of this paragraph, the terms set forth below as follows:

(i) “corrupt practice” means the offering, giving, receiving, or soliciting, directly or indirectly, of anything of value to influence the action of a public official in the selection process or in assignment execution;

(ii) “fraudulent practice” means a misrepresentation or omission of facts in order to influence a selection process or the execution of a assignment;

(iii) “collusive practices” means a scheme of arrangement between two or more consultants with or without the knowledge of the Client, designed to establish prices at artificial, noncompetitive levels;

(iv) “Coercive practices” means harming or threatening to harm, directly or indirectly, persons or their property to influence their participation in a procurement process, or affect the execution of a assignment.

(b)    will reject a proposal for award if it determines that the Consultant recommended for award has, directly or through an agent, engaged in corrupt, fraudulent, collusive or coercive practices in competing for the assignment in question;

(c)    will declare a firm ineligible, either indefinitely or for a stated period of time, to be awarded a assignment if it at any time determines that the firm has engaged in corrupt or fraudulent practices in competing for, or in executing, a domestic financed assignment; and

(d)    Will have the right to require that, in assignment, a provision be included requiring consultant to permit the Client to inspect their accounts and records relating to the performance of the assignment and to have them audited by authorized representatives of Client.

3.6 The RFP Data Sheet indicates how long Consultant's Proposals must remain valid after the submission date. The Client will make its best effort to complete negotiations within this period. Should the need arise; however, the Client may

request Consultant to extend the validity period of their proposals. Consultants who agree to such extension shall confirm extension of validity of the Proposal. Consultants who do not agree have the right to refuse to extend the validity of their Proposals.

4. Clarification and Amendment of RFP

4.1 Any clarification ask by any consultant before the date mentioned in key data sheet will be published on website, if client feel necessary..

4.2 At any time before the submission of Proposals, the Client may for any reason, whether at its own initiative or in response to a clarification requested by an invited firm, modify the RFP documents by amendment.  The Addendum/Corrigendum (if any) shall only be published on the website of www.mpeproc.gov.in.  The Client may at its discretion extend the deadline for the submission of Proposals.

5. Submission, Receipt and opening of the Proposal

5.1 Technical & Design Proposal: should be submitted physically as mentioned below:-

(a) Envelope-A (Duly sealed): Should contain Design Proposal,

(b) Envelope-B: (Duly sealed): should contain Technical Proposal consisting of :-

(i) Technical Proposal Submission Form, Index, Annexure-01 to Annexure-05 and Annexure-C all as mentioned in list of Annexure (duly filled up and supported with required documents) available with this RFP documents.

Both envelopes (as state above) should be clearly marked on top of envelope about type of Envelope (i.e. A, or B), details of contents in the Envelope (i.e. Design/ Technical Proposal, Name and address of agency submitting the proposal); both the envelopes / packets shall be individually sealed and kept in an outer (Cover) envelope marked as:

"RFP- For Providing Comprehensive Architectural Consultancy Services for H.I.G. Duplex Housing Project.

System Tender/Invitation NO.: ___________________DUE ON: ___________________ FROM: (Name of the Agency/Participant)

All the envelopes shall be addressed to the C.E.O. JDA, Jabalpur

This outer (Cover) envelope (contains envelope ‘A’ & ‘B’) shall bear the submission address, reference number and be clearly marked “Do Not Open, Except In Presence Of The Official Appointed, Before [insert the time and date of the

submission deadline indicated in the RFP Data Sheet]”.

JDA shall not be responsible for misplacement, losing or premature opening if the outer envelope is not sealed and/or marked as stipulated. This circumstance may be case for proposal rejection The completed Proposal must be delivered at the submission address on or before the time and date stated in the Key in the Office of the CEO , JABALPUR DEVELOPMENT AUTHORITY, JABALPUR. Any Proposal received after the closing time for submission of proposals shall be returned unopened.

Detail procedure and guidelines for participating in e- tendering are given in Annexure-D.

5.2 In the event of the specified deadline for submission of the Proposal being declared a Government holiday, the next official working day would be deemed as the last day for the submission of the Proposal and the date of opening of shall be accordingly modified.

6.0Proposal Evaluation/Method of selection:-6.1To assist in the examination, evaluation, and comparison of the Technical

and design criteria Proposals, the Client may, at its discretion, ask any Consultant/Applicant/Participant for a clarification of its Proposal. Any clarification submitted by a Consultant/ Applicant/ Participant that is not in response to the request by the Client shall not be considered. The Client’s request for clarification and the response shall be in writing. No change in the substance of the Technical Proposal or design criteria Proposal1 shall be sought, offered, or permitted, except to confirm the correction of arithmetic errors discovered by the Client in the evaluation. Any effort by the firm to influence the Client in the Client’s proposal evaluation, proposal comparison or assignment award decisions may result in the rejection of the consultant’s proposal.

6.2 The RFP/ RFPs shall be evaluated on the 80:20 basis i.e.7.

6.4 Method of Selection: The proposal with the highest total Marks (H-1) will be

considered for award. JDA will appoint the winner for the purpose for which the RFP is invited

7. JDA, reserves right to accept or reject any or all proposals without giving or assigning any reason thereof.8- Period for completion of Architectural services shall be till completion of work i.e. from the date of commencementof services to financial closure of the project.9. Financial closure stated above shall mean up to final completions of work awarded to Contractor(s) of all treads i.e. working agencies for Civil, Electrical, HVAC, other allied works etc ( excluding defect liability period)10. Date of commencement shall be reckoned from 7 days after signing

the agreement with the Jabalpur Development Authority or issue of work order as shall be deemed fit to the Client.

AGREEMENT

THIS AGREEMENT made as on the (Insert DD/MM/YYYY) BETWEEN CHIEF EXECUTIVE OFFICER, JABALPUR DEVELOPMENT AUTHORITY, JABALPUR through its C.E.O. having its office at Block-7A Civic Centre, Mathatal Jabalpur (M.P) hereinafter referred to as the CLIENT, which expression shall unless it be repugnant to the context or meaning thereof be deemed to mean and include its successors and assigns of the ONE PART.And

(Name of Agency / Address) hereinafter referred to as the Consultant, which expression shall unless it be repugnant to the context or meaning thereof be deemed to mean and include its successors and assigns of the OTHER PART.

I. Whereas JDA JABALPUR has been entrusted to act as a nodal agency for the , Architectural Consultancy for Rehabilitation of Houses, constructed in ARP-4 under Scheme No. 62 Madhotal Jabalpur

II. And Whereas for the purpose of providing services of Architecturalservices, Structural design, preparation of tender documents,supervision and effective implementation and management of thesaid Project till its financial closure, JDA JABALPUR is desirous of engaginga Consultant. (Financial closure refers to till project is completed by the contractor and completion certificate is given in this regard).

III. And Whereas (Insert name of Agency) is agreeable to rendersuch services related to and described in scope of work as perAnnexure B.

IV. And Whereas JDA JABALPUR has agreed to engage (Insert name ofagency) as the Consultant on the terms and conditions, hereinafter appearing.

NOW THIS AGREEMENT WITNESS AND IT IS HEREBY MUTUALLY AGREED BY AND BETWEEN THE PARTIES, HERETO AS FOLLOWS:

SCOPE OF SERVICES FOR PROVIDING COMPREHENSIVE ARCHITECTURAL CONSULTANCY.

Architectural Services: For planning and designing of Rehabilation of Houses, constructed in ARP-4 under Scheme No. 62 Madhotal Jabalpur.

SCOPE OF WORK

The Architect is required to provide services in respect of the following :

Part I – ARCHITECTURE :

1. Taking Client’s instructions and preparation of design brief.2. Site evaluation, analysis and impact of existing and / or proposed

development on its immediate environs.3. Design and site development.4. Structural design.5. Sanitary, plumbing, drainage, water supply and sewerage design.6. Electrical, electronic, communication systems and design.7. Heating, ventilation and air conditioning design (HVAC) and other

mechanical systems.8. Elevators, escalators, etc.9. Fire detection, Fire protection and Security systems etc.

10 Periodic inspection and evaluation of Construction works.

2. SCHEDULE OF SERVICES :

The Architect shall, after taking instructions from the Client, render the following services:

CONCEPT DESIGN [STAGE 1] :

2.01 Carry out total station survey of site earmarking existing structures on APR-4and drawings to be provided in digital CAD drawings format.

2.02 Ascertain Client’s requirements, examine site constraints & potential ; and prepare a design brief for Client’s approval.

2.03 Prepare report on site evaluation, state of existing buildings, if any ; and analysis and impact of existing and/ or proposed development on its immediate environs.

2.04 Prepare drawings and documents to enable the Client to get done the detailed survey and soil investigation at the site of the project.

2.05 Furnish report on measures required to be taken to mitigate the adverse impact, if any, of the existing and / or proposed development on its immediate environs.

2.06 Prepare conceptual designs with reference to requirements given and prepare rough estimate of cost on area basis.

PRELIMINARY DESIGN AND DRAWINGS [STAGE 2] :

2.07 Carry out valuation of each construction separately, which are constructed on APR-4 road.

2.08 For each construction verify, scrutinize all documents related to title of the property, prepare observations / report on such title documents, list all additional and / or related title documents for preparation of abstract on title, prepare as abstract on title or chain of title giving details of devolution of ownership of the property up to the present stage and prepare a report on title.

2.09 Modify the conceptual designs incorporating required changes and prepare the preliminary drawings, sketches, study model, etc., for the Client’s approval along with preliminary estimate of cost on area basis.

DRAWINGS FOR CLIENT’S/ STATUTORY APPROVALS [STAGE 3] :

2.10 Provide minimum two options of master layout planning with product mix of LIG, MIG & commercial, shopping market. Preparation of individual unit plans, This should define the Numbers of units & blocks for development, full area statement sheet with details break up of build-up area & sellable area.

2.11 Prepare drawings necessary for Client’s/ statutory approvals and ensure compliance with codes, standards and legislation, as applicable and assist the Client in obtaining the statutory approvals thereof, if required.

WORKING DRAWINGS AND TENDER DOCUMENTS [STAGE 4] :

2.12 Prepare working drawings, specifications and schedule of quantities sufficient to prepare estimate of cost and tender documents including code of practice covering aspects like mode of measurement, method of payments, quality control procedures on materials & works and other conditions of assignment.

APPOINTMENT OF CONTRACTORS [STAGE 5] :

2.13 Invite, receive and analyze tenders; advise Client on appointment of contractors.

CONSTRUCTION [STAGE 6] :

2.14 Prepare and issue working drawings and details for proper execution of works during construction.

2.15 Approve samples of various elements and components.

2.16 Check and approve shop drawings submitted by the contractor/ vendors.

2.17 Visit the site of work, at intervals mutually agreed upon, to inspect and evaluate the Construction Works and where necessary clarify any decision, offer interpretation of the drawings/specifications, attend conferences and meetings to ensure that the project proceeds generally in accordance with the conditions of assignment and keep the Client informed and render advice on actions, if required.

2.18 In order to ensure that the work at site proceeds in accordance with the assignment documents/ drawings and to exercise time and quality controls, the day-to-day supervision will be carried out by a Construction Manager (Clerk of Works/ Site Supervisor or Construction Management Agency in case of a large and complex project), who shall work under the guidance and direction of the Architect and shall be appointed and paid by the Client.

2.19 Issue Certificate of Virtual Completion of works.

COMPLETION [STAGE 7] :

2.20 Prepare and submit completion reports and drawings for the project as required and assist the Client in obtaining “Completion/ Occupancy Certificate” from statutory authorities, wherever required.

2.21 Issue two sets of as built drawings including services and structures.

3. PROFESSIONAL FEE :

3.01 In consideration of the professional services rendered by the Architect, he shall be paid professional fee and other charges in accordance with the Scale of Charges.

3.02 Any tax levied by law, such as Service tax/GST, etc. contingent to professional services rendered by the Architect, shall be payable by the Client, over and above the gross fees charged by the Architect in relation to the services provided.

4. SCHEDULE OF PAYMENT :The Architect shall be paid professional fee in the following stages consistent with the

work done plus other charges and reimbursable expenses as agreed upon :Stage-1Submission of site inspection, conceptual planning report, inception report to JDA

10% of the total fees payable.

Stage-2On Approval of site inspection, conceptual planning report, inception report including topographical survey, Geotechnical investigation and project feasibility report by JDA.

20% of the total fees payable less payment already made at Stage1.

Stage-3On submission & approval of detailed project report (including detailed design / drawing and valuation report of existing construction’s on APR-4 road

30% of the total fees payable less payment already made at Stage1 and 2

Stage-4a. On incorporating Client’s suggestions and submitting drawings for approval. b. After approval from T&CP and N.N.J. / statutory approval necessary for commencement of construction wherever applicable.

35% of the total fees payable less payment already made at Stage1 to 3.

40% of the total fees payable less payment already made at Stage1 to 4a.

5. EFFECTING PAYMENT TO THE ARCHITECT :

5.1 The fee payable to the Architect shall be computed on the actual cost of works on completion. The payment due to the Architect at different stages be computed on the following basis: 

5.1.1 Retainer : On rough estimate of cost. 

5.1.2 At Stage 1 : On rough estimate of cost. 

5.1.3 At Stages 2 to 4 : On preliminary estimate of cost. 

5.1.4 At Stages 5 to 6b : Accepted tender cost. 

5.1.5 At Stage 7 : Actual total cost.

5.2 Progressive, on account, payments shall be made by the Client to the Architect against any of the above stages based on the quantum of work done during that stage, as may be mutually agreed to between the Client and the Architect.

5.3 No deductions shall be made from the fee of the Architect on account of penalty, liquidated damages, part rates or other sums withheld from payment or recovered from assignmentors/ suppliers.

5.4 When the work is executed wholly or in part with old materials or labour or carriage is provided by the Client, the percentage fees shall be calculated as if the work had been executed wholly by the assignment or supplying all labour and new materials.

5.5 The actual cost of the completed works shall include cost of execution of assigned works, referred to in Scope of Work and also the cost of equipment & machinery such as Transformers, DG Sets, Sub-stations, Lifts, Air Conditioning Machines, Pumps & Motors, Water and Sewage Treatment Plant, etc., but excluding the cost of land.

6. DOCUMENTATION AND COMMUNICATION CHARGES :

Apart from the professional fee, the Client shall pay to the Architect Documentation and Communication charges, @ 5 % of the professional fee payable to the Architect at all stages.

7. CLIENT’S ROLE AND RESPONSIBILITIES :

The Client shall discharge all his obligations connected with the project and engagement of the Architect as follows:

7 .01 To provide detailed requirements of the project.

7 .02 To provide property lease/ ownership documents.

7.03 To provide a site plan, to a suitable scale, showing boundaries, contours at suitable intervals, existing physical features including any existing roads, paths, trees, existing structures, existing service and utility lines and such lines to which the proposed service can be connected. In case such information is not readily available, the Client shall arrange for the survey/ collection of necessary information and pay for the same.

7 .04 To furnish reports on soil conditions and test as required by the Architect or pay for the preparation of the same.

7.05 To furnish specific conditions/ Statutory stipulations/ Codes of Practice/Schedule of rates, etc., desired to be followed.

7.06 To pay all the fees, levies, security deposits and expenses in respect of statutory sanction.

7.07 To give effect to the professional advice of the Architect and cause no changes in the drawings and documents without the consent of the Architect.

7.08 To honour Architect’s bills within one month of its submission.

7 .09 To appoint a Construction Manager (Clerk of Works/ Site Supervisor or Construction Management Agency in case of a large and complex project) as per the Architect’s advice.

8 . EXECUTION OF THE ASSIGNMENT :

8 .01 The Architect shall keep the Client informed about the progress of work in his office.

8.02 The Architect shall appoint specialized consultants in consultation with the Client, if necessary.

8.03 The Architect shall be responsible for the direction and integration of the consultants work. The consultants, however, shall be fully responsible for the calculations, the detailed design and periodic inspection and evaluation of the work entrusted to them. The Architect shall, if requested, make available the design calculations.

8.04 The Architect will advise the Client on the Time Schedule (Bar Chart/PERT/ CPM Network) prepared by the assign mentors for the completion of work, if required.

8.05 The Architect shall supply to the Client, free of cost, upto six sets of drawings at different stages.

8.06 The Architect shall not make any deviations, alterations or omissions from the approved drawings, involving financial implications without prior consent of the Client.

8.07 Any professional services to be rendered by the Architect at the instance of the Client after the agreed project completion period shall be compensated for on mutually agreed terms.

8.08 The Architect shall exercise all reasonable skill, care and diligence in the discharge of his duties and shall exercise such general superintendence and inspection as may be necessary to ensure that works are being executed in accordance with the Conditions of Assignment.

8.09 Any revision in the drawings, tenders and documents, once approved, required to be made by the Client shall be compensated as additional services rendered by the Architect and paid for @ 50% of the fee prescribed for the relevant stage(s).

without the consent of the Architect.

8.11 Any curtailment of the professional services, beyond Stage 2, shall make it obligatory for the client to pay at least 20% of the fee for the remaining Stage(s) of the curtailed work/ Services.

09 . TIME SCHEDULE :

The Architect shall, in consultation with the Client, prepare a Time Schedule in respect of various services to be rendered and discharge of Client’s obligations.

(3) INDEMNIFICATION :

In the event that a claim or suit is brought against the Architect or the Consultants by any third party for damages arising from personal injury or property damage caused wholly by the Client, or anyone employed by the Client, or anyone for whose acts the Client may be held responsible, then the Client shall indemnify the Architect and fully reimburse any loss, damage or expenses, including the attorney’s fees, which the Architect may incur in connection therewith.

10. OWNERSHIP OF COPYRIGHT :

Architectural design is an intellectual property of the Architect. The drawings, specifications, documents and models as instruments of service are the property of the Architect whether the project, for which they are made, is executed or not. The Client shall retain copies of the Architect’s models, drawings, specifications and other documents for his information and use in connection with the project. These shall not be used for any other project by the Client or the Architect or any other person, except for the repetition as stipulated in the Scale of Charges.

11. TERMINATION OF AGREEMENT :

11.1 Agreement between the Architect and the Client may be terminated by either one giving the other a written notice of not less than 30 (thirty) days, should either fail substantially to perform his part of responsibilities/duties, so long as the failure is not caused by the one initiating the termination.

11.2 When termination of this Agreement is not related or attributable, directly or indirectly to any act, omission, neglect or default on the part of the Architect, the Architect shall be entitled to professional fees as stipulated under Clause 4 and sub-clauses 8.09 and 8.11 of Clause 8.

11.3 In the event of Architect’s firm closing its business or the Client having terminated the agreement, the Client shall have the right to employ another Architect to complete the work, after making payment to the previous architect’s firm.

12. INTERPRETATION :

In case of any ambiguity or difficulty in the interpretation of the Conditions of Engagement and Scale of Charges, the interpretation of the Council of Architecture shall be final and binding on the Architect and the Client.

(3) ARBITRATION :

All disputes or differences which may arise between the Client and the Architect under “Conditions of Engagement and Scale of Charges” with regard to the meaning or interpretation or matter or things done or to be done in pursuance hereof, such disputes and differences shall be referred for arbitration to the Council of Architecture. The arbitrator shall be appointed by the President, Council of Architecture. The arbitration shall be conducted as per the provisions of the Arbitration and Conciliation Act, 1996. The decision and award of the arbitrator shall be final and binding on the Architect and the Client.

03.  Digital Certificate

The RFPs submitted online should be signed electronically with a Class III Digital Certificate to establish the identity of the Participant submitting the RFP online. The Participants may obtain Class III Digital Certificates issued by an approved Certifying Authority authorized by the Controller of Certifying Authorities, Government of India.A Class III Digital Certificate is issued upon receipt of mandatory identity proofs along with an Application Form. Only upon the receipt of the required documents, a Digital Certificate can be issued.Note: It may take up to 10-12 working days for issuance of Class III Digital Certificate, hence the Participants are advised to obtain them at the earliest.The Participants may obtain more information and the Application Forms required to be submitted for the issuance of Digital Certificate from the Tata Consultancy Services, 5th Floor, D.B. Company, the Managing Director / any other Person (having designated authority to authorize a specific individual) has to authorize a specific individual through Authority Letter.Unless the certificate is revoked, it will be assumed to

represent adequate authority of the specific individual to RFP on behalf of the Organization for online tenders as per Information Technology Act 2000. This Authorized User will be required to obtain a Digital Certificate. The Digital Signature executed through the use of Digital Certificate of this Authorized User will be binding on the firm. It shall be the responsibility of Management / Partners of the concerned firm to inform the Certifying Authority, if the Authorized User changes, and apply for a fresh digital certificate for the new Authorized User.

04.  Setup of Participants Computer System

In order for a Participant to operate on the e-Procurement System, the Computer System of the Participant is required to be set up for Operating System, Internet Connectivity, Utilities, Fonts, etc. A help file on setting up of the Computer System can be obtained from the website: www.mpeproc.gov.in.

05.  Publishing of NIT For the Tenders processed using the e-Procurement System, only a brief Advertisement related to the Tender shall be published in the newspapers and the Detailed Notice shall be published only on the e-Procurement System. The contractors can view the Detailed Notice and the time schedule for all the Tenders processed using the e-Procurement System on the website www.mpeproc.gov.in.

06.  Key Dates The Participants are strictly advised to follow the time schedule (Key Dates) of the Tender for their side for tasks and responsibilities to participate in the Tender, as all the stages of each Tender are locked before the start time and date and after the end time and date for the relevant stage of the Tender as set by the concerned Department Official.3

07.  Purchase of Tender Documents

The Tender/RFP documents can be purchased/downloaded free of cost. However, at the time of submission, the Participant has to pay Processing Fee/Portal Fee online. The Tender shall be available for purchase/download to concerned eligible contractors immediately after online release of the Tender and up to scheduled date and time as set in the key dates. Arrangements have been made for the Participants to make payments online via Debit Card /Credit Card, Internet Banking. In case of online tendering, the application form for the purchase of tender documents shall not be required.The cost of the Tender processing Fee/portal fee and Tender Document will not be refunded.

08.  Submission of RFP

The Participants have to prepare their RFPs online, encrypt their RFP Data in the RFP Forms and submit RFP in the envelope and documents required to be uploaded related to the Tender as per the time schedule mentioned in the key dates of the Notice Inviting Tenders after signing of the same by the Digital Signature of their authorized representative.

09.  Withdrawal, Substitution, and Modification of RFPs

Participant can withdraw, substitute or modify the RFPs after submission till the RFP submission end date and time by the Contractor.
