1. The “Preciously Project” is a project implemented by “PMind Ltd” – 57/A Maberley Road - London - United Kingdom SE19 2JE, which may be accessible following a free, voluntary and pondered subscription with the payment of an annual fee for the full use of a web space, the so-called “Back Office”, as shown on the e-shop of the company site www.preciously.eu and it is solely and exclusively intended for all those Customers who will purchase a particular product called “Pack”, to which from time to time some particular conditions will be applied with the consequent grant of benefits.

2. Account Code – Each Customer may have, within the “Preciously Project” only one personal Account code and

with the same they may purchase more products according to their will and means to the extent permitted by the company;

3. The participation in the Project, shall not substitute the method of payment of the Pack already paid or

booked. The Customer shall pay the whole price of the purchased products, in accordance with the General Sales Contract, hereinafter also referred to as “GSC”. Any cash benefit in their Back Office, received within the development of the Project itself, may be used, if provided, for the completion of the difference of the balance of the product purchased in instalments or to make new personal purchases of any product or service on the official e-shop page of the Company. The Customer may in any moment interrupt their participation in the “Project”, without prejudice to contractual terms previously agreed, without any penalty;

4. Back office, start, duration and renewal – In order to access the “Preciously Project” it is obligatory to purchase a personal web space within the PMind Ltd platform, the so-called “Back office”. This will give the Customer the possibility to receive reserved information issued by the company, communicate with the company, take part in advertising campaigns, incentives, bonuses besides benefiting from services offered by the company from time to time. The annual fee for the acquisition of the rights relevant the aforementioned Back office is defined and visible on the e-shop page and will have a 12 (twelve) month validity. The renewal of the personal web space (Back office) gives the right to maintain privileges and options matured and may be obtained with the simple payment of the annual fee before the expiration date and will be therefore extended for a further 12 (twelve) months from that same date. Furthermore to maintaining privileges and options matured, the use of the ‘know-how’ relevant to using one’s own “back office” shall also be allowed as well as, if renewing for a further 12 (twelve) months, the right to pay with personal funds referred to in the “GSC” and/or completion of the “Project”;

5. Preciously Project, start, duration and renewal – The participation in the Preciously Project, having an annual duration as of the date of the confirmation of this document, may be renewed from year to year with the simple renewal of the annual fee for the “Back office”, ensuring that all acquired rights and obligation of the project, are also extended and postponed until the following expiring date, as provided in the Article above;

6. Subscription – The participation in the Preciously Project shall only be possible after the purchase of a specific

product as provided in the Company e-shop, the same may be carried out whether with “immediate payment” or with the method of payment in instalments. In the event of payment in instalments, the participation in the Project will be possible after the payment of the amount specified and clearly visible next to that product, as a confirming earnest, carried out as provided in the GSC and available and downloadable on the platform of PMind Ltd., www.preciously.eu.

7. Project Opportunity – Subscribing to and participating in the project, in any promotion and/or incentive therein shall not mean to have the certainty to complete it to gain a definite benefit, neither economical nor in any form of products and /or services. Therefore, the subscription to the project is not recommended for those who want solely and exclusively to have the possibility to receive any benefit of financial nature such as discounts, price reduction, bonuses, etc... or goods/products of any kind. The Preciously Project shall be intended solely and exclusively as an opportunity and not as a certainty to receive the above mentioned “Benefits”. It is recalled that the proposed price for the purchase of the “Pack” shall be paid in full and with “Personal Funds”;

8. Purpose - The purpose of the Preciously Project is to create a network of Customers, which by system of “word of mouth” will contribute to present and disseminate the Company and its products on a worldwide scale as marketed by the same through the e-shop page on its official website.

9. Products - From the Company e-shop, along with the possibility to purchase all the products singularly, it will be

possible to purchase separate bundles called “Pack” – The “Pack” consists of an indefinite number of coins, tokens, bars of pure gold and/or other precious metal, whose total value, as shown on the same e-shop, corresponds to the total sum of the value of each individual product contained in it.

10. Pack - With the purchase of the “Pack”, the Customer will pay by credit or debit card the confirming earnest, as

stated on the website itself and contextually will undertake to pay the remaining sum of the balance due – whether by bank transfer within 3 (three) days on the corporate IBAN payable to PMind Ltd. in the event of immediate payment or to pay the remaining sum of the balance due within 12 (twelve) months in instalments. The instalments will be interest free and the amount and number will be at will. The Pack value will be given by the quotation of the individual products that can be viewed on the Company e-shop if paid with an “immediate payment” while in case of “payment in instalments” its value will be given by the aggregate amount of the individual products, referred to the Tuesday of the week following the accounting of the last payment. The Selling Company, upon reception of the payment shall prepare the shipment to the Customer’s address, with the conditions and methods provided in the above mentioned “GSC”. In case of a multiple purchase, the following instalments sent by the Company, will progressively complete the individual booked Packs and while these will gradually complete their own, the same will be sent to the customer, following the purchase order;

11. In the event of participation in the “Preciously Project”, the value of the gold benefits will result from the quotations of each individual product as visible on the Company e-shop, referred to the 3rd Tuesday of the following month after the determination of the benefit itself. Afterwards, the Company, will ship the products in question, to the address previously specified by the Customer, with the conditions and methods as provided in the document “General Sales”;

12. The subscription to the “Preciously Project”, will imply the understanding and the acceptance of all the Articles and their contents. In this regard, with the confirmation of this document it is confirmed to have read and understood the same and to have downloaded and stored a copy at the time of acceptance;

13. The “Preciously Project” begins with the subscription to and the acceptance of this commercial offer which

provides the full availability and use of a personal Back Office, through which it will be possible to access different contents with, where provided, the relevant benefits and incentives in the form of economic benefits and incentives and/or products and/or services offered by PMind Ltd;

14. The “Preciously Project” is an incentive rewards-based system for the benefit of all PMind Ltd Customers who

have previously purchased a Pack product. This consists of, on the basis of a specific promotion process, the receipt of various benefits of an economic nature and/or products and/or services, in line with the “Reward System”, better specified below and in relation to the dissemination of the Company commercial activity offered and sponsored by the same Customers;

15. Participating in the Project IS NOT compulsory for the Customer, this shall be seen as an opportunity offered by the Company in order to be able to obtain both personal benefits and for the Company, which by means of this Project will undertake the commitment to pay the benefits to all Customers as described in the following article, using a “Customers bring Customer” system, otherwise known as “Bring a friend in...” a method that has been used by many companies in the last few years. This means that the business activity consisting in selling its products, could grow and expand on a global level, without using the conventional advertising methods such as Media, Billboards, Press etc…

16. The “Customer-brings-Customer” system, also known as “word-of-mouth” or “Bring a friend in...” or as “Network Marketing” is one of the oldest advertising system used on a worldwide scale and remains to this day, under different forms, still the most innovative and advantageous for all companies, by virtue of the fact that the benefits granted to the Customers come through simple, voluntary and non-obligatory ‘referrals’ and after an effective validation of the same;

17. At the sole discretion of the Company, the aforementioned benefits shall be granted under the form of economic rewards and/or products of various types (of which pure gold and/or other precious metals, such as ingots, bullion, tokens, coins etc.) regulated by:

a. A “Reward System” better described in the following detailed description of the “Preciously Project” b. From time to time, targeted and temporary incentive campaigns, individually regulated;

18. The Cash amounts in the Customer’s Back office may be:

a. used by the same solely and exclusively for the purchase of products and/or services in a personal capacity.

b. received the same in their personal account but only when a value equal to or greater than € 100,00 is achieved;

19. Products, Value and Shipment – All products granted as a benefit within the development of the Preciously project will be sent to the Customer address as from the 20th day of the following month after the purchase date of the benefit itself. Its value will be determined from the value of the products displayed on the e-shop page of the official site of the company with reference to the 3rd Tuesday of the following month after the purchase of the benefit itself. Shipping expenses and insurance will be established in accordance with the GSC

MATRIX RULES

20. The Project, in its development, will use different matrix systems, surely of which the most important being the “Forced Binary Matrix”. Beside the aforementioned matrix, the system will also use the “Progressive Single-line Matrix” and the “Free Matrix”;

21. Progressive Single-Line Matrix (Fig. 1) – For each Customer participating in the Project, following the purchase or reservation of their “Pack”, the Company will assign a personal progressive code, through which the Customer will be recognised by the system for each type of operation made within the same Project.

22. “Free Matrix” (Fig.2) – Each Customer within the Project may, if they desire (without any obligation), refer other Customers without quantity limits providing evidence in favour of the Company each of these will be assigned not only their progressive number as provided in the article above, but also an internal position within the “Network” defined “Free Matrix” of their referring person, hereinafter referred to as “Sponsor” or “Coach”. The new

Customer will be linked directly to their Sponsor (S), as shown in Fig.2, therefore creating the 1st Generation, also named 1st Level. All 1st Generation sponsored Customers will be named “Direct”.

sponsor other Customers who will form their own “Direct” 1st Level and at the same time they will form the “S” 2nd Generation or 2nd Level who therefore will be named “INDIRECT” of “S” (Fig. 3),

And yet all the other Generations or Following Levels to infinity will be named “INDIRECT” for “S” and “DIRECT” for their own respective sponsor (Fig. 4).

24. The network starting from the own Personal Code will develop from Generation to Generation to the infinity, shall be regarded as an Own Personal Network.

25. Forced Binary Matrix – When the purchase contract of the “Pack” in entered into, the Customer will pay in full

the amount as provided under the “Pack”, multiplied by the number of Purchased Packs or alternatively, an established amount as a “Confirming Earnest”, this one also multiplied by the number of Purchased Packs. In both cases the Customer will be assigned a position (for the sake of simplicity named Quota) within the project. A further progressive code will be assigned to each Quota, as well as the progressive personal code, therefore making sure that each single Quota is univocally recognised and traceable to the pertaining Customer. This system, by use of the Forced Binary Matrix, will take into consideration rather than Customer Code, the code of the Customers’ Quota and respecting those few, but simple and rigid regulations which define it, will develop a

Tree Binary Matrix of the “2 x N” type, where “2” will represent the maximum number of Quotas that can be linked to the higher Quota, and “N” being the infinite number of lines under such Quota.

RULES OF THE FORCED MATRIX BINARY SYSTEM 26. Quota insertion – The placement of the abovementioned “Quotas” in this tree will follow a simple but rigid rule.

The rule will imply that each free position shall be filled in an automatic manner starting from the “Personal” active quota or the one of the “Sponsor” and observing the same from top to bottom and left to right, until all the free positions provided by the system are filled and until the completion of the set objectives;

27. Let us consider the “S” Quota as the generating Quota of this system that will represent the Sponsor of the first 2 Quotas of the underlying level, the N.1 and N.2 (yellow), these being the only 2 Quotas that can be linked to the “S” Quota, therefore creating the system in a “Binary” form and giving origin to the two Teams generated by the “S” Quota, one to the left, the “Left Team” and the other to the right, the “Right Team”. 28. In the event that “S” should refer a third Quota, N.3 (three), it shall not be linked directly to itself (Fig. 6),

being that this is a “Binary” system” and consequently, even though being a direct Quota of “S”, it shall have to be allocated in the 1st position still free in the lower level, and in the case of such level being complete, it will be inserted into a level below and so on. In this case it will be linked to Quota 1 (Fig. 7).

Fig. 7 29. Quota 3, despite being a direct Quota diretta of “S”, will be counted in the binary system of Quota “1”, giving to

the same all the rights pertaining to the reseved benefits within the development of the Project.

30. Rules of the Forced Matrix Binary System - The “Project” is an Accumulation Plan characterized by a Forced Matrix Binary with a hierarchical tree structure which will develop over two phases which have the same identical development characteristics.

31. Description of the elements included in the structure: a. Quota – The Quota is represented in the Binary System by a knot and as previously stated, it represents

the direct purchase or the confirming earnest paid when each purchase contract of the “Pack” is entered into or at each “Quota recycle” otherwise called “Quota Gift” assigned COST-FREE to the Customer in the development of the Project itself.

b. Knot – The binary system implies that from each Knot (Quota) two and only two branches will derive thus giving origin to another two respective Knots, from which other two branches will break off for each of these that will in turn give origin to another two knots and so forth to infinity (see previous Figures);

c. Phase – The system will be developed in 2 different phases, called “Phase 1” and “Phase 2” or “1st Phase and “2nd Phase” which each will have the same identical rules in their formation, but with different steps and final objectives;

d. Personal quota – Personal Quota means the Quota received in the system after the contract of the Pack is entered into and the simultaneously payment of the same payment or of the confirming earnest. Through this Quota, each Customer will receive benefits as provided;

e. Quota Gift – Quota Gift, otherwise called “Quota Recycle”, refers to the COST-FREE Quota assigned by the Company to all those Customers who, having referred at least 2 new customers, will reach an established objective within their binary system. This Quota, will have the same rights and obligations as the personal quota, but will not have the possibility to be redeemed, as it does not come from any undersigned contract.

f. Quota sponsor - Quota Sponsor refers to the Personal Quota of your Sponsor after the contract for the purchase of your Pack is entered into or to the cost-free Quota Gift assigned by the Company;

g. Direct quota – Direct Quota means the Quota assigned to a Customer personally referred, “1st Generation” or “2nd Level”.

h. Indirect quota – Indirect Quota means the Quota assigned to a Customer of “2nd Generation” or “2nd Level” or yet to Lower Generations or Levels, to infinity.

i. Quota Spillover – Quota Spillover means the Quota assigned to the Customer, when the contract of purchase of the Pack is entered into or otherwise given by the Company, whereby the system will place the Quota in YOUR Binary structure, but has not been referred/sponsored by YOU nor by any other Customer in your network as abovementioned in comma “g” and “h”, but by a Customer stranger to your network and that with high probability you do not know. This Quota will be calculated in order to reach the objectives and incentives, of whichever nature they may be and as provided in the Binary System;

32. Quota insertion – First of all it is necessary to distinguish the two types of Personal Quotas, one originating from the Direct purchase and the other originating from the Quota Gift of the Company. In the case of a Quota originating from Direct purchase, the same will be entered in the structure of the one’s own Active Quota, in the case of a Quota originating from the Company Gift will be entered as provided by the aforementioned Article 27, in the structure of the Active quota of one’s own Sponsor. During the 2nd Phase, being all of them quotas given by the Company, they will always follow the Active quota of one’s own Sponsor;

33. Absence of active quota – In the absence of personal or sponsor active quota that the Sponsor, the same will search for a position available in its own higher direct line of sponsorship (up to the Company “Admin” Quota, also if it should be disabled) and will be linked to this one respecting the same rules abovementioned (this will always happen upon receipt of the 1st personal quota, received after the first Purchase Agreement, not having any other personal quotas, it will look for the one of the sponsor and going back, as previously described, or forward in the hierarchical structure of sponsorship up to the Company “admin” Quota) ; This rule, along with the others in the system, will remain valid for both Phases;

REWARD SYSTEM “CUSTOMERS”

34. Without prejudice to the operating rules and methods of the system, there will be different values of the benefits

offered for each type of “Pack”. Hereinafter, for a better understanding of the plan and for the only purposes of illustration, follows the description of the operating methods and of the development of the “Preciously Project” taking into account a specified product, the “Gold Pack” with a value of € 4.100,00 and a 30% Confirming earnest.

35. Start of the Preciously Project - Your Project starts when your Quota in entered in Your binary system, following the abovementioned rules after the purchase of the Pack with the method of “Immediate payment” or with “Payment in instalments” and resulting dispatch of the Confirming Earnest

36. Loss of the confirming earnest, without any further penalty – In the second scenario referred to in the aforementioned Article, in the absence of the payment, the Customer will lose the confirming earnest and the Company shall not apply for compensation, indemnification or penalty.

BENEFIT – “Gold Pack € 4.100,00”

37. Fast Bonus 1 – When the 1st level right below your quota is complete, for a total of 2 (two) quotas, from whoever referred from, direct, indirect, recycle or spillover, you will receive the 1st benefit, the Fast Bonus 1, of a € 50,00 value.

38. Fast Bonus 2 - When the 2nd level right below your quota is complete, for a total of 4 (four) quotas, from

whoever referred from, direct, indirect, recycle or spillover, you will receive the 2nd benefit, the Fast Bonus 2, of a € 150, 00 value.

39. Fast Bonus 3 -When the 3rd level right below your quota is complete, for a total of 8 (eight) quotas, from

whoever referred from, direct, indirect, recycle or spillover, you will receive the 3rd benefit, the Fast Bonus 3, of a € 350, 00 value.

40. Completion Phase 1 – When reaching at least 20 (twenty) quotas under yours, arranged in a such way that you

will have, the first 3 (three) levels complete, and at least 10 (ten) quotas in the Left Team and at least 10 (ten) quotas in the Right Team (Fig. 5 – Art. 20), these also whomever referred by, direct, indirect, recycle or spillover, the Phase 1 will be considered complete and you will consequently receive:

a. Gold Bonus 1st Phase – A bonus consisting of € 400,00 in pure gold; b. Step to Phase 2 – Your Quota will directly pass to Phase 2, following the active Quota of Your Sponsor

as per the rules above described. In absence of your other active Quotas, this Quota will be activated immediately thus starting your process in Phase 2, otherwise these Quotas will await the deactivation of

the eventual Quotas already present and following the progressive order of arrival, will consequently be activated. Contemporarily with the Step to Phase 2, the same Quota will be deactivated in its Phase 1, losing all rights of attracting any other Quotas, but keeping all rights relevant to possible bonuses and incentives accrued or accruing;

c. 1st Quota Recycle or Gift – The “Quota Gift”, offered by the Company; will occupy a position in the network of the active Quota of your Sponsor, wherever that Quota may be. This Quota Gift will only be granted to those Customers who have referred directly at least 2 new customers. It will have the same characteristics as your previous 1st Personal Quota originating from your direct purchase and therefore you will receive the same benefits with the further creation of another Quota Gift, always following the aforementioned conditions, which in turn will give origin to a further Quota Gift and so on…thus generating a repetitive, continuous perpetual cycle;

41. Completion Phase 2 - With the completion of the first two levels below your Personal Quota, for a total of 6

(six) quotas, all originating from their respective Phase 1, and from whomever referred from, direct, indirect, recycle or spillover, your Phase 2 will be considered complete and consequently you will receive: a. Gold Bonus 2nd – a benefit consisting of € 4.100,00 in pure gold; The completion of Phase 2 will include the conclusively deactivation of the same.

42. Missing or insufficient referrals – In the event a Customer has not referred at least 2 direct personal customers, they will not receive a quota gift from the Company. They will remain active in the system, receiving all accrued or accruing bonuses, only until at least one of their personal quotas will be active at least active in one of the two phases and provided that they have renewed the annuities in their Back Office. The same may in any moment purchase another Gold Pack following the aforementioned procedures and always with the renewal of their Back Office, remaining active in the system.

OPTION 1^ QUOTA - BENEFIT – “Gold Pack € 4.100,00”

43. Option 1^ Quota - This option is only valid for the first contract entered into by each Customer provided they have purchased or reserved at least 3 “Gold Pack” with the payment of the correspondent amounts. It may be:

a. Used only once and it is valid for the first of the 3 Quotas entered in the system; b. Explicitly requested by the Customer when entering into the contract;

44. Fast Bonus 1 – When the 1st level right below your quota is complete, for a total of 2 (two) quotas, from whoever referred from, direct, indirect, recycle or spillover, you will receive the 1st benefit, the Fast Bonus 1, of a € 50,00.

45. Fast Bonus 2 - When the 2nd level right below your quota is complete, for a total of 4 (four) quotas, from

whoever referred from, direct, indirect, recycle or spillover, you will receive the 2nd benefit, the Fast Bonus 2, of a € 150, 00.

46. Fast Bonus 3 -When the 3rd level right below your quota is complete, for a total of 8 (eight) quotas, from

whoever referred from, direct, indirect, recycle or spillover, you will receive the 3rd benefit, the Fast Bonus 3, of a € 350, 00.

47. Completion Phase 1 – When reaching at least 20 (twenty) quotas under yours, arranged in a such way that you will have, the first 3 (three) levels complete and at least 10 (ten) quotas in the Left Team and at least 10 (ten) quotas in the Right Team (Fig. 5 – Art. 20), these also whomever referred by, direct, indirect, recycle or spillover, the Phase 1 will be considered complete and you will consequently receive:

a. Gold Bonus 1st Phase – A bonus that consists of € 1.600,00 in pure gold;

b. Step to Phase 2 – Your Quota WILL NOT pass to Phase 2; it will not anymore be active at the completion of its 1st Phase. The same will be deactivated in its Phase one, losing any right of attracting any other Quotas but keeping all rights relevant to possible bonuses and incentives accrued or accruing;

c. 1st Quota Recycle or Gift – The “Quota Gift”, offered by the Company, will have the same right as aforementioned in the previous articles;

VIP CUSTOMER REWARD SYSTEM Recitals

48. The “VIP Reward System” has been created to reward those Customers who would stand out in a significant

way in carrying out their own “Accounts” in favour of the “product”, the “project” and/or the “Company”;

49. The VIP Customers taking part in the system will receive some benefits in a “cash” form which can be spent

within the Company’s e-shop or request its crediting on the Bank account through the IBAN or on the platform

specified by the same;

50. The rules governing the “VIP Reward System” are set out below and they use the classic and well-known “Multi

Level Marketing” o “Network Marketing” system, which allows some benefits depending on the level under the

reward plan as hereinafter better described, with reference to the personal structure and to infinity;

51. “VIP” Fund (Fig. 8) - The personal “VIP Fund” is made up taking into account the quotes referred to the

accounts of the personal network, direct and indirect to infinity, taking into consideration both the quotas coming

from personal purchases and those offered by the Company in any capacity, following these requirements:

a. For each new quota as above described, entered in the 1st phase, the Fund will increase of € 50, 00.

b. For each new quota as above described, entered in the 2nd phase, the Fund will increase of € 500,00.

52. VIP Club – The access to “VIP Club” is possible:

a. Sponsoring at least 4 Directs and having a personal structure with at least 20 Accounts;

b. Following promotions, incentives or whatever promoted by the Company;

c. Following the merits recognized by the Company

53. Levels and Rewards (Fig. 9) – The level and the following qualification reached in relation to the previous

Article will give access to the 1st Level with the “VIP 1” qualification and to the relevant reward percentage of 20%. There is no deadline or time limit to reach the qualification up to the 3rd level “VIP 3”;

54. Higher Qualifications (Fig. 9) – Higher qualifications up to “VIP 3” will be reached gathering with no time limit the number of Quotas and Directs as provided in Fig. 9, receiving the corresponding rewards All further qualifications higher than VIP 4 will be obtained after the achievement of the corresponding quotas, counted on a monthly basis from the personal structure and recorded in a single calendar month. For example, the 4th Level qualification “VIP 4” will be reached when, in a calendar month, the personal structure will count at least 60 new Quotas entered in the 1st phase and at least 6 Directs, thus obtaining the right to the corresponding 40% reward and so on for all the other qualifications. From qualification VIP 7 to qualification VIP 9, there is the 50% rule – With this rule, from any own direct, regardless of the quotas created, it will not be possible to count more than the 50% of quotas in regard to the established goal (for ex. VIP 7, 1.000 quotas x 50% = 500 quotas, the difference (500 quotas) will be counted summing up the monthly quotes of the rest of their own structure.

55. Access to Benefits - The benefits corresponding to the achievement of all qualifications of the Reward Plan, will be activated since the month in which the qualification has been obtained.

56. 2^ Quota Gift – All customers who will reach the qualification “VIP 4” will receive a 2nd personal Quota Gift,

for each following personal Quota which will complete the 2nd Phase, forever. This quota will be placed, as

provided by the rules of the Binary System, in the 1st Phase of the active quota structure of the Sponsor.

VIP SPECIAL REWARD SYSTEM CLUB

57. VIP Special Club (Fig. 10) – The “VIP Special Club” will generally follow the same rules of the previous “VIP Club” and differs in the advancement of the qualification as per following data sheet:

The “Gold 1” (10th Level) qualification will be reached when both the following requirements are met:

a. A sublevel has reached the 9th Level qualification “VIP 9”;

b. The rest of the personal structure has at least entered 2000 new quotas in the 1st Phase in the same

calendar month;

All following qualifications will be reached following the abovementioned data sheet (Fig. 10), up to the

18th Level with a “Diamond 3” Qualification

58. World Fund Dividend VIP – A part of the “World Fund VIP” will be shares among all the Customers who have reached the Gold, Ruby and Diamond qualifications as follows: a. The 5% of the World Fund VIP will be divided among all “Gold, Ruby and Diamond” Qualifications; b. The 4% of the World Fund VIP will be divided among all “Ruby and Diamond” Qualifications; c. The 3% of the World Fund VIP will be divided among all “Diamond” Qualifications;

59. With all three last qualifications referring to the “VIP Special Club”, the Company wished to grant some

particular merits to the same making sure that each one could consequently take part in the worldwide turnover

generated by the same.

“SPOT BONUS” REWARD SYSTEM

60. Reverse Bonuses are created to give our Customers the recognition they deserve, to have trusted our Company.

Some of these bonuses are Exclusive at a worldwide level of our Company, indeed for the first time Company will grant incentives from the promotional activity of other Customers and not only form their own lower referring but also from their higher referring line even not personal, rather form the Company higher line. Our Customer can receive benefits from other Customers who, probably haven’t or will not have in future no contact with the same and who could find themselves in any part of the world without a direct acquaintance, regardless of their own personal referring activity, just because they have become our Customer;

61. All 4 (four) bonuses provided within the “Preciously Project” are to be considered as examples for the purchase of the “Gold Pack” with its relevant amounts. Other different “Pack” will obviously have different values. All bonuses may be subject to variations in decrease or increase at the Company discretion. The Company, should it deem it necessary for its economic/sales strategy, will have the right to cancel them in whole or in part modifying their objectives and/or contents and their economic value;

62. All benefits obtained, from the below described bonuses, will be calculated weekly. The reference week shall start at 00, 01 hours of each Monday and finish at 24.00 hours of each Sunday. The benefits will be immediately credited to your personal Back Office but will be effectively available to the Customer after the 2nd (second) week following the crediting of the actual transaction;

63. In the event that the Customer code for whichever reason, is deactivated whether by renunciation of the

Customer themselves or as a result of a Company decision undertaken as a consequence of a previously contested motivation to the Customer, all future bonuses due to the same, will no longer be granted and the Customer will lose all rights to them. However, what previously accumulated and/or received will be safeguarded;

64. Spot-Pack (Fig. 11) - The 4 (four) weekly bonuses of each of our Customers (Up-level Bonus, Coach Bonus & Down-Level Bonus), will be calculated in percentage (from 0%-100%) in accordance to the progressive “Spot-Pack” table, (Fig.11) as seen below. The progressive table “Spot-Pack”, refers to the visualisation of a “Daily Publicity Spot Pack” and will be calculated on a weekly basis. The “Spot-Pack” bundle consists of a maximum of 10 advertising spots (photo, video, etc…) of a 10/30 seconds duration each. The visualisation of such “Spot-Pack” and relevant spots contained within, can only be seen once a day and will have to be seen completely at least 5 times during the week in order to obtain the 100% of the benefits referred to the 4 (four) bonuses above. The weekly percentage is calculated with reference to the table better described below:

65. Direct Bonus (Fig. 12) – Each time that a Quota of one of Your Direct will complete their Phase 1 you will be granted a bonus of € 200,00 cash;

66. Coach Bonus (Fig. 13) - Each time a Personal Quota of your Sponsor (S) will complete Phase 1, the Company

will divide in equal parts between all the directs of the same, a sum equal to € 200.00”;

67. Up-Level Bonus (Fig. 14) - To each Customer that enters into a contract, they will be assigned a personal progressive company Customer code, hence each Customer will have a certain number of Customers in their Company Up-Line that have registered to the Project prior to themselves, that in turn already have a personal structure that continues to be amplified (Fig.14). Therefore, the Company identifies the 21 Customers registered progressively prior to you and each time a Quota of these 21 Customers will complete Phase 2, they will earn what is provided by the incentive plan and you will earn an economic BONUS of € 50.00 cash;

68. Down-Level Bonus (Fig. 15) - This Bonus, unlike other previous Bonuses, may directly depend on your own

personal efforts, but will not be obligatory linked to this, in that, as the previous bonuses, may be activated and developed by the activity carried out by others. In fact depending on the Forced Binary System, the same could have been activated thanks to the Quota referred by yourself in a direct or indirect manner and/or thanks to the “QUOTA SPILLOVER” referred by Customers who are not part of your direct structure, that in turn will build their own Binary network for themselves and as a consequence also for you (Fig. 14).

For each Quota entered in this Binary Structure up to Level 21 (Fig.10) (structure 2x21), therefore (2, 4, 8, 16, 32, 64, 128 up to to level 21) which equate to more than 4 million Quotas, you will receive a one-time bonus of € 1,00. This bonus will continue to produce benefits even when the Quota in question results deactivated for having concluded Phase 1, until there will be a position free in the binary structure “2x21”. The “Down-Level Bonus”, will also be granted to all the personal Quotas present in the system (Fig.16) being either a Quota derived by the underwriting of a contract for the “Gold Pack” or by being assigned by the Company a “Quota Recycle” as a gift.

69. Crediting of the “Reverse Bonus” - Each week, immediately after 24.00 hours of each Sunday, the total sum of the 4 (four) above described bonuses, will be multiplied by the weekly percentage of the “Spot-Pack” and credited to your personal account, awaiting for the complete availability, as previously outlined;

CLAUSOLE FINALI

70. Modifications in the contractual conditions - The PMind LTD Company can, in any moment, without prejudice to the previous clauses in the “GSC”, partially modify or completely cancel, unilaterally, the bonuses and the incentives offered in this same document, without the Customer being able to claim any compensation or benefits of any kind. It is understood that any deferred payment as per the “GSC” will remain valid up to its natural 12-month due date as of the moment when the same contract is entered into;

71. For convenience of the parties, the contract is drawn up in two languages: Italian and English. In case of controversy only the English contract shall be legally binding and as a consequence English will be the language of the proceedings;

72. Acceptance – The Customer, with confirmation of the present document, inclusive of the Rules and Regulations

relevant to the “Preciously Project” and its “Reward System”, and integral part of the “General Sales Contract”, affirms to have read, understood, downloaded and saved and furthermore comprehends with the utmost clarity the univocal meaning of each single article, agreements and relevant contents therein described and after having weighed the possible risks and convenience, to ACCEPT them without any reservation.
