Minutes of the Meeting of the Todd County Board of Commissioners held on March 5th, 2019
Call to Order
The Todd County Board of Commissioners met in the Commissioner’s Board Room in the City of Long Prairie, MN on the 5th day of March, 2019 at 9:00 AM. The meeting was called to order by Chairperson Kneisl. The meeting was opened with the Pledge of Allegiance. All Commissioners were present except Commissioner Neumann.
Approval of Agenda
On motion by Erickson and second by Becker, the following motion was introduced and adopted by unanimous vote: To approve the agenda as presented with the addition of 4.9 Head of the Lakes – 3.2 Malt Liquor License, 4.10 Head of the Lakes – Setup License, 4.11 Head of the Lakes – Wine License, and 4.12 Shady’s Golden Eagle – Liquor License.
Consent Agenda
On motion by Kircher and second by Erickson, the following motions and resolutions were introduced and adopted by unanimous vote:
To approve the Commissioner’s Meeting Minutes and Joint Meeting Minutes for February 19th, 2019 as presented.
GAMBLING PERMIT – NWTF STRUTTIN BLACKBEARDS WHEREAS, the Todd County Board of Commissioners are establishing their approval for a Gambling Permit for the NWTF Struttin Blackbeards through this resolution; NOW, THEREFORE BE IT RESOLVED, that the Todd County Board of Commissioners approve a Gambling Permit for the NWTF Struttin Blackbeards to hold a raffle event at the Thunder Lodge in Long Prairie Township at the address 22056 US 71, Long Prairie, MN on August 2nd, 2019. On motion by Erickson and second by Becker, the following motion was introduced and adopted by unanimous vote: To approve the February 2019 Auditor Warrants number (ACH) 900237 through 900278 in the amount of $677,665.27, (Manual) 507 thru 507 in the amount of $1,640.70 and (Regular) 233235 through 233376 in the amount of $732,766 for a total of $1,412,071.98. On motion by Becker and second by Kircher, the following motion was introduced and adopted by unanimous vote: To approve the Commissioner Warrants number (ACH) 400146 through 400158 in the amount of $6,221.55 and (Regular) 51014 through 51076 in the amount of $49,036.27 for a total of $57,257.82. On motion by Kircher and second by Becker, the following motion was introduced and adopted by unanimous vote: To approve the Health & Human Services Warrants number 514858 through 514877 in the amount of $15,015.34 and warrants number 704504 through 704564 in the amount of $69,682.51. On motion by Becker and second by Erickson, the following motion was introduced and adopted by unanimous vote: To approve the sale of tax forfeited parcel #38-0061900 for $5,658.08 to the City of Staples. The price includes all fees. On motion by Kircher and second by Erickson, the following resolution was introduced and adopted by unanimous vote:
A RESOLUTION APPROVING AN ADJACENT OWNER SALE ON TAX FORFEITED PARCELS IN TODD COUNTY
WHEREAS, Parcels 05-0011401, 06-0005701, 15-0031101, and 18-0017601 have forfeited to the State of Minnesota for nonpayment of property taxes. The private sale to the adjacent owner is to achieve the best use of Tax Forfeited parcels by adding it to its adjoining parcel. NOW, THEREFORE BE IT RESOLVED, that the Todd County Board of Commissioners do hereby approve an adjacent owner sale. The Todd County Auditor/Treasurer is hereby directed to mail letters to these adjacent owners. BE IT FURTHER RESOLVED, that the terms of sale are as follow: All property is sold for cash only, full payment is due on the date of sale; A charge of $25.00 will be made for each State Deed issued; A charge of $46.00 will be made to record the State Deed; State Deed Tax on the amount of purchase will be collected (0.0033 x purchase price); and a 3% Assurance Fund charge will be made (as per Minnesota Statutes 284.28, Subd. 8). The only persons allowed to bid are adjacent owners on a first-come first-serve basis with payment due at the time of bid.

Any parcels not purchased by an adjacent owner will become available for public sale on September 1, 2019 with public sale terms and conditions applicable. BE IT FURTHER RESOLVED, that the right is reserved by Todd County, in the interest of the public, to cancel this sale at any time prior to its sale. On motion by Erickson and second by Becker, the following resolution was introduced and adopted by unanimous vote:
RESOLUTION FOR A PUBLIC LAND AUCTION OF TAX-FORFEITED PARCELS IN TODD COUNTY
WHEREAS: Tax-Forfeited Parcels in Todd County have been reappraised and classified as provided by M.S. 282.01, and will be offered for sale by the Todd County Auditor/Treasurer at a public auction. NOW, THEREFORE BE IT RESOLVED, that the Todd County Board of Commissioners do hereby approve said land auction to commence at 10:00 a.m. on the 5 th day of April, 2019. The Todd Coun ty Auditor/Treasurer is hereby directed to publish a notice of the upcoming land auction as provided by law. BE IT FURTHER RESOLVED, that the terms of sale are as follows: All property is sold for cash or check only, no payment plans will be offered and full payment is due on the date of sale. A charge of $25.00 will be made for each State Deed issued. A charge of $46.00 will be made to record the State Deed.
State Deed Tax on the amount of purchase will be collected. (0.0033 x purchase price or minimum of $1.65)
A $50.00 fee for well certificate, if applicable, will be collected. A Tax Forfeiture Administration fee of $250.00 will be collected. A 3% Assurance Fund charge will be made (as per M. S. 284.28, Subd. 8). BE IT FURTHER RESOLVED, that Tax-Forfeited Parcels will be offered for sale subject to liens, existing roads, easements and leases, if any, and an y special assessments canceled at forfe iture may be reassessed by the municipalities after the sale. BE IT FURTHER RESOLVED, that the right is reserved by Todd County, in the interest of the public, to cancel this sale at any time prior to its sale.
Public Works
On motion by Becker and second by Erickson, the following motion was introduced and adopted by unanimous vote: To set the 2019 Spring Road Meeting for April 3, 2019 at 9:00 AM at the Northern Public Works Shop.
Todd-Wadena Community Corrections
On motion by Becker and second by Erickson, the following resolution was introduced and adopted by unanimous vote:
RESOLUTION APPOINTING NEW MEMBER TO TODD-WADENA COMMUNITY CORRECTIONS ADVISORY BOARD 2019
This is a resolutio n appointing a new mem ber to the Todd-Wadena Co mmunity Corrections Advisor y Board. WHEREAS, On January 2, 2019, the Todd County Board of Commissioners appointed membership to the Executive Committee and Advisory Board, and WHEREAS, A Citizen Member position on the Advisory Board is currently open, and WHEREAS, Donald Asmus has agreed to fill the vacant position, and THEREFORE, IT IS RESOLVED that Donald Asmus be appointed to the Advisory Board to serve in the capacity of Citizen Member.

On motion by Erickson and second by Kircher, the following motion was introduced and adopted by unanimous vote: To approve the posting and hiring of a Lead Equipment Operator. On motion by Kircher and second by Erickson, the following motion was introduced and adopted by unanimous vote: To approve the Draft Waste Management Plan to be sent to the MPCA.
Health & Human Services
On motion by Kircher and second by Erickson, the following motion was introduced and adopted by unanimous vote: To approve out of state travel for Public Health Nurse, Angel Karnes, to attend the out of state training located in Denver, CO, for the Nurse Family Partnership program.
Administration
On motion by Kircher and second by Becker, the following motion was introduced and adopted by unanimous vote: To approve the Memorandum of Agreement between the Todd County Board of Commissioners and American Federation of State, County and Municipal Employees, AFL-CIO Local Union 3168 for On-Call Pay for Nurses.

Transportation (SALT) will work with your District State Aid Engineer to coordinate project development and
construction via the Delegated Contract Process (DCP) for these federal funds.

In November 2018, the Office of Traffic Engineering (formerly Office of Traffic, Safety & Technology) completed a
solicitation and application to all Greater Minnesota counties for local HSIP projects. We thank you for your
commitment to transportation safety. Without your efforts, our goal of continuing to reduce fatal and life
changing crashes would not be possible.
Of the 19 applications received in ATP 3, the selection team ranked and prioritized projects that:
Identified in the County Road Safety Plan
Demonstrated systemic planning
Addressed a high risk area
Implemented low-cost, high-benefit strategies
Documented a benefit-cost ratio greater than 1.00
The primary focus of these projects is to reduce fatal and life changing crashes as part of the Toward Zero Deaths
objectives; therefore, projects should be installed to high standards that have proven safety benefits.

NOXIOUS WEED AND INVASIVE PLANT GRANT
WHEREAS, the MDA released the Noxious Weed and Invasive Plant Grant Proposal Application on August 30, 2018 and;
WHEREAS, October 2, 2018 the County Ag Inspector (CAI) brought a Board Action to the Board meeting asking for approval to apply for the Grant. The completed Grant application was submitted to the MDA on October 3, 2018. $12,000 was requested to be used to hire a contractor to do treatment of the Township roads surrounding the Palmer amaranth fields, and to hire a contractor to do treatment of Wild parsnip in County Road ROWs and Township road ROWs that were treated last year, and;
WHEREAS, the CAI was informed on January 4, 2019, that Todd County has been awarded the $12,000 requested amount.
NOW, THEREFORE BE IT RESOLVED, the Todd County Board of Commissioners accepts the Noxious Weed and Invasive Plant Grant from the MDA, and authorizes the CAI to sign the Grant Award contract for and on behalf of Todd County.

RECYCLING SERVICE AGREEMENT
THIS AGREEMENT, is made and entered into on the last date of execution below, by and between the COUNTY OF TODD, MINNESOTA, 30433 US 71, Browerville, Minnesota 56438, hereinafter referred to as “County” and Mattheisen Disposal Inc. Benson, Minnesota 56215, hereinafter referred to as “Contractor”. WHEREAS, County desires to enter into an agreement with Contractor to have Contractor provide recycling materials to the Transfer Station; and WHEREAS, Contractor represents that he is qualified to provide these transfer services. NOW, THEREFORE, for and in consideration of the mutual covenants herein contained, the parties agree as follows:
SECTION 1
DEFINITIONS
1.01 Recycling Materials means plastic containers with necks, food and beverage glass, container glass, tin
food cans, aluminum beverage cans, corrugated cardboard, magazines, newspapers, office paper, phone books, computer paper, and junk mail are accepted for recycling.
1.02 Contractors Representative means Steve Mattheisen unless Contractor notifies County that Contractor
has designated Contractor’s duties to another named individual. 1.03 Director means the Solid Waste Director of Todd County, Minnesota, or such other person as may be
designated from time to time by said Director, to perform the function of the Director for the County.
SECTION 2
SCOPE OF WORK
2.01 The work is generally described as the transfer of recycling to the Todd County Transfer Station. 2.02 It is understood by and between the parties, however, that the Scope of Work shall not at this time
include the following:
A. A requirement that the Contractor enforce the obligations of recycling collectors in Todd County which dispose of recycling at the Todd County Transfer Station, except when Contractor becomes aware of the deposit or attempted deposit of non-conforming recycling at which time he will so notify the Director.
2.03 It is understood by and between the parties that the ownership of the recycling shall at all times remain with County, and that the Contractor shall not acquire any rights, title or interest to said recycling.

SECTION 3
RATE SCHEDULE 3.01 A. The Contractor shall pay the County for performance of services described herein: TODD COUNTY TRANSFER STATION:
Recycling: Rate: Recycling to Todd County Transfer Station $20 per Ton 3.02 The parties agree that the rates set in this agreement is to help offset the cost of having STEP
(Supporting, Teaching, and Empowering People) working five days a week instead of three days. This may be reviewed annually, taking into consideration the cost of labor, insurance, supplies, maintenance, general overhead expenses in operating and maintaining equipment, to transport recycling to and from the designated disposal facilities, together with any other business costs the parties may agree are associated with the costs of doing business. In the event the County desires to increase the rate established by this Agreement, they shall submit the proposed increase to the Contractor and the reasons for the proposed increase. Proposals must be received prior to January 1st of each year and if approved will become effective January 1st of the following year. County and Contractor agree to review the proposal for increase in good faith, taking into consideration the costs as defined above, funding, ability to raise rates and other matters of a similar nature. In the event the parties cannot reach an agreement within ninety (90) days from the date of notice, County shall be entitled to terminate this Agreement on an additional 120 days’ written notice. Pending the determination of the changed rate, Contractor shall continue to pay the rate in effect at the time the notice is delivered.
3.03 The Contractor acknowledges that it has in place sufficient procedures to insure that the County will be
paid from allocated funds in a timely manner pursuant to the terms of this Agreement.
SECTION 4
TERMS, TERMINATION AND PENALTIES 4.01 The term of this Agreement shall be for a period of one (1) year commencing on or about the 1st day of
March 2019. This contract may be renewed for consecutive one (1) year terms upon mutual agreement between the County and Contractor.
SECTION 5
DUTIES OF COUNTY
5.01 The County will supply the land, building, all necessary facility permits and be responsible for all real
estate and similar taxes. 5.02 The Contractor shall make all payments due to the County within thirty (30) days of receipt of a bill or
statement from County.

SECTION 6
SEVERABILITY
6.01 The provisions of this Agreement shall be deemed severable. If any part of this Agreement is rendered
void, invalid or unenforceable, such rendering shall not affect the validity and enforceability of the remainder of this Agreement unless the part or parts which are void, invalid or otherwise unenforceable shall substantially impair the value of the entire Agreement with respect to either party.
SECTION 7
NONDISCRIMINATION
7.01 During the performance of this Agreement, the Contractor agrees to the following: No person shall, on
the grounds of race, color, religion, age, sex, disability, marital status, public assistance status, criminal record, creed or national origin be excluded from full employment rights in, participation in, be denied the benefits of or be otherwise subject to discrimination under any and all applicable federal and state laws against discrimination.
SECTION 8
AGREEMENT
8.01 This Agreement of the parties relating to the subject matter hereof and is the full and final expression of
the Agreement between the parties. This agreement shall be binding upon the parties hereto, their successors and assigns.

South Country Health Alliance (SCHA) is an 11 member county-based health (CBP) plan in Minnesota, formed in 2001 to improve the way members receive healthcare. SCHA has more than 38,000 members offering seven different programs to meet the needs of those within counties. Due to declining Medical Assistance (PMAP) enrollment, high claim and pharmacy costs, SCHA is less than 200% risked-based capital (RBC) as mandated by MDH, Departments of Health Policy & Regulation. A RESOLUTION APPROVING PAYMENT OF ADDITIONAL CAPITAL
TO SOUTH COUNTRY HEALTH ALLIANCE WHEREAS, the Counties of Brown, Dodge, Goodhue, Kanabec, Morrison, Sibley, Steele, Todd, Wabasha, Wadena, and Waseca have formed a Joint Powers Board to implement and administer County-Based Purchasing for certain state and federal programs, which Joint Powers Board operates under the name "South Country Health Alliance" ("SCHA"), and; WHEREAS, this County has entered into a Guarantee Agreement by which it obligated itself to make additional contributions in order to meet solvency requirements, and; WHEREAS, the Amended Joint Powers Agreement obligates counties to make additional capital contributions if requested by the Joint Powers Board, and; WHEREAS, the Joint Powers Board has decided to make an additional capital call at a meeting of the Board of Directors of SCHA on January 3, 2019, in an amount to be determined to enable SCHA to attain 200% of the risk-based capital (RBC) set forth on the RBC report for 2018; NOW, THEREFORE BE IT RESOLVED, that this County hereby commits to make a further capital investment to SCHA as follows:
(a) The capital contribution shall be in assets which qualify as “admitted assets” as defined in 2018 Minnesota Statues section 60A.02, subdivision 27.
(b) The total contributions from all Member Counties of SCHA shall not be less than those needed to give SCHA an RBC of 200%.
(c) This county’s share of the total capital contributions required shall be determined by Article 10.3 of the Joint Powers Agreement of 2013.
(d) The amount required of this county shall not exceed the sum of $1,571,006.00.
(e) The contribution shall be made not later than Friday, May 31, 2019 although the contribution is requested to be received by March 29, 2019.

RESOLUTION OF WITHDRAWAL FROM
SOUTH COUNRTY HEALTH ALLIANCE JOINT POWERS AGREEMENT
Whereas, the Counties of Brown, Dodge, Goodhue, Kanabec, Morrison, Sibley, Steele, Todd, Wabasha, Wadena, and Waseca have formed a Joint Powers Board to implement and administer County-Based Purchasing for certain state and federal programs, which Joint Powers Board operates under the name "South Country Health Alliance" ("SCHA"); and
Whereas, this County may exercise its’ right to withdraw from the Joint Powers Agreement as in the Joint Powers Agreement, Section 11: WITHDRAWAL and Bylaws Article IX. Member County Withdrawal.
NOW, THEREFORE, BE IT RESOLVED by the Todd County Board of Commissioners that Todd County will withdraw from the Joint Powers Agreement operating under the name “South Country Health Alliance” and will file this resolution with the CEO and Joint Powers Board Chair with the effective date of 11:59 p.m. of December 31, 2019.

Process for Withdrawal A county may exercise its right to withdraw from the Joint Powers Agreement as specified in the Joint Powers Agreement and By-laws as referenced below. Joint Powers Agreement Section 11: WITHDRAWAL
11.1. Method of Withdrawal A Member County may withdraw from this Agreement by filing with the CEO and copied to the Board Chair a written board action notifying SCHA of its withdrawal, by the deadline determined in advance by the by-laws. 11.2. Responsibilities on and after Withdrawal Following its withdrawal from this Agreement, the withdrawing Member County shall fulfill any outstanding contractual responsibilities it may have with the State of Minnesota, the federal government, other Member Counties, and SCHA. The withdrawing Member County shall be responsible for notifying the State of Minnesota and any other appropriate governmental authority of its withdrawal. 11.3. Payment of Surplus to Withdrawing Member County Any withdrawing Member County is entitled to receive its share of SCHA’s Capital and Surplus, determined as set forth in Section 4 above. The Member County's specific capital account shall become available for withdrawal after the annual financial statements have been issued and filed with the State of

Minnesota, when such capital accounts shall be determined. Such payments of Capital and Surplus may, at the option of SCHA, be:
(a) Made in one lump sum, without interest, within thirty days after determination of the amount of such Capital and Surplus; or (b) In equal annual payments of principal commencing September 30 of the year following withdrawal, and continuing over a period of time not to exceed five years. Simple interest shall accrue from January 1 of the year following withdrawal at the Wall Street Journal Prime Rate in effect on that date, and shall be paid to date with each installment of principal.
Bylaws Article IX. Member County Withdrawal A Member County may withdraw from SCHA with the authority granted to it by the provisions of Section 11(1) of the Joint Powers Agreement. The deadline for notice of withdrawal shall be December 31, one year prior to the year of withdrawal, or 30 days after budget approval by the Board, but no later than March 31st of the withdrawal year. If a county submits its notice of withdrawal by the deadline determined by the by-laws the effective date of the withdrawal would be 11:59 p.m. of December 31, 2019.
