PURPOSE
To encourage and reward Dealer Retail Sales Professionals to sell select high efficiency systems by
providing incentives on certain Trane® XL and XV systems with Nexia Controls.
PROGRAM SUMMARY
During the Effective Period, Dealer RSPs will earn SPIFF dollars based on their sales of qualifying
eligible systems listed in Exhibit A (“Qualifying Systems”).
EFFECTIVE PERIOD
o Sale Date: February 1, 2017 – June 30, 2017
o Installation Date: February 1, 2017– July 7, 2017
o Submission via TPCC: February 1, 2017 – July 7, 2017
ELIGIBLE PARTICIPANTS
Retail Salespersons (RSPs) employed by an independent Trane Comfort Specialist Dealer
(“Trane Dealer” or “Dealer”) and must have a W-9 on file with your DSO.
Participating RSPs must be employed by a Trane Dealer during the entirety of the
Effective Period through and including the defined program Payout Dates identified below.
In addition, each Trane Dealer must have a signed Dealer Sales and Service Agreement
with Trane that includes a sales goal of at least $100,000.
The Dealer’s account must be current and Dealer must have a signed 2017 Dealer Sales
Agreement or other signed, current, and active Dealer Sales and Service Agreement on file
with the DSO and be in good standing with Trane credit and the DSO as determined solely
by Trane, in order for any payouts to be made under this program.
Participating RSP’s are required to register for the Wells Fargo Debit Card Program,
online for 2017 SPIFF payouts.
PROGRAM REQUIREMENTS
1. Eligible Participants must timely submit SPIFF claim for qualifying sales under this program
online through the Trane Promotion Claim Center on ComfortSite. The following information
will be required:
- Customer Name
- Installation Address
- Sale & Installation Dates
- Serial Numbers of all units sold per job
2. Sales of Qualifying Equipment must be reported no later than 30 days following the sale
or by July7, 2017 whichever comes first (“Submission Deadline”). No credit will be given
for sales claims received after the Submission Deadline.

3. Only the RSP that makes the sale is eligible to earn SPIFFs. No pooling or transferring of
dollars is allowed. Payments can only be made to individual RSPs; no company or
corporation payments will be made under this program.
4. Only sales made during the Effective Period qualify.
5. If the RSP leaves employment with the dealer or is terminated under any conditions, all unpaid
SPIFFs and privileges are immediately forfeited and no payout shall be made.
6. Each RSP participating in this program will receive a 1099 tax form and will be responsible
for any tax obligations for funds earned on this program.
7. Trane reserves the right to audit submitted claims at any time.
8. New model numbers that replace units under this program will count towards SPIFF.
9. NEW! ALL Eligible Participants will be required to register for the Wells Fargo Debit Card
Program online, in 2017, if you did not register for the Program in 2016. Instructions for
registering are included below. Registrations must be completed no later than March 28,
2017 OR 30 days prior to the end of a quarter payout period, whichever comes first.
Failure to register will result in delayed processing of your earned SPIFF’s.
AWARD
I. RSPs will earn SPIFF dollars for the sale of each Qualifying System sold with a Nexia Control*
(refer to Exhibit A).
*Qualifying Systems must include a Nexia Control, as listed in Exhibit A for SPIFF to
be earned. This includes Qualifying Systems and Packaged Units. Ductless Systems are
excluded from this requirement.
Payouts of earned SPIFF will only be made after RSP has earned at least $500 in SPIFF. If RSP
has not earned at least $500 in SPIFF, no payouts will be made under this program. No funds
will roll over to future program accruals.

QUALIFYING SYSTEMS
Qualifying Systems Exhibit ‘A”
ADMINISTRATION
A. Payouts will only be made after RSP has earned at least $500 in SPIFF dollars. If RSP has not
earned at least $500 in SPIFF dollars, no payouts will be made under this program.
B. No funds will rollover from 2017 to any 2018 future Sales Plan or Program offered by Trane.
C. Payouts will be made quarterly in April and July via Wells Fargo debit cards provided the $500
minimum earned SPIFF payout amount has been met or exceeded AND Participating RSP’s
have registered for the Wells Fargo Debit Card Program.
D. Participating RSPs must submit SPIFF claim for qualifying sales under this program online
through the Trane Promotion Claim Center on ComfortSite. The following information will be
required:

Serial Numbers of all units sold per job
E. Sales of Qualifying Equipment must be reported no later than 30 days following the sale or
by the July 7, 2017 submission deadline, whichever comes first. No credit will be given for
sales claims received after the July 7, 2017 submission deadline.
F. Trane reserves the right to audit submitted claims at any time.
G. New model numbers that replace units under this program will count towards SPIFF.
H. ALL Trane Sales and Marketing Programs MUST be claimed at the same time within the
TPCC. This includes SPIFF Plans AND Consumer Offers.

RSP WELLS FARGO REGISTRATION PROCESS
Please follow the steps below to complete your Wells Fargo Registration no later than March 28, 2017
OR 30 days prior to the end of a quarterly payout, whichever comes first. You will need access to the
internet AND access to the email address you enter (you will be emailed an access code for entry).
1. Complete and return the SPIFF Participation Agreement below
2. Once your SPIFF Participation Agreement is received, you will be provided with the Wells Fargo
registration link AND your unique “Customer Defined ID#”.
3. Customer Number 10783
4. Enter your email address and press the Request new One-Time Validation Code button.
a. Next, check your email for the code.
b. Return back to the verification screen, enter the code, and press Continue.
5. Once you have entered your verification code you will be taken to your profile set-up. Complete
all of the information. You must enter all of the information. Your “Customer Defined ID” will
be provided to you by the DSO, once your SPIFF Participation Agreement is received. Please see
the example below and chose those settings from the drop-down menu. Then check the
Agreement box and click “submit” in the lower right corner.

6. This will complete the Registration process. Click Yes.
7. **IMPORTANT**
You will receive your card in approximately 2 weeks. PLEASE BE AWARE that the card comes
just like any other credit card, in an unmarked envelope, so please check your mail carefully.

8. Keep your card safe for this and ALL future payments.
9. Please note your card will arrive with no funds- the card will be funded during quarterly payouts
once you have reached the minimum payout threshold.
10. If you do not receive your card please call 866-307-4737.
11. We will notify you when payment has been processed to your card.
12. Use your card as you would any pre-paid debit card or take funds out at your ATM.

The information provided herein is considered confidential and proprietary information of Trane U.S., Inc., and its affiliates
(“Trane”). It is provided for the sole purpose of permitting the recipient to promote Trane products and services. Recipient
agrees to maintain the confidentiality of all proprietary, trade secret information, including confidential pricing data provided in
this document. The Recipient hereby agrees that it will not at any time disclose this confidential information or material, in
whole or in part, to any person or entity for any reason or purpose whatsoever, unless Trane gives its consent, in writing, to such
disclosure, except as required by law. The agreement to maintain the confidentiality of this information extends to any
employees, pre or future, involved in the work desired and who will have access to the information. These employees will hold
the information in confidence in accordance with this agreement and use the information only in the performance of their
employment. Recipient agrees to review this agreement and its terms with employees and will obtain their agreement with the
terms of this agreement before providing them with any Trane confidential information.
Amendments, Modifications, or Exceptions Trane reserves the right to amend, modify, or cancel the program, or any portion at any time. Amendments are not effective
unless they are published by Trane in formal Guidelines or are signed by an authorized Trane representative. Any exceptions to
the program guidelines must be approved in writing by an authorized Trane representative.
No Other Obligation
Trane shall have no fiduciary duties or other special duties of any kind to any distributor/dealer under the program other than as
expressly set forth in these guidelines.
Legal Liability
By participating in this program, each participating distributor/dealer warrants that its marketing programs and initiatives are in
compliance with all antitrust pricing laws and federal/state/local regulations. Trane does not undertake any legal responsibility
for the local management and execution of their marketing programs.
Document Retention
It is the distributors/dealers responsibility to maintain copies of supporting documentation and claim reimbursement paperwork
for a minimum of 24 months after reimbursement. Prior to implementing any change in your record retention policies, please
consult with your accountant and attorney to determine whether you need to retain these records for other business or legal
purposes.
Claims Auditing
All reimbursements under the program are subject to audit. If reimbursement is received on any claim that is later determined to
be ineligible, the distributors/dealers account will be either be debited or invoiced in the amount of the ineligible claim plus
reasonable and customary expenses incurred for conducting the audit.
Program Violation
Violation of these guidelines may result in termination of the applicable Distributor Agreement or Dealer Sales Agreement or
any portion thereof, including but not limited to an immediate revocation of any and all rights to use or display Trane intellectual
property (logo’s, trademarks, creative).
Financial Status
Eligibility for program and reimbursements are contingent upon Distributor/Dealer having an executing Distributor Agreement
or Dealer Sales Agreement on file and their account being active and in good standing/current as determined solely by Trane.
Privacy Policy Disclosure Statement
As part of this program and within Trane’s sole discretion, Trane collects various information to support its development and
delivery of quality products, services, and programs to its consumers. In order to ensure that Trane programs are provided and
that proper quality in service is achieved, Trane may from time to time directly contact homeowners who purchase Trane products
or services to survey customer satisfaction, to evaluate homeowner’s reactions to an interest in Trane products and services, and
to conduct research activities. These surveys are a result of such things as independent dealer programs, product registrations,
extended warranties, etc. and may be provided to you for the homeowner’s future purchase of Trane products and services. Any
information received or obtained by Trane will be held in accordance with Trane’s privacy policy, which may be obtained at
www.trane.com. Trane may from time to time also directly contact homeowners when requested by the homeowner, when
required by contract or law, or when a registered homeowner has not received all available coverage for its Trane products.
Termination
This sales plan is subject to termination or modification at any time by Trane, but such termination or modification shall not
affect rights hereunder with respect to sales or contractual commitments made prior to the time of such termination or
modification.
