    elcome to the University of Mobile Torch Society! You are part of an amazing organization that directly

    impacts students by providing life-changing scholarships. Together, we stand in the gap for students who need that extra support to make their education possible.

    What a joy it is to know that seven University of Mobile students were awarded scholarships in our inaugural year at our Torch Society Scholarship Celebration Dinner! And what a blessing it is to know that these students not only have the financial support to continue their education as a result of our efforts, but also have the knowledge that each one of our members is praying for them as they prepare to pursue their professional calling.

    The needs are great, and our work continues. Now that we have laid the foundation for the Torch Society, it’s time to invite our friends and neighbors to join with us. We have a busy and exciting year ahead with informative and inspiring programs, enjoyable social gatherings and successful fund-raising events. Let’s add to our number so we may increase the number of students we can impact through “Higher Education for a Higher Purpose.”

    OUR MISSIONThe Torch Society is a dynamic community dedicated to creating vibrant

    programs and ideas to support scholarship efforts by creating

    • an awareness of the Torch Society in the community• opportunities for volunteerism• an atmosphere of excitement through engaging programs• a culture of compassion and giving through service.

    With Esther 4:14 “For such a time as this” as its foundational Scripture, the Torch Society builds on the legacy of the original Mobile College Auxiliary. The new Torch Society generation brings its God-given gifts

    and talents to fulfill the Torch Society vision: Lighting the Way through Scholarships. Each year, the Torch Society awards scholarships that have

    embership is open to anyone who shares the Torch Society vision

    of impacting the lives of students through scholarships. Persons

    interested in becoming a member are encouraged to attend

    the various meetings and events scheduled throughout the year and may

    join at any time. Members have access to educational and entertaining

    programs, social gatherings and philanthropic events, in addition to

    opportunities to join together in service to students at University of

    Mobile.

    LIFETIME MEMBER ($1,000 one time) Includes non-ticketed events, mailings, directory and provides support for endowed Torch Society scholarship funds. Members at this level receive a Torch Society umbrella.

    DIAMOND MEMBER ($500 annual dues) Includes non-ticketed events, mailings, directory and provides additional support for the scholarship program. Members at this level receive a Torch Society fleece blanket.

    GARNET MEMBER ($250 annual dues) Includes non-ticketed events, mailings, directory and supports the mission of Torch Society. Members at this level receive a Torch Society tote bag.

    ONYX MEMBER ($100 annual dues) Includes non-ticketed events, mailings, directory and supports the mission of Torch Society. Members at this level receive a Torch Society tumbler.

    ANNUAL MEMBER ($50 annual dues) Includes non-ticketed events, mailings and the directory. Members at this level receive a Torch Society decal.

    GRADUATING SENIOR ($25 one time) Is an introductory membership for University of Mobile graduating seniors and includes non-ticketed events, mailings and the directory. Members at this level receive a Torch Society decal.

    he roots of the Torch Society can

    be traced to the first academic year

    of what was then Mobile College.

    On April 10, 1964, Annie Boyd Parker

    Weaver, fondly known as “B” and the wife of

    founding president Dr. William K. Weaver

    Jr., spearheaded the founding of the Mobile

    College Auxiliary. Members were women

    interested in the cause of higher education

    and service to students. Its objectives were

    to assist the college in reaching its goals,

    strengthen ties between the college and

    its community, and aid in promoting the

    welfare of students. A primary focus

    was providing scholarship assistance to

    students. In 1987, the Mobile College

    Auxiliary Endowed Scholarship

    was established, which is now the

    Annie Boyd Parker Weaver Endowed

    Scholarship. The organization was

    active for 30 years.

    In November 2016, Penney Smith,

    wife of fourth president

    Dr. Timothy L. Smith, revitalized the auxiliary, and the Torch Society

    was established.

    The purpose of the University of Mobile Torch Society is to impact lives

    through scholarships. With Esther 4:14 “For such a time as this” as its

    foundational Scripture, the Torch Society builds on the legacy of women

    who have been a vital support to the growth and development of University

    of Mobile. The new Torch Society generation brings their God-given gifts

    OUR INAUGURAL YEAR 2017-2018

    JUNIOR TORCH SOCIETYThe Junior Torch Society welcomes members ages 22 to 35 and is a part of the University of Mobile Torch Society. The Junior Torch Society hosted a watercolor workshop taught by UM student and artist Julianne Patterson. UM alumna Morgan Carnley is vice president for the Junior Torch Society.

    The Torch Society capped off the inaugural year in April 2018 by

    awarding $5,000 in scholarships to seven University of Mobile students

    at a scholarship celebration dinner featuring a keynote address by

    distinguished alumna Dr. Julie Clow, head of Global People Development

    at CHANEL and author of “The Work Revolution: Freedom and

    Excellence for All.”

    Scholarship recipients were selected following a rigorous application

    and interview process.

    ARTICLE I. NAME

    The name of the organization shall be University of Mobile Torch Society.

    ARTICLE II. PURPOSE

    The purpose of this organization shall be fourfold: To assist the university in attaining its objectives; to help in strengthening the tie between the university and its community; to aid in promoting the welfare of the students; and to provide financial aid through scholarships to students.

    ARTICLE III. MEMBERSHIP & DUES

    Section 1. MembershipThe membership of this organization shall be composed of persons interested in the cause of higher education, scholarships for students and service to students.

    Section 2. DuesA. Annual dues, in all membership classifications established by

    the Executive Board, shall be determined at the discretion of the Executive Board.

    B. Dues shall be payable July 1 for each fiscal year.

    ARTICLE IV. FINANCES

    Section 1. Fiscal YearThe fiscal year shall be July 1 – June 30 to coincide with the fiscal year of University of Mobile.

    Section 2. BudgetA. The Treasurer in collaboration with the Executive Committee

    shall recommend to the Board of Directors an annual budget no later than the first fall meeting of the Board of Directors.

    B. The annual budget shall be adopted by the Board of Directors.Section 3. Allocation of Dues

    A. Torch Society operating expenseB. Student ScholarshipsC. Life membership endowment

    Section 4. Scholarship EndowmentA. Sources of Income

    a. Gifts

    b. Life membership duesc. Memorialsd. Annual Intereste. Transfers from Torch Society general fund

    B. Income shall be deposited with and invested by University of Mobile, the custodian of all Torch Society funds.

    ARTICLE V. OFFICERS

    Section 1. Appointed Liaison OfficersA. The Appointed Liaison Officers shall be the Executive

    Director, traditionally the spouse of the President of University of Mobile, and a Director, who is an employee of the university.

    B. The Executive Director shall act in cooperation with the Torch Society president to:a. Promote all aspects of the Torch Societyb. Advance the work of all committees by serving as an

    ex-officio voting member of all committees.c. Serve as liaison to the university, enlisting the assistance of

    other personnel as needed.C. The Director shall act in cooperation with the Torch Society president to:

    a. Perform such duties as outlined in the university’s job description for the position.

    b. Advance the work of all committees by serving as an ex-officio voting member of all committees.

    c. Promote all aspects of the Torch Society, demonstrating the worthiness of the university as a volunteer cause and as a charitable entity deserving of gift support.

    d. Encourage wide membership enlistment and quality programs.

    e. Assist with all printed materials, scheduling and inter-relationships between Torch Society and the university.

    Section 2. Elected OfficersA. Torch Society members shall be eligible to hold the following elected offices:

    a. Presidentb. Vice President for Programsc. Vice President for Membershipd. Vice President for Fundraisinge. Vice President for Communication

    f. Vice-President for Scholarship & Student Supportg. Vice President for Junior Torch Societyh. Treasurer

    B. The duties of elected officers shall be as follows:a. The President shall:

    i. Be the chief officer and official spokesperson of the Torch Society.

    ii. Provide general leadership in all phases of the work of the Torch Society and be responsible for an effective, growing organization that supports the goals of the university.

    iii. Preside at Torch Society meetings.iv. Appoint special committee chairs subject to the approval

    of the Executive Committee.v. Appoint special committee members.vi. Issue notice of all meetings.vii. Be an ex-officio member of all committees except the

    Nominating Committee.viii. Ensure that material pertaining to each office is

    delivered promptly to the new officers.ix. Delegate such duties as desired.

    b. The Vice President for Programs shall:i. Secure program speakers and coordinate all program

    arrangements for regular meetings.ii. Appoint and oversee chairs for hospitality and

    decorations committees.iii. In the absence of the President, perform the duties of

    that office.iv. Fill the unexpired term if a vacancy occurs in the office

    of the President.v. Fulfill other such duties as assigned by the President, the

    Executive Committee or the Board of Directors.c. The Vice President for Membership shall:

    i. Coordinate all membership activities.ii. Appoint and oversee chairs for member care and

    recruitment committees.iii. Issue membership renewal notices at least six weeks

    prior to the first fall meeting.iv. Promote enlistment of new members throughout the

    year, distribute new membership information and plan a prospective member event.

    v. Encourage Torch Society membership and involvement of faculty/staff & spouses.

    vi. Fulfill such other duties as assigned by the President, the Executive Committee or Board of Directors.

    d. The Vice President for Fundraising shall:i. Coordinate all fundraising activities.ii. Appoint and oversee chairs for each fundraising activity,

    Scholarship Celebration and other events as needed.iii. Present all plans for fundraising projects to the

    Executive Committee for review and consideration.iv. Fulfill such other duties as assigned by the President, the

    Executive Committee or Board of Directors.e. The Vice President for Communication shall:

    i. Coordinate all communication activities.ii. Appoint and oversee chairs for newsletter, directory,

    public relations and historical committees.iii. Record the minutes of all meetings of the Torch Society,

    the board of directors and the Executive Committee for permanent preservation.

    iv. Furnish a copy of all minutes to the President within 15 days following meetings.

    v. Fulfill such other duties as assigned by the President, the Executive Committee or Board of Directors.

    f. The Vice President for Scholarship & Student Care shall:i. Coordinate all student scholarship and support activities.ii. Appoint and oversee chairs for scholarship and student

    recipient care committees. iii. Fulfill such other duties as assigned by the President,

    the Executive Committee or Board of Directors.g. The Vice President for Junior Torch Society shall:

    i. Encourage membership and involvement of faculty, spouses, alumni and community members within the targeted age group 22-35.

    ii. Plan, coordinate and implement activities for the group.iii. Extend congratulations with membership information

    to each term’s graduates.iv. Fulfill such other duties as assigned by the President, the

    Executive Committee or Board of Directors.h. The Treasurer shall:

    i. Coordinate with the President, Executive Director and Director to submit a proposed annual budget, including a recommendation of any money to be transferred from the operating fund to the general endowed scholarship fund, to the Board of Directors no later than the first fall meeting of the board.

    ii. Maintain an accurate monthly record of all funds received and disbursed.

    iii. Make a financial report to the Board of Directors meetings.

    iv. Fulfill such other duties as assigned by the President, the Executive Committee or Board of Directors.

    v. Complete and file any necessary regulatory documents needed to fulfill the 501c-3 standards.

    C. Term of Officea. Elected Officers shall assume their duties following

    installation to office. b. Officers shall serve a term of two years and may serve no

    more than two consecutive terms in the same position.c. The President, Vice President for Membership,

    Vice President for Fundraising and Vice President for Scholarship & Student Care shall be elected in even-numbered years. The Vice President for Programs, Vice President for Communication, Vice President for Junior Torch Society and Treasurer shall be elected in odd numbered years.

    d. A vacancy occurring in the office of President shall be filled by the Vice President for Programs. A vacancy thus created and any other vacancy in an elected office shall be filled by the Executive Committee.

    Section 3. Appointed OfficersA. Torch Society members shall be eligible to hold appointed

    offices which shall be selected by the designated Vice-Presidents in consultation with the President as chairs of the following committees:

    B. The duties of appointed officers shall be as follows:a. The chair of the Hospitality Committee shall appoint

    members of the Hospitality Committee who shall keep a

    record of attendance and distribute nametags at meetings and provide hospitality by welcoming members and visitors and fostering a warm, friendly atmosphere.

    b. The chair of the Decorations Committee shall appoint members of the Decorations Committee who shall select and prepare appropriate decorations for designated events.

    c. The chair of the Member Care Committee shall appoint members of the Member Care Committee who shall identify and coordinate opportunities for encouragement and assistance among members.

    d. The chair of the Recruitment Committee shall appoint members of the Recruitment Committee who shall be responsible for membership plans and enlistment; send membership renewal notices; and encourage membership and involvement of faculty, spouses, parents and alumni.

    e. The chair of the Merchandising Committee shall appoint members of the Merchandising Committee who shall be responsible for planning, organizing and coordinating the sale of items designated with Torch Society logo as well as University of Mobile logo.

    f. The chair of the Poinsettia Committee shall appoint members of the Poinsettia Committee who shall be responsible for planning, organizing and implementing all details of the event.

    g. The chair of the Silent Auction shall appoint members of the Silent Auction Committee who shall be responsible for planning, organizing and implementing all details of the event.

    h. The chair of the Scholarship Celebration Committee shall appoint members of the Scholarship Celebration Committee who shall be responsible for planning, organizing and implementing all details of the event.

    i. The chair of the Newsletter Committee shall appoint members of the Newsletter Committee who shall be responsible for writing and editing the semiannual newsletter.

    j. The chair of the Directory Committee shall appoint members of the Directory Committee who shall be responsible for coordinating the information in the Directory each year.

    k. The chair of the Public Relations Committee shall appoint members to the Public Relations Committee who shall be responsible for submitting pre- and post-event information

    for media outlets, social media and community calendars. l. The chair of the Historical Committee shall appoint

    members of the Historical Committee who shall be responsible for keeping an accurate record of activities including newspaper clippings, programs, newsletters and correspondence and transmit these historical records to the university archivist.

    m. The chair of the Scholarship Committee shall appoint members to the Scholarship Committee who shall be responsible for reviewing scholarship applications in coordination with university admission and financial aid counselors in the selection of scholarship recipients and coordinate recipients in preparing written expression to donors.

    n. The chair of the Scholarship Recipient Care Committee shall appoint members of the Scholarship Recipient Care Committee who shall identify and coordinate opportunities for encouragement of and assistance to Torch Society scholarship recipients.

    C. Term of Officea. Appointed officers shall serve for a term of one year and

    may be reappointed to their positions.b. A vacancy occurring in an appointed office shall be filled by

    the appropriate appointing power. Section 4. Officers are approved in collaboration with the President of University of Mobile.

    ARTICLE VI. COMMITTEES

    Section 1. Standing CommitteesA. The standing committees of the Torch Society shall

    be hospitality, decoration, member care, recruitment, merchandising, poinsettia sales, Scholarship Celebration, newsletter, directory, public relations, historical, scholarship, and scholarship recipient care.

    B. Standing committees shall develop a plan of work and submit the plan to the Board of Directors for approval.

    C. Committee chairs shall notify the designated Vice President of meetings and any action taken in the absence of the designated Vice President. The designated Vice President

    shall notify the President and appointed officers of any action taken.

    D. Meetings shall be held as necessary to accomplish the duties of the committee. Committee chairs will keep records of action items and decisions for all meetings held and submit to the designated Vice President.

    Section 2. Special CommitteesA. The special committees whose chairmen shall be appointed by

    the president include nominating and by-laws. B. The President, Executive Director or Board of Directors may

    appoint one or more special committees as necessary.C. Committee chairs shall notify the designated Vice President

    of meetings and any action taken in the absence of the designated Vice President. The designated Vice President shall notify the President and appointed officers of any action taken.

    D. Meetings shall be held as necessary to accomplish the duties of the committee. Committee chairs will keep records of action items and decisions for all meetings held and submit to the designated Vice President.

    Section 3. Written annual reports shall be required of standing and special committee chairmen at the final meeting of the Auxiliary year.

    ARTICLE VII. BOARD OF DIRECTORS

    Section 1. The members of the Board of Directors shall be:A. Elected officersB. Appointed officersC. Appointed liaison officersD. The immediate past president

    Section 2. The Board of Directors shall:A. Transact necessary business between Torch Society meetings.B. Approve standing committee plans.C. Adopt an annual budget.D. Perform such other duties as defined in the Bylaws and as directed by the Torch Society.

    Section 3. SessionsA. Regular meetings shall be called by the President in

    consultation with the Executive Director and Director. B. Special sessions of the Board may be called by the President

    or any three members of the Board provided at least one member is an elected officer.

    of the Board of Directors as observers or present an opinion upon consent of the Board.

    D. A majority of members of the Board of Directors shall constitute a quorum.

    ARTICLE VIII. EXECUTIVE COMMITTEE

    Section 2. The Executive Committee shall:A. Transact urgent business between board meetings.B. Approve the President’s appointments of chairs of standing

    A. Meetings of the Executive Committee shall be at the call of the President.

    B. Special sessions of the Executive Committee may be called by any three members of the committee.

    C. A majority of members of the Executive Committee shall constitute a quorum.

    ARTICLE IX. MEETINGS

    Section 1. Meetings of this organization shall be held September through May on dates determined by the Executive Board.Section 2. The Executive Board shall meet at the call of the President.

    ARTICLE X. ELECTIONS

    Section 1. NominationsA. The nominating committee consists of 3 to 5 members to serve

    with the Executive Director and Director.B. The Nominating Committee shall be appointed by the

    President.C. The Nominating Committee shall present a slate of officers for

    the ensuing year at the April meeting. Section 2. Elections

    A. Elections shall be held at the April meeting with the installation of officers taking place immediately.

    ARTICLE XI. PARLIAMENTARY AUTHORITY

    The rules contained in Robert’s Rules of Order, Newly Revised shall govern the proceedings in the Torch Society in all cases in which they are applicable.

    ARTICLE XII. AMENDMENTS

    The Bylaws may be amended at any meeting of the Board of Directors by a two-thirds vote, provided previous written notice has been given.

    ARTICLE XIII. DISSOLUTION

    In the event of dissolution of the Torch Society, the assets shall be liquidated and distributed to University of Mobile after all liabilities and obligations have been paid, in accordance with governmental regulations, Section 501 (c) (3) of the Internal Revenue Code. None of the funds shall inure to the benefit of individuals.
