7.AllBiddersareadvisedtopersonallyinspectthepremisesandtoexaminetitletothepremisespriortothedateoftheauction.UpondeliveryofthequitclaimdeedbytheCountyofOtsegotothesuccessfulpurchaser,anyandallclaimswithrespecttotitletothepremisesaremergedinthedeedanddonotsurvive.
8.NopersonalpropertyisincludedinthesaleofanyoftheparcelsownedbyOtsegoCounty,unlesstheformerowneroroccupanthasabandonedsame.Thedispositionofanypersonalpropertylocateduponanyparcelsoldshallbethesoleresponsibilityofthesuccessfulpurchaserfollowingtheclosingoftitle.
9.Allinformationaltools,suchasslides,taxmaps,deeds,photos,auctionlistings,auctioncatalogs,auctionsigns,propertyrecordcards,etc.,areforidentificationpurposesonly.Theyareneitheraguaranteenorawarrantyastolocation,dimensions,parceluseand/orsize,oranythingelse.THECOUNTY,THEAUCTIONEER,ANDTHEBROKERMAKENOWARRANTYEXPRESSEDORIMPLIEDINCONNECTIONWITHTHISSALE,exceptthattheCountyhascompliedwithrequirementsofNewYorkStateLawregardingtheTaxForeclosureproceeding.
Allrealproperty,includinganybuildingsthereon,issold“ASIS”andwithoutanyrepresentationorwarrantywhatsoeverastotheconditionortitle.Representationsandpropertydescriptionscontainedintheauctionbro-chure,orwebsite,ormadeverballypriortoorduringtheauction,areforinformationalpurposesonly,andshouldnotbereliedonbyanybidder.Biddersareurgedtopersonallyinspecteverypropertythattheyareinterestedinbiddingon.
10.TheCountyofOtsegoreservestheright,initssolediscretion,towithdrawfromtheauctionanyofthepropertieslistedonthescheduleofrealproperty,atanytime.TheCountyTreasurer,orDeputyCountyTreasurer,hassolediscretiontomakedecisionsconcerningtheconductoftheauction,priortoandduringtheauction,including,butnotlimitedtothemethodofsaleforeachparcelorgroupsofparcels.
11.Allbiddersarerequiredtoregisterandprovidesuitablepersonalidentificationpriortotheauction.Auctioneerreservestherighttodeclineregistrationifidentificationisnotsufficient.Individualsactingonbehalfofothers,notinattendanceattheauction,mustproducea“PowerofAttorney”dulyexecutedandnotarized.Incorporatedentities(Inc.,Corp.,LLC.,etc.)arerequiredtoprovideATREGISTRATION:1)acopyofthestateentityincorporationfilingreceipt,2)EINnumberand3)acorporateresolutiondulyembossedwithincorporationsealauthorizingtheregistranttopurchaserealpropertyforsaidentity.
12.Allrequireddepositsmustbepaidinfullforallsuccessfulbidsimmediatelyuponbeingdeclaredthesuccessfulbidder.Anysuccessfulbidder,whofailstotenderthedeposit,willbeforbiddentoparticipateinthisoranyotherauction.Anyparcel(s)whichtheCountydidnotreceivedepositsfor,asperthesetermsandconditions,willbeconsideredtobedefaulted,andthebidderwillbedisqualifiedfromfurtherbidding
13.Intheeventthebidderfailstopaytherequireddepositattheauction,orthebidder/purchaserfailstoconsummatetheclosingoftitleaftertheauction,and,ineithereventtheCountyre-sellsthepropertybutreceivesalowerbid,thentheCountyshallhaveacauseofactionagainstthedefaultingbidderformoneydamagesforthedifference.
14.Theterms“bidder”,“highestbidder”,and“successfulbidder”shallallhavethesamemeaning.15.SuccessfulBiddershallprovideinformationnecessarytocompleteandshallexecutethenecessaryformsand
documentsrequiredforrecordingthedeedintheOtsegoCountyClerk’sOffice.Thebidderexecutingtheauctiontermsandconditionsofsalemaynotassignorotherwisetransferhisrighttocompletethebid,unlesstheCountyagreesinwriting.Thedeedpreparedwillbeinthenameofthesuccessfulbidder(andspouse)only.Nothird-partybiddingwillbeaccepted,unlessthebidderidentifiesthatheisbiddingasanagentforadisclosedprincipal,orunlessthebidderisalawyer.
16.Attheauction,theauctioneer’sdecisionregardinganydisputesisfinal,andtheauctioneerreservestherighttorejectanybidthatisnotanappreciableadvancementovertheproceedingbid.Theapprovalofeachbidbythe

CountyTreasurer17.TheSuccessfulBidderwillexecuteanOffertoPurchaseformimmediatelyuponbeingdeclaredthehighbidder
willbindthebidderonlyandtheCountyreservestherighttorejectanybidpriortotheclosingoftitleandtherecordingofthedeed.
18.TheSuccessfulBiddershallberesponsibleforthepaymentofanelevenpercent(11%)buyer’spremium(1%buyer’spremiumdiscountforcashorotherguaranteedfunds)inadditiontotheacceptedpurchaseprice,anadvertisingfeeof1.5%ofthebidprice,andtheclosingfees/costs.The“buyer’spremium”isthefee/commissionearnedbytheauctioneer.Acceptedpurchasepriceistheamountbidbythehighestbidder,whichhasbeenapprovedbytheOtsegoCountyTreasurer.
19.Thebuyer’spremiumshallbepaidasadownpaymentonthedayoftheauction.Alldepositsmustbemadeincreditcard(MasterCard,DiscoverCardorVisa),cashorguaranteedfunds(bankcheck/tellercheck/cashiercheck)payabletothe“OtsegoCountyTreasurer”anddrawnonbanksinsuredbytheFederalDepositInsuranceCorpora-tion(FDIC).Noexceptions.Wiretransferswillnotbeaccepted.
20.Allclosingcostswillbedueandpayableatclosing, towit:(a)NewYorkStateTransferTax[$4.00foreach$1000.00ofthepurchase/bidprice];(b)FilingFeefortheRealPropertyTransferReport[$125.00iftheparcelsclassificationcodeis100-199,200-299or411-C;$250.00forallparcelsotherwiseclassified]:(c)FilingFeeforcombinedGainsTransferTaxAffidavit[$5.00];(d)allfeesrequiredbytheOtsegoCountyClerkforrecordingofthedeed[$45.00torecordaonepagedeed;$5.00foreachadditionalpage];and(e)a$20.00surcharge.Closingcostsmaybesubjecttoanincreaseinfeesasrequiredbylaw,withoutnotice.
21.ThePurchaser(s)payingbycreditcard(s),understandsandagreesthatalldepositscollectedbycreditcard(s)willbeturnedovertotheOtsegoCountyTreasurer.ThePurchaserpayingbycreditcard(s)agreesthattheyshallNOTattemptachargebackontheircreditcard(s)usedinthis/thesetransaction(s)foranyreasonwhatsoever.InsucheventthatachargebackisinitiatedbyPurchaserandthatsuchattemptisupheldinfavorofAuctioneer/OtsegoCounty,PurchaseragreesandauthorizestocompensateAuctioneerwitha$750.00recoveryfeeasanewchargetotheircreditcard(s)withoutrequiringadditionalPurchasersignature(s).FailuretopaysuchrecoveryfeewillresultincollectionactionagainstsaidPurchaser(s).
AFTER THE AUCTION
22.AllbidsshallbesubjecttoapprovalbytheOtsegoCountyTreasurer,whichshallhavetheright,intheTreasurer’ssolediscretion,torejectanybidforanyreasonwhatsoever.
23.Theentirebalanceoftheacceptedpurchaseprice,thebuyer’spremium,asdefinedinparagraph19ofthesetermsandconditions,andallclosingcosts/feesincludingalltaxes,costsandfeereferredtoinparagraphs3and4mustbepaidbycreditcard(MasterCardorVisa),cashorguaranteedfundspayabletoandreceivedbytheOtsegoCountyTreasurer’sOfficeonorbefore12:00PM,June10,2019.DeedTransferswillbeginbeingprocessedonafirstpaybasis.TheCountyisnotrequiredtosendfurthernoticetoapurchaser.Ifthepurchaserfailstopaythebalanceofthetotalcontractpriceplusclosingcostsandfeesashereinprovided,thedepositshallbeforfeited.TheCountyreservestherighttobringanactionforspecificperformance.“Timeisoftheessence.”
24.Purchasersofresidential,improvedpropertieswillreimbursetheCounty$50.00atthe“closing”inthosecaseswheretheCountyhasinstalledsmokealarmandcarbonmonoxidedetectors.
25.AllparcelsforwhichyouarethehighestbiddermustbepaidpursuanttotheseTerms.Therewillbenoselec-tiveclosings.Failuretoremitfullpaymentonallparcelsforwhichyouarethesuccessfulbidderwillresultinaforfeitureofallmoniestendered,andyouwillnotbepermittedtocloseonanyotherparcelsforwhichyouwerethesuccessfulbidder.
26.IfaSuccessfulBidderowesanydelinquenttaxestoOtsegoCounty,thosedelinquenttaxesmustbepaidinfullpriortoclosingonanypurchasesmadeatthisauction.Failuretocomplywiththisprovisionwillresultintheforfeitureofanydepositspaid.
27.IfthesuccessfulbidderfailstotendersuchamountduebythecloseofbusinessonJune10,2019,thentheCountymay,butisnotobligatedtoofferanyunsoldpropertytothesecondhighestbidder.Alltermsandconditionsforthesalesetforthhereinaboveshallapplytothesecondhighestbidderand/oranyotherpurchaser.
28.Intheeventthatasaleiscancelledbycourtorderorjudgment,thesuccessfulbiddershallbeentitledonlytoarefundofanydepositspaid.IfthebidisrejectedbytheOtsegoCountyTreasurer,anyrefundwillbereturnedwithoutinterest.Purchasersagreethattheyshallnotbeentitledtospecialorconsequentialdamages,attorney’sfees;reimbursementforanyexpensesincurredasaresultofownership,improvementsmadetothepropertyorfortaxespaidduringperiodofownership.
29.Allsalesshallbefinal,absoluteandwithoutrecourseoncetitlehasclosedandthedeedhasbeenrecorded.Innoevent,shallOtsegoCountyand/orAbsoluteAuctions&Realtybeorbecomeliableforanydefectsintitleforanycausewhatsoever,andnoclaim,demandorsuitofanynatureshallexistinfavorofthepurchaser,itsheirs,successorsorassigns,arisingfromthissaleandconveyance.

30.Conveyanceshallbebyquitclaimdeedonly,containingadescriptionofthepropertyasitappearedonthetaxrollfortheyearuponwhichtheCountyacquiredtitleorascorrecteduptodateofdeed.Thedeedwillberecordedby theCountyuponpayment infullof theacceptedpurchaseprice,buyer’spremium,andclosingfees/costs.POSSESSIONOFPROPERTYISFORBIDDENUNTILTHEDEEDISRECORDEDWITHTHEOTSEGOCOUNTYCLERKCONVEYINGTITLETOTHEPURCHASER.TITLEVESTSUPONTHERECORDINGOFTHEDEED.ItisagreedbetweentheCountyandthepurchaserthatdeliveryandacceptanceofthedeedoc-cursuponrecordingofthedeed.
31.Aquitclaimdeedissuedasaresultoftheauctionshallcontainthefollowingprovisions:(a)“Nothingcontainedinanydescriptionhereinisintendedtoconveymorethantheassessedownerownedatthetimeofthelevyofthetax,thenon-paymentofwhichresultedinthetaxsale.Thereisnorepresentationastotheextentoftheacre-ageconveyedherein;(b)Exceptingandreservingforhighwaypurposesastripoflandparalleltoandextendingtwenty-five(25’)feetfromthecenterlineofanycountyroadabuttingthepremisesconveyedandexceptingandreservingalltheright,titleandinterestoftheCountyofOtsegoinandtoanyportionorinterestofthelandsbeingconveyed,whichinterestwasheretoforeacquiredotherthanpursuanttotheprovisionsofRealPropertyTaxLawoftheStateofNewYork;(c)Ifthelandsbeingconveyedherein(bytheCountyofOtsego)donotcomplywithlocalzoningordinancesand/orarenotsuitableforconstructionofaconventionalwaterand/orsepticsystemandarecontiguouswithlandsownedbythepartyofthesecondpart,thelandsdescribedhereinshallnotbeconveyedwithoutalsosimultaneouslyconveyingthecontiguouslandsownedbythepartyofthesecondparttothesamegrantee,unlesstheplanningboardapprovesthesaleinadifferentconfiguration.Thisrestrictionwillrunwiththeland.Wheneverrequired,theabandonmentprovisionsoftherealpropertytaxlawshallbeused(Section560RPTL);(d)Iftheformerowneristhegranteehereinoracquirethepropertywithinthirty-six(36)monthssubsequenttothedateoftheauction,thenallliensthatwereofrecordwhentheCountytooktitlewilltherebybereinstated,automaticallybyoperationoflaw”.
32.Evictions,ifnecessary,aresolelytheresponsibilityofthesuccessfulpurchaser.33.Thesuccessfulpurchaseroneachauctionparcelmustremovetheauctionsignwithinseven(7)daysafterthe
recordingofthedeed.34.ByacknowledgingandexecutingtheseTerms&Conditions,thebiddercertifiesthathe/sheisnotactingonbehalf
