IntroductionOn December 18, 2006, the New Brunswick Securities Com-mission (the Commission) approved publication in order to ob-tain comments on the proposed amendments to NI 51-101,51-101F1, 51-101F2, 51-101F3 and 51-101CP. In NewBrunswick, this constitutes the third round of amendments toNI 51-101 since it came into force on August 26, 2005.

Summary of Proposed AmendmentsNI 51-101 sets out the annual filing requirements for reportingissuers who are involved in oil and gas activities to report theirestimates of reserves and resources. In addition, NI 51-101 setsout the general disclosure standards for reporting issuers whoare reporting on their oil and gas activities. The disclosure stan-dards apply to any disclosure made by a reporting issuerthroughout the year.

The substance and purpose of the proposed amendments fallinto the following four broad categories:

1. Clarification of some provisions of NI 51-101;2. Removal or amendment of certain requirements for the

annual filing requirements where such requirements weredetermined to be burdensome for reporting issuers and oflimited utility for investors and security holders;

3. New guidelines for disclosure of resources that cannotcurrently be classified as reserves; and

4. Streamlining of requirements contained in NI 51-101.It is anticipated that the proposed amendments will reduce issu-ers’ costs as the amendments will address problems industry hashad applying NI 51-101. In addition, the amendments do notimpose any additional mandatory requirements but only add re-quirements if a reporting issuer chooses to disclose certainitems. We also believe that the amendments will make reportingissuers’ disclosure about oil and gas reserves and resourcesmore meaningful and understandable to investors and securityholders.

annuelles de dépôt jugées lourdes pour l’émetteur assu-jetti et peu utiles aux investisseurs et aux porteurs detitres;

3. Inclusion de nouvelles indications pour la présentationdes ressources non classées à titre de réserves au momentconsidéré; et

4. Simplification des obligations prévues dans la NC 51-101.Nous croyons que les projets de modifications des textes régle-mentaires réduiront les coûts pour les émetteurs, car ils régle-ront des problèmes que posait au secteur l’application de cestextes. De plus, les projets de modifications n’imposent pasd’autres règles absolues, mais ne fait qu’ajouter des obligationsdans le cas où l’émetteur assujetti décide de communiquer cer-tains éléments. Nous croyons aussi qu’il rendra l’informationsur les réserves et les ressources pétrolières et gazières desémetteurs assujettis plus significative et plus compréhensiblepour les investisseurs et les porteurs de titres.

2 Le présent décret s’applique aux années civiles 2006et 2007.


Qualifying forestry business

3(1) Subject to subsection (2), a forestry business qual-ifies for a remission under this Order if it falls within anyof the following classifications:

(a) hardwood sawmills;

(b) wood preservation;

(c) veneer, plywood and engineered wood productmanufacturing;

(d) millwork;

(e) wood container and pallet manufacturing;

(f) prefabricated wood building manufacturing;

(g) other miscellaneous wood product manufactur-ing;

(h) pulp, paper and paperboard mills; and

(i) converted paper product manufacturing.

3(2) A forestry business does not qualify for a remissionunder this Order if any of its products are included withinthe scope of the Softwood Lumber Agreement 2006 be-tween the Government of Canada and the Government ofthe United States of America.

Eligible expenditures

4 Capital expenditures of a qualifying forestry businessthat are made in manufacturing or processing machineryor equipment from April 1, 2006, to December 31, 2007,both dates inclusive, are eligible expenditures for the pur-poses of this Order.

Remission

5(1) Subject to subsections (2) and (3), remission isgranted to a qualifying forestry business of a portion of thetax paid under subsection 5(1) of the Real Property TaxAct in respect of a calendar year referred to in section 2.

5(2) The portion of the tax that can be remitted is thelesser of

(a) 50% of the tax paid under subsection 5(1) of theReal Property Tax Act for the calendar year on all real

3(2) Une entreprise forestière n’est pas admissible à uneremise en vertu du présent décret si l’un quelconque de sesproduits entre dans le champ d’application de l’Accordsur le bois d’oeuvre résineux de 2006 entre le gouverne-ment du Canada et le gouvernement des États-Unisd’Amérique.

Dépenses admissibles

4 Les dépenses en capital d’une entreprise forestière ad-missible qui sont effectuées dans des machines ou du ma-tériel de fabrication ou de transformation du 1er avril 2006au 31 décembre 2007, ces deux dates étant comprises,sont des dépenses admissibles aux fins du présent décret.

Remise

5(1) Sous réserve des paragraphes (2) et (3), une remiseest accordée à une entreprise forestière admissible d’unepartie de l’impôt payé en vertu du paragraphe 5(1) de laLoi sur l’impôt foncier pour une année civile visée à l’ar-ticle 2.

5(2) La partie de l’impôt qui peut être remise est lemoins élevé des montants suivants :

a) 50 % de l’impôt payé en vertu du paragraphe 5(1)de la Loi sur l’impôt foncier pour l’année civile sur tous

5(3) A remission shall not be granted unless the qualify-ing forestry business has paid all taxes, tax arrears andpenalties payable under the Real Property Tax Act on itsreal property.

Application for remission

6(1) An application for a remission shall be made on aform provided by the Minister of Finance.

6(2) The application, together with any information re-quired on the form, shall be submitted to the Minister ofBusiness New Brunswick.

6(3) An application for the calendar year 2006 must besubmitted before April 1, 2007.

6(4) An application for the calendar year 2007 must besubmitted before April 1, 2008.

Records

7 An applicant granted a remission under this Ordershall maintain any record associated with his or her appli-cation until April 1, 2010.
