FROM THE TOP

The first CEO Roundabout contribution of the year always tests one’s level of creativity and resolve. It’s hard to accept that 2015 has been and gone - and what a good year it was, particularly in the business sector.

Local Building Construction Indicators: Many businesses we have spoken to talk of growth across the board; it’s self-evident in local building construction here where the new Methven site in Jomac Place has its roof on (always a good sign), new tenants are being sought for the site cnr Jomac/Rosebank Rd, the ageing Nuplex site in Patiki Rd has a new Property Development owner (a sign of impending development) and of course across the road at the Reliance Transport site soon you will see redevelopment and building construction commencing.

Employment Indicators: And so the economic recovery or recovered signs are obvious and it’s great to see new capital being invested. In essence this is also the growth indicator in business. Investments in added resource either machinery or human capital are surely good growth indicators of increasing employment numbers, there are signs of increasing opportunities for young people and we saw some outstanding examples of these young folk at the December Pathways to the Future Trust awards where 11 people in business were rewarded with financial grants totalling $16,500 - a rewarding contribution from the Trust and immense satisfaction to see their smiling faces on their acceptances.

RBA Indicators: 2015 saw us provide new investment in creating a marketing resource to the team which created the lead to establish a new era in brand development. That’s been achieved in quick time and set the scene for the RBA to undertake new and innovative actions. These comprise helping establish a new Business Association in Central Park Drive (500 + businesses) with a goal to help re-establish and re-energise a previously installed business association.

Why Central Park, you may ask? There have been considered judgements on “where the West has gone” since the creation of 21 Local Boards under Auckland Council beginning in 2011. The impact of losing Waitakere Enterprise as a development conduit for local businesses has been significant - it has been sorely missed. We believe (with considerable support from West Auckland business leaders approached,) that the RBA business model should be expanded into Central Park to create in time a new entity (1000 businesses in total) for the advancement of West Auckland businesses overall. This is no better illustration than in the areas of Advocacy with the various submissions the RBA has made to the Unitary Plan and Local Government CCO’s (14) on local Traffic and Transport, air pollution controls, zoning and such. The RBA template is there for all to see, it is freely acknowledged as being a highly productive mechanism for local community engagement and social enhancement. Already up to 40 applications for membership have been received, and opportunities will exist for a number of joint membership initiatives for both Central Park and RBA members.

Growth Across the Board

On the above note, I am dedicated to an even better 2016 given that I am grateful for 2015.

Business is certainly an opportunity to grow. I often refer to my business as my personal self-development; a daily course in getting out of my comfort zone coupled with challenges, discomfort and uncertainty in a fast-changing, accelerated world. My personal challenge is to be comfortable with whatever discomfort comes my way and my measure of success is the ability to get the most benefit possible from such experiences. I guess the stubborn side of me wants to win over the situation.

New Year’s Resolution? Up to 92% of New Year’s resolutions fail as they use guilt or fear as motivation which is not the mental ammunition needed to create goals and success. However, I have re-defined it as my “New Year’s Acknowledgement,” starting with acknowledging the things I achieved last year not the things “I did not achieve” - that list has been discontinued - permanently!

Many of us have fallen into tall poppy syndrome (not sure if it is a New Zealand thing), and the automated default can often be to focus on the opposite of celebrating successes. In conclusion, my “New Year’s Acknowledgement” is to HAVE MORE HOLIDAYS - YEEHAAA !!!!!!!!

As a small business owner, time slips by, often years, without taking a holiday. I remember a time when I worked seven days a week with no holiday to speak of for over 10 years. One day, I had an epiphany and realised that my business was not working if that was the life I was living. Recently at a networking function, someone shared with me that they were still living in that situation …

My “New Year’s Acknowledgement” has already made me think in reverse. My mindset has shifted to what reward I can create that will be big enough for me to create even bigger goals and actions thereafter.

Stronger Together Thank you RBA members for all the advice, mentoring, problem-solving and extraordinary service and custom as well as support that made a difference for me personally and in business in 2015. I’m looking forward to getting to know you and your businesses even more in 2016.

Crash landing for athletics club

The RBA was happy to have contributed to a crash mat for the Avondale Athletics club in December.

The mat is used by five-to-six year old girls and boys on club nights for scissor jumps (using an elastic strap rather than a bar) and for seven year olds with or without the proper bar to help them feel more comfortable before progressing to the larger high jump mat and the Fosbury Flop.

Avondale Athletics has introduced “High-Jump Preparation” as part of the five-to-six year old programme after finding that the seven-year olds found the introduction to high jump difficult coming straight from the more junior

programme. The club hopes to develop talent in its high jumpers over the coming years.

“We have already spotted some incredible young athletes,” says manager, Judy Revell, “and we’re looking forward to fostering then and guiding their enthusiasm towards the senior programme.”

A picturesque neighbourhood!

Sadly, the above is a picture of our neighbourhood - specifically Jomac Place - on 6 January. Someone had dumped what appeared to be at least two truckloads of rubbish.

Gilbert Brakey, chair of the Whau River Catchment Trust (WRCT) advised the council of the dumping and it was removed immediately.

“The WRCT’s concern,” says Gilbert, “is that illegal dumping often ends up in the river and is washed up onto beach areas. It is also unsightly, as well as being a health issue when it attracts rats and mice.”

If you see rubbish dumped in your street or local park or estuary, please don’t ignore it - call Auckland Council on ph 301 0101; we

all want to work in a pleasant work environment.

Furthermore, where you can, dob the beggars in! IIlegally dumped rubbish costs ratepayers millions each year in removal charges and causes a range of other problems. Auckland Council’s Litter Officers will investigate all reliable reports of illegally dumped rubbish. To notify council (of more than two black rubbish bags, or a large item such as a fridge or a couch), fill in the report form online at http://www.aucklandcouncil.govt.nz/ and try and give as much information as you can such as:

• registration number of the offender’s vehicle• description of the offender’s vehicle• location, date and time• description of the rubbish - is it obstructing the road, causing danger, containing hazardous material, etc.• description of the offender.

Following collective submissions made last year by the industrial business associations (including Rosebank, East Tamaki, Onehunga, Wiri and South Harbour), the Unitary Plan Panel has adopted suggestions in the Panel’s interim guidance on Air Quality.

This shows that the collective approach taken by the associations has been efficient as well as effective.

The Panel noted that motor vehicle emissions are not able to be controlled under the Unitary Plan and Auckland Council has expressed its intention to control emissions from domestic fires through a bylaw.

“The Panel accepted that most adverse effects on air quality in Auckland were, in fact, caused by motor vehicle emissions and domestic fires. Air discharges from industrial activities contribute a relatively small proportion of emissions overall.”

While the Panel considered that the use of controls in the Unitary Plan should reflect the best practicable options for reducing industrial emissions, it concluded that such controls also need to be commensurate with the extent of the levels of adverse effects created by these emissions and needed to also recognise the economic and social benefits which industry

The Panel did not consider that the proposed Air Quality – Transport Corridor Separation overlay was an appropriate method for inclusion in the Plan. Instead, the Panel felt there was considerable scope for improvement of transport-related emissions through controls on motor vehicles. The Panel acknowledged that this would require either the assistance of central government or changes to legislation, but the scope for improvement through these methods would likely be substantially greater than could be achieved through the Unitary Plan.

The Panel also did not consider that the Air Quality - Sensitive Activities Reduction overlay was an appropriate method for inclusion in the Plan. The overlay was to be applied to sites within 500m from the Heavy Industry Zone (HIZ) and would have sought to manage reverse sensitivity effects on industrial activities in that zone by controlling the location of activities sensitive to air discharges. The Panel considered that the proposed overlay was an ineffective way to manage reverse sensitivity effects on HIZ sites. Instead, the Panel felt that provisions within the Regional Policy Statement should guide the rezoning of sites in the region so as to enable industries that discharge contaminants to air to be located within the HIZ anticipated to have low air quality.

It also appeared to the Panel that while discharges of contaminants from industrial combustion processes should be (and are) controlled, substantially greater improvement in Auckland’s air quality throughout the metropolitan area could be achieved by initiating controls on domestic fires. The Panel agreed Auckland Council should pursue this through a bylaw. Further, Auckland Council has proposed to remove the Air Quality - Industry Transition Overlay.

The Panel also noted that the evidence presented demonstrated that a number of sites with existing heavy industries may have been inappropriately zoned as Light Industry. In several existing industrial areas that would otherwise be expected to have low air quality, the most appropriate zoning for that area may not have been accurately identified in the draft Unitary Plan.

The Panel noted that this issue was related to evidence that insufficient land zoned HIZ may be available to meet demand and provide employment and other social and economic benefits. For those reasons, and notwithstanding the potential adverse effects on air quality associated with some industrial processes, the Panel generally accepted the submissions that industrial activities should be enabled in appropriate locations including the protection of heavy industry.

The Panel is supportive of the Council’s approach to now look at rezoning areas currently identified as Light Industry but expected to have low air quality to Heavy Industry.

By way of an overall conclusion the Panel stated that the Heavy Industry Zone should correspond to existing areas with low air quality and include existing heavy industrial sites and sufficient land to accommodate heavy industrial activities into the future.

That’s good news for industry and pretty much follows the submissions made by the industrial business associations.

Rick has been driving his Datsun for 14 years. Known for their light weight, this now off road Datsun houses a 2 litre turbo engine with 348 horse power at the wheels - Rick reaches 248k with it on the faster tracks.

Rick began racing as a six year old - his dad was a champion motorcycle racer who gave up racing just two years ago in his mid-70s!

With a team of sponsors (Auckland Engineering Supplies amongst others), he has entered multiple motorsports competitions throughout the country and championed numerous classes. Typically they run in the GT class “against the big boys” - no rules and anything goes!

The name Petch has been at the forefront of New Zealand motor sport for more than 30 years since founder of Racer Products, Mark Petch, won his first New Zealand Championship at the wheel of a Nissan Datsun 1200 SS, in 1972.

The Party Starts Here …Costume and prop hire company, First Scene has launched into adulthood with its move from its long held position in Kingsland to bigger and better premises in Rosebank Road. No longer need the public think of First Scene as simply a costume hire company - with room to spread, First Scene is able to showcase its long hidden prop and production department which, in movie circles, it is equally known for.

Owner, Jo Pilkington is thrilled to be in the event management hub that Rosebank has become with many of her suppliers and clients in the area.

“Rosebank has already been a very welcoming community,” she says, “with a wonderful sense of networking and camaraderie amongst the event companies here.”

Moving 400,000 items of clothing and props was no small feat for Jo, taking nearly four days and 53 truck loads (with admittedly, seven of them going to the tip). Clearly First Scene is a bigger ticket item than it first appears. This is no surprise given its history.

First Scene began life as the costume and set design department of Television New Zealand some 30 years ago and many of its clients have worked with the company since its inception. Opening in Glenfield, it then moved to Hobson Street next to the TVNZ building and it still houses many items from these early TV shows. The company moved to Kingsland 15 years ago when it was privatised.

Hence, First Scene is a significant assortment that has been built up over time. The collection is utilised by most of the film productions shot in New Zealand and in return, First Scene has first dibs on purchasing film wardrobes once the movie has wrapped – needless to say, there is a large selection of leathers and props from Xena: Warrior Princess!

The company has also bought out numerous collections from one-time competitors, and it has its own seamstress. Every item is laundered - either via its own onsite commercial laundry, or dry cleaned externally - and the wear and tear on items requires constant repair. But also, the team are happy to create new items as required.

“We’ve created all sorts of things,” says Jo. “Animal mascots, the latest Katy Perry outfit that fans want to wear to her concert, crazy outfits for the 7’s and 9’s … so people should talk to us should there be an item that is not already on the rack.”

An event “guru,” Jo takes all of this in her stride.

After many years of tour managing overseas for Eurhythmics musician, Dave Stewart, Jo leant her skills to education, politics and PR before being nabbed by AUT to design its Post Graduate Diploma in Event Management. That same course is now a degree and one of AUT’s most popular ticket items.

Event Design & Management Needless to say, if you have a big event on the horizon, First Scene is a very useful first point of call providing concept, props, and event coordination as part of its service. “One of my favourite jobs,” says Jo, “is to help companies with their creative ideas. We sit down, brainstorm and have a lot of fun. Big, memorable corporate events can really help with

team spirit because staff just don’t stop talking about them.”

The Retro LoungeA new feature at First Scene is The Retro Lounge; brought about from previous demand, the move has allowed a dedicated space for this service. The Retro Lounge is an in-store venue providing a unique party option for 10 year old girls through to 40 year old men to dress up in crazy costumes, grab props, and take photos or videos with their mates.

For mums, this is real point of difference for a group of young girls or teens - BYO refreshments and nibbles, and the girls have free range of the store in which to go crazy (the store also caters for School Ball season). For adults, there is a bar, and the Retro Lounge can be used as a three hour stop over on your party night, or as a party in itself. It could also create some fun opportunities for a team meeting.

Amongst other memorable features of

First Scene is certainly its incredible staff many of whom have been there for years. There are 14 or so on the floor at any one time to help you with your selection, so it’s very hands on and you are not left to flounder.

“We have always been careful to select staff who are creative and edgy,” says Jo. “All the staff are engaged in one creative endeavour or another outside of work - they are musicians, make up artists, writers, photographers, singers in bands, DJs … It’s a fun environment to work in - you can get dressed up every day if you want to, you get to play loud music and you get to turn a person off the street into something incredible. Needless to say, there are many laughs to be had in this business!”

It was after seven years of managing First Scene that Jo decided to purchase the business and the move to Rosebank has completed her first year of ownership.

“I’m passionate about this business,” she says. “I love our product and I love our staff. I joined the company with a view

to taking it over, and I am really excited to see how we will grow in this wonderful Rosebank community.”

Portfolio Strategy: Time to do some buying?

The year has commenced with major concerns around a potential slowing in China and the continued decline in the price of oil. Most major global equity markets are down by 10-15%, relative to December highs. Numerous global risks remain, but we believe a recession in the major developed economies is unlikely. We acknowledge the potential for further volatility, but also believe opportunities have begun to emerge. We believe it is time for investors to consider doing some selective buying.

The US market at time of writing is now down almost 12% from its December highs, so this correction has not yet been quite as sharp as the 12.5% decline we saw in August, but close. New Zealand (-3.5%) and Australia (-9.8%) have seen more modest declines, while China (-22.8%), Europe (-14.4%) and emerging markets (-14.9%) have suffered larger falls.

It’s difficult to see the negative sentiment completely fading in a hurry, and markets could remain volatile over the short-term. The key concerns are further Chinese currency devaluations, very weak oil prices, a lacklustre US earnings season and overly aggressive rate hike forecasts from the US Federal Reserve (“Fed”).

However, we don’t believe a recession is likely in any of the major developed economies, and therefore see a repeat of 2008 as improbable. The extremely negative sentiment regarding oil suggests that we are close to a bottom, we believe the US earnings season will be reasonable (outside of the energy sector), and we expect the Fed to backtrack on proposed further rate hikes in 2016. For these reasons, and because many of our favoured companies are in fundamentally sound positions, we believe it is time investors started taking advantage of the negative sentiment in developed market equities.

We remain cautious on China, commodities and emerging market equities. While we believe that oil is approaching a point where stability emerges, we also believe it is too early to buy energy-related companies. We also remain wary of smaller, more cyclical and higher-risk companies. These companies have been treated more harshly in this

sell-off and may bounce more strongly should some stability emerge, but we believe a defensive positioning still makes sense.

Our favoured global regions remain the US and Europe, and to a lesser extent Japan. Australia remains a difficult market and the resources sector remains challenged, but we see opportunities in quality companies that have been oversold, including ANZ Bank, Lend Lease, Amcor and Westfield. The local market has held up much better than others, although we still have some strong views on preferred companies. We believe oil prices will languish for some time (benefitting Air New Zealand), putting pressure on the Reserve Bank of New Zealand to consider cutting rates further, and keeping quality yield stocks (such as Meridian Energy) in favour. We expect the currency to drift lower, in particular against the US dollar, which will benefit Fisher & Paykel Healthcare and Diligent, both of which have growth potential.

Due to a continuing high level of business confidence, many businesses are experiencing growth right now. While most business owners would see that as a good thing, for many it presents another problem … pressure on cashflow.

An often-quoted statistic is that 80% of businesses that go broke had experienced record sales in the previous year. Just look at the construction industry where quite a few have been going broke in the last couple of years while the industry is booming.

A Case StudyOne of our clients came to us with huge cash flow problems after experiencing 25% growth in each of the previous two years, while making an overall loss. They were overstocked, systems were out of control, too many unprofitable customers, etc. Over a period of time we helped them to slow growth down to 7% while better systems and processes were put in place. Weekly KPIs were also established to carefully monitor the business. Now profitability is back where it should be and growth is at a more sustainable 15%. Reports on their weekly KPIs alert us when things are drifting off target, prompting action to immediately address problems.

To manage cash flow, business owners should always remember:

1. Profit is not equal to money in the bank2. The Cash Flow cycle always takes longer than you anticipate3. Don’t underestimate your working capital requirements4. Focus on the key drivers in your business5. You can’t manage what you don’t measure!

So, if you want to capitalise on growth opportunities, you need to think about how to fund them and have the systems in place to manage the growth.

The key areas to focus on are:1. Cash flow forecasts for at least six months out, preferably 12 months2. Price margins and profitability3. Manage your Aged Receivables. Sort out issues before the due date.4. Choose your customers. Drop the least profitable/unprofitable ones.5. Choose your products/services. Drop the least profitable/unprofitable ones.6. Have well drafted Terms and Conditions7. Develop good relationships with suppliers for better terms8. Materials - minimise stocks held. Increase stock turns. Clear out old stock. Control well with systems.9. Keep your bank informed of your plans. It makes it easier to secure funding ahead of when you need it.

And finally - DON’T HIDE FROM IT! Get help if it keeps you awake at night.

The sooner you address the problems, the easier it is to fix them. And unfortunately, if you leave it too late to ask for help, sometimes the best we can do is to refer you to a liquidator if we can’t see any other options.

Haven’s Melanie Bennett discusses the importance of getting the right advice, the benefits of a trust and why it’s a good idea to review its structure and administration

Any and all business and personal assets can be transferred to a trust, and if you have a business it could be a good idea to have a trust to protect your assets. The first step is to speak to a trust specialist who can advise you on whether a trust is right for you, on the right structure and also assist you with the set up.

The most common reason business owners set up trusts is to protect their personal assets, such as the family home, from creditor risk should their business fail. The family home is then owned by the trust; meaning that if creditors put the business into liquidation, and you are successfully sued individually, the liability can be limited to the business and personal assets.

Anyone can set up a trust, but it’s really important to get the right advice, ensure the trust has been set up correctly, and that it will provide the protection you need in the event something unplanned occurs.

More and more cases involving trusts are before the courts because there are more and more cases where trusts have not provided the protection needed for a variety of reasons. In many circumstances, the settlor thought by having their lawyer or accountant as the independent trustee they had adequate protection.

But trusts, and potential liabilities, need to be reviewed to ensure the structure in place remains relevant for the current assets and personal circumstances. Often the structures of trusts are only considered when a transaction takes place, such as the sale or purchase of a property.

It’s important to get regular independent advice to prevent a situation happening where you’re not protected, or get caught out by a loophole.

Each year many settlors and beneficiaries of trusts pay the rates, insurance, maintenance and accounting fees in relation to the home they live in. These expenses are recorded and the liability to the settlor or beneficiary continues to grow (the trust

owes them money).

However, what happens when business doesn’t go so well and you end up bankrupt after being successfully sued to repay creditors?

All of a sudden you realise the trust owes you hundreds of thousands of dollars for all those years of household costs, which now you can’t recoup. If you had gifted those expenses to the trust then you wouldn’t need to be

repaid, and the family home wouldn’t need to be sold.

It’s important to speak to a trust specialist about gifting assets to a trust and how your structure can work for you. Especially as the government abolished gift duty in 2011, and your trust may not have been reviewed since this legislation change.

It’s also important to note that amounts ungifted to a trust can, in the event of a personal relationship break up, be considered in the division of your property and settlement.

Most of us take for granted the processes and procedures around when we employ people, initiating what is the beginning of an employment relationship - which is of course a legal relationship - between an employer and an employee. Under the Employment Relations and Holidays Acts, employers and employees each have obligations to each other, and often it’s all too easy to overlook some of the fundamentals.

With the start of a new year, it is timely for employers to check how they are doing.

After receiving applications for employment, do you acknowledge them all in a timely fashion, even to say “No”? The biggest complaint we hear from jobseekers is that they don’t hear from companies once they have sent their applications.

All employees must have a written employment agreement no matter what their type of work (yes, even casuals). Have all successful candidates received the appropriate employment agreements in advance of their starting with you?

If a trial period clause is included in an employment agreement, the agreement must be signed before the worker starts work, otherwise the trial period clause will be invalid.

Employee records must be kept for all workers and made available to employees, their Unions (if applicable) and the Ministry’s Labour Inspectors if they ask for them. They can be kept in electronic or paper files and must be kept for seven years. Records kept must include (among other things) contact details, type of employment, wage, time, holiday and leave records. The Privacy Act establishes a set of 12 principles to protect a person’s personal privacy. Principle 10 requires that any agency that holds personal information should not keep that information for longer than is required for the purposes for which the information may lawfully be used. Therefore, unsuccessful applicants’ CVs should be destroyed within a reasonable time after the recruitment process has been completed.

Public Holidays - Are you paying your employees correctly? Any person who works on a public holiday is entitled to be paid time and a half for the hours he or she works and, if the public holiday would otherwise have been a working day for the person, they will also be entitled to an additional paid day off.

The Holidays Act 2003 addresses the public holiday entitlements for employees in a number of work patterns where entitlements are unclear, including employees working shifts, employees on call, and whether a day would “otherwise be a working day.”

Health and Safety - The all-important health and safety compliance - is there an induction process in place for all workers? Ensure there is an orientation plan including site plan, site hazards and emergency plan as part of your workplace health and safety management. The new Health and Safety at Work Act takes effect 4 April, do be sure you know what your obligations are.

Sounds daunting? These are basic requirements for employers and should not be overlooked.
