8. General Background ASAL Somaliland has been established in Hargeisa, the capital of Somaliland on 2001. The main office is in Hargeisa. ASAL is nongovernmental non political non profit organization but it is for peace loving, sustainable development, environmental conservation& humanitarian Local NGO. The foundation of ASAL Somaliland had been organized by a group of high skilled intellectuals who have various professions among them are; women, business groups, community development and environmental conservation professionals, after having considered and taking note of the following circumstances/situations: The Negative impact of the civil war on economy, livelihood, Education, Health, the situation of IDP’s, the poor water and environmental degradation in Somaliland. 9. The Mission & Vision Humanitarian and long-term livelihood options through minimizing the negative impacts of the vulnerability context, strengthening capital assets, human resources development, and addressing constraints of the environment al degradations mainly desertification, pollution, drought and floods. 10. The Objectives: 10.1. Support, design and implement humanitarian activities including The support of IDPs and the host communities. 10.2. Improve community capacity in the management of emergency and sustainable development initiatives. 10.3. To improve strengthen livelihood incomes to most vulnerable People by introducing job creation activities (including fishing, Livestock, farming, water improvement). 10.4. Improve human resource by training and capacity building 10.5. To participate the environmental conservation activities mainly tackling the desertification and pollution. And to protect the natural fauna and flora. 11. STRATIGIC PLAN 11.1. To collaborate with the Somaliland government, communities, local and the International organizations. So as to get idea contributions and raise the Appropriate fund required by the prioritized programmes 11.2.Carry out feasibility study/research in the fields of humanitarian, Youth development livelihood, human resource, human rights, and the environmental situation analysis so as to come up with concrete solutions/project proposals.

11.2. Support capacity building of local communities to effectively share manage &

maintain assets including sustainable community development projects & other mechanisms & identify gabs to improve their capacity.

11.3.To full fill the objectives, the organization will always seek professionally skilled human resources whom are updated and will conduct simultaneous capacity building training.

12. MEMBERSHIP

12.1. CRITARIA OF MEMBERSHIP: The membership of “ASSAL.” shall be open to all persons, whether public or private, who is reliable, hones, good conduct and having juristic personality and performing the activities described in the proceeding Para 12.2. Whoever wishes to become a member of the organization shall apply in writing, attaching a statement certifying the fulfilment of the requirements of the charter. And shall be discussed /approved/disapproved in the general assembly. The new member requires two third of the ( 2/3 ) general assembly. 12.3. Rights to Ordinary Memberships 12.4. The members shall have full voting rights provided that they are fully paid the Membership fee. 12.5. Can be elected and can hold the office in the association 12.6. Propose motions 12.7. Can take part in the activity of the Organization 13. TERMINATION OF MEMBERSHIP 13.1. Failure of annual fee payment, which will be not later than 1st January each year 13.2. Breaking the rules and regulations of “ASAL” 13.3. Any criminal offence committed by a member will result in the automatic expulsion 14. SUSPENSION OF MEMBERSHIP 14.1. Non-payment subscription fees. The member will however be reinstated when The member pays again his fee.

15. MAMBERSHIP FEES

15.1.The payment of the fees begins at 1st Januarys and ends at 15th Januarys each year. 15.2. Ordinary members must pay both the annual subscription and registration fees Honorary members (Honorary membership may be offered to members of this association or outside the association members. Whom the association deems to have rendered outstanding service to the community living in Somalia. Honorary membership shall be for life and shall be limited to maximum of 5 persons, under the approval of the general assembly).

15.4.The board of the Directors can modify the yearly subscription fees. 15.5. Registration fees: US $ 50 per person 15.6. Non working member fees:: US $ 10 per year 15.7. Contract member fee: US $ 100 per year 15.8. Working member fees: US$ 50 per year 15.8. School age children US $ 5 per year 16. ORGANS OF THE ASSOCIATION .The main bodies of the ASAL comprises of : The general assembly The board of the directors 16. 1. The Organization Structure of Asal Youth Development Association 17. DUTIES AND RESPONSIBILITIES OF THE GENERAL ASSEMPLY 17.1 The general assembly (GA) shall be consist the members of the organization. Which shall be either a properly constituted Annual General assembly or an Emergency Meeting.. This shall be the highest organs of the association in terms of legislation and decision making. 17.2. The General Assembly shall appoint the Chairperson. 17.3. Shall approve the Board of the Directors (B.O.D.) proposed by the Chairperson. 17.4. Shall approve the proposed budget. 17.5. Shall approve the annual reports and the proposals brought by General Assembly, Chairperson and the B.O.D.

18, THE MEETING OF THE GENERAL ASSEMBLY (G.A.).

18.1.The G.A. shall meet twice a year 15th Dec. & 15th of June every year. The

meeting shall be convened by the chairperson .If the Chairperson is not available the members shall choose the Chairperson for the meeting. The quorum for the G.A. meeting shall be half of the members of the general assembly. 18.2. If enough quorums is not available in the first meeting, the meeting shall be postponed for 15 days.

18.3. The decision of the board shall take by the majority vote. If the votes become equal, the decision with which the chairman of the board shall prevail. The general assembly shall be informed one month before the date of the meeting. 18.4. The convening of the meeting of the board shall be published in any publications of the republic and other means of communication at least 10 days before the meeting .The G.A may be have an extra ordinary meeting if it is necessary.

18.5.The agenda of the meeting shall be attached to the notification of the meeting.

18.6.The debates /mints and the discussions of the G.A. shall be recorded by the secretary of the meeting and shall be signed by the chairperson

19. THE BOARD OF THE DIRECTORS (B.O.D)

19.1. The board of the directors (B.O.D.) shall consist the chair person of the assembly, the programme Coordinator and the department managers. The B.O.D are the executives of the Organization’s daily activities .The B.O.D. Is proposed by the chair person & approved by the General assembly.

20. DUTIES AND FUNCTIONS OF THE CHAIRPERSON 20.1.The chairperson chairs the meeting of the general assembly.

20.2.He/she (the chairperson) is the main coordinating body of the general assembly, the program coordinator and the concerned organization or the community. 20.3.The Chairperson proposes the nomination of the and the Programme Coordinator(P.C.) and the Auditor of the Organization. And seeks the approval of the general assembly.

21. DUTIES AND FUNCTIONS OF THE PROGRAM COORDINATOR (P.C.) 21.1. The “P.C.” is the executive of the organization’s affairs and activities He/she is responsible for the efficient functioning of the B.O.D. and the various departments and services of the organization with in the overall policy of the organization. 21.2.The ‘P.C.’ proposes the nomination of the department managers and the senior officers of the organization to the chairperson. 21.3. The P.C. plans and coordinates the work plan and assigns the daily activities of the organization. Prepares and submits the project proposals . Signs the contracts /agreements between the donors/agencies and the organization. 21.4. Prepares the budget and the annual report. of the organization. 21.5. Approves/signs the financial transactions.

22. THE MEETING OF THE BOARD OF THE DIRECTORS (B.O.D.) 22.1. The board of the directors (B.O.D) shall meet once every week.The majority of the members of the board of the directors shall form the quorum of its meeting. The decision shall be taken on the bases of simple majority. If the quorum is equal the chairperson shall have two votes. 22.2. if a position of the member of the board of the directors is vacant the chairperson shall fill the post or will appoint one of the boards of the directors to fill the gap.

23. FINANCE

23.1. The Admin and the Financial director of the Organization prepares the financial plane with the help of the Organization accountant. 23.2. the budget of the organization will be prepared one month before the end of the financial year and shall present it before the board for approval. 23.2. The financial year of the organization shall begin on 1st January and end 31st December each year.

24. ACCOUNTS 24.1. The organization must keep at its registered office with the proper books of

accounts with respect to:-

24.2. All receipt and disbursement of money and the matters in respect of which the

receipt and disbursement takes place. 24.3. All sales, service and purchases of goods of the organization 24.4. The assets and the liabilities of the Organization 24.5. the books of accounts should ordinary at the registered of the organization.

The book of the accounts of the organization together with the voucher relevant to any entry in such books must be preserved for a period of not less then ten year (10 years)

24.6. the books of the accounts and other books and papers are open to inspection during business hours to the chairman, the project manager the financial manager, and the organization accountant, and the auditor of the organization 24.7.The actual control of money taken and spent is critical to any business if not controlled in good manner the opportunity for theft and the dishonest may arise. As general rule money receipt and payments should not be the responsibility of only one person. As a matter of rule, all money transactions should be subject to double checking either by visual check (receiving cash and giving change) or through analysis of bills, invoices and receipts. 24.6. For small sums of money (not more than one hundred USD) paid or received

two people may be empowered to sign on behalf of the enterprise, but for larger sums (more than one hundred USD) at three signatures should be required.

24.7. Keep money in safe place before transfer to a bank, and there should be at

least two locks to the safe with each responsible person holding only one of the keys.

24.8. all the financial transactions should be recorded, preferably by a double entry

accounting system to allow loses etc. to be traced record and account books should also be locked up to prevent unauthorized alteration.

24.9. Annual account and balance sheet. 24.10. The annual accounts of the organization consist of a balance sheet as at the

end of the financial year and income and expenditure account for the financial year.

24.11. At every annual general meeting of the organization the board of the directors

25. AUDITORS REPORT 25.1.All the financial transactions of the Organization must be daily signed by the financial Director. 25.2. The financial entries must be annexed to the balance sheet and auditor’s report must be attached there .The books of the account must give a true and fair view of the organization 25.3. The first auditor of the organization is appointed by the Board of the Directors of the Organization within one month of the organizations establishment. 25.5. The auditor so appointed hold office until the conclusion of the first annual meeting. If the board fails to exercise its power to appoint first auditor the assembly meeting of the board may appoint the auditor.

25.6. Duties of the auditor: The main duties of the auditor are to make report to the members of the organization on the account examined by him. 26. THE RIGHTS AND POWERS OF THE AUDITOR 26.1. The auditor of the organization has a right of access to books and accounts voucher of the organization. 26.2. He is entitled to require from the officers of the organization information and explanations of the matters relating to the financial statements.

26.3. He has right to receive notice and communication relating to any general

meeting of the organization 27. EVALUATION

27.1. Consistent evaluations upon the progress and activities of the organization’s report as well as management ongoing activities in the field will be expected to reach the office on time 27.2. Discussion for the next move and possible amendment of any ongoing,

potential activities or any failed program in the past to be corrected or change. 27.3. Personnel inputs and team work evaluation on yearly bases will result

incentives and defensives. 28. The sectoral activities of the Organization The main sectoral activities of the NGO are as follows:-

3.Livelihoods Improvements

• Rehabilitation and reconstruction of the socioeconomic infrastructures • Improve the production of the sectors livelihoods ( Livestock, Agriculture and

Fisheries ) • Create employment generating mechanisms by giving loans, grants, materials and

capacity building

4.Environment Conservation

• Improve the degraded land by applying reforestation/aforestation techniques • Assist proper grazing systems and drought grazing reserves while the pastoral communities are widely participated and managed • Protect Somaliland heritage of the fauna and flora • Initiated sustainable household energy (charcoal and fire wood ) by encouraging alternative household energy, so as to save the lgging plants • Promote environmental education and public awareness programmes.

5.Youth development. Developing and acquiring youth assets in multiple contexts and Inviroments for example schools, workplace, community, organization, social programs and neighbourhoods all offer opportunities to require development resource. Acquiring strength an asset through positive relationships, especially Pro-social and caring adults, for example emphasizing relationship with trusted adults such as parents, family, teachers, neighbours and Business owner and motors.

We will be grateful Somaliland Authority, local communities and humanitarian/ , development organizations give us helping hands and assist us with moral and material support, then we’ll be able to do as per our target. Here ASSAL organization has the honour to welcome any contribution based on humanitarian and sustainable development projects which could be profited by the community and the country as whole. We sacrifice ourselves to overcome/minimise the humanitarian, socioeconomic and the environmental problems and we need to see prosperity, improved social live and sound environment prevailing Somaliland.
