INSTRUCTIONS TO BIDDERS

1. All the pages of the tender/bid should be duly signed and proper seal should be affixed.

2. No over writings or correction shall be accepted unless authenticated with signature.

3. The bidders have to furnish Rs.500/- (Rupees Five Hundred Only) towards non-refundable tender fees

in a sealed envelope should reach in Facor Power Ltd., D. P. Nagar, Randia, Bhadrak before 25th May,

2018 at 14:00hrs at our plant. The Tender will be opened on the same day. Sealed Tender by hand

shall be entertained .Tender received without Tender fee shall be liable to get rejected.

4. Bidders are advised to submit their offer along with Tender fee Rs.500/- (Rupees Five Hundred ) by

Demand Draft in favour of “Facor Power Ltd”, payable at Bhadrak with a separate covering letter.

5. On submission of the Tender documents by the bidder, it shall be deemed that the bidder has

clearly understood and has unconditionally accepted all the terms and conditions of the bid.

6. Rates to be quoted in the separate rate sheet (attached) to the tender document and duly signed.

7. The bidder shall submit the tender in sealed envelope at below mention address before last

date as prescribed.

8. Following list of documents needs to be submitted along with Tender document:

Copy of Pan Card

Copy of GSTIN registration certificates.

1. Definitions:The following expressions used herein and elsewhere in these documents shall have the meaningindicated against each unless repugnant to the subject or context or are changed with mutualconsent:

1.1. “Principal Employer” means Facor Power Limited, DP Nagar, Randia, Bhadrak-Odisha.

1.2. “Contractor” means the party with whom the Principal Employer shall enter into contractincluding its successors and permitted assigns.

1.3. "Representative" shall mean the person so nominated from time to time by the PrincipalEmployer to act for and on its behalf for operation of this contract.

1.4. “Completion Period” means the period of time specified in the contract within or at which theContractor is required to execute one work in the manner specified in the contract.

1.5. “Completion” means the completion of the entire ‘Scope of Work’ and to the CompleteSatisfaction of the Principal Employer.

1.6. “Notice in Writing or Written Notice” shall mean a notice in written, typed or printedcharacters sent (unless delivered personally or otherwise proved to have been received) byregistered post to the last known business address and registered office of the addressee.

1.7. "Specifications" shall mean all directions, various technical specification, provisions andrequirements attached to the contract, which pertain to the method and manner ofperforming the work or works to the quantities and qualities of the work or works and thematerials to be furnished under the contract for the work and works, as may be amplified ormodified by the Principal Employer or it’s Representative during the performance of thecontract in order to provide the unforeseen conditions or in the best interests of the work orworks. It shall also include the latest edition including all addenda/corrigenda or relevantStandard Code(s) of the Bureau of Indian Standards and/or other relevant codes.

1.8. "Plan" shall mean all maps, sketches and layouts as are incorporated in the contract in orderto define broadly the scope and specifications of the work or works, and all reproductionsthereof. This may also include any drawing and or documents, which may subsequently beapproved by the Principal Employer or it’s Representative in writing.

1.9. "Approval” shall mean permission of Principal Employer to go ahead with the work. It will bealways conveyed in writing and in some cases the verbal approval may also be confirmedsubsequently in writing.

1.10. “Amendment Order” means an order given in writing by the Principal Employer to affectadditions/alterations to and/or deletion from the works.

1.11. “The Final Acceptance Certificate” in relation to work shall mean the certificate regarding thesatisfactory compliance of the various provisions of the contract issued by the PrincipalEmployer or it’s Representative.

4. Job Description TG Field Operation

a. Start up condition

Given field clearance for starting Oil Pump, CW Pump, ACWPump, Condensor line-up,OVF,Oil Centrifuge operation,CEP.All required Drain and vent valves to be opened and closedas per the instruction of DCS Engineer.,Line heating of mainsteam & aux. steam line,De-aerator charging,Vaccum pulling,HP & Lp heater charging,observaing any abnormal sound orleakage in the system.Looking after theTG area housekeeping.

b. In normal operating condition

Checking the healthy operation of oil pumps ,CWPumps,ACW Pump,CEP ,Cooling Tower,Resever Pump,FireHydrant Pump & Oil Centrifuge with all normal operatingparameter. .Observe any abnormal sound of equipment andleakage of water,air ,Steam & ash immediately intimated tocontrol room for arrest it .Maintain the housekeeping ofTG,CW Pump house ,ACW Pump house and Reserver PumpHouse.Adopt proper isolation method of equipments as perinstruction of Field engineer/Shift In charge formaintenanjob. MOT level ,HPH level ,Hot Well level to bemach once in every shift.All information in the shift to beinformed to Control Room.loging the field parameter in logsheet in every 2 hours.

Opening and Closing of Mainsteam line drains, Observe theWarm-up vent operation ,Ensure the operation ofMOP,CEP,BFP,CWP,ACWP.Ensure the closing of QC NRV of allextraction of TG.Maintain the vaccum of condenser ifrequired by taking starting ejector in line.Open the drains ofextraction line at the time of tripping or island.

Manual operation ofjammed damper done by him.Looking after the Boilerhousekeeping manpower for proper utlisation.

Checking the healthiness of PA ,SA damper for anyleakage,observe the smooth operation of coalfeeders,cyclone ash screw feeders,Re-circulating ash screw feeder.Obseve any abnormal sound and leakage of water,air ,Steam& ash in boiler or equipments.Coal bunker jamming to becleared as and when required .Bunker level to be moniteredand informed to the control room.Maintain thehousekeeping of Boiler first path , second path & cross overduct.Adopt proper isolation method of equipments as perinstruction of Field engineer/Shift In charge formaintenanjob.All information or any abnormality in the shiftto be informed to Control Room.

c. In Trip / Island Condition

Opening and Closing of Mainsteam line drains, given fieldclearance for starting of Compressors, Fans & Dampers.HGGstart-up clearance & field operation to be monitored.Openingand Closing of water drains as and when required.

ELECTRICAL OPERATION & MAINTENANCE

A. Designation : Electrician – SHIFT OPERATION – 4 Nos

Job Description :

All the above 4 persons are deployed in shift

i.e. 1 Electrician per shift X 3 Shifts per day + 1 Shift Reliever = 4 Nos

As a shift Electrician, following jobs are done during a shift :

1. Electrical Operation activities include:

a) Power Isolation

b) Ensure proper Tagging & permit fixing on the equipments under power isolation

c) Power restoration after WP return

2. Data logging for all the electrical installations as per operational check list. Updation oflogsheets for all areas

3. Energy meter readings as per statutory practice & also as per plant MIS instructions

4. Attending to shift complaints which are normally operational constraints & can be done by twopersons only.

5. STG, Boiler, ESP & other operational areas lighting minor maintenance.

6. Switching ON the lights in B-Shift & Switching OFF the lights at the end of Night Shift

7. Assisting to Shift Engineer for minor troubleshooting for all the C&R panels & LT Switchgear

8. On site resolving operational issues.

9. Electrical trials of MOVs & motors in all operation areas.

10. Maintaining material issue register.

11. HT & LT switchgear panel cleaning.

12. Emergency DG trials every day & observing parameters.

13. Standby equipment trials under guidance of Control Room I/C.

14. Assisting the Electrical Shift Incharge during power blackout conditions

15. Emergency restoration of power supply after Grid supply resumption

Job Description :

1. Attending to the Preventive Maintenance Schedule as per approved schedule

2. Arranging & shifting of tools & tackles to the working area & assisting in Testing & other jobs byGeneral Shift Electrical Engineer.

3. Attending to complaints raised by operation department during shift operation.

4. Performing the activities strictly in accordance with daily maintenance checklist issued byDepartment.

5. As per direction, greasing schedule, abnormalities observation, corrective actions are to be doneby General shift technicians.

6. During planned & opportunity shut downs, they have to contribute most.

7. ESP & all MCC panel areas cleaning.

8. Small motor overhauling & bearing replacement

9. STG area Lighting maintenance & complaints attending

Note : The O&M persons engaged will carry out the work as per the instruction of the Executive-In-Charge or their Superiors in all the areas of Plant.

GENERAL TERMS AND CONDITIONS:

2.1 The Contractor shall execute, fulfil and discharge the services & obligations hereinafter provided in themanner agreed to the entire satisfaction of the Principal Employer.

2.2 The Contractor shall furnish / engage all equipment, labours, materials, competent personnel,infrastructure et cetera to perform the scope of work as specified above along with fulfilling all obligationsspecified by the Principal Employer. The Contractor shall direct, supervise and control operation under thedirection of the person authorized / nominated by the Principal Employer.

2.3 The Contractor shall solely and exclusively be responsible for engaging or employing persons for renderingthe contracted services. All employees engaged by the Contractor shall be on the pay roll of the Contractorand be paid by him. It shall be the sole responsibility of the Contractor to regulate and effect any terms ofemployment with the engaged persons without any liability whatsoever to the Principal Employer.

2.4 The Contractor will have no right or lien whatsoever upon the premises and the Contractor & hisemployees will move out of the premises at the instance of the Company.

2.5 That the Principal Employer shall not be liable in any form for suspension of work whatsoever reasons maybe and for any stoppage of work due to any strike or lockout or stoppage of work due to any acts of omissionsor commissions of the Contractor.

2.6 That the cost of any services provided by the Principal Employer to the Contractor and / or his employeewill be recovered from the Contractor’s bill from time to time.

2.7 The Contractor has to nominate a responsible person, who will supervise & co-ordinate the workenvisaged in this contract, receive instructions from the Competent Authority & ensure satisfactoryperformance of such services.

2.8 In case of detection of any act of misconduct / negligence on the part of the employees of the Contractor,the same will be reported to the Contractor and the Contractor should take timely & suitable action againstthat person. No employees of the Contractor shall be permitted for any kind of service in intoxicated stage.

2.9 The Principal Employer takes no liability to provide residential accommodation to the employees of theContractor, only worker accommodation may 30 persons will be given by FPL inside the plant .

2.10 No vehicle will be provided by the Principal Employer for transportation of the Contractor’s employee forattending & returning from duty.

2.11 The Principal Employer reserves its right to make surprise checks to confirm the awareness &responsibilities of the Contractor’s personnel from time to time.

2.12 In case of pilferage of materials/theft etc, the concerned agency shall have to lodge FIR at local Policestation with a copy to the Principal Employer. Watch and Ward of the material is completely in the scope ofthe contractor.FPL is not liable for any pilferages /theft of contractors material.

2.13 The Contractor shall ensure the age, address and medical fitness of workmen and shall not engage anychild labor / female labor in any work.

2.14 The Contractor shall also ensure that all the workmen engaged are issued with a valid photo Identitycard.

2.15 It shall be the duty of Contractor to ensure that the person deployed for operation of vehicles etc possessvalid license wherever applicable.

3. STATUTORY COMPLIANCES ON THE PART OF CONTRACTOR:

3.1A The CONTRACTOR shall throughout the performance of the Contract comply with all the laws, rules,regulations and statutory requirements / obligations of Government of India / State Government and otherstatutory bodies applicable for the performance of the work and including but not limited to:-

Minimum Wages Act, 1948,

Payment of Wages Act, 1936

Contract Labour ( R&A) Act, 1970

Employees State Insurance Act, 1948

Employees Provident Fund & Misc Provisions Act, 1952

Industrial Dispute Act, 1947; and

Inter- State Migrant Workmen (Regulation of Employment & Conditions of Service) Act, 1979

3.1B The Company shall not be liable for any action of the statute due to non-fulfillment of the statutoryobligations by the CONTRACTOR.

3.2 The Contractor shall obtain a license under the Contract Labour (Regulation & Abolition) Act accordingto the number of persons engaged by him by depositing the fees and complying with the formalities.

3.3 The Contractor shall ensure to cover all his employees under the Employees’ Provident Funds andMiscellaneous Provisions Act and Employees State Insurance Act, 1948 having its independent Code number.

3.4 That the Contractor will be liable not only to pay wages to his workers, but the retrenchmentcompensation, notice pay, wages for paid holidays etc as payable and the principal employer will not be heldliable for any obligation of the Contractor. The Contractor will maintain all statutory records & shall be liablefor any breach thereof.

3.5 The Contractor shall ensure payment of wages to its employees not less than the minimum wages notifiedby the State Govt. from time to time on or before 7th of the following month in presence of the PrincipalEmployer’s representative.

3.6 The Principal Employer shall not, in any manner be responsible for any act of omission or commission bythe employees of the Contractor and no claim in this respect will lie against the Company. If any such claim ismade against the Principal Employer by any employee or his heirs engaged by the Contractor, which thePrincipal Employer is obliged to discharge by virtue of any statute or any provision of law & rules due to merefact of the employee of the Contractor working at the Company premises or otherwise, the Contractor will beliable to indemnify / reimburse the Principal Employer money paid in addition to the expenses incurred forthis purpose.

3.7 The CONTRACTOR shall be responsible for safety arrangements on all equipments used in connection withexecution of the work and shall ensure employment of only trained operators to man the equipments. Onlytested equipments, tools, wires, ropes, etc. shall be used and shall periodically be tested to the satisfaction ofthe Principal Employer. All test certificates shall be made available to the Company at site as and whenrequired by it.

3.8 The CONTRACTOR shall abide by all security regulations at site promulgated by the Principal Employerfrom time to time. The CONTRACTOR shall provide identity badges to their personnel and workmen, whichmust be properly displayed by them at site.

3.9 In order to facilitate issue of gate passes by the authorities for materials; the CONTRACTOR shall submitto the Principal Employer lists of construction / erection equipments etc. and / or other materials that shall betaken inside the premises from time to time. Such movement of materials, equipment, tools, tackles, etc. shallbe subject to permission of the Authority.

3.10 The CONTRACTOR and his personnel and workmen shall be subjected to security check by PrincipalEmployer’s own security force for the over-all protection of the site.

3.11 No part of the contract nor any share or interest therein shall in any manner or degree be transferred,assign or sublet by the Contractor directly or indirectly to any person, firm, or corporation whosoever withoutprior written permission of the Principal Employer.

3.12 The Principal Employer may consider at its discretion for revision of labour cost of the contract in case ofany revision in minimum rate of wages by the State Government during the Contract period.

4. Safety Code:

i. The Contractor shall adhere to safe working practice and guard against hazardous and un-safeworking conditions and shall comply with safety rules.

ii. The CONTRACTOR shall adopt adequate safety measures and ensure use of protective equipments byall the workmen at site whether or not engaged in actual execution of work or supervision thereof asper requirement and shall be solely responsible for injuries directly or indirectly caused to themduring the performance of work under this agreement by any reason whatsoever.

iii. The Contractor shall maintain first aid facilities at site.iv. The Contractor shall provide personal protective equipment (PPE) like helmets, safety shoes, dust-

masks & hand gloves etc; to all its employees at its cost and it shall be mandatory for all its employeesto wear/use appropriate PPE while entering into our plant premises. If the PPE shall be provided byFPL, then 150% cost of PPE shall be deducted from the contractors bill. Penalty shall be imposedminimum Rs 1,000.00 and maximum upto Rs 5,000.00 for violence of safety rules each time.

v. The works throughout shall be carried out in such a manner as not to interfere in any way with thework of the Principal Employer or other Contractor executing jobs in that area.

vi. The Contractor/ Executing In-charge has to take work at height permit from SHE department prior tojob.

vii. The work throughout shall be carried out in such a manner as not to interfere in any way with thework of the Principal Employer or other contractor executing jobs in that area.

viii. Alcoholic workmen and Female workers are strictly prohibited at Main gate.ix. The contractor shall adopt adequate safety measures and ensure use of protective equipments by all

the workmen at site and shall be solely responsible for any kind of injuries directly or indirectlycaused to them during the execution of work.

x. The workmen should not enter to un-authorized area of plant premises and will not litter food /polythene waste to the nearby environment and should use Dustbins at site.

xi. The workmen before joining work at site he must have undergone Safety Induction training by FPLSHE Dept.

xii. The workmen before joining work at site he must have undergone pre-employment health check-upin Form-31A by a certified Doctor and same copy has to submit to FPL SHE Dept.

5. Contractor’s Obligations:

The Contractor:

5.1 Shall carry out all work strictly as per the scope of work, specifications as well as drawing / sketch /instructions given to him by the Principal Employer or its Representative from time to time.

5.2 If required the contractor has to engage Competent Supervisors having requisite qualification &experience in carrying out work.

5.3 Indemnify the Principal Employer against all claims for damages, suits and demands preferred against thePrincipal Employer by third parties in respect of accidents, injuries or death of third person and also for loss,theft or damage to the Principal Employer’s materials caused by the Contractor or its employees/agents; andthe decision of the Principal Employer in this regard shall be binding without prejudice to any other course ofaction.

6. Principal Employer’s Obligations:

6.1 The Principal Employer shall provide drawings / sketch and any other information available with thePrincipal Employer as may be required by the Contractor to enable him to fulfill his obligation.

6.2 The Principal Employer shall depute its Representative for regular monitoring, guidance and certification ofwork.

7. Procedure for Billing of Work in Progress:

7.1 Measurement shall be taken by the Authorized Representative of the Principal Employer in the presenceof Contractor or his representative, for the work executed at the site on daily basis and this will be jointlysigned. Payment shall be made on the basis of detailed jointly signed measurement of different items of actualwork done, and

7.2 Wherever, measurement will not be possible, the Authorized Representative shall certify the quantum &quality of work completed for releasing the running bill.

7.3 The outstanding claims or dues shall be deducted from the bill before making the final payment unlessthe Contractor submits documentary evidence of having made such payment.

7.4 The Contractor shall submit duly authorised bill on monthly basis within the first week ofsucceeding month, along with the Wage sheet-cum-Muster Roll to the HOD of the concerneddepartment. Bills shall be submitted along with the digital proof of payment transfer/receipt voucherof wages/salary and the proof of online payment receipts/challans of PF & ESI of the previous month.

8. Payment Terms

8.1 That the Principal Employer shall make payment on account of this agreement in the following manner:

8.1A The Contractor shall submit the bills on monthly basis during the first week of succeeding month, intriplicate along with the Wage sheet-cum-Muster Roll to the Executing In-Charge. Bills shall be submittedalong with the photocopy of payment receipt voucher.

8.2B The bill shall be authenticated by the Contractor himself or by his authorized agent with seal.

8.2C The efforts will be made to release the payment within 30 (Thirty) days of the correct submission of billwith all relevant documents complying all statutory requirements. However, if there is any delay on account ofunforeseen circumstances beyond the control of the Principal Employer, no interest is payable on the amountdue to the Contractor

8.2D The payment to the Contractor will be made in the shape of Account Payee Bank Cheque in favour of theContractor.

8.2E The payment of the monthly statutory charges will be done after satisfying that all statutory provisionshave been complied with. Current bill will have, as enclosed, the certified copies of the payment receipts ofprevious month made to various statutory agencies. The copy of the certificate of continuation of challan of PF/ ESI deposits etc will also be attached along with the bill every month.

8.2F If there is any outstanding claims or dues available than it shall be deducted from the bill before makingthe final payment unless the Contractor submits documentary evidence of having made such payment.

9. Taxation & Deductions:

i. Income tax as applicable shall be deducted from each running bill or final bill and all other statutorydeduction shall be made as per applicable laws/rules. No deduction certificate may be submittedagainst non deduction of TDS.

ii. All statutory payment deductions shall be made as per norm.iii. GST if applicable shall be paid extra at the prevailing rate.

10. Performance Securityi. The Contractor has to submit performance security of 10% from the total Work Order Value in the shape of

Bank Guarantee/Fixed Deposit in the favour/pledge of FPL for a period of 1Year.ii. The format of the same will be available before the signing of contract.

11. Penalty:

i. In the event of non-compliance or breach of any terms of the contract or unsatisfactory or inefficientservice, the Principal Employer will be at liberty to revoke the contract by a week’s notice in writing withoutprejudice to any other relief available including withholding of bills.

ii. In case the Contractor failed to carry out any services within the stipulated time period, the PrincipalEmployer will be at liberty to carry out the said service by engaging any other Contractor and the cost involvedfor carrying out the said services by other party along with a penalty of 10% shall be recovered from the duesof the contractor.

iii. Penalty shall be deducted @ 150% of the man days value against short supply of manpower than therequired manpower as mentioned in the WO in case of manpower supply contract.

12. Addition or Deletion of Scope:

The Scope of services may alter in quantum as per exigencies. The Contractor shall accordingly provideservices as may be required by the Principal Employer on giving seven days notice.

13. Cancellation, Suspension & Termination of Contract:

13.1 The Principal Employer has the right at any time during the period of the contract to terminate by giving30 (thirty) days written notice of its intention to do so and upon expiry of such notice period that theContractor has to vacate the site peacefully.

13.2 The Principal Employer may also cancel the work order in whole or in part at any time by giving theCONTRACTOR a notice in writing before 30 days of such effect stating the nature, the date and the anticipatedduration of such cancellation.

13.3 In the event of cancellation of work, Principal Employer will not be liable to pay to the CONTRACTOR forany damage or loss for idle labour caused by such period of suspension of work.

13.4 The contract can be terminated with immediate effect in the event of unforeseen circumstances, whichmay lead to the force closure of the works for reasons such as resource crunch, non-availability of funds, andfor other administrative reasons etc. Contractor will be compensated only for the quantum of work/serviceshe has rendered till effective date of foreclosure. Any other claims like compensation for loss in profit,compensation for loss of reputation etc. or any other consequential damages claimed by the Contractor willnot be given by the Principal Employer.

13.5 In the event of breach of any terms explained in the contract or non-compliance or non-performance ofwork as per satisfaction of FPL, the work order shall be liable to be terminated automatically. Besides, FPLreserves the ultimate right and authority to terminate the work order at any time without assigning anyreason thereof.

13.6 In case the Contractor desires for termination of contract, he shall give 30 (thirty) days notice of hisintention to do so.

14.0 Other Term and Conditions:

a. Manpower, supervision and required tools & Tackles are in vendor scope.

b. All the manpower required like special-skilled, high-skilled, skilled and semi-skilled to be provided byvendor.

c. Workman PPE & job safety shall be provided by vendor.

d. One room for storing of materials near working site shall be provided to the vendor by FPL.

e. All Tools tackles like –Spanner, Special Spanner, Lifting equipment, Sling, Rope, Hole Badi, Dial Gaugewith clamp in Vender Scope.

f. All Equipment like –Welding Mechine, Grinding Mechine and Argon Set (Different Size) in VenderScope.

g. Lodging and Boarding will be in Vendor Scope.

15.0 Force Majeure:

If any time during the continuance of the agreement either party is prevented, hindered or delayed to fulfillany of its obligations under this agreement as a result of strike, lock outs, industrial disturbances or forcircumstances prevailing beyond the control of either party and/or for reasons of any statute, rules,regulations, orders and act of government or war (whether declared or not), civil commotion, riots,quarantine, earth quakes, epidemic, fires or floods or any other act of God beyond the reasonable control ofeither party, it shall be excused from the performance or the punctual performance of the agreement , duringsuch time.

Provided however that the performance of the agreement shall be resumed as soon as feasible after thecontingency has ceased or otherwise determined and the parties obligation shall continue to be in force forextended period as mutually agreed upon between the parties. Contractor shall have no right to claim anyescalation and or increase in rates herein before stipulated for the works to be performed in such extendedperiod.

16.0 Arbitration

16.1 That in the event of any dispute or difference of opinion arises between the parties in relation to or inconnection with this agreement; both the parties shall undertake negotiations in good faith with a view toresolve the matter.

16.2 If, however, the parties are not able to resolve them amicably, the decision of Facor Power Limited willbe treated as final and binding on the contractors.

17) Applicable Law and Jurisdiction

This Agreement shall be governed by, construed and enforced in accordance with the laws of India, the courtat Bhadrak shall have exclusive jurisdiction over any dispute arising under the contract documents. Thegoverning language of proceedings shall be English.
