    and on the basisofthe verified Complaint in this matter and the attachedAffidavitsofJohn Dowd (Exhibit "A") andDennis Cheng (Exhibit "B"),Plaintiff

    Sundance Vacations, Inc. ("SundanceVacations") seeks preliminary injunctive

    reliefenforcing the terms ofthe Settlement Agreement dated February 6, 2007

    and, insupport thereof, states the following:

    1. This action arises out ofthe flagrant, contemptuous and

    continuing breach by Defendant AlbertWhitehead ofhis contractual obligation to

    refrain fromposting disparagingmessages concerning Sundance Vacations on anyinternet site or in any way disparaging SundanceVacations.

    2. In order to settle a defamation claim asserted by SundanceVacations in the United States District Court for the EasternDistrict ofPennsylvania in connectionwith Mr. Whitehead's anonymous online posts, Mr.Whitehead agreed that on February 6, 2007 he wouldnot write, construct or postor cause, assist or encourage any others towrite, construct or post any messages inany public or private forum that in any way reference Sundance Vacations. A true

    and correct copy ofthe Settlement Agreement datedFebruary 6, 2007 is attached

    asExhibit "C."

    3. In connectionwith the settlement, Mr.Whitehead admitted thathe has no information that might inany way suggest that Sundance Vacations

    engaged in fraudulent, misleading or deceptive practices and that the disparagingstatements that hemade concerning Sundance Vacations on various internet siteswere not true. (See DeclarationofAlbertWhitehead (attached to Settlement

    Agreement as Exhibit "A")ff4-5.) TheDeclaration thatMr.Whitehead signedunder penalty ofperjury pursuant to 28 U.S.C. 1746 states inpertinent part:

    I was never employed by SundanceVacations, Inc.,never had a membership inSundance Vacations, Inc. andnever attended a sales presentation at SundanceVacations, Inc. I therefore have no personal knowledgeconcerning the sales presentations at SundanceVacations, Inc. whichwere the subject ofmy postings.Nor do I have personal knowledge or informationsuggesting that SundanceVacations, Inc. has engaged inor is engaging in fraudulent, misleading, deceptive orpressure-filled sales presentations.

    4. As part ofthe settlement, Mr.Whitehead agreed that hewouldtake all reasonable and necessary steps to remove the posts that hemade and thatinjunctive reliefwouldbe appropriate to remedy any violations ofthe Settlement

    Agreement. (SeeDeclaration ofAlbertWhitehead fflf 9- 1 0.)

    5. Further,Mr.Whitehead agreed that he would never againpost

    inany public forum any messages concerning Sundance Vacations. The

    Settlement Agreement states inpertinent part:

    Whitehead agrees that hewill not write, construct orpost, or cause, assist or encourage others to write,construct or post, any e-mails, correspondence orelectronic messages on any website, message board,forum, chat room or other viewable form on theWorldWide Web, Usenet, e-mail list server or other areaof theinternet whichmentions directly or indirectly, or by

    inference, parodyorplay onwords, Sundance Vacations....Whitehead further covenants and agrees that theobligations set forth in this paragraph and theAffidavitattached hereto as Exhibit "A" are amaterial inducementfor Sundance Vacations ...to enter into this Agreementand are intended tobecome part ofthe consideration forthisAgreement. In the event ofany breach byWhiteheadofany ofthe obligations set forth in thisparagraph or theAffidavit attachedhereto as Exhibit"A," the offendedpartymay seek to enforce thisAgreement and recover damages caused by the breach . .. or may institute a separate legal proceeding to recoverdamages and other appropriate relief. . . .

    6. In addition,Mr. Whitehead agreed that hewouldnotmake anystatements in anymedium that inanyway disparageSundance Vacations. TheSettlement Agreement states inpertinent part:

    Whitehead further agrees not tomake any comments orstatements, orally or inwriting, inany medium, to anythirdparties, or to take any other actionwhichmight bedeemed retaliatory orwhich could reasonably beconstrued to adversely affect and/or disparage thepersonal and/or business reputation ofSundanceVacations ...or anyoftheir employees, agents,representatives or affiliates ....

    7. Mr. Whitehead has breached and continues to breach his

    obligations under the SettlementAgreement by administering a Facebook page

    called "Boycott SundanceVacations" and by posting and sending disparagingcommunications to regulators and business partners ofSundanceVacations. Ineach case, Mr. Whitehead uses assumed names or pseudonyms to disguise hisidentity.

    8. "Boycott Sundance Vacations" is a page that is viewable by thepublic on the Facebookplatform. As its name suggests, the page is dedicated to

    encouraging customers and business associates ofSundanceVacations to ceasedoing businesswith the company. Among other things, the "Boycott" page

    publishes false representations concerning the products offered by Sundance

    Vacations and advises readers not to do businesswith the company.

    9. The limited discovery conducted to date establishes that Mr.Whitehead is administering the "Boycott" page.

    10. On or about July 12, 2012, SundanceVacations served a

    subpoena duces tecumuponVerizonCommunications, Inc. ("Verizon") to compel

    the productionof Internet Protocol addresses1 ("IP addresses") and session logsassociatedwith internet service atMr. Whitehead's home at 842 N. 27th Street,

    Philadelphia, Pennsylvania. In response, Verizon identified the specific IPaddresses assigned to the Whitehead home and the period of time covered by each

    assignment. (True and correct copies ofthe subpoena and response thereto are

    attached as Exhibits "D" and "E," respectively.)

    1 1 . The IP session logs produced byVerizon confirm that the

    administrator ofthe "Boycott" page communicatedwith a customer ofSundance

    Vacations through email messages sent from Mr. Whitehead's home.

    12. Specifically, the "Boycott" administrator, using the name "John

    Flannagan" and an AOL email account in the name "JohnFOSOS 1 (gtaol.com."

    sent an email to the Sundance Vacations customer on August 24, 201 1 at 10:46:41

    (EDT). In the email, the "Boycott" administratormade disparaging and untrue

    statements concerning the Sundance Vacations product that the customer

    purchased and encouraged the customer to cancel her membership. (A true and

    13. The "Boycott" administrator followed upwith an emailmessage dated September 16, 2011 at 17:35:46 (EDT) againoffering to assist her

    incanceling hermembership and asking her to "spread theword amongst your

    family, friends, co-workers and other associates." (A true and correct copyofthe

    email message is attached as Exhibit "G.")

    14. As the chart below demonstrates, the IP addresses fromwhichthe emailmessages from "[email protected]" originated are the same IP

    addresses assigned by Verizon toMr.Whitehead's home:

    account to send email messages to two ofSundance Vacations' business partnersencouraging them to terminate their business relationshipwith the company.

    1 6. "JohnF0808 1 @aol.com" sent an email message torepresentatives ofthe SomersetPatriots onMarch 3 1, 201 1 identifying himself asan administratorof the "Boycott" page. In the message, "JohnF"madedisparaging and patently false representations concerning Sundance Vacations'products and business practices and attached fourMicrosoftWORD documentswhich he claimed illustrated his position. (A true and correct copy oftheMarch

    31, 201 1 message is attached as Exhibit "H.")

The PDF files identify'AlbertWhitehead" as the author and the WORD documents identify "Albert

    19. Inadministering the "Boycott" page, making disparaging postson the page, sending disparaging messages to customers andbusiness associatesofSundance Vacations and encouraging customers andbusiness associates of

    SundanceVacations to cease doing businesswith the company, Mr. Whitehead hasbreached and continues to breach his obligations under the Settlement Agreement.

    20. SundanceVacations seeks preliminary injunctive relief10

    compellingMr.Whitehead to complywith the Settlement Agreement and enjoiningfurther breaches ofhis contractual obligations.

    2 1 . SundanceVacations has suffered andwill continue to suffer

    immediate and irreparable harm as a direct result ofMr. Whitehead's unlawful acts.

    UnlessMr.Whitehead is enjoined from existing and future breaches, SundanceVacationswill continue to suffer damage and harm to its reputation and goodwill

    aswell as its customer and business relationships. These losses cannot becompensated inmoney damages.

    22. The Settlement Agreement is valid, enforceable and binding

    uponMr.Whitehead. Contrary to his assertion,Mr. Whitehead never revokedhis

    acceptance ofthe SettlementAgreement and he remains boundby its terms.6 Mr.

    6 Importantly, Mr. Whitehead never providedwritten notice toSundanceVacations'counsel by fax or hand delivery as hewas required to do inorder to effectively revoke hisacceptanceof the Settlement Agreement. (See SettlementAgreement ^ 1 l(v).) To the contrary,Mr.Whitehead sent an email to his counsel, Rufus Jennings, Esquire, with a copy to JohnDowdonMarch 7, 2007four weeks after he claims to have revoked his acceptanceof the SettlementAgreementto demandwithdrawal of theWrit ofSummons filed against himby SundanceVacations inLuzerne County. Mr.Whitehead wrote:

    As of this writing I amunawareofany documentedwithdrawal oftheWrit ofSummons number 7021 filed inLuzerneCounty on orabout June 30, 2006. Since thewithdrawal is partof the settlementagreement I request that such be documented.

    IftheWritofSummons remains active Iwill consider that to be abreachof the settlement agreement and I will respond accordingly.

    Whitehead's actions are a clear breachofthe Settlement Agreement and therefore

    SundanceVacations' right to relief is clear.

    23. Preliminary injunctive relief is necessary to restore the statusquo and is reasonably suited to abateMr. Whitehead's wrongful acts.

    24. Mr.Whiteheadwill suffer no harmwhatsoever ifthe status quois restored pending a final decision on themerits. As a result, greater injurywillresult from refusing the injunction than from granting it.

    25. SundanceVacations has no adequate remedy at law to redressthe immediate and irreparable harm and injury caused byMr. Whitehead's existing

    and continuing breaches ofhis obligations under the Settlement Agreement.

    26. Mr. Whitehead'swrongful conduct ismanifest and actionable

    and SundanceVacations' right to relief is clear.

Thewrit ofsummons was dismissed immediately thereafter.In fact, Mr. Whitehead received the full benefit ofthe bargain struck in the SettlementAgreement that he now claims to have revoked.     WHEREFORE, SundanceVacations requests that this Court enter anOrder enforcing the SettlementAgreement and preliminarilyenjoining and

    restrainingMr. Whitehead fromexisting and future breaches ofhis obligationsunder the Settlement Agreement, including, but not limited to, compelling the

    immediate discontinuanceofthe "Boycott" page and removal ofall offending andunlawful posts byMr.Whitehead on any other platform.

    JOHNDOWD, being duly sworn, hereby deposes and says:

    1 . I am the President ofSundance Vacations, Inc. ("SundanceVacations") and am authorized to make this Affidavit on its behalf.

    2. Sundance Vacations is engaged in selling travel packages tocustomers through direct sales presentations at showrooms throughoutPennsylvania.

    3. In or about September 2004, DefendantAlbertWhiteheadapplied for a position as a salesmanwith Sundance Vacations.

    4. When he was not selected for the position, Mr. Whiteheadbrought an action against, inter alia, Sundance Vacations, DowdMarketing, Inc.,Jerry Sisk ("Sisk") andmyself in theUnited StatesDistrict Court for the EasternDistrict ofPennsylvania on August 11, 2005 alleging that he was the victimofagediscrimination. Sundance Vacations and Sisk filed a counterclaim againstMr.Whitehead on February 16, 2006 to recover damages for the numerous false,defamatory and disparaging anonymous messages thatMr. Whitehead postedonline concerning Sundance Vacations and Sisk. The action is docketed atNo.05-CV-4193.

    5. The litigation in the EasternDistrict was resolved bymeans ofa Settlement Agreement dated February 6, 2007. The Settlement Agreement was

    negotiated byMr. Whitehead through his counsel, Rufus Jennings, Esquire, andwas reachedwith the assistance ofthe HonorableLegromeD. Daviswho presidedover a settlement conference on September 6, 2006 and a proceeding convened onFebruary 6, 2007 to decide Sundance Vacations' motion to compel enforcement ofthe settlement that we reached. The Settlement Agreement was finalized andsigned in JudgeDavis's courtroom on February 6, 2007.

    6. In connectionwith the settlement,Mr. Whitehead admitted

    under oath that he published statements concerning Sundance Vacations that werenot true. (SeeDeclaration ofAlbert Whitehead (attached to SettlementAgreementas Exhibit "A") ^f 4.) He further admitted that he was never employed bySundanceVacations andhas no information that in anyway suggests thatSundance Vacations engaged in fraudulent, misleading or deceptive practices. (Id1 1 5.)

    7. As amaterial part ofthe settlement,Mr.Whitehead agreed thathe would not post anymessages in any public forum that in anyway referenceSundanceVacations. (See Settlement Agreementf1 .) He also agreed that hewould not in any way disparage Sundance Vacations. (See SettlementAgreement%9.)

    8. Further, Mi-. Whitehead agreed that he would take allreasonable and necessary steps to remove his offending posts and he conceded thatentry of injunctive relief is appropriate to remedy violations ofthe SettlementAgreement. (SeeDeclarationofAlbertWhitehead fff9-10.)

    9. Mr.Whitehead has breached and continues to breach hisobligations under the Settlement Agreement by administering a site on the internet

    called "Boycott Sundance Vacations" and through othermeans, including, but notlimited to, sending false disparaging communications to regulators, businesspartners and customers ofSundance Vacations.

    1 0. "Boycott Sundance Vacations" is a page that is viewableby thepublic on the Facebookplatform. As its name suggests, the page is devoted toencouraging customers and business associates ofSundance Vacations to cease

    doing business with the company. The administratorofthe "Boycott" pagepublishes false statements about the products offered by Sundance Vacations andadvises readers not to do business with the company.

    11. On August 24, 201 1 and September 16, 201 1 , the administratorofthe "Boycott" page, an individual callinghimself"JohnFlannagan" and usinganAOL account titled [email protected], sent email messages to a customerofSundanceVacations containing false anddefamatory assertions concerning thecompany and encouraged her to cease doing business with the company. Throughdiscovery in this case, it has been confirmed that the emails originated fromMr.Whitehead's home at 842N. 27th Street, Philadelphia, Pennsylvania.

    12. In addition, "John Flannagan" sent emailmessages from the

    [email protected] address to two ofSundance Vacations' business partnersencouraging those businesses to cease doing business with Sundance Vacations.The filemetadata associatedwith the email attachments shows that "AlbertWhitehead" authored, lastmodified or last saved the documents.

    13. These breaches byMr.Whitehead have caused and continue tocause SundanceVacations tosuffer substantial and irreparable harm, including,

    but not limited to, interferencewith Sundance Vacations' customer and businessrelationships and harm to its reputation and goodwill. Customers have called tocancel theirmemberships after having visited the "Boycott" site. Other customershave canceled their appointments after reading the comments posted on the site.Manymore prospective customers havedeclinedour invitation tomake sales

    appointments. This substantial erosion in our business is a direct resultofthe"Boycott" page.

    14. Business associates ofSundance Vacations, including theSomerset Patriots and ChicagoBulls, have stopped doing business with us as aresultof the negative publicity generated by the "Boycott" page.

    15. Once relationships are affected in thismanner, it is virtually

    impossible to regain the confidence and trust ofour customers and businesspartners.

    16. The monetary loss to Sundance Vacations is staggering andcontinues to accrue. The damage to the company's reputation is unquantifiableand cannot be remedied bymoney damages.

    17. Mr. Whitehead never revoked his acceptance of the SettlementAgreement. To the contrary, he sent an email to his counsel, Rufus Jennings,Esquire, with a copy to me onMarch 7, 2007fourweeks after he claims tohave revoked his acceptance ofthe Settlement Agreementto demandwithdrawal oftheWritofSummons filed against him by Sundance Vacations inLuzerneCounty. He wrote:

    Asofthis writing I am unaware ofany documentedwithdrawal of theWrit ofSummons number 7021 filedinLuzerneCounty on or about June 30, 2006. Since thewithdrawal is part of the settlement agreement I requestthat such be documented.

    IftheWrit ofSummons remains active Iwill considerthat to be a breach ofthe settlement agreement and I willrespond accordingly.

    (See email message dated March 7, 2007 at 3:19 p.m.) The writ ofsummons was

    dismissed immediately thereafter. In fact, Mr. Whitehead received the full benefitof the bargainstrack in the Settlement Agreement that he now claims to haverevoked.

    1. I am the founderoftwobytwoSolutions, LLC, a consultingfirm that performs forensic analysis and provides litigation support.

    2. I have spentmore than fifteen years engaged in the business ofanalyzing and interpreting electronic data. A copyofmy curriculumvitae isattached hereto as Exhibit 1 .

    3. Iwas retained byMyers,Brier&Kelly, L.L.P. toreviewelectronic informationand records produced in discovery in order to identify the

    source ofcertain electronic communications.

    4. The items that I examined include two emails sent by anindividual claiming tobe "John Flannagan" using the JohnF08081 @,aol.comaddress to Becky Fabian at becky_fabian@yahoo . com.

    5. The header information in the email messages identifies theoriginating Internet Protocol address or "IP address" fromwhich the messageswere sent. IP addresses are unique numerical identifiers assigned to devicesparticipating in a computer network. Most business networks and servers usefixed, assigned IP addresses that are easily traceable. Most consumers and homeinternet access is brokered via dynamic IP addresses issued by Internet ServiceProviders ("ISP"). While also unique at any specificmoment, dynamically leasedIP addresses assigned to users can change over time. In these situations, the ISPcan associate a subscriber to an IP address during anyparticular period.

    6. The first email message that was sent by "JohnFlannagan" toBecky Fabian onAugust 24, 201 1 at 10:46:41 EDToriginated at the IP address68.163.49.135. The second emailmessage from "John Flannagan" to BeckyFabian on September 16, 201 1 at 17:35:46 EDT originated from the IP address

    68. 1 63.53.247. TheAmericanRegistry for InternetNumbers ("ARIN") indicatesthat bothof these IP addresses were controlled byVerizon Internet Services.

    7. SundanceVacations caused a subpoena to be served on

    VerizonCommunications, Inc. to identify the IP addresses assigned toAlbert

    Whitehead's home at 842 N. 27th Street, Philadelphia, Pennsylvania. In response

    to the subpoena, VerizonCommunications, Inc. produced session logs which

    demonstrate that the "John Flarmagan" emails originated from the IP addressassigned to theWhitehead home. The data is summarized as follows:

    Metadata is data embedded in electronic document files which provide contextualinformation about the file, including such things as the time ofcreation, the timeof last access,modificationand printing aswell as the identityof the creator andperson who last saved ormodified the document.

    1 1 . ThreeoftheMicrosoftWORDdocuments attached to theMarch 3 1, 201 1 email message identifyAlbertWhitehead as the userwho lastmodified or last saved the document.     WHEREAS, onAugust 11, 2005,Whiteheadcommenced an action againstSundance Vacation, DowdMarketing,Dowd and Sisk in theUnited States DistrictCourt for theEastern District ofPennsylvania docketed at No. 05-CV-4193 (hereinafter "theAction") allegingthat he was subject to discrimination on the basis ofhis age when he applied for a position atSundance Vacations;

    WHEREAS, on February 1 6, 2006, Sundance Vacations and Sisk asserted acounterclaim againstWhitehead alleging that he posted numerous false, defamatory and disparagingcomments on the internet concerningSundance Vacations and Sisk;

    WHEREAS, onJuly 27, 2006 andAugust 21, 2006, JudgeLegromeD. Davis of theUnited States District Court for the Eastern DistrictofPennsylvania OrderedWhiteheadtoallowhis produce his computer equipment for inspection by Sundance Vacations, DowdMarketing,Dowd and Sisk;

    WHEREAS,Whiteheadproduced his computer for inspection onAugust 28, 2006;

    WHEREAS, Whitehead has identified himself as the posterofvarious statements onthe internet concerning, inter alia, SundanceVacations and has agreed not to construct, write or postor cause, assist or encourage others to construct, write or post anymessages in any viewable formon theWorld WideWeb or other areaof the internet concerning Sundance Vacations,DowdMarketing, Dowd or Sisk, as more fully set forth in theAffidavit attached hereto as Exhibit "A" andexpressly made a part hereof; and

    WHEREAS, the parties desire to settle all causes ofaction and claims raised in theAction, thus discharging each other ofand from aE liability and responsibiliiy as fully set forth in thisAgreement;

    NOWTHEREFORE, the foregoingbeing incorporated herein by reference andexpressly made a part hereof, and intending to be legally bound, the parties agree as follows:

    1 . AgreementNotToPost Messages. Whitehead agrees that hewill notwrite,construct or post, or cause, assist or encourage others towrite, construct or post, any e-mails,correspondence or electronic messages on anywebsite, message board, forum, chat roomorotherviewable formon theWotldWideWeb, Usenet, e-mail list server or other area of die internetwhichmentions direcdy or indirecdy, or by inference, parody or play onwords, Sundance Vacations,DowdMarketing, Dowdor Sisk. Whitehead further covenants and agrees diat the obligations setforth in this paragraph and theAffidavit attached hereto as Exhibit "A" are a material inducementfor Sundance Vacations, DowdMarketing, Dowd and Sisk to enter into this Agreement and areintended to becomepart of the consideration for thisAgreement. In the event of any breach byWhitehead ofany ofthe obligations set forth in this paragraph or theAffidavit attached hereto asExhibit "A," the offended partymay seek to enforce thisAgreement and recover damages caused bythe breach (subject to the restrictions and limitations set forth inParagraph 5 hereof) or mayinstitute a separate legal proceeding to recover damages and other appropriate relief. Furthermore,in the eventofany breach byWhitehead ofany of obligations set forth in this paragraph or the

    Affidavit attached hereto as Exhibit "A," the release set forth inParagraph 3 hereof shall be null andvoid and ofno legal effectwhatsoever and the offended party shall be permitted to bring suit torecover damages for any and all claims thatwere the subject of the release, including any claims fordamages resulting from the internet postings that are identified in theAffidavit attached hereto as

    Exhibit "A." Finally, Whitehead acknowledges and agrees that theAffidavit attached hereto asExhibit "A" and any electronic data retrieved fromhis computer may be used in any enforcementproceeding or any subsequent action filed as a consequence of a breach of thisAgreement.

    2. General Release. Whitehead, for himselfand on behalfofhis heirs,

    executors, administrators, successors, assigns, attorneys, agents, representatives, and any personsacting by or through him, does hereby release, remise, and forever discharge Sundance Vacations,

    DowdMarketing, Dowd and Sisk, and all past, present and future officers, directors, agents,

    servants, employees, representatives, attorneys, insurers, subsidiaries, affiliates, and any and all other

    persons, firms, or corporations withwhomany of the former have been, are now, ormay hereafter

    be affiliated, ofand fromany and all causes ofaction, claims, demands, obligations, damages, costs,expenses, and compensationof any nature whatsoever, liabilities, suits ofany kind, whether basedon a tort, contract or other theoryof recovery,whichWhiteheadnow has, orwhichmay hereafter-

    accrue or otherwise be acquired on accountofall injuries or damages, knownor unknown, which

    have been ormay in the future be sustained byWhitehead as a result of any act, event, matter, cause

    or thingup toand including the date of thisAgreement, and particularly, butwithout limitation, any

    claims arising fiomor related in any way to any application for employment and any claims that

    were alleged ormight have been alleged in the Action, including, but not limited to, any claimsarising under the UnitedStates or Pennsylvania Constitutions, 42 U.S.C. 1983, TitleVIIof the

    CivilRights Actof 1 964, as amended, the Age Discrimination inEmployment Act, the Pennsylvania

    HumanRelationsAct, or any other federal, state or local statute or regulation, and any common law,

    tort or contract claims, and any claims for attorneys' fees or costs. This release on the partof

    Whitehead shall be a fully bindingand complete setdement between the parties and all parnesrepresented by or claiming through them.

    3. General Release, Sundance Vacations, DowdMarketing, Dowd and Sisk, forthemselves and on behalfof thekheirs, executors, administrators, successors, assigns, attorneys,agents, employees, representatives and any person or entityactingby or through any of them, dohereby release, remise, and forever dischargeWhitehead of and from any and all causes ofaction,claims, demands, obligations, damages, costs, expenses, and compensation of any naturewhatsoever, liabilities, suits ofany kind,whether based on a tort, contract or other theory of

    recovery,which anyof them nowhave, orwhichmay hereafter accrue or otherwise be acquired onaccountofall injuries or damages, known or unknown, which have been or may in the future besustained by himor it as a resultofany postings or statements publishedbyWhitehead on anyinternet site, including, but not limited to, the internet postings specifically identified in theAffidavitattached hereto as Exhibit "A."

    4. Dismissal ofLuzerneCountyAction. The parties further agree that thewritofsummons filed in theCourtofCommonPleas ofLuzerneCounty atNo. 7021-CV-06 shall bemarkedwithdrawn and dismissedwithout prejudice to the right of the namedplaintiffs to file a newaction for relief ifwarranted in the future.

    5. EnforcementProceedings. Theparties acknowledge and agree that, in theevent of a suspected breach byWhitehead ofhis obligations under diis Agreement, the offendedpartymay file a motion to seek enforcementof the terms of this Agreement togetherwith otherappropriate relief. In the event such a violation is established, the offended party shall be entitled torecover fromWhitehead Equidated damages in the amount of15000.00 for each provenviolation ofthe terms of this Agreement, plus recovery of the attorneys' fees and costs incurred in seeking relief.In the event a violation is not proven, the filingparty shall be obligated to reimburseWhitehead inthe amount of$1000.00, plus attorneys' fees and costs. Nothing contained herein, however, shall

    preclude any party fromcommencing a newaction in an appropriate forum to seek relief forconduct occurring in the future and the terms set forth herein shall not apply to any new action.

    6. NoFurtherApplications forEmployment. Whitehead agrees that SundanceVacations andDowdMarketing have no obligationwhatsoever to hire or employ him at any time inthe future and further agrees not to seek employment with Sundance Vacations or DowdMarketingor any affiliated entity.

    7. Attorneys' Fees. Each party hereto shall bear all attorneys' fees and costsarising from his or its actions or the actionsofhis or its counsel inconnectionwith the Action, thisAgreement, the matters and documents referred to herein and all related matters.

    8. Discontinuance of theAction. Itis expressly agreed and understood thatthe Actionshall be marked setded, discontinued and endedwith prejudice. Accordingly, counsel forthe parties will, contemporaneouswith the execution of this Agreement, execute a Stipulation ofDismissalWthPrejudice for theActiondocketed at No. 05-CV-4193 in the United States DisttictCourt for the Eastern DistrictofPennsylvania, subject to the rights ofeither party to enforce thisAgreement or the obligations set forth in theAffidavitattached hereto as Elxhibit "A."

    9. Non-Disparagement. Whitehead further agrees not to make any commentsor statements, orallyor inwriting, in anymedium, to any thirdparties, or to take any other actionwhichmight be deemed retaliatory orwhich could reasonablybe construed to adversely affectand/or disparage the personal and/or business reputation ofSundance Vacations, Dowd Marketing,Dowdor Sisk or any of their employees, agents, representatives or affiliates, includingTravel

    AdvantageNetwork or "TAN." Further, Dowd, Sisk, SundanceVacations and Dowd Marketingagree that neither they nor any of their officers or shareholders shall make any comments orstatements, orallyor inwriting, in anymedium, to any third parties, or take any other action whichmight be deemed retaliatory orwhich could reasonably be construed to adversely affect and/or

    10. Confidentiality. It is understood and agreed by and between the parties that

    meneaaon any internetate. , , ^^ ,7**ypoythe terms of this Agreement and the consideration mentioned in this Agreement are and shallremain confidential. It is expressly understood and agreed, however, that Sundance Vacations,DowdMarketing, Dowd and Sisk shall have the right to publish, reprint and make use of theAffidavit attached hereto as Exhibit "A"for any purpose, including, but not limited to, in seeking toremoveWhitehead's postings from any internet site.

    1 1 . KnowingandVoluntary WaiverofClaims. Whitehead acknowledges andagrees that, in full compliance with the Older Workers Benefit ProtectionActof 1990, 29 U.S.C. 621 et seq.:

    (i) He has read the terms of this Agreement, and he understands itsterms and effects, including the fact that he has agreed to release and forever discharge SundanceVacations, DowdMarketing, Dowd and Sisk and their agents, employees and representatives fromany liability for any claim relating to any application for employment;

    (ii) He has signed this Agreement voluntarily and knowingly in exchangefor the consideration described herein, which he acknowledges as adequate and satisfactory tohim;

    (iii) He has been advised through this document to consultwith anattorney prior to signing this Agreement and has done so;

    (iv) He has been providedwith the opportunity to consider for at leasttwenty-one (21) days whether to sign this Agreement, and he has signed on the date indicated belowafter concluding that this Agreement is satisfactory to him;

    (v) He acknowledges that he has the right to revoke this Agreement for aperiodofseven (7) days following the execution hereofby givingwritten notice todefense counselof record by fax or hand deliver}'. Exercise of this tight of revocation shall constitute a revocationof this Agreement and will void the entire Agreement between the parties;

    (vi) Neither Sundance Vacations, DowdMarketing, Dowdor Sisk noranyof their agents, representatives or attorneys have made any representations to him concerningthe terms or effects of this Agreement other than those contained herein; and

    (vii) He agrees that he has been afforded reasonable time toconsider thisAgreement, to raise concerns, ask questions and seek explanations regarding thisAgreement and toconsult with legal counsel or other persons ofhis choosing regarding the legal, financial and otherconsequences ofexecuting this Agreement and he further acknowledges and agrees that he isvoluntarily, knowingly and willfully executing thisAgreement.

    1 2. Jurisdiction. The parties agree that jurisdictionover this matter is toberetained by the Honorable LegromeD. Davis of the United States DistrictCourt for the EasternDistrict ofPennsylvania for a periodofeighteen (18) months from the date hereof for purposes ofenabling any party to apply to the Court at any time for such direction or further decree as may beappropriate for the enforcement of this Agreement or for such additional reliefas may beappropriate,

    13. Non-Assignment. Neither this Agreement nor any of the parties'respective interests, rightsor obligations shall be assignable by any party hereto, and Whitehead and

    his attorneys affirm that he has not assigned or transferred anyofhis respective interests, rights orobligations hereunder toany thirdparty.

    1 4. EntireAgreement. ThisAgreement contains the entire agreement between

    the parties with regard to the matters set forth in it and shall be binding upon and inure to thebenefitof the successors and ass igns ofeach. There are no other understandings or agreements,verbal or otherwise, between the parties except as expressly set forth in this Agreement.

    15. Legal Advice. In entering into this Agreement, each of the partiesrepresents that he, she or it has relied upon the legal adviceof his, her or its attorneys. The partiesfarther represent that the terms of this Agreement have been completely reviewed by them and thatthese terms are fullyunderstood and voluntarily accepted.

    16. Applicable Law. The parries hereto enter into thisAgreementin theCommonwealth ofPennsylvania, and this Agreement shall be construed and interpreted inaccordancewith its laws.

    17. Construction. Whitehead represents andwarrants that he and his attorneyshave reviewed this Agreement and the Affidavit attached hereto as Exhibit. "A," that they have hadthe opportunity to revise this Agreement and that thenormal ruleofconstruction to the effect thatany ambiguities are to be resolved against the drafting patty shall not be employed in theinterpretationof this Agreement.

I selected andchangedpseudonymson a frequent basis toprotect and ensuremy privacywhileguarding againsthackers.

    4. The postings that I made include statements that are accurate, andstatements that are inaccurate.

    5 . Iwas neveremployedbySundanceVacations, Inc., never had a membershipin SundanceVacations, Inc. and never attended a sales presentation at SundanceVacations, Inc.

    I thereforehavenopersonal knowledgeconcerning the sales presentations atSundanceVacations,Inc. which were the subject ofmy postings. Nor do I have personal knowledge or informationsuggesting that SundanceVacations, Inc. ha s engaged inor is engaging in fraudulent, misleading,deceptive or pressure-filled sales presentations.

    6. I havepersonally sold, vacations packages (TravelAdvantageNetwork) forVacation Savers, a companywith whomDowd Marketing was conducting business, and I havebased mypersonalopinionand beliefs onmy first-hand knowledgeof that experience, selling thatparticular product.

    7. I agree that Iwill not in the future construct, write or post, or knowinglycause, assist or encourage others to construct,writeor post, anymessages on any message boards

    or websites concerning Sundance Vacations, Inc., DowdMarketing, Inc., John Dowd or JerrySisk using any screen name or pseudonym.
