Selenium Conf 2016 CONFERENCE SPONSORSHIP AGREEMENT / POLICIES AND REGULATIONS

This form indicates the policies and regulations set forth as part of the contract forSponsorship with Selenium Conference 2016 and its organizing committee, hereinafterreferredtoasAgileFAQs.AgileFAQs reserves the sole right to render all interpretations, amend and enforce thesepolicies and regulations and to establish any and all further regulations not specificallycovered below to assure the general success and well being of the conference. AgileFAQsreserves the right to decline, prohibit, deny any sponsorship,which in its sole judgment iscontrary to the character, objectives, andbest interestsof the conferenceor suitable for itsattendeeaudience.SPONSORPAYMENTAminimumof50%mustbepaidwithin30daysofsigning.ThebalancewillbeduebyMarch1st, 2016. All agreements received after March 1st 2016 must include full payment. Sponsorshallandwillpayallcostsandexpenses,includingreasonablelawyer’sfeesandcourtcosts,incurredbyorimposeduponAgileFAQsbyvirtueofanysuchlitigation.TheExhibitorassumesallresponsibilityfortheirexhibitboothincludingtheft,accidentsandinjuries. WAIVERAgileFAQs shall not be deemed to waive any of its rights hereunder unless suchwaiver isexplicitly stated as a waiver in writing and signed by an authorized AgileFAQs organizingcommitteemember.NodelayoromissionbyAgileFAQsis inexercisinganyof itsrightshalloperateasawaiverofsuchrightsandwaiverofrightsinwritingononeoccasionshallnotbeconstruedasconsentto,orawaiverofanyrightorremedyonanyfutureoccasion.LAWYER’SFEESShouldAgileFAQsortheSponsorfinditnecessarytoemployeealawyertoenforceanyoftheprovisionsof thisagreementor toprotect inanymanner its interestor interestsunder thisagreement, the prevailing party shall be entitled to recover from the other party allreasonablecosts,charges,andexpensesincludinglawyer’sfees.SOCIALFUNCTIONS/SPECIALEVENTSAny social function or special event planned by a sponsoring organization, to take placeduringtheConference,mustbeapprovedbyAgileFAQs.OTHERREGULATIONSAnyandallmattersnot specifically coveredby theprecedingrulesandregulationsshallbesubject solely to the decision of AgileFAQs. AgileFAQs shall have full power to interpret,amend,andenforcetheserulesandregulations,providedanyamendments,whenmade,arebrought to the notice of sponsors. Each sponsor, for himself and his employees, agrees toabidebytheforegoingrulesandregulationsandbyanyamendmentsoradditionstheretoinconformancewiththeprecedingsentence.
