8. TERMINATION AN

D SUSPENSION

8.1 Without prejudice

to any rights and

remedies available t

of the Buyer in its po

8.1.2 the Buyer refuse

s to take delivery of o

r collect any of the G

oods in

accordance with the

terms of the Contract

s an event of insolven

cy as set out in clause

12;

8.1.4 the Buyer comm

its any breach of the C

ontract and either th

e breach

is not capable of rem

edy or, if the breach

is capable of remedy,

the Buyer

fails to remedy the bre

ach within 30 days of

receiving notice of th

e breach

from the Seller;

8.1.5 the Buyer refuse

s to provide any secur

ity for credit as requir

ed under

these Conditions or o

ther terms of the Con

tract; or

8.1.6 if in its absolut

e discretion the Selle

r considers the Buye

r’s credit

status to be unsatisfa

ctory.

8.2 Any termination

of the Contract (ho

wsoever occasioned)

shall not

a� ect the rights and

obligations of either p

arty which may have

accrued

prior to such termina

tion.

iry of the Contract sha

9. WARRANTIES AN

D LIABILITY

9.1 Subject to the co

nditions set out bel

ow and those condit

exclusions in the Wa

rranty Handbook (ple

ase ask the Seller for

a copy),

the Seller warrants tha

t the Goods will corre

spond with their spec

i� cation

at the time of delive

ry and will be free

from defects in mat

erial and

workmanship for the

periods set out in the

Warranty Handbook

.

9.2 � e warranty set

out in clause 9.1 is gi

ven by the Seller sub

ject to the

following conditions.

9.2.1 the Buyer shall

notify the Seller of th

e defect within 48 ho

urs of the

date of delivery (as

set out in clause 6.1)

or (where the defect

or failure

was not apparent on

reasonable inspection

) within a reasonable

time a� er

discovery of the defe

ct or failure;

9.2.2 the Seller shall

be under no liability i

n respect of any defec

t arising

from any drawing, de

sign or speci� cation s

upplied by the Buyer

n respect of any defec

from fair wear and

tear, wilful damage,

negligence, abnorma

l working

conditions, failure to

follow the Seller’s in

structions (whether o

ral or in

writing), misuse or al

teration or repair of

the Goods without th

any other warranty, co

ndition or guarantee)

if the total price for t

he Goods

has not been paid by

the due date for paym

ent;

9.2.5 any Goods allege

le to the

Seller for inspection an

d, if so required by the

Seller, are promptly r

eturned

at the Buyer’s risk and

expense to the Seller

for inspection.

9.3 � e warranty und

er clause 9.1 does no

t extend to parts, mat

erials or

equipment not manu

factured by the Selle

r, in respect of which

the Buyer

shall only be entitled t

o the bene� t of any s

uch warranty or guara

ntee as is

given by the manufac

turer to the Seller.

9.4 Subject as expre

ssly provided in thes

e Conditions, all wa

rranties,

conditions or implie

d terms are excluded

to the fullest extent

permitted

by law.

9.5 Where the partie

s agree that the Selle

r will transport the G

oods in

accordance with clau

se 6.1, the Buyer shal

l inspect the Goods o

n delivery

and notify the Seller

of any defects withi

n 48 hours. If the B

uyer does

not notify the Seller

in accordance with

this clause 9.5, the B

uyer shall

not be entitled to rej

ect the Goods and th

e Seller shall have no

liability

for such defect.

9.6 Where any valid c

laim in respect of any

of the Goods which

is based

on any defect in the

quality or condition

of the Goods or their

failure to

meet their speci� cati

on is noti� ed to the

Seller in accordance

with these

Conditions, the Selle

r shall either replace

the a� ected Goods (o

r part) free

of charge or shall, at t

he Seller’s sole discre

tion, refund the Buye

r the price

of the a� ected Good

s and the Seller shall

have no further liabil

ity to the

Buyer.

9.7 � e Buyer undert

akes to ensure that a

ny guarding to the G

oods will

not be removed or ch

anged without the wr

itten consent of the S

eller and

if such guarding is re

moved without such

consent of the Seller

the Seller

will not be liable for a

ny injury which may o

ccur and further if the

Goods

are used prior to bein

g guarded by the Selle

r the Seller will not be

liable for

any injury which ma

y occur.

9.8 Except in respec

t of death or persona

l injury caused by th

e Seller’s

negligence, the Selle

r shall not be liable

to the Buyer by reas

on of any

representation (other

than fraudulent misr

epresentation), or an

y implied

warranty, condition o

r other term, or any

duty at common law, o

r under

the express terms of

the Contract, for any

loss of pro� t, busines

s, revenue,

contracts, costs, expe

nses or consequentia

l or indirect loss or d

amage or

claims for consequen

tial compensation wh

atsoever (and whethe

r caused

by the negligence of t

he Seller, its employee

s or agents or otherw

ise) which

arise out of or in con

nection with the sup

ply of the Goods or

their use

or resale by the Buye

r, except as expressly

provided in these Co

nditions.

9.9 Subject to clause 9

.8, the maximum liab

ility of the Seller for

all claims

in connection with th

e Contract shall be li

mited to the price pai

d by the

Seller for the Goods.

10. FORCE MAJEURE

10.1 � e Seller shall

not be liable to the B

uyer or be deemed t

o be in

breach of the Contrac

t by reason of any dela

y in performing, or an

y failure

to perform, any of th

e Seller’s obligations

in relation to the Go

ods, if the

delay or failure was d

ue to any cause beyon

d the Seller’s reasonab

le control.

Without prejudice to

the generality of the f

oregoing, the followin

g shall be

regarded as causes be

yond the Seller’s reaso

nable control:

10.1.1 Act of God, ex

plosion, � ood, tempes

t, � re or accident;

10.1.2 War or threat

of war, sabotage, insu

rrection, civil disturb

ance or

requisition;

10.1.3 Acts, restrictio

ns, regulations, bye-l

aws, prohibitions or

measures

of any kind on the

part of any governm

ental, parliamentary

or local

authority;

10.1.4 Import or expo

rt regulations or emba

rgoes;

10.1.5 Strikes, lock-

outs or other indust

rial actions or trade

disputes

(whether involving e

mployees of the Seller

or of a third party);

10.1.6 Di� culties in

obtaining raw mat

erials, labour, fuel,

parts or

machinery;

10.1.7 Power failure o

r breakdown in machi

nery

11. INDEMNITY

11.1 If any claim is m

ade against the Buye

r that the Goods inf

ringe or

that their use or resale

infringes the patent,

copyright, design, tr

ade mark

or other industrial o

r intellectual propert

y rights of any othe

r person,

the Seller shall indem

nify the Buyer again

st all loss, damages, c

osts and

expenses awarded ag

ainst or incurred by th

e Buyer in connection

with the

claim, or paid or agre

ed to be paid by the B

uyer in settlement of

the claim,

provided that:

Buyer receives notic

claim;

11.1.2 � e Seller is giv

en full control of any

proceedings or negoti

ations in

connection with any s

uch claim;

11.1.3 � e Buyer doe

s not prejudice the Se

ller’s defence of any su

ch claim;

ll give the Seller all

reasonable assistance

for the

purposes of any such

proceedings or negoti

ations;

11.1.5 Except pursuan

t to a � nal award, the

Buyer shall not pay o

r accept

any such claim, or co

mpromise any such p

roceedings without th

e consent

of the Seller, such con

14. GENERAL

the Buyer shall hold the Goods as the Seller’s � duciary agent and bailee,

and shall keep the Goods separate from those of the Buyer and third

parties and properly stored, protected and insured and identi� ed as the

Seller’s property. � e Buyer shall be entitled to resell or use the Goods in

the ordinary course of its business, but shall account to the Seller for the

proceeds of sale or otherwise of the Goods, whether tangible or intangible,

including insurance proceeds, and shall keep all such proceeds separate

from any moneys or property of the Buyer and third parties and, in the

case of tangible proceeds, properly stored, protected and insured.

7.4 Until such time as the property in the Goods passes to the Buyer (and

provided the Goods are still in existence and have not been resold), the

Seller shall be entitled at any time to require the Buyer to deliver up the

Goods to the Seller and, if the Buyer fails to do so forthwith, to enter upon

any premises owned, rented or used by the Buyer or any third party where

the Goods are stored and repossess the Goods without being liable for any

damage caused by so doing (provided the Seller uses reasonable e� orts to

minimise any damage).7.5 � e Buyer shall not be entitled to pledge or in any way charge by way of

security for any indebtedness any of the Goods which remain the property

of the Seller. If the Buyer does so in breach of this clause 7.5, all moneys

owing by the Buyer to the Seller shall (without prejudice to any other right

or remedy of the Seller) forthwith become due and payable.

8. TERMINATION AND SUSPENSION

8.1 Without prejudice to any rights and remedies available to it, the

Seller shall be entitled, forthwith on written notice to the Buyer, either to

terminate wholly or in part the Contract and/or any other contract with

the Buyer or to withhold performance of all or any of its obligations under

the Contract and/or any other contract with the Buyer and on the giving

of such notice all moneys outstanding from the Buyer to the Seller shall

become immediately due and payable if:-

8.1.1 any sum owing to the Seller from the Buyer on any account

whatsoever shall be unpaid a� er the due date for payment (in which event

the Seller shall have a general lien for any such sum on all and any property

of the Buyer in its possession);

8.1.2 the Buyer refuses to take delivery of or collect any of the Goods in

accordance with the terms of the Contract;

8.1.3 the Buyer su� ers an event of insolvency as set out in clause 12;

8.1.4 the Buyer commits any breach of the Contract and either the breach

is not capable of remedy or, if the breach is capable of remedy, the Buyer

fails to remedy the breach within 30 days of receiving notice of the breach

from the Seller;8.1.5 the Buyer refuses to provide any security for credit as required under

these Conditions or other terms of the Contract; or

8.1.6 if in its absolute discretion the Seller considers the Buyer’s credit

status to be unsatisfactory.

8.2 Any termination of the Contract (howsoever occasioned) shall not

a� ect the rights and obligations of either party which may have accrued

prior to such termination.

8.3 � e provisions of the Contract which are expressly or impliedly

intended to survive the termination or expiry of the Contract shall survive

such termination.9. WARRANTIES AND LIABILITY

9.1 Subject to the conditions set out below and those conditions and

exclusions in the Warranty Handbook (please ask the Seller for a copy),

the Seller warrants that the Goods will correspond with their speci� cation

at the time of delivery and will be free from defects in material and

workmanship for the periods set out in the Warranty Handbook.

9.2 � e warranty set out in clause 9.1 is given by the Seller subject to the

following conditions.9.2.1 the Buyer shall notify the Seller of the defect within 48 hours of the

date of delivery (as set out in clause 6.1) or (where the defect or failure

was not apparent on reasonable inspection) within a reasonable time a� er

discovery of the defect or failure;

9.2.2 the Seller shall be under no liability in respect of any defect arising

from any drawing, design or speci� cation supplied by the Buyer;

9.2.3 the Seller shall be under no liability in respect of any defect arising

from fair wear and tear, wilful damage, negligence, abnormal working

conditions, failure to follow the Seller’s instructions (whether oral or in

writing), misuse or alteration or repair of the Goods without the Seller’s

approval;9.2.4 the Seller shall be under no liability under the above warranty (or

any other warranty, condition or guarantee) if the total price for the Goods

has not been paid by the due date for payment;

9.2.5 any Goods alleged to be defective are promptly made available to the

Seller for inspection and, if so required by the Seller, are promptly returned

at the Buyer’s risk and expense to the Seller for inspection.

9.3 � e warranty under clause 9.1 does not extend to parts, materials or

equipment not manufactured by the Seller, in respect of which the Buyer

shall only be entitled to the bene� t of any such warranty or guarantee as is

given by the manufacturer to the Seller.

9.4 Subject as expressly provided in these Conditions, all warranties,

conditions or implied terms are excluded to the fullest extent permitted

by law.9.5 Where the parties agree that the Seller will transport the Goods in

accordance with clause 6.1, the Buyer shall inspect the Goods on delivery

and notify the Seller of any defects within 48 hours. If the Buyer does

not notify the Seller in accordance with this clause 9.5, the Buyer shall

not be entitled to reject the Goods and the Seller shall have no liability

for such defect.9.6 Where any valid claim in respect of any of the Goods which is based

on any defect in the quality or condition of the Goods or their failure to

meet their speci� cation is noti� ed to the Seller in accordance with these

Conditions, the Seller shall either replace the a� ected Goods (or part) free

of charge or shall, at the Seller’s sole discretion, refund the Buyer the price

of the a� ected Goods and the Seller shall have no further liability to the

Buyer.9.7 � e Buyer undertakes to ensure that any guarding to the Goods will

not be removed or changed without the written consent of the Seller and

if such guarding is removed without such consent of the Seller the Seller

will not be liable for any injury which may occur and further if the Goods

are used prior to being guarded by the Seller the Seller will not be liable for

any injury which may occur.

9.8 Except in respect of death or personal injury caused by the Seller’s

negligence, the Seller shall not be liable to the Buyer by reason of any

representation (other than fraudulent misrepresentation), or any implied

warranty, condition or other term, or any duty at common law, or under

the express terms of the Contract, for any loss of pro� t, business, revenue,

contracts, costs, expenses or consequential or indirect loss or damage or

claims for consequential compensation whatsoever (and whether caused

by the negligence of the Seller, its employees or agents or otherwise) which

arise out of or in connection with the supply of the Goods or their use

or resale by the Buyer, except as expressly provided in these Conditions.

9.9 Subject to clause 9.8, the maximum liability of the Seller for all claims

in connection with the Contract shall be limited to the price paid by the

Seller for the Goods.10. FORCE MAJEURE

10.1 � e Seller shall not be liable to the Buyer or be deemed to be in

breach of the Contract by reason of any delay in performing, or any failure

to perform, any of the Seller’s obligations in relation to the Goods, if the

delay or failure was due to any cause beyond the Seller’s reasonable control.

Without prejudice to the generality of the foregoing, the following shall be

regarded as causes beyond the Seller’s reasonable control:

10.1.1 Act of God, explosion, � ood, tempest, � re or accident;

10.1.2 War or threat of war, sabotage, insurrection, civil disturbance or

requisition;10.1.3 Acts, restrictions, regulations, bye-laws, prohibitions or measures

of any kind on the part of any governmental, parliamentary or local

authority;10.1.4 Import or export regulations or embargoes;

10.1.5 Strikes, lock-outs or other industrial actions or trade disputes

(whether involving employees of the Seller or of a third party);

10.1.6 Di� culties in obtaining raw materials, labour, fuel, parts or

machinery;10.1.7 Power failure or breakdown in machinery

11. INDEMNITY11.1 If any claim is made against the Buyer that the Goods infringe or

that their use or resale infringes the patent, copyright, design, trade mark

or other industrial or intellectual property rights of any other person,

the Seller shall indemnify the Buyer against all loss, damages, costs and

expenses awarded against or incurred by the Buyer in connection with the

claim,
