1.1 Overview

Innovation(DII)issolicitingcompetitivesealed,fixedpriceproposals(Proposals)foritsPrimary
DataCenter
Colocation
Services
(the
Work)
from
qualified
offerors.
If
asuitable
offer
is
made
in
responsetothisRequestforProposal(RFP),theDepartmentofInformationandInnovationmay
enterintoacontract(theContract)tohavetheselectedofferor(theContractor)performallor
partoftheWork. ThisRFPprovidesdetailsonwhatisrequiredtosubmitaProposalinresponse
tothisRFP,howDIIwillevaluatetheProposals,andwhatwillberequiredoftheContractorin
performingtheWork.
ThisisaRequestforCompetitiveSealedProposals(RFP)toprequalifyvendorswhocanperform
theservicedescribedinSection3ofthisRFP.
Structureand
Scope
of
RFP: DII
is
seeking
proposals
for
primary
data
center
colocation
space.
TheStateofVermontisoneofthelargestdatacenterconsumersintheStateandislookingto
consolidateitsPrimaryDataCenterintoonecolocationfacilityinMontpelier,VTareaby
developingalongtermrelationshipwithawellqualifieddatacenterprovider. DIIisnotcurrently
seekingmanagedservicesproposalsaspartofthescopeofthisRFP.
ObjectiveofRFP:
Identifyawellqualifieddatacenterprovidercapableofprovidinglongterm,secured,reliable,
andcosteffectivedatacentercollocationservicesintheMontpelier,VTarea.
DepartmentBackgroundandPhilosophy:
TheDepartmentofInformationandInnovationwascreatedin2003toprovidedirectionand
oversightforallactivitiesdirectlyrelatedtoinformationtechnologywithinstategovernment,
includingtelecommunicationsservices,informationtechnologyequipment,software,
accessibility,andnetworksinstategovernment.TheCIOandCommissionerofDIIhave
broadauthoritytomeetthegoalsofthedepartmentasestablishedbystatuteandpolicy.
ItistheresponsibilityofDIItoensurethecontinueddeliveryofITsystemsthatarescalable,
interoperable,sustainableandsecurethroughoutstategovernment.
CompatibilitywithStateStandardsandexistingTechnology:
ItisassumedthatstateandfederalrequirementswithregardstoIRS1075,HIPAA,FISMAetc.can
bemet.Thestateanticipateshavingaccesstoauditablelogsforfacilityaccessandwillbe
includedinconfigurationandchangemanagementprocessesdeemedapplicabletostatebusiness
orservicelevelagreementwithvendor.

CurrentBusinessEnvironment:
Asinformationtechnologiesthatdelivergoodbusinessvaluecontinuetoexpand,sowilltheneed
forthesetechnologiestoremainavailableandresilient. Overthepastseveralyearsthedirection
toserviceorientallfacetsofinformationtechnologyhascontinuedtogrowwithadvancementsin
interoperability,networkthroughputandcloudservicedelivery.
TheState
has
not
kept
pace
with
adequate
Data
Center
facilities
and
continues
to
suffer
from
true
datacenterexpertise. Aswecontinuetoconsolidatedatacenters,dataroomsandclosets,it
becomesmorecriticaltoestablishabestinclassdatacentercapacityandprocesses.Leveraging
datacentercapacityinacolocationfashionisthoughttobethemostefficientandeffectiveway
todeliverbetterdatacenterservicesforallstatesystemsnowandinthefuture.
AswecontinuetoconsolidatephysicalequipmentandestablishamorerobustVirtualizedFirst
Policythroughoutthestate,ourphysicalspaceandpowerrequirementswillpeakinorabout
2013. Itisassumedthatthiscapacitywillstarttoreduceafterthatoverthenext510yearsas
morecloudbasedsolutionsSoftwareasaService,PlatformasaServicemature. Forthese
reasons,theStateislookingatdatacenterhostingsolutionsthatcanscaleupanddownas
needed.

3 TechnicalResponse
3.1 ContractorRFPResponseRequirementsandResponsibilities
Contractorshallprepareandsubmitproposalsinaccordancewithallrequirementsidentifiedin
thisRFP. TheStateofVermontretainstherighttorejectanyproposalifitdoesnotconformto
thestatedrequirements. BysubmittingaproposalinresponsetothisRFP,Contractoragreesto
beboundbyandtocomplywiththetermsandconditionsincludedherein. Anyexceptionsshall
beclearlyandexplicitlyidentifiedintheRFPresponse. RFPresponseswillincludeallinformation
requiredby
this
RFP
along
with
any
additional
data,
references,
literature,
prints
and/or
design
documentationthattheContractorbelievesispertinenttotheevaluationofContractors
proposal.
ByelectingtorespondtothisRFP,Contractorrepresentsthatithasthecapabilities,fiscalmeans,
personnel,andavailabilitynecessarytoprovidetherequiredservicestotheStateofVermont. The
StateofVermontretainstherighttoverifyallinformationsubmittedbytheContractorand
submissionofanRFPresponsebyContractorwillconstituteContractorsauthorizationtothe
StateofVermonttopursuesuchverification. CostsproposedbytheContractorareexpectedto
beinclusiveofallcostsnecessarytoperformservicesandprovideproductsrequiredbytheRFP,
including(butnotlimitedto),assets,overhead,subcontractcosts,maintenancecosts,licensing,
staffing,cost
of
facilities,
and
cost
of
construction.
3.2 PrimaryDataCenterColocationServicesOverview
TheStateofVermonthasoutlinedthefollowingoverviewoftheirdatacenterrequirements:
TheStateofVermontDepartmentofInformationandInnovation(DII)seekstoconsolidateits
primarydatacenterfunctionalityinto1(one)highlyavailableandhighlysecuredatacenterin
Montpelier,VTarea. Indoingso,TheStateseekstoenterintoarelationshipwithahighlyqualified,
experienceddatacenterprovidertosupporttheconsolidationandlongtermdatacenter
operationsofTheState.
Throughthisevaluation,TheStatewillconsiderprovidersofferingexistingdatacenterspaces
and/ornewlyproposedtobeconstructeddatacenterfacilitiesthatmeettherequirementsset
forthinthisRFP. Alldatacenterfacilities,existingorproposed,willbeevaluatedbasedonthe
ContractorsandthefacilitysabilitytomeetTheStatesrequirements.
Inevaluationofanyproposalsofdatacenterfacilitiesthatrequireconstruction,regardlessofsize,

3.3 FacilityRequirements - PrimaryDataCenterColocationServices
TheStateseeksadatacenterfacilitythatmeetsthefollowingrequirements. Therequirementsset

descriptionsoftheirdatacenterfacilityinSection4ofthisRFP.
3.3.1 GeographyTheStateseeksadatacenterfacilityinMontpelier,VT.area
3.3.2 SecurityTheStateseeksadatacenterfacilitythatishighlysecurewithseparatelevelsand
multiplepointsofauthentication.
3.3.3 AccessThe
State
requires
24/7/365
access
to
the
data
center
facility.
3.3.4 DedicatedSpaceandDataSecurityTheStaterequiresadedicatedsuitefortheirdatacenter. Thesuiteshallbe
separatelysecuredwithelectronicaccess. Allcabinetslocatedinsidethesuiteshall
beindependentlysecured.
3.3.5 RacksandITLoadTheStaterequiresdatacenterspaceintheirdedicatedsuitefor30contiguousracks
onday1,withtheavailabilitytoadd15additionalITracksinthefuture. Thetotal
anticipated
IT
load
at
full
build
out
is
estimated
between
250kW
500kW.
3.3.6 AvailabilityTheStateseeksahighavailabilitydatacenterfacilitythatoffersredundancyincritical
infrastructures,including(butnotlimitedto):mechanical,electrical,
telecommunications.
3.3.7 EnergyEfficiencyTheStateseeksahighlyefficientdatacenterfacilitythatleveragesinnovative
technologyandfavorableenvironmentalconditionsinMontpelier,VTareatoreduce
energyconsumptioninthedatacenter.
3.3.8 Enclosure&FinishesTheStaterequiresawelldesignedandconstructed,industrycompliantdatacenter
envelopewithappropriatelyselectedmaterialsforflooring,paints,ceilings,etcthat
areconsistentwithindustrystandardsandbestpractices.

3.5.12 RelevantExperience please describe your history and experience in working withclients similar to The State of Vermont.
3.5.13 FinancialStatementsThe offeror shall provide financial information in such a mannerthat the State can reasonably formulate a determination about the stability and financial
strength of the organization. This must include but not be limited to company size,
organization, date of incorporation, ownership, number of employees, revenues for the
last fiscal year, and, if available, audited financial statements for the most recent 3 years.
A current Dun and Bradstreet Report that includes a financial analysis of the firm would
fulfill this requirement. An offeror can use an Annual Report as verification of financial
status provided it contains at a minimum a Compiled Income Statement and Balance
Sheet verified by a Certified Public Accounting firm. The State reserves the right tocontact the accounting firm if questions arise. As an alternative, for those offerors unable
to provide audited financial statements or Dun and Bradstreet report, the offeror shall
provide tax returns and financial statements including income statements and balance
sheets for the most recent 3 years, and any available credit reports.
3.5.14 Litigation Disclose any and all judgments, pending or expected litigation, or other realpotential financial reversals, which might materially affect the viability or stability of the
offerors organization; or certify that no such condition is known to exist. Please also
indicate if any of such litigation was filed by a customer.

3.5.15 Certifications Please list any existing certifications that your company has (SAS 70, ISO,PCI, etc). If any certifications are planned, please indicate which certifications are
planned and the proposed timetable for completion of each.
3.5.16 InformationSecurity Please describe, in detail, your internal process for informationsecurity and ensuring the information security of your customers. Include information on
policies, processes, and standards and how staff is screened for potential security risks.
Describe how this policy is monitored and enforced within your organization.
3.5.17 Ingress/EgressPlease describe your demark of both internet and SOV WANingress/egress as it relates to your access control and multi tenancy usage. When these
connectivity points enter your facility, how do they get terminated into State of Vermont
dedicated colocation area? Who completes the termination?
3.5.18 DisasterRecover Please describe your ability to respond to disasters and unplannedevents resulting in outages to data center services.

5 GeneralTermsandConditions:
5.1 NonCommitment
TheStatereservestherighttomakeanyawardornoawardasitdeterminesbestsatisfiesthe

vendorsresponse,willbedraftedasrequirementsofthecontract.Thiscontractwillbesubjectto
reviewthroughoutitsterm.PLEASENOTETHATTHESTATEWILLNOTACCEPTTHEVENDORS

5.4 TermsandConditionsforTechnologyContracts
TheStatewillconsidercancellationupondiscoverythatavendorisinviolationofanyportionof
theagreement,includinganinabilitybythevendortoprovidetheproducts,support,and/or
serviceofferedintheirresponse.Thestatereservestherighttopurchasehardwareorsoftware
recommendedinthevendorsproposalfromanystatecontractinforce.

renew

bid.

5.5 PerformanceMeasures
InaccordancewithcurrentStateofVermontpolicyandprocedures,thecontractmayinclude
vendorperformancemeasures.Thespecificperformancemeasureswillbedeterminedduringthe
contractnegotiationprocess.

bids,inwholeorinpart,withorwithoutcause,andtowaivetechnicalitiesinsubmissions.The
Statealsoreservestherighttomakepurchasesoutsideoftheawardedcontractswhereitis
deemedinthebestinterestoftheState.
5.10 Taxes
Moststatepurchasesarenotsubjecttofederalorstatesalesorexcisetaxesandmustbeinvoiced
taxfree. Anexemptioncertificatewillbefurnisheduponrequestcoveringtaxableitems. The
contractoragreestopayallVermonttaxeswhichmaybedueasaresultofthisorder. Iftaxesare
tobeappliedtothepurchaseitwillbesonotedintheresponse.
5.11 OrderofPrecedence
TheorderofprecedencefordocumentationwillbetheStateofVermontStandardContractForm
andattachments,thebiddocumentandanyamendments,andthevendorsresponseandany
amendments.
5.12 SpecificationChange
AnychangesorvariationsinthespecificationsmustbereceivedinwritingfromtheOfficeof
Purchasing&Contracting.Verbalinstructionsorwritteninstructionsfromanyothersourceare
nottobeconsidered.
5.13 Amendments
Nochanges,modifications,oramendmentsinthetermsandconditionsofthiscontractshallbe
effectiveunlessreducedtowriting,numbered,andsignedbythedulyauthorizedrepresentative
ofthe
State
and
Contractor.
5.14 NonCollusion
TheStateofVermontisconsciousofandconcernedaboutcollusion. Itshouldthereforebe
understoodbyallthatinsigningbidandcontractdocumentstheyagreethatthepricesquoted
havebeenarrivedatwithoutcollusionandthatnopriorinformationconcerningthesepriceshas
beenreceivedfromorgiventoacompetitivecompany. Ifthereissufficientevidencetowarrant

relevantforensuringthatthedecisionmadeisinthebestinterestoftheStateofVermont. Inthe

1.EntireAgreement:ThisAgreement,whetherintheformofaContract,StateFundedGrant,or
FederallyFundedGrant,representstheentireagreementbetweenthepartiesonthesubject
matter.Allprioragreements,representations,statements,negotiations,andunderstandings
shallhave
no
effect.
2.ApplicableLaw:ThisAgreementwillbegovernedbythelawsoftheStateofVermont.
3.Definitions:ForpurposesofthisAttachment,PartyshallmeantheContractor,Granteeor
Subrecipient,withwhomtheStateofVermontisexecutingthisAgreementandconsistentwith
theformoftheAgreement.
4.Appropriations:IfthisAgreementextendsintomorethanonefiscalyearoftheState(July1
toJune30),andifappropriationsareinsufficienttosupportthisAgreement,theStatemay
cancelattheendofthefiscalyear,orotherwiseupontheexpirationofexistingappropriation
authority.InthecasethatthisAgreementisaGrantthatisfundedinwholeorinpartbyfederal
funds,andintheeventfederalfundsbecomeunavailableorreduced,theStatemaysuspendor
cancelthis
Grant
immediately,
and
the
State
shall
have
no
obligation
to
pay
Subrecipient
from
Staterevenues.
5.NoEmployeeBenefitsForParty:ThePartyunderstandsthattheStatewillnotprovideany
individualretirementbenefits,grouplifeinsurance,grouphealthanddentalinsurance,vacation
orsickleave,workerscompensationorotherbenefitsorservicesavailabletoStateemployees,
norwillthestatewithholdanystateorfederaltaxesexceptasrequiredunderapplicabletax
laws,whichshallbedeterminedinadvanceofexecutionoftheAgreement.TheParty
understandsthatalltaxreturnsrequiredbytheInternalRevenueCodeandtheStateof
Vermont,includingbutnotlimitedtoincome,withholding,salesanduse,androomsandmeals,
mustbefiledbytheParty,andinformationastoAgreementincomewillbeprovidedbythe
StateofVermonttotheInternalRevenueServiceandtheVermontDepartmentofTaxes.
6.Independence,
Liability:
The
Party
will
act
in
an
independent
capacity
and
not
as
officers
or
employeesoftheState.
ThePartyshalldefendtheStateanditsofficersandemployeesagainstallclaimsorsuitsarising
inwholeorinpartfromanyactoromissionofthePartyorofanyagentoftheParty.TheState
shallnotifythePartyintheeventofanysuchclaimorsuit,andthePartyshallimmediately
retaincounselandotherwiseprovideacompletedefenseagainsttheentireclaimorsuit.
AfterafinaljudgmentorsettlementthePartymayrequestrecoupmentofspecificdefensecosts
andmayfilesuitinWashingtonSuperiorCourtrequestingrecoupment.ThePartyshallbe
entitledtorecoupcostsonlyuponashowingthatsuchcostswereentirelyunrelatedtothe
defenseofanyclaimarisingfromanactoromissionoftheParty.
ThePartyshallindemnifytheStateanditsofficersandemployeesintheeventthattheState,its
officersoremployeesbecomelegallyobligatedtopayanydamagesorlossesarisingfromany
actoromissionoftheParty.
7.Insurance:BeforecommencingworkonthisAgreementthePartymustprovidecertificatesof

insurancetoshowthatthefollowingminimumcoveragesareineffect.Itistheresponsibilityof
thePartytomaintaincurrentcertificatesofinsuranceonfilewiththestatethroughthetermof
theAgreement.Nowarrantyismadethatthecoveragesandlimitslistedhereinareadequateto
coverandprotecttheinterestsofthePartyforthePartysoperations.Thesearesolely
minimumsthathavebeenestablishedtoprotecttheinterestsoftheState.
WorkersCompensation:Withrespecttoalloperationsperformed,thePartyshallcarryworkerscompensationinsuranceinaccordancewiththelawsoftheStateofVermont.
GeneralLiabilityandPropertyDamage:Withrespecttoalloperationsperformedunderthe

9.RequirementtoHaveaSingleAudit:InthecasethatthisAgreementisaGrantthatisfunded
inwholeorinpartbyfederalfunds,andifthisSubrecipientexpends$500,000ormorein
federalassistance

its
fiscal
year,
the
Subrecipient
is
required
to
have
asingle
audit

within9months.Ifasingleauditisnotrequired,theSubrecipientwillsubmittheScheduleof
FederalExpenditureswithin45days.TheseformswillbemailedtotheSubrecipientbythe
DepartmentofFinanceandManagementneartheendofitsfiscalyear.Theseformsarealso

10.RecordsAvailableforAudit:ThePartywillmaintainallbooks,documents,payrollpapers,
accountingrecordsandotherevidencepertainingtocostsincurredunderthisagreementand
make
them
available
at
reasonable
times
during
the
period
of
the
Agreement
and
for
three
yearsthereafterforinspectionbyanyauthorizedrepresentativesoftheStateorFederal
Government.Ifanylitigation,claim,orauditisstartedbeforetheexpirationofthethreeyear
period,therecordsshallberetaineduntilalllitigation,claimsorauditfindingsinvolvingthe
recordshavebeenresolved.TheState,byanyauthorizedrepresentative,shallhavetherightat
allreasonabletimestoinspectorotherwiseevaluatetheworkperformedorbeingperformed
underthisAgreement.
11.FairEmploymentPracticesandAmericanswithDisabilitiesAct:Partyagreestocomplywith
therequirementofTitle21V.S.A.Chapter5,Subchapter6,relatingtofairemploymentpractices,
tothefullextentapplicable.Partyshallalsoensure,tothefullextentrequiredbytheAmericans
withDisabilitiesActof1990,asamended,thatqualifiedindividualswithdisabilitiesreceive
equitableaccess
to
the
services,
programs,
and
activities
provided
by
the
Party
under
this
Agreement.Partyfurtheragreestoincludethisprovisioninallsubcontracts.
12.SetOff:TheStatemaysetoffanysumswhichthePartyowestheStateagainstanysumsdue
thePartyunderthisAgreement;provided,however,thatanysetoffofamountsduetheStateof
Vermontastaxesshallbeinaccordancewiththeproceduresmorespecificallyprovided
hereinafter.
13.TaxesDuetotheState:
a. Partyunderstandsandacknowledgesresponsibility,ifapplicable,for
compliancewithStatetaxlaws,includingincometaxwithholdingforemployees
performingservices
within
the
State,
payment
of
use
tax
on
property
used
withintheState,corporateand/orpersonalincometaxonincomeearned
withintheState.
b. Partycertifiesunderthepainsandpenaltiesofperjurythat,asofthedatethe
Agreementissigned,thePartyisingoodstandingwithrespectto,orinfull

withrespecttoorinfullcompliancewithaplantopayanyandalltaxesdueto
theStateofVermont.
d. PartyalsounderstandstheStatemaysetofftaxes(andrelatedpenalties,
interestandfees)duetotheStateofVermont,butonlyifthePartyhasfailedtomakeanappealwithinthetimeallowedbylaw,oranappealhasbeentaken
andfinallydeterminedandthePartyhasnofurtherlegalrecoursetocontest
theamountsdue.
14.ChildSupport:(ApplicableifthePartyisanaturalperson,notacorporationorpartnership.)
Partystatesthat,asofthedatetheAgreementissigned,he/she:
a. isnotunderanyobligationtopaychildsupport;or
b. isundersuchanobligationandisingoodstandingwithrespecttothat
obligation;or.
c.
has
agreed
to
a
payment
plan
with
the
Vermont
Office
of
Child
Support
Services
andisinfullcompliancewiththatplan.
Partymakesthisstatementwithregardtosupportowedtoanyandallchildrenresiding
inVermont.Inaddition,ifthePartyisaresidentofVermont,Partymakesthisstatement
withregardtosupportowedtoanyandallchildrenresidinginanyotherstateor
territoryoftheUnitedStates.
15.SubAgreements:Partyshallnotassign,subcontractorsubgranttheperformanceofhis
AgreementoranyportionthereoftoanyotherPartywithoutthepriorwrittenapprovalofthe
State.Partyalsoagreestoincludeinallsubcontractorsubgrantagreementsataxcertificationin
accordance
with
paragraph
13
above.
16.NoGiftsorGratuities:Partyshallnotgivetitleorpossessionofanythingofsubstantial
value(includingproperty,currency,traveland/oreducationprograms)toanyofficeror
employeeoftheStateduringthetermofthisAgreement.
17.Copies:AllwrittenreportspreparedunderthisAgreementwillbeprintedusingbothsidesof
thepaper.
18.CertificationRegardingDebarment:Partycertifiesunderpainsandpenaltiesofperjurythat,
asofthedatethatthisAgreementissigned,neitherPartynorPartysprincipals(officers,
directors,owners,orpartners)arepresentlydebarred,suspended,proposedfordebarment,
declaredineligibleorexcludedfromparticipationinfederalprogramsorprogramssupportedin
wholeorinpartbyfederalfunds.

1.StatementofRights:TheStateofVermontreservestherighttoobtainclarificationoradditional
informationnecessarytoproperlyevaluateaproposal.Vendorsmaybeaskedtogiveaverbal

Failure
of
vendor
to
respond
to
arequest
for
additional
informationorclarificationcouldresultinrejectionofthatvendor'sproposal.Tosecureaprojectthatis
deemedtobeinthebestinterestoftheState,the
Statereservestherighttoacceptorrejectanyandallbids,inwholeorinpart,withorwithoutcause,and
towaivetechnicalitiesinsubmissions.TheStatealsoreservestherighttomakepurchasesoutsideofthe
awardedcontractswhereitisdeemedinthebestinterestoftheState.
2.Responses:Responsesmustbesubmittedon,orinaccordancewith,formsorformatrequirements
providedbytheOfficeofPurchasing&Contracting.Pricesandallotherinformationenteredonthequote,
exceptsignatureofvendor,shouldbetypedorprintedforlegibility.ALLSUBMISSIONSMUSTBESIGNED.
3.Prices:Unlessotherwisestated,pricesarenetandnochargeforpacking,shipping,orforanyother
purposewill

allowed
over
and
above
the

5.OrderofPrecedence:TheorderofprecedencefordocumentationwillbetheStateofVermont

6.Substitution:
Unless
otherwise
stated,
vendors
may
offer
substitutes
to
items
identified
by
a
manufacturers numberorbrand.Whenofferingasubstitution,vendormustdescribeanydifferencesand
providetechnicalinformationthatwillassistintheevaluation.Afteranawardismade,substitutionsare
notacceptableunlessauthorizedinwritingbytheOfficeofPurchasing&Contracting.
7.SpecificationChange:Anychangesorvariationsinthespecificationsmustbereceivedinwritingfrom
theOfficeofPurchasing&Contracting.Verbalinstructionsorwritteninstructionsfromanyothersource

8.MethodofAward:Awardswillbemadeundertheprovisionsof29V.S.A.903.TheStatemayaward

Shipmentsshall
be
securely
and
properly
packed,
according
to
accepted
commercial
practices,
without
extrachargeforpackingcasesorothercontainers.SuchcontainerswillremainthepropertyoftheState
unlessotherwisestated.Deliveredgoodsthatdonotconformtothespecificationsorarenotingood
conditionuponreceiptshallbereplacedpromptlybythecontractor.
12.Invoicing:AllinvoicesaretoberenderedbytheContractoronthevendor'sstandardbillheadand
forwardeddirectlytotheinstitutionoragencyorderingmaterialsorservices.
13.NonCollusion:TheStateofVermontisconsciousofandconcernedaboutcollusion.Itshould
thereforebeunderstoodbyallthatinsigningbidandcontractdocumentstheyagreethattheprices
quotedhavebeenarrivedatwithoutcollusionandthatnopriorinformationconcerningthesepriceshas
beenreceivedfromorgiventoacompetitivecompany.Ifthereissufficientevidencetowarrant
investigationofthebid/contractprocessbytheOfficeoftheAttorneyGeneral,allbiddersshould
understandthat
this
paragraph
might
be
used
as
abasis
for
litigation.
14.Amendments:Nochanges,modifications,oramendmentsinthetermsandconditionsofthiscontract
shallbeeffectiveunlessreducedtowriting,numbered,andsignedbythedulyauthorizedrepresentative
oftheStateandContractor.
15.Confidentiality:Thesuccessfulresponsewillbecomepartofthecontractfileandwillbecomea
matterofpublicrecordaswillallotherresponsesreceived.Iftheresponseincludesmaterialthatis
consideredbythebiddertobeproprietaryandconfidentialunder1VSA,Chapter5,thebiddershall
clearlydesignatethematerialassuch,explainingwhysuchmaterialshouldbeconsideredconfidential.
Thebiddermustidentifyeachpageorsectionoftheresponsethatitbelievesisproprietaryand
confidentialwithsufficientgroundstojustifyeachexemptionfromrelease,includingtheprospective
harmto
the
competitive
position
of
the
bidder
ifthe
identified
material
were
to
be
released.
Under
no
circumstancescantheentireresponseorpriceinformationbemarkedconfidential.Responsessomarked
maynotbeconsidered.
16.Certificationforapparel,footwear,andtextiles(sweatshopprohibition):Beforecommencingwork
onthiscontract,thecontractormustprovidecertificationfromeachsupplierthatmeetsthe
requirementsof29V.S.A.922(a)aswellasalistofthenamesandaddressesofeachsupplier,as
requiredby29V.S.A.922(b).Contractorcertifiesthatif,atanytimeduringthecontractperiod,thereare
changestotheinformationinthecertificationortothelistofsuppliersthecontractorwillpromptly
informtheCommissionerofBuildingsandGeneralServicesofsuchchanges.
