    TheOfficeofPurchasing&ContractingonbehalfoftheVermontDepartmentofInformationand

    Work)

    responsetothisRequestforProposal(RFP),theDepartmentofInformationandInnovationmay

    enterintoacontract(theContract)tohavetheselectedofferor(theContractor)performallor

    partoftheWork. ThisRFPprovidesdetailsonwhatisrequiredtosubmitaProposalinresponse

    tothisRFP,howDIIwillevaluatetheProposals,andwhatwillberequiredoftheContractorin

    performingtheWork.

    ThisisaRequestforCompetitiveSealedProposals(RFP)toprequalifyvendorswhocanperform

    theservicedescribedinSection3ofthisRFP.

    Structureand

    Scope

    of

    RFP: DII

    is

    seeking

    proposals

    for

    primary

    data

    center

    colocation

    space.

    TheStateofVermontisoneofthelargestdatacenterconsumersintheStateandislookingto

    consolidateitsPrimaryDataCenterintoonecolocationfacilityinMontpelier,VTareaby

    developingalongtermrelationshipwithawellqualifieddatacenterprovider. DIIisnotcurrently

    seekingmanagedservicesproposalsaspartofthescopeofthisRFP.

    ObjectiveofRFP:

    Identifyawellqualifieddatacenterprovidercapableofprovidinglongterm,secured,reliable,

    andcosteffectivedatacentercollocationservicesintheMontpelier,VTarea.

    DepartmentBackgroundandPhilosophy:

    TheDepartmentofInformationandInnovationwascreatedin2003toprovidedirectionand

    oversightforallactivitiesdirectlyrelatedtoinformationtechnologywithinstategovernment,

    includingtelecommunicationsservices,informationtechnologyequipment,software,

    accessibility,andnetworksinstategovernment.TheCIOandCommissionerofDIIhave

    broadauthoritytomeetthegoalsofthedepartmentasestablishedbystatuteandpolicy.

    ItistheresponsibilityofDIItoensurethecontinueddeliveryofITsystemsthatarescalable,

    interoperable,sustainableandsecurethroughoutstategovernment.

    CompatibilitywithStateStandardsandexistingTechnology:

    ItisassumedthatstateandfederalrequirementswithregardstoIRS1075,HIPAA,FISMAetc.can

    bemet.Thestateanticipateshavingaccesstoauditablelogsforfacilityaccessandwillbe

    includedinconfigurationandchangemanagementprocessesdeemedapplicabletostatebusiness

    orservicelevelagreementwithvendor.

    CurrentBusinessEnvironment:

    Asinformationtechnologiesthatdelivergoodbusinessvaluecontinuetoexpand,sowilltheneed

    forthesetechnologiestoremainavailableandresilient. Overthepastseveralyearsthedirection

    toserviceorientallfacetsofinformationtechnologyhascontinuedtogrowwithadvancementsin

    interoperability,networkthroughputandcloudservicedelivery.

    TheState

    has

    not

    kept

    pace

    with

    adequate

    Data

    Center

    facilities

    and

    continues

    to

    suffer

    from

    true

    datacenterexpertise. Aswecontinuetoconsolidatedatacenters,dataroomsandclosets,it

    becomesmorecriticaltoestablishabestinclassdatacentercapacityandprocesses.Leveraging

    datacentercapacityinacolocationfashionisthoughttobethemostefficientandeffectiveway

    todeliverbetterdatacenterservicesforallstatesystemsnowandinthefuture.

    AswecontinuetoconsolidatephysicalequipmentandestablishamorerobustVirtualizedFirst

    Policythroughoutthestate,ourphysicalspaceandpowerrequirementswillpeakinorabout

    2013. Itisassumedthatthiscapacitywillstarttoreduceafterthatoverthenext510yearsas

    morecloudbasedsolutionsSoftwareasaService,PlatformasaServicemature. Forthese

    reasons,theStateislookingatdatacenterhostingsolutionsthatcanscaleupanddownas

    needed.

    3 TechnicalResponse

    3.1 ContractorRFPResponseRequirementsandResponsibilities

    Contractorshallprepareandsubmitproposalsinaccordancewithallrequirementsidentifiedin

    thisRFP. TheStateofVermontretainstherighttorejectanyproposalifitdoesnotconformto

    thestatedrequirements. BysubmittingaproposalinresponsetothisRFP,Contractoragreesto

    beboundbyandtocomplywiththetermsandconditionsincludedherein. Anyexceptionsshall

    beclearlyandexplicitlyidentifiedintheRFPresponse. RFPresponseswillincludeallinformation

    requiredby

    this

    RFP

    along

    with

    any

    additional

    data,

    references,

    literature,

    prints

    and/or

    design

    documentationthattheContractorbelievesispertinenttotheevaluationofContractors

    proposal.

    ByelectingtorespondtothisRFP,Contractorrepresentsthatithasthecapabilities,fiscalmeans,

    personnel,andavailabilitynecessarytoprovidetherequiredservicestotheStateofVermont. The

    StateofVermontretainstherighttoverifyallinformationsubmittedbytheContractorand

    submissionofanRFPresponsebyContractorwillconstituteContractorsauthorizationtothe

    StateofVermonttopursuesuchverification. CostsproposedbytheContractorareexpectedto

    beinclusiveofallcostsnecessarytoperformservicesandprovideproductsrequiredbytheRFP,

    including(butnotlimitedto),assets,overhead,subcontractcosts,maintenancecosts,licensing,

    staffing,cost

    facilities,

    and

    cost

    of

    construction.

    3.2 PrimaryDataCenterColocationServicesOverview

    TheStateofVermonthasoutlinedthefollowingoverviewoftheirdatacenterrequirements:

    TheStateofVermontDepartmentofInformationandInnovation(DII)seekstoconsolidateits

    primarydatacenterfunctionalityinto1(one)highlyavailableandhighlysecuredatacenterin

    Montpelier,VTarea. Indoingso,TheStateseekstoenterintoarelationshipwithahighlyqualified,

    experienceddatacenterprovidertosupporttheconsolidationandlongtermdatacenter

    operationsofTheState.

    Throughthisevaluation,TheStatewillconsiderprovidersofferingexistingdatacenterspaces

    and/ornewlyproposedtobeconstructeddatacenterfacilitiesthatmeettherequirementsset

    forthinthisRFP. Alldatacenterfacilities,existingorproposed,willbeevaluatedbasedonthe

    ContractorsandthefacilitysabilitytomeetTheStatesrequirements.

    beindependentlysecured.

    3.3.5 RacksandITLoadTheStaterequiresdatacenterspaceintheirdedicatedsuitefor30contiguousracks

    onday1,withtheavailabilitytoadd15additionalITracksinthefuture. Thetotal

    anticipated

    3.3.6 AvailabilityTheStateseeksahighavailabilitydatacenterfacilitythatoffersredundancyincritical

    3.3.7 EnergyEfficiencyTheStateseeksahighlyefficientdatacenterfacilitythatleveragesinnovative

    technologyandfavorableenvironmentalconditionsinMontpelier,VTareatoreduce

    energyconsumptioninthedatacenter.

    3.3.8 Enclosure&FinishesTheStaterequiresawelldesignedandconstructed,industrycompliantdatacenter

    envelopewithappropriatelyselectedmaterialsforflooring,paints,ceilings,etcthat

    areconsistentwithindustrystandardsandbestpractices.

    3.5.13 FinancialStatementsThe offeror shall provide financial information in such a mannerthat the State can reasonably formulate a determination about the stability and financial

    strength of the organization. This must include but not be limited to company size,

    organization, date of incorporation, ownership, number of employees, revenues for the

    last fiscal year, and, if available, audited financial statements for the most recent 3 years.

    A current Dun and Bradstreet Report that includes a financial analysis of the firm would

    fulfill this requirement. An offeror can use an Annual Report as verification of financial

    status provided it contains at a minimum a Compiled Income Statement and Balance

    1.EntireAgreement:ThisAgreement,whetherintheformofaContract,StateFundedGrant,or

    inwholeorinpartfromanyactoromissionofthePartyorofanyagentoftheParty.TheState

    shallnotifythePartyintheeventofanysuchclaimorsuit,andthePartyshallimmediately

    retaincounselandotherwiseprovideacompletedefenseagainsttheentireclaimorsuit.

    11.FairEmploymentPracticesandAmericanswithDisabilitiesAct:Partyagreestocomplywith

    tothefullextentapplicable.Partyshallalsoensure,tothefullextentrequiredbytheAmericans

    13.TaxesDuetotheState:

    a. Partyunderstandsandacknowledgesresponsibility,ifapplicable,for

    1.StatementofRights:TheStateofVermontreservestherighttoobtainclarificationoradditional

    informationnecessarytoproperlyevaluateaproposal.Vendorsmaybeaskedtogiveaverbal

    presentationof

    their

    proposal

    after

    submission.

    Failure

    of

    vendor

    to

    respond

    to

    arequest

    for

    additional

    informationorclarificationcouldresultinrejectionofthatvendor'sproposal.Tosecureaprojectthatis

    deemedtobeinthebestinterestoftheState,the

    Statereservestherighttoacceptorrejectanyandallbids,inwholeorinpart,withorwithoutcause,and

    towaivetechnicalitiesinsubmissions.TheStatealsoreservestherighttomakepurchasesoutsideofthe

    awardedcontractswhereitisdeemedinthebestinterestoftheState.

    2.Responses:Responsesmustbesubmittedon,orinaccordancewith,formsorformatrequirements

    providedbytheOfficeofPurchasing&Contracting.Pricesandallotherinformationenteredonthequote,

    exceptsignatureofvendor,shouldbetypedorprintedforlegibility.ALLSUBMISSIONSMUSTBESIGNED.

    3.Prices:Unlessotherwisestated,pricesarenetandnochargeforpacking,shipping,orforanyother

    purposewill

    be

    allowed

    over

    and

    above

    the

    price

    quoted.

    Prices

    quoted

    for

    printing

    are

    to

    include

    printing,binding,wrapping,andpackaging.AllpricesaredeliveredF.O.B.destination,unlessotherwise

    stated.

    4.Taxes:Moststatepurchasesarenotsubjecttofederalorstatesalesorexcisetaxesandmustbe

    invoicedtaxfree.Anexemptioncertificatewillbefurnisheduponrequestcoveringtaxableitems.The

    contractoragreestopayallVermonttaxeswhichmaybedueasaresultofthisorder.Iftaxesaretobe

    appliedtothepurchaseitwillbesonotedintheresponse.

    5.OrderofPrecedence:TheorderofprecedencefordocumentationwillbetheStateofVermont

    StandardContractFormandattachments,thebiddocumentandanyamendments,andthevendors

    responseandanyamendments.

    6.Substitution:

    Unless

    otherwise

    stated,

    vendors

    may

    offer

    substitutes

    to

    items

    identified

    by

    a

    manufacturers numberorbrand.Whenofferingasubstitution,vendormustdescribeanydifferencesand

    providetechnicalinformationthatwillassistintheevaluation.Afteranawardismade,substitutionsare

    notacceptableunlessauthorizedinwritingbytheOfficeofPurchasing&Contracting.

    7.SpecificationChange:Anychangesorvariationsinthespecificationsmustbereceivedinwritingfrom

    theOfficeofPurchasing&Contracting.Verbalinstructionsorwritteninstructionsfromanyothersource

    arenottobeconsidered.

    8.MethodofAward:Awardswillbemadeundertheprovisionsof29V.S.A.903.TheStatemayaward

    oneormorecontractsandreservestherighttomakeadditionalawardstoothercompliantbiddersatany

    timeduringthefirstyearofthecontractifsuchawardisdeemedtobeinthebestinterestoftheState.All

    otherconsiderations

    being

    equal,

    preference

    will

    be

    given

    to

    resident

    bidders

    of

    the

    State

    and/or

    to

    productsraisedormanufacturedintheState.

    9.Default:Incaseofdefaultofthecontractor,theStatemayprocurethematerialsorsuppliesfromother

    sourcesandholdthecontractorresponsibleforanyexcesscostoccasionedthereby,provided,thatif

    publicnecessityrequirestheuseofmaterialsorsuppliesnotconformingtothespecificationstheymaybe

    acceptedandpaymentthereforeshallbemadeataproperreductioninprice.

    10.Cancellation:TheStatespecificallyreservestherighttocancelthecontractoranyportionthereof

    providing,intheopinionofitsCommissionerofBuildingsandGeneralServices,theservicesormaterials

    suppliedbythecontractorarenotsatisfactoryorarenotconsistentwiththetermsofthecontract.

    11.Delivery:Liabilityforproductdeliveryremainswiththecontractoruntiltheproductisproperly

    deliveredandsignedforinaccordancewiththeOfficeofPurchasing&Contractingtermsandconditions.

    Shipmentsshall

    be

    securely

    and

    properly

    packed,

    according

    to

    accepted

    commercial

    practices,

    without

    extrachargeforpackingcasesorothercontainers.SuchcontainerswillremainthepropertyoftheState

    unlessotherwisestated.Deliveredgoodsthatdonotconformtothespecificationsorarenotingood

    conditionuponreceiptshallbereplacedpromptlybythecontractor.

    12.Invoicing:AllinvoicesaretoberenderedbytheContractoronthevendor'sstandardbillheadand

    forwardeddirectlytotheinstitutionoragencyorderingmaterialsorservices.

    13.NonCollusion:TheStateofVermontisconsciousofandconcernedaboutcollusion.Itshould

    thereforebeunderstoodbyallthatinsigningbidandcontractdocumentstheyagreethattheprices

    quotedhavebeenarrivedatwithoutcollusionandthatnopriorinformationconcerningthesepriceshas

    beenreceivedfromorgiventoacompetitivecompany.Ifthereissufficientevidencetowarrant

    investigationofthebid/contractprocessbytheOfficeoftheAttorneyGeneral,allbiddersshould

    understandthat

    this

    paragraph

    might

    be

    used

    as

    abasis

    for

    litigation.

    14.Amendments:Nochanges,modifications,oramendmentsinthetermsandconditionsofthiscontract

    shallbeeffectiveunlessreducedtowriting,numbered,andsignedbythedulyauthorizedrepresentative

    oftheStateandContractor.

    15.Confidentiality:Thesuccessfulresponsewillbecomepartofthecontractfileandwillbecomea

    matterofpublicrecordaswillallotherresponsesreceived.Iftheresponseincludesmaterialthatis

    consideredbythebiddertobeproprietaryandconfidentialunder1VSA,Chapter5,thebiddershall

    clearlydesignatethematerialassuch,explainingwhysuchmaterialshouldbeconsideredconfidential.

    Thebiddermustidentifyeachpageorsectionoftheresponsethatitbelievesisproprietaryand

    confidentialwithsufficientgroundstojustifyeachexemptionfromrelease,includingtheprospective

    harmto

    the

    competitive

    position

    of

    the

    bidder

    ifthe

    identified

    material

    were

    to

    be

    released.

    Under

    no

    circumstancescantheentireresponseorpriceinformationbemarkedconfidential.Responsessomarked

    maynotbeconsidered.

    16.Certificationforapparel,footwear,andtextiles(sweatshopprohibition):Beforecommencingwork

    onthiscontract,thecontractormustprovidecertificationfromeachsupplierthatmeetsthe

    requirementsof29V.S.A.922(a)aswellasalistofthenamesandaddressesofeachsupplier,as

    requiredby29V.S.A.922(b).Contractorcertifiesthatif,atanytimeduringthecontractperiod,thereare

    changestotheinformationinthecertificationortothelistofsuppliersthecontractorwillpromptly

    informtheCommissionerofBuildingsandGeneralServicesofsuchchanges.
