NOTICE (For the attention of Equity Shareholders of the Company)

Notice is hereby given pursuant to the provisions of Section 124 of the Companies Act, 2013 (the "Act") read with the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016 and the IEPf Authority (Accounting, Audit, Transfer and Refund) Amendment Rules, 2017 (the "Rules") notified by the Ministry of Corporate Affairs, that the Company is required to transfer all shares in respect of which dividend has not been paid or claimed by the shareholders for se.ven consecutive years or more, to the Investor Education and Protection Fund (IEPF) Suspense Account. ~

In pursuance of the said Rules, the Company has communicated individually to the concerned shareholders whose shares are liable to be transferred to the IEPF Suspense Account, for taking appropriate action. The Company has also uploaded full details of such shareholders on its website at www.castrol.co.in.

Further notice is hereby given to all such shareholders to make an application to the Company I Registrar latest by 31 May 2018 with a request for claiming unpaid final dividend for the Financial Year ended 31 December 2010 onwards so that the shares are not transferred to the IEPF. It may be noted that if no response or claim is received by the Company or the Registrar by 31 May 2018, the Company will be constrained to transfer such shares to the IEPF Suspense Account, without any further notice, by following the due process as enumerated in the Rules, which is as under: i) In case of shares held in physical form - by issuance of duplicate share certificate and thereafter

transferring the same to IEPF authority; · ii) In case of shares held in dematerialized mode - by transfer of shares directly to dematerialized account

of IEPF Authority with the help of Depository Participants.

Concerned shareholders may note that both the unclaimed dividend and the--shares transferred to IEPF Authority I Suspense Account including all benefits accruing on such shares, if any, can be claimed back by them from IEPF Authority after following the procedure prescribed in the Rules. Shareholders may note that no claim shall lie against the Company in respect of unclaimed dividend amount and shares transferred to IEPF Authority pursuant to the Rules.
